I. Executive Summary Thismemorandumprovidesadescriptionofamedical realestateproperty thatwasfinancedbyFirstNationalBankofElPaso(“FNB”).FNBprovidedtheconstructionfinancingandapermanentloanfortheproject.InearlyAugust,2010FNBforecloseduponthepropertyandnowdesirestosellthefacility. The asking price is $11,500,000.00.The propertywas designed to be an “IntegrativeCancerMedicineBuilding”(“ICMB”).Thismeansthatmost,ifnotall,ofthelatestcanceroutpatienttreatmentsweretobeofferedatthefacility.StandardmedicalcancertreatmentsalongwithahostofWellnessorholistictreatmentweremadeavailabletothepatients.

TheexistingprojectwasopenedinearlyJune,2009andwasinoperationforapproximatelyoneyear. FNBcommencedwithforeclosureproceedingsonAugust3,2010. TheICMBstandsonathreeacresiteandisathreestorymedicalbuildingcontaining42,753squarefeet.ItislocatedonMesaStreet,whichisamajorstreetandanorth–southvehiculararteryinElPaso.Theimmediateareasurroundingthepropertyhasbecomeamedicalneighborhoodwithnewerbuildingsbuiltandownedbyseveralphysiciangroups.Amapoftheneighborhoodisprovidedforyourview.

TofacilitatethesaleofthepropertyFNBiswillingtoofferfinancingforthepurchaseoftheICMB.Thetermsoftheloanwillbecontingentuponthefinancialstrengthoftheborrower.FNBisinterestedin enteringintoatransactionwithahospitalmanagementsystemorpubliccompanythatprovidescancertreatment servicesandproceduresthatcanbeperformedattheICMB.

Thespecialconstructionofthebuildinglendsitselftoanumberofmedicalusesotherthancancertreatmentssuchas;renaldialysis,ambulatorysurgery,diagnosticimaging,amedicalclinicandamedicalofficebuildingwithancillaryservices.

ThisMemorandumhasbeenpreparedforFNBbyamedicalrealestateconsultantwhocanbereachedatthefollowingphonenumberandemailaddress:

II. The ICMB Facility

The facility was designed and built by a general contractor with national exposure and substantialexperienceinbuildingcancertreatmentcentersandothertypesofmedicalfacilities.The teamofdesignprofessionalsandconstructionspecialistswerecarefullyselectedwithfullconsideration giventotheirexperiencedesigningandbuildingsimilarstructures.Underadesign/buildcontract arrangementthegeneralcontractorretainedthearchitectandotherrequiredspecialtyengineerstodesign this“State-of–the–Art”medicalfacility.FNBhasnegotiatedafinalpaymenttothegeneralcontractor. ThepropertywillbedeliveredtotheBuyerina“lien-free”condition.Thefacility’smajorequipment hasbeenclaimedandremovedbytheequipmentleasingentity.Thefurnitureandminorequipment isleasedandcanbeavailabletotheBuyer.

A. First Floor Description

TheICMBisdesignedingrandfashion.Uponwalkingintothebuildingthroughthemain entrance,thepatientandhisorherfamilyaregreetedbyahugelobby,admissionsareaand privatefamilyconsultationrooms.Afteradmission,thepatientisdirectedtospecificareas ofthebuildingfortheirindividualtreatment. Thefirstfloorconsistsof: • Lobbyareas, • Afamilyconsultationarea. • 2linearacceleratorconcretevaults.Thevaultsareconstructedwith4feet thickconcretewalls,ceilingsandfloors. • Linearacceleratorpatientsupportareas,changingbooths,examrooms, equipmentrooms,waitingareas,etc. • ACT/Simulatormachineroom. • X-RayRoomandsupportspace • Ameditationchapelthatholds30people. • AnoutsideprotectedZengarden,completewithaZenbricklabyrinth. • Acommunity/teachingroomthatholdsapproximately50people. • Anemergencyentranceforambulanceserviceandpatientsupport.

B. Second Floor Description

Thesecondfloorrepresentsthemainareaforpatientexamroomsandfordeliveryofchemotherapy. Thesecondfloorconsistsof: • Examinationrooms.Theyarealmosttwicethesizeoftypicalexamrooms. (Thereare16examroomsthroughoutthefacility.) • Physicianoffices(Thereare6offices.) • Themainbusinessofficearea. • A full laboratory andpharmacy for chemotherapy, radioactivepellet implant preparationsandotherprescriptionstypicallyprescribedforcancerpatients. • Adosemetryroomexiststodesignatethepreciselocationonthepatientto beradiated. • AGeneralElectricCT/PETscanmachinewasinplaceonthesecondfloor. (Ithassincebeenremoved.) • Alargechemotherapysuitewith24infusionrecliningchairs. • 3isolationchemotherapyroomssurroundthemaininfusionroom.

Note: (Oncologists have found that most patients by their second or third treatment desire to take their treatment in a common area so that they can communicate directly with other patients receiving treatment.)

C. Third Floor Description

The third floor is designed to function as a “WellnessCenter”. Holisticmedicine therapies supportcancertreatmentandthehealingprocess. Thethirdfloorincludes; • Thismulti-purpose room is used for exercise, tai chi and other spiritual type functions. • Classrooms for diet/nutrition classes, cooking classes, vitamin therapy, and examination rooms. • There are several massage rooms on the floor and offices for psychological consultation. • Thethirdfloorhastwoareasthathavebeenleftforfuturefacilityexpansion. Theyarevacantunfinishedareasof2,000squarefeetand4,000squarefeet, respectively.Theseareaswereintentionallyleftunfinishedsothatthefacility couldbeexpandedinthefuture.

D. “Smart Building” Features

• A20megahertzrealtime,fiberopticsystemthatallowsforpaperlesspatient records and immediate radiologist telemetry reads of CT scans, PET scans, SimulatorscansandX-Rayfilms. • There are two separate electrical system rooms and electrical services. One dedicated room is located on the first floor and one dedicated room is locatedonthesecondfloor.

E. Property Site and Building Exterior Characteristics

• Thepropertyisawonderfullocation. • Thebuildingexterior is tastefullydesignedwithstoneandstuccowithslanted roof lines. • Stainedglasswindowsareclearlyvisiblefromtheroadway. • A3½storystairwellisafocalpointofthedesignandcanbeseenfromagreat distancefromthefacility.Thestairwellislitandtobenoticedatnight. • Morethanampleparkingexists(4.5spacesper1,000usablesquarefeetofbuildingarea.) • The area surrounding the property has become a “Medical Neighborhood”. TheneighborsonMesaStreetinclude; • A protected Zen garden is attached to the building. It features tastefully landscaping,severalsculptures,benchseating,andameditationlabyrinth. 1. IV. Bank Position and the Sale or Lease Opportunity

FNBofElPasocommencedforeclosureproceedingsonAugust3,2010.FNBnowownsthe propertyanddesirestosellit.FNBisseekingtorecoup,throughanoutrightsaleoftheproperty,the amount of the loan and its additional interest and carry costs associated with the facility loan. Should a partybeinterestedinenteringintoanleaseagreement,FNBwillentertainsuchanoffer.

V. The City of El Paso Description

TheCityofElPasoislocatedontheextremewesterntipofTexasalongtheRioGrande river. The river is the international border between the United States and Mexico. The 2010 population estimate is 665,065 people living in El Paso. Combined with the population of the MexicanborderingcityofJuarez,theareaformsoneofthelargestmetropolitanareasinMexico with a 2005 population estimate of 2,280,782 in this defined region. The City’s land mass is approximately250miles. Thenorthernendof thecityisboundedbytheFranklinMountains.Thismountainrange hasridgelinesthatactuallybisectthecityfromnorthtosouth.Itselevationsrangefromitslower basesofapproximately3,700feettoaheightof7,192atitshighestpoint,orpeak.

Thecityisalsodefinedbythemountainrangeintoeastandwestsections.Neighborhood andcitygrowthhasoccurredby in large, in theeastern regionof thecity.Thedevelopmenthas alsooccurredalongHighway10andtheRioGrandeRiver.Thenortheasternandeasternareasof the city are dominated by Fort Bliss, BiggsArmyAir Field and El Paso InternationalAirport.

ThenorthwestandwesternsideoftheCityisprimarilyresidentialwiththeUniversityof TexasatElPasobeingthedominant institution.TheCity’sCentralBusinessDistrict”CCBD”is hometomanyofthelargeststateandfederalbanksandsavingsandloansinstitutions.TheCCBD isalsothehomeofprofessionalsupportfirmsandseveralarmyrelatedprofessionalservicefirms, vendorsandsuppliers.Themeanhightemperature76.8degreesandthemeanlowtemperatureis 50.6degrees.Themeanlevelofprecipitationis8.65inchesperyear.

VI. El Paso Education /Schools

Thereare3independentpublicschooldistrictsinElPaso: a. TheElPasoIndependentSchoolDistrict, b. TheYsletaSchoolDistrictand c. The Socorro School District

Combined, there are 22 high schools, 33 middle/junior high schools, 101 elementary schools,8specialtyschools,3adult learningcenters,anacademyofscienceandtechnologyand twoalternativeschools.Therearealso25parochialschoolsand50privateor“preparatoryschools”.

VII. Higher Education in El Paso Area

VIII. El Paso Medical Centers and Hospitals

ElPasoisconsideredtobethehealthcarecenterformuchoftheSouthwestofTexas,the Southwest ofourcountry,NewMexicoandMexicoaswell.ElPasohasfiveprivatehospitalsand apublicHospital; a. R.E. Thomason General Hospital, located on the actual Mexico border has approximately330bedsandisregardedasbeingoneofthefinestpublichospitals in the country. b. TheWilliamBeaumontArmyMedicalCenter,isoneofthelargestsinglehospitals inthecountryandoperatesapproximately480beds. c. There are two hospitals that are managed by HCA, the largest public hospital management company in the USA. They are the two individual hospitals of the Sierra/ProvidenceHealthSystem. d. TheLasPalmas/DelSoloriginalhospitalislocatedontheWestsideofElPaso.It hasrecentlybuiltandisoperatinganacutecarehospitalontheeastsideofElPaso. Theeastsideisthegrowthareaofthecity. e. TheTexasTechUniversitySchoolofMedicineoperatesalarge“teaching”hospital andiscurrentlybuildingachildren’shospitalonthesiteoftheiracutecarehospital.

IX. The State of Texas Economic Status

• TheTexaseconomyhasbegunaslowandhopefullysteadyrecoveryduring2010. Thisyearmost reportspredictan increaseofbetter than1.5percent in thestate’s grossdomesticproduct(GDP)forthisyear. • Home sales declined by 12% in the State of Texas during 2009, but has shown improvement in the first half of 2010 as home sales are expected to increase by roughly4.5%in2010. • Texaspredicteda9.5%statedeficitatthebeginningof2010butistheonlystateof the7Sunbeltstatestopredicthavingabalancedbudgetbytheendof2010. • Texaswasastatethatlostthesmallestpercentageofjobsfrom2008–2009,with anannualjoblossof2.1%.Thejoblosspercentagewas2.4%theyearbeforeand isexpectedtobelessthan2%for2010.
