2 YEARS OF DEVELOPMENT, & PRODUCT TESTINGMany companies just take the easy option and buy 'off the peg' hooks available from third party suppliers and then proceed to put their own brand on them.

The ACE Razorpoint range of hooks has been designed from scratch by the ACE product development team, utilising the vast amount of knowledge and experience available to us through our team of consultants, including Terry Hearn, Max Cottis, Iain Macmillan and many more. These hook designs have been refined right down to the smallest detail, resulting in what we truly believe is the most advanced range of carp hooks available on the market. This is something of which we are really proud.

With special attention being paid to ensure that all the eyes are closed completely to ensure no edges are exposed which can damage your hooklink. Incorporating special 'Micro-Barbs' which minimise any potential damage entry and then ensure the hooks don't slip during the � ght. Each pattern is forged to create maxiumum stength.

The Razorpoint range of hooks are made from the highest quality Japenese Carbon Steel 80. Finished in grey PTFE all our designs feature extremely long razor sharp needle points incorporating our 'Durapoint' technology which signi� cantly increases the point duarbility ensuring that hooks can be used for multiple captures without seeing any detoriation in there sharpness compared to some other hook alternatives.

BOILIE BEAK POINT (BBP)Featuring an in-turned point, this pattern has been based on a hook that Terry Hearn used to adapt by modifying another hook on the market. With a wide variety of applications, this hook can be used for both bottom bait or pop-up presentations and is particulary useful when fishing over gravel as the in-turned point is far less likely to damage when you retrieve SEE PAGE 6

LONGSHANK (LS)A very popular pattern, the LS features a straight point and is another very versatile pattern as it can be used for many different presentations however due to the length of the shank this hook is often combined with some kind of anti-eject/sliding ring set up SEE PAGE 6

SHORT CURVE SHANK (SCS)This will undoubtedly be the most popular pattern within the range. Featuring a straight point, unlike many of our competitors the SCS features a straight eye which increases its flexibility when it comes to certain rigs. Probably the most diverse hook in the range, it can again be used with both bottom and pop-up presentations and is particulary suited to Withy Pool, KD and Snowman set ups. SEE PAGE 6

STIFF RIG/CHOD (SRC)Designed to provide a pattern for the fastest growing method in Carp Fishing over the past few years, the SRC is the result of very carefully studying the two most popular Stiff Rig & Chod hooks on the market and combining the best features from both of them to create the ultimate hook for these methods. MEDIUM CURVE SHANK (MCS)This is a brand new pattern which has been created by combining short and long shank curved hooks resulting in a very effective hook. Featuring a slightly downturned eye, this hook turns the instant you tighten the hooklink ensuring that it hooks up straightv away. Suitable for a wide variety of rigs, it will also prove very popular for use with the 3600 rig SEE PAGE 6

ZIG & FLOATER (ZIG)This is the first dedicated pattern designed for the increasingly popular method of Zig fishing. Featuring a short shank, wide gape with long straight needle point, the eye has been very slightly out-turned to ensure that the hook sits perfectly beneath the zig foam SEE PAGE 6

CONTINENTAL XTRA STRONG (CXS)This heavy duty extra strong hook has been developed to deal with those the big European carp that normally destroy normal carp hooks. Suitable for use with both pop-up and bottom bait presentations the long needle points make this an incredibly sharp hook SEE PAGE 6

TERMS OF TRADE OF SHIMANO NORMARK UK LIMITED. 2012/2013(“The Company”)

1 BASIS OF SALE All orders are accepted subject to the following Terms and Conditions (“Terms

of Trade”) which no person in the employment of or acting in any way as agent of the Company or purporting so to do has power to vary other than variations confirmed in writing by the Company.

Previous dealings between the Company and any dealer (“the customer”) shall not vary or replace these Terms of Trade or be deemed in any circumstances so to do. These Terms of Trade may only be modified by a variation in writing signed by an authorised officer of the Company and no other action on the part of the Company (whether delivery of the goods or otherwise) shall be construed as an acceptance by the Company of any other terms and conditions.

Acceptance of the goods by a customer shall be conclusive evidence before any Court of Law or arbitrator that these Terms of Trade apply.

2 GOODS & ORDERS All goods referred to or illustrated in any catalogue, price list, or published

literature of the Company from time to time are subject to availability.

The appearance of any item in such literature does not constitute an offer that such item is available for sale. The Company shall at all times and from time to time determine the range of goods that are available for sale to the customer.

Any order for goods will become binding on our acceptance of such order. These Terms of Trade shall apply to any order accepted by the Company and all goods will be despatched under these Terms of Trade which will apply to each order to the exclusion of any other terms and conditions inconsistent with such Terms of Trade, or purporting to modify the same.

3 PRICES Published prices are liable to alteration without notice and the price for goods

shall be the price set out in the Company’s price list published on the date of delivery or deemed delivery.

All orders accepted by the Company are subject to VAT at the prevailing rate. VAT at the applicable rate is included in all recommended retail prices shown in any catalogue or price list currently published by the Company.

4 NEW ACCOUNTS The Company will be pleased at its discretion to open new accounts with bona-

fide dealers.

A credit account will only be opened subject to satisfactory investigations and upon the receipt of satisfactory credit and Trade references and at the Company’s discretion. A signed acceptance of the Terms of Trade is also required.

Goods will, save in exceptional cases, be supplied on a Pro-forma basis until such time as the Company is satisfied as to the creditworthiness of the customer and has received satisfactory references. The Company reserves the right to withdraw any credit facility at any time.

5 DELIVERY Delivery shall be deemed to take place when the goods are despatched to the

customer’s principal premises from the Company’s premises, subject to the Company being informed of non-delivery in writing as follows:-

1) For shortages within 3 days of receipt of goods.

2) For non-delivery within 7 days of the date of the invoice.

3) For damage in transit within 3 days of receipt of goods.

The Company shall not be liable for any loss of any kind to the customer arising from any damage to the goods occurring after the risk has passed to the customer however caused nor shall any liability of the customer to the Company be diminished or extinguished by reason of such loss.

Risk of loss or damage to the goods shall pass to the customer at the time of delivery, unless otherwise notified as per above.

No deduction in the payment of invoices may be made for goods damaged or not received until the Company has issued a credit note.

Carriage will be paid by the Company on orders of over £150 (excl. VAT). A minimum charge of £8 will be levied on all orders below £150. In the event of incomplete despatches subsequent deliveries will be carriage paid by the Company.

Where the Company agrees to deliver goods to an address of the customer which is not the customer’s principal premises the Company reserves the right to levy both an administration charge (determined by the Company from time to time) and additional carriage charges (determined from time to time by the Company). The Company is not obliged to deliver to anywhere other than to the Customer’s principal premises.

Any dates quoted for delivery of the goods are business estimates only and

the Company will not be liable for any loss or damage (whether direct, indirect or consequential) or loss of profit, business, contracts, revenues, or savings howsoever arising sustained by the customer as a result of the Company’s failure to comply with such delivery times. Time for delivery shall not be of the essence. The goods may be delivered by the Company in advance of the quoted delivery date on giving reasonable notice to the customer. If the customer fails to take delivery of the goods or fails to give the Company adequate delivery instructions at the time stated for delivery (otherwise by reason of any cause beyond the customer’s reasonable control or by reason of the Company’s fault) then the Company may either:

1) Store the goods and charge to the customer the re-warehousing cost as set out in clause 8 of these Terms of Trade; or

2) Sell the goods at the best price readily obtainable and, after deduction of the customer’s reasonable storage and sales expenses, charge the customer for any shortfall below the price due under the Contract for the sale and purchase of goods.

6 TITLE TO THE GOODS Title to the goods shall remain with the Company until payment in full of all

monies due and owing from the customer to the Company (whether in relation to that particular contract or on any account whatsoever). In the case of payment by cheque or other instrument of payment, title will not pass until the same has been met or otherwise honoured. If a cheque fails to clear the customer’s Bank, or a standing order is not honoured the Company reserves the right to charge a £15 administration fee.

Until such payment the customer shall remain in possession of the goods solely as Bailee for the Company and shall store them in a manner which makes them readily identifiable as goods of the Company.

The customer agrees that if payment is overdue in whole or in part the Company shall (without prejudice to any of its other rights) have the right to enter the customer’s premises and remove any of its goods therefrom.

If notwithstanding that the title to the goods has not passed to the customer the customer sells the goods in such manner as to pass to a third party a valid title to the goods the customer shall hold the proceeds of such sale on trust for the Company.

Demand for or recovery of the goods or documents by the Company shall not itself discharge either the customer’s liability to pay the whole of the price and take delivery of the goods or the Company’s right to sue for the whole of the price.

Non specified payments shall be appropriated by the Company to invoices and to goods in such order the Company shall select.

7 RETURN OF GOODS All requests regarding goods the customer wishes to return to the Company

for any reason other than damage or shortage in delivery, must be notified to our internal Sales Department. Acceptance of such requests will be at the Company’s entire discretion.

Verbal notifications or written notifications given to staff in the field will not be accepted as being properly received by the Company.

Upon notification being received from the customer, the Company will issue a goods return authorisation form to the customer which must be completed in full and returned to the Company. Only upon acceptance of the completed authorisation form by a senior manager will collection of the goods be arranged prior to which the customer will be issued with a goods returned authorisation number which should be indicated on all correspondence and clearly marked on all cartons.

The Company’s internal Sales staff are not allowed to arrange collection of goods for return without prior authorisation as stated above.

Credits will not be issued until the return goods have been inspected and accepted for credit.

8 RE-WAREHOUSING / ADMINISTRATION CHARGE Goods being returned without full details and prior authorisation and

documentation will not be accepted and will be returned to the sender by return and carriage charged at cost.

The Company reserves the right to levy a re-warehousing charge of 20% of the price of goods returned to the Company at its discretion (and the diminution in value if the goods are marked, sub-standard or damaged in any way). When goods are returned to the Company they must be in an “as new” condition in full packs, without price tags etc.

9 LETTER/PARCEL RESPONSIBILITY In all cases of letters or parcels sent via the Post Office or any other agency,

the Post Office or such agency act for the Sender and any late or non-delivery is the responsibility of the Sender. Therefore you are advised to retain a despatch document.

10 LIABILITY Subject to the conditions set out below the Company warrants that the goods

will correspond with the order at the time of delivery and will be free from defects in material and workmanship for a period of 24 months from delivery.

The above warranty is given by the Company subject to the following conditions:

The Company shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow the Company’s instructions (whether oral or in writing), misuse or alteration or repair of the goods without the Company’s approval.

The Company shall be under no liability under the above warranty (or any other warranty condition or guarantee) if the total price for the goods has not been paid by the due date for payment.

Where any claim by the customer in respect of any of the goods which is based on any alleged defect in the quality or condition of the goods or their failure to meet the order is notified to the Company in accordance with these conditions the customer shall at its own expense return the goods to the Company’s premises, or as the Company directs, for inspection by it or its representative within one week of notifying the Company accordingly for the purpose of validating the claim. SO THAT if the claim is validated the Company shall be entitled to replace the goods (or the part in question) free of charge or at the Company’s sole discretion refund to the customer the price of the goods (or a proportionate part of the price) but the Company shall have no further liability to the customer.

Except in respect of death or personal injury caused by the Company’s negligence the Company shall not be liable to the customer by reason of any representation (unless fraudulent), or any implied warranty condition or other term or any duty at common law or under the express terms of the Contract for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise) costs expenses or other claims for consequential compensation whatsoever (whether caused by the negligence of the Company, its employees or agents or otherwise) which arise out of or in connection with the supply of the goods or their use or resale by the customer and the entire liability of the Company to the customer shall not exceed the price of the goods.

11 PAYMENT TERMS Unless agreed otherwise by the Company payment is due within 30 days of the

date of invoice.

VAT is always payable on such invoices.

Payment of cash or equivalent will only be deemed to have been made when it has been received by the Company’s UK office. Payment by cheque will only be deemed to have been made when the cheque has been cleared by the Payer’s bank.

No deduction in the payment of invoices may be made for goods returned to the Company or not received by the customer until the Company has issued a Credit Note to the customer.

Any deduction made by the customer other than strictly in accordance with this Condition shall be recoverable immediately by the Company as a debt then due and owing by the customer.

12 OVERDUE ACCOUNTS Any invoices which have not been paid by the 30th day following the invoice

date will be classified as overdue.

In the event of this occurring, the Company reserves the right to:

a. Charge interest of 2% (compound) per month or part month against the outstanding invoices from date of invoice.

b. Suspend current and future deliveries against the account until the arrears are settled in full.

c. Immediately pass the overdue account (Total Balance Outstanding) out for legal action. As a direct result of failure to maintain and comply with these payment terms, credit facilities will be suspended and future trading will be operated on a strictly pro-forma basis.

d. In the event of failure to maintain and comply with these payment terms the Company reserves the right to cease trading with the customer.

If a legal claim is issued, all allowable court fees and legal costs will be claimed.

Payment will first be allocated to the reduction of the invoice balance and then set against costs and interest.

13 RE-PRESENTED ‘BOUNCED’ CHEQUES AND ‘MISSED’ BANKER’S ORDER PAYMENTS

Every time a cheque, standing order or Banker’s Order fails to clear the customer’s Bank on presentation the customer shall reimburse the Company the fee charged by the bank.

14 SPECIFICATIONS The Company reserves the right to modify specifications of goods according

to the supply position or its desire to improve the specification, or to conform to any statutory requirements, which does not materially affect their quality or performance.

15 WEIGHTS & MEASURES Fishing tackle is not an item which is generally sold by weight or volume. When

these are given, they serve only a part of the usual description and their accuracy is not guaranteed.

16 CUSTOMER OUTLETS The customer shall ensure that at all times it has and maintains suitable shop

showroom and display facilities for the purposes of permanently displaying for re-sale all goods purchased by the customer from the Company. In the event the customer uses in conjunction with such shop the customer’s own website or online store for the purposes of re-selling the goods it has purchased from the Company the customer shall at all times ensure that such website or online store is appropriate and suitable for such re-sale. Where the customer makes use of other third party websites (including any price comparison websites) to resell the goods the customer shall ensure that the method of sale reflects so far as possible an over the counter style of sale. Where the customer uses in connection with the re-sale by the customer of any of the goods it purchases from the Company any of the Company’s trade marks and logos the customer shall not use the same in a manner which in any way prejudice their distinctiveness or validity or the reputation and goodwill of the Company and in particular not use any of the Company’s trade marks and logos in connection with products originating from competitors of the Company. The customer acknowledges and accepts that if it wishes to open new outlets with a view to offering the goods of the Company for re-sale the Company reserves the right not to allow the customer to do so if it would otherwise have an adverse effect on the Company’s business.

17 CHANGE OF CONTROL OF CUSTOMER The Company shall be entitled to close the account of the customer cease

trading with the customer upon these Terms of Trade as well as reserve the right to cancel any orders previously accepted by the Company but not yet honoured and reject any subsequent orders made by the customer on giving not less than seven days notice in the event that there is a change of control of the customer.

18 THIRD PARTY RIGHTS Nothing in these Terms of Trade shall create any rights for third parties under

the Contracts ( Right to Third Parties ) Act 1999. No variation to these Terms of Trade and no supplemental or ancillary agreement to these Terms of Trade shall create any such rights unless expressly so stated in such agreement by the Company. This does not affect any right or remedy of a third party which exists or is available apart from that Act.

19 FORCE MAJEURE The Company shall not be liable for any default due to any act of God, war, strike,

lockout, industrial action, fire, flood, drought, tempest or other event beyond the reasonable control of the Company.

20 APPLICABLE LAW If any part of these Terms of Trade is invalid for any reason, its invalidity does not

affect the rest of these Terms of Trade which will remain valid and enforceable in all respects.

These Terms of Trade shall be construed in accordance with English Law and shall be subject to the non-exclusive jurisdiction of the English Courts.
