RAYMOND NDLOVU CHAIRMAN

Raymond is co-founder and non-executive chairman of Black Elephant Vintners (“BEV”), an artisanal premium wine producer, in Franschhoek. He also serves on the boards of several community service organisations, including firstmiracle.org, BEV’s social-impact initiative and Franschhoek Wine Valley. Raymond has been an investment executive at JSE-listed diversified investment holding company, Remgro Limited (“Remgro”) and serves as a non-executive director on the boards of several investee companies, across varioussect ors, in the group. He has garnered extensive corporate and entrepreneurial experience in various fields in the financial services industry, including investment banking, asset management and stockbroking, since 1998. He co-founded and was CEO of institutional stockbroking firm, Noah Financial Innovation, for ten years until July 2011. He holds a B. Business Studies (Honours) from the University of Zimbabwe.

PAUL CLUVER DEPUTY CHAIRMAN

Paul studied B.Sc. Horticulture and Economics at the University of Stellenbosch upon completion of which he started working in the family business, heading one of the fruit production units. He continued studying, first Senior Business Management at the Graduates School of Business and later Masters in Philosophy in Value and Policy Studies at the University of Stellenbosch, while working as production manager, financial manager and eventually general manager. As general manager Paul and his team have helped establish De Rust Estate as a multifaceted agricultural business being one of the leading apple and pear growers in South Africa, one of the country’s premium wine producers and one of the top Hereford studs while leading the way in sustainable farming and conservation. De Rust Estate is a BWI champion and has won the Nedbank Green Award for Best Practice as well as being a founding member of Thandi which is one of the first

BEE farms in South Africa and is widely seen as one of the most successful projects in the industry. Thandi also became the first Fairtrade wine brand in the world.

WENDY APPELBAUMWendy owns DeMorgenzon wine estate outside Stellenbosch. She was a director of Liberty Investors Limited, Deputy Chairman of Women’s Investment Portfolio Limited (Wiphold) and Deputy Chairman of the Connection Group Limited. She was a founding director of The Tribune Trust and a founding director of Sphere Holdings Limited. Her philanthropic involvement includes her being a director of the Wits Donald Gordon Medical Centre, as well as a trustee of The Donald Gordon Foundation. Wendy is also a member of the Global Philanthropists’ Circle (GPC) and a director of the Southern African board of the Synergos Institute. She serves on Harvard University’s Presidential Advisory Board and is a member of Harvard University’s Women’s Leadership Board. She is a member of the International Women’s Forum (IWF) and of Women Moving Millions. She was honoured as one of the Leading Woman Entrepreneurs of the World in 2006 and received both the Forbes Woman Africa Business Woman of the Year and the Forbes Woman Africa Woman of the Year awards in 2015.

MIKE RATCLIFFECo-founder and Managing Partner of the joint US/South African venture Vilafonté since 2001. Mike has been nominated for the Wine Star Award for Global Innovator of the Year in 2015 and then again in 2017. He graduated in the first wine marketing class at Adelaide University and is an international wine judge, public speaker, industry commentator, social media maven and marketing trendsetter. He has been an international wine judge, is a respected wine industry commentator, leading social media protagonist and respected marketing mind. Mike is the founder of the Cape Wine Auction.

KEN KINSEY-QUICKKen has been involved in the global financial markets for over 20 years both in Paris and London. His particular expertise is in the hedge fund industry. Prior to moving back to SA in 2010, he was a partner at Thames River Capital for over ten years which was subsequently sold to London listed F&C. During his time in the UK, Ken was a big supporter of the ARK charity and raised money for them by hiking to the South Pole. On moving back to SA he set up his own business, Diamond Capital Management, investing globally. Ken is also a Trustee of Bridge House School. He has a B.Com (UCT) and holds both the CFA and CAIA charters.

IAIN BANNERIain Banner is the co-founder of a number of successful companies, events and charities, including Sports International, the Gary Player Design Company, the Laureus World Sport Awards and Laureus Sport for Good Foundation and the Alfred Dunhill Links Championship. Says Banner: “I am honoured and excited to be joining this group of hard-working people who have passion and energy and think creatively and innovatively to effect real change in the lives of those who live and work in the winelands.”

DOMINIQUE ENTHOVENDominique Enthoven (née Botha) was born in 1971 and grew up on the farm Rietpan in the Viljoenskroon district of the Free State. She lives in Kylemore in the Boland with her husband and four children. She received a Masters Degree Masters in Applied Linguistics from Stellenbosch University in 1998 and a Masters Degree in Creative Writing from Wits University in 2012. Dominique writes poetry and novels in Afrikaans and English. Her novel False River and Valsrivier (Afrikaans version) were published in September 2013 by Umuzi Random House. The book was translated in French by Georges Lory and appeared as Rivière fantôme published by Actes Sud. She does translation work,

interalia translated Francois Smith’s award winning book Kamphoer into English. She also contributes to various publications including The Economist magazine Intelligent Life, VISI magazine, British Airways In flight magazine, Rooi Rose, Rapport, and the Stellenbosch Literary Project. Dominique is a member of the Pirogue Collective and serves on the board of the Africa Centre and Yellowwoods Arts Trust, organisations that promote and support artistic endeavours in a broad range of fields. Her involvement ranges from active project management such as the Dancing in other Words Spier poetry festival to more generalised consulting.

NICLAS KJELLSTRÖM-MATSEKE

Niclas Kjellström-Matseke is a Founding Partner and Head of Europe & Africa for 17 Asset Management, which structures their business around the United Nations’ Sustainable Development Goals.

He is CEO of Infigo Properties and Chairman & Founder of Perennis Africa which invests in Southern African growth companies.

Niclas is a recognized international business leader with a background as a CEO and international investor in Europe and Africa. He was the CEO of Novamedia Nordics which is the world’s third largest

private donor. Under his leadership Novamedia became the industry’s most profitable company. A dedicated philanthropist, Niclas serves on the Board of Robert F. Kennedy Human Rights, is the Chairperson of the Desmond & Leah Tutu Legacy Foundation, and is a Member of the Leadership Council of the UN’s Sustainable Developments Solutions Network. He has held numerous other board positions, including serving as Advisory Board Member of The Elders Foundation, which was set up by Nelson Mandela with the aim of getting global leaders to work together for peace and human rights.

2018The fifth Cape Wine Auction takes place on 10 February 2018 on Rustenberg Wine

Estate. Over R17 million is raised and 22 beneficiaries are

selected to be funded.

The fourth annual Beneficiary Workshop

takes place on 23 August 2018 at Glen Carlou

Wine Estate where the beneficiary organisations

shared their successes and challenges and were inspired to achieve even greater impact over the

funding cycle.

2019The beautiful wine estate

of Buitenverwachting in Constantia was the setting for the sixth Cape Wine Auction

on Saturday, 2 March 2019. R15,5 million was

raised to support 27 partner organisations

doing outstanding work in education in the

Kjellström-Matseke join the board of trustees. PwC partners with the Trust in establishing a ground- breaking programme for the

partner organisations, assisting them with

management, financial and corporate

governance skills to run their organisation as

efficiently and effectively as possible. The fifth

Museum, offering a platform for collaboration

between the partners and an opportunity to

share new ideas.

2014The Cape Wine Auction

Trust is established. Wendy Appelbaum,

Michael Jordaan, Ken Kinsey-Quick, Mike Ratcliffe and

Siobhan Thompson are appointed as Trustees.

The inaugural Cape Wine Auction takes place

at Delaire Graff Wine Estate. R7,045 million

is raised.

Four beneficiary organisations

are funded.

2015The second Cape Wine Auction takes place at

Boschendal Wine Estate. Every philanthropic

fundraising record in South Africa is broken

with R10 million raised on the day.

A Trust Facilitator is appointed, and

the first Beneficiary Workshop takes place in Franschhoek. The

19 beneficiaries selected by the Trust meet to share best

practice and create a collaborative network for increased impact.

2016The third Cape Wine

Auction takes place at Klein Constantia Estate.

R14 million is raised.

AN OVERVIEW OF IMPACT FROM SOME OF OUR PARTNERS …

3 960 learners in 12 primary schools had access to an online English literacy programme, assisting them to read with comprehension. Data is collected from each session to track results,

and the online sessions are managed by 12 facilitators who are employed to assist the children get the most from the programme.

660 children in rural winelands areas receive a safe after school space where food is provided and they complete homework, get reading support, enjoy physical development through sport and games, and crucial social and emotional guidance and support.

70% of our recent Wine and Tourism graduates (2019) have

found employment.

Pinotage Youth Development Academy

4 principals were funded to partner with local businesspeople

in 2019. Through these partnerships 55 teachers and 1 484 learners were impacted.

Partners for Possibility

12 unemployed women will continue the advanced Food and Beverage Service Assistant course from January to March 2020 at the Private Hotel School. Each

woman supports approximately 7 dependents, so if they

are all employed after graduating the lives of 84 people will be changed for the better.

Bergzicht Training

CWA Trust supports the employment of a Maths teacher, Mr Raoul Hamman, who holds a Master’s Degree in Maths Education, was the chairperson of the SRC at North West University, was a Grade Head at Durbanville High School and teaches Additional Mathematics up to Grade 12! Mr Hamman followed his passion to invest in learners from low income backgrounds and one learner, Aiden Gabriels from Idasvalley, saw an improvement in

his Maths mark from 38% in November of 2018 to

71% in November of 2019. Aiden attributes this to Mr Hamman’s quality of teaching as well as the innovative Whatsapp extra maths group which was set up by the school.

Calling Academy

Psychosocial trauma is a barrier to effective learning, which is why CWA Trust supports Community Keepers offices at 5 schools in vulnerable communities in the

winelands. In 2019 655 learners, teachers and parents

had 3708 sessions (including individual and various group therapy sessions) by professionals offering psychosocial support.

Community Keepers

A hungry child cannot concentrate or have the energy

to learn. In 2019 750 000 meals were delivered to

3 200 children across the winelands, with a 100% successful delivery rate.

The Lunchbox Fund

0 – the number of Grade R learners who had to repeat the year because of poor English skills! Since English is not the mother-tongue of our learners, we had to build vocabulary and help with the acquisition of language skills. Home circumstances are often difficult and these affect learners’ performance. This was the first year that we started Reading Eggs at Grade R level and not Grade 1 level, and it greatly improved the learners’ phonics ability.

AUCTION LOTS

Steeped in a history dating back to 1692 and nestled in the foothills of the Jonkershoek Valley of Stellenbosch, Lanzerac is synonymous with old-world charm and rich Cape heritage. Experience the finest the Cape Winelands has to offer, as we promise to indulge guests with attentive service, world-class wine and cuisine and exquisite accommodation.

The four couples will be chauffeured to the Estate in a luxury vehicle and will enjoy two nights in one of our uniquely appointed en-suite rooms and suites, promising complete relaxation amid welcoming interiors that blend both period grandeur and contemporary style. Each room is individually decorated with elegant finishes and a selection of timeless pieces and offers guests spacious surrounds with the utmost privacy.

On the first evening, guests will enjoy a three-course pairing menu in the opulent Manor Kitchen.

The next morning, a buffet spread and hot breakfast will be served, followed by a vineyard tour with Lanzerac’s Viticulturist, Danie Malherbe, who will give insight into the terroir and geology of the Estate. Thereafter, you will have the opportunity to meet the Cellar Master, Wynand Lategan and join him for a private wine tasting in the Pionier Room, including a barrel and tank sample. Lunch will be served in the casual eatery, the Taphuis. Guests can then unwind and rejuvenate at the Lanzerac Spa, a sought-after wellness retreat and relaxation hideaway. That evening, a private dining experience will take place in the Master Study with Executive Chef, Stephen Fraser.

On day two, visitors can take in the fresh air and scenic views with a guided hiking trail through Jonkershoek Nature Reserve; embark on a sensory experience with a wine and chocolate pairing, and finish the day with a drive through the Cape Winelands in a vintage motor vehicle.

To make sure you do not leave empty handed, each couple will depart with a Signed six bottle Heritage range.

AUCTION LOTS

This Lot encompasses the best of the Robertson Wine Valley’s world-renowned wines and hospitality experiences. The scenic valley will play host to 5 couples for a four-day long weekend featuring luxurious stays, fine wines and relaxed dining experiences aplenty.

Start off with two nights’ luxurious stay for ten guests at Jan Harmsgat Country House. Included is a farm tour with wine tasting as well as a dinner party on one of the nights of your stay. Each couple will also be given a case of their favourite JHG varietal to take home.

Guests will then go on to enjoy two nights’ accommodation for 10 guests (five couples) at the Excelsior Estate Guesthouse. The Cape Dutch Revival Manor, once a family home, has been lovingly restored and offers elegant comfort. Included is a cellar tour and tasting. A visit to Robertson is not complete without a tasting and lunch with the Bruwer family of the spectacular Springfield Estate. Soak up the magnificent views over the dam, while enjoying the much-lauded wines over a lazy lunch. Guests will also take home two 2-packs containing a 1997 Méthode Ancienne Cabernet Sauvignon 1997 as well as a 2013 Méthode Ancienne Cabernet Sauvignon each.

Finally guests will also be treated to a tasting and lunch at the Home of Chardonnay, De Wetshof Wine Estate. The name De Wetshof has been synonymous with the production of fine wines in South Africa since the 1970s. De Wetshof is one of the few third generation wine estates in South Africa. Guests will all take home a trio of the estate’s flagship Bateleur Chardonnay in 1,5 litre, 3 litre and 5 litre.

Hawksmoor House is an elegantly restored Cape Dutch guesthouse on a working wine farm just outside Stellenbosch.

Granted by Simon van der Stel in 1692, the farm has a long history which is reflected in the various styles of the buildings that make up the ‘werf’. Unlike many guesthouses in old buildings, the manor house is the core building of the operation, allowing guests to live in the space the way it would have been in the past. Restoration began in 2005, and now the entire werf is a 16 room guesthouse modelled around the theme of a luxurious, historic country house.

The farm’s location gives it spectacular views of the Boland mountains, and most notably a magnificent sunset view of Table Mountain from the manor house’s back stoep.

Currently the farm produces grapes which are sold to leading wineries for their wine production, retaining enough to produce about 10,000 bottles per year for Hawksmoor.

The Hawksmoor lot gives use of the Manor house for five couples, each in a double bedroom, for a weekend on bed and breakfast basis.

It also includes a choice of either a tasting lunch or dinner (decided by the buyer), hosted by the owners Mark Borrie and Simon Olding. The menu will be designed by our in-house chef to accommodate the guests’ tastes, and also to showcase the wines produced on the farm. Mark will present nine Hawksmoor wines in sets of three; comparing and contrasting in a relaxed environment enabling guests to learn more about different cultivars, oaking methods and to generally just enjoy tasting wine.

The lot is valid for one calendar year from date of purchase, and use thereof is governed by availability of the manor house considering previous bookings, functions, etc, on the same basis as outlined on the website. The lot excludes Christmas and New Year. Should Mark and/or Simon not be available to host, the guesthouse manager will stand in for them.

Due to the popularity of the guesthouse, it is recommended that the buyer make contact very soon after buying the lot to secure a date that would accommodate everyone happily.

The remaining nine rooms of the guesthouse in the outbuildings will continue to trade normally for the weekend, but should the buyer wish to book them at their own cost to increase the size of his or her group, we are open to discuss this,as this could make for an even merrier country weekend for the lucky bidder.

A hungry child cannot learn. R100 000 provides 35 000 freshly prepared, nutritionally fortified meals by the Lunchbox Fund to 175 at-risk and vulnerable school learners every day for a year.

LOT 2

Trauma is a barrier to learning for thousands of children in the winelands. This lot provides 500 hours of counselling for children, at their school, by qualified Community Keepers psychologists, counsellors or social workers. This is a gift of psychosocial support which assists traumatised children to enjoy a happier education journey.

LOT 3

This lot pays for 20 computers and covers the cost of their installation at a school. This process is facilitated and managed by the Click Foundation.

LOT 4

Lack of safe, reliable transport is a barrier to many children getting to school daily. In the winelands attendance rates during the winter and on rainy days are much lower, indicating how many children walk to school every day, often over great distances. This lot provides safe and reliable transport services to 80 children in the Winelands for a year.

LOT 5

R100 000 provides four classrooms from Grades R to three with Library Corners, including reading books, floor cushions, mats, easels for big books, posters and teacher packs, and individual fully-illustrated dictionaries for each child.

LOT 6

R100 000 trains 42 Early Childhood Development (ECD) practitioners and provides them with the necessary resources to run quality ECD programmes.

LOT 7

R100 000 provides 100 children with the uniform essentials they need to attend school in comfort and with dignity and a sense of pride.

LOT 8

R 100 000 funds a pre-school centre for 50 children for a year. This includes the provision of educational resources, stationery and furniture.

The Cape Wine Auction Trust will issue the successful bidder of each auction lot with a section 18A receipt for the difference between the price of the winning bid and the market value of the lot.

A bona fide donation may be made in cash or property to be used by the Cape Wine Auction Trust in performing approved public benefit activities.

For these donations the Cape Wine Auction Trust will issue the donor with a section 18A receipt for, in the case of a cash donation, the cash amount donated to the trust, or in the case of a donation of property, the value of such property.

The donor may deduct the amount reflected on the section 18A receipt from taxable income if actually paid during the year of assessment.

The amount to be deducted is limited to the value of 10% of the taxpayer’s taxable income. Any excess amount exceeding the 10% threshold, may be carried forward to the succeeding year of assessment.

Example: A taxpayer donates a cash amount of R50 000 together with a delivery vehicle (which has a market value of R100 000) to the Cape Wine Auction Trust as bona fide donations; The trust will issue such donor with a section 18A receipt to the value of R150 000, which may be utilised against the taxable income of the donor.

A donation or contribution will not qualify for a deduction if it is not used by the Cape Wine Auction Trust in performing approved public benefit activities, e.g. if it is used as an auction lot item.

Example: Successful bid at R100 000 for a lot; Market value of R20 000 for the lot; The Cape Wine Auction Trust will issue the successful bidder with a section 18A receipt to the value of R80 000, which may be utilised against the taxable income of the successful bidder.

What about other payments or contributions to the Cape Wine Auction Trust?

Other payments or contributions to the trust not qualifying as bona fide donations as set out above might potentially qualify as a deduction in terms of section 11a under certain circumstances, e.g. a donated auction lot item might qualify as a tax deductible advertising or marketing expense. Please consult your tax advisor in this regard.

3.6. Lots are sold by the highest Bid (subject to a Bid equal or greater to the Reserve Price being made, if applicable), whether the Bid be equal to the real value of the Lot or not.

3.7. Upon the Auctioneer accepting a Bidder’s offer in the aforesaid manner, a contract of sale shall become binding between the Seller and the Purchaser in respect of the Lot. Such contract of sale shall be in accordance with the terms of this Agreement and any other terms and conditions pertaining to the Lot, as may be communicated in the Catalogue or otherwise.

3.8. The risk in and to Lots shall pass to the Purchaser immediately upon the Auctioneer accepting its Bid in respect of that Lot.

4. Lots

4.1. The Auctioneer may withdraw or split up a Lot at any time before a final Bid is accepted in respect thereof.

4.2. It is the responsibility of the Bidder to appraise itself of the terms and conditions that may be applicable to a Lot, as set out in the Catalogue or otherwise communicated.

4.3. In the event that a Lot that has been sold to the Bidder is unavailable for delivery, the Trust shall endeavour to find a replacement that is acceptable to the Bidder, failing which the Trust shall be entitled to unilaterally rescind the sale of the Lot and refund the Bidder any amounts paid, should the Bidder so demand in writing.

4.4. All Lots sold at the Auction are as between the Trust and the Bidder sold on a voetstoots (“as is”) basis and the Trust makes no representation or warranty in respect thereof. Without limiting the aforegoing, the statements made by or on behalf of the Trust or Auctioneer in respect of Lots are mere statements of opinion and the Bidder agrees to examine and appraise itself of the Lot without reliance on the aforegoing statements of opinion.

5. Catalogue

5.1. The Trust reserves the right to withdraw any Lot at any time prior to the sale of that Lot without prior notice.

5.2. The Trust reserves the right to amend the Catalogue at any time prior to the sale of a Lot, provided that the Auctioneer shall announce such amendments prior to the Lot being auctioned.

6. Absentee Bids

6.1. A person (hereafter “Bidding Agent”) may apply to the Trust in the prescribed manner to Bid on behalf of another person (i.e. “Bidder”) not in attendance at the Auction (hereafter “Absentee Bid”).

6.2. The Bidding Agent shall be jointly and severally liable with

the Bidder (i.e. the principal) to the Trust for compliance with the terms of this Agreement and specifically to honour the Bid.

6.3. Notwithstanding the provisions of clause 6.1, the Trust and Auctioneer reserve the right to reject any Absentee Bid in their sole discretion.

6.4. In the event that someone purports to represent another without having sought and obtained the approval set out in clause 6.1, such person shall be personally liable for compliance with the terms of this Agreement and specifically to honour the Bid.

7. Telephone Bids

7.1. Provided that advance notice of such bid has been provided to the Trust in writing at least 24 (twenty-four) hours before the Auction and the Bidder has agreed to this Agreement to the satisfaction of the Trust, a Bid by way of telephone (hereafter “Telephone Bid”) shall be allowed at the Auction.

7.2. Each Telephone Bid shall be subject to the availability of a fully functional and operative telecommunication line and the person so bidding accepting the terms and conditions of this Agreement and being registered in accordance with the prevailing requirements of the Trust.

7.3. Any Bidder wishing to Bid by way of Telephone Bid consents to the Trust recording such Telephone Bid.

7.4. Notwithstanding the provisions of this clause 7, the Trust and Auctioneer reserve the right to reject any Telephone Bid in their sole discretion.

8. Disputes as to Bids

8.1. The Auctioneer, acting as expert and not as arbitrator, shall be entitled to summarily rule in his or her sole and unfettered discretion on any dispute or uncertainty pertaining to any Bids during the continuance of the Auction.

8.2. Without limiting the immediately preceding clause, the Auctioneer shall be entitled to accept a different Bid as the winning Bid, resubmit a Lot to auction and/or divide a Lot into smaller lots for Auction.

9. Payment and delivery

9.1. The Purchase Price becomes payable immediately by a Bidder upon the Auctioneer accepting its Bid and shall be paid in full no later than 14 (fourteen) days after receipt by the Bidder of an invoice issued by the Trust.

9.2. Ownership of all Lots are reserved to the Trust and/or Seller until paid for in full by the Purchaser.

9.3. The Purchaser shall make payment by credit card or

Terms & Conditions of Sale1. Definitions

1.1. In this Agreement the following definitions, as capitalised, shall have the meanings assigned to them:-

1.1.1. “Agreement” means the agreement embodied in this document.

1.1.2. “Auction” means the Cape Wine Auction event, which is hosted by the Trust.

1.1.3. “Auctioneer” means the Trust’s nominated auctioneer at the Auction.

1.1.4. “Bid” means an offer made by a Bidder to purchase a Lot.

1.1.5. “Bidder” means the Trust’s counterparty to this Agreement, namely any person or entity that wants to Bid at the Auction.

1.1.6. “Business Day” means any day which is not a Saturday, Sunday or official public holiday in the Republic of South Africa.

1.1.7. “Buyer’s Premium” means a premium added to the sale price of a Lot by agreement with the Bidder.

1.1.8. “Catalogue” means a catalogue setting out the details of the Lots to be sold at the Auction, which may include the terms and conditions associated with the purchase of such lot.

1.1.9. “Lot” means a lot of goods and/or services offered up for auction at the Auction.

1.1.10. “Parties” means the Trust and the Bidder and “Party” refers to any one of them as the context may indicate.

1.1.11. “Prime Rate” means the publicly-quoted prime overdraft rate charged by Absa Bank Limited from time to time, calculated daily and compounded monthly, and in the event of a dispute arising between the Parties as to the aforesaid rate of interest, a certificate issued by any branch manager of the said bank confirming the rate shall be evidence of such rate until proven otherwise (i.e. prima facie proof).

1.1.12. “Purchase Price” means the price finally accepted by the Auctioneer in respect of a Lot, plus the Buyer’s Premium, the Recoverable Expenses and value-added tax on all of the aforesaid to the extent the latter is applicable.

1.1.13. “Purchaser” means in relation to a Lot, the Bidder whose Bid is ultimately accepted by the Auctioneer.

1.1.14. “Recoverable Expenses” means the Auctioneer’s commission, packing, handling and freight charges, as well as insurance costs, if any.

1.1.15. “Reserve Price” means in relation to a Lot, the confidential reserve price which is the minimum price payable for that Lot to be sold at the Auction.

1.1.16. “Seller” means the seller of any Lot.

1.1.17. “Signature Date” means the date of signature by the last Party in time to do so.

1.1.18. “Trust” means the Cape Wine Auction Trust, a trust duly incorporated in terms of the laws of the Republic of South Africa under registration number IT000532/2014.

2. Auction

2.1. The terms and conditions set out in this Agreement govern the Bidder’s participation at the Auction.

2.2. If the Bidder does not accept the terms and conditions of this Agreement in full, the Bidder may not participate in the Auction.

2.3. The Bidder’s attention is drawn to the terms in bold, as such terms could limit the Bidder’s rights or place obligations on it that should be noted.

3. Sale of Lots at Auction

3.1. At the Auction, the Auctioneer acts as the agent of the Trust and shall auction the Lots.

3.2. Only Bidders that have registered in accordance with the prevailing requirements of the Trust shall be permitted to Bid on a Lot.

3.3. Neither the Auctioneer nor the Trust shall directly or indirectly Bid on a Lot.

3.4. A Bid may be retracted by a Bidder any time before it is accepted by the Auctioneer by the fall of the hammer or in another customary manner, provided that such retraction is clearly and unequivocally brought to the attention of the Auctioneer.

3.5. Where a Reserve Price applies, the Auctioneer shall inform Bidders of the fact (without disclosing the amount of the Reserve Price) immediately before the Lot is put to auction and the Auctioneer shall not sell the Lot unless the Reserve Price is met.

14. Interpretation

14.1. In the event of conflict between the terms of this Agreement and the terms and conditions of a Lot, the terms of this Agreement shall apply to the extent of such conflict.

14.2. Any reference to an enactment is to that enactment as at the Signature Date and as amended or re-enacted from time to time.

14.3. When any number of days is prescribed in this Agreement, it shall be reckoned exclusively of the first and inclusively of the last day unless the last day falls on a day which is not a Business Day, in which case the last day shall be the following Business Day.

14.4. Where figures are referred to in numerals and in words, if there is any conflict between the two, the words shall prevail.

14.5. The rule of interpretation that the contract shall be interpreted against the Party responsible for the drafting and preparation thereof (the contra proferentem rule) shall not apply.

14.6. Unless the context shows otherwise, a clause which includes a specific example or examples shall not be construed as limiting the meaning of the general wording preceding it (i.e. the application of the eiusdem generis rule of interpretation is excluded).

14.7. The termination or expiry of this Agreement shall not affect those provisions which expressly provide that they will continue to operate after such termination or expiry, or those provisions which of necessity must continue to have effect after such termination or expiry, even where those clauses do not expressly provide for this.

14.8. In the event that any right or remedy is expressly stated to be available to any of the Parties in particular circumstances, such right or remedy shall be available without prejudice to or limitation of any other right or remedy that may be available to that Party in such circumstances, unless the contrary is expressly stated.

15. General

15.1. Applicable law. This Agreement shall be governed by and construed and interpreted in accordance with the laws of the Republic of South Africa. Unless and to the extent expressly agreed otherwise in this Agreement, the Parties agree that the High Court of South Africa, Western Cape Division, shall have exclusive jurisdiction to hear any disputes that may arise from this Agreement.

15.2. Independent advice. Each of the Parties acknowledges that it has been free to secure independent legal advice and that it has either taken such independent legal advice or dispensed with the necessity of doing so at its own risk.

15.3. Whole Agreement. This Agreement constitutes the whole agreement between the Parties as to the subject matter hereof. None of the Parties shall have any claim or right of action arising from any undertaking, representation or warranty not included in this Agreement.

15.4. Variation. No addition, change, supersession or cancellation of this Agreement, nor any waiver of any right arising from this Agreement, shall be of any force or effect unless reduced to writing and signed by the Parties with a wet ink signature.

15.5. Relaxation. No failure or delay on the part of any Party to enforce its rights shall in any circumstances be construed as a consent, election, limitation or waiver of rights by such Party.

15.6. Cost of legal services. Should any Party instruct attorneys to take any steps to enforce any rights in terms of this Agreement arising from a breach thereof, then the breaching Party shall be liable for all legal and incidental costs, including legal fees on the attorney and own client scale, collection commission and tracing charges.

15.7. Authority to sign. The person signing this Agreement on behalf of any one of the Parties expressly warrants his or her authority to do so. The signature of witnesses is not a precondition to the validity of this Agreement.

15.8. Signature in separate counterparts. This Agreement may be executed in separate counterparts which, together shall constitute one and the same Agreement as at the Signature Date.

9.4. Payment shall be deemed to have been made when the Trust’s aforesaid nominated bank account is credited with the funds.

10. Breach

10.1. In the event that the Bidder breaches any of the terms of this Agreement and fails to remedy such breach within 7 (seven) days written notice by or on behalf of the Trust, the Trust shall be entitled without prejudice to any other rights or remedies which the Trust may have in law or otherwise (including the right to claim damages) to sue for the immediate specific performance of any obligations under this Agreement or to cancel this Agreement, which cancellation shall take effect on the giving of the notice of cancellation.

10.2. The Purchaser of a Lot hereby grants a lien and pledge over any Lots purchased by the Bidder as covering security for its due compliance with the terms of this Agreement.

10.3. Any amounts that are overdue by the Bidder shall attract interest at the Prime Rate plus 8 (eight) percent, calculated daily and capitalised monthly. If the aforegoing rate exceed the maximum permitted by applicable law, then such maximum shall apply.

11. Limitation of liability

11.1. While care is taken in the preparation of the Catalogue, the Trust, Auctioneer and their executives, staff and agents shall not be liable for any claim, cost, expense, damage, injury or other adverse consequence (hereafter collectively “Adverse Consequences”) arising from the Catalogue not being accurate. Without limiting the aforegoing, the Trust shall not be liable for any inaccuracy in the description of the Lots in respect of the origin, rarity, age, genuineness, quantity, aging potential, present and future quality or condition.

11.2. To the maximum extent permitted by applicable law, the Trust, Auctioneer and their executives, staff and agents shall not be liable to the Bidder for any Adverse Consequences whatsoever, inclusive of any direct or indirect, consequential, punitive or special damages.

11.3. To the maximum extent permitted by applicable law, the Trust, Auctioneer and their executives, staff and agents

shall not be liable to the Bidder or its principal (should the Bidder act on behalf of a principal) for any errors, omissions or any other Adverse Consequences whatsoever arising from any Absentee Bid or Telephone Bid.

12. Indemnity

12.1. The Bidder agrees to indemnify the Trust, Auctioneer and their executives, staff and agents against any Adverse Consequences that may arise from the Bidder’s participation in the Auction, the determination of any disputes by the Auctioneer or breach of the terms of this Agreement.

13. Notices and address for services

13.1. The Parties choose as their address for service and/or receipt of notices (i.e. domicilia citandi et executandi) for all purposes under this Agreement, whether in respect of court process, notices or other documents or communications of whatsoever nature, the addresses set forth in this Agreement, provided that any notice or communication required or permitted to be given in terms of this Agreement shall be valid and effective only if in writing and delivered to the relevant Party’s physical address or email address (hereafter each a “Notice Address”).

13.2. Any Party may by notice in writing to any other change its Notice Address, provided that in respect of its physical address, such address should be in the Republic of South Africa and not a forwarding address. The change shall become effective on the 7th (seventh) Business Day from the deemed receipt of the notice in accordance with clause 13.3.

13.3. Unless the contrary is proved by a recipient, any notice to a Party to a Notice Address on Business Days:

13.3.1. delivered by hand to a responsible person at its physical address shall be deemed to have been received on the day of delivery; or

13.3.2. sent by email shall be deemed to have been received on the date the message left the sender’s email system, as may be optionally evidenced by a delivery or read receipt emanating from the recipient’s email system.

13.4. In the event a facsimile or email notice to a Party is delivered later than 17h00 in the recipient’s time zone, delivery shall be deemed to have taken place on the next Business Day.

13.5. Notwithstanding anything to the contrary, a written notice or communication actually received by a Party’s nominated reference or functionary in this Agreement shall be an adequate written notice or communication to it, notwithstanding that it was not sent to or delivered at a Notice Address.
