KeystonePrecisionInstruments(lessor)herebyrentstotheindividualorcompanynamed(lessee),effectiveonthedatethisagreementisacceptedbylesseeanduponthetermsandconditionshereincontained,theequipmentde-scribedontheagreementattheratesetforth.Thelessorisprovidingtheequipmentfromitsownstocksorhasar-rangedfortheequipmenttobefurnishedtolesseebyathirdparty.Onanyeventtheequipmentremainsthepropertyofthelessororthirdparysupplier.Rentalpaymentswillbemadeatlessor’saddressasshown.Applicablesalestaxwillbeaddedtotherent.Lesseealsoagreestopaydeliveryandpick-upchargesandforcleaning,repair,orreplace-mentifnecessary. AcceptanceDateandTermination:Rentshallbeginandlessee’sacceptanceshallbeonthedatetheequipmentisshippedto/deliveredto/pickedupbyleseeandshallterminateonthedatetheequipmentisreturnedtothelessororsupplier. WarrantyofCondition:Lessorwarrantsequipmenttobeingoodworkingorderwhendelivered.Byacceptanceofdeliveryoftheequipment,lesseeagreesthattheequipmentisingoodworkingorder,repair,conditionandappear-anceandinallrespectsissatisfactorytolessee.Anymalfunctionwillbeimmediatelyreportedtolessorforrepairorreplacement,orequipmenttentwillcontinuetoaccrue. LegalTitle:Legaltitlewillremainwiththelessororthirdpartysupplierduringthetermofthisagreement.Lesseewillkeeptheequipmentfreeofallliens,levies,andencumbrances.Nopurchaseorrecaptureoptionsareintended,ex-pressedorimplied,unlessspecificallycontractedbyaseparatewrittenagreement.Thisrentalagreementshallnot,inanyway,beconsideredaconditionalsalescontract.Lesseeshallnotacquireherebyanyright,title,orinterestintotheequipmentortheproceedsofsaleofthesame. Indemnity:Lesseeherebyindemnifiesandshallholdlessororitssupplierharmlessagainstanyandallclaims,de-mands,liabilities,losses,damagesandinjuriesofanykindornaturewhatsoeverrelatingtoorinanywayarisingfromtheordering,acquisition,delivery,installation,possession,maintenance,use,operation,control,loss,damage,descru-ction,orteturnoftheequipmentoranypartthereof. Default:Ifatanytimelesseefailstomakepaymentshereunderwhendue,orviolatesanyothertermsofthisagree-ment,lesseeshallbeindefault.Iflesseeisindefault,lessormaytakepossessionoftheequipment,withorwithoutlegalactionandwithoutnoticetoorconsentoflessee,andforthatpurposemayenteruponanypremisesownedorleasedbylesseewithoutliabilityforanydamagesoccasionedtherebyLesseeshallberesponsibleforallexpensesoflessorinsuchtakingofequipment. LossofDamage:Lessorshallberesponsibleforlossofordamagetotheequipmentfromthetimetheequipmentleavesthepremisesofthelessoruntildeliveryoftheequipmenttothelessee.Lesseeshallberesponsibleforlossofordamagetotheequipmentfromthetimethelesseereceivestheequipmentuntilreturndeliveryoftheequipmenttothelessor.Lesseeshallbeliableforanyloss,theft,destruction,ordamagetotheequipment,includingdamagefromunauthorizedattemptstorepair.Allequipmentlostordamagedbeyondrepairshallbepaidforbythelesseeatthecurrentreplacementvalueofcomparablemodel(s)fromthemanufacturer.Allreparable,damagedequipmentmustberepairedonlybythelessororitsdesignatedagentsandthecostofsuchrepairsshallbepaidforbythelessee.Wearandtearresultingfromreasonable,normaluseoftheequipmentisexcepted,Lesseeagreestobeabsoluteinsurerofequipmenttoprotectagainstaccidentaldamage,fire,theft,andvandalism. PaymentPolicy:Adepositwillbeexpectedfromlesseeswhichhavenocurrentcreditaccountwithlessor.Thedepositmustbecash,check,moneyorder,VISA,orMasterCard.Lessordoesnotaccepttradeininstrumentsorequipmentorpropertyascollateralorasadeposit.Alllesseeswithcurrentcreditaccountsingoodstandinghavetermsofnet30daysfrominvoicedate;delinquentthereafter.Interestatperiodicrateof1.5%permonth(18%perannum)willbechargedonallpastdueaccounts RentalPendingRepairTerms:ServiceEstimatemustbeapproved(ordisapproved)within7businessdaysorthechargewillreverttoadailyrentalrate.Whenthelesseereceivestheirequipmentbackfromservice,therentalmustbereturnedwithin2businessdaysorthechargewillreverttoadailyrentalrate. Miscellaneous:Ifassignmentorlegalactionisnecessarytoenforcethisagreement,lesseeshallpayalloflessorsin-curredcollectionfees,attorneyfees,costsandexpenses,regardlessofwhethernecessarytothesuccessfulresult.ThisagreementshallbeinterpretedaccordingtothelawsoftheCommonwealthofPennsylvania. KEYSTONE RENTAL DAMAGE PROTECTIONTheKeystoneRentalDamageProtectionProgramisanOPTIONALDamageWaiverthatmaygreatlyreducetheles-see’scostsassociatedwithdamagedrentalinstruments.Ifthelesseechoosestoadddamageprotectiontotheirrentalcontract,thecostofthedamageprotectionservicewillbe10%oftheinstrument’srentalcontractprice.Shoulddam-ageoccurduringthecontractperiod,thelesseewouldberesponsiblefor10%oftherepaircost,or10%replacementcostiftheinstrumentisdeemednotrepairable.Ifthelesseedeclinescoveragethentheservicewillnotbeaddedtothecustomer’scontractandthenormaltermsofthecontractwouldstillapply.Seethe“LossofDamage”clauseaboveformoreinformation.ItemsCovered:Accidentaldamageduetodrops,falls,vehiclehits,waterdamageandotherunexpectedoccurrencesofphysicaldamage.Exclusions:TheDamageProtectionprogramdoesnotcoverloss,ortheftofrentalequipmentorinstruments.KeystoneDamageprotectioncoversrentalinstrumentsonly,anddoesnotcoveranyaccessoriesthataccompanytheinstrument.Thecustomermustbeusingtheirequipmentinaccordancewiththetermsoftherentalcontract.
