Chandler Barton Spirit Award Chandler Barton, president of Coldwell Banker Real Estate LLC from 1989 to 1996, provided strong leader-ship, vision and a highly effective managerial style, delivered by an engaging personality with a “Can Do” attitude. He led the company’s efforts in creating the most renowned real estate franchise organization of its kind while accelerating strategic growth. Holding steadfastly to business goals, Chandler Barton’s spirit has left a lasting impression on the COLDWELL BANKER® System.

Selected from nominations submitted, this award is presented annually to the sales associate/representa-tive, manager, broker, owner or employee, who exemplifies Chandler Barton’s “Can Do” attitude and holds firmly to a business purpose through innovation, creativity and the drive to persevere, despite obstacles or setbacks.

The recipient of this award should exhibit the following attributes:

Preserving the Trust Award Every community has local stars whose mission it is to help others achieve the dream of homeownership. These professionals make it their personal goal to ensure that this “dream” becomes reality for all they serve.

The Preserving the Trust Award honors this quality, leadership, and excellence among professionals in the real estate industry who have championed the cause of equal opportunity and independence for those in need of housing assistance or expertise.

In recognition of these efforts, the Preserving the Trust Award is presented annually to the sales associate/representative, manager, broker, owner or employee who has demonstrated a commitment to the advancement and equality of home ownership for all by addressing social issues among prospective customers, their peers and their community. This spirit of humanity has contributed to making their communities a better place to live by:

• Promoting mutual understanding, collaboration and extraordinary customer service among those they serve thereby establishing “customers for life”.

• Contributing to the promotion of home ownership through housing initiatives.

• Educating the public on the meaning and importance of home ownership and the pride it brings to those who have never had the opportunity to own a home.

• Promoting respect for the human being as an individual in the process of obtaining housing.

Glossary of Award TermsAdjusted Gross Commission: The income received after outgoing referral fees and outside broker splits have been deducted.*

Company: A collection of individual offices operating under one entity and common ownership.

Competitive Awards: Ranking awards (i.e., Top Ten)

Designation Awards: Criteria awards (i.e., International President’s Elite)

International Master Franchise: Countries/territories who have purchased the right to franchise the COLDWELL BANKER® name outside of the United States of America and Canada.

Listing Units: Listings Sold or Listing Sides

North America: Applies to competing companies, offices, teams and sales associates/representatives within the U.S. and Canada only. International Master Franchise Territory companies, offices, teams and sales associates/representatives are not included in these awards.

Office: An individual residential real estate center operating as a single entity.

Office Size Category: A category which represents the average number of residential sales associates in a single office over the course of a year for the purpose of providing awards credit by office size.

Region/Regional/Regionally: Applies to the three COLDWELL BANKER U.S. geographic regions (Northern, Southern, Western) and Canada as the fourth region. NRT LLC offices and sales associates/representatives located within a Region’s geographic territory are not included in these awards. Offices and sales associates/representatives of COLDWELL BANKER International Master Franchise Territories are not eligible for these awards.

Rookie: A sales associate who has been newly licensed within the 18 months preceding the conclusion of the 2012 calendar year. This particular definition only applies for the purpose of recognition awards.

Sales Associate/Representative Prior Production: Sales production achieved by sales associates/representative within the calendar year prior to their affiliation with COLDWELL BANKER.

Selling Units: Buyer Controlled Sales or Selling Sides

Team: Two or more individuals working together as one entity whose production is the culmination of more than one licensed individual/representative.

Total Units: Closed Revenue Units. The combination of Listing Units and Selling Units. Each transaction involves two revenue units. *Individual office franchise agreements dictate how outgoing referral fees will be calculated.

INTERNATIONAL AWARDS PROGRAMRules & Guidelines The 2012 International Awards & Recognition program describes and outlines the recognition eligibility requirements for companies, offices, teams and sales associates/representatives and applies to calendar year 2012 performance. It is the sole responsibility of each Responsible Broker (broker of record) and Owner to understand and comply with all of the rules and guidelines as set forth. Companies not meeting all requirements, as outlined herein, will not be eligible for recognition at any level which includes companies, offices, teams and sales associates/representatives. The 2012 International Awards Program Rules and Guidelines may be revised at any time and are subject to change without notice.

All decisions pertaining to the interpretation and application of any rule or phrasing of a guideline in this program will be at the discretion of the Awards & Recognition Department and shall be deemed final in all matters.

Franchise Compliance:

• In order to be eligible for any 2012 award rankings, designations, recognition or awards events, companies/offices must be in full compliance with their individual franchise agreement and current on all financial and legal obligations to Coldwell Banker Real Estate LLC. This includes transaction, royalty and NAF fees, as well as promissory notes, any other related payment arrangements/agreements and stipulations governed in their individual franchise agreement.

• All offices within a company must be in good standing at year-end in order for each company, office, team and sales associate/representative to be eligible for 2012 recognition. Companies on awards suspension for seven or more months during the calendar year 2012 will subsequently be excluded from all 2012 annual award rankings and designations. This includes all company, office, team and sales associate/representative recognition associated with the suspended company/office.

• All transactions must be paid within a timely manner as defined by the franchise agreement. If the transaction payment is received after 45 days of the original close date or January 8, 2013, whichever comes first, the transaction will not be eligible towards rankings and designations for the remainder of the year. Please note that to be eligible for monthly award rankings, transactions MUST be paid by the 5th business day following the month in which it closed.

Transactions: It is the sole responsibility of each office to accurately report, correct and pay transaction, royalty and marketing/advertisement fees in a timely manner as outlined by the franchise agreement and the 2012 awards rules. Coldwell Banker Real Estate LLC reserves the right to request additional documentation for any transaction to support the reported production.

• Transaction updates/corrections must be made within 45 days of the original close date and must be accompanied by supporting documentation or copies of commission checks. No changes to a transaction will be counted for awards eligibility after 45 days from the original close date.

• Awards credit will not be granted for underpaid transactions. Only transactions that are paid in full (and within 45 days of closing timeframe) will be counted towards 2012 awards.

• Awards credit will not be granted for transactions closed in a prior year regardless of when payment is made.

• All unreported and underreported transactions discovered through an audit procedure are not eligible toward any company, office, team or sales associate/representative awards regardless of payment status.

General Business Rules: In order to be eligible for 2012 awards and recognition, each company, office, team and sales associate/representative must comply with the following guidelines:

1. The company, office, team or sales associate/representative must be actively affiliated with COLDWELL BANKER® at the time awards are presented.

2. Sales Associates/Representatives competing in the residential awards program must have an awards category of “Residential Sales Associate” within CREST EDG in order to be awards eligible. If a Commercial Agent is found to have a “Residential Sales Associate” title, the Awards Department reserves the right to change the awards position category without notice to the office or agent.

3. COLDWELL BANKER COMMERCIAL® sales associates/representatives may not compete in the residential awards program.

4. Individuals responsible for the day-to-day management of an office are not eligible for International, North American, Regional or State/Province Competitive Sales Associate/Representative or Team Awards. Any competing responsible broker, owner or manager who is found to be managing an office directly will be removed from competing in any award rankings. However, they will still be eligible for Sales Associate/Representative or Team Designation Awards.

5. Other income such as Leasing, Property Management, Consulting, Rental, Referral, and Appraisal income must all be reported, closed and paid within 45 days of closing during calendar year 2012 or by January 8, 2013, whichever comes first. To be included for monthly awards credit, payment resulting from Other Income transactions must be received by the 5th business day following the month in which it closed.

6. Other Income is included for all company, office, sales associate/representative and team awards rankings and designations. The income produces AGC credit only. Total Units credit is not earned for Other Income.

7. Transactions for Chairman’s Circle and President’s Award of Honor designations must be reported, closed and paid within 45 days of closing or by January 8, 2013, whichever comes first. Transactions paid after January 8, 2013 will not be counted for these designations.

8. Any Chairman’s Circle company who attends the COLDWELL BANKER COMMERCIAL Elite Conference may not use commercial income as qualifying income for attendance to the COLDWELL BANKER Chairman’s Circle Conference.

9. The COLDWELL BANKER Chairman’s Circle Conference is an owner-only attended event. Invitations are transferable only to other owners of the same company, provided approval is received by Senior Management (VP and above) of Coldwell Banker Real Estate LLC headquarters.

10. In order to be eligible for 2012 Competitive Sales Associate/Representative and Team Awards, transactions must generate a minimum of $750 in Closed Adjusted Gross Commission per sales associate/representative per side. This rule does not apply for Sales Associate/Representative or Team Designation Awards nor does it apply to Other Income transactions.

11. Award credit for Adjusted Gross Commission and Total Units is calculated based on the percentage in which the sales associate/representative participated in the transaction side. For example, if the sales associate/representative participates 50% on the listing side of a transaction, he/she will receive half a Unit credit (50%) and half of the total Adjusted Gross Commission. Subsequent splits are calculated accordingly for Adjusted Gross Commission and Total Units.

12. For an in-house sale, whatever list and sell side commissions are entered through the reporting system will become the Adjusted Gross Commission awards credit on each side. The awards credit from the list and sell side commissions are then split according to the participation percentage by each agent. For example, for an in-house sale that generated $6,000 in total commissions where the list side commission was $2,000 and the sell side commission was $4,000, the list side’s commission of $2,000 would be split according to each sales associate’s/representative’s participation on that side and vice-versa. If Agent One produced 20% of the list side, they would receive 20% of the Adjusted Gross Commission and 20% of the List Side unit credit, $400 and 0.2 units, respectively.

13. In the event of a tie, Closed Adjusted Gross Commission will serve as the tiebreaker for unit production based awards.

14. When working with a FSBO (For Sale by Owner), the agent must have listed the property and performed real estate services representing the seller (FSBO) in order to receive awards credit on the selling side. Acting as a transaction or contract coordinator, does not qualify the sales associate/representative to receive awards credit.

15. In order for awards credit to be granted for any transaction, that transaction must have generated a commission.

16. For Top North American, Regional and State/Province Competitive/Ranking Awards, no production prior to affiliation with COLDWELL BANKER® will be counted. However, prior production may be counted for Sales Associate/Representative and Team Designation Awards if verified by the Owner, Responsible Broker or Residential Office Manager. Prior production must be submitted for sales associates/representatives/teams of a new COLDWELL BANKER office or new sales associates/representatives/teams joining an existing COLDWELL BANKER office. It is the responsibility of each Affiliate to report this information to the Awards & Recognition Department before December 1, 2012.

17. Teams and sales associates/representatives will only be awarded one designation award based on their highest level of Adjusted Gross Commission (AGC) or Total Units. Use of COLDWELL BANKER award designation logos must be approved by the COLDWELL BANKER Awards Department and may not be altered or reproduced in any way.

18. All company, office, team and sales associate/representative designations are awarded on an annual basis and must be earned based on the current calendar year’s sales production to retain designation status and use of the corresponding awards designation logos. Prior awards designation status does not apply year to year.

19. Anyone found to be misrepresenting their awards status by promoting themselves in a level or ranking they did not achieve, will be disqualified from participation in any future awards rankings or standings. This includes misuse of any of the award designation logos, award winner logos, and advertisements without proper disclaimers.

20. The official list of company, office, team and sales associate/representative designation winners are generated by the Awards & Recognition Department of Coldwell Banker Real Estate LLC. This list supersedes any previous designation lists or lists produced by an individual COLDWELL BANKER® office or company.

21. For recruiting and retention awards, only mergers and acquisitions involving a COLDWELL BANKER office/company with an independent, non-affiliated office/company, will be considered for qualification.

22. Office size is determined by the number of full-time and part-time residential sales associates/representatives averaged during the past twelve months and rounded to the nearest whole number. Residential agents assigned after the fifteenth of a month and/or deactivated prior to the sixteenth of a month are not counted for that current month in the office size calculation. This applies to each month of the rolling average. The six office size categories are as follows:

• Office Size Category One: 1 to 10 Sales Associates/Representatives• Office Size Category Two: 11 to 20 Sales Associates/Representatives• Office Size Category Three: 21 to 35 Sales Associates/Representatives• Office Size Category Four: 36 to 50 Sales Associates/Representatives• Office Size Category Five: 51 to 100 Sales Associates/Representatives• Office Size Category Six: 101 or more Sales Associates/Representatives

23. In November, year-to-date October production verification assessments will be emailed to Affiliate brokers for their companies, and top producing Sales Associates/Representatives and Teams. It is the Affiliate’s responsibility to review these reports, verify awards production, and report any discrepancies to the Real Estate Financial Services department at 1-800-368-4202 and the Awards & Recognition Department at [email protected]. Please note that REFS applies the changes and corrections while the Awards & Recognition Department recalculates the production involved in the transactions that received changes. Comparisons against the Awards Eligibility reports available in the Reports-Month End section of CREST EDG are recommended, as well as a monthly review of the designation award “Pacing” status for company, offices, teams and sales associates/representatives in Awards Tracker on coldwellbankerworks.com.

24. Companies, offices, teams and sales associates of the COLDWELL BANKER International Master Franchise Territories participate in the following awards only:• International Master Franchise Sales Associate Award• International Master Franchise Office Award• Team and Individual Sales Associate Designation Awards• Chairman’s Circle• Special International Nomination Awards

25. All dollar amounts for International Master Franchise Awards are expressed in U.S. Dollar currency.

26. The deadline for all Special International Award nominations is December 1, 2012. Nomination forms may be accessed at coldwellbankerworks.com and should be faxed to 1-866-890-8656 or submitted directly online.

29. Any federal, state or local tax liability imposed on the value of any award or incentive received through this program is the sole responsibility of the winner.

TEAM AWARDS Rules & Guidelines1. Teams consist of two or more licensed sales associates/representatives, participating on team

transactions. A licensed sales associate/representative with one licensed assistant is also considered a team unless that licensed assistant is only performing administrative duties and not tasks requiring a real estate license. Teams may include non-licensed assistants; however, those assistants do not receive awards credit.

2. Licensed agents engaging in any “producing” activities that may constitute the production of a listing, sale offer or management contract on a real estate property are considered team members.

3. “Producing activities” are those for which a real estate license is legally required, and which contribute to the production of the team. (Due to varying state licensure laws, not all real estate activities that require a sales associate/representative license are considered “producing”) Producing activities include, but are not limited to the following:

a. Prospecting b. Coordinating and conducting open houses c. Showing listings d. Preparing or negotiating a listing, sale or management contract e. Assisting buyers or sellers with financial and/or legal services f. Conducting property management, rental, lease, consulting, referrals or

appraisal services

4. “Non-producing activities” consist of the following:

a. Putting up signs b. Record keeping c. Clerical paperwork d. Opening listing property doors for inspectors and other service individuals e. Preparing a comparative market analysis (CMA) f. Preparing listing presentations and advertisement/promotions

* Even if your state requires that an agent be licensed to conduct these activities, under the Team Awards Program they are considered “non-producing” real estate activities. If an experienced agent has a licensed agent conducting these types of activities ONLY, they are not required to register themselves as a team.

5. COLDWELL BANKER® Teams are defined as competing in the following ways: (Please note that these scenarios are not all-inclusive, but representative of the most common forms of teams.)

a. Sales Associates/Representatives who market or advertise themselves as a team with one or more agents

b. A licensed agent who gains the assistance of one or more sales associates/ representatives to perform “producing” activities such as: prospecting, coordinating and conducting open houses, showing listings, preparing listing/selling or management agreements or any activities requiring a real estate license

c. Top agent with multiple agents working for them who do not receive any awards credit or recognition, thereby acting as “silent” agents

d. Sales Associates/Representatives who have their own employees and are competing for awards

e. Any Sales Associate/Representative who contracts an outside individual to perform activities requiring a real estate license

f. Husband & wife, or family members working together (only applies if all members are licensed and performing duties requiring a license)

6. Sales Associate/Representative Teams will be considered for Team ranking and Team designation awards listed in this brochure. Sales Associate/Representative Teams are not eligible for Individual ranking and Individual designation awards.

7. To qualify for team awards, teams must be reported to Coldwell Banker Real Estate LLC during the enrollment period of March 1 and September 30, 2012 and may be done in either of two ways:

8. Any changes to Sales Associate/Representative Teams after September 30th must be made in writing and submitted to [email protected] and will be decided on at the discretion of the Awards & Recognition Department.

9. Sales Associates/Representatives who market or advertise themselves as a team with one or more Sales Associates/Representatives, must enroll and compete as a team for awards purposes. In addition, Sales Associates/Representatives who market themselves as an individual but perform business in a team capacity must also register and compete as a team.

10. Sales Associates/Representatives, who co-list on occasion, are not required to declare themselves as a team. However, if they are working on more than 25% of sales together, they are essentially working towards one common goal and are considered a team, for awards purposes.

11. Seasoned agents acting in the capacity of a mentor, and allowing a new agent to receive payments for accompanying them on listing/buyer appointments and/or open houses in a temporary arrangement simply to show the new agent “the ropes”, are not considered a team. If this arrangement continues for 3 months or more and/or the new agent is assisting the seasoned agent on all or most transactions, they are considered a team.

12. Sales Associates/Representatives who “team up” occasionally in a temporary situation for other agents on listing or selling transactions to ensure their clients’ services are maintained while they are out of town or unable to conduct business (for a shortened period of time), do not need to declare themselves as a team.

13. All teams must be registered through CREST EDG or through the Team Enrollment form located in the Awards Forms section of coldwellbankerworks.com.

14. All licensed sales associates who belong to a team must have an active sales associate record within CREST EDG and an individual CREST identification number.

15. The Awards & Recognition Department reserves the right to disqualify or exclude any person or persons misrepresenting themselves as an individual or team, with or without notice, from all awards rankings and designations.

16. For Team Designation awards, each team member will receive an online award certificate, a printed awards certificate and use of the award designation logo. For ranking awards, only one award will be granted to the team.

17. Prior production may be counted for Team designation awards. However, it will only count for existing teams at the time of affiliation, or for teams that are formed during the enrollment period. Team prior production must be submitted on or before the deadline date. All prior production forms must be accompanied by production summary verification.

18. Team members must be from the same COLDWELL BANKER® company.

19. Team members may only compete on one team at a time to receive awards credit.

20. Changes in Team status of any nature (i.e., change in office, team membership, team member termination, etc.) must be reported to the Awards & Recognition Department via email at [email protected] and must also be applied in the CREST EDG or 3PI reporting systems.

21. Residential teams are not eligible for commercial awards and vice-versa.
