With speculation suggesting a hard Brexit is on the horizon, companies in Scotland may be looking to complete any substantial transactions before the UK’s departure from the EU.

Research for Chambers UK, involv-ing thousands of interviews with clients all over Scotland and further afield by the biggest research team of its kind in the world, suggests that prominent transactional and contentious work is very much taking place.

Tech and energy drive marketCorporate deal activity was strong, but the challenge is to accelerate growth BY GEORGINA STANLEY

Scotland’s economy grew at a slow pace in 2017, with its annual GDP increasing by 0.8% (compared with 0.2% in 2016). Although its growth rate picked up, it still remains below longer-term trends. In addition, the economy lags behind the UK as a whole, which had a growth rate of 1.8% in 2017. A de-cline in construction output has been a factor behind Scotland’s sluggish performance, as has flat growth in the service sector.

Notwithstanding challenging condi-tions, independent forecasts suggest that the Scottish economy will have continued to grow throughout 2018, albeit at a modest rate. Although this will partly be attributable to strong global growth generally, there are other recent trends which point to the resilience of the domestic economy. In

Client demand is also shaping activity in the contentious market. As clients seek to avoid expensive and lengthy proceedings in court, there is a greater trend towards out-of-court settlement and alternative dispute resolution activity.

Aberdeen, economic sentiment in the oil and gas sector has improved (both in the production and supply chain sectors), as oil prices have steadily picked up.

Concerns over a second indepen-dence referendum and Brexit did not have a major impact on investment activity in Scotland in 2017. In the Central Belt, real estate investments continued apace, with currency fluctuations making the market for real estate assets attractive to foreign investors. Corporate deal activity was also strong, particularly in sectors such as food and drink, technology, and renewable energy. The longer-term challenge, however, will be to acceler-ate growth. The Scottish Fiscal Com-mission has predicted that the Scottish economy will grow at less than 1% per year until 2022.

The legal market in Scotland is as competitive as ever, representing an interesting mix of indigenous Scottish firms and London-headquartered/international firms. Addleshaw God-dard entered the market by merging with HBJ Gateley in June 2017, a development which was more recently

followed by Dentons formalising its combination with Maclay Murray & Spens LLP in October of that year. Pinsent Masons LLP and CMS have taken a significant share of the market since their respective mergers with McGrigors (in 2012) and Dundas & Wilson (in 2014).

CMS also merged with Nabarro and Olswang in May 2017, becoming the sixth largest law firm globally by headcount. Another London-based firm Bond Dickinson LLP, which opened an office in Edinburgh in Feb 2017, entered into a transatlantic merger nine months later with US firm Womble Carlyle Sandridge & Rice (the combined entity is now known as Womble Bond Dickinson (UK) LLP. DLA Piper Scotland LLP and DWF also have a presence in Scotland.

At Burness Paull LLP, chairman Philip Rodney and managing partner Ian Wattie stepped down, and were succeeded by Peter Lawson and Tamar Tammes respectively in August 2018. There has also been a notable manage-ment change at Brodies LLP, with Nick Scott taking over from Bill Drummond as managing partner.

In addition, Neil Kennedy has become the managing partner at Mac-Roberts LLP, following the end of John Macmillan’s second term in the role. Macmillan continues as an employ-ment partner. The firm has grown its family team and, in a separate develop-ment, expanded its debt recovery offering by acquiring specialist debt recovery firm Yuill & Kyle.

Another major player in the market is Shepherd and Wedderburn, whose operations in Scotland are comple-mented by it having a London base. Harper Macleod LLP is well-spread nationally, with offices in the Central Belt and the Highlands and Islands. Morton Fraser is another well-known firm and generates strong client feedback. Turcan Connell has an excel-lent private client offering. Outside of the Central Belt, Aberdein Considine, Ledingham Chalmers LLP, Stronachs LLP and Thorntons Law LLP are all highly regarded.

A busy time aheadLegal services reviewed, LawscotTech launched, and a 70th anniversary nearing

It’s important for all of us to take time to assess what is working and where improvements are needed to ensure continued success. There have been huge changes in the legal services market in recent years, which is why we have argued strongly for reform-ing the patchwork of legislation which covers legal services regulation in Scotland. The main legislation is almost 40 years old and no longer fit for purpose in many respects.

Change in the law is needed to allow the legal sector to thrive and ensure robust protections are in place for consumers. That change however, should not weaken public protection or risk higher costs for consumers. It’s why we have strongly disagreed with the primary recommendation in the recently published report from the independent legal services review, to create a new single regulatory body for Scotland.

We were pleased however, to see a

number of our carefully thought out proposals to improve the regulation of legal services have been recom-mended in the report, including the protection of the term ‘lawyer’, entity regulation, and ensuring all legal ser-vices are regulated. We look forward to engaging with Scottish Ministers, our members and other stakeholders on how best to protect legal services’ consumers while ensuring we have legislation which has sufficient flex-ibility to deal with the challenges of the future.

We will continue to encourage innovation and respond to the increasing role of technology within legal services and other sectors. The launch of LawscotTech aims to bring lawyers and tech experts together to develop products and services that will benefit the sector and its clients. It will support the most promising concepts and work with those in-volved to deliver them to the market.

Access to justice remains a priority and in response to the independent review of legal aid report Rethinking Legal Aid, we endorsed the call to simplify the system and reinvest any savings to ensure people can access the legal advice they need regardless of their financial situation or status in

society. However, we remain very con-cerned about fees and the long-term sustainability of legal aid practice. We are keen for a new fee review system to be taken forward promptly to en-sure fair and sustainable payment for solicitors doing legal aid work, often for some the most vulnerable people in our society.

Everyone in Scotland benefits from the legal aid system, as illustrated by our study – the first of its kind in Scotland – into the social return on investment of legal aid. In addition to identifying the benefits for individuals receiving legal aid – including posi-tive family relationships, better job prospects and better mental health – the research considered the impact on wider society, and highlighted a positive financial impact for the NHS, local authorities and prisons.

A big concern for us has been to find that a third of solicitors who participated in a survey this sum-mer had been victims of violence or threatening behaviour. The research underlined the urgent need to de-velop measures to minimise the risk of violence against people working in legal services.

In May this year, we launched Lawscot Wellbeing, a resource to

promote emotional wellbeing in the profession. The dedicated portal on our website provides help and guid-ance to individuals and also employ-ers. With one in five solicitors likely to be affected by a mental health issue at some point during their careers, the importance of providing such support cannot be underestimated.

One of the most rewarding aspects of my time as president has been to witness the development of the Lawscot Foundation, the charity we founded to help academically tal-ented students from less-advantaged backgrounds through their legal education journey. Now in its second year, Lawscot Foundation is support-ing 17 young people.

Considerable uncertainty remains over the UK’s withdrawal from the EU, and the possibility of no deal be-ing struck. However, we continue to monitor developments and promote the interests of the legal profession and the public as negotiations on Brexit continue. There is much to discuss and much work to be done as we approach 2019 – a year which will mark the Law Society of Scotland’s 70th anniversary.

Growing business in the eastA merger announced yesterday continues the growth of Scotland’s leading independent law firm

Wright, Johnston & Mackenzie (WJM) yesterday announced a merger with Edinburgh-based CCW Business Lawyers, boosting the firm’s existing presence in the capital and providing it with a strong platform on which to grow business in the east of Scotland.

“It’s very exciting,” said Fraser Gillies, a Partner at WJM. “It adds to the momentum that the firm has developed over the last three years. We have a strong ambition to grow in the east and we see this as a really great platform on which to do so.”

CCW is a four-partner practice of specialist business lawyers, founded in 2003, with offices in Edinburgh, Dun-

fermline, and Salisbury. The company’s Edinburgh-based staff will move into WJM’s St Andrew Square office, but its presence in Fife provides WJM with a further foothold in the east.

The merger is part of planned expansion for WJM which began in 2014 and has accelerated recently with mergers in 2016 with Inverness-based MacArthur & Co, providing it with a significant reach into the Highlands and Islands and, last year, with BMK Wilson in Glasgow, which added to its private client base.

“Growing our strength in the east of Scotland has been an objective for a while,” said Gillies,” and the merger with CCW is a very good fit in terms of the client base and the outlook of the partners.”

CCW has particular strengths in commercial property, corporate, merg-ers and acquisitions, and contractual work. WJM, in turn, will be able to bring its expertise in the private client work to executives in businesses cur-rently with CCW. “One of our objec-tives as a firm is to be able to support

our clients both in their business and their personal affairs,” he said.

“But the merger is not ‘the end game’,” added Gillies. “While it is a good fit for many reasons, we see it as the start of another phase in the growth of WJM. There is more to do, and we feel that the strengths this merger brings in terms the small and medium enterprise market, private client experience, and expertise in particular industry sectors, will allow us to win additional business.”

It has been a busy year for WJM, which has included the expansion of its legal team in the north of Scotland with two Associate appointments strengthening its commercial property and family business succession offer. In June, the firm was appointed to act

for Speymalt Whisky Distributors on its new distillery at Craggan, near Grantown-on-Spey. The multi-million pound development in the Cairngorms National Park is expected to become a major tourist attraction and significant local employer.

This autumn, WJM announced the promotion of Joanne Ockrim and Martin O’Neill to Partner. Joanne is one of only a handful of dual quali-fied property solicitors in Scotland and acts on behalf of some the firm’s biggest clients, handling their property interests north and south of the border. Martin specialises in commercial contracts, intellectual property, and his clients range from small owner man-aged businesses to international listed companies across many of WJM’s key sectors.

Should we – could we – be more like Ireland? It has developed an economic model based on low taxes, an amendable regulatory regime tar-geted at multinationals, and access to the European Union.

Or Sweden? In contrast, it has focused on a high tax, high wage, in-novation and domestic-based model, “with an emphasis on fiscal discipline and investment in social policies, education, and infrastructure”.

That is one of the questions posed in a thought-provoking piece of re-search from the University of Strath-clyde’s Fraser of Allander Institute, commissioned by the law firm Shepherd and Wedderburn to coincide with its 250th anniver-sary.

According to the report, Scotland in 2050: Realising Our Global Po-tential, businesses, industry organi-sations, and policymakers need to make “practical and tough decisions” to build an economy fit for the future. It concludes that difficult decisions are necessary, both to deliver sustain-able long-term economic growth and to continue to fund public services at the current level under the new Block Grant Adjustment agreed be-tween Westminster and Holyrood.

The initial report has launched a conversation with Scottish busi-nesses and industry organisations, spanning all sectors of the economy, on ways to “mitigate the challenges and seize the opportunities ahead in a rapidly-evolving global economy”. These insights will feed into a final report, to be published early next year, which, it is hoped, will help inform the difficult policy decisions

that will need to be made by the Scottish and UK governments in the years ahead.

“When we started talking about our 250th anniversary, we were con-scious of not labouring on the past. We didn’t want to fall into the trap of trumpeting our history; we wanted to look forward,” the firm’s chairman, Paul Hally, told LegalScot.

“But in doing so, understanding the firm’s culture and origins; our growth during the Scottish En-lightenment; the political and civil discourse of the time and the inven-tiveness and pioneering spirit of the Scots – that was instructive in looking forward amid times that are equally full of challenge and opportunity.

“We sought new research and thinking that could be brought to bear on these issues, hence the Fra-ser of Allander’s initial scene-setter report, and the conversation we will be having with businesses and other organisations during November and December that will inform the final report and help us produce a route map to Scotland’s future economic prosperity,” said Hally.

“Commissioning this research was a departure for us, but we have been pleasantly surprised by the positive reaction and the degree of engage-

ment it has received from the busi-ness community and policymakers.

“What is really important about this work is it will be informed by the very businesses and organisations on which we will depend to deliver the economic growth to which we all aspire.

“Encouraging them to help us map a future path for the Scottish economy is very much in keeping with this firm’s ethos of providing high-quality legal advice and being a trusted adviser on the wider issues our clients are facing, and are likely to face, in the future.”

The Fraser of Allander study suggests business leaders and policymakers will need to address a number of key issues to help Scot-land best position itself for the years ahead.

The report’s key findings include:

l Just five sectors account for more than half of all Scottish international exports, and just 70 companies ac-count for more than half of Scotland’s exports.

l Fast-growing new and emerging markets (in particular China, India, Indonesia, Brazil and Russia) present significant opportunities for Scotland’s exporters in the years ahead.

l By 2050, the world’s population is predicted to grow by 28%, with much of this growth expected to be in emerging economies.

l New and growing markets, invest-ment in technology and innovation (including renewables) all provide

significant opportunities for Scotland in the years ahead.

l However, Scottish productivity is currently 20% lower than the top-performing countries in the OECD. The Netherlands can produce in four days what it takes Scotland five days to produce.

l Scotland realised average GDP growth per head of just 0.2% between 2008 and 2017, compared with annual growth of 2% between 1998 and 2007.

l Following the transfer of new fiscal powers to Scotland, growing the economy is more important than ever, with around half of Scotland’s budget determined by the relative performance of Scottish tax rev-enues.

“We look forward to businesses and industry organisations bring-ing their unique perspectives to this important conversation and helping shape our economic future,” Hally said.
