Memorandum of Understanding – Central Coast Aviation & Education Precinct

Purpose The above (“Parties”) wish to establish a Memorandum of Understanding (“MOU”) towards the establishment of a University of Aeronautical Engineering, Collaborative Research Centre of Excellence and high level associated Vocational Skills, Education and Training Precinct in the Central Coast Council region of NSW. The purpose of establishing an MOU in this instance is to document a relationship of goodwill. It is not legally binding. It is employed as the first stage of an engagement pathway between the parties that is intended to surface information, identify challenges and issues, clarify, mutually inform, build trust and address perceived barriers and roadblocks. Facilitating this developing collaboration requires organising the stakeholders around a common model that is congruent with the sought after outcomes, deliverables and schedule. This process aims to build confidence and good will towards the second stage of the process; the framing of a formal Memorandum of Collaboration Agreement (“MOC”) with the Business Plan as an Addendum which becomes the principal operative document articulating the details and conditions of the working relationship between the Parties. Objectives The objectives of this Memorandum of Understanding are:

• To have the Parties to develop a national aviation and aeronautical engineering curriculum that collaborates with Industry, academia, Research & Development, Defence and Government.

• The Parties are to jointly form a new company or entity (“Combined Aviation University”) that represents equal joint partnership in Australia’s first Aviation Centre of Excellence that partners with industry.

• The new “Combined Aviation University” will sign an Agreement for Lease with Central Coast Council to build a purpose built Education Facility located at 30 Jack Grant Avenue Warnervale.

General Provisions The parties to this MOU undertake therefore:

1. To jointly undertake research, investigations, feasibility studies, commercial evaluation and assessments necessary to support the establishment of Collaboration Agreement between the parties.

2. To jointly consider and recommend the most appropriate Higher Education, Research Excellence and Vocational Training model that responds to the identified needs, commitments and timelines of the Central Coast Council and Aerospace industry partners.

3. To jointly consider and recommend those research themes and agendas that are considered appropriate to inclusion in a (General Aviation) Centre of Excellence.

4. To specifically investigate new industry driven integrated STEM education and research models

such as the United Kingdom’s first ‘Faculty on the Factory Floor’ collaboration between Coventry University and the Unipart Manufacturing Group which brings together the best in academia, industry and R&D in a ‘live’ open door manufacturing environment.

5. To aspire towards a unique and well targeted sustainable education and training resource sought after and respected as providing a genuine ‘parity of esteem’ between the academic and vocational routes to employment.

6. To jointly exchange information which will assist the Parties to assess and properly evaluate the commercial viability of the proposition.

7. To advise, where appropriate, third parties of this proposition which have relevant technical expertise & capability.

8. To jointly finalise the most suitable commercial structure for any proposed company or entity

to carry out the activity after fully evaluating the commercial viability and financial requirements for all parties.

9. To act at all times in the interest of the Parties.

10. To present a formal proposition and draft Collaboration Agreement to the Central Coast Council region in response to their invitation for EOI

Organisation and Communications The Parties intend to work cooperatively through a project meeting structure. The delegates (or their representatives) of each of the Parties has responsibility for carriage of this MOU and shall:

(a) Have sufficient authority to commit the necessary resources of the Parties.

(b) Work co-operatively and communicate as necessary to ensure that the objectives of this MOU are delivered.

(c) Promote the adopted partnership approach within their respective organisations and to external stakeholders.

The Parties will convene a meeting and develop a timetable for regular consultation and communications between them. The Parties recognise that for this MOU to be successful a range of formal and informal communication techniques are required. The Parties are committed to striving for an effective communication system which is open, and where messages are transmitted quickly, efficiently and unambiguously. Termination

• Any party may terminate this MOU, by providing sixty (60) days written notice to the other party.

• Following termination of this MOU in accordance with the above paragraphs, each party shall continue to be responsible for any cost sharing arrangement that has been agreed to in writing in relation to this MOU.
