responsibility pursuant to section 99(a) of the Danish Financial Statement Act and

on the gender distribution in the executive board pursuant to section 99(b).

The scope of the report is the legal entity CGI Danmark A/S. The amounts in this

report are in Danish kroner (DKK) unless otherwise stated. The report is a part of

the Board of Directors’ Management Report and is therefore an integral part of CGI

Danmark A/S’ annual report for the fiscal year 2019 (October 1st 2018 to September

30th 2019).

Furthermore, the report constitutes CGI Danmark A/S’s communication on

supporting the UN Sustainability Development Goals and the UN Global Compact.

Message from the Senior Vice President One of CGI’s strategic goals is for our communities to recognize us as a caring and responsible corporate citizen. Corporate social responsibility is one of CGI’s six core values.

In collaboration with our clients—and through the expertise of our professionals—we strive to be a global leader in benefiting the well-being of our communities, encouraging and educating more young people to be technically literate and supporting environmental sustainability.

In this sustainability report, we highlight the central aspects of our social and environmental commitment as we continuously strive to better serve our clients, professionals and shareholders, as well as our local communities and society as a whole.

Building a sustainable society

The latest report from the UN Climate Panel IPCC concludes that we need to significantly reduce our greenhouse gas emissions within the next ten years.

Clients have a competitive urgency to become digital in a sustainable way. They realize the need to invest in the digital future and transform their organizations across the people, process and technology areas of their businesses.

CGI is a global firm with the talent, scale, services and solutions required for our clients to succeed. Many of our clients in Denmark have defined ambitious sustainability agendas and our services and solutions are present in a host of critical systems that we depend on daily, such as energy infrastructure, public healthcare, services provided by the public sector and financial services.

We apply CGI’s global insight and local expertise to support our clients and help them succeed in creating new business models, products and services in a sustainable way.

CGI’s constitution is the DNA of our company; it defines the essence of who we are and our culture. It is made up of the common dream, vision, mission and values that drive us as we strive together to build a global IT and business consulting services leader.

With frameworks and programs founded upon this constitution, CGI’s professionals have the opportunity to participate in the life and development of their company, which, in turn, results in client loyalty and shareholder growth.

One of CGI’s strategic objectives is to be recognized by our communities as a caring and responsible corporate citizen. We aim to achieve this by contributing to the well-being of society through our own operations and in partnership with our clients and other stakeholders.

CGI’s core stakeholders are our clients, employees and shareholders. The majority of CGI’s employees are also shareholders and we refer to our employees as members. In addition, CGI’s suppliers, sub-contractors and the local communities are also stakeholders impacted by CGI - and have an impact on our company.

We value the input of internal and external stakeholders in the development of our strategy and on-going improvement of our processes. Moreover, our strategic planning is established on an annual basis following a rigorous process that includes extensive participation from our members as well as clients and shareholders.

MembersMember satisfaction, ownership and engagement are all key competitive differentiators for our company. Our members are in daily contact with clients, colleagues and people in our communities.

Members are invited on an annual basis to provide their perspective on CGI’s current operations and their valuable insight on trends, challenges and opportunities to operate in more sustainable ways.

Every year all members are invited to provide feedback and suggestions in the member consultation. Our Member Satisfaction Assessment Program (MSAP) is designed to foster quality dialogue between members and their leaders at a local level, support timely action plans and reinforce collective ownership of member satisfaction. One of the subjects in this member consultation concerns CSR. CGI Danmark A/S has achieved an MSAP score of 6,89/10.

ClientsCGI works with our clients’ most strategic processes and functions. Together we create solutions that help our clients develop and improve technologies and services critical for them to reach their sustainability goals.

As well as having frequent dialogues and reviews of our client deliveries, CGI conducts annual in-depth interviews with clients in different industries and in the public sector. In 2019, our local leaders met in person with 1,550 executives across seven regions and ten industries.

The resulting report ‘2019 CGI Client Global Insights’ supports both CGI’s and our clients’ strategic and business planning. It also inspires further dialogue about how CGI can support our clients in their efforts to operate sustainably and responsibly.

The Client Satisfaction Assessment Program also addresses CGI’s CSR effort by asking our clients how they perceive CGI in a CSR context.

Asking our clients about this was a first in FY2019, and we expect to introduce new measures pertaining to this particular assessment in the years to come.

It ensures both quality and consistency of execution and has allowed CGI to achieve ISO 9001 certification for all its operations.

Business outlook and market trendsToday’s society continues to be characterized by rapid change bringing about significant improvements for health, technology and economic development. The drivers of social, economic and environmental trends create effects on business environments, which in turn have direct or indirect consequences for CGI and our clients.

Demographics and urbanizationGlobal improvements regarding health and national economic development continues to bring positive effects to society in general. As life-spans increase and general health improves, there are new and increasing expectations on several aspects of society, particularly regarding employment, welfare and pension systems as well as healthcare and care for the elderly.

Urbanization continues to expand, globally as well as in Denmark. A rapid influx of new inhabitants to urban areas puts pressure on for example health services, schools, housing, infrastructure and natural resources. Smart cities, digital inclusion, mobility and the need for environments that promote health and safety are current trends that relate to CGI and our clients.

New technologiesTechnologies such as artificial intelligence and machine learning offer a plethora of opportunities. Smart cities allow integration of buildings and infrastructure with digital technology which can create social and environmental value if integrated in ways that benefit user needs and with a lifecycle approach.

CybersecurityCybersecurity affects organizations in all sectors. CGI - and the IT services sector as a whole - understands the need to support clients in handling their cybersecurity issues with integrity and a balanced approach that contributes to an inclusive, democratic and transparent society while combating financial crime and corruption.

Data privacyWith the ever-increasing use of data and the commoditization, efforts to protect personal data and respect individual privacy rights are paramount.

WorkforceEmployers in several sectors find it increasingly difficult to recruit employees with the necessary skills. In addition, jobs are shifting in many sectors. Some jobs are fundamentally changing and others will be redundant, in part to be replaced by new jobs and new sectors.

Employees have higher expectations to employers, requiring meaningful assignments, transparency and the possibility of engagement and participation.

Employers are expected to take social and environmental responsibility and employees want to feel a sense of pride. This makes it even more important for employers to appeal both to senior professionals and younger employees who want to build and develop their skills and experience.

Climate crisisAccording to the IPCC Special Report 2018, the impacts of global warming of 1.5 oC above pre-industrial levels is a serious threat to sustainable development. Although many initiatives are being taken to reduce negative impacts on the environment, there is widespread concern that changes are currently not extensive or rapid enough to halt climate change, pollution or loss of biodiversity.

Many organizations are therefore rethinking their business models and seek behavioral as well as organizational changes. CGI Danmark A/S has since 2014 measured our environmental footprint and has taken various actions to reduce climate impact. CGI also supports our clients in all aspects of their digital journeys and their efforts to mitigate environmental risk and act proactively, responsibly and sustainably to the benefit of our environment.

CGI and the UN sustainable development goalsAs a leading global and local company, CGI fully recognizes that for the world to achieve UN’s sustainable development goals, we hold part of the responsibility. CGI Danmark A/S contributes to several of these goals, both in our own operations as well as in our partnership with our clients.

Goal #3: Ensure healthy lives and promote well-being for all at all ages

Advancing health beyond hospital wallsAs a global expert in advanced, digital healthcare solutions, CGI believes in patient-centric care and connecting the systems for a full circle of care around the patient, making sure the patient gets the exact focus and treatment when and where it is needed.

Therefore, CGI Danmark A/S has developed CGI CommunityCare360 - a modular solution that connects patients, primary care physicians, case coordinators, work coordinators, extended teams, mobile care providers, first responders, administrators and managers.

By using the latest mobile and wireless technologies, cloud services and smart integrations, CGI CommunityCare360 heightens mobility, makes healthcare more efficient and streamlined and increases patient safety.

As of end of FY2019, CGI CommunityCare360 is used by all five regions in Denmark.

Sponsorship: Childhood cancer parent organizationCGI Danmark A/S supports Familier med Kræftramte Børn (FMKB) - a Danish organization supporting families with children diagnosed with cancer. FMBK represents Denmark in Childhood Cancer International (The International Confederation of Childhood Cancer Parent Organisations).

Goal #4: Ensure inclusive and equitable quality education and promote lifelong learning opportunities for all

Solutions for national educational institutionsNationwide IT system developed by CGI is used by educational institutions to manage school children’s and other students’ final exams.

Teaching children to safely use the web and social mediaThrough the global Dream Connectors program, CGI has developed a gamification app that teaches children how to steer clear of the many pitfalls associated with using the internet and social media.

In 2019, CGI Danmark A/S began localizing the app to a Danish version and reached out to the independent organization Red Barnet (Save the Children) as a potential partner in Denmark. CGI expects to work with Red Barnet and make the app available to Danish children, their school teachers and parents at no cost in 2020.

Ensuring food safety by tracking livestockCGI is official IT supplier to the Danish Food Administration and has developed an app that helps farmers in Denmark comply with requirements to report on the whereabouts of livestock, particularly pigs.

Tracking the movement of livestock helps farmers, veterinarians and authorities prevent or manage outbreaks of disease or contaminations with easy identification of the root cause of a problem and which animals—or animal byproducts—are impacted.

Sponsorships: Meaningful initiatives and activities for children and young peopleEach year, CGI Danmark A/S grants a total of 16 donations to support meaningful initiatives and activities for children and young people in Denmark.

Application for - and the granting of - sponsorships is handled in a unique way: Each quarter, CGI members in Denmark can apply for a project he or she is personally involved in or otherwise familiar with. Four projects/initiatives are selected each quarter and the donation is presented to each winning project by the applying CGI member.

These sponsorships were introduced in Q1 2019. By end of FY2019 on September 30 the following clubs/organizations/initiatives were granted financial support from CGI Danmark A/S:

Goal #5: Achieve gender equality and empower all women and girls

Sponsorship: IT-camp for girls

CGI Danmark A/S sponsors ‘IT-Camp for Piger’ in Denmark - an annual event organized by the University of Aarhus, intended exclusively for girls in high school or in their sabbatical year. This week-long event, held during autumn break, aims to show girls that computing, coding and working with data and IT in general is not only for boys. CGI fully shares this vision and is proud to support an initiative with the long term goal of educating more female IT specialists in the future.

Goal #17: Revitalize the global partnership for sustainable development.CGI partners with our clients to help them operate responsibly, sustainably and in more energy efficient ways.

Dream ConnectorsOne of CGI’s core strategic objectives is to serve as a responsible corporate citizen, and Dream Connectors is a key means for achieving this.

Dream Connectors is a global initiative that supports CGI professionals in making a difference in their local communities. Every year, through Dream Connectors, we invite all of our professionals to submit project ideas for improving the well-being of their communities related to e.g. healthy lives for all, quality education, gender equality. Selected projects receive CGI support including access to technology, volunteers and funding.

Goal #7: Ensure access to affordable, reliable, sustainable and modern energy for all.

Data hub and infrastructure services in support of a free energy market and easy access for renewable energy providersEnerginet is an independent public enterprise owned by the Danish Ministry of Climate, Energy and Utilities. Energinet owns, operates and develops the transmission systems for electricity and natural gas in Denmark.

Since 2013, CGI has developed and managed the innovative DataHub for Energinet that supports an open, free energy market in Denmark. The DataHub developed by CGI lowers the access barrier and empowers green energy providers to enter the marketplace rapidly and in a cost effective way, thereby contributing to the transformation from carbon based to renewable green energy that characterizes the Danish energy market.

In addition, CGI has been awarded a five year contract under which CGI Danmark A/S provides hardware, software, network services, hybrid management services and new IT environments to Energinet.

CGI and the UN Global Compact principlesAt CGI, we recognize the importance of strong engagement with our communities, members, clients and the environment as a guarantee of our long-term business. We proudly support the ten founding principles of the United Nations Global Compact, grouped into four areas: Human Rights, Labor, Environment and Anti-Corruption.

As part of our strategy, we seek to advance these principles in our influence areas. Thus, one of CGI’s strategic goals is for our communities to recognize us as a caring and responsible corporate citizen, and corporate social responsibility is one of our six values. CGI is committed to comply, not merely with the letter, but also with the spirit of the law, to support and respect the protection of nationally and internationally proclaimed human rights and to refrain from being complicit in human rights abuses. This includes, but is not limited to, the right to life, security and equality and to personal, economic, cultural and social freedoms.

CGI’s Code of Ethics and Business Conduct, along with our corporate governance practices, guide our decision-making to ensure we live up to our core values and are open, transparent and accountable in our interactions with all of our stakeholders. Our Code of Ethics emphasizes the importance of conducting business ethically and avoiding complicity in human rights abuses.

Mandatory trainingTraining is provided to reinforce CGI and its affiliates employees, including certain CGI’s subcontractors, commitment to the core values of integrity, trust and respect that are embodied in CGI’s Code of Ethics. Mandatory training is an important part of our onboarding process for new members. Completion of mandatory training programs is closely followed to ensure all members have adequate knowledge of fundamental issues such as anti-corruption, data privacy and business ethics.

In addition to completing such training, CGI’s employees are required to provide a written acknowledgment of their commitments to the Code upon being hired or on an annual basis thereafter.

CybersecurityCybersecurity is a global phenomenon that is no longer only an IT issue. CGI always aims to have the technology, services and policies that protect public sector and commercial organizations from the risk of electronic attacks in order to minimize business disruption and data loss. Therefore, we have developed and enforce a set of security policies, standards and processes to ensure that security risks are managed throughout the enterprise.

CGI members, business units and partners must comply with all CGI security policies, standards and processes. CGI manages its information assets as well as those of its clients with due diligence and care, and takes appropriate measures to safeguard these assets to deliver its services. The risk based security model which supports this is aligned with industry standards as well as with the ISO security standard ISO 27001:2013. We are one of the few providers worldwide with three accredited security certification facilities and a world-class innovation lab.

Data privacyCGI fully respects and protects the privacy rights of individuals such as consumers, citizens, employees, partners, clients etc. Our internal processes are aligned with the GDPR legislation of May 2018, an in-house data privacy organization is in place and a revised data privacy policy has been published and communicated.

In addition, we enhanced our Management Foundation framework to include processes for managing security incidents involving personal data, requests and complaints. A corporate e-learning course on GDPR has been launched and the course is mandatory for all CGI members in Denmark.

The quality of the relationship between management and members within CGI is a cornerstone of our corporate culture. We are committed to seeking the best equilibrium among the legitimate interest of our stakeholders. This greatly contributes to employment conditions that foster mutual trust between management and employees.

Collective agreementCGI recognizes all members’ right to freely join labor organizations of their choosing.

In addition, CGI Danmark A/S has entered a collective agreement with five major unions for IT professionals (HK, Prosa, DM, DJØF and IDA).

This means that all CGI members are protected by and enjoy favorable employment terms through this collective agreement, even if the member personally has chosen not to be part of a labor union.

Gender balanceAt CGI, we firmly believe that gender equality - and workplace diversity in general - makes a positive difference for us a company. We actively seek to contribute to a greater gender balance in the IT sector. We encourage female candidates for all types of positions to apply and join CGI in our continuous effort to attract and retain the best talent.

CGI Danmark A/S seeks to achieve an equitable gender balance in the company’s board of directors which consists of 3 (three) people and has defined the goal of having at least 1 (one) female as member of the board by 2020. The company’s management continues to search for suitable candidates and remains optimistic about achieving the aforementioned goal within the communicated time frame.

The target for the company is to have a gender composition within its management of 40 % women and 60 % men by 2020. By end of FY2019, the company’s de facto executive management counted a total of 12 (twelve) people with the following gender distribution: 5 (five) women, 7 (seven) men, equivalent to an approximate 40/60 % distribution. Consequently, the company has reached the target.

Between 2018 and 2019, CGI Inc. has increased the number of female board members from 2 to 5. As of 2019, 33 % of the company’s 15 members of the board are women, demonstrating CGI’s desire to ensure continuous progress is made with regards to gender balance at all levels of company.

Women of CGIThe Women of CGI is a global network of 6,500 members with the vision of fostering networking and equipping CGI’s female workforce worldwide with the tools to support them at work and beyond. This ever growing network has held many events locally under various formats, including conferences, workshops, informal lunches, and share and surveys. Its mission is defined as follows:

Learning for quality and career developmentDeveloping member potential and satisfaction is one of CGI’s highest priorities. We know that one of the key components of our success is the talent, skills and knowledge of our members.

Continuous learning is a priority for CGI and we offer a range of opportunities for our members to educate themselves further and develop their career as well as their personal skills. Members plan their learning together with their managers and have access to online learning tools for specialists, managers as well as other roles.

Lifelong learning contributes to each individual member’s future ability to remain a part of the Danish workforce regardless of future employer.

One of CGI’s strategic goals is for our communities to recognize us as a caring and responsible corporate citizen and through the expertise of our consultants. We strive to be a global leader in encouraging and educating more young people to be technically literate, benefiting the well-being of our communities. This priority is established in a context where our industry continues to experience a gap between the number of available IT and business consulting jobs and the number of skilled professionals, along with a lack of diversity in the workplace.

Youth networkOver the past few years, CGI in Denmark has recruited an increasing number of younger IT professionals. As a direct result of this valuable influx of young talent, and initiated by Managing Director Michael Hermansen, a youth network has been established.

The CGI youth network in Denmark operates on two levels:

1. A quarterly meeting with Managing Director Michael Hermansen offers young CGI members the opportunity to voice their ideas, experiences, requests and questions related to their employment with CGI directly to the CEO. Conversely, the meetings ensure that CGI’s executive management in Denmark receives valuable input that contribute to CGI’s ongoing effort to foster a rewarding work environment for employees across all age groups.

2. Regular meetings, outings and other activities for members of the youth network provide an informal yet valuable platform for the sharing of experiences and knowledge across all lines of business. The network meetings also has a strong social dimension.

Talent Recruitment ProgramDeveloped by CGI in Denmark, the Talent Recruitment Program (TRP) is a structured approach designed to attract, develop and retain young IT and business professionals. Targeted against high performing candidates from business schools and universities, the TRP offers an attractive framework for career development in CGI. In Denmark, all lines of business in CGI seek to hire new members through the Talent Recruitment Program.

Labor lawsProhibited by law and universally condemned, forced and compulsory labor is against our business philosophy and the CGI dream; CGI is committed to avoiding all forms of such labor.

CGI is committed to comply with applicable child labor laws, including but not limited to those relating to minimum age limits, working hour limits, prohibitions of certain types of work and regulations on legitimate workplace apprenticeships.

Material aspectsThe key environmental impact from our business originates mainly from business travel, IT infrastructure (including data center operations) and our office facilities.

Since 2014, CGI Danmark A/S has measured key indicators of our environmental impact. Data is analyzed on a regular basis as we continuously strive to reduce our business travel, energy consumption and CO2 emissions.

Business travelCGI encourages the use of transport with as little carbon emissions as possible. Where possible, we locate our offices close to public transport and encourage our members to make use of these more environmentally friendly modes of transportation.

CGI also encourages alternatives to physical meetings in order to reduce the need for business travel and aims to increase the use of digital communication tools to further reduce travel where possible.

Data centersAs an IT outsourcing provider, infrastructure services and data centers are core to our operations. CGI Danmark A/S does not operate CGI owned data centers on Danish soil, but uses third party co-location data centers in Denmark as well as CGI owned data centers in the Nordic region.

CGI only uses data centers that measure and improve energy efficiency and reduce carbon emissions by combining energy-focused methods, processes and solutions to promote power and cooling efficiency. In line with these initiatives, CGI strives to:

• Ensure environmental monitoring systems are in place to enable us to manage and adjust power consumption and heat emissions

• Assess virtualization rates across all physical infrastructure, not only to reduce energy consumption, but also to reduce the operational risks and costs of maintenance

• Adopt good practices around hot/cold aisles and the use of row (or even rack) level containment solutions ensuring appropriate power and cooling solutions are deployed in line with processing density

• Leverage free air cooling technology that enable our data centers, where applicable, to use outside air to provide cooling instead of power generated air conditioning units

WasteCGI’s operations result in types and volumes of waste that are typical for a services company. Our most significant type of waste is mobile phones and IT hardware such as hard drives, laptops, servers, printers etc.

When decommissioning this “e-waste”, CGI Danmark A/S contracts the services of third party companies certified for handling and, if possible, refurbishing or recycling, e-waste.

By selecting another IT system to manage paper print-outs CGI Danmark has achieved a reduction of paper consumption by 76 % over the past 10 years.

CGI’s offices also generate a certain amount of general office waste, although not a significant amount, in relation to the environmental aspects of our business. CGI always handles waste in responsible ways and aims to reduce the amount of waste produced.

Anti-corruption • Principle 10: Businesses should work against corruption in all its forms, including extortion and

bribery

As stated in our Code of Ethics and Business Conduct, CGI is committed to conducting its activities free from the illegal and improper influence of bribery and to ensuring compliance with all anti-bribery and anti-corruption laws and regulations that may be applicable to our business worldwide.

The no corruption principle is expressly part of CGI Code of Ethics. CGI’s Code of Ethics and Business Conduct along with our corporate governance practices guide our decision-making to ensure we live up to our core values and are open, transparent and accountable in our interactions with all of our stakeholders. CGI recognizes the importance of supporting these individuals as ethical issues arise and has an open door policy for resolving such issues with integrity. The Code of Ethics is available in 27 languages.

This Code of Ethics is comprised of:

• The code of ethics and business conduct

• Executive code of conduct

• CGI anti-Corruption policy

• Third party Code of ethics

It includes corruption and bribery, conflict of interest, anti-trust and anti-competitive practices, money-laundering and insider trading as well as whistleblowing.

It specifically addresses:

• Bribes in any form (including kickbacks) on any portion of contract payments or soft dollars practices

• Direct or indirect political contributions

• Charitable contributions and sponsorships
