SPEAKERS’ PROFILES

Victor Lai Director, Group Business Development Boardroom Limited, Singapore

Victor, who is based in Singapore, drives the business development initiatives for all of Boardroom's service offerings across the region. He works together with the various country offices to develop regional solutions for Corporate

Secretarial and Payroll engagements, as well as the development of new services to suit the ever-changing needs of our clients and prospects. He is also directly involved in Boardroom's Governance, Risk & Compliance (GRC) where he leads the engagements relating to Internal Audit and Compliance services for his clients. Prior to this role, Victor was the Deputy Head of the Accounting, Tax and Payroll service division in Singapore.

Internally, Victor is the Training Principal representing Boardroom in the Institute of Singapore Chartered Accountants (ISCA). In relation to this role, Victor is also an accredited facilitator for the Singapore Qualifying Program for Chartered Accountants driven by ISCA. Victor is also a Public Accountant registered with Singapore's Accounting Corporate Regulatory Authority (ACRA), and sits in two working committees in ISCA which develops accreditation programs for Chartered Accountants.

Prior to joining Boardroom, he was an Audit Director in a Big 4 international accounting firm, focusing on audit, financial due diligence and accounting advisory work with numerous public-listed companies in Singapore and Norway, as well as multinational corporations.

In his extensive experience in audits of public-listed companies in Singapore, Victor worked closely with Audit Committees on financial reporting matters, especially in dealing with financial reporting issues that involve critical judgment and estimates.

Victor was an accredited IFRS specialist in 2010-2012 when he focused on accounting technical consulting work, and he continues to be involved in the training of Financial Reporting Standards with institutes in Singapore.

Paul W Chan President, Malaysian Alliance of Corporate Directors Vice President II, Federation of Public Listed Companies Executive Member, Global Network of Director Institutes Paul’s professional and business experience spans 4 decades in Public Accounting, Auditing, Financial, Business, Corporate Advisory and Consulting Services.

As an Independent Non Executive Director, he currently serves on several Public Companies’ Boards in various capacities on Board Committees across industries such as Insurance & Financial Services, IT Training & Certification and Industrial Chemical Processing & Trading. He had previously served on the Boards of a Multi-Purpose Port Facilities Operator, Steel Roll Processing Plant and an Industrial Group. Paul is the President and Founding Board Member of Malaysian Alliance of Corporate Directors (MACD), an independent not-for-profit membership entity, Vice President II of Federation of Public Listed Companies, and an Executive Member of GNDI* (Global Network of Director Institutes). He is also a Working Group Member of AASB (Audit Assurance Standard Board) and CMAC (Capital Market Advisory Committee). He has delivered numerous presentations in forums, seminars, workshops and conferences, both locally and internationally, on issues of Board Governance and Corporate Directorship. Paul is a Chartered Accountant Malaysia, a Fellow Member of ACCA (Association of Chartered Certified Accountants, UK), ICSA (Institute of Chartered Secretaries & Administrators, UK), CPA Australia (Certified Practicing Accountant), NACD Governance Fellow and NACD Board Leadership Fellow of National Association of Corporate Directors, USA. Paul was a Member of the Corporate Governance Working Group of Securities Commission that developed the Malaysian Code of Corporate Governance (MCCG 2012), and a Member of Bursa Malaysia’s Working Group that formulated the Statement of Risk Management and Internal Control for Listed Issuers. He was an Executive Council Member of MIA (Malaysian Institute of Accountants) and Chairman of its Disciplinary Committee.

Lim first started off in the rank and file of operations and organisation management where he accumulated vast experience in every aspect of organisation operation. He has held roles in warehouse and logistics, store keeping, as well as shipping operations. Subsequent to that, Lim joined Xerox Corporation as a salesman and within 10 years, he rose to be the National Sales Manager. Having acquired in depth knowledge and experience about Sales Management, he was a much sought after sales trainer for Xerox’s sales force. Lim has consistently deployed unorthodox methods to lead and motivate Ricoh Malaysia. Under his stewardship, Ricoh Malaysia was successfully transformed into a vibrant organisation with high morale. In addition, Lim’s applied handson and unconventional talent recruitment, development and management techniques resulted in a high performance and empowered team in Ricoh Malaysia.

Fad’l Mohamed Deputy Chief Executive Officer Maybank Investment Bank Berhad

Fad'l Mohamed started his career as a lawyer with Messrs Rashid & Lee. He then joined the Take-overs and Mergers Department of the Securities Commission (SC) when the SC was established in 1993. Thereafter, he joined Dresdner Kleinwort Benson, an investment bank, providing cross-border M&A advice and other corporate advisory services to Malaysian and foreign corporations.

He then set out on his own to provide corporate advisory services. In 2004, he founded Maestro Capital Sdn Bhd, a licensed corporate finance adviser providing corporate finance advisory services primarily in the areas of M&A and fund raising. He led the firm for more than 10 years prior to joining Maybank Investment Bank Berhad. Fad'l holds an Honours degree in Law from the University of London and an MBA (Merit) from Imperial College Business School. Fad’l also has a Certified Diploma in Accounting and Finance (Association of Chartered Certified Accountants) and is a licensed Capital Market Services Representative. He has served as a Director on the Boards of many companies, amongst others, he was an independent non-Executive Director of CIMB-Principal Asset Management Berhad. He is also currently a Director of the Kuala Lumpur Business Club.

Paul P. Subramaniam Chief Risk Officer and Head of Knowledge Management & Training, ZICO Holdings Inc.

Mr Paul Subramaniam is responsible for the overall risk management and mitigation for Zico Holdings Inc. is also responsible for developing and implementing knowledge management and training initiatives for the Group and the ZICOlaw Network. He joined Zaid Ibrahim & Co as the head of litigation in 1998 and assumed the position of knowledge management and training partner of Zaid Ibrahim & Co in 2008.

Paul now keeps the clients of ZICO Holdings updated as to changes in the law and industry which would impact them. He also serves as editor of Zico’s publications to their clients. In addition, Paul manages a Knowledge Database and also a Precedent Bank, to ensure best practices are undertaken by clients. In his role as Head of Knowledge Management & Training, he arranges training sessions for Zaid Ibrahim & Co’s lawyers and staff so that they are equipped not just with the law but with the skills necessary to serve their client’s interests. Lee Shih Partner, Dispute Resolution Division SKRINE

Lee Shih graduated from the University of Bristol, United Kingdom. He is a Barrister-at-Law (Gray’s Inn) and an Advocate & Solicitor of the High Court of Malaya. Having completed his pupillage at Skrine, he joined as an associate and was made a Partner in January 2012. His portfolio of litigation work focuses on corporate litigation, corporate insolvency and international

arbitration. He regularly acts for the regulators of the securities market while also advising on anti-corruption issues.
