We are pleased to present this proposal for the ‘Pay-by-Space’ Elite LS Meters. Also, let me point out that you will be receiving our ‘New Business Discount’ price! Not only will you enjoy a deep discount on the Elite LS Meters, but we also intend to provide you with free installation of the Meters and On-Site Training as well! The list price for the Elite LS is normally $9,400, per unit. Your discounted price is $6,392, per unit, a handsome discount of $3,008 per unit making that a savings of $27,072. Additional savings for training and installation are $4,600 which saves the Town a grand total for everything of $31,672. This is our way of expressing how grateful to you, the Town of Fort Myers Beach, for considering our company to provide you with the parking equipment for your Town.

Also, please note that we would be open to providing the Town with an option to defer a partial amount of the total, if this is something that would be of interest to you. Should the Town desire to take advantage of this offering, please feel free to reach out to me directly. Amano MSM Terms & Conditions

Conditions and Disclaimers

Amano McGann has included our standard Merit Shop Labor Rates for this project. Should Prevailing Wage, Union, and/or PLA Labor be required, additional costs may apply and will be quoted separately.

Amano McGann assumes work can be completed during normal working hours. After-hours and weekend installation may result in additional fees.

Amano McGann assumes penalties, liabilities, and/or consequential damages will not be part of the contract terms and conditions.

Amano McGann reserves the right to negotiate mutually acceptable contract terms. Shipping, civil work, site prep and installation are not included unless expressly quoted.

Installation

If by Amano McGann all work to be performed during the standard business hours of 8:00AM – 4:30PM, Monday through Friday. Additional charges apply for work requested to be performed after standard business hours and/or weekends. Idle time incurred due to absence of escorts, clearances, or inability to enter the work space or other factors beyond our control will be considered a change with added labor hours. Firm start date for installation to be determined after complete order has been received by Amano McGann. Amano McGann will provide necessary training on operation/maintenance of system. Customer is responsible for all civil work (per Amano McGann specifications) and having site ready for pad installation. If a subterranean mount is being used customer must have installed at least 72 hours prior to product installation.

Product Delivery

Estimated lead time for MSM equipment is 14-16 weeks from receipt of all required order forms and deposit for product delivery, when applicable. Amano McGann will provide a secure off-site storage area for said materials throughout duration of the installation. Such materials will be treated as ‘stored materials’ for the purposes of payment applications.

Tax

Prices in this proposal do not include tax. It is the customer responsibility to determine tax requirements.

Change Orders

Any alteration or deviation from the above specifications, including but not limited to any such changes involving additional material and/or labor costs, will be executed only upon a written change order for same, signed by both Buyer and Amano McGann. If there is any charge for such alteration or deviation, the additional charge will be added to the contract price.

Bonding, Insurance, & Liquidated Damages

Any bonding requirements are not included in this proposal and shall be provided at an additional charge based upon scope. Any insurance requirements outside of standard coverage's carried by Amano McGann are not included in this proposal and shall be provided at an additional charge based upon additional requirements and terms of coverage. Liquidated damages are not included in this proposal.

Warranty

The Amano McGann project management and sales consulting staff understands that no matter how sophisticated a parking system is, it is the ongoing service that will make the system functional and effective. After the contract is signed, Amano McGann sales personnel and project managers stay involved throughout the life of the equipment. The goal is to create customers for life.

The Amano MSM comes with a Parts Warranty period of One Year. Your warranty start date will begin upon installation and commissioning of the MSM. The warranty service during the warranty period will include exchange of parts found to be defective and remote support services to successfully perform software maintenance to ensure the parking system performs. This includes all paystation equipment, host computer system hardware and software.

During this warranty period, work shall be performed during normal business hours Monday through Friday from 8:00AM to 4:30PM. All other service calls shall be billed at emergency or after-hour rates which include travel costs.

This warranty does not apply to situations where damage or malfunctions resulting from fire, flood, earthquakes, elements of nature or acts of God, strikes, riots, collision, vandalism, misuse, electrical surges, power failure, use of non-manufacturer approved parts or consumable supplies, or any other similar cause beyond the reasonable control of Amano McGann.

The provisions of the warranty are as follows:

All equipment startup and service work must be performed by Amano McGann or authorized party, our local partner, or an employee of the customer that has been trained by Amano McGann or authorized party to perform these tasks.

Repair or replacement under warranty of any defective product does not extend the warranty period for the pay station.

Any module or component installed will have a warranty period beginning on the date that it was put in service.

Amano McGann or authorized party will supply new or rebuilt parts, at our discretion, to replace parts that are found to be defective within the warranty period. Credit for returned parts will be issued by Amano McGann or authorized party only after returned parts have been received, are proven to have failed due to defects in material or workmanship and are found to fall within the warranty period.

Exclusions

1. Problems caused by the faulty installation of replacement components are not covered by this warranty. This warranty applies only if equipment has been installed, used and maintained in accordance with Amano McGann or authorized party Installation, Operating and Service Instructions.

2. Damage due to accident, neglect, misuse, abuse or natural disasters is not covered by this warranty.

3. This warranty will be voided by

o Use of non-Amano McGann or authorized party replacement parts

o Unauthorized additions or alterations to the equipment

o Unauthorized alterations to the equipment’s embedded software

o Service activities performed by anyone other than Amano McGann or authorized party, our local partner, or an employee of the customer that has been trained by Amano McGann or authorized party to perform these tasks.

4. This warranty is valid only on equipment installed, serviced and used in North America.

5. The replacement and supply of tickets, all types of battery, as well as any maintenance or cleaning of the external parts of the housing.

6. IN NO EVENT SHALL AMANO MCGANN OR AUTHORIZED PARTY BE LIABLE FOR ENVIRONMENTAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUE, PROFITS OR LOSS OF THE USE OF A PRODUCT. AMANO MCGANN OR AUTHORIZED PARTY'S SOLE RESPONSIBILITY AND LIABILITY HEREUNDER SHALL BE TO REPAIR OR REPLACE, AT OUR OPTION, A DEFECTIVE PRODUCT.

The warranties specified above are exclusive and are in lieu of all other warranties, express or implied. Amano McGann or authorized party makes no warranty of merchantability or fitness for a particular purpose.

Payment Terms

1. 50% down payment due upon acceptance of proposal. (Negotiable)2. Remainder to be invoiced upon completion of system installation.3. Past due accounts will be subject to a late fee of 5% of the amount due.4. Cancellation of contract or P.O. prior to on-site delivery results in a 25% restocking charge. There is no return or

refund on custom products/services.

Proposal Validity

This proposal is valid for 90 days unless otherwise specified. If the executed contract and/or purchase order is received after the expiration date, Amano McGann reserves the right to issue a revised proposal.
