PLANNING, DESIGN AND CONSTRUCTION ENGINEERING SERVICES

FOR

Various Wastewater Improvement Projects

Norwich Public Utilities (NPU) is soliciting statements of qualifications from Engineering Consulting to provide On-Call Professional Services in planning, surveying, design, information technology, construction contract administration, resident inspection and general technical support for the following major service areas:

1. Wastewater Treatment Facilities2. Wastewater Collection Systems3. Minor Pumping Stations

NPU intends to select a prequalified list of consulting engineering/professional firms within three (3) Major Service Areas identified above. Firms interested in providing engineering services forone or more of the Major Service Areas identified should specify those areas on the cover sheetform in their Statement of Qualifications, and provide qualifications specifically prepared foreach Service Area. Consultants may be prequalified for more than one area of service. NPUintends to structure a three (3) year On-Call Contract with each “approved list” consultant withup to two (2) - one (1) year extensions, at the discretion of NPU. Task Orders referencing theOn-Call Contract will be issued to the consultants as projects are assigned. The scope and fee foreach Task Order will be negotiated individually with NPU.

Any contract awarded under this request for qualifications or professional proposals is expected to be funded in part by the State of Connecticut. FOR

ENGINEERING SERVICES

Planning, Design and Construction Engineering for Various Waste Water Improvement Projects

1.0 BACKGROUND

Norwich Public Utilities (NPU), which was established in 1904, owns and operates natural gas, electric, water and wastewater systems for the City of Norwich. NPU is governed by a five-member Board of Public Utilities' Commissioners who are appointed by the City Council. NPU has 150 employees and serves approximately 21,000 electric customers, 9,600 gas customers, 11,000 water customers and 7,600 wastewater customers

Wastewater Operations: Wastewater for NPU customers is treated in an activated sludge treatment plant. NPU’s Sewer Authority has worked closely with the City to secure funding to expand its wastewater collection system to neighborhoods that have seen the failure of private septic systems that affect residential property values. An extensive, multiyear combined sewer overflow program, funded through State grants and loans, has successfully eliminated most sewer system overflows, and greatly improved water quality in the Shetucket, Yantic and Thames Rivers.

Water Operations: The City has a water supply system that consists of a 10-mgd water filtration plant, a 4-mgd water filtration plant, four reservoirs, one emergency supply well, and a fully accredited laboratory. NPU produces an annual water quality report that indicates that NPU consistently meets or exceeds drinking water standards set by the federal and state regulators. NPU has embarked on a significant water infrastructure improvement program over the past several years that includes several projects in design and construction phases totaling approximately $22 million.

Natural Gas: NPU continues to expand its natural gas service throughout the City. Since 2010, nearly 1,900 new natural gas customers have been added to the NPU network. This activity has generated nearly $3.2 million in new annual revenue for NPU. NPU was recently honored by the American Public Gas Association (APGA) with two awards recognizing excellence in operations and digital marketing. NPU is one of only 21 public natural gas systems in the United States - out of more than 700 APGA members - to be given the Systems Operational Achievement Recognition (SOAR) award, which is presented to natural gas utilities that demonstrate excellence in the four critical operational areas: worker safety, workforce development, systems integrity, and systems improvement.

Electric: In 2016, NPU completed a project that will make the City of Norwich and NPU a leader in renewable energy. Working with the Connecticut Municipal Electric Energy Cooperative (CMEEC), NPU identified the former Roger’s Road landfill as an ideal location for a Community Solar Garden that will provide its customers with more than 2.75 MW of renewable energy. When added to NPU’s existing hydro power capabilities this brings the renewable portion of the NPU portfolio to nearly 20%. In May 2015, NPU received the RP3 Platinum Award from the American Public Power Association that recognizes utilities that demonstrate high proficiency in four areas - reliability, safety, work force development and system improvement. In receiving a Platinum designation, NPU is among a select group of less than 100 utilities out of over 2,000 public power companies nationwide and the only one in Connecticut.

Municipal Area Network: NPU continues to build upon and leverage its Municipal Area Network (MAN) that consists of 35 miles of 144 strand fiber optic cabling around the City in two “loops.” The fiber provides high-speed data, video and communications connectivity that is 600 times faster than any other data network available in Norwich. This implementation has expanded the connectivity opportunities of NPU and the City with a 100% redundancy for internet services and opens the door for improved disaster recovery services and network monitoring

2.0 STATEMENT OF PROPOSAL

Norwich Public Utilities (NPU) intends to select a prequalified list of consulting engineering/professional services firms within three (3) Major Service areas identified within this RFQ. Firms interested in providing engineering services for one or more of the Major Service areas identified should specify those areas on the cover sheet (Attachment A) in their Statement of Qualifications, and provide qualifications specifically prepared for each Service Area. Consultants may be prequalified for more than one area of service.

Engineering consultants shall be selected using the Qualifications Based Selection (QBS) process. Some Contracts awarded under this RFQ could be funded in part by the State of Connecticut, Department of Energy and Environmental Protection (DEEP) Clean Water Fund (CWF) and/or the Department of Transportation (CT DOT) utility relocation program. This procurement conforms to the requirements contained in Section 22a-482-4(h), (i), and (o) of the Connecticut State Agencies. The State of Connecticut is not a party to this RFQ or any resulting Contract; however, if your assignment should receive Federal or State funds you will be obligated to adhere to all necessary applicable requirements imposed on the Authority (reference "Compensation Requirements" within this RFQ for further information).

In general, probable construction costs for each project may range from approximately $20,000 to $50,000,000. NPU does not guarantee a minimum quantity of projects per year nor does it guarantee that any selected on-call "approved list" consultant will be given a Task Order in any given year. NPU reserves the right to issue further detailed Request for Proposals for any specific capital improvement projects when it determines that such solicitation is in its' best interest.

NPU intends to structure a three year on-call contract with each "approved list" consultant with up to two (2) one (1) year extensions, at the discretion of NPU. Task Orders referencing the On- Call Contract will be issued to the consultants as projects are assigned. The Scope .and fee for each Task Order will be negotiated individually with NPU.

Upon request, the consultant may submit updated compensation rates on annual bases. The consultant's compensation rate structure shall be modified based in accordance with the Consumer.

3.0 SCOPE OF SERVICES

Norwich Public Utilities is requesting qualifications from engineering firms to provide on-call professional services in planning, surveying, design, information technology, construction contract administration, resident inspection and general technical support for the following Major Service areas:

1. Wastewater Treatment Facilities – NPU is an activated sludge wastewatertreatment plant with a design flow of 8.5 MGD but treats approximately 4.5 MGD ona typical dry weather day. Norwich is a CSO community and the WWTP is capableof treating up to 20 MGD during wet weather flow.

NPU is currently working on an update to its Combined Sewer Overflow (CSO) LongTerm Control Plan (LTCP) which will identify and prioritize both Capital and DEEPfunded CWF projects.

Work within the CSO LTCP will include significant upgrades to the WWTP alongwith the installation of an enhanced high rate clarification facility (HRC) to treat up to60 MGD during wet weather flows. In addition, NPU will replace their largest pumpstation (Rose Alley PS), which accounts for more than 50% of the daily flow to theWWTP, in order to convey up to 60 MGD to the HRC.

2. Wastewater Collection System – The NPU collection system is comprised ofapproximately 122 miles of gravity sanitary and combined sewers ranging from 8 to36 inched is diameter with approximately 3,700 manholes and 14 miles of pressurepipe. NPU has 15 active CSO regulators and 13 active outfalls throughout thecombined system. NPU expends between $300,000 and $500,000 dollars per year incapital costs related to repair and replacement of aging sewers within their system.

DEEP/CWF combined sewer conveyance, separation, regulator improvement and relief sewer projects will continue in Norwich in accordance with the CSO LTCP. In addition, based on the availability of funding through the DEEP CEF I/I program, NPU plans to seek Grant/Loan funds to rehabilitate and/or line systems identified within future Sanitary Sewer Evaluation Surveys.

3. Pumping Stations – In addition to the Rosy Alley Pump Station included underSection 3 Item 1 of this RFQ, NPU owns, operates and maintains 37 small to mediumsized wastewater pump stations ranging in size from 3 to 70 horsepower (hp). NPUbudgets between $300,000 and $500,000 dollars in capital funds toward minor pumpstation improvements on an annual basis with a goal of replacing/rehabilitating atleast one minor pump station annualy.

4.0 RFQ SUBMITTAL REQUIREMENTS (Standard Form 330)

Prepare attached Standard Form 330.

Include in Section H. Additional Information –

1. Demonstration of Ability to Meet DEEP/CWF and or WBE/MBE requirements ifrequired by project funding.

2. Capacity to perform work.3. Familiarity with processing Clean Water Fund and WBE/MBE Projects.4. Other information that the Consultant believes conveys their qualifications and

experience.5. Rates

Selection of the firms is to be based on selection criteria, as listed in this RFQ and proposals that will be developed by the Selection Committee.

6.0 MINIMUM REQUIREMENTS FOR CONSULTING FIRM AND STAFF

Each proposing firm must clearly demonstrate that its staff meets or exceeds the following minimum requirements.

1. The Firm's Project Manager must be a professional engineer licensed to practice inConnecticut.

2. The Firm shall have demonstrated experience in sanitary sewer design technology,familiarity with distribution/collection system design and permitting, and municipalplanning.

3. The Firm shall have the ability to meet contract DEEP/CWF requirements if required.

4. The Firm must have provided services, similar to those being requested for at leastfive projects. Specific contact references, including scope of project and staffmember in charge, must be included in the proposal.

5. The Firm must assign a principal person to NPU from among its senior staff.Proposals must include resumes of all professional staff members who might beassigned to the project.

7.0 ADDITIONAL REQUIREMENTS

Each Firm should state, and demonstrate where possible, that the Firm and its staff meet, or will meet, the following additional requirements.

1. The staff assigned to serve NPU must have demonstrable expertise in the study anddesign of sanitary sewer system operations and improvements. The staff must alsohave experience in preparing reports with necessary sketches, diagrams, designs, andgraphics.

2. The Firm must assign a principal person to NPU from among its senior staff.Proposals must include resumes of all professional staff members who might beassigned to this project.

3. The staff shall have a good sense of City-wide and regional community relations, andbe able to work well with groups of city officials, citizens, and businesspersons. Thestaff assigned to serve NPU must have an understanding of environmental,community, social, and economic impacts of water treatment system upgrades andimprovements. Only those staff members specifically assigned to the project shouldbe listed. No substitutions will be allowed without the permission, in writing, ofNPU.

4. The staff assigned to serve NPU must be available on short notice to respond tospecific requests and for meetings with City officials days or nights as required, andmust be experienced in oral presentations to boards, commissions and publicmeetings.

5. The staff assigned to serve NPU must provide assurance that any person(s), officer(s)and/or official(s) employed by or associated with NPU has not been employed,retained, induced or directed to solicit or secure the Contract. In the event of anyallegation of substance (as determined by NPU) is substantiated, the firm shallcooperate fully with NPU in establishing whether or not the allegation is true.

6. The staff assigned to serve NPU should be familiar with the applicable provisions ofthe Connecticut General Laws, and the any other relevant laws and regulations of theState of Connecticut.

8.0 SELECTION CRITERIA

Qualifications Statements will be evaluated by a Selection Committee and scored on the basis of the information provided in the Qualifications Statement. NPU, depending upon the thoroughness of the Qualification Statements, may at its sole option , recommend placement of the consultant on the On-Call List based upon the initial Qualifications Statement submittal. Do not assume there will be an interview or opportunity for submittal of additional information.

If NPU intends to hold interviews, the Respondents to be interviewed will be contacted to schedule an interview.

After completing the evaluation and after selection of the consultants, a letter will be sent to all Respondents informing them of NPU’s decision. Contract awards will be made to the Respondents whose Qualification Statements best complies with the requirements of this Request and is in the best interest of NPU. Upon approval, the selected consultants will be required to execute an Agreement for Professional Services, a copy of which is attached to this RFQ, and provide required Insurance Information (Section 9.0). Upon execution of the Agreement and when the need for work arises, NPU will negotiate scope of services, level of effort, and fees with the selected consultants in the required service areas. A Notice to proceed or Purchase Order will be given by NPU via Task Orders which reference the binding contract and negotiated scope of services.

9.0 INSURANCE INFORMATION

The Contractor shall comply with each and every condition contained herein. The Contractor shall provide and maintain the minimum insurance coverage set forth below during the term of its agreement with Norwich Public Utilities. Any Subcontractor(s) hired by the Contractor shall maintain insurance coverage equal to that required of the Contractor. It is the responsibility of the Contractor to assure compliance with this provision. Norwich Public Utilities accepts no responsibility arising from the conduct, or lack of conduct, of the Subcontractor. The insurance requirements contained herein supersede any other insurance requirements referenced in the Bid documents.

With reference to the foregoing insurance requirements, Contractor shall specifically endorse applicable insurance policies as follows:

A. Norwich Public Utilities shall be named as an additional insured with respect toGeneral Liability, Automobile Liability, and if applicable, Pollution Liability andexcess/umbrella liability, all on a separate endorsement.

B. A waiver of subrogation in favor of Norwich Public Utilities shall be contained in theWorkers Compensation and all liability policies and must be provided through aseparate endorsement.

C. All insurance policies shall be endorsed to the effect that Norwich Public Utilitieswill receive at least thirty (30) days' written notice prior to cancellation or non-renewal of the insurance. Contractor is ultimately responsible for notice ofcancellation should its carrier be unable to comply with the above requirement.

D. All insurance policies, which name Norwich Public Utilities as an additional insured,must be endorsed to read as primary and non-contributory coverage regardless of theapplication of other insurance.

E. All insurance policies shall be endorsed to require the insurer to immediately notifyNorwich Public Utilities of any material change in the insurance coverage, as well asexhaustion of any aggregate limits.

F. All liability policies shall contain no cross-liability exclusions or insured versusinsured restrictions.

G. Required limits may be satisfied by any combination of primary and umbrella liabilityinsurances.

H. Contractor may maintain reasonable and customary deductibles, subject to approvalby Norwich Public Utilities.

I. Insurance must be purchased from insurers having a minimum A.M. Best rating of A-/ VIII.

J. Contractual Liability must be maintained covering the Contractors obligations containedin the contract. Certificates of Insurance shall be prepared and executed by the insurancecompany or its authorized agent and shall contain provisions representing and warrantingall endorsements and insurance coverages according to requirements and instructionscontained herein.

K. Upon request, Contractor shall furnish Norwich Public Utilities with certified copies of allinsurance policies.

L. A valid certificate of insurance verifying each of the coverages required above shallbe issued directly to Norwich Public Utilities within ten (10) business days aftercontract award and prior to starting any work by the successful contractor’s insuranceagent of record or insurance company. Also, prior to the start of any work and at thesame time that the Certificate of Insurance is issued and sent to Norwich PublicUtilities, all required endorsements identified in sections A, B, C and D, above shallbe sent to Norwich Public Utilities.

Contractor shall, at its own expense, maintain on all of its operations, not less than the following coverage and limits of insurance:

Workers' Compensation and Employers Liability Insurance.

Workers' Compensation insurance shall be provided as required by any applicable law or regulation. Employer’s Liability insurance shall be provided in amounts not less than:

$100,000 each accident for bodily injury by accident

$500,000 policy limit for bodily injury by disease

$100,000 each employee for bodily injury by disease A waiver of subrogation endorsement is required. If there is an exposure of injury to Contractor’s employees under the U.S. Longshoremen’s and Harbor Workers' Compensation Act, the Jones Act or under laws, regulations or statutes applicable to work on, next to, or above water, coverage shall be included for such injuries or claims.

General Liability Insurance.

Contractor shall carry Comprehensive General Liability or Commercial General Liability insurance covering all operations by or on behalf of Contractor, providing insurance for bodily injury liability and property damage liability for the limits of liability indicated below and including coverage for:

1. premises and operations;

2. products and completed operations;

3. contractual liability insuring the obligations assumed by Subcontractorin this Agreement,

4. broad form property damage (including completed operations);

5. explosion, collapse and underground hazards; and

6. personal and advertising injury liability

Except with respect to bodily injury and property damage included within the products and completed operation hazards, the aggregate limit, where applicable, shall apply separately to Contractor's work under this Agreement.

The limits of liability shall be not less than:

$1,000,000 each occurrence (combined single limit for bodily injury and property damage)

$2,000,000 general aggregate per project

$1,000,000 for personal/advertising injury liability

$2,000,000 aggregate for products-completed operations

The policy must have an endorsement providing that the general aggregate limit applied separately to this project.

Automobile Liability Insurance.

Contractor shall carry Automobile Liability insurance, including coverage for all owned, hired and non-owned automobiles. The limits of liability shall be not less than $1,000,000 combined single limit each accident for bodily injury and property damage.

Professional Liability Insurance.

Professional Liability insurance policy may be required if Contractor or their subcontractor provides services of a professional nature, including design or design/build services to the project. Professional Liability insurance in an amount not less than $1,000,000 per claim/$1,000,000 annual aggregate shall apply. Evidence of coverage in the form of a Certificate of Insurance shall be provided prior to the start of work.

Property Insurance

Contractor shall be responsible for maintaining any and all property insurance on their own equipment and shall require all subcontractors to do likewise.

Pollution Liability

If Contractors or their Subcontractors are required to perform hazardous material operations such as asbestos containing materials, containing soil, etc., they must, in addition to the above requirements, carry a "Contractor's Pollution Liability" policy with limits not less than $1,000,000 per occurrence and not less than $1,000,000 aggregate for bodily injury, personal injury and property damage, naming Contractor as additional insured. If Contractor or their subcontractors haul hazardous waste they must carry Automobile Liability insurance with $1,000,000 combined single limit per occurrence for bodily injury and property damage applicable to all hazardous waste hauling vehicles and include the MCS 90 endorsement.

Norwich Public Utilities shall have sole discretion in increasing the Pollution Liability coverage requirements depending on the scope and/or size of the work performed by Contractor.

Umbrella/Excess Liability Insurance

Coverage applies over the underlying Commercial General Liability, Automobile Liability, pollution liability (where applicable), and Employer Liability section of the Workers Compensation Coverage. AGREEMENT FOR PROFESSIONAL SERVICES

THIS AGREEMENT is entered into by and between CONSULTANT NAME, CONSULTANT ADDRESSS, CITY, STATE, ZIPCODE, hereinafter called “Consultant” and Norwich Public Utilities, 16 South Golden Street, Norwich, CT 06360, hereinafter called “NPU,” and is effective as of the date the second party to the agreement signs and dates the contract.

WHEREAS, NPU desires to enter into a contract for services, and the Consultant represents itself as competent and qualified to accomplish the specific requirements of this contract to the satisfaction of NPU, therefore this contract is entered into under the following terms and conditions:

1. TERM OF THE CONTRACT: The start date for this contract is MONTH, DAY 2020 and the completion date shall be MONTH DAY, 2020. The contract may be renewed annually for up to two additional one-year terms.

2. SERVICE TO BE PERFORMED: The Consultant shall perform the services in accordance withthe provisions contained in the agreement and according to the task order or individual purchase order issued for on call engineering services.

3. COMPENSATION: In the amount agreed to by NPU and the “Consultant” for each task order or purchase order.

4. STANDARD OF CARE: Consultant shall exercise the same degree of care, skill, and diligence in the performance of the Services as is ordinarily provided by a Consultant under similar circumstances and Consultant shall, at no additional cost to NPU, re-perform services which fail to satisfy the foregoing standard of care.

5. INDEMNIFICATION: The Consultant agrees to indemnify, defend and hold and save harmless NPU, its officers (both appointed and elected), boards, commissions, agents, servants and employees from and against any loss, including financial losses, injury, damage, claim, lien or costs, including litigation expenses and attorney’s fees arising out of negligence or fault of the Consultant in the performance of its services and activities pursuant to this Agreement..Upon completion of all services, obligations and duties provided for in this Agreement, or in the event of termination of this Agreement for any reason, the terms and conditions of this Article shall survive indefinitely.The Consultant shall pay all claims, losses, liens, settlements or judgments of any nature whatsoever in connection with the foregoing indemnifications including, but not limited to, reasonable attorney's fees (including appellate attorney's fees) and costs.

NPU reserves the right to select its own legal counsel to conduct any defense in any such proceeding and all costs and fees associated therewith shall be the responsibility of Consultant under the indemnification agreement. Nothing contained herein is intended nor shall it be construed to waive NPU’s rights and immunities under the common law or Connecticut General Statutes as amended from time to time.

6. INDEPENDENT CONSULTANT: Consultant undertakes performance of the services as anindependent contractor under this Agreement, and shall be wholly responsible for the methodsof performance. NPU shall have no right to supervise the methods used, but NPU shall have theright to observe such performance. Consultant shall work closely with NPU in performingservices under this Agreement.

7. PAYMENTS: NPU shall pay the consultant the fee submitted by the consultant and acceptedby NPU, subject to the specifications of the job and subject to any additions and deductions bysubsequent changes to the task order and the purchase order. Invoices to NPU must referencethe purchase order to ensure prompt payment. Payment terms are net 30 after receipt of aproperly executed invoice.

8. COMPLIANCE WITH LAWS: In performance of the services, Consultant shall comply withapplicable regulatory requirements including federal, state, and local laws, rules regulations,orders, codes, criteria and standards.

9. INSURANCE: During the performance of the services under this Agreement, the Consultantshall maintain the following insurance policies, written by an insurance company authorized todo business in Connecticut, and shall provide the City with a Certificate of Insurance naming NPUand the City of Norwich as additional insured on the following policies:

• Comprehensive General Liability (including completed operations coverage) in theamounts of $1,000,000 each occurrence and $2,000,000 aggregate

• Commercial Automobile Coverage, including owned, non-owned, leased and hiredvehicles (if used on City property) in the amount of $1,000,000 combined single limit.

• Professional Liability (Errors and Omissions) Insurance in the amount of $2,000,000each occurrence

• Workers Compensation Coverage in accordance with State of Connecticut requirements.The policy must contain a waiver of subrogation in favor of the City of Norwich, executedby the insurance company.

The minimum limits of coverage shall be $1,000,000 per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This coverage shall be an "Any Auto" type policy. NPU must be listed as an Additional Insured under the Policy. Thirty (30) days written notice must be provided to the City via Certified Mail in the event of cancellation.

In the event that sub-Consultants used by the Consultant do not have insurance, or do not meet the insurance limits, Consultant shall indemnify and hold harmless NPU for any claim in excess of the sub-Consultants' insurance coverage, arising out of negligent acts, errors or omissions of the sub-Consultants.

Consultant shall not commence work under this Agreement until all insurance required as stated herein has been obtained and such insurance has been approved by NPU.

10. NPU’S RESPONSIBILITIES: NPU shall be responsible for providing access to all project sites,and for providing project-specific information.

11. TERMINATION OF AGREEMENT

Termination for Convenience: This Agreement may be terminated by NPU for convenience,upon seven (7) days of written notice by the terminating party to the other party for suchtermination in which event the Consultant shall be paid its compensation for services performedto termination date, including services reasonably related to termination. In the event that theConsultant abandons this Agreement or causes it to be terminated, Consultant shall indemnifyNPU against loss pertaining to this termination.

Default by Consultant: In addition to all other remedies available to NPU, this Agreement shallbe subject to cancellation by NPU for cause, should the Consultant neglect or fail to perform orobserve any of the terms, provisions, conditions, or requirements herein contained, if suchneglect or failure shall continue for a period of thirty (30) days after receipt by Consultant ofwritten notice of such neglect or failure.

12. NONDISCLOSURE OF PROPRIETARY INFORMATION: Consultant shall consider allinformation provided by NPU and all reports, studies, calculations, and other documentationresulting from the Consultant's performance of the Services to be proprietary unless suchinformation is available from public sources. Consultant shall not publish or disclose proprietaryinformation for any purpose other than the performance of the services without the prior writtenauthorization of NPU or in response to legal process.

13. UNCONTROLLABLE FORCES: Neither NPU nor Consultant shall be in default of thisAgreement if delays in or failure of performance shall be due to Uncontrollable Forces, the effectof which, by the exercise of reasonable diligence, the non-performing party could not avoid. Theterm "Uncontrollable Forces" shall mean any event which results in the prevention or delay ofperformance by a party of its obligations under this Agreement and which is beyond thereasonable control of the nonperforming party. It includes, but is not limited to fire, flood,earthquakes, storms, lightning, epidemic, war, riot, civil disturbance, sabotage, andgovernmental actions.

Neither party shall, however, be excused from performance if nonperformance is due to forces,which are preventable, removable, or remediable, and which the nonperforming party couldhave, with the exercise of reasonable diligence, prevented, removed, or remedied withreasonable dispatch. The nonperforming party shall, within a reasonable time of beingprevented or delayed from performance by an uncontrollable force, give written notice to theother party describing the circumstances and uncontrollable forces preventing continuedperformance of the obligations of this Agreement.

14. CONNECTICUT LAW: It is agreed that this contract shall be governed by, construed, andenforced in accordance with the internal laws of the State of Connecticut.

15. VENUE: In the event of litigation, the parties do agree to be contractually bound to submitthemselves to the personal jurisdiction of the state courts of Connecticut. The venue for anycourt proceeding shall be in the Superior Court for the Judicial District for New London at NewLondon, Connecticut.

16. WAIVER OF JURY TRIAL: CONSULTANT HEREBY EXPRESSLY WAIVES ANY AND ALLRIGHTS IT MAY HAVE TO TRIAL BY JURY OF ANY CLAIM, DEMAND, ACTION OR CAUSEOF ACTION (1) ARISING UNDER THIS AGREEMENT OR ANY OTHER INSTRUMENT,DOCUMENT OR AGREEMENT EXECUTED OR DELIVERED IN CONNECTION HEREWITH,OR (2) IN ANY WAY CONNECTED WITH OR RELATED OR INCIDENTAL TO THE DEALINGSOF THE PARTIES HERETO OR ANY OF THEM WITH RESPECT TO THIS AGREEMENT ORANY OTHER INSTRUMENT, DOCUMENT OR AGREEMENT EXECUTED OR DELIVERED INCONNECTION HEREWITH, OR THE TRANSACTIONS RELATED HERETO OR THERETO, INEACH CASE WHETHER NOW EXISTING OR HEREAFTER ARISING, AND WHETHERSOUNDING IN CONTRACT OR TORT OR OTHERWISE; AND CONSULTANT HEREBYAGREES AND CONSENTS THAT ANY SUCH CLAIM, DEMAND, ACTION OR CAUSE OFACTION SHALL BE DECIDED BY COURT TRIAL WITHOUT A JURY, AND THE CITY MAYFILE AN ORIGINAL COUNTERPART OR A COPY OF THIS SECTION WITH ANY COURT ASWRITTEN EVIDENCE OF CONSULTANT’S CONSENT TO THE WAIVER OF ITS RIGHT TOTRIAL BY JURY.

17. MISCELLANEOUSNon-waiver: A waiver by either NPU or Consultant of any breach of this Agreement shall notbe binding upon the waiving party unless such waiver is in writing. In the event of a writtenwaiver, such a waiver shall not affect the waiving party’s rights with respect to any other orfurther breach. The making or acceptance of a payment by either party with knowledge of theexistence of a default or breach shall not operate or be construed to operate as a waiver of anysubsequent default or breach.

Severability: Any provision in this Agreement that is prohibited or unenforceable in anyjurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition orunenforceability without invalidating the remaining provisions hereof or affecting the validity orenforceability of such provisions in any other jurisdiction. The non-enforcement of any provisionby either party shall not constitute a waiver of that provision nor shall it affect the enforceability ofthat provision or of the remainder of this Agreement. The provisions of this section shall notprevent the entire Agreement from being void should a provision, which is of the essence of theAgreement, be determined to be void.

18. SUCCESSORS AND ASSIGNS: NPU and Consultant each binds itself and its director, officers,partners, successors, executors, administrators, assigns and legal representatives to the otherparty to this Agreement and to the partners, successors, executors, administrators, assigns, andlegal representatives.

19. CONTINGENT FEES: The Consultant warrants that it has not employed or retained anycompany or person, other than a bona fide employee working solely for the Consultant tosolicit or secure this Agreement and that it has not paid or agreed to pay any person,company, corporation, individual or firm, other than a bona fide employee working solely for theConsultant, any fee, commission, percentage, gift or any other consideration contingent upon orresulting from the award or making of this Agreement.

20. TRUTH-IN-NEGOTIATION CERTIFICATE: Execution of this Agreement by the Consultant shallact as the execution of a truth-in-negotiation certificate certifying that the wage rates and costsused to determine the compensation provided for in this Agreement are accurate, complete andcurrent as of the date of the Agreement and no higher than those charged the Consultant’s mostfavored customer for the same or substantially similar service.

The said rates and cost shall be adjusted to exclude any significant sums should NPU determine that the rates and costs were increased due to inaccurate, incomplete or non-current wage rates or due to inaccurate representations of fees paid to outside Consultants. NPU shall exercise its rights under this "Certificate" within one (1) year following payment.

21. OWNERSHIP OF DOCUMENTS: Consultant shall be required to work in harmony with otherConsultants relative to providing information requested in a timely manner and in the specifiedform. Any and all documents, records, disks, original drawings, or other information shall becomethe property of NPU upon completion for its use and distribution as may be deemed appropriateby the NPU.

22. FUNDING: This agreement shall remain in full force and effect only as long as the expendituresprovided for in the Agreement have been appropriated by NPU in the annual budget for eachfiscal year of this Agreement, and is subject to termination based on lack of funding.

23. NOTICE: Whenever either party desires or is required under this Agreement to give notice toany other party, it must be given by written notice through email, or delivered in person, sent byUnited States Postal Service (USPS) Certified Mail, USPS Express Mail, air or ground courierservices, or by messenger, as follows:

Changes in the respective addresses to which such notice may be directed may be made from time to time by any party by written notice to the other party. Email or Facsimile is an acceptable notice and is effective at the date and time received. Notices received after 4:30 p.m. on weekends or holidays will be deemed received on the next business day.

Nothing contained in this Article shall be construed to restrict the transmission of routine communications between representatives of Consultant and NPU.

This agreement may be executed simultaneously in any number of counterparts, each of which will be deemed to be an original regardless of whether the executed copy is provided via hard copy, electronically, or via facsimile, and all counterparts will constitute but one and the same instrument.

PURPOSE Federal agencies use this form to obtain information from architect-engineer (A-E) firms about their professional qualifications. Federal agencies select firms for A-E contracts on the basis of professional qualifications as required by 40 U.S.C. chapter 11, Selection of Architects Engineers, and Part 36 of the Federal Acquisition Regulation (FAR). The Selection of Architects and Engineers statute requires the public announcement of requirements for A-E services (with some exceptions provided by other statutes), and the selection of at least three of the most highly qualified firms based on demonstrated competence and professional qualifications according to specific criteria published in the announcement. The Act then requires the negotiation of a contract at a fair and reasonable price starting first with the most highly qualified firm.
