THE PERMITTEE SHALL: GENERAL OBLIGATIONS AND RESPONSIBLITIES

1. Assume all legal liability and financial responsibility for the encroachment activity for the duration of the encroachment, including indemnify, defend, and save harmless ADOT and the State of Arizona and any of its departments, agencies, boards, commissions, universities, officers, officials, agents and employees from and against any and all claims, demands, suits, actions, proceedings, loss, costs, damages of every kind, or expenses, including court costs, reasonable attorney's fees and/or litigation expenses, and costs of claim processing and investigation, arising out of bodily injury or death of any person, or tangible or intangible property damage, caused, or alleged to be caused, in whole or in part, by the negligent or willful acts, or omissions of the Permittee, any of its directors, officers, agents, employees, or volunteers, or its contractor or subcontractors. This indemnity includes any claim or amount arising out of or recovered under the Workers' Compensation Law or arising out of the contractor's failure to conform to any federal, state or local law, statute, ordinance, rule, regulation or court decree. Permittee and Contractor agree to provide ADOT with certificate(s) of insurance consistent with the requirements stated in the ADOT Permit Insurance Matrix to include naming State of Arizona/ADOT as an Additional Insured with respects to General Liability and Automobile Liability and provide a Waiver of Subrogation endorsement in favor of the State of Arizona/ADOT for all insurance coverages. The required insurance shall be kept in force by the Permittee and its contractors/subcontractors for the term of the permit and shall not expire, be cancelled or materially changed to affect coverage available to the State without thirty (30) days written notice to the State. Automobile and Worker's Compensation coverage requirements are dependent upon the use of employees and autos for the encroachment activity. Please refer to the ADOT Permit Insurance Matrix to determine requirements for coverage, limits, language and other insurance related items specific to each permit. Permittee agrees to maintain and make available to ADOT all contractors/subcontractors' certificates upon demand. ADOT reserves the right to require an increase or allow a decrease in insurance limits or coverage based on the risks and financial exposure arising out of the event or activity proposed in the permit application. The Encroachment Permit is issued upon the expressed condition that ADOT and The State of Arizona does not protect or insure against loss of personal property or improvements owned by Permittee.

2. Comply with Environmental Laws. A. Environmental Laws refer collectively to any and all federal, state, or local statute, law, ordinance, code, rule, regulation, permit, order or decree regulating, relating to, or imposing liability or standards of conduct on a person discharging, releasing or threatening to discharge or release or causing the discharge or release of any hazardous or solid waste or any hazardous substance, pollutant, contaminant, water, wastewater or storm water, and specifically includes, but is not limited to: The Solid Waste Disposal Act, as amended by the Resource Conservation and Recovery Act; the Comprehensive Environmental Response, Compensation and Liability Act, as amended; the Toxic Substances Control Act; the Clean Water Act (CWA); the Clean Air Act; the Occupational Safety and Health Act; the Arizona Water Quality Act Revolving Fund Act, the Arizona Hazardous Waste Management Act, any applicable National Pollutant Discharge Elimination System (NPDES) or Arizona Pollution Discharge Elimination System (AZPDES) permit, any applicable CWA Section 404 permit, or any local pretreatment or environmental nuisance ordinance.

i. Shall comply with any and all Environmental Laws; ii. Ensure that no activity under this Permit shall cause ADOT to be in violation of any Environmental Laws; iii.

C. If the Permittee fails or refuses to comply with any Environmental Laws, or causes ADOT to be in violation of any Environmental Laws; ADOT may at its sole and unreviewable discretion, (1) revoke this Permit; (2) require the Permittee to undertake corrective or remedial action to address any release or threatened release or discharge of the hazardous substance, pollutant or contaminant, water, wastewater or storm water; and (3) expressly consents to entry of injunctive relief to enforce any listed remedies.

Indemnify ADOT for any losses, damages, expenses, penalties, liabilities or claims of any nature whatsoever suffered by or asserted against ADOTas a direct or indirect result of the disposal, escape, seepage, leakage, spillage, discharge, emission, or release of any hazardous waste, solidwaste, hazardous substance, pollutant or contaminant, water, wastewater or storm water and losses, damages, expenses, penalties, liabilitiesand claims asserted or arising under the Environmental Laws, or for ADOT's costs in undertaking corrective action pursuant to an order of orsettlement with a duly authorized regulatory agency or injured third party or for any penalties associated with Permittee's activities;

3. Be responsible for any repair or maintenance work and repair any aspect or condition of the encroachment that causes danger or hazard to the traveling public, for the duration of the encroachment and must perform such work under the appropriate encroachment permit authorization;

4. Comply with ADOT's traffic control standards with an ADOT approved traffic control plan;5. In any case and at the Department's discretion; ADOT may require written approval from the abutting property owner prior to issuance of the

encroachment permit. If the encroachment encroaches on abutting property owned by someone other than the permittee (and/or on underlying fee land owned by someone other than the permittee where ADOT owns its right of way by easement), the Permittee must obtain written approval from the abutting property owner (and/or underlying fee owner where ADOT owns its right of way by easement).

6. ADOT reserves the right to require the permittee to perform any repairs necessary to the encroachment throughout the life of the encroachment; 7. Remove the encroachment and restore the right-of-way to its original or better condition if ADOT cancels the encroachment permit, and terminates all rights

under the permit, or if the project terminates for any reason beyond ADOT's control; 8. Reimburse ADOT for costs incurred or deposit with ADOT money necessary to cover all costs incurred for activities related to the encroachment, such as

inspections, restoring the right-of-way to its original or better condition, removing the encroachment, or repair encroachment to originally permitted condition and comply with ADOT's bond policy as applicable;

9. Notify new owner of property or encroachment to apply for an ADOT encroachment permit, as required by Arizona Administrative Rule R17-3-502(D); 10. Apply for a new encroachment permit if the use of the permitted encroachment or the use of adjoining property changes; 11. Keep a copy of the encroachment permit at the work site or site of encroachment activity; 12. Construct the encroachment according to attached Specifications, Standards and the plans approved by ADOT as part of the final permit; any changes shall

be approved by ADOT prior to implementation; 13. Obtain all required permits from other government agencies or political subdivisions; 14. Remove any defective materials, or materials that fail to pass ADOT's final inspection, and replace with materials ADOT specifies. 15. Have the right to a hearing as prescribed in Arizona Administrative Code, R17-3-509 if the permit application is denied; 16. Understand that once issued, the permit is revocable and subject to modification or abrogation by ADOT at any time, without prejudice.

By accepting an ADOT approved Encroachment permit, the Permittee agrees to the requirements described in the permit, to be responsible for all permit requirements, and to comply with ADOT's requirements as set out in the permit. GEN 2 a) If the City of Sedona will be employing a contractor to install the wayfinding signs, banners, and monuments the contractor will need to submit a revised encroachment permit application showing the City of Sedona as the encroachment owner and the contractor listed as the Authorized Agent/Applicant. b) If a contractor will be employed they will need to provide a Certificate of Insurance and all supporting endorsement forms per the Encroachment Permit Insurance checklists. c) If a traffic control subcontractor will be used the contractor will also need to supply a Certificate of Insurance and all supporting endorsement forms per the Encroachment Permit Checklist.

GEN 3 Applicant needs to provide milepost numbers for all proposed sign locations. ADOT needs to assure the proposed signs are not blocking ADOT signs, does not intrude into any sidewalk or pedestrian path and are not placed in advance of a given intersection. It is the responsibility of the design engineer to identify locations that do not conflict with the visibility of ADOT signs. Add the mileposts next to the sign identification number on each proposed location page.

GEN 4 Sign materials shall meet requirements of ADOT TGP 380. All signs within ADOT right-of-way shall be flat- panel signs with retro-reflective material per ADOT standards. Three-dimensional aluminum cutouts are not allowed. Include a note stating that all wayfinding signs; with the exception of signs

All wayfinding signs will meet ADOT requirements for reflectivity and consist of a flat panel design. Exceptions for flat panel designs are the proposed Gateway signs. Exceptions for reflective sheeting may be pedestrian intended signs.-VE

intended for the benefit of pedestrian traffic, will use retro-reflective sheeting.

GEN 5 The plans for installation of Wayfinding Signs shall: 1. Identify distance from the nearest Mile post sign. 2. Provide the distance from the back of curb to the near sign edge. 3. Verify that the proposed signs will not infringe on AASHTO sight distance requirements for vehicles accessing the state route. I don’t expect this to be a problem with a 5 & 7-foot bottom height but where drive grades are steep or with terrain infringements it could be an issue. 4. Indicate any vegetation removal required. 5. Indicate all existing signs to be replaced by installation of these wayfinding g signs.

GEN 6 Provide a schedule for when the wayfinding signs outside of ADOT right-of-way will be installed.

Wayfinding signs on City Right of ways began on N SR 89A, sign installations were completed January 2018. Ideally the rest of the wayfinding signs would be done at the same time, design is budgeted and after ADOT permits are issued.,

DOT approved specs for slip base anchor have been added to the sign message schedule. Posts and final anchor designs will need to engineered for proper wind loads and sign sizes.

GEN 9 All wayfinding signs shall have a consistent visual identifier, and be of the same background color. Signs of similar shape is recommended.

The intent is to have uniform signs with the same color palette same font-Todd

GEN 10 Wayfinding sign designs shall be consistent. Proposed trail signs are not visually consistent with the other wayfinding signs.

Signs are consistent as they relate to design, color and shape, see updated submittal.

6.7 11 Banners must be compliant with national standards. Banners shall not be placed on any light pole, signal pole or within the roundabout.

Acknowledged. Banners have been removed from the project at this time.-VE

5.1 12 Will Gateway signs be illuminated? Currently the gateway sign on SR-89A, SB, milepost 375.2 has lighting. Will this lighting be removed or used?

Yes, the power at this location (SB N SR 89A) shall be removed, as there are no agreements with the new property owner to supply power. We are looking at solar lighting for the Gateway signs VE

13 Abbreviations should be kept to a minimum and should include only those approved in the Manual of Uniform Traffic Control Devices (MUTCD) and ADOT List of Abbreviations. 2.1 14 The following sign are not permitted within state right-of-way: 1D9 , 1D10, 1D11, & 1D12

I believe all of these signa are intended to be on private property or city row and have been removed from the ADOT submittal docs. Q 14 & 16, are the same.-VE

2.1 15 The sign type – G1 as depicted shall follow the requirements of ADOT Traffic Guidelines & Procedures (TGP) 332 they are a unique sign for the entrance of a community. A separate permit application will be required for these signs. One permit application for each state route. The existing city entrance signs shall be removed from the State Right-of-way.

A separate permit application shall be submitted for the G1 (Gateway) signs, one per each state route. Two of the existing signs are on private property, we can commit to the removal/replacement of the ADOT permitted sign located at SB milepost 375.2 upon approval of a new G1 sign at this location. We can also commit to work with the property owners, and request removal of the other signs on private properties’.

16 The installation of the Place Identifier Signs, ID9 thru ID13, are excluded from placement within the state Right-of-way.

I believe all of these signs are intended to be on private property or city row and have been removed from the ADOT submittal docs. Q 14 & 16, are the same.-VE

GEN 17 Background colors of wayfinding shall not be a standard MUTCD sign color. Confirm that the background cannot be confused for red.

The color red in the MUCTD is also usually associated with a unique shape. Color samples of the sign background and the color red have been provided in the sign message schedule for comparison.

GEN 18 Signs can only have a maximum of 3 destinations (Sign V10.1 and V10.2 exceed this limit).

Signs have been revised to not exceed more than three destinations per sign.

GEN 19 ADOT TGP states that wayfinding should be for region's MOST prominent features and attractions. Every trailhead, dog park, and community pool do not meet that standard.

Proposed signs can occupy up to three lines, we would like to take advantage of all sign locations, which may include opportunities that may be deemed less prominent.

GEN 20 ADOT TGP states that wayfinding should be done with the MINIMUM number of signs. Plans provided show upwards of 25 new signs on SR 89A and 11 new signs on SR 179.

New submittal calls out for 38 signs if you include the 3 Gateway signs. Keep in mind that 15 of these signs are proposed as replacements for existing signs on ADOT ROW. So we are proposing 18 new sign locations.

GEN 21 Some of the proposed signing already has existing ADOT signs (example: Crescent Moon Ranch, Police, Community Center, Recycling Center, Posse Ground Park, Airport, Adobe Jack, Chapel of Holy Cross, etc.)

The Community Center & Posse Grounds Park signs are under ADOT permits and maintained by the City of Sedona. The Recycling sign is also under an ADOT permit issued to Sedona Recycles. I believe the idea to include these signs was to make all way finding signs similar and part of one plan.. to be maintained in the future by City of Sedona-VE
