1. CONTROL REGULATIONS :The supply and despatch should be arranged in strict conformity with control regulations applicable and after obtaining all required permits, if any, under

all applicable Central/State Laws, Rules, Regulations etc. as may be in force from time to time.

2. DELIVERY PERIOD : All goods should be despatched within the delivery period specified in the order unless the time limit is extended by us in writing,failing which ,we shall

have the option to cancel the order and purchase the goods from the market at the supplier's risk and cost. Any loss thus incurred or difference in price

will be on supplier's account. Time is the essence of this contract.

3. PACKING : All goods should be securely packed to avoid damage and / or pilferage in transit. The packing conditions prescribed in the goods tariff should be strictly

observed in case of despatch by Rail. Any loss incurred due to such damage or pilferage shall be on supplier's account.

4. PACKING SLIP : All packages containing goods should have packing slips as provided under Standards of Weights and Measures Act and the Rules framed there under

mentioning particulars and full details of the material/goods despatched,our Order No, date etc.,any non compliances or defaults resulting in losses /damage

shall be to the supplier's account. In the absence of packing slips, any delay in informing shortage etc. shall not be our responsibility.

5. DESPATCH OF GOODS : In case of despatch through road/by post, all goods should be despatched to Continental India Limited,7th Milestone (Meerut-Roorkee Road)

& DOCUMENTS ,Modipuram-250110, Meerut, U.P. and in case of despatch through train all goods should be booked to Meerut City or to our siding at Pablikhas as

may be decided by us.According to our instructions G.R /R.R. & other despatching documents should be obtained in our name and forwarded to

without any delay. Any wharfage, demurrage or such other charges, which may have to be paid owing to late delivery of goods, shall be borne solely by

the supplier.

6. INVOICES : All valid invoices and challans giving particulars of our Order No /Indent No. with date etc. should be sent to us in duplicate with the other documents,

duly mentioning Railway/Goods/Postal Receipt No. and date, therein and giving all other information etc. as required in the applicable laws and Rules

including Central Excise Rules etc. An advance copy of your invoice and challan should be sent by ordinary post directly to us.The Suppliers shall

issue valid invoices under the prevailing rules and shall be solely liable for making all compliances and supplying all information as required / specified

 /laid down under the Central Excise Rules prevailing presently or as amended from time to time.In case of losses/loss of benefits suffered by us under

Central Excise Rule; on account of any non compliance or de fault or non supply of relevant information/document,the same shall be to the Supplier

account.

7. SPECIFICATION : All goods which are not approved, being not considered by us to be in accordance with the specifications, or not being of standard quality or for any

other cause, are liable to be returned to Suppliers at their own risk, responsibility & cost. Freight, Terminal Tax and other actual expenses shall be borne

by the Suppliers for both sides in such an event. All decisions pertaining to quality etc. of the goods taken by us shall be final and binding upon the

Suppliers.

8. WEIGHMENT : The weight as per our weighbridge / weighing scale or the quality actually received as determined by us will be treated as final for making payments.

Supplier may have their representatives present on such occasions if they deem it necessary. However, our decision shall be final and binding upon

the suppliers.

9. RATES : The rates mentioned in this order are firm and are not subject to any increase, whatsoever.

10. LIABILITY FOR MFG. : In case of any loss suffered by us on account of any defect in manufacturing of the goods, the same shall be the liability of the Supplier and the Supplier

DEFECTS hereby undertake to be solely responsible and liable for all such losses arising as a consequence thereof.

11. INSURANCE : Insurance will be arranged by us, declaration / despatch particulars need not be sent to our underwriters.

12 .GENERAL : It is agreed that only the Courts. at Meerut shall have Jurisdiction in any legal matter or dispute arising out of this order.
