1.0 Introduction

We are pleased to submit our service proposal for consideration by Bilfinger Berger and Clackmannanshire Council for the provision of the Technical Advisor service for the Clackmannanshire Schools PPP Project. Cyril Sweett has a well established track record in the provision of PPP services. Our value chain extends through the entire procurement, construction and operational process and has developed further as the PPP market has matured to include the provision of specialist advice to support reinvestment and refinancing of PPP projects. Understanding of PFI / PPP In recognition of the unique skills and understanding required for delivering PPP projects we have identified a specialist team of experts, bringing together our staff from across the business both in terms of geographic location and technical discipline. Specifically, we have identified clusters of resource within London, Edinburgh, Bristol, Manchester and Leeds who meet regularly to share information and disseminate knowledge. This process of coordination allows us to improve the value of our service offering and ensure we are constantly evolving and improving our operational delivery. We believe this process helps keep us ahead of our competitors and add value to our Clients through a better understanding of their projects and requirements. Examples of how this has contributed to our Clients business activities include:

• The provision of specialist advice to a Senior Lender in connection with the use of Performance Bonds within the PFI sector

• Development of the leisure PFI payment mechanism model for the Department of Culture, Media and Sport following concerns raised by major bidders within the sector as to the previous models operability and suitability for the PFI market

• Provision of joint workshops to Local Authority and PFI Consortia on the operation of PFI projects and the specific issues which arise in relation to certification of project completion

Our Position in PFI/PPP Our experience in the PFI/PPP market began in 1995 with us coordinating the formation of bidding consortia for the first wave hospital projects. We are now regularly approached by public and private sector clients to assist in their projects within education, defence, leisure, custodial and health sectors. We believe our track record demonstrates we have niche expertise in the following key PFI/PPP sector services:

• Due diligence including primary, reinvestment and refinancing • Bid support including coordination and supply chain management • Cost advice including capital, lifecycle and operational advice and benchmarking • Consortium Employers Agent • Technical Advisor, both during construction and increasingly, during operations • Independent Certifier

We have successfully completed major and extremely complex projects in our capacity as Independent Certifier and are regularly invited to bid for this role; as a result we are currently involved in the certification of over 40 PPP schools with a capital value in excess of £350m. Our PFI/PPP Experience As a business, Cyril Sweett has a significant involvement in the PFI / PPP sector particularly within education, health, defence, custodial and leisure. Further a field and in conjunction with our international joint venture partners we are exporting our PPP advisory skills into the German, Spanish and Portuguese markets. Projects ongoing or recently completed and which have specific relevance to the proposed Border Schools commission include: Education Projects Service Description

Salford Schools Cyril Sweett is scheduled to provide Independent

Certifier duties on this £40m project to provide two new secondary schools. The scheme is due for financial close in November 2006.

Border Schools PPP Cyril Sweett is scheduled to provide Independent Certifier duties for this £70m provision of three new secondary schools. The scheme is due for financial close in November 2006.

Barnsley Schools PFI Project Cyril Sweett provided technical Due Diligence to the Senior Lender and continues to provide the Technical Advisor and Independent Certifier services.

Redcar Schools PFI Project Cyril Sweett provided technical Due Diligence to the Senior Lender and continues to provide the Technical Advisor and Independent Certifier services.

Gateshead Schools PFI Project

Cyril Sweett has provided full Technical Advisory services to the Local Authority during their procurement of their schools PFI project. We are retained as an ongoing periodic advisor to the council.

Rochdale Schools PFI Project

Cyril Sweett provided Due Diligence to the Senior Lender through to Financial Close. We are now providing Employers Agent, Certifier and Funders Technical Advisor services as a combined resource appointment.

South Lanarkshire Schools PPP Project

Cyril Sweett is provided Due Diligence to this bond financed schools project. Beyond Financial Close we will are retained to provide the Funders Technical Advisor Service.

Highland Schools PPP Project

Cyril Sweett is appointed as Technical Advisor (Independent Certifier) since May 2006. The project involves a mixture of ten academy schools and primary schools, located around Inverness and the West Coast.

East Dunbartonshire Schools PPP

Cyril Sweett are appointed to provide the Due Diligence and Technical Advisor service to the recently appointed preferred bidder. Beyond financial close, we are scheduled to continue the technical monitoring on behalf of the senior lender and provide the Independent Certifier service.

Health Projects Service Description

Coventry New Hospitals Cyril Sweett has been involved in this major hospital development since 2002, in our capacity as technical advisor to the consortium. The project reached Financial Close in November 2002 and Cyril Sweett has continued to provide fulltime resource to the consortium as Employers Agent.

Dudley Group of Hospitals Cyril Sweett recently completed our service as Independent Tester as a joint appointment between the Trust and the SPV. This complex, multi phase refurbishment and new build project involved close working with the project team to help ensure delivery of each phase was achieved.

Hairmyres Hospital Cyril Sweett was originally retained to provide Due Diligence and Funders Technical Advisor services to this, one of the original PFI hospital schemes. After completion of the scheme we were involved in the refinancing and retained as Operational Monitor for the new syndicate of funders.

Bishop Auckland Hospital Cyril Sweett provided pre Financial Close bid support services to this scheme which was signed in May 1999. During the build stage, we provided the Employers Agent role as well as a coordination of the commissioning and mobilisation for the hospital and the FM providers.

Wolverhampton Leisure Centre

Cyril Sweett is provided Due Diligence to the Senior Lender through to Financial Close in April 2005, beyond which we have continued as Employers Agent, Certifier and Funders Technical Advisor.

Amber Valley Leisure Centre Cyril Sweett is provided Due Diligence to the Senior Lender through to Financial Close, in April 2006 and is now providing the Employers Agent, Certifier and Funders Technical Advisor services.

Rotherham Leisure Centre Cyril Sweett is providing Due Diligence to the Senior Lender through to Financial Close, targeted for September 2006, beyond which we will provide the Employers Agent, Certifier and Funders Technical Advisor services.

Solihull Leisure Centres

Cyril Sweett undertook the Due Diligence to the Senior Lender through to Financial Close in April 2006, and is now providing the Certifier and Funders Technical Advisor services.

Government / Local Authority Service Description

DVLA Swansea / National Estate

In April 2005, the Department of State for Transport and Land Securities Trillium signed a £150m PFI project to transform the whole of the DVLA estate across some 45 sites. The initial project entails a £30m refurbishment of the main Morriston site in Swansea. Cyril Sweett has been retained on a 5-year framework appointment to provide the Independent Certifier service.

North Yorkshire Fire Service Cyril Sweett provided the Due Diligence and Funders Technical Advisor service for the project which included the provision of a new fire station outside York and a Fire Training Facility at Easingwold.

South Wales Fire Service Cyril Sweett was retained by the Authority and the SPV to provide the role of the Independent Certifier. As completion approached, the SPV sought to refinance the project and Cyril Sweett were commissioned to undertake the refinancing due diligence on behalf of the new Funder.

Our Commitment to this Project This project will have a dedicated and highly competent resource at its disposal throughout. The commission will be led by a Director experienced and specialising in the provision of PFI Technical Advisory Services. This will ensure that the highest standards of service are delivered and maintained at all times. Eric Allen will provide the Director leadership. Eric has been instrumental in establishing our Due Diligence and Technical Advisory services in the business and has been involved in a number of the above projects and many more besides. If appointed, Ronald McNeil will undertake the role of the lead certifier with support provided from James White and Richard Pinnington as well as our supply mechanical, electrical and public health engineering consultants. Brief details of their expertise are included within Appendix A and proposed operating and reporting structures are included within the method statement described within this Service Proposal.

2.0 Service Methodology: Technical Advisor In our experience, it has been common practice for the Technical Advisor (TAA) to sample a representative selection of rooms within a building in order to verify the contractor’s quality systems and completion of the works. This is generally accepted in the industry to be in the order of 20 – 25% sampling basis. It should be noted however, that this is the weighting for detailed room inspections and it is common practice for the Independent Certifier to undertake a brief review of all areas so as to ensure no incomplete rooms remain (albeit these are not verified to the level of detail the sample are). As the role of TAA is often new to public sector end user clients as well as to the site construction teams, we frequently see the following areas of concern raised by the key parties:

• How will the TAA undertake its duties? • What will the TAA look for in the works and when? • How will the TAA ensure matters of technical non conformance are relayed to the

team in a timely manner? • How will quality be monitored? • How will snagging matters be addressed? • How will the TAA help to ensure the Authority's Technical Requirements are met? • General guidance in relation to the PFI/PPP process and procedures

To help address these questions, we usually arrange a workshop early on in the project to work through these issues and ensure a common understanding of requirements. Recognising the extended duration and phasing of the project, we would expect to undertaker a more detailed workshop again nearer to the commissioning period for each of the new facilities in order to help minimise the risk of the building contractor failing to satisfy the Service Availability criteria. In addition to the workshops, we have included for the production of our Service Delivery Plan in readiness for the initial workshop and subsequent re-issue of this as the working methodology following on from and taking account of, comments and suggestions raised during the initial all party workshop. In order to provide the ongoing required reassurance to the appointing parties, we have developed the following methodology which we adapt to suit the specifics of the Project Agreement:

• Visit the site on a regular basis (at least monthly) • Review work in progress • Sample the work in progress by reference to the Approved Reviewable Design Data

Items and any recorded Changes / Variations. • Sample the work in progress by reference to the building contractors construction

issue drawings (applicable where the detail is not subject to the Review Procedure)

• Sample the work in progress by reference to the current building and engineering specifications

• Review the Building Contractors inspection and test records to verify these are

being undertaken in line with the Construction Quality Plan • Review the construction stage health and safety plan to verify method statements

and risk assessments are available for all trades in progress on site • Monitor the progress of the Review Procedure to verify design submissions are

progressing in accordance with the Programme and the necessary approvals provided by the City Council

• Review the building contractors progression of all engineering testing and setting to

work activities to ensure the services are commissioned in time for each phased completion or handover

• Review the collation by the Contractor of all necessary documentation (certificates,

test results, calculations, approvals) in order to fulfil the handover criteria • In conjunction with Contractor and the City Council undertake periodic review of the

Quality Plans and the construction stage health and safety plan In carrying out our service as described, we will seek to ensure the Council, Bilfinger Berger, the FM Provider and the Build Contractor, are kept fully and immediately informed of any non-conformance issues found. Normally we would expect to undertake our inspections in conjunction with appointed representatives of the primary parties, however, in practice, we often find it more practical to undertake the site safety induction and then to carry out our inspections accompanied by the build contractor. Any findings are noted on a site inspection report and matters of non-conformance or technical query can be raised immediately and formal report issued within 2 -3 days of the site visit. For each phase, the TAA is required to issue the Acceptance Certificate as set out within the Project Agreement. In order to do this, the TAA must be satisfied that the Services Availability Requirements set out within the Project Agreement have been met. As each phase completion approaches, our team will increase the frequency of inspection both to sample the engineering commissioning testing, and to ensure any technical matters which may otherwise prevent or disrupt handover are highlighted sufficiently early to allow time for the build contractor to rectify prior to final inspection.

Phase Certification Upon receipt of notification issued by the Contractor of the commencement of the commissioning of the works the TAA team will discuss which tests it intends to sample with the Build Contractor and attend site to witness these on the scheduled dates in line with the detailed programme. Once a phase or area handover is ready for final inspection, we would anticipate the following conditions to prevail:

• Construction works will be complete within phase • Redline drawing to be provided identifying boundary of phase • Complete set of Approved Reviewable Design Data Items for the phase to be made

available • Complete set of construction issue drawings for the phase to be available • All commissioning test results available as listed within the Services Availability

Requirements (as Project Agreement handover criteria) • Change control register available highlighting all authorised Changes relevant to

phase • All approved documents for phase available (as Project Agreement handover

criteria) • Notification of any technical or contractual issues which exist which are relevant to

the phase certification • Building contractors complete phase snagging list provided for review (to include

any matters raised by the FM provider or the Contractor) • Copy of any comments or snagging items noted by the City Council

The TAA team is only able to undertake the final inspection provided the above information is made available. On completion of this initial inspection, the TAA will meet with the parties and review findings and any queries arising. We have found it of benefit at this point for a demonstration of the satisfactory operation of all engineering services to be provided by the Building Contractor so as to give all parties the reassurance of the satisfactory operation of all key systems in the building. If necessary, a further final inspection will be undertaken of any areas not meeting the handover criteria upon our receipt of notification of the completion of any outstanding works to these zones. The TAA team will also review the snagging list and determine whether the works contained on it are capable of being undertaken within 20 Business Days (or such other period as specified within the Project Agreement or subsequently agreed between the parties). Upon completion of this process and, provided that the relevant Services Availability Requirements set out within Project Agreement have been completed and then the Independent Certifier shall state the date on which the Services Availability Requirements were satisfied for the Phase / Handover.

5.0 Fee Proposal The Fee

To provide the Technical Advisor scope of service received under cover of Bilfinger Berger - Cyril Sweett Ltd email communication of 26 October and 31 October 2006, for the sum of £129,575.00 + VAT. As requested, our additional fee for the verification of the completion of the making good of defects is £5500 + VAT A fee build up and resource schedule is included within Appendix B.

Commercial Commentary

Our tender is based upon construction programmes provided in the email communication noted above. We have assumed from the programmes a single structured handover process for each of the schools. We have not reviewed the proposed contract in detail and would need to review this within our legal team should we be successful in proceeding to appointment stage. There are however, certain provisions and amendments which we would ordinarily require. These include:

• A provision for an express exclusion of design and construction liability, both of which must remain the responsibility of the building contractor.

• Our PII certificate is included within this proposal in the amount of £5m on an “each

and every claim” basis. However, in keeping with current market conditions we would wish to cap our liability at £10m in the aggregate.

• We note that a duty of care and a collateral warranty is required to the building

contractor; whilst this runs against case law practice we recognise this provision is a current market condition. We will enter into such terms provided the conditions are no more onerous than the primary agreement. We would request the insurance be set at no more than £1m and that a sum of £5,000 be provided by the building contractor in consideration of our undertaking.

• We require an aggregate limit of insurance for the project of £10m across all three

schools; this includes for all liabilities arising under the primary agreement or under the building contractor’s collateral warranty.

• Payment terms from the date of invoice shall be no more than 30 days and must be

through a single party (we have not allowed for the provision of separate invoicing arrangements).

• Within the schedule of services, under the heading “Design Compliance Check”, we have allowed for a review of the “development of the design data” not the “review of all the design data” (the latter would require a shadow design team)

• Within the schedule of services, under the heading “Snagging Items”, we have

allowed for a review of the snagging items list prepared by the building contractor as well as representations made by the Council, the SPV and the FM provider; these snagging lists will be reviewed by Cyril Sweett during our completion inspections and included in a consolidated snagging list provided with the Acceptance Certificate. For the avoidance of doubt, we have not allowed for and will not undertake a full building snagging process (this must remain the responsibility of the building contractor).

Final comment on the contract terms and conditions is reserved pending preferred bidder status. VAT

All sums stated are exclusive of Value Added Tax. Additional Duties

Additional duties will only be undertaken upon written confirmation from the Client. For the purpose of calculating future adjustment to the fees described, the base date shall be 2nd Qtr 2006.

Service Delivery The majority of the construction period services will be provided from our Edinburgh offices.

Support will be provided from technical resource based in Manchester office as required. The service director for this appointment is based in Manchester.

Ben is the Director responsible for the delivery of PFI/PPP Construction Stage Services for the business. He began his career with a firm of Chartered Building Surveyors and then worked at the North Hertfordshire NHS Trust delivering their Capital Projects Programme. He joined Cyril Sweett in 1999, taking up the role of the consortium Clients Representative for the £65 million Bishop Auckland Hospital PFI project. This was successfully completed to programme and budget in March 2003. Following this he led the Cyril Sweett team providing the Technical Advisory service to the SPV on the award winning, £334m Coventry New Hospitals Project and then moved on to deliver the Independent Tester service at the £180m Dudley Hospitals PFI project. Building on this PFI project experience he set up he led the establishment of the Technical Advisory service stream in Cyril Sweett helping to establish and develop the firms involvement and prominence in the provision of pre construction technical due diligence, construction stage monitoring and post construction secondary investment and re-financing due diligence. Alongside this, he leads the provision of PFI Consortia Advisor and Independent Certifier services across the business.

James White BSc(Hons) PG Dip (Proj Man) MBA MRICS Associate

PROFILE SUMMARY James is a project manager with responsibility for providing PFI technical advisory services on a range of large scale PFI schemes. He is involved in the provision of various monitoring and due diligence services on behalf of funders for both PFI and non-PFI transactions. James also has extensive experience in the project management of traditionally funded projects for a variety of clients. He has successfully delivered a wide range of public sector projects for clients including health trusts, universities, city councils and police authorities. James developed his project management skills working for Gleeds Management Services. He was heavily involved in the construction phase of the £100m Lowry Centre project. The project team of which James was part won the ‘Excellence in Construction’ best millennium project award. James’ early career was spent working as a building surveyor for a large national practice. Clients worked for included education authorities, the MOD, police authorities and dioceses. Richard Pinnington MCIOB Associate

PROFILE SUMMARY

Since joining Cyril Sweett in 2003, Richard has been responsible for the project management of schemes at both pre and post contract stages for the Prison Service on a variety of projects including education, secure accommodation, refurbishment and enabling works. He has also worked on private sector projects involving leisure, sports facilities and education.

He is a chartered builder with over 12 years prior site experience gained with main contractors in the construction management of a wide variety of projects in sectors including retail, industrial, leisure and health. During this period was responsible for the control and management of all operations from demolition to final handover with regard to programme, quality and safety.

Recent projects have required close working relationships with clients and their representatives to achieve mutually acceptable solutions where construction works impacted on clients operations.

Richard is the nominated project manger for the construction of a new teaching facility for Wigan and Leigh College. This is part of a wider regeneration strategy for the area. His broad experience equips him well to tackle the most complex of projects. His contractor’s background provides an in depth understanding of both construction and commercial issues which arise during a project.
