Award Evaluation Criteria:

The City of San Antonio, acting by and through City Public Service Board (“CPS Energy”), is interested in acquiring Goods and/or Services, as independent contractors, on a per-assignment basis according to the attached Master Agreement, Terms and Conditions, and/or Specifications. This document serves as a guide to bidders for use in formulating their bids.

1. Questions Permitted. YES NO

Bidders shall be permitted to submit questions regarding this Invitation for Bid according to the above designation. All such correspondence, including technical questions, should be emailed to the CPS Energy Procurement Analyst specified above no later than N/A. Questions will NOT be answered over the telephone.

2. Submission of Bid. Bidder must submit its bid in two electronic files: (1) a text-searchable PDF (portable document format, non-zipped) document of the proposed cost/fees as set forth on Addendum B; (2) a Word (or equivalent word processing) document with comments to the proposed Contract/Terms & Conditions, if any, with tracked-changes enabled; and (3) a third text-searchable PDF (portable document format, non-zipped) document must be submitted including responses to all identified elements in Addendum A. All electronic components of the bid must be emailed to the CPS Energy Procurement Analyst’s email address specified above on or before the bid submission deadline. The text-searchable PDFs must contain documents reproduced directly from the native document (i.e., Word, Excel, MicroStation, AutoCAD).  Scanned images and documents will be considered irregular and may be rejected.

3. Data Size Limit. Please do not submit any single email containing more than 40MB of data. If the bid and supporting documentation contain more than 40MB of data, please contact the CPS Energy Procurement Analyst. CPS Energy cannot accept zipped files.

4. Further Clarification / Negotiations. After initial evaluation of all bids, CPS Energy may select a short list of potential bidders to enter into discussions to further clarify bidder’s bid in order to aide CPS Energy.  After such discussion and clarification, if any, CPS Energy may select one or more potential bidders to enter into negotiations with on their bid. The selected bidder(s) may be required to prepare and submit a “best and final” offer on the bid for evaluation by CPS Energy.

5. Evaluation Criteria / Rejection of Bids. Bids not meeting the minimum qualifications, if applicable, are subject to rejection. CPS Energy reserves not only the right to reject any and all bids and to waive minor formalities and irregularities, but also the right to evaluate the bids to determine which, in its sole judgment, represents the best bid based on the identified evaluation criteria.

6. Bidder Solely Responsible for Bidding Costs. CPS Energy assumes no liability or responsibility for the costs incurred by the bidders for any materials, efforts or expenses required in the preparation of bids or in connection with presentations or demonstrations prior to the award, if any, of a contract.

7. Execution of Purchase Order Required. Submission of a bid does not create a binding enforceable agreement with CPS Energy. A Purchase Order including all terms, conditions, exhibits, and attachments must be executed by CPS Energy in order to create a binding enforceable agreement with CPS Energy. No bidder may rely upon any written or oral statement(s) or representation(s) as to the award of

a contract or intention to enter an agreement made by any CPS Energy personnel.

8. Controlling Document. The terms and conditions of CPS Energy shall govern and control the working relationship of CPS Energy and supplier in providing the Goods and/or performing the Services under the awarded purchase order. Supplier terms and conditions shall not be considered effective unless expressly agreed to and accepted by CPS Energy in writing.

9. Information Submitted Binding. CPS Energy reserves the right to make any and all information submitted by bidder part of the final agreement if the bidder’s bid is accepted. Any changes or substitutions shall be made only with the written acceptance of CPS Energy, and such change or substitution shall not be cause for additional financial compensation.

10. Firm Bid. Each bid shall be firm, not subject to price escalation, and binding for a minimum of 120 days from the bid submission deadline, unless otherwise specified in the Master Agreement, Terms and Conditions, Purchase Order, or Specifications.

11. Tax-Exempt. CPS Energy, a municipally owned electric and gas utility, is a TAX-EXEMPT ORGANIZATION. CPS Energy is exempt from certain sales and use taxes with respect to the purchase price of materials, supplies, equipment and consumables purchased under a separate contract. CPS Energy will provide a Sales Tax-Exemption Certificate upon request.

12. Existing Master Agreement/Terms and Conditions. If bidder has a current, non-expired Master Agreement or Terms and Conditions with CPS Energy entered into February 2016 or later, either: (1) provide a copy of the relevant Master Agreement or Terms and Conditions, or (2) reference the CPS Energy Purchase Order related to the relevant Master Agreement or Terms and

Conditions. CPS Energy reserves the right to negotiate a new Master Agreement or Terms and Conditions other than that provided by or referenced by bidder.

13. Exceptions to Terms. Unless a Master Agreement or Terms and Conditions are provided in accordance with Section 12 herein, any exceptions to the Master Agreement, Terms and Conditions, or Specifications, as attached, must be clearly acknowledged and inserted in tracked-change (red-lined) format to a soft copy and must accompany the bid. If there are no exceptions, the words, “NO EXCEPTIONS,” must be stated on the bid.

14. Environmental Sustainability Practices. CPS Energy is dedicated to environmentally conscious practices that lead to the betterment of our community. To that end, CPS Energy prefers to purchase products and materials, where feasible, that demonstratively minimize the harmful effects to the environment from their production, transportation, use and / or disposition. This is aligned to our belief that the focus on improving our overall environmental footprint benefits our community and our customers. Please provide information regarding Bidder’s environmental sustainability practices, if any.

15. Business Questionnaire. Bidder shall submit a completed Business Questionnaire with the bid if (i) bidder does not have an up-to-date Business Questionnaire on record with CPS Energy, or (ii) bidder is not listed within the CPS Energy’s supplier classification report. Business Questionnaires shall only be considered valid for one (1) year from classification date and must be updated with a new Business Questionnaire beyond such one (1) year period.

ADDENDUM A

MINIMUM REQUIREMENTS / ADDITIONAL SUBMISSION REQUIREMENTS

1. Minimum Requirements . The following requirements set forth below shall be deemed “Minimum Requirements.” Bidders not meeting Minimum Requirements shall not qualify for evaluation, despite meeting other submission requirements. Bidder shall include its ability to meet the following Minimum Requirements with those items set forth in 2 of the IFB:

a. Delivery timeframe within 3 days.

b. Delivery charges/shipping included.

c. Expedited delivery services available.

d. Original OEM toner/supplies only.

e. Ability to provide metered toner.

f. Web portal for ordering and checking shipping status, etc.

g. Provide weekly toner/supply ordered report.

h. Quarterly review meeting, preferred on CPS Energy site.

i. Local vendor.

j. 30 day Return Policy.

k. Ability to deliver toner and supplies to any CPS Energy facility within Bexar County and one location in Seguin and one in Austin as specified in Exhibit C – “CPS Energy Locations.”

l. Provide percentage off MSRP on supplies.

2. Additional Submission Requirements . The following additional bid submission requirements specific to this IFB shall be included by Bidder with those items set forth in 2 of the IFB;

a. References. A minimum of three (3) references from the last Three (3) years from different companies which the bidder has provided similar Goods, which shall include the company name, complete address, and contact person’s name, phone number and email address for each reference submitted. A brief description of the Goods provided by the Bidder shall accompany each reference. In addition to the list provided, CPS Energy reserves the right to independently contact other companies with which the Bidder has engaged in a business transaction.

b. Citations. A list of any citations, notices of violation, legal proceedings, or project terminations that any Federal, State, local regulatory agency (e.g., OSHA) or department, corporation, or individual has issued to or against Bidder, or any employee of bidder while that employee was performing services for the Bidder, during the past three (3) years (“Citations”). For each Citation, state the nature of the Citation and the date of its resolution, together with the contact person for bidder who could address any questions about the matter. If there are no Citations, bidder shall provide such a statement.

c. Additional Information to be Submitted. The following checked items shall also be submitted with the bid.

Bidder’s Standard Warranty. A detailed description of bidder’s proposed warranty.

Subcontractors. A list of names and addresses of all subcontractors to be used, if any. Subcontractors that may provide goods or perform any of the Services must be approved by CPS Energy prior to the execution of a contract. If bidder intends to use subcontractors, complete the Subcontracting Documents available at www.cpsenergy.com (search Subcontracting Documents) or complete the imbedded form.

Additionally, bidder shall submit resumes including detailed experience of each proposed subcontractor. All Services furnished by a subcontractor in lieu of the bidder shall be so stated in the bidder’s bid and shall be included in the bidder’s fees/compensation.

Safety Records. Provide records (training and accident information) and a description of bidder’s training and safety programs for operating equipment, working around energized equipment, and handling, storing and disposing of waste material.

Responsible Respondent Questionnaire. Respondent shall complete and submit the Responsible Respondent Questionnaire attached as Exhibit B.

Conflict Of Interest. Respondent shall complete and submit the Conflict of Interest Attestation attached as Exhibit C.

ADDENDUM DMINIMUM INSURANCE REQUIREMENTS

(CLASS 1)

1. Company shall purchase and maintain in full force and effect, at its own expense, the following minimum insurance coverages and limits:

a. Statutory Worker’s Compensation and Employer’s Liability Insurance with minimum limits of not less than indicated below. The policy must be in the name of the Company or contain an endorsement naming CPS Energy as the Alternate Employer.

Required Limits – Statutory limits, with Employer’s Liability Coverage as follows:

Bodily Injury by Accident $1,000,000.00Bodily Injury by Disease Each Employee $1,000,000.00Bodily Injury by Disease Policy Limit $1,000,000.00

b. Commercial General Liability Insurance, including the coverages identified below, with minimum limits indicated below.

The Commercial General Liability Policy will include the following coverage’s where applicable:

c. Business Automobile Insurance for all owned, non-owned, and hired vehicles.

2. Each of Company’s liability insurance policies shall be primary to and non-contributing with, any other insurance carried by, or for the benefit of the CPS Energy. Insurance may be provided under a single limit policy, or two or more policies with combined limits for the required amount of coverage.

3. Company represents and warrants that:a. All such policies will be endorsed to reflect thirty (30) days notice of cancellation to

CPS Energy. Company shall not cause or permit its insurance to be canceled, reduced, restricted, limited, or invalidated.

b. Upon request by CPS Energy, Company shall provide true copies of the insurance policies and policy endorsements as required in this Addendum D from issuing insurance company(s).

4. All Company’s insurance shall be issued by insurance carriers licensed to do business in Texas at the time the policy is issued and rated by A.M. Best Company as A-VII or better, confirmed by one or more insurance certificates listing CPS Energy’s name and address as a Certificate Holder, and list the name of Project as described in this Agreement and the name and phone number of the broker who prepared the certificate. Certificates of insurance shall be prepared on an Acord form 25-S.

5. With respect to any coverage maintained on a “claims-made” policy form, Company shall maintain such coverage for two (2) years following termination of this Agreement or completion of all Services associated with this Agreement, whichever is later; provided that, if a “claims-made” policy is maintained, the retroactive date must precede the date of commencement of Services under this Agreement

6. Company shall not commence Services under this Agreement until Company has obtained all required insurance and until such insurance has been received and approved by CPS Energy. Company’s failure to fulfill these insurance requirements within ten (10) days after receipt of CPS Energy’s notice to proceed shall not be considered cause for any adjustment to Company’s compensation or schedule. CPS Energy’s approval of Company’s insurance shall not relieve or decrease the liability of Company hereunder.

7. If Company fails to obtain or renew the above required insurance and furnish to the CPS Energy acceptable evidence thereof, CPS Energy shall have the right, but not the obligation, to: (1) procure such insurance and reduce the Agreement amount by the cost thereof; or (2) deem as material breach of this Agreement the Company’s failure to do so.

8. Nothing herein shall reduce or alter any obligation Company has to indemnify, defend or hold harmless identified parties as provided in the Agreement.

9. In the event Company enters into a subcontract with a Subcontractor, the Company will require the Subcontractor to procure at a minimum all insurance specified to be carried by the Company, in the like form specified herein.

10. Company and, as applicable, its Subcontractors shall bear all risks and be responsible for any uninsured loss due to policy deductibles, self-insured retentions, exclusions, limitation inadequacy and/or absence of coverage, whether such policies are purchased by Company, Subcontractor and/or CPS Energy.

Termination for Material Conflict. Notwithstanding the representations made above, if CPS Energy becomes aware of any conflict of interest, through Company’s disclosure or otherwise, CPS Energy may terminate any resulting agreement.
