Abstract

InMay2017,theprocessofenhancingtheLegalEntityIdentifier(LEI)datapool,byincluding‘Level2’datatoanswerthequestionof‘whoownswhom’,began.Specifically,legalentitiesthathaveoracquireanLEIwillreporttheir‘directaccountingconsolidatingparent’aswellastheir‘ultimateaccountingconsolidatingparent’.

Bytheendofthefirstquarterof2018,about838,000LEIregistrantsrepresenting75percentofthetotalLEIpopulationreportedinformationondirectandultimateparents.28percentoftheinformationondirectparentsreportedhasbeenfullycorroborated.Onlyfourpercentoflegalentitiescitedlegalobstaclespreventingthemfromprovidingorpublishingparentinformation.

TheGlobalLEISystemmaybeviewedasanadditionalsourceforstatisticalbusinessregisterstounderstandandconnectthecorporatedotsglobally.ThispaperprovidesanoverviewofthestandardsappliedtotheLevel2datacollection,informationmadeavailablewiththeLevel2datacollection,howtoaccessthisinformation,andexamplesofmappingprojectstofurtherrendertheLEIaccessibletostatisticalbusinessregisters.

1. Introduction

The2008collapseoftheworld’sfourth-largestinvestmentbank,LehmanBrothers,andthesubsequent

globalfinancialcrisisexposedacriticalneedtoimplementagloballegalentityidentifiersystemthat

wouldassignuniqueidentifierstolegallydistinctentities.AfterLehman’sdemise,participantsinthe

globalfinancialsystemcouldnotassesstheirexposuretoLehman,itssubsidiaries,andeachother

becausetherewasnostandardsystemofidentifyingcounterpartiesinthemazeofsubsidiariesand

affiliatesfromwhichbanks,insurers,assetmanagers,andothermarketparticipantstransact.

Somewhereinthismaze,theneededinformationwastechnicallyavailableinthethousandsof

documentssignedbyLehman’shundredsofsubsidiaries—whichinturnweretradingwithhundredsof

subsidiariesofothermarketparticipants—butwithoutaconsistentidentifierforeachentity,no

electronicsystemcoulddetermineindividualmarketparticipants’riskorhowparticipantswere

connectedtoeachother.

BasedonrecommendationsdevelopedbytheFSBandendorsedbytheGroupof20,marketauthorities

workedwiththeprivatesectortodeveloptheGlobalLEISystem.TheLEIisa20-digit,alpha-numeric

codebasedontheISO17442standarddevelopedbytheInternationalOrganizationforStandardization

(ISO).EachLEIconnectstokeyreferenceinformationthatenablesclearanduniqueidentificationof

legalentitiesparticipatinginfinancialtransactions.

ThebusinesscardinformationavailablewiththeLEIreferencedata—theofficialnameofalegalentity

anditsregisteredaddress—answersthequestionof‘whoiswho’amongentities.TheLEIdatapool

includes,inaddition,informationthatanswersthequestionof‘whoownswhom’.Thisdatacanbeused

toidentifyalegalentity’sdirectandultimateparentssothatindividualcompaniescanbesufficiently

researched.

Theremainderofthispaperprovidesanoverviewofthestandardsappliedtothedirectandultimate

parentdatacollection,informationmadeavailable,howtoaccessthisinformation,andexamplesof

mappingprojectstofurtherrendertheLEIaccessibletostatisticalbusinessregisters.

2. StandardsforDirectandUltimateParentCollection

TheGlobalLEISystemissupportedbyastrong,three-tiergovernancestructurethatincludestheLEI

RegulatoryOversightCommittee(LEIROC),GLEIF,andLEIIssuers(LOUs)(seeExhibit1).Thisstructure

wasestablishedtoensuretheaccuracyandintegrityofthereferencedatarecordedundertheLEIof

eachentity.LEIROCisagroupof71publicauthoritiesfromaroundtheworldwho’sresponsibilities

includethedevelopmentofpolicystandardsfortheLEI.

Exhibit1:TheGlobalLEISystem

Followingapublicconsultationcarriedoutin2015bytheLEIROC,on10March2016theLEIROC

publishedthedocument,entitled‘Collectingdataondirectandultimateparentsoflegalentitiesinthe

GlobalLEISystem–Phase1’.Thepaperdescribesthepolicydesignofaprocessforcollectingdirectand

ultimateparentinformation.

ThemainfeaturesoftheLEIROCdocumentaresummarizedasfollowsinthereport:

• EntitiesthathaveoracquireanLEIwouldreporttheir‘ultimateaccountingconsolidating

parent’,definedasthehighestlevellegalentitypreparingconsolidatedfinancialstatements,as

wellastheir‘directaccountingconsolidatingparent’.Inbothcases,theidentificationofthe

parentwouldbebasedontheaccountingdefinitionofconsolidationapplyingtothisparent.

• AccountingdefinitionswerechosenasastartingpointastheLEIROCconcludedthattheir

practicalcharacteristicsoutweighedlimitationscausedbythefactthattheyaredesignedfora

differentpurpose,i.e.,toreportrelationshipstoinvestorsonagoingconcernbasis.These

practicalcharacteristicsarethat:(i)theyareapplicabletobothfinancialandnon-financial

companies;(ii)theirinternationalcomparabilityhasincreased,followinggreaterconvergence

betweenIFRS(InternationalFinancialReportingStandards)andUSGAAP(GenerallyAccepted

AccountingPrinciples)onthescopeofconsolidation;and(iii)theyarewidelyused,publicly

availableandtheirimplementationisperiodicallyreviewedbyexternalauditors.

• TheinformationcollectedwouldbepublishedintheGlobalLEISystemandthereforefreely

availableforpublicauthoritiesandmarketparticipants.However,toallowexaminingissues

associatedwithcollectingdataonparentsthatdonothaveanLEI,datarelatedtoparents

withoutanLEIwillinitiallynotbepublished.Atthisstage,theGlobalLEISystemwillonlyrecord

relationshipdatathatcanbemadepublic,inaccordancewiththeapplicablelegalframework.

• EntitieswouldreportrelationshipinformationtotheLEIissuingorganizationsoftheGlobalLEI

System,whowouldverifytherelationshipinformationbasedonpublicdocumentsifavailable

(e.g.,listofsubsidiariesinauditedconsolidatedfinancialstatements;regulatoryfilings),orother

sources.

• Informationonparentswouldbepartoftheinformationthatmustbeprovidedinorderfor

anLEItobeissuedorrenewed,butwiththeoptionofdecliningtoprovidethisinformationfor

thereasonsdetailedintheLEIROC’sreport.

3. DirectandUltimateParentInformationMadeAvailableintheGlobalLEISystem

GLEIFmakesavailabletwotypesoffileswithdirectandultimateparentinformation.Oneisa

relationshipfilethatcontainsthedirectandultimateparentsofalegalentitywheretheparenthasan

LEI.Theotherisanexceptionfileincludingoneofthefollowingreasons:TheLEIregistranthasnoparent

entity;thechildlegalentityoptsoutofreportingforexceptionalreasons;thedirectandultimate

parentsoftheLEIregistrantdonothaveanLEI.

Exhibit2demonstratesthetypeofdirectandultimateparentreportingasofendoffirstquarter2018.

Asofthisdate,18percentoflegalentitiesreportedadirectparentwithorwithoutanLEI,78percent

reportednoparententityaccordingtotheaccountingdefinitionused,and4percentreported

exceptionallegalobstaclesthatpreventedthemfromprovidinginformationonthedirectparent.

4. AccessingDirectandUltimateParentInformation

CurrentlytheRelationshipRecordandReportingExceptionsfilesareonlyavailableinXMLformat.

However,GLEIFwillupgradedataaccessibilityintheupcomingmonths.Thefirstphaseofupgradeswill

becompleteuntiltheendoftheyearandwillinclude:

• EnhancementstotheLEISearch:CurrentlythecompleteLevel1LEIdatapoolmaybeaccessed

orsearchedviatheweb-basedGLEIFLEIsearchtool.Thesearchtoolwillbeexpandedto

includeRelationshipRecordsandReportingExceptions,anupdateduserinterfacethatallows

forsimpleandexpertmodesearches,searchforalternativeidentifiersobtainedthroughthe

GLEIFCertificationofLEIMappingprogram,searchforhistoricdata,andstoredsearchesand

alerts.

• UpdateofChallengeFacility:GLEIFenablesusersoftheLEIdatatotriggerupdatesofLEI

referencedataviaacentralizedchallengefacility.Withthenewuserinterfacefordisplaying

directandultimateparentinformation,userswillalsobeabletochallengethisinformation.

• AccessviaApplicationProgrammingInterface(API):UsingGLEIF’scurrentAPI,usersmay

accessthecompleteLevel1LEIdatapoolinrealtimeandtoperformon-demandchecksfor

changestospecificLEIrecordsinaconvenient,easy-to-readformat.ThisAPIismadeavailable

freeofchargebyGLEIF.Usersmaysubmitalistofupto200LEIrecordsinacomma-separated

file.TheAPIwillbeexpandedtoallowsearchingbasedonanameaswellastheLEI(resultswill

returnmultipleLEIsthatmatchapproximatelythesubmittedname),willallowforbulkresults

(e.g.returnallrecordswherethelegaladdressisinChina),andwillreturndirectandultimate

parentreportinginformation.

AllGLEIFservicesnotedabovewillremainfreeofchargetousersoftheLEIData.

5. LEImappingforStatisticalBusinessRegisters

Astatisticalbusinessregisterisanessentialsupportforanation'seconomicstatisticsprogram1.It

providesastructuredlistingofestablishmentsregisteredwithinajurisdictionandastandardizedsetof

attributestodescribethoseestablishments.Thisdatacollectionisessentialforaggregatednational

statisticsoneconomicprocessessuchasproductionandfinancingbyprovidingtherealnumberofunits

operatingintheeconomy.

However,complicationsarisewhenentitiesregisteredinotherjurisdictionsalsocontributetoeconomic

activityasnationalstatisticsarebydefinitionrestrictedtotheirrespectiveboundaries.Given

multinationalcompaniesareanimportantpartofthelocalandglobaleconomies,itbecomesmore

complextoconsideradomesticpartofamultinationalunitoperatingindependentandautonomously.

TheLEIisanimportantaggregationtoolthatcanensureinteroperabilityacrosslocalregistration

systemsandaididentificationmanagement.Asaglobalidentifier,theLEImayactasabridgetoconnect

localidentificationsystemsandprovideastandardizedsetofreferencedata.BymappingtheLEItolocal

identificationsystems,organizationscansupplementtheinformationintheirlocalsystemsandbenefit

fromtheGlobalLEISystemasanadditionalsourceofqualityassureddata.

TheLEIROCoriginallyenvisionedmappingascoreaspectoftheGlobalLEISystem.Indeed,withinthe

basicreferencedataoftheLEI,theuserwillfindalinktothelocalregistrationauthorityandthelocal

identifierassociatedwiththatlegalentity(seeExhibit3).

Validation against 600 selected global registration authorities and standardized legal forms

TheRegistrationAuthorityIDisacrossreferencetothe‘RegistrationAuthorityList’publishedbyGLEIF

andcontainingmorethan650businessregistersandotherrelevantregistrationauthoritysources

globally.Auniquecodeisassignedtoeachregisteronthelist.Additionally,GLEIFhasenhanceditsdata

qualitychecksin2018toverifythattheformatofthelocalidentifier(registrationauthorityentityIDin

Exhibit3)iscompliantwiththeofficialregistrationformat.CurrentlyGLEIFhasidentifiedtheformatfor

174registersontheRegistrationAuthoritylistandactivelylooksforadditionalinformationforall

registers(seeAppendixforafulllistingoftheseregisters).Thisisanimportantsteptoensurethatthe

LEIcanbeeasilyconnectedtothelocalregisterwithoutfurthermanipulationoftheentityID(e.g.

addingleadingzeros,orplacingdashesbetweendigits).

Animportantfactorthatmustbeconsideredbyanorganizationlookingtointegrateandmakeuseof

theLEIdataistheoverlapbetweentheorganization’sexistingsystemsandtheGlobalLEISystem

coverage.GLEIFaimstoassistpublicauthoritiesthatdesiretoeasilyanswerthisquestionbyextendinga

mappingfacilitybuiltforGLEIF’sLEIMappingCertificationprocess.GLEIFwouldliketoextendthis

facilitytomakeitaccessibletoapprovedpartiesthatdesiretounderstandtheoverlapbetweenthe

GlobalLEISystemandtheirsystem.Theenvisionedworkflowisasfollows:

• ThemappingpartneraccessthemappingfacilityeitherviaawebpageuploadforaCSVfileor

viaanAPI

• Themappingpartneruploadsafileinastandardizedformat.Themappingpartnermayormay

notgrantGLEIFaccesstoviewthisfile.

• Onlythemappingpartnercanviewtheresults.ThemappingpartnermaygrantGLEIFtheability

toseetheresults.

GLEIFisintheprocessoffurtherrefiningtherequirementsforsuchafacility,butwelcomesstatistical

businessregisterfeedbackandinterestinutilizingsuchafacility.

6. Conclusion

Legalentityidentificationcurrentlyreliesonawiderangeofdisconnected(national)IDsystemsglobally.

Thisapproachlimitstheabilitytounderstandcomplexcrossbordercompanystructuresandthe

activitiesofforeignlegalentitiesoutsidetheirjurisdiction.TheLEIcanserveasabridgetoidentification

systemstoconnecttoawiderworld.GLEIFwelcomesstatisticalbusinessregistersfeedbackonthe

directandultimateparentreportingdatanowavailablebytheGlobalLEISystemandencourages

feedbackonhowGLEIFcanbettersupporttheintegrationoftheLEIintolocalsystemsviaamapping

facilityortechnicalenhancements.
