sebagai bagian dari pelaksanaan tugas pengawasan kami, dengan ini kami menyampaikan laporan Tahunan Dewan Komisaris 2017. sepanjang tahun tersebut, Dewan Komisaris senantiasa konsisten memantau kinerja PT Victoria Insurance Tbk (Perseroan) serta menyampaikan arahan, pendapat, dan rekomendasi kepada Direksi secara terbuka melalui rapat gabungan setiap 3 bulan sekali. Dear shareholders and stakeholders,

As part of our supervisory duties, we hereby submit the 2017 board of Commissioners Annual Report. Throughout the year, the board of Commissioners has consistently monitored the performance of PT Victoria Insurance Tbk (The Company) and provided inputs, opinions, and recommendations to the board of Directors openly through joint meetings every 3 months. We hope that advices and inputs we provide as well as all of the achievements and challenges throughout 2017 has enable the Company to be more resilient and responsive to the development in the insurance industry as well as the economy dynamics in the future.

Penilaian Kinerja Direksi

Dewan Komisaris beranggapan bahwa Direksi telah menjalankan tugas dan tanggung jawabnya dengan baik pada tahun 2017. hal ini dapat dilihat dari peningkatan pendapatan premi neto dari Rp25,91 miliar di tahun 2016 menjadi Rp32,46 miliar, serta pertumbuhan laba tahun berjalan dari Rp7,99 miliar menjadi Rp8,81 miliar. Tak hanya itu, Dewan Komisaris memandang seluruh strategi dan rencana usaha Perseroan telah diimplementasikan dengan cukup baik.

untuk tahun 2018, Direksi harus mempertahankan dan meningkatkan kinerja Perseroan sesuai dengan rencana kerja yang telah disusun. Direksi harus memperkuat jaringan pemasaran serta memperkuat citra Perseroan, mengimplementasikan tata kelola perusahaan dengan lebih baik, serta penerapan sistem teknologi informasi yang lebih baik untuk mendukung pelaporan dan pengawasan yang lebih baik.

Assessment on board of Directors’ Performance

The board of Commissioners concludes that the board of Directors had remarkable performed its duties and responsibilities in 2017. This was indicated from the increase in net premium income from Rp25.91 billion in 2016 to Rp32.46 billion, as well as the growth of profit for the year of Rp7.99 billion to Rp8.81 billion. not only that, the board of Commissioners perceives that all of the Company's strategies and business plans have been well implemented.

for 2018, the board of Directors must maintain and improve the Company’s performance and implement the predetermined work plans. The board of Directors must also expand the Company’s marketing network, improve the Company’s image, further enhance good corporate governance implementation, and strengthen IT system application to better support reporting and monitoring activities.

Pandangan Atas Prospek usaha

Dewan Komisaris telah mengkaji rencana kerja yang disusun oleh Direksi untuk tahun 2018. Kami yakin Direksi telah menetapkan proyeksi yang realistis dan target yang masuk akal sesuai dengan prospek industri perasuransian dan kondisi ekonomi pada umumnya. Tak hanya itu, Perseroan harus melanjutkan penerapan strategi di tahun-tahun sebelumnya untuk terus mengembangkan usaha dengan cara memperluas pemasaran ke seluruh daerah di wilayah Pulau jawa.

Di sisi lain, kami menyadari bahwa 2018 dan 2019 adalah tahun politik dan iklim perekonomian tidak akan lebih kondusif dibandingkan tahun 2017. meski demikian, kami yakin bahwa dengan manajemen yang solid serta sinergi internal dan eksternal yang efektif, Direksi akan mampu untuk terus meningkatkan kinerja Perseroan.

Pandangan Atas Penerapan Tata Kelola Perusahaan yang baik

Dewan Komisaris menilai bahwa Direksi telah menjalankan tugas dan fungsinya dengan baik terkait penerapan pinsip-prinsip tata kelola perusahaan yang baik (GCG). Direksi juga rutin berkonsultasi dengan Dewan Komisaris mengenai kebijakan-kebijakan yang memerlukan masukan dan pandangan kami. Dewan Komisaris dengan ini menyatakan berbagai upaya yang dilakukan oleh Perseroan pada tahun 2017 telah sesuai dengan prinsip dasar GCG, yaitu transparansi, akuntabilitas, tanggung jawab, independensi, serta keadilan dan kesetaraan.

The board of Commissioners has reviewed the work plan prepared by the board of Directors for 2018. We believe the board of Directors have set realistic projections and reasonable targets in accordance with the prospects of the insurance industry and the general economic conditions. not only that, the Company must continue the implementation of the strategy from previous years by continuing to expand the business by expanding its marketing network to all regions on java Island.

on the other hand, we realize that 2018 and 2019 are political years and the economic climate will not be more conducive than in 2017. however, we believe that with solid management and effective internal and external synergies, the board of Directors will be able to continuously improve the Company's performance.

An outlook on Good Corporate Governance Implementation

The board of Commissioners concludes that the board of Directors has performed its duties and functions in relation to the implementation of Good Corporate Governance (GCG) principles. The board of Directors also regularly consulted the board of Commissioners on policies that require our input and opinion. The board of Commissioners hereby declares that the efforts made by the Company in 2017 are in line with GCG's basic principles of transparency, accountability, responsibility, independence, fairness and equality.

Changes in the Composition of the board of Commissioners

The composition of members of the board of Commissioners has no any changes in 2017.

Di sisi lain, salah satu tantangan terbesar di Indonesia adalah masih terjadi penurunan daya beli masyarakat yang tercermin pada penurunan penjualan kendaraan bermotor. untuk mengatasinya, bank Indonesia beberapa kali menurunkan suku bunga acuan (bI 7-day Repo Rate) sampai dengan posisi terendah yaitu di 4,25% guna memberi stimulus pertumbuhan ekonomi.

Penurunan suku bunga acuan oleh bank Indonesia cukup berpengaruh positif terhadap iklim usaha serta mendorong pertumbuhan premi baik untuk asuransi umum maupun jiwa. hal ini diindikasikan oleh pendapatan premi asuransi umum yang naik 2,7% pada tahun 2017 menjadi Rp63,1 triliun dibandingkan Rp61,9 triliun pada tahun sebelumnya. meski demikan, tingkat pertumbuhan ini merupakan yang terendah selama 5 tahun terakhir dan jauh di bawah pertumbuhan di tahun 2016 sebesar 5,1%.

on the other hand, one of the biggest challenges in Indonesia was the declining purchasing power which was reflected in the decrease of motor vehicle sales. To overcome this problem, bank Indonesia has several times lowered its benchmark interest rate (bI 7-day Repo Rate) to its lowest position at 4.25% to provide economic growth stimulus.

The decrease in the benchmark interest rate by bank Indonesia has a positive effect on the business climate as well as encouraging the premiums growth for both general and life insurance. This was indicated by general insurance premium income that rose by 2.7% in 2017 to Rp63,1 trillion compared to Rp61,9 trillion in the previous year. however, this growth rate was the lowest for the last 5 years and far below the growth in 2016 of 5.1%.

Terlepas dari berbagai faktor yang disebutkan di atas, kendala yang dihadapi Perseroan di tahun 2017 adalah pengembangan sumber daya manusia yang kompetitif untuk memenuhi kebutuhan usaha. Guna mengatasinya, Perseroan telah menggiatkan kegiatan pengembangan kompetensi karyawan melalui berbagai program pendidikan dan pelatihan baik internal maupun eksternal yang mencakup program Ajun Ahli Asuransi Indonesia Kerugian (AAAIK), program Ahli Asuransi Indonesia Kerugian (AAIK), maupun sertifikasi aktuaria.

sepanjang tahun 2017, Perseroan terus memperkuat sinergi dan kerja sama baik di dalam maupun luar Grup Victoria. Tak hanya itu, Perseroan terus memperluas jaringan distribusi pemasaran dan membuka pasar baru dengan menambah rekanan baru baik bank, multifinance dan broker untuk terus mengembangkan usaha Perseroan.

Kinerja Perseroan Tahun 2017

Di tahun 2017, Perseroan membukukan penurunan premi bruto sebesar 20,23% dari Rp64,74 miliar di tahun 2016 menjadi Rp51,65 miliar. meski demikian, pendapatan premi neto meningkat 25,25% dari Rp25,91 miliar menjadi Rp32,46 miliar. Pertumbuhan ini terutama disebabkan oleh peningkatan premi asuransi neto properti, premi asuransi neto kendaraan bermotor, dan premi asuransi neto kecelakaan diri.

Tak hanya itu, aset Perseroan naik 8,45% menjadi Rp253,64 miliar dibandingkan Rp233,88 miliar di tahun 2016. Rasio klaim neto terhadap premi neto mengalami kenaikan menjadi 63,40% dibandingkan dengan 62,49% pada tahun sebelumnya dan berdampak pada hasil underwriting yang mengalami penurunan 12,64% dari Rp11,90 miliar di tahun 2016 menjadi Rp13,41miliar di tahun 2017.

Prestasi terbaik Perseroan di tahun 2017 adalah membukukan laba bersih sebesar Rp8,81 miliar, meningkat 10,29% dibandingkan Rp7,99 miliar di tahun 2016. Tak hanya itu, tingkat Risk Based Capital Perseroan adalah 849,05%, jauh di atas batas minimum sebesar 120%. Ini menunjukkan kondisi permodalan Perseroan yang amat sehat.

Apart from the various factors mentioned above, the constraint faced by the Company in 2017 was the development of competitive human resources to meet business needs. To overcome this, the Company has intensified its employee competency development activities through various internal and external education and training programs that included the Indonesian Insurance experts (AAAIK) and Associate of Indonesian Insurance expert (AWI) programs, as well as actuary certification.

Throughout 2017, the Company continued to strengthen its synergy and cooperation both within and outside the Victoria Group. not only that, the Company was continuing to expand its marketing distribution network and open new markets by adding new partnerships with banks, multi-finance companies and brokers to continue developing the Company's business.

The Company’s Performance in 2017

In 2017, the Company recorded a decrase in gross premium by 20.23% from Rp64.74 billion in 2016 to Rp51.65 billion. however, net premium income increased 25.25% from Rp25.91 billion to Rp32.46 billion. This growth was primarily due to an increase in net premium income in property, vehicle insurance, and personal accident.

not only that, the Company's assets increased by 8.45% to Rp253.64 billion compared to Rp233.88 billion in 2016. net claim to net premium ratio increased to 63.40% compared to 62.49% in the previous year and had an impact on underwriting results that decreased by 12.64% from Rp11.90 billion in 2016 to Rp13, 41 billion in 2017.

tersebut, Perseroan akan berinovasi dengan mengembangkan produk digital sesuai dengan perkembangan teknologi saat ini. Perseroan juga akan melaksanakanan restrukturisasi portofolio usaha serta lebih selektif dalam pemilihan risiko dan sumber bisnis yang baik.

Terkait kegiatan operasionalnya, Perseroan akan mengevaluasi serta memperbaiki STANDARD OPERATING PROCEDURE (soP) di setiap divisi, terutama proses dan prosedur klaim. Tak hanya itu, Perseroan akan terus mengembangkan dan memperkuat jalur distribusi pemasaran ke seluruh wilayah Pulau jawa dengan menambah jumlah rekanan korporasi pada umumnya dan pemegang polis pada khususnya.

Implementasi Tata Kelola Perusahaan yang baik

Kami sangat memahami bahwa bahwa kredibilitas, akuntabilitas, dan reputasi Perseroan sebagai perusahaan asuransi yang bertanggung jawab tak dapat dipisahkan dari penerapan tata kelola perusahaan yang baik (GCG). Atas dasar itulah, Perseroan berkomitmen menerapkan GCG sesuai peraturan pemerintah serta ketentuan otoritas jasa Keuangan (ojK) dan pasar modal yang berlaku, seperti Peraturan ojK no. 21/PojK.04/2015 tentang Penerapan Pedoman Tata Kelola Perusahaan Terbuka dan Peraturan ojK no. 73/PojK.05/2016 tentang Tata Kelola Perusahaan yang baik bagi Perusahaan Perasuransian. Perseroan juga senantiasa mengevaluasi dan menyempurnakan kebijakan dan prosedur internalnya sesuai dengan perkembangan dan persyaratan GCG terkini.

We fully understand that the Company's credibility, accountability and reputation as a responsible insurance company can not be separated from the imlementation of Good Corporate Governance (GCG). on that ground, the Company is committed to implement GCG in accordance with government regulations as well as applicable provisions of the financial services Authority (fsA) and capital markets, such as fsA Regulation no. 21/PojK.04/2015 on the Implementation of Code of Corporate Governance of a Public Company and fsA Regulation no. 73/PojK.05/2016 on Good Corporate Governance for Insurance Companies. The Company also continuously evaluates and improves its internal policies and procedures in accordance with the latest GCG developments and requirements.

Change in the Composition of the board of Directors

The composition of the board of Directors experienced changes in 2017 following the resignation of mr. loekito saggitariono from his position as President Director through resignation letter dated october 1st, 2017 and mrs Rate margareta from her position as Director by resignation letter dated october 20th, 2017. The resignation of both has been accepted by shareholders through the extraordinary General meeting of shareholders (eGms) on December 27th, 2017.

Riwayat singkatbrief history

PT Victoria Insurance Tbk (yang selanjutnya disebut Perseroan) didirikan dengan nama PT Asuransi Agung Asia pada tanggal 11 mei 1978, sebagai perusahaan asuransi umum yang menawarkan berbagai produk dan jasa perlindungan kepada pelanggan dari berbagai segmen. Pendirian Perseroan telah dicatat dalam Akta no. 58 tanggal 11 mei 1978 oleh notaris haji bebasa Daeng lalo, sh. Akta tersebut telah disetujui oleh Kementerian hukum dan hak Asasi manusia berdasarkan surat Keputusan no. Y.A.5/272/20 tanggal 14 Agustus 1978.

Dalam perjalanannya, Perseroan mengganti nama menjadi PT Asuransi summA pada tahun 1989 berdasarkan Akta no. 79 tanggal 30 november 1989 oleh notaris ny. Rukmasanti hardjasatya sh di jakarta. Perseroan kemudian berubah nama kembali menjadi PT Asuransi umum Centris pada tahun 1993 berdasarkan Akta no. 78 tanggal 29 April 1993 oleh notaris ny. Rukmasanti hardjasatya sh di jakarta.

Pada tahun 2010, Perseroan diakuisisi oleh PT Victoria sekuritas dan resmi menjadi bagian dari grup Victoria Investama dengan ditandai pergantian nama menjadi PT Victoria Insurance berdasarkan Akta no. 93 tanggal 19 Agustus 2010 oleh notaris suwarni sukiman, sh. Akta tersebut telah disetujui oleh Kementerian hukum dan hak Asasi manusia berdasarkan surat Keputusan no. Ahu-43243.Ah.01.02. tanggal tanggal 2 september 2010.

Dalam mencapai Visi Perseroan untuk menjadi perusahaan asuransi umum nasional terbaik di kelasnya dalam memberikan nilai-nilai kepada tertanggung, mitra usaha, pegawai, Pemegang saham, dan masyarakat, maka pada tangal 28 september 2015, Perseroaan melaksanakan penawaran umum perdana di bursa efek Indonesia. Pelaksanaan penawaran umum tersebut telah meningkatkan permodalan yang diperlukan Perseroan dalam pengembangan usahanya.

Perseroan berkomitmen untuk terus mengembangkan usaha dengan memperluas jaringan serta menyediakan beragam layanan dan produk baru sesuai nilai-nilai Perusahaan, yaitu fokus Pelanggan, Integritas, Penghargaan, dan mutu.

PT Victoria Insurance Tbk (hereinafter referred to as the Company) was established under the name of PT Asuransi Agung Asia on may 11th, 1978, as a general insurance company offering a wide range of protection product and services to customers from various segments. The Company’s establishment has been registered in the notarial Deed no. 58 dated may 11th, 1978 by notary haji bebasa Daeng lalo, sh. The deed has been approved by the minister of law and human Rights based on the Decision letter no. Y.A.5/272/20 dated August 14th, 1978.

In 2010, the Company was acquired by PT Victoria sekuritas and officially became part of the Victoria Investama Group and marked under the name change to PT Victoria Insurance based on Deed no. 93 dated August 19th, 2010 by notary suwarni sukiman, sh. The deed has been approved by the minister of law and human Rights based on the Decision letter no. Ahu-43243.Ah.01.02. dated september 2nd, 2010.

In achieving the Company’s Vision to become the best national general insurance company in its class in providing values for the insured, business partners, employees, shareholders, and communities, on september 28th, 2015, the Company conducted initial public offering in Indonesia stock exchange. The initial public offering has increased the capital needed by the Company in the development of its business.

The Company is committed to continuously developing its business by expanding its network and providing a variety of new services and products in accordance with the Corporate Values namely Customer focus, Integrity, Rewards and Quality.

polis-polis atau-kontrak-kontrak asuransi yang dikeluarkan atau yang diadakan oleh Perseroan;

4. menjalankan setiap kegiatan dan usaha yang sesuai dengan maksud dan tujuan dan melakukan usaha-usaha dalam pengertian seluas-luasnya dengan cara dan bentuk sebagaimana disyaratkan, dengan tidak mengurangi ketentuan peraturan negara Republik Indonesia.

As a company that engaged in insurance business, the Company provides general insurance services, both the standard and specific programs, to customers in various sectors, namely multifinance, banking, state-owned enterprises, private and individual. The insurance services provided by the Company include:1. fire insurance;2. motor vehicle insurance;3. marine transportation insurance;4. engineering insurance; and5. surety bond.

The insurance services are divided into 5 segment groups, namely:1. Property insurance segment;2. Transport insurance segment;3. motor vehicle insurance segment;4. Accident and health insurance segment; and5. other segments, which include hull, liability, engineering

Realisasi Penggunaan Dana hasil Penawaran umumDari hasil penawaran umum perdana saham (IPo) yang dilaksanakan pada bulan september 2015, Perseroan berhasil menghimpun dana sebesar Rp39,48 miliar. hasil bersih dari dana IPo setelah dikurangi biaya IPo adalah sebesar Rp38,84 miliar. Per tanggal 31 Desember 2016, Perseroan telah menggunakan seluruh dana hasil IPo tersebut untuk keperluan investasi sesuai dengan rencana penggunaan dana menurut prospektus. laporan hasil realisasi penggunaan dana hasil IPo tersebut telah disampaikan sepenuhnya pada tahun 2016.

Kebijakan DividenKebijakan pembayaran dividen oleh Perseroan adalah sebanyak-banyaknya 30% dari laba tahun berjalan setelah menyisihkan cadangan yang diharuskan. besarnya nilai dividen yang dibayarkan akan diusulkan kepada Pemegang saham untuk diputuskan dalam pelaksanaan Rapat umum Pemegang saham.

faktor-faktor yang mempengaruhi besanya nilai dividen yang akan dibayarkan antara lain hasil operasi, laba ditahan, kebutuhan kas, kondisi keuangan, peluang bisnis, kepatuhan terhadap peraturan dan perundang-undangan, serta faktor faktor lain yang dianggap relevan oleh Direksi Perseroan.

Realization of The use of Public offering Proceedsbased on the Initial Public offering (IPo) conducted in september 2015, the Company raised Rp39.48 billion. net proceeds from the IPo after deducted by IPo costs amounted to Rp38.84 billion. As of December 31st, 2016, the Company has used all of the proceeds from the IPo for investment purposes in accordance with the fund usage plan according to the prospectus. The report on the realization of the use of IPo proceeds has been fully presented in 2016.

Dividend PolicyThe dividend payout policy by the Company is a maximum of 30% of the current year’s profit after setting aside the reserve. The amount of the dividend paid will be proposed to the shareholders to be decided in the General meeting of shareholders.

In determining the dividend payout, the Company ensures that there are no negative covenants adversely affecting the shareholders in connection with third party restrictions in dividend payout.

In 2016, the Company did not distribute cash dividends to the shareholders based on the resolution of the Annual General meeting of shareholders held on june 27th, 2016. similarly, for the year 2017, the Company did not distribute any cash dividends to the shareholders based on the resolution of the Annual General meeting of shareholders held on june 16th, 2017.

Dalam menentukan pembayaran dividen, Perseroan memastikan tidak terdapat pembatasan-pembatasan (negative covenants) yang merugikan Pemegang saham sehubungan dengan pembatasan pihak ketiga dalam rangka pembagian dividen.

Pada tahun 2016, Perseroan tidak membagikan dividen tunai kepada para Pemegang saham berdasarkan keputusan Rapat umum Pemegang saham Tahunan yang diselenggarakan pada tanggal 27 juni 2016. Demikian pula untuk tahun 2017, Perseroan tidak membagikan dividen tunai kepada para Pemegang saham berdasarkan keputusan Rapat umum Pemegang saham Tahunan yang diselenggarakan pada tanggal 16 juni 2017.

Perbaikan ekonomi global di tahun 2017 terus berlanjut secara merata yang ditopang oleh negara maju dan negara berkembang. membaiknya perekonomian didorong oleh meningkatnya investasi dan konsumsi yang jauh lebih stabil. Perekonomian Amerika serikat (As) pada tahun 2017 mengalami pertumbuhan yang kuat ditopang oleh kinerja konsumsi dan investasi. sejalan dengan As, perekonomian eropa juga tumbuh lebih baik yang didukung oleh konsumsi dan ekspor, seiring dengan perbaikan keyakinan konsumen serta kondisi tenaga kerja yang membaik. Di Tiongkok, pertumbuhan ekonomi tetap tumbuh kuat dengan ditopang oleh konsumsi dan ekspor, di tengah kinerja ekonomi yang tumbuh melambat akibat dari kebijakan rebalancing yang ditempuh.

begitu pun dengan perekonomian Indonesia pada tahun 2017 yang mampu mencatatkan pertumbuhan mencapai 5,07%, lebih tinggi dibandingkan tahun 2016 yang sebesar 5,03%. Perbaikan perekonomian tersebut didukung oleh pertumbuhan pembentukan modal tetap bruto, serta ekspor dan impor barang dan jasa yang masing-masing sebesar 6,15%, 9,09%, dan 8,06%. berdasarkan lapangan usaha, pertumbuhan terjadi pada seluruh lapangan usaha, khususnya sektor Informasi dan Komunikasi yang mencapai pertumbuhan tertinggi sebesar 9,81%. namun, lapangan usaha dari sektor jasa keuangan dan asuransi hanya mencapai pertumbuhan 5,48%.

situasi ekonomi Indonesia memiliki pengaruh terhadap premi Industri Asuransi umum. berdasarkan data Kinerja Industri Asuransi dari Asosiasi Asuransi umum Indonesia (AAuI), pada tahun 2017 pendapatan premi asuransi umum tercatat sebesar Rp63,19 triliun, tumbuh 2,72% dibandingkan tahun 2016 sebesar Rp61,51 triliun. Demikian pula dengan klaim yang mencapai Rp27,65 triliun, tumbuh 1,91% dibandingkan tahun 2016 sebesar Rp27,13 triliun.

The global economic continued its recovery in 2017 uniformly supported by developed and developing countries. The improving economy was driven by increased investment and much more stable consumption. The united states (us) economy in 2017 experienced strong growth sustained by consumption and investment performance. In line with the us, the european economy also grew better supported by consumption and exports, along with improved consumer confidence and improved labor conditions. In China, economic growth continued to improve strongly supported by consumption and exports, amid slowing economic performance resulting from rebalancing policies.

Indonesian economy also able to record growth in 2017 that reached 5.07%, higher compared with 5.03% in 2016. The improvement in the economy was supported by growth in gross fixed capital formation, as well as exports and imports of goods and services at 6.15%, 9.09% and 8.06% respectively. In terms of business fields, growth occurred in all business fields, especially the Information and Communication sector which achieved the highest growth of 9.81%. However, the financial services and insurance sector only grew about 5.48%.
