This Amendment modifies Contract No. 13-18078 for Interactive Voice Response System Consolidation

RECITALS

Whereas, the County and Contractor have entered into a Contract approved by the County Board on

December 4, 2013, (hereinafter referred to as the "Contract" ), wherein the Contractor is to provide

Interactive Voice Response System Consolidation and Replacement (hereinafter referred to as the"Services") from December 4, 2013 tivough December 3, 2019, two (2) additional two-year renewal options,

in an amount not to exceed $4,193,835.79;and

Whereas, an increase in the amount of $189,941,40is required for the continuation of Services; and

Whereas, the County and Contractor desire to include additional scope of services to the Contract; and

Now therefore, in consideration of mutual covenants contained herein, it is agreed by and between the

parties to amend the Contract as follows;

1, The Contract is Increased by $189,941.40 and the Total Contract Amount is revised to

$4,383,777.19.

2. Article 5(b), Method of Payment of the Contract is deleted in its entirety and replaced vdth the

following:

All invoices submitted by the Consultant shall be in accordance with the cost provisions contained in

the-Agreement-and-shall-contain-a-detailed-description-of-the-DeIIvera blas-,including-the-quantItyof——

the Deliverabies, for which payment is requested. All invoices for services shall include itemized

entries indicating the date or ffime period in which the senrices were provided, the amount of time

spent perlbrming the services, and a detailed description of the services provided during the period of

the invoice. All invoices shall reflect the amounts invoiced by and the amounts paid to the Consultant

as of the date of the invoice. Invoices for new charges shall not include "past due" amounts, if any,

which amounts must be set fotth on a separate invoice. Consultant shall not be entitled to invoice

the County for any late fees or other penalties.

In accordance with Section 34-177 of the Cook County Procurement Code, the County shall have a

expended in the provision of services under the Agreement. The Consultant acknowledges that

any inaccurate statements or negligent or intentional misrepresentations in the invoices shall resultin the County exercising all remedies available to it in law and equity including, but not limited to, adelay in payment or non-payment to the Consultant, and reporting the matter to the Cook County

Office of the Independent Inspector General.

When a Consultant receives any payment from the County for any supplies, equipment, goods, orservices, it has provided to the County pursuant to its Agreement, the Consultant must make

payment to its Subcontractors within 15 days after receipt of payment from the County, provided

that such Subcontractor has satisfactorily provided the supplies, equipment, goods or services in

accordance with the Contract and provided the Consultant with all of the documents andinformation required of the Consultant, The Consultant may delay or postpone payment to aSubcontractor when the Subcontractor's supplies, equipment, goods, or services do not complywith the requirements of the Contract, the Consultant is acting in good faith, and not in retaliation

for a Subcontractor exercising legal or contractual fights.

3. The Contract is hereby amended to incorporate Attachment A and made part of the Contract.

4. The attached Economic Disclosures Statement, Identification of Sub-Contractors/Suppliers/Sub-

Consultants Form and MBE/WBE Utilization Plan forms are incorporated and made a part of this

Contract.

5, All other terms and conditions remain as stated in the Contract.

1, Introduction

This document provides the Statement of Work (SOW) for development and deployment of an InteractiveVoice Response system (IVR) Contact Center for the Cook County Bureau of Technology Service Desk. ThisIVR based contact center will support up to ten Service Desk agents and will help enhance current levelsof customer service by improving the process for receiving and routing incoming calls, reducing the timecallers spend waiting for an agent, and by providing improved reporting of Service Desk performance.

This IVR Contact Center is developed using the existing hardware, network, and application softwaredeployed for the Cook County IVR Replacement and Consolidation Project, completed in June 2015. Asmall application server appliance will be added to the existing IVR platform to support InteractionMarquee, a Customer Interaction Center component that provides Contact Center statistics dashboardon-line or through a wall mounted display.

1.1 Project Goals and Objectives

The goal of this project is to provide an IVR based contact center for the Bureau of Technology's ServiceDesk. This contact center will accommodate up to ten agents and two supervisors. Project objectives in

support of this goal include providing callers the option to leave the hold queue and be called back by anagent at another time, proving callers the option to participate in a post-call survey regarding the qualityof service they have received, standard Customer Interaction Center (CIC) contact center reports, andimplementation of Interaction Marquee, which provides commonly used contact center statisticsavailable via a web browser or wall mounted display.

2. Scope of Services

The scope work for this project includes the following:

~ One (1) queue for incoming calls with one (1) voice mailbox specific to that queue. Voicemailswill be routed to a Microsoft Exchange mailbox, accessible to Service Desk Agents and Suoervisors;

~ Licenses for ten (10) Agents and two (2) Supervisors;

~ Twelve (12) SIP enabled telephone handsets for use by Agents and Supervisors;

~ Call back option for callers that choose to leave the queue and be called back later by a ServiceDesk Agent (this features utilizes Adapt's SmartHold product);

~ Implementation of post call survey functionality and configuration of up to four (4) post callsurveys;

~ Deployment of Marquee functionality to display commonly used queue statistics, configuredusing nout of the box,n standard views and functionality;

~ 2 Reporting Assistant licenses, which can be used to generate simple custom reports;

~ Deployment of standard Scheduled Reports appropriate for Cook County's Service Desk;

~ Training for up to ten (10)agents, one (1)supervisors, and three (3) BoT Telecom staff;

~ Provide prompts and other verbiage required by the IVR Contact Center. Final definition of theverbiage for these prompts will be made during the Assessment phase of this project. Promptswill be provided in English only. Cook County will provide voice talent for any prompts that mustbe recorded;

~ Integration to Cook County's telephony infrastructure utilizing the Avaya Session Manager SIParchitecture that is now utilized by the consolidated IVR platform provided by Adapt.

3. Implementation Approach

Adapt will employ our AI2 implementation methodology, tailored specifically to the scope of this newproject. This project will consist of the following phases.

3.1 Project Phases

Requirements Phase, during which detailed requirements are defined, documented and approved byCook County. Installation of required hardware will also be completed during this time.

8.2 Project Timeline

We estimate this project will take nine (9) weeks, including one (1) week of post-deployment support atthe completion of the Deployment phase. Duration estimates for each of these phases are providedbelow:

Additionally, as company policy, Adapt will not deploy a system (Go Live) the week of, or the week after,Thanksgiving or duding the last two weekends of the year and the first weekend of the New Year. 4. Project Assumptions

Many factors contribute to the success of a project of this nature and also to the cost of the overall effort,Our calculations and estimates for this project considered the principal drivers such as project scope,complexity, implementation approach, and duration of the effort. We also made assumptions about theCook County Bureau or Technology's participation, the technical environment, and those tasks outside ofour direct control. A listing of these overall, staffing, and technical environment assumptions is as follows:

Overttll Project Assumptions

1. This project assumes that the Polycom SIP handsets identified in Tab 2 of the Cook County IVR ServiceDesk Contact Center Add Order will be a second phone on the desks of Agents and Supervisors,dedicated for Contact Center use. The existing Avaya phones will remain in place. Power overEthernet (PoE) will be available for the Ethernet ports into which the Polycom SIP handsets will beplugged.

2. Cook County has requested this quote include telephone headsets for use by Service Center Agents.However, this equipment is not typically re-sold by Interactive Intelligence or by Adapt. Adpatrecommends headsets from Jabra, model number GN2124. We recommend that Cook Countypurchase these directly, one headset for each Agent and Supervisor, as well as spares. 3. The following items are considered out of scope for this project:

o Call Recording functionality;o Screen Recording functionality;o Integration to Cook County's Cherwell ticketing system;o Telephony work required by Avaya (our quote includes time for Adapt to cooperate with

Avaya for this work);o Additional call port licenses (we have provided pricing as an option for budget and planning

purposes in the Cook County IVR Service Desk Contact Center Add Order);o We assume no "screen pops" are required;o We assume no scripts are required to guide Service Desk Agents in completing their calls;o We assume no customized reports are required.

4. Cook County will be responsible for the voice talent to make voice recordings for prompts requiredby the IVR contact center. Only English language prompts will be provided.

S. The Interaction Marquee functionality requires a wall mounted display and computing device toaccess a web server provided with Adapt's Interaction Marquee server. This quote assumes that boththe display and computing device will be provided by Cook County.

6. This project will use the default hold music provided by Interactive Intelligence that is played to callerswaiting in queue.

7. Integration to Cook County's telephony infrastructure will be accomplished using the Avaya SessionManager SIP architecture adopted for the consolidated IVR platform. Integration to Cook County'stelephony infrastructure using another architecture is not recommended and may significantlyincrease the cost of this project.

g. Due to the tight schedule for this project, Cook County will be expected to sign-off on requirementsand other deliverables within five (5) business days of submission. Requested changes from thesigned-off requirements may result in Change Requests for additional time and budget for this project.

9. All changes in project scope, assumptions, deliverables, or project plan are managed using the changecontrol procedures described in Section 5.1of the Cook County IVR Consolidation and ReplacementProject Statement of Work and in Section 4 of this SOW.

Staffing Assumptions

10. Cook County will assign a Project Manager prior to or at the point of contract signing to work closelywith the Adapt project team. The Project Manager's responsibilities include facilitatingcommunication and meetings between Adapt and Cook County personnel, serving as the primarycontact for receipt and approval of deliverables, and the management of other Cook Countyresponsibilities as described in this project quote.

11.Cook County will provide technical resources to assist the Adapt project Engineer with

implementation of hardware and software components, network configuration, and other technicalrequirements.

12. Cook County will provide resources as agreed upon and identified in the project work plan to assistduring the times specified with all project deliverables including: installing client-side software,placement of telephones, user acceptance testing, and cutover assistance and are expected to beavailable onsite throughout the duration of the project as needed, and at Go Live/Cutover.

13. Cook County must provide an IVR Administrator for the new Service Desk IVR Contact Center. Adaptrecommends the administrators of the current consolidated IVR platform serve in this role.

Technical Assumptions

14. Cook County will provide the Adapt Implementation team access to and connectivity with all affectedsystems, networks, and data as requested and determined necessary to perform in-scope activities.

Adapt will work with the CookCounty Bureau of Technology —Telecommunications to review the Bureau of Technology's facilitiesinfrastructure and identify any adjustments these facilities required by this project.

16. Cook County is responsible for the deployment of all client side software and all Operating Systemsoftware. Cook County is required to ensure that all workstations and servers that run InteractiveIntelligence software run an Operating System that has been tested by Interactive Intelligence. This

information is available and kept up to date on Interactive Intelligence's Test Lab site at:http: //test

lab.inin.corn/index.aspx.

17. Cook County will provide unencumbered remote access (available 24x7) to servers and gateways forremote installation and configuration of software for the project duration.

18. Adapt and interactive Intelligence do not recommend that any server running Interactive Intelligence

Software should host virus scanning software. If this is required, then the anti-virus software should

only be installed per the guidelines set forth by Interactive Intelligence and Adapt.

19. Cook County is responsible for licensing compliance (i.e. SQL, Exchange, server/processor/user/devicelicenses, etc.) for all software programs, including but not limited to, any new or pre-existing softwareprogram to which the CIC system may make use of or connect to.

20. Cook County is responsible for any hardware (servers, gateways, IP phones, headsets, overheadpaging, security, credit card machines, time clocks, etc.) purchased by Cook County through a 3rdparty vendor. This includes the hardware, hardware support, and troubleshooting of any issuesrelated to this hardware.

21. Cook County is responsible for general network and desktop troubleshooting and optimization.

22. GoToAssist is Adapt's preferred method of connectivity for access to the servers and voice gatewaysthat are part of the CIC solution during implementation, GoToAssist is also Adapt's preferred methodof access for subsequent support.

23. Cook County will provide Internet access for the CIC servers with access granted to the Adapt andInteractive Intelligence FTP servers.

24, Administrative privileges must be granted to the staff installing the CIC client work stationapplications, these are:~ Administrative privileges on the local machine.

~ Write access to the C:~Program FilestCommon Files directory.~ Wliteaccesstothe HKEY LOCAL MACHINE and HKEY CLASSES ROOTlocationsintheregistryon

the client workstation.

Facllitfes and Security Access Assumptions

25. Cook County will provide the Adapt team access to all necessary equipment during the agreed upondate and time of installation.

27. Cook County will provide workspace for the Adapt Team while on-site to connect the Adapt laptops.If direct access for Adapt equipment is not available Cook County will provide a computer withnetwork access. Cook County will also provide telephone access for Adapt employees while on site.

28. Cook County is responsible for racking, powering, providing network access, and login credentials toall devices to be configured by Adapt unless otherwise specified in the work order.

4. Change Control Process

Adapt recognizes that changes may occur during the course of our work, and these could affect cost,schedule, scope, or work products. It is essential to our collective success that processes are in place todeal with these in a manner that makes them manageable, understood, and accommodated within anupdated project plan. The change process is outlined below and will be used for all change matters thatoccur during this project.

Project team or users identify a change request need and log it for tracking throughthe process.

Most change requests require research and analysis to determine project impactand identify alternative solutions. Often changes can be accommodatedwithin the existing project framework and are Incorporated with no further actions.Those involving cost, schedule, scope, or work products, are moved along to thefollowing next steps.

Options are considered, business benefits are analyzed and discussed with the CookCounty user team, impacts on the project schedule and resources are assessed.

For changes that impact cost, schedule, scope, or work products, the projectManager, in conjunction with the Cook County Project Manager, decide on arecommended course of action.

A formal Change Order is issued upon the above approval. The change orderamends Adapt's contract and the affected schedules. The change order is

incorporated as a formal amendment to the Adapt contract with Cook County.

The Change Order is logged and Its impact is communicated to the project team,users, project sponsors and any others (e.g., ININ) affected by the change.

5, Professional Arrangements

Based on the assumptions, staffing, schedules and scope described in this SOW, the estimated fees areprovided in this section. This amount includes professional services fees, Customer Interaction Centersoftware licenses, and the McKesson Certification Fee. The professional services fee is offered on a fixed-fee basis and reflects Adapt's discounted rate for Cook County and Cook County. Out-of-pocket expensesand taxes are not included and will be invoiced as incurred. A detailed breakdown of the cost items isprovided in Attachments A and B.

Professional Services: Attachment A details the estimated cost for professional services and is basedon our understanding of the high level requirements for this project. Adapt will be delivering thisproject jointly with Clarity Partners, a certified MBE firm, and will be in compliance with MBErequirements that 359e of professional services fees be allocated to an M BE partner. The quoted pricefor professional services is $131,875.00.

Customer Interaction Center (CIC) Software Ucenses: Attachment B details the cost for CIC softwarelicenses. The CIC software licenses are not perpetual, and are only authorized for use by Cook Countyduring the term of the annual maintenance agreement(s).

The quoted ptice for CIC software licenses is $28,416.50 which includes a 1036 discount fromsoftware purchased from Interactive Intelligence. Annual software maintenance is quoted at$5,613.30,1838of the undiscounted software price. Annual software maintenance is an additionalcost to Cook County to the quoted price for CIC software licenses

Web Server Hardware and Telephone Handsets: Attachment 8 details the cost and specifications forthis hardware. The quoted price for hardware and telephone handsets is $12,810.00,which includesa five (5) year warranty care pack for the web server hardware.

The total quoted cost to Cook County for this project, including professional services, and softwarelicenses is $189,941.40. This amount includes professional services CIC software licenses and WebServers Hardware and Telephone Handsets quoted above plus three years of required annualsoftware maintenance at $5,613.30per year.

5.1 Standard Support

Cook County will receive the Adapt Standard Support program effective one week after the ngo-liven

date for Phase 1, for a period of one (1) year. The support will be added to the existing SupportAgreement for the Cook County consolidated IVR platform deployed in June 2015. Cook County mustrenew annual maintenance for the required CIC software licenses to ensure continued, authorized useof this software,

5.2 Payment Schedule

Due to contractual obligations with Interactive Intelligence, software licenses are billed to Adapt uponordering on behalf of our client. In addition, McKesson Corporation requires a fee (described above) tocertify the interface to their application is properly tested and meets their requirements. As such, an

This letter responds to your request to explain the exclusion of Kairos Consulting Worldwide, LLC (Kairos) fromthis contract amendment (Contract Number 13-18-078,Amendment No. 1).

In delivering. the project governed by Contract 13-18-078, the Interactive Voice Response Consolidation andReplacement Project, we partnered with two well qualified MBE firms: Kairos and Cladity Partners, LLC. On

that project, Kairos's responsibility and scope of work concerned providing Organization Change Managementservices and related dellverables, Including knowledge transfer and change management planning,customized project communications, training documentation customized for Cook County personnel, andend-user documentation customized for Cook County personnel. Clarity Partners provided business analysis,software testing, and related services and documentation. Clarity Partners also provided program officesupport services.

SECTION 1INSTRUCTIONS FOR COMPLETION OF

ECONOMIC DISCLOSURE STATEMENT AND EXECUTION DOCUMENT

This Economic Disclosure Statement and Execution Document ("EDS") is to be completed and executedby every Bidder on a County contract, every Proposer responding to a Request for Proposals, and everyRespondent responding to a Request for Qualifications, and others as required by the Chief ProcurementOflicer. The execution of the EDS shall serve as the execution of a contract awarded by the County. TheChief Procurement Officer reserves the right to request that the Bidder or Proposer, or Respondentprovide an updated EDS on an annual basis.

Definitions. Terms used in this EDS and not otherwise defined herein shall have the meanings given tosuch terms in the Instructions to Bidders, General Conditions, Request for Proposals, Request forQualiTications, as applicable.

Affiliate means a person that directly or indirectly through one or more intermediariies, Controls isControlled by, or is under common Control with the Person specified.

Applicant means a person who executes this EDS.

Bidder means any person who submits a Bid.

Code means the Code of Ordinances, Cook County, illinois available on municode.corn.

Contract shall include any written document to make Procurements by or on behalf ofCook County.

Contractor or Contracting Party means a person that enters into a Contract with theCounty.

Control means the unfettered authority to directly or indirectly manage governance,administration, work, and all other aspects of a business.

EDS means this complete Economic Disclosure Statement and Execution Document,including all sections listed in the Index and any attachments.

Joint Venture means an association of two or more Persons proposing to perform a for-profit business enterprise. Joint Ventures must have an agreement in writing specifyingthe terms and conditions of the relationship between the partners and their relationshipand respective responsibility for the Contract

Lobby or lobbying means to, for compensation, attempt to influence a County official orCounty-employee.withrespeet-teeny-Beamy-matte;.

Lobbyist means any person who lobbies.

Person or Persons means any individual, corporation, partnership, Joint Venture, trust,association, Limited Liability Company, sole proprietorship or other legal entity.

Prohibited Acts means any of the actions or occurrences which form the basis fordisqualification under the Code, or under the Certifications hereinafter set forth.

Proposal means a response to an RFP.

Proposer means a person submitting a Proposal.

Response means response to an RFQ.

Respondent means a person responding to an RFQ.

RFP means a Request for Proposals issued pursuant to this Procurement Code.

RFQ means a Request for Qualifications issued to obtain the qualifications of interested parties.

Secfion 1:Instructions. Section 1 sets forth the instructions for completing and executing this EDS.Section 2: CertiTications. Section 2 sets forth certifications that are required for contracting parties underthe Code and other applicable laws. Execution of this EDS constitutes a warranty that all the statementsand certifications contained, and all the facts stated, in the Certifications are true, correct and complete asof the date of execution.

Section 3: Economic and Other Disclosures Statement. Section 3 is the County's required Economicand Other Disclosures Statement form. Execution of this EDS constitutes a wananty that all theinformation provided in the EDS is true, correct and complete as of the date of execufion, and binds theApplicant to the warranties, representations, agreements and acknowledgements contained therein.

Required Updates. The Applicant is required to keep all information provided in this EDS current andaccurate. In the event of any change in the information provided, including but not limited to any changewhich would render inaccurate or incomplete any certification or statement made in this EDS, theApplicant shall supplement this EDS up to the time the County takes action, by filing an amended EDS orsuch other documentation as is required.

Additional Information. The County's Governmental Ethics and Campaign Financing Ordinancesimpose certain duties and obligafions on persons or entities seeking County contracts, work, business, ortransactions, and the Applicant is expected to comply fully with these ordinances. Authorized Signers of Contract and EDS Execution Page. If the Applicant is a corporation, thePresident and Secretary must execute the EDS. In the event that this EDS is executed by someone otherthan the President, attach hereto a certified copy of that section of the Corporate By-Laws or otherauthoriization by the Corporation, satisfactory to the County that permits the person to execute EDS forsaid corporation. If the corporation is not registered in the State of illinois, a copy of the Certificat ofGood Standing from the state of incorporation must be submitted with this Signature Page.If the Applicant is a partnership or joint venture, afi partners or joint venturers must execute the EDS,unless one partner or joint venture has been authorized to sign for the partnership or joint venture, inwhich case, the partnership agreement, resolution or evidence of such authority satisfactory to the Officeof the Chief Procurement Officer must be submitted with this Sionature Pace.If the Applicant is a member-managed LLC all members must execute the EDS, unless otherwiseprovided in the operating agreement, resolution or other corporate documents. Nenotisni Disclosure Renuirement:

Doing a significant amount of business with the County requires that you disclose to the Board of Ethics the existence of any familialrelationships with any County employee or any person holding elective office in the State of Illinois, the County, or in anymunicipality within the County. The Ethics Ordinance defines a significant amount of business for the purpose of this disclosurerequirement as more than $25,000 in aggregate County leases, contracts, purchases or sales in any calendar year.

If you are unsure of whether the business you do with the County or a County agency will cross this threshold, err on the side ofcaution by completing the attached familial disclosure form because, among other potential penalties, any person found guilty offailing to make a required disclosure or knowingly filing a false, misleading, or incomplete disclosure will be prohibited from doingany business with the County for a period of three years. The required disclosure should be filed with the Board of Ethics by JanuaryI of each calendar year in which you are doing business with the County and again with each bid/proposal/quotation to do businesswith Cook County. STATEMENT OF UNANIMOUS CONSENT BYTHE MEMBERS AND MANAGERS OF

ADAPT TELEPHONY SERVICES LLC

The undersigned, constituting all the Members and Managers of Adapt Telephony Services, LLC,

an Illinois limited liability company (the "Companv"), hereby adopt the following resolutions:

WHEREAS, the Company is negotiating an agreement with Cook County, Illinois, under which

the Company will provide products, software and professional services related to telephone, voicemail,

messaging, product integration and continuing maintenance and service (the "Project"); and

WHEREAS, the members and Managers wish to specifically authorize one of the Managers to

execute, on behalf of the Company, and agreement with Cook County, Illinois to provide such products,

software and services, together with all other documents, instruments and certificates appropriate ornecessary for the Project;

NOW, THEREFORE, BE IT RESOLVED, that Brian Holdampf, a Manager of and the President

of the Company be, and he hereby is, fully authorized, empowered and directed to negotiate the terms ofand to execute and deliver, for and on behalf of the Company, one or more agreements with Cook

County, Illinois, under which the Company shall provide products, software and professional services

related to telephone, voicemail, messaging, product integration and continuing maintenance and service.

FURTHER RESOLVED, that such agreements shall include such terms and provisions as Brian

Holdampf shall deem appropriate, necessary or advisable and shall approve, such approval to be

conclusively evidenced by the execution and delivery of any such agreement by him.

FURTHER RESOLVED, that Brian Holdampf is fully authorized, empowered and directed to

take any and all action which he may deem necessary to carry out the intent and purposes of the foregoing

resolutions.
