2. ThePartnerhasenteredintorelationshipwithMerchantsaffiliatedtotheWebsiteneedstoopenaPaymentAccounttoreceivethesellingpriceofgoodsorservicessoldtoWebsiteusers.
3. MANGOPAYhasdesignedaninnovativepaymentsolutionimplementedbyanAPI
(applicationprogramminginterface),brandedunderthenameofMANGOPAY.
4. MANGOPAYagreestoappointthePartnerasanagentforpaymentservices
5. ThePartieshaveagreedonthefollowingconditionsforprovidingtheAPI.
INPURSUANCETHEREOF,ITHASBEENAGREEDANDDECIDEDTHAT:
Article1:Definitions
ThewordsusedwithinthisAgreementshallhavethemeaningprovidedhereafteror,ifneed be, in the FRAMEWORK AGREEMENT FOR PAYMENT SERVICES (attached inAppendix4):
AccountInformationService
Means the service provided by a Third-partyPSP to provideconsolidated informationrelatingto theCustomer’sPaymentaccountopenedbyMANGOPAY.
Bank MeansINGLuxembourg,oranybankauthorizedinamemberstateoftheEuropeanEconomicArea,asreplacedfromtimetotimebytheProvider.
ConfidentialInformation
Means any non-public information or document concerningone Party ‘s marketing offer, strategy, financial information,processesorprocedures.
Customer Means a merchant selling goods or services through theWebsiteandholdingabankaccountopenedinitsnamebyabanksupervisedbyanAuthorityofEuropeanUnionmemberstateorEEEpartystate.
Datasubject Refers toany identifiedor identifiablenaturalperson,whosePersonaldataareprocessed.Anidentifiablenaturalpersonisonewhocanbeidentified,directlyorindirectly,inparticularbyreferencetoanidentifiersuchasaname,anidentificationnumber, locationdata,anonline identifieror tooneormorefactorsspecific to thephysical,physiological,genetic,mental,economic,culturalorsocialidentityofthatnaturalperson.

Deliverables Meanalldocuments,productsandmaterialsdevelopedbytheProvider or its agents, sub-contractors, consultants andemployees in relation to Mangopay in any form, includingcomputerprograms,data,reportsandspecifications(includingdrafts).
MANGOPAY Means the API (“Application Programming Interface” or“programming interface”) provided by MANGOPAY to thePartnertomanagePaymentaccounts.
PaymentAccount
Means an account opened by MANGOPAY on behalf of theCustomertoregisterpaymentTransactionsandacquireordersbyCard.Theaccountdoesnotconstituteabankdepositandbearsnointerests.
Payment InitiationService
Meanstheservicetoinitiateapaymentorder(credittransfer)bytheThird-partyPSP,attheCustomer’srequest,relatingtoitsPaymentaccountopenedbyMANGOPAY.
PaymentTransaction
MeanstransferoffundsexecutedbyMANGOPAYfollowingthereceiptofapaymentorderfromtheCustomer.
PersonalData MeansanyinformationrelatingtoaDatasubjectandprocessedundertheProgrammeimplementedwiththePartner.
Platform MeansthesecureelectronicsystemplacedunderMANGOPAY’scontrolandresponsibilityforthecreationandmanagementofthePaymentaccount.
Programme Means a programme implemented by the Provider and co-brandedbythePartner,bywhichtheProviderwillprovidetotheMerchants the Payment Services, in accordancewith theFRAMEWORK AGREEMENT FOR PAYMENT SERVICES. EachPaymentProgrammeshallbeoperatedinaccordancewiththetermsandconditionsofthisAgreement.
Services Mean Software Services and Deliverables provided byMANGOPAYtothePartnerinaccordancewitharticle3.
SoftwareServices
MeanMANGOPAY’ssoftwareincludinginparticular,anyerrorcorrections, updates, upgrades, modifications andenhancements to it provided to the Partner as part of theServicesdedicatedtoMANGOPAY.
Startdate The first date on which a Payment account is opened byMANGOPAYinthenameofaMerchant.

StrongCustomerAuthentication
Means an authentication based on the use of two or moreelementscategorisedasknowledge(somethingonlytheDatasubjectknows),possession (somethingonly theData subjectpossesses)andinherence(somethingtheDatasubjectis)thatare independent, in that the breach of one does notcompromise the reliability of the others, and is designed insuch a way as to protect the confidentiality of theauthenticationdata.
Third-partyPSP ReferstoapaymentservicesproviderauthorisedinaMemberStateoftheEuropeanUnionorinaStatepartytotheEuropeaneconomicareafortheaccountinformationserviceand/orthepayment initiationservice,withinthemeaningofarticle4oftheDirective(EU)2015/2366.
Users Meanpurchasers,whoremitfundsbyCardoranyothermeansof payment accepted by MANGOPAY, corresponding to thepurchasepriceofthegoodsorservicessoldbytheCustomerthroughtheWebsite.
Website MeanstheInternetwebsiteoperatedbythePartner,withtheURL./PLATURL1
Article2:Purpose
MANGOPAYmanagesthePaymentaccountinaccordancewithaProgrammeco-brandedby the Partner, which terms and conditionswhich are set out in accordance in thisagreementandintheFRAMEWORKAGREEMENTFORPAYMENTSERVICESneitherofwhichshallnotbeamendedwithoutthepreviouswrittenapprovaloftheProvider.
The Provider hereby appoints the Partner as an agent for payment services herebyaccepts, under the Programme exclusively designed for the Customers. The Partnerfacilitates the conclusion and the execution of the FRAMEWORK AGREEMENT FORPAYMENTSERVICESconcludedbetweeneachCustomerandMANGOPAYandwillreceiveafeeasprovidedbyarticle5ofthisAgreement.
TheProviderwillprovidetothePartnertheSoftwareservices inaccordancewiththetermsofarticle3ofthisAgreement.
Article3:Servicedescription
3.1.Deliverables
The Provider will provide Software Services and Deliverables corresponding to thecommercialandtechnicalneedsofthePartnerasdescribedinwww.mangopay.comasagreedbythePartiesbeforetheStartdate.

TheProviderwill provide the Software Services,which shall conform to the servicesdescription.ThePartnerwillbeabletoaccesstotheSoftwareServicesandDeliverablesinordertoproceedwiththeacceptancetests.
3.2Softwareservicesandtechnicalassistance
TheProvider shall dowhatever isnecessary to correct any dysfunction thatmay notcomplywithMANGOPAY’stechnicalandoperationalspecificationsupondemandofthePartner,provided that thePartnerhas compliedwith theprerequisite conditionsandusedtheserviceinaccordancewiththeprovisionsofthisAgreement.
3.3Servicelevel
TheProviderprovidesthePartnerwithatechnicalassistanceservicethatisavailableonworkingdaysfrom9.30amto7.00pm(CET).ThePartnermustprovideMANGOPAYassoon as possible with information and data in its possession in order to facilitateMANGOPAY’sidentificationandcorrectionoffaults.
AssoonasthePartnerexperienceisdeemedtobeinadequatebyMANGOPAY’stechnicalstaff, the Website shall automatically be put under "corrective maintenance". By“inadequatecustomerexperience”,MANGOPAYmeansanytechnical issuespreventingtheperformanceofthisAgreement.
During any period of corrective maintenance, Customers will not be able to useMANGOPAY.Theperiodofcorrectivemaintenancewillterminatewhenthefaultshavebeencorrected.
MANGOPAYundertakestoprioritisethecorrectionofthesefaults.
MANGOPAYshalluseallreasonableeffortstomakeMANGOPAYavailableasdescribedintheSLA(“ServiceLevelDefinition”)inAppendix1.
3.4DataandArchiving
The Partner shall have access to a records of the payment transactions carried outthroughthePlatformontheWebsite.ThedatatobeintegratedintothenavigationsystemforuseofMANGOPAYissolelyundertheresponsibilityofthePartner.
For a period of five years from termination of the Agreement for whatever reason,MANGOPAYsafeguardsandretainsthedataprovidedbyCustomersinordertocomplyinparticularwithitsobligationsasregardsthepreventionofmoney-launderingandthefinancing of terrorism. MANGOPAYmay be required to retain other information forvariousperiodsoftimeinaccordancewithitslegalandregulatoryarchivalobligations.
Article4:Paymentaccountcommercialisation
4.1Scope
In its capacity as an agent hereunder, the Partner shall provide the FRAMEWORKAGREEMENTFORPAYMENTSERVICEStotheCustomersbasedinFranceandanyothermemberstateoftheEuropeanUnionasagreedbytheParties.

The Partner shall obtain Customer’s consent to the FRAMEWORK AGREEMENT FORPAYMENTSERVICESbywayofanon-lineprocedure,thatthePartnerensuresislegallybindingontheCustomer.ThePartnershallcollectall informationanddocumentationthat theProviderreasonablyrequirestoallowtheProvidertoperformitsdutiesasaProvider including its regulatory and AML/KYC1 duties. The Partner undertakes toimplementaprocessof validation compliantwithFrench law inorder toexecute theFrameworkagreement.ThePartnershallalsoimplementarchivingsystemsofalltheFrameworkagreementsconcludedwiththeCustomers.
The Provider authorises the Partner to offer the Customer the opportunity to open aPayment account on MANGOPAY’s books. For this purpose, the FRAMEWORKAGREEMENTFORPAYMENTSERVICESmustbeexpresslyexecutedbytheCustomer.ThePartnerundertakestoimplementaprocessofvalidationcompliantwithFrenchlawinordertoexecutetheFrameworkagreement.
MANGOPAYreserves theright to refuseanyrequest toopenaPaymentaccount.Thisdecision will be notified to the Partner and the Provider will not be liable forcompensation for any such decision. The Provider may request any information oradditional evidence from theCustomerbefore carryingoutanyTransaction, andmaysuspendorcloseaPaymentaccount,onitsowninitiativeandwithoutgivingareasonorarighttocompensation.
The Partner is authorised to grant co-branded reporting to the Customer by usingMANGOPAYandthedatastoredbythePlatform,withoutanyrighttoamendthereportsinanyway.
TheCustomerserviceisdelegatedtothePartnerundertheresponsibilityoftheProvider,providedthatitisexclusivelybasedonthedatastoredbythePlatform.WhenreceivingaclaimfromaCustomer,thePartnershallverifyifitcandealwiththeissuewithoutthesupportofMANGOPAY,ornot:
• IfthePartnerisunabletorespondtotheclaimwithoutthehelpofMANGOPAY,thePartner shall contactMANGOPAYwithinaperiodof five (5)businessdaysstarting from the receipt of the claim. The Parties shall cooperate in order totransmit the reply to the Customer within a maximum period of fifteen (15)businessdaysfollowingthereceiptoftheclaim.IfthePartiesconsiderthattheyare unable to provide a response within this period for reasons beyond theircontrol,thePartnershallsendaholdingresponsetotheCustomerstatingclearlytheadditionalperiodnecessarytorespondtotheclaimandthefinaldateonwhichtheCustomershallreceiveadefinitiveresponse.Inanycase,thePartiesshallusetheirbesteffortsinordertoprovideadefinitiveresponsetotheCustomeratthelatestthirty-five(35)businessdaysfollowingthereceiptoftheclaim;
• If the Partner considers it can respond to the claim without the support ofMANGOPAY,thePartnershallprovidetheCustomerwitharesponseaddressing

allthepointsraisedintheclaim,withinamaximumperiodoffifteen(15)businessdaysfollowingthereceiptoftheclaim.
ThePartnerisauthorisedbytheProvidertocarryoutmarketingactivitiestowardsthepublic,butinstrictcompliancewiththeregulationapplicabletocanvassingunderFrenchlaw..
The following activities shall not fall within the scope of themandate granted to thePartnerhereunder:
• ValidationofthemarketingdocumentstobeusedtopromoteMANGOPAYMENTaccount.Infact,thePartnershallrefrainfromusingmarketingdocumentsotherthanthosedulyvalidatedbytheProvider;
• collectortransferfundsremittedbytheCustomers;and
• ManagementofthereportingofpaymentTransactionstoCustomers,whichshallremainunderthecontroloftheProvider.
It shall also be reminded, for the avoidance of doubt, that the Provider remainsresponsiblevis-à-vistheCustomersforanypaymentactivitiesdelegatedtothePartner.
4.2Partnerobligations
Themarketing of Payment account may only be undertaken in accordance with theconditionsgoverning information,advertisingandethicalbehaviourasdefinedbytheapplicablelegislationandregulations.ThePartnerundertakestotakeeverynecessarymeasuretocomplywithallapplicableregulations.
ThePartnerundertakes to carryout internalmonitoring in compliancewith the riskslinked to its business and, in particular, to ensure continuity of the Payment accountmarketingservicefortheUsersinaccordancewithitsBusinessContinuityPlanning.ThePartner undertakes to make available to Customers a multi-channel communicationservicetomanagetherelationshipwitheachcustomer,including:awebsite,acallcentreandane-mailaddress.ThePartnershalldoitsbesteffortstohandletherequestsandclaimsof theCustomersusingtheWebsite,withaviewtoresolvinganyconflicts,andshall immediately inform MANGOPAY of any dispute in connection with a Paymentaccount.ThePartnerhastheobligationtoinformMANGOPAYofanyoccurrencethatislikelytohaveasignificantimpactonthePartner’sabilitytoperformtheoutsourcedtaskseffectivelyandincompliancewithcurrentlegislationandregulatoryrequirements.
ThePartnerisawarethatthefundsregisteredinthePaymentaccountsaresafeguardedinaring-fencedaccountopenedataBankbooksandsegregatedfromMANGOPAY’sownfundsasdescribedunderarticle6.ThePartnerundertakesto informtheCustomerofsuchsafeguarding.
4.3Audit
MANGOPAYmay,atanytimeandinitssolediscretion,carryoutauditsinordertoensurethattherightconditionsexistforthePartnertodistributethePaymentaccounts.

ThisauditmaybecarriedoutbyaMANGOPAYinternalauditingserviceorbyanoutsidefirm subject to professional secrecy. Subject to giving minimum 15 days notice,MANGOPAYmustadvisethePartnerinwritingofitsintentiontocarryoutanauditinsituorbasedonprovideddocuments.AnyoutsidefirmmustbeapprovedbythePartnerinadvance.ThePartnercan(actingreasonablyandproperly)refuseanexternalfirmonlyforconflictofinterestsreasons.Ifanexternalfirmisrefused,MANGOPAYwillappointanotherone.
TheauditreportshallbecommunicatedtobothParties.ThefeesoftheauditwillbeattheexpenseofMANGOPAY.
Iftheconclusionsofcertainauditscontainrecommendationstomodifyorenhancetheaudited rulesandprocedures, the implementationof these recommendations shallbeorganised by a steering committee created for this purpose, which shall include arepresentative from each Party. The Partner shall bear the costs relating to theimplementationofsuchrecommendations.
ThePartiesagreethattheauditingprocedureoritsnon-implementationdoesnotinanywayexemptthePartiesfromcompliancewiththeircontractualobligations.
4.4.OnlineaccessbytheCustomerstothePaymentaccount
The access to theMANGOPAY’s API is reserved only for the Partner. The latter shallprovidetotheCustomer,throughitsinterface,anonlineaccesstoitsPaymentaccount.The Parties acknowledge that this access constitutes the only online access for theCustomertoitsPaymentaccount.MANGOPAYoutsourcestothePartnerthemanagingofalltheproceduresrelatedtothisonlineaccess,suchastheattributionofthepersonalisedsecuritycredentials,theimplementationofStrongCustomerAuthenticationproceduresaswellastherelationwithpotentialThird-partyPSPs.
ThePartnershallimplementStrongCustomerAuthenticationprocedures,compliantatanytimewiththeapplicableregulations,inparticularinthefollowingcases:whentheCustomerwishestoaccessitsPaymentaccount;toinitiateapaymenttransactionthroughaThird-partyPSPortoexecuteanactionthroughameansofdistancecommunication,whichmayimplyariskofpaymentfraudoranyotherabuses.ThePartnercommunicateson request to MANGOPAY for validation a description of the Strong CustomerAuthenticationproceduresaswellastheconfidentialityandintegritymeasuresrelatingtothepersonalisedsecuritycredentialsimplemented.
4.5. Online access by Third-party PSPs providing Payment initiation Service or AccountInformationService
The Partner ismandated byMANGOPAY in order to authorise, under the conditionsdefinedby law, theThird-partyPSPprovidingaPayment InitiationServiceand/oranAccount InformationService to relyon thePartner’s authenticationprocedureswhentheyacton their customers’behalf.ThePartner shall refuse toaThird-partyPSP theaccesstotheCustomer’sPaymentaccountifanunauthorisedorunlawfulaccesstothePaymentaccountissuspected.Inthiscase,thePartnershallensurethatithasobjectivelyjustified and duly evidenced reasons tomotivate the denial to access to the PaymentaccountstothisThird-partyPSP.ThePartnershallinformtheCustomerofthedenial,in

accordancewiththeconditionsagreedbetweenthem.ThisinformationtotheCustomershallbegiven,wherepossible,begiventothepayerbeforeaccessisdeniedandatthelatest immediately thereafter, unless providing such information would compromiseobjectivelyjustifiedsecurityreasonsorisprohibitedbyotherrelevantUnionornationallaw.
ThePartnerinformsMANGOPAYofsuchrefusalbeforeblockingtheaccesstotheThird-PartyPSPor,atthelatest,immediatelyafterhavingrefusedtheaccess.ThePartnershallcommunicatetoMANGOPAYalltherelevantinformationrelatingtothisincidentandthereasonsmotivating themeasures taken, and shall reply to any request for additionalinformation fromMANGOPAY concerning the incident. The Partner shall restore theaccess to the Third-party PSP once the reasonsmotivating the blocking do not existanymore.
Furthermore,thePartnershall:
• EnsuretoprovidetoaThird-partyPSPprovidingaPaymentInitiationService,atthe latest immediatelyafter thereceiptof apaymentorder,all the informationrelating to the initiation of the payment transaction and all the informationrelatingtotheexecutionofthepaymenttransactiontransmittedtothePartnerbyMANGOPAY;
• EnsuretotransmittoMANGOPAYthepaymentordersinitiatedbytheThird-partyPSPprovidingthePayment InitiationService,withoutanydiscriminationotherthan based on objectively justified reasons, in terms ofpriority period or fees,comparedtothepaymentorderstransmitteddirectlybytheCustomer;
• Ensure to process to the data requests transmitted by the Third-party PSPprovidingtheAccountInformationService,withoutanydiscriminationotherthanbasedonobjectivelyjustifiedreasons.
Article5:Financialelements
It is agreed between the Parties that MANGOPAY shall calculate each month the“Partner’sTotalRevenue”.ThePartner'sTotalRevenueshallcorrespondtotheamountspaid by the Customers to the Partner (acting for the account of the Provider) inaccordancewiththepricingconditionslaiddownintheFRAMEWORKAGREEMENTFORPAYMENT SERVICES as agreed between the Partner (acting for the account of theProvider)anditsCustomers.
MANGOPAYshalltransfereachmonthtothePartnerthedifferencebetweenthePartner’sTotalRevenueandMANGOPAY’sremuneration(“MANGOPAYTransactionFees”).Such

difference constitutes the fees paid by the Provider to the Partner. TheMANGOPAY’sremunerationisdeterminedinaccordancewiththefollowing2:

TheTermsandConditionsofsaleshallbedeterminedinaccordancewitharticle4ofthisAgreementandshallbepreviouslyagreedbyMANGOPAY.
ItisagreedbetweenthePartiesthataminimummonthlyfeeofEUR30willapplyontheMANGOPAY's invoice to the Partner from the fourthmonth after the live date of theproductionaccountifthemonthlyTransactionFeesarebelowEUR30.
ThesefeesaredetailedonthemonthlyinvoicesentbyMANGOPAYtothepartnerinthefirsthalfofthefollowingmonth.Invoicesmustbepaidwithin30daysaftertheirissuance.

RefusedKYCdocumentsfornaturalusers
WhentherateofrefusedidentityproofKYCdocumentsfornaturalusersisabove15%onacivilmonthperiod,MANGOPAYshallinvoiceEUR1foreveryrefusedKYCdocumentbeyondthe15%thresholdexceptwhentherefusalarisesfromaMANGOPAYcompliancedecisionindependentlyofthedocumentquality.
For theavoidanceof anydoubt,KYCdocuments fornaturaluserswillnotbe chargedwhenvalidatedorwhentherefusalrateisunderthe15%thresholdpercivilmonth.
KYCforLegalusers(businesses,soletraders,organizations)
MANGOPAY shall invoices EUR2.5 to perform theKYC of any Legal user (defined asbusiness,soletraderororganization).
Payments
IfthePartner:-doesnotpayforitsinvoicesduewithin60daysfollowingtheissueoftheinvoice,-ordoesnotreimbursethechargebacksanddisputeswithin30days,MANGOPAY reserves the right to suspend pay-ins and/or pay-outs on the Partnerproductionenvironment.Article6:MANGOPAY’sliability
MANGOPAYcaninnocircumstancesbeheldliableforanyindirectlossestheymaycause.
UnderthisAgreement,MANGOPAY’sfinancialliabilitytowardsthePartnerislimitedtothecumulativeamountoftheannualchargesreceivedbyMANGOPAY.
The Customers’ funds received by MANGOPAY are held separately in a ring-fenced account in compliance with the requirements concerning safeguarding of funds in accordance with the Law of 10 November 2009 governing the payment services, the activity of EMIs and the definitive payment through the payment systems and the delivery systems of financial instruments.
The account is opened and maintained by the Bank in the name of the Provider tosafeguard the funds corresponding to the amount credited to each Payment accountopenedbyMANGOPAYandheldbytheCustomer.
Thefundsthussegregated:
• arenotpartofMANGOPAY’sownassetsand,beingsolelyforthebenefitoftheCustomers,areprotectedfromtheclaimsofMANGOPAY’sothercreditors;and
• arenotincludedaspartoftheassetsofMANGOPAYinitscapacityasaPaymentaccountinstitutionintheeventofitsliquidation,bankruptcyoranyothersituationaffectingitscreditors’rights.

For reasons linked to the legislation concerning the prevention of fraud, money-launderingandthefinancingofterrorism,MANGOPAYmaintainsconstantvigilanceoverallpaymentTransactionsitexecutes.
MANGOPAY offers an anti-fraud module including the 3D Secure payment securityprotocolcoveringanycreditordebitcardtransaction.Dependingontheamountofthetransaction,thisauthenticationsystemisflexibleandallowsselectionofcriteriabasedonthepaymentsource.MANGOPAYhasitsownproceduresforpreventingfraud,money-launderingandthefinancingofterrorism.ThePartnermustimmediatelycomplywithallMANGOPAY’srequirementsneededtocomplywiththeaforesaidprocedures.
The Partner acknowledges that a User is permitted to dispute an unauthorised cardmoneyremittanceorderforamaximumperiodof13monthsstartingfromthedebitonhisaccountlinkedtothecardused.ThePartner,collectivelywitheachMerchant,mustbearalltheconsequencesofanysuchdisputeoranyotheractionthatconstitutesachargeback for a Merchant. A chargeback or dispute is the return of funds to a consumer,initiatedbytheissuingbankoftheinstrumentusedbyaconsumertosettleadebt.AnychargebackwillbechargedbyMANGOPAYtotheMerchantPaymentaccountandincaseofinsufficientavailablefunds,tothepartnerthemonththedisputeoccurred.
Article7:Preventionofmoney-launderingandfinancingofterrorism
MANGOPAY is subject to all Luxembourg regulations governing the prevention ofmoney-launderingandthefinancingofterrorism.
UndertheprovisionsofLuxembourglawsconcerningthemoneyremittanceoffinancialinstitutionsincombatingmoney-launderingandthefinancingofterroristactivities,foranytransactionorbusinessrelationshipMANGOPAYisrequiredtoascertainfromeveryCustomerthesource,purposeanddestinationoftheTransaction.Additionally,itmustcarryoutallnecessaryinvestigationstochecktheidentityoftheCustomerandofthebeneficialowner,wherenecessary.
TheseinvestigationsformpartoftheMANGOPAYgeneraltermsandconditionsforusingPaymentaccount,asacceptedbyCustomerspriortousingtheservice.
The Partner undertakes to use its best efforts to enable MANGOPAY to carry out athoroughreviewofTransactions,toinformitofanyTransactionthatisexceptionalinrelationtotheusualTransactionsprocessedwithintheframeworkofthisAgreement,andtoprovideitonfirstdemandwithanyrequesteddocumentordata.ThePartnershallcomplywithallmonitoringrequirementsregardingAnti-MoneyLaundering(AML)andCounterTerroristFinancing (CTF)rulesandregulations. Itshall install andcarryoutpermanentinternalmonitoringproceduresaccordingtoitsownpermanentriskcontrolplan.
At MANGOPAY’s request, the Partner may provide an annual report to enableMANGOPAYtofulfilitsownregulatoryreportingobligations.

The Partner acknowledges thatMANGOPAYmay need to installmonitoring systemsdesigned to prevent money-laundering and the financing of terrorism. It agreesunconditionallytocomplytherewith.
ThePartneracknowledgesthat,intheabsenceofsufficientdetailsaboutthepurposeornatureofTransactionsandpurchases,MANGOPAYmayatanytimestoporpostponetheuse of a Customer’s access to MANGOPAY or the carrying out of transactions andpurchasesbasedthereon.ThePartnerisawarethatapaymentTransactioncarriedoutviaMANGOPAYmaybecommunicatedtonationalfinancialintelligenceunitsinEuropeinaccordancewithapplicablelaw.Nolegalproceedingsorcivilliabilityactionmaybebrought or professional sanction pronounced against MANGOPAY, its authorisedrepresentatives, its managers or its employees who have in good faith stated theirsuspicionstosuchnationalauthority.
Article8:Licencetouseandexploitintellectualproperty
8.1.LicencetousetheInterface
MANGOPAYherebygrantsthePartner,subjecttostandardandlegalguarantees,alicenceforthepersonalandnon-exclusiveuseoftheProgrammeanditsoperatingapplications(hereinafterreferredtoas"theRights")fortheentiredurationofthisAgreement.
ThelicenceispersonaltothePartnerandisnon-transferable.
MANGOPAYcertifiesthatitretainsfullandcompleteownershipofthegrantedRights,therighttodisposeofthemandtofreelygrantlicencesthereoftowhomsoeveritchooses.
MANGOPAYdeclaresthatithasnotincurredanyobligationoragreedtoanyconditionthat limits its freedom to exploit the Rights. MANGOPAY therefore indemnifies thePartnerandanyofitsassigneesagainstalldisputes,claimsorlossofrightsduetothirdpartyactions.ItconsequentlyguaranteesthePartneritspeacefulenjoymentoftheRightsonwhichtheusagelicenceisbased.
MANGOPAYundertakesvis-à-visthePartnertoupholdtheseRightsandtodefendorco-defendthemagainstanyinfringementsthereof.
8.2.Logosandtradenames
AnyreproductionofaParty’sbrandnamesortradenamesinanyform,whetherverbalor semi-figurative (logos), by the other Party is subject to obtaining the first Party’sexpresspriorapproval.
Inanyevent,eachPartyretainsalltheelementsofitsintellectualproperty.
OtherauthorisationsregardinganyotherelementofintellectualpropertyprovidedforinthisAgreementinvolveonlytemporaryusagerightsrestrictedtotheperformanceofthisAgreementandwithnotransferofproperty.

ThePartiesundertakenottoapply,orcausetobeappliedintheirnameoronbehalfofthird parties, for intellectual property rights over designs using, incorporating orimplementingallorpartoftheConfidentialInformationasspecifiedhereinafter.
Article9:SecrecyandConfidentialInformation
ThePartiesundertaketokeepstrictlyconfidentialallinformationanddataexchangedbetweenthem(includingthosefromthepre-contractualnegotiationstage)aswellasthetermsoftheAgreement,forthedurationoftheAgreementandforaperiodofthree(3)yearsafteritsexpiryforwhateverreason.
Consequently,eachPartyexpresslyundertakesto:
• take all appropriatemeasures to prevent the direct or indirect disclosure of theConfidentialInformationoftheotherPartytoanypersonotherthantheirownlegalrepresentatives,employees,suppliersorsub-contractors,beyondwhattheyneedtoknowinordertocarryoutthetasksforwhichtheyareresponsible;
• maintainandensurethestrictestsecrecyasregardstheConfidentialInformationoftheotherParty;
• when the contract is terminated for any reason whatsoever, return all theConfidentialInformationtotheotherPartywithinmaximumfive(5)workingdays.
The Part, which has received the information, undertakes to inform the personsconcernedoftheconfidentialnatureoftheinformation.
Each Party guarantees its employees, representatives and duly authorisedsubcontractorsshallcomplywiththeaforementionedundertakingofconfidentiality.
ThisclausedoesnotapplytoinformationthatisinthepublicdomainorinformationthatthePartieshavereceivedfromathirdpartyandwhosecommunicationisnotinbreachof another confidentiality agreement, or information thatwas already known by thePartiespriortoitscommunication.
The Parties maymoreover disclose the Confidential Information if this disclosure isforceduponthembyastatutoryorregulatoryrequirement,particularlyaninjunctionbyacompetentjudicialoradministrativeauthority.
Inthiscase,thePartyrequiredtodisclosesuchinformationundertakes:
• toinformtheotherParty,inwritingpriortotheactualdisclosure,oftheobligationitisundertodisclosetheConfidentialInformation,unlessitisprohibitedfromdoingsobylaw;and,
• torestrictthedisclosuretowhatisstrictlynecessarytofulfilitsobligations.

Article10:Durationandtermination
10.1.Duration
This Agreement is concluded for an unlimited period and shall be terminated inaccordancewithArticle10.2orasotherwiseprovidedinthisAgreement.
10.2.Termination
EitherofthePartiesmayterminatethisagreementatanytimebygiving:
-atleastone(1)month’snoticeiftheterminationisontheinitiativeofthePartner;or
-atleastthree(3)months’noticeiftheterminationisontheinitiativeofMANGOPAY,inwhichcasethisAgreementshallterminateandceasetohaveeffectattheendofthenoticeperiod.
Notwithstanding theabove, thisAgreementmaybe automatically terminatedwithoutnoticeandwithsimplewrittennotificationtotheotherPartybyregisteredletterwithacknowledgementofreceipt,intheeventofoneofthefollowingeventsoccurring:
• atanytimeandwithimmediateeffect,ifMANGOPAYisnolongerauthorisedtoopenPaymentaccountduetoadecisionbythecompetentauthoritiesoranamendmenttotheapplicableregulationsandifitisnotreplacedbyanotherPaymentaccountProvider;
• atanytimeandwithimmediateeffectifthePartnerentersintoactivitiesprohibitedbyMANGOPAYorpresentsactivitiesorwaysofconductingbusinessnotacceptedbyMANGOPAY’sbankingorfundsacquisitionproviders;
• atanytime,withinonemonthinthecaseofaseriousfailurebyoneorotheroftheParties to fulfil itsobligations, fifteen (15)daysafter formalnoticeby registeredletterwithacknowledgementofreceiptthatremainsunanswered.Non-terminationwithintheaforementioneddeadlineofonemonthshallbedeemedtobeawaiverofthe right to exercise this option, although this however does not obviate thepossibility for the aggrievedParty to demandcompensation for damages and/orobtainjudicialannulmentofthisAgreementinthecourts;
• atanytimeandwithoutformalnoticeintheeventofthePartner’snon-compliancewith the regulations governing the prevention of money-laundering and thefinancingofterrorism;
• atanytimeandwithoutformalnoticeifthePartnerrefusestosettleitsMANGOPAYinvoicesorthechargebacksreceivedinrelationwithitsplatformactivity.
Aftertheendofthenoticeperiod,theFinancialamountsduebyanyofthePartiestotheotheroneremaindue.
MANGOPAYreservestherightofrequiringthepaymentofthechargebacksreceivedafterthenoticeperiod.Pleasenotethatchargebackscanoccur540calendardays fromthetransactionprocessingdate.

10.3.Consequencesoftermination
OnthedaywhentheAgreementterminates:
• Paymentaccountsthatarestillactiveshallbekeptopenuntiltheirexpiryor,intheabsence of an expiry date, until MANGOPAY receives the agreement of eachCustomer holding Payment account to close down his account together withinstructionstotransferthefunds.MANGOPAYmustbegivenreleasefromanyclaimbyCustomersholdingPaymentaccountandtheirconsenttoitssuccessor.
• ThePartiesshallceasetousetheintellectualpropertyelementsoftheotherParty.Inparticular,MANGOPAYshallceasealluseofdataconcerningtheCustomersandshallobtainsimilarundertakingsfromthePartner.
• The links, interfaces and navigation system referred to in Article 3 shall bedeactivatedand/orremoved.
Article11:Forcemajeure
AninstanceofforcemajeureisdeemedtobeanyeventrecognisedassuchaccordingtotheFrenchlaw.
IfonePartyexperiencesaninstanceofforcemajeure,itisrequiredtonotifytheotherPartyassoonaspossibleafterbecomingawarethereof.ThePartysufferingtheeffectsofthisinstanceofforcemajeuremustdoeverythinginitspowertolimittheeffectthatsuchaneventmayhaveonthefulfilmentofitsobligationsundertheAgreement.
Intheeventofaninstanceofforcemajeure,theParties’respectiveobligationsshallbesuspendedandneitherPartyshallbeheldliablethereto.
IfaninstanceofforcemajeurecontinuestopreventoneofthePartiesfromfulfillingasubstantialpartof itsobligationsunderthisAgreement formorethanonemonth, theotherPartyshallbeentitledtoautomaticallyterminatethisAgreementbysendingthefirstPartyawrittennotificationbyregisteredletterwithacknowledgementofreceipt,givingthirty(30)calendardaysnotice.
Article12:Insurance
EachofthePartiesundertakestotakeoutandmaintaininaccordancewithitslegalandregulatoryobligationsthenecessary insurancepolicies thataresufficient tocovertheconsequencesofitscivilandprofessionalliabilitiesarisingfromitsperformanceofthisAgreement.
Article13:Declarationofexclusivityandnon-competition
ThePartnerdeclaresthatasofthisdateithasnotconcludedanyexclusivepartnershipor non-competition agreement with any company offering products or services thatcompetedirectlyorindirectlywiththeservicesofferedbyMANGOPAY.

Article14:AssignmentoftheAgreement
NeitherPartymayassignthisAgreementwithoutthepriorwrittenconsentoftheotherParty.
Article15:Subcontractingandoutsourcing
MANGOPAY is authorised to subcontract or outsource all or part of its activities andobligationsunderthisAgreement,whilststrictlycomplyingwiththeLuxembourglegalprovisionsapplicabletoitasanauthorisedE-moneyinstitution..
ThePartnermaysubcontractallorpartofitsobligationsunderthisAgreementonlywithMANGOPAY’spriorwrittenconsent.
ThePartnerthatrequestssuchauthorisationisrequiredtoprovideMANGOPAYwithalltheinformationnecessaryforitsdecision.
In all instancesof subcontracting or outsourcing, the Party having recourse to asubcontractor is indefinitely responsible for the consequences of the subcontractor’sacts,negligenceoromissions.
Article16:Contractualdocuments
ThisAgreement constitutes the entirety of the Parties’ obligationswith respect to itspurpose.ItcancelsandreplacesanypreviousdocumentoragreementmadebetweenthePartiesandmaybemodifiedonlybymeansofajointlysignedamendment.
Article17:IndependenceoftheParties
The Parties are entering into this Agreement as legally and financially independentbusinesses.Consequently,theAgreementcannotinanycircumstancesbeinterpretedascreating a joint entity, a de jure or de facto association or an employer/employeerelationshipbetweentheParties.
Article18:Non-waiver
Unlessotherwisestated,thefailureofoneorotherofthePartiestopursueanybreachbytheotherPartyofanyofitscontractualobligationsshallnotbeinterpretedasbeingawaiveroftheobligationinquestion.
Article19:Invalidityandseverabilityofcontractualterms
IfoneormoreofthetermsoftheAgreementareheldtobeinvalidorconsideredassuchaccording to a law, regulation or competent court decision, they shall not affect thevalidityoftheAgreementandtheothertermsshallremaininforce.
Article20:Correspondence–Notifications
CorrespondencebetweenthePartiesiscarriedoutbyletterore-mailsignedbyapersondulyauthorisedbythePartyconcernedandwithacopysenttothemanagementoftherecipientParty.

Anynotification,with orwithout prior notice,must be sent by registered letterwithacknowledgementofreceipttotheaddressofitsrecipient’sregisteredoffice.
Unlessotherwisestated,thedeadlinesspecifiedinthisAgreementrunfromthedateofthefirstpresentationoftheaforesaidnotification.
Article21:Miscellaneous
ThePartieswarrantthatinperformingtheirobligationsunderthisAgreementtheywillso far as is necessary adhere to all the regulations concerning distance selling andconsumerprotection.
The Partner is informed that installation ofMANGOPAY involvesmodification of theWebsite’spaymentpagesandthedisplayofgraphicorcontextualelementsreferringtoMANGOPAYanddesignedtoguidetheCustomers.
Article22.ProtectionoftheDatasubjects’PersonalData
22.1.ScopeandroleoftheParties
MANGOPAY,withinthecontextoftheregulatedservicesprovidedtotheDatasubjectsasan electronic money institution, shall in particular process Personal Data for thefollowingpurposes:openingandmanagingtheaccount;receivingandexecutingpaymenttransactions;managingcustomerrelationandclaims;combattingmoneylaunderingandthefinancingofterrorism.
The Partner acknowledges that it partly determines the means used to make suchprocessing. Indeed, the Partner’s Website may be considered as a communicationchannelwithMANGOPAY’sAPIandconstitutestheonlycontactpointoftheDatasubjectforthecollectionofitsPersonalDataandthecustomerservice.
Furthermore, thePartneruses the servicesofMANGOPAY inorder togenerateon itspaymentpagetheinputfieldstocollectpaymentdata(carddata).ThepurposeofthisprocessingisdeterminedbythePartner,as thepublisherofthewebsiteandpaymentpage.However,MANGOPAYacknowledges that itdetermineson itsownsomeof thisprocessing’smeans.Indeed,MANGOPAY’sAPIallowstogeneratethedatainputfieldsandtocommunicatewiththe“Paymentserviceprovider”selectedbyMANGOPAY.
Thus, the Parties each intervene for the determination of either the purposes or themeans,oftheabovementionedprocessing.ThePartiesagreethattheyjointlytaketheresponsibility for theprocessing, inaccordancewitharticle26of theRegulation (EU)2016/679 of the European Parliament and of the Council of 27 April 2016 on theprotectionofnaturalpersonswithregardtotheprocessingofpersonaldataandonthefreemovementofsuchdata(hereafter“GDPR”),applicablefrom25May2018.
EachPartyacknowledgesthatithastorespectalltheprovisionsoftheGDPRapplicabletodatacontrollers.
Each Party acknowledges that any personal data processing carried out for otherpurposes than those subject to the joint responsibility is carried out under its ownresponsibility,outsideofitsrelationwiththeotherParty.

22.2.ProvisionofcompulsoryinformationtotheDatasubjects
Inaccordancewitharticles13and14oftheGDPR,someinformationshallbeprovidedtotheDatasubjectsbythedatacontrollers.ThecollectionofPersonalDatabeingcarriedoutexclusivelythroughthePartner,thePartiesagreethatallthecompulsoryinformationunderarticles13and14oftheGDPRshallbeprovidedbythePartner.Thelattershallcommunicatethis information inamannerthatcomplieswiththeGDPRandwiththeWP260guidelinesofthearticle29workingpartyontransparency.
ThePartner shall inform theData subjectsof themain featuresof thisAgreement, inaccordancewitharticle26,para.2oftheGDPR.ThePartnershallalsoindicatetotheDatasubjects,inaclearandeasilyaccessiblemanner,thattheymayconsulttheprivacypolicyofMANGOPAY,accessibleatthefollowingaddress:www.mangopay.com.
22.3ExercisingoftheirrightsbytheDatasubjects
ThePartiesagreethatthePartnershallbethemaincontactpointoftheDatasubjectsconcerningtherequeststoexercisetheirrights(therighttorequestfromthecontrolleraccess to and rectification or erasure of personal data or restriction of processingconcerning the data subject or to object to processing as well as the right to dataportability). For this purpose, the Partner shall provide to the Data subjects themodalitiespermittingtheexercisingoftheserightsinaclearandaccessiblemanner.
IfthePartnerisunabletoprocessonitsowntherequestofaDatasubject,MANGOPAYshallcooperatewiththePartner.Forthispurpose,thePartnershallcontactMANGOPAYassoonaspossibleinorderforthePartiestocomplywiththeresponsetimeslistedunderarticle12oftheGDPR.
22.4BreachofPersonalData
IncaseofabreachofPersonalData, eachPartyshall informtheotherwithoutunduedelay, and at the latest forty-eight (48) hours after having become aware of it. Thenotificationshallincludetheinformationlistedunderarticle33oftheGDPR.
EachPartynotifiesonitsownthebreachtoitscompetentauthority.
ThePartiesshallcooperateinordertodetermineifthebreachneedstobecommunicatedto theData subjects, that is, if the breachmay result in a high risk to the rights andfreedomofanaturalperson.
Ifso,thePartiesshallmeetinordertodeterminethemodalitiesandthecontentofthecommunicationtobeconductedwiththeDatasubjects.
22.5Relationwiththesupervisoryauthorities
EachPartyisresponsiblewithitsowncompetentauthority.ThePartnerisinformedthatMANGOPAY falls under the competence of the Luxembourg authority, the NationalCommission for Data Protection (1, avenue du Rock’n’Roll, L-4361 Esch-sur-Alzette ;Grand-DuchéduLuxembourg).

22.6PersonalDatasecurity
The Parties acknowledge that they shall protect the Personal Data against anyunauthorised or unlawful processing and against the accidental loss, destruction ordamage. Each party is responsible on its own for the implementation of appropriatetechnical and organisational measures in order to guarantee the integrity andconfidentialityofPersonalData,inaccordancewitharticle32oftheGDPR.
22.7AccuracyandstorageofPersonalData
ThePersonalDatacollectedandprocessedshallbeaccurateand,wherenecessary,keptuptodate.ThePartnershallinformMANGOPAYofanymodificationonthePersonalDatathatitisawareofandthathadnotbeencommunicatedtoMANGOPAYthroughtheAPI,inorderforthelattertocorrectordeletethemwithoutdelay.
The Partner shall not store any Data transmitted exclusively for the purpose of theregulatedservicesprovidedbyMANGOPAY.ThePartiesacknowledgethat thePartnermay store Data transmitted for the purpose of both MANGOPAY’s activities and thePartner’s own activities (for instance the email address or information related to theidentityoftheDatasubject).TheDataprocessingrelatedtothestoragebythePartnerofsuchDataisdeterminedbythelatterunderitsownresponsibilityanddoesnotfallunderthescopeofthisAgreement.
ThePartnerisinformedthatMANGOPAYimplementsastoragepolicycompliantwiththeapplicableregulations.
Article23:Applicablelawandsettlementofdisputes
ThisAgreementissubjecttoFrenchlaw.
Anydisputeconcerningthevalidity,theinterpretation,theexecutionortheterminationofthisAgreementshall,preferably,beresolvedthroughgoodfaithnegotiationsbetweentheParties.IfthePartiescannotreachanamiablesettlementontheclaim,thedisputeshallbereferredtothecourtslocatedinFrance.

Appendix1-Serviceleveldefinition
MANGOPAYshallmakeallreasonableeffortstomakeMANGOPAYavailablewithanUptimePercentageofatleast99%duringanymonthlyinvoicingcycle.
TheServiceCommitmentdoesnotapplytoanyunavailability:
(i) causedbyfactorsoutsideofourreasonablecontrol,includinganyforcemajeureeventorInternetaccessproblems,
