Hm nay, ngy24-06-2015, Cc Bn cng thng nht k kt v thc hin Hp ng
vi nhng ni dung v iu khon nh sau:
1. NI DUNG HP NG
1.1 Cng ty gii php ti nng tm nhn trs thc hin vic t vn cho Cng Ty
thng qua cung cp danh sch nhn s v h tr phng vn gip Cng Ty
chn ra 03 (ba)thc tp sinh lm vic cho Cng Ty trong vng 6 thng(Thc
Tp Sinh) (ton b cng vic trn y c gi l Dch V T Vn).
1.2 Thng tin v mi Thc Tp Sinh s c th hin qua mt Th Chp Nhn ca
Cng Ty/T Chc v mt Th Chp Nhn ca Thc Tp Sinh tng ng nh
km nh l ph lc ca Hp ng ny.

ng thc hin Dch V T Vn, Cc Bn s tip tc thc hin
Hp ng.
2.3. K t ngy th 7 tnh t ngy k Hp ng, nu Cng Ty mun sa Job
Questionnaire, Cng Ty s phi tr thm 420.000 VND (bn trm mi by
ngn bn trm Vit Nam ng) cho mi ln thay i. Cc thay i m Cng Ty
mun thc hin trong mt ln phi c gi cho Cng ty gii php ti nng
tm nhn trtrong mt vn bn.
2.4. Da trn thng tin t Job Questionnaire m Cng Ty cung cp, cng ty gii
php ti nng tm nhn tr s tin hnh thng bo, chn lc trn c s d liu
v h thng thng tin ca mnh a ra v gi cho Cng Ty mt danh sch
(Danh Sch ng Vin) cc ng vin tim nng ph hp vi v tr Cng Ty cn
tuyn dng (ng Vin).
2.5. Trong vng hai mi (20) ngy k t ngy nhn c Danh Sch ng Vin,
(i) Nu Cng Ty chp nhn Danh Sch ng Vin, Cng Ty s thng bo
bng vn bn cho cng ty gii php ti nng tm nhn tr cc ng Vin
trong Danh Sch ng Vin m Cng Ty mun phng vn; hoc
(ii) Nu Cng Ty khng chp nhn Danh Sch ng Vin v a ra c l
do hp l cho vic t chi Danh Sch ng Vin ny, Cng Ty c quyn
yu cu cng ty gii php ti nng tm nhn tr cung cp mt danh sch
ng vin khc (Danh Sch ng Vin Cp Nht). Cng Ty c quyn
yu cu v cng ty gii php ti nng tm nhn tr c ngha v cung cp

Danh Sch ng Vin Cp Nht ti a 3 ln. Cng Ty phi chp nhn
Danh Sch ng Vin Cp Nht cui cng.
(iii) Nu Cng Ty khng thng bo cho Cng ty gii php ti nng tm nhn
trv vic Cng Ty c chp nhn Danh Sch ng Vin hoc Danh Sch
ng Vin Cp Nht hay khng, Cng ty gii php ti nng tm nhn tr
c quyn n phng chm dt Hp ng v thng bo vi Cng Ty
bng vn bn.
2.6. Trong vng by (7) ngy k t ngy nhn c thng bo bng vn bn ca
Cng Ty v vic chp nhn Danh Sch ng Vin hoc Danh Sch ng Vin
Cp Nht, Cng ty gii php ti nng tm nhn trs:
(i) Sp xp thi gian thch hp Cng Ty phng vn v tuyn chn ng
Vin. Cng ty gii php ti nng tm nhntrc th t vn cho Cng Ty
v quy trnh tuyn chn nu c Cng Ty yu cu nhng s khng
chu trch nhim v kt qu v hu qu ca vic tuyn dng ca Cng
Ty.
(ii)
Sau khi tin hnh phng vn, nu Cng Ty khng chn c ng
Vin ph hp, Cng Ty c quyn yu cu Cng ty gii php ti nngtm nhn tr tin hnh li cc cng vic t iu 2.4 n iu 2.6.(i).
Cng Ty c quyn yu cu Cng ty gii php ti nng tm nhn tr v
Cng ty gii php ti nng tm nhn trc ngha v thc hin li quy
trnh ny ti a ba (3) ln.
2.7. Cng Ty s thng bo cho Cng ty gii php ti nng tm nhn tr (cc) ng
Vin m Cng Ty chn lm Thc Tp Sinh (ng Vin c Chn) bng cchxc nhn trn Th Chp Nhn ca Cng Ty/T Chc (Company/Organization
Acceptance Note) nh km Hp ng ny (TN Acceptance Note) v gi cho
Cng ty gii php ti nng tm nhn tr trong vng by (07) k t ngy hon
thnh vic phng vn nu ti iu 2.6. Mi TN Acceptance Note tng ng
vi mt (01) ng Vin c Chn c th.

2.8. Cng ty gii php ti nng tm nhn trs tin hnh gi TN Acceptance Note
n ng Vin c Chn.
(i) Ngay khi ng Vin c Chn ng lm vic cho Cng Ty bng vic
xc nhn trn Th Chp Nhn ca Thc Tp Sinh (EP Acceptance
Note), Cng ty gii php ti nng tm nhntrs kt ni Cng Ty v
ng Vin c Chn trc tip lin lc v tha thun vi nhau cc iu
khon c th v ngy bt u, thi gian thc tp, lng
(ii) Nu ng Vin c Chn khng xc nhn trn EP Acceptance Note,
Cng Ty c quyn (a) yu cu Cng ty gii php ti nng tm nhn tr
v Cng ty gii php ti nng tm nhn trc ngha v thc hin li cc
cng vic t iu 2.2 n iu 2.8 ca Hp ng ny, hoc (b) yu cuCng ty gii php ti nng tm nhn tr tr li phn Thanh ton ln 1
(Tm ng)v chm dt Hp ng.
2.9. Cng ty gii php ti nng tm nhn trs cung cp dch v ha nhp cho ng
Vin c Chn khi ng Vin c Chn n Vit Nam (k t y s c
gi l Thc Tp Sinh). Dch v ha nhp bao gm h tr th tc lm Visa, ly
giy php lao ng (nu cn), tm nh v tham gia cc hot ng vn hakhc. Cng Ty v Thc Tp Sinh s thng lng cho vic chi tr chi ph cho
Visa, giy php lao ng hoc bt k giy t php l no khc nu c.
2.10. Cng ty gii php ti nng tm nhn trs a Thc Tp Sinh ti ni lm vic
ca Cng Ty trong ngy lm vic u tin v gii thiu hai bn vi nhau.
2.11. Trong vng 30 ngy k t ngy lm vic chnh thc u tin ca Thc Tp
Sinh ti Cng Ty,
(i) Nu Cng Ty thy rng Thc Tp Sinh khng c kh nng thc hin
cng vic nu ti Job Questionnaire hoc k thc tp b chm dt bi bt
k l do no ngoi tr S Kin Bt Kh Khng nu ti iu 5.4, Cng
Ty c quyn yu cu Cng ty gii php ti nng tm nhn trthc hin
li Hp ng t iu 2.4 tr i m khng mt thm chi ph no khc.
Quyn ny ch c thc hin 1 ln duy nht. Nu Cng ty gii php ti

nng tm nhn trkhng th thc hin c yu cu ny ca Cng Ty,
Cng Ty s khng phi thanh ton cc khon cn li ngoi tr Tin Cc.
(ii) Nu Cng Ty thy rng Thc Tp Sinh c kh nng thc hin cng
vic nu ti Job Questionnaire, Cng Ty phi m bo cho Thc Tp
Sinh lm vic hon ton hp php ti Vit Nam. Cng Ty phi chu mi
chi ph php l lin quan nu Cng Ty khng tin hnh cc th tc v
cng vic ph hp m bo iu ny.
2.12. Cng Ty lm bng kho st mc hi lng ca khch hng ca Cng ty gii
php ti nng tm nhn trsau khi k thc tp ca Thc Tp Sinh kt thc.
3.
THANH TON
3.1. Ph dch v
- Thc tp sinh ngi bn x ph l 600 USD/ngi & ngi khng bn x ph
l 450 USD/ngi v c quy ra VN (ph trn bao gm VAT 10%)

T gi USD s c tnh theo thi im thc t khi Cng ty thanh ton ph v
da theo t gi Ngn hng Vietcombank (ngn hng Ngoi Thng Vit
Nam).

3.3. Hnh thc thanh ton
Cng Ty thanh ton bng hnh thc chuyn khon cho Cng ty gii php ti
nng tm nhn trvo ti khon ngn hng nu ti phn thng tin ca Cc Bn
trong Hp ng ny.
4. NGHA V CA CC BN
4.1. Ngha v ca Cng Ty
(i)
Hp tc vi Cng ty gii php ti nng tm nhn tr thc hin ng
quy trnh thc thi Hp ng.
(ii)
m bo Thc Tp Sinhlm vic hp php ti Vit Nam.
(iii)
m bo Thc Tp Sinh lm vic nh theo m t ca JobQuestionnaire.
(iv) Thanh ton y v ng thi hn ton b Ph Dch V cho Cng ty
gii php ti nng tm nhn tr.
(v)
Khng c trc tip lin lc vi cc ng vin m CngTy khng
chn trong vng 12 thng k t ngy k kt Hp ng.
(vi) Duy tr lin lc vi Cng ty gii php ti nng tm nhn tr t ngy k
Hp ng cho n ngy kt thc k thc tp ca Thc Tp Sinh.
(vii)
Hp tc vi Cng ty gii php ti nng tm nhn tr tm ra gii php
thch hp nu c bt k vn no xy ra trong thi gian hiu lc ca
Hp ng ny.
(viii) Lm bng kho st mc hi lng ca khch hng ca Cng ty gii
php ti nng tm nhn trsau khi k thc tp kt thc.
4.2.
Ngha v ca Cng ty gii php ti nng tm nhn tr
(i) Hp tc vi Cng Ty thc hin ng quy trnh thc thi Hp ng.
(ii) Cung cp dch v ha nhp cho Thc Tp Sinh, bao gm:
H tr Thc Tp Sinh lm th tc Visa;
n Thc Tp Sinh ti sn bay khi Thc Tp Sinh n Vit Nam;
Tm nh v i din cho Thc Tp Sinh trc ch nh;

H tr Thc Tp Sinh tm phng tin di chuyn thch hp bao gm
c vic hng dn thu xe gn my nu Thc Tp Sinh yu cu;
a Thc Tp Sinh ti ni lm trong ngy lm vic chnh thc u
tin;
H trThc Tp Sinh sng v lm vic ti Vit Nam;
H tr Thc Tp Sinh nhng yu cu hp l khc t Thc Tp Sinh
nu k thc tp b chm dt trc thi hn v bt k l do no;
(iii)
Duy tr lin lc vi Cng Ty k t ngy k Hp ng cho n khi k
thc tp kt thc.
(iv)
Hp tc vi Cng Ty tm ra gii php thch hp nu c bt k vn
no xy ra trong thi gian hiu lc ca Hp ng ny.
(v)
Xut ha n cho Cng Ty nu c yu cu.
5. CC IU KHON CHUNG
5.1. Ph lc
(i) Job Questionaire, TN Acceptance Note, EP AcceptanceNote c xem
l cc ph lc khng th tch ri Hp ng ny v cng vi Hp ng
cu thnh ton b cc tha thun gia Cc Bn.
(ii) Mi sa i, b sung, tha thun khc ca Cc Bn u phi c thng
nht v lp thnh vn bn nh km thnh ph lc ca Hp ng ny.
5.2. Hiu lc
Hp ng c hiu lc k t ngy k v kt thc vo ngy th 30 Thc Tp
Sinh thc tp ti Cng Ty.
5.3. Giao tip
(i) Bt k thng bo hoc trao i no c a ra lin quan n cc vn
c d kin trong Hp ng ny s, tr khi c quy nh r rng
khc i, c thc hin trc tip bng vn bn.
(ii) Vic gi qua chuyn pht nhanh, fax n a ch ca Cc Bn nu ti
Hp ng ny, hoc qua th in t, tin nhn in thoi gia nhn s
ca Cc Bn s c xem nh l giao tip trc tip bng vn bn.

5.4. S kin bt kh khng
(i) Khng Bn no s chu trch nhim vi Bn kia v vic khng thc hin
hoc tr hon vic thc hin bt k ngha v no ca Bn theo Hp
ng ny do bt k s kin bt kh khng no bao gm nhng khng
gii hn bi: thin tai, l lt, chy n, chin tranh, ni lon, dn bin,
thm ha t nhin, nh cng, hnh ng ca chnh ph, thay i lut,
hoc bt k s kin bt ng xy ra bt k hnh thc no vt qu s
kim sot hp l ca Cc Bn (S KinBt Kh Khng)
(ii) Bn gp S Kin Bt Kh Khng phi p dng mi bin php ngn
chn hoc khc phc hu qu v thng bo cho Bn kia bit c
loi tr khi trch nhim nu ti im (i) ca iu ny.
5.5. Hp ng ny c lp thnh hai (02) bn ting Vit v hai (02) bn ting
Anh c gi tr php l ngang nhau; mi Bn gi mt (01) bn ting Vit v mt
(01) bn ting Anh. Trong trng hp xy ra tranh chp, bn ting Vit s l
cn c gii quyt tranh chp.
5.6. Mi tranh chp, bt ng gia Cc Bn lin quann Hp ng u phi gii
quyt thng qua thng lng ha gii. Nu Cc Bn khng t gii quyt c
cc tranh chp, bt ng thng qua thng lng ha gii th v vic s c
a ra gii quyt ti Trung tm Trng ti Quc t Vit Nam bn cnh Phng
Thng mi v Cng nghip Vit Nam (VIAC) ti thnh ph H Ch Minh.
Quyt nh ca VIAC l quyt nh cui cng c gi tr php l m Cc Bn
phi thi hnh.

(Youth Vision Talent Solutions Company Limited and the Company are collectively
referred to as Partiesand respectively as Party).
Today, 24-06-2015, the Parties have agreed to sign and implement this Agreement on
the following terms and conditions as follows:
6. SCOPE OF AGREEMENT
Youth Vision Talent Solution Co. LTD shall consult the Company by providing
Company with the interns shortlist and supporting Company in interviewing process
in order to choose 03 (three)Intern(s) working for Company for 06months(Interns)
(all the work stated above is called Consul ting Service).
7.
AGREEMENT DELIVERY PROCESS
7.1. The Company shall fill in these documents:
(i) Agreement; and
(ii)
Job Questionnaire (Job Questionnaire).
7.2. Youth Vision Talent Solution Co. LTD shall review its supplying capacity
based on the Job Questionnaire filled with information and requirements by the

Company and notify the Company of whether Youth Vision Talent Solution
Co. LTD could deliver the Consulting Service.
(i) In case Youth Vision Talent Solution Co. LTD notifies of being unable
to deliver the Consulting Service, the Parties shall terminate the
Agreement.
(ii) In case Youth Vision Talent Solution Co. LTD notifies of being able to
deliver the Consulting Service, the Parties shall continue to deliver the
Agreement.
7.3. From the seventh days as of the signing date of this Agreement, if the
Company wants to amend the Job Questionnaire, it shall pay an additional cost
of 420,000 VND (four hundred seventeen thousand four hundred Vietnam
Dong) per turn of change. All the changes that the Company wants to make in
one turn shall be sent to Youth Vision Talent Solution Co. LTD in written
form.
7.4. Youth Vision Talent Solution Co. LTD Limited shall proceed the job
advertisement on its system based on the Job Questionnaire provided by the
Company and send the Company a shortlist (Candidate Shor tl ist) of potential
suitable candidates for the needed job vacancy (Candidate).
7.5. Within twenty (20) days as of receiving the Candidate Shortlist,
(i) If the Company accepts the Candidate Shortlist, it shall notify Youth
Vision Talent Solution Co. LTD in written form of the Candidates in the
Candidate Shortlist it wants to interview; or
(ii)
If the Company does not accept the Candidate Shortlist with sound
reasons for the rejection of this Candidate Shortlist, Company shall
reserve the right to request for another Candidate Shortlist from Youth
Vision Talent Solution Co. LTD (Updated Candidate Shor tl ist). The
Company reserves the right to request and Youth Vision Talent Solution
Co. LTD has the obligation to provide the Updated Candidate Shortlist

of maximum three (3) times. Company shall have to accept the last
Updated Candidate Shortlist.
(iii) If the Company does not notify Youth Vision Talent Solution Co. LTD
of whether it accepts the Candidate Shortlist or the Updated Candidate
Shortlist, Youth Vision Talent Solution Co. LTD shall have the right to
unilaterally terminate the Agreement and notify Company in written
form.
7.6. Within seven (7) days as of receiving the written acceptant of the Company on
the Candidate Shortlist or Updated Candidate Shortlist, Youth Vision Talent
Solution Co. LTD shall:
(i) Arrange suitable schedule for Company to conduct its selection process
with the Candidates. Youth Vision Talent Solution Co. LTD can consult
if requested by Company for its selection process but holds no
accountability for the result and consequence of the selection process.
(ii) After conducting the interview, if Company cannot choose the suitable
Candidates, Company reserves the right to request Youth Vision Talent
Solution Co. LTD to re-deliver the service from the Term 2.4 to Term2.6.(i). The Company reserves the right to make a request on Youth
Vision Talent Solution Co. LTD and Youth Vision Talent Solution Co.
LTD has the obligation to re-deliver this process for the maximum of
three (3) times.
7.7. The Company shall notify Youth Vision Talent Solution Co. LTD of the
selected candidate(s) (Selected Candidate) for the job vacancy by filling in,signing and stamping on the Company/Organization Acceptance Note (TN
Acceptance Note) enclosed in this Agreement and send to Youth Vision Talent
Solution Co. LTD within seven (7) days as of the accomplishment date of the
interview process referred to under Term 2.6. Each TN Acceptance Note is
associated with one (1) specific Selected Candidate.

7.8. Youth Vision Talent Solution Co. LTD shall send the TN/Organization
Acceptance Note to the Selected Candidate.
(i) As soon as the Selected Candidate accepts to work for Company by
confirming on the EP Acceptance Note (EP Acceptance Note), Youth
Vision Talent Solution Co. LTD shall make the connection for
Company and Selected Candidate to directly contact and agree on the
specific terms relating to starting date, internship period, salary
(ii) If the Selected Candidate does not confirm on the EP Acceptance Note,
the Company reserves the right to (a) request Youth Vision Talent
Solution Co. LTD and Youth Vision Talent Solution Co. LTD has the
obligation to re-deliver the service from the Term 2.2 to Term 2.8 of this
Agreement, or (b) request Youth Vision Talent Solution Co. LTD to
redeem the Deposit and terminate the Agreement.
7.9. Youth Vision Talent Solution Co. LTD shall provide integration service for the
Selected Candidate when the Candidate arrives at Vietnam (herein after
referred to as Intern). Integration service includes supporting in Visa and work
permit (if requested), finding accommodation and introducing culturalactivities for Intern in Vietnam. The cost for Visa, work permit or any related
legal document processing is negotiated between the Company and the Intern.
7.10. Youth Vision Talent Solution Co. LTD shall bring the Intern to the workplace
of Company for the first working day and introduce the Intern to Company.
7.11. Within thirty (30) days as of the first official working day of the Intern at the
Company,
(i) If the Company finds that the Intern is unable to deliver the job
prescribed in the Job Questionnaire or the internship is discontinued for
any reason except for Force Majeure stated under Term 5.4, the
Company reserves the right to request Youth Vision Talent Solution Co.
LTD to re-deliver the Agreement from the Term 2.4 onward at no
additional cost. This right is valid for one time only. If Youth Vision

Talent Solution Co. LTD fails to fulfill this request from the Company,
Company shall not have to pay the remaining costs apart from the
Deposit.
(ii) If the Company finds that the Intern is able to deliver the job according
to the Job Questionnaire, it shall ensure that the Intern work legally in
Vietnam. The Company shall bear any legal cost arising in case it
doesnt comply with the required procedures to assure the working of
the Intern in Vietnam.
7.12. Company fulfills the Youth Vision Talent Solution Co. LTD customer
satisfaction survey when the internship ends.
8. PAYMENT
8.1. Service cost
- Fee for native speaker: $600/person for 6 months & Fee for non-native
speaker: $450/person for 6 months.

The fee is calculated in Vietnam dong (10% of VAT included).
- The exchange rate of USD, based on the exchange rate provided by JSC
Bank for Foreign Trade of Vietnam (Vietcombank), is used on the date
Company paying fee.

The Company shall pay Youth Vision Talent Solution Co. LTD via bank
transfer following the bank information of the Parties mentioned in this
Agreement.
9.
OBLIGATION OF THE PARTIES
9.1.
The Company is obliged to
(i) Cooperate with Youth Vision Talent Solution Co. LTD to properl
deliver the Agreement.
(ii)
Ensure that the Intern works legally in Vietnam.
(iii)
Ensure that the Intern works accordingly to the description in Job
Questionnaire.
(iv)
Fulfill the payment of all Service Cost to Youth Vision Talent Solution
Co. LTD on time.
(v)
Ensure no direct contact with the candidates who have not been chosen
by the Company within 12 months since as of the signing date of this
Agreement.
(vi) Maintain contact with Youth Vision Talent Solution Co. LTD from the
date of signing the Agreement to the date of ending the internship of the
Intern.
(vii) Cooperate with Youth Vision Talent Solution Co. LTD to find the
suitable resolution if there is any problem occuring during the valid time
of this Agreement.
(viii) Fulfill the Youth Vision Talent Solution Co. LTD customer satisfaction
survey after the end of the internship.
9.2. Youth Vision Talent Solution Co. LTD is obliged to
(i) Cooperate with the Company to deliver this Agreement.
(ii) Provide the integration service for the Intern, including:
Supporting Intern in getting Visa;
Welcoming Intern at the airport when Intern arrives at Vietnam;

Finding accommodation for Intern and being the representative for
Intern in front of landlords;
Supporting Intern in finding the suitable means of transportation
including guiding Intern to rent motobikes if requested;
Bringing Intern to the workplace on the first official working day;
Supporting Intern in living and working in Vietnam;
Supporting Intern in other resonable requests from Intern if the
internship is to be terminated ahead of time by any reasons;
(iii)
Maintain contact with the Company since the day of signing the
Agreement to the day of ending the internship of the Intern.
(iv)
Cooperate with Company to find the suitable method if there is any
problem occuring during the valid time of this Agreement
(v) Export red invoice to the Company if requested.
10. GENERAL TERMS
10.1. Appendix
(i) Job Questionaire, TN Acceptance Note, EP Acceptance Note are
considered intergrated parts of this Agreement and set all the
agreements between the Parties together with this Agreement.
(ii) All of other adjustments, additions, agreements of the Parties must be
agreed in writing enclosed in this Agreement as the appendix.
10.2. Validation
This Agreement is valid as of the signing date of this the Agreement and
expires on the 30th working day of the Intern at Company.
10.3. Communication
(i) Any notification or exchange related the envisaged terms of this
Agreement, except being expressedly regulated in other ways, shall be
agreed upon by the Parties in writing.

(ii) Express mails, faxes to the addresses of the Parties or emails, text
messages among the Parties personnel shall be considered as direct
written communication.
10.4.
Force majeure
(iii) Neither Party shall take the responsibility toward the other Party for not
delivering or delaying the obligations execution under this Agreement
due to force majeure including, but not limited to: flood, fire, war,
rebellion, natural disasters, strike, Government practice, law adjustment,
or any unexpected event happening in any form out of reasonable
control of the Parties (Force Majeure).
(iv) The Party encountering Force Majeure shall apply every possible
method to prevent or overcome the consequences and inform the other
Party to be exempted from the responsibility stated in paragraph (i) of
this Term.
10.5. This Agreement is made into two (2) Vietnamese and two (2) in English
counterparts of equivalent legality. In case of dispute, the Vietnamse version
shall prevail.
10.6. Any dispute or disagreement arising out of, or in connection with this
Agreement between the Parties shall be discussed and negotiated in good faith.
If the Parties cannot solve such dispute through negotiation, the relevant
dispute shall be referred to and finally resolved by the Vietnam International
Arbitration Centre (VIAC) in Ho Chi Minh. The decision of VIAC is the final
decision binding on the Parties.
