Notice Regarding 2015 Election of Board of Directors and How to Run by Petition

This year’s Annual Meeting of Members to be held on November 19, 2015, will culminate in the election to fill three (3) board seats.

The Chair of the Board, Shyaam Shabaka, has appointed a Nominating Committee and that committee has nominated the following (listed by the Committee in alphabetical order):

In accord with the Credit Union bylaws, this full official notice is provided to members of Cooperative Center Federal Credit Union along with “brief statements of qualifications and biographical data” for each nominated candidate {Article V, Section 1(c)}, [see page 2 for bios/statements and qualifications]. A copy of this notice and bios is also displayed in the credit union lobby, and from the credit union’s website home page, under Quick Links, click on “2015 Annual Election”.

Members not nominated by the Nominating Committee have the right to become candidates “by petition signed by 1% of the members” {Article V, Section 1(b)}; given the size of the membership on July 31st, 2015, the minimum number of required member signatures is 114. A petition form, as well as the required forms that need to be submitted with the completed petition, are available from Debbie Crowson, AVP of Marketing and Charter Group Relations, at: [email protected], and or Fadhila Holman, CEO, at: [email protected]. Documents that are required {Article V, Section 1(c)} to be submitted along with the petition are:

1. A Bio/Statement of Qualifications, 200 words or less 2. “a signed certificate from the nominee or nominees stating that they are agreeable to nomination and will serve if elected to office”3. Authorization for background check, NCUA Application, Form 4063a, other forms and supporting documentation as required by the National Credit Union Administration (NCUA)

Please note: Petition signors must be 18 years old, a primary member on a natural person share account and in good standing to validly sign a petition or to be elected to the Board. For Non-Natural Person members, such as businesses or organizations, signatures (the same as official ballots) must be accompanied by an official designation of voting rights for the organization (one member/one vote). Petition signatures will be validated by the Teller of Elections (League of Women Voters).

22015 Board Nominee Bios and Statements

Donald GoldenI have been a Cooperative Center Federal Credit Union member since I was about 6 years old. I put my paper-route money in the credit union with great pride. Now that I am over 50 with a lovely wife and kids, almost all of my accounts are solely with Cooperative Center FCU, a place I trust that cares about the community and not about just making money! I have volunteered with Cooperative Center FCU before and my mother before me, Esther Golden was on the Board of Directors for years before she passed. I also feel I represent the diversity of our membership. If I am voted onto the Board of Directors, I will serve with great pride and do all I can to

contribute to the success of Cooperative Center FCU and its members. Thank you.

Reginald HairstonMy name is Reginald Hairston and I am a current member of Cooperative Center Federal Credit Union. I wish to be a part of the Board of Directors. I am a local graduate of UC Berkeley, where I studied and received my BA. Currently, I work in the real estate industry where I am an investor and a Property Administrator. My desire to be a part of the Board of Directors stems from my interest in community development and involvement. I have been a member of the credit union for several years and have previously served on the Credit Committee. I am very interested in participating in the credit union’s progression and would like to be considered for the

Board of Directors. Thank you.

Celeste McCallisterI was first elected to the Board last year and as the result of random staggering terms for our new board I received only a one year term. Prior to coming on the Board, I worked in corporate, small and non-profit environments. I’ve been the paid Executive Director of a non-profit as well as Chairman of the Board of Directors and various committees as a volunteer. For the past 7+ years I’ve lived in Berkeley with my mother in a home that has been in our family since the 1940’s. My educational background includes a BA in Business Administration and graduate work in Public Administration. This year I have expanded that knowledge with training for credit union boards

and certification. I have been very active on the board in my position as Vice-Chairperson and leading the Budget and Strategic Planning Committee. Since joining the board, I have listened to our credit union members and members of the community to help ensure that our cooperative community organization is diverse, inclusive, and stays true to our mission. I’ve accompanied staff on visits to our charter and employer groups, and worked at the credit union booth for various events. I would like another term to continue my work on your behalf.

Jess McCarterMy name is Jess McCarter. My business, Easy Creole, is a proud part of the local community. As soon as we had our doors open and enough money to join the Berkeley Chamber of Commerce and open an account at the Cooperative Center FCU, we did. I want to join the Cooperative Center FCU Board to do my part to help expand and serve the growing and diverse community that surrounds us. I believe small business ownership and strong community banking will help preserve this area’s unique history, culture, and people. We face an expanding big business presence and people outside the community will not care like we do. By working with local businesses

and providing financial opportunities we can expand ownership and community involvement. My other community jobs are as Secretary of the Lorin Business Association and representing us at the Berkeley Business District Network. Let’s grow the Cooperative Center FCU together and help it to reach more people, encouraging them to make smart financial decisions and be part of a larger community. I appreciate your vote to serve as a director. Thank you.

Shyaam ShabakaI am seeking re-election to the Cooperative Center FCU Board of Directors, for the following purposes: To continue providing the ethical governance, strategic planning and fiduciary leadership that has resulted in substantial overall improvements in the credit union during this past year; to continue efforts to make certain that the Cooperative Center FCU board and staff are providing all of its 12,000 plus member/owners with the highest quality of member care, products and services in a manner that is respectful, understood and trusted; to share with other board members, my wealth of credit union knowledge and experience, gained from having

served as Board Chair, Vice Chair and Secretary; to continue promoting youth financial literacy, excellent member service and products that are alternative to predatory lenders. I have completed graduate studies at UC Berkeley and am a long -time resident of the S.F. Bay Area. Some of my other community activities include: serving on the Board of Food First and as Director of EcoVillage Farm. Having been a member since 1968, I am a strong believer in the credit union mission and principles and would greatly appreciate your vote so I may continue to serve on this board.

The various community resource tables/exhibits were popular with our members. Members’ engagement and participation was also great. We all enjoyed the opportunity to socialize with the members, and hear about their various experiences with the credit union. All Cooperative Center FCU members, staff, the Member Education Committee, and Board should be complemented on
