Marubeni-Itochu Steel Inc. (MISI) was launched in October 2001 through a joint incorporation-type company split, engineered by spinning off the steel product divisions of two top-ranked general trading companies. Over the years since, we have continued to mobilize our integrated strength as a general trading company, raising the caliber of added value and services throughout all transactions and business endeavors, and excelling as a corporate entity fully attuned to the needs of our customers. Thanks to the invaluable support of our stakeholders, MISI has succeeded in steadily expanding the sphere of our business operations.

Fiscal 2021 marks the milestone twentieth year since MISI became a corporate entity. We are, however, entering an era in which the paradigms defined to date no longer align with the times. Taking this reality to heart—and to ensure that we can continue to furnish premier products and services to our customers over the decades to come—MISI is determined to boldly take the initiative to meet the changes we face, and profoundly reflect on our special roles and responsibilities.

Toward that end, we vow to maintain the uncompromising pioneer spirit that has defined the company since its establishment. That spirit refers to the combination of steadfast efforts to evolve and expand as a frontrunner in steel distribution, create new value that leads to a brighter future for our customers, and work together with our stakeholders to realize a more fruitful society.

Our seventh mid-term management plan, which will guide us through the next three years, commences in fiscal 2021. Under the motto “MISI as Resilient towards 2023,” we will strive to achieve these three core measures: prepare (reinforce our earnings base); enrich (foster our competitive advantage); and cultivate (strengthen our human resources).

The onset of the coronavirus pandemic triggered numerous changes in the industrial environment surrounding our company, as well as in the social fabric at large. Against this backdrop, we are striving to achieve the profitability and cost-competitiveness that are crucial to advancing and prospering in this fiercely demanding new age.

MISI will spare no time or effort in our continuing drive to value the essential bonds with the world around us. This consists of fulfilling our social duties as a responsible corporate entity, working through the steel distribution sector to boost respect for the environment, enhance compliance, devise fruitful social contribution initiatives and advance on other critical fronts.

Fiscal 2021 marks the launch of our seventh medium-term management plan —a blueprint designed to guide MISI through the coming three years. Under the defining motto “MISI as Resilient towards 2023,” we will strive to achieve three core measures: prepare (reinforce our earnings base), enrich (foster our competitive advantage); and cultivate (strengthen our human resources).

Equity Investment in Yamato Special Steel On May 1, 2020, Yamato Special Steel Co., Ltd.—a major processor and distributor of specialty steel—became a wholly-owned MISI subsidiary via the special purpose company (SPC) format.MISI intends to use Yamato Special Steel to heighten our Group presence in the specialty steel realm by joining the company with Marubeni-Itochu Specialty Steel Corporation and Benichu Steel Inc. Mobilizing the firm’s key capabilities related to high-precision processing, the goal is to expand into domains where growth is projected—such as in robots, semiconductor devices and other areas—over the coming generation. By advancing the company’s technological strengths on a global basis, MISI aims to solidly support overseas expansion by our customers.

Equity Investment in SUNCALLOn March 5, 2021, MISI acquired the equivalent of 12 percent of SUNCALL CORPORATION stock from ITOCHU Corporation (investment value of approximately ¥1.8 billion).As we prepare for the emerging mega-shift to electric vehicles, we are determined to strengthen and refine our supply chain by beefing up partnerships with manufacturing concerns that are highly capable technologically. Our decision to bolster working ties with Suncall is designed to essentially fuse that company’s major existing customer base with the functions and demands of MISI Group companies. The ultimate goal is to capture demand and raise our corporate presence in the increasingly electrified global automobile market, while also contributing to the redoubled growth of the auto industry.

Acquisition of KS Summit Steel On June 1, 2021, Benichu Coil Center Kanto Inc. acquired 100 percent equity in KS Summit Steel Co., Ltd. from Sumitomo Corporation and Summit Steel Co., Ltd. Through this strategic move, Benichu Coil Center Kanto now has a three-plant system that can provide more precise, tailored responses to customer needs. The company will leverage the synergy generated on the processing facility front. It also aims to streamline logistics and optimize management resources, powering up the quest to fortify service functions and raise customer satisfaction.

MISI was formed by spinning off and merging the steel divisions of two general trading companies, ITOCHU Corporation and Marubeni Corporation. Crude oil and natural gas resources often lie thousands of meters beneath the Earth’s surface. MISI provides globally integrated management services, contributing to oil and gas development. This platform includes recommending optimal materials for use in oil country tubular goods (OCTGs), as well as the procurement of OCTGs that meet the needs of specific excavation plans and incidental services that include storage, processing, inspections and repairs.

In India, we are expanding existing processing bases and building new bases to expand transaction volume. A new business unit specialized in china market was established in the division to devise strategies for the china domestic market and to capture demands there.

Laid from ocean floors and mountainous districts, these pipelines form mammoth infrastructures that often span distances of several thousand kilometers. MISA operates eight sales offices in the United States, two in Canada, and two in Mexico. Our subsidiaries include ClarkDietrich Building Systems, the industry’s leading manufacturer of steel framing. We are moving to expand our operations in both residential and nonresidential construction—two fields projected to enjoy growth.

Europe is in the midst of a major upheaval characterized by the realignment of major steel manufacturers, robust responses to c l imate change, and other dynamic developments. Africa is sustaining solid growth on the strength of its increasing population, although that is being undermined by foreign currency shortages. Both markets therefore present high potential and risk. Marshaling the strong foundations it has built up in these markets over the years, MISEA is seeking renewed progress with an eye on the future after instituting changes and carrying on the crucial quest to excel on the two pivotal fronts of trade and investment.

Due to the economic growth of ASEAN countries, steel consumption is growing and local steel companies are continuing to show remarkable growth. MISP is shifting from transactions focused on importing products from outside the region to transactions based on local production and local consumption, and focusing on distribution within the ASEAN region, which is expected to continue to expand. We will pour more effort into develop new local customers and invest in other promising growth fields.

Once a net importer of steel, China now ranks as the world’s largest steel producer. That robust growth reaches across China’s borders, steadily expanding into Asia and other regions. Dynamic and ongoing changes affecting China’s steel industry include steelmaker realignment and consolidation; the transition to smarter, more advanced production technology; and expanding demand related to China’s Belt and Road Initiative. We are channeling major energies into partnering with our branches and subsidiaries throughout China, gearing up to win a larger piece of steel demand in this massive market.

MISI carries out sales activities in over eighty nations, including the commissioned bases of its shareholders. Taking maximum advantage of this worldwide network, we use a resourceful integration of information, logistics, finance and human resources to produce optimal responses to customer business needs.

The Osaka Division sells varieties of sheets, stainless steel, bars, wire rods, plates, and pipe to major appliance, automobile, and steel furniture manufacturers, coil centers, drawing wire manufacturers (fabricator) and distributors, mainly in the Kansai region. In addition, the Osaka Division handles bearing steel for automotive, construction machinery and other bearings, structural steel, and steel for shipbuilders in Chugoku, Shikoku and Kyushu. The division strives to optimize material procurement by managing supply chains that link manufacturers and users.

The Chugoku Branch addresses the demands of customers in the Chugoku region of Japan that manufacture automobiles and auto parts, construction materials, cans and other products. The branch has built an optimal supply chain management system with local companies Summit-Benichu Coil Center Co., Ltd. (the largest coil center in the region) and Mazda Steel Co., Ltd., as well as other MISI Group companies. Every effort is made to raise customer satisfaction and grow sales. The branch also furnishes a diversified range of information and proposals for optimal supply chain management systems tailored to customers expanding into overseas nations, leading to greater business progress and growth.

Manufacturing in the Chubu region—especially the automotive industry—has long contributed to the growth of Japan’s economy as well as the demand for steel. The area has a number of growth engines that will lead to an increasingly vigorous flow of people and things. This includes the construction of the Linear Chuo Shinkansen, the rapid transformation of Nagoya Station and redevelopment projects in the surrounding area, the possibility of expanding Chubu Centrair International Airport and more. The expectation is that related steel demand will expand, and the Nagoya Branch aims to strengthen its functionality as a trading company.

The Kyushu and Okinawa regions host industries that hold significant nationwide market shares in automobiles, shipbuilding, semiconductors, agriculture and other mainstay fields, in addition to general demand for construction materials. Customers trust us to supply top-quality steel sheets and plates, steel pipe, stainless steel, specialty steel and other core products. To meet their demands, the Kyushu Branch advances teamwork between Yutaka Steel Industries Co., Ltd., Benichu Coil Center Kyushu, Inc. and MI-Bansei Stainless Steel Corporation—all ranking as major-scale processing bases in that region—and nine MISI Group companies, infusing further support for meticulous responses to all client needs. Specific Initiatives

To foster strong ties with local communities, we participate in Tokyo Sanno Festival (sponsored by Hie Shrine) and the annual cleaning of Nihonbashi Bridge. We also help clean, beautify and make other contributions to society in the head and branch offices. In addition, we support initiatives of the United Nations World Food Programme, which is aimed at stamping out world famine and poverty. This includes large numbers of MISI employees joining in the “Walk the World” charity events sponsored annually in Yokohama and Osaka to combat child hunger. We also dispatch volunteers to assist after natural disasters and provide key support; collect plastic bottle caps, used stamps and other resources in-house; and help out on various donation drives, eco-friendly events and other social-minded initiatives.

Having a diversity of perspectives is a source of energy in the quest for corporate growth. MISI has launched an in-house team devoted to promoting diversity and building environments that inspire all different types of people to excel. These efforts include expanding opportunities for women; cultivating overseas employees; greater possibilities for senior employees; fostering greater harmony between childrearing, nursing care and work; and supporting employees challenged by disabilities (including para-athletes).

Rooted in the conviction that enhanced employee health and wellness contribute to sustained corporate growth, MISI and its employees unite to pursue various health maintenance and enhancement measures. The spread of the novel coronavirus infection (COVID-19) strongly affected the global economy during FY2020, slowing activity in numerous industries, particularly during the first half of the fiscal year. Although steady progress followed after devising a balance between measures to halt the contagion’s spread and efforts to promote economic recovery, regions exhibited considerable contrasts in the speed of revival. China adopted strong steps to contain the spread of the infection, and was successful in achieving a speedy resurgence in economic activity. In the United States, Europe and certain emerging countries, however, the pandemic spread in second and third waves, extending the duration of restrictions placed on economic endeavors. The spread of COVID-19 also seriously undermined the Japanese economy. The first half of the fiscal year saw activity levels in nearly all industries go into broad decline, prompting operational shutdowns, supply chain interruptions and other issues.

The second half of the year brought a recovery in manufacturing industry production levels, with a focus on automobiles. This was unfortunately not enough to raise output back to the levels prior to the spread of the virus, however.Turning to the steel industry, worldwide crude steel production in 2020 (January to December) stood at 1.88 billion tons , up 1.3 percent from the previous year based on World Steel Association figures. This gain was due primarily to the robust growth in China’s crude steel production, which expanded 7.0 percent over the previous year to an all-time record high of 1.06 billion tons . Crude steel production output outside of China, however, finished at generally sluggish levels for the year.

In the midst of this severe environment, MISI made compressing costs and assets its top priority from the start of FY2020, while also striving to sustain export business operations targeting China, remote areas and other regions less seriously affected by COVID-19. Our construction material business in the United States continued to perform well, with the damage from the pandemic minor. The global economic slump hit MISI’s tubular products business and various other fields of endeavor hard, however, with declines in both revenue and earnings compared to the previous fiscal year. In summary, the MISI Group’s consolidated financial settlement for FY2020 shows total volume of trading transactions \1,987.5 billion, operating income of \33.4 billion, and \17.4 billion in profit attributable to owners of the parent.

Although the global economy staged a recovery from autumn 2020, an examination of the market trends for steel products reveals a decline in the supply capacity of steelmakers linked to the COVID crisis overlapped with a surge in secondary material prices. That trend continued through the end of the fiscal year under review. The slowdown in economic activity both domestically and overseas the COVID-19 pandemic caused keenly affected the production volume of Japanese steelmakers. As a result, output fell by a steep 16.2 percent from the previous year to 83.19 million tons (figures from the Japan Iron and Steel Federation on a calendar year basis).
