Probation would like to contract for continued services in the amount of $40,000 for fiscal year 2012-13. This amount exceeds the 10% increase allowed with the continuing contracts list; therefore Probation is requesting your approval of the contract for this fiscal year. Through their Friends Outside program, the Volunteer Center will provide regular meetings with Probation Officers to identify pending warrants, as well as outreach, education and support services to facilitate alternative resolutions to probation violations in order to avoid unnecessary incarceration. This program reduces jail overcrowding and recidivism as part of the Warrant Reduction Advocacy Project (WRAP). Funding for this program wil be provided by the Probation Department's Jail Overcrowding Reduction Program. Community Bridges: Two contracts with Community Bridges for the Live Oak Family Resource Center (LOFRC) and Mountain Community Resource (MCR) programs for juvenile services were approved last year for $30,000 each. Probation would like to continue those services this fiscal year in the amount of $35,000 each. Dear Members of the Board:

The purpose of this letter is to request your Board's approval to renew three agreements with theVolunteer Center and Community Bridges for the Probation Department. These contracts mustbe brought before your Board for approval because the amount of this year's contract renewalsfor each of these contracts exceed the maximum increase of 10% allocated with the ContinuingContracts list approved by your Board in June with the 2012-13 Budget.

The Volunteer Center of Santa Cruz - Friends Outside:Your Board approved a contract with the Volunteer Center last fiscal year for the Friends Outsideprogram in the amount of $30,000 to serve adult probationers. Probation would like to contractfor continued services in the amount of $40,000 for fiscal year 2012-13. This amount exceedsthe 10% increase allowed with the continuing contracts list; therefore Probation is requesting yourapproval of the contract for this fiscal year. Through their Friends Outside program, the VolunteerCenter will provide regular meetings with Probation Officers to identify pending warrants, as wellas outreach, education and support services to facilitate alternative resolutions to probationviolations in order to avoid unnecessary incarceration. This program reduces jail overcrowdingand recidivism as part of the Warrant Reduction Advocacy Project (WRAP). care. The MCR program provides community support for teenagers living in the SanLorenzo/Scotts Valley area who are meeting terms of juvenile probation. Youth will be assignedan advocate who will oversee and help coordinate court mandates. For more details about theseprograms you may review the scopes and budgets attached with each contract. Both of theseprograms will be funded this year by Juvenile Justice Crime Prevention Act funds.

Funds for all three contracts were included in the Probation Department's FY2012-13 budget andno new net county cost will be incurred as a result of these actions.

IT IS THEREFORE RECOMMENDED that your Board:

1. Approve a contract with the Volunteer Center for an amount not to exceed $40,000.00

for Friends Outside Program services;2. Approve a contract with Community Bridges for an amount not to exceed $35,000.00

for Live Oak Family Resource Center services;3. Approve a contract with Community Bridges for an amount not to exceed $35,000.00

for Mountain Community Resource services; and4. Authorize the Chief Probation Officer to sign the contracts on behalf of the County.

INDEPENDENT CONTRACTOR AGREEMENT

This Contract is entered into this lt day of July, 2012, by and between the COUNTY OF SANTA CRUZ,hereinafter called COUNTY, and VOLUNTEER CENTER OF SANTA CRUZ (FRIENDS OUTSIDE), hereinaftercalled CONTRACTOR. The parties agree as follows:

L DUTIES. CONTRACTOR agrees to exercise special skil to accomplish the following results:Staff will meet regularly with Probation Offcers to identify pending warrants and to provide outreach, educationand support services to probationers to facilitate alternative resolutions to probation violations in order to avoidunnecessary incarceration and to reduce jail overcrowding and recidivism in Santa Cruz County.

CONTRACTOR wil submit quarterly program progress reports. See attached Scope of Work and Budget foradditional details. Additionally, if directed by Probation, CONTRACTOR may be required to provideattendance, performance and completion information and/or enter program data directly into County Probationcase management system(s) when electronic interface is available. CONTRACTOR shall utilize evidence basedpractices and principles in program development and implementation of services under this contract in order tofurther reduce recidivism and risk factors and to increase public safety. CONTRACTOR shall also provideservices that are racially and culturally responsive.

2. COMPENSATION. In consideration for CONTRACTOR accomplishing said result, COUNTYagrees to pay CONTRACTOR as follows: Payment not to exceed $40,000.00 for the term period, processed forpayment monthly after receipt of CONTRACTOR submitted invoice to the COUNTY and approval by projectmanager.

3. TERM. The term of this Contract shall be: July 1, 2012 through June 30, 2013.

4. EARLY TERMINATION. Either party hereto may terminate this Contract at any time bygiving thirty (30) days written notice to the other party.

5. INDEMNIFICA DON FOR DAMAGES, T AXES AND CONTRIBUTIONS.CONTRACTOR shall exonerate, indemnify, defend, and hold harmless COUNTY (which for the purpose ofparagraphs 5 and 6 shall include, without limitation, its officers, agents, employees and volunteers) from andagainst:

A. Any and all claims, demands, losses, damages, defense costs, or liability of any kind or naturewhich COUNTY may sustain or incur or which may be imposed upon it for injury to or death of persons, ordamage to property as a result of, arising out of, or in any manner connected with the CONTRACTOR'Sperformance under the terms of this Contract, excepting any liability arising out of the sole negligence of theCOUNTY. Such indemnification includes any damage to the person(s), or property(ies) of CONTRACTOR andthird persons.

B. Any and all Federal, State and Local taxes, charges, fees, or contributions required to be paidwith respect to CONTRACTOR and CONTRACTOR'S offcers, employees and agents engaged in theperformance of this Contract (including, without limitation, unemployment insurance, social security andpayroll tax withholding).

6. INSURANCE. CONTRACTOR, at its sole cost and expense, for the full term of this Contract(and any extensions thereof), shall obtain and maintain, at minimum, compliance with all of the followinginsurance coverage(s) and requirements. Such insurance coverage shall be primary coverage as respectsCOUNTY and any insurance or self-insurance maintained by COUNTY shall be considered in excess ofCONTRACTOR'S insurance coverage and shall not contribute to it. if CONTRACTOR normally carriesinsurance in an amount greater than the minimum amount required by the COUNTY for this Contract, thatgreater amount shall become the minimum required amount of insurance for purposes of this Contract.

Therefore, CONTRACTOR hereby acknowledges and agrees that any and all insurances carried by it shall bedeemed liability coverage for any and all actions it performs in connection with this Contract.

if CONTRACTOR utilizes one or more subcontractors in the performance of this Contract,CONTRACTOR shall obtain and maintain independent Contractor's Insurance as to each subcontractor orotherwise provide evidence of insurance coverage from each subcontractor equivalent to that required ofCONTRACTOR in this contract, unless CONTRACTOR and COUNTY both initial here _ / _.

A. Types of Insurance and Minimum Limits

(1) Worker's Compensation in the minimum statutorily required coverage amounts. Thisinsurance coverage shall be required unless the CONTRACTOR has no employees and certiIies to this fact byinitialing here

(2) Automobile Liability Insurance for each of CONTRACTOR'S vehicles used in theperformance of this Contract, including owned, non-owned (e.g. owned by CONTRACTOR'S employees), leasedor hired vehicles, in the minimum amount of $500,000 combined single limit per occurrence for bodily injury andproperty damage. This insurance coverage is required unless the CONTRACTOR does not drive a vehicle inconjunction with any part of the performance of this Contract and CONTRACTOR and COUNTY both certifyto this fact by initialing here _ / _'

(3) Comprehensive or Commercial General Liability Insurance coverage in the minimumamount of $1,000,000 combined single limit, including coverage for: (a) bodily injury, (b) personal injury, (c)broad form property damage, (d) contractual liability, and (e) cross-liability.

(4) Professional liability Insurance in the minimum amount of $ 1,000100~ combinedsingle limit, if, and only if, this Subparagraph is initialed by CONTRACTOR and COUNTY _ / .

B. Other Insurance Provisions

(1) If any insurance coverage required in this Contract is provided on a "Claims Made"rather than "Occurrence" form, CONTRACTOR agrees to maintain the required coverage for a period of three (3)years after the expiration of this Contract (hereinafter "post Contract coverage") and any extensions thereof.CONTRACTOR may maintain the required post Contract coverage by renewal or purchase of prior acts or tailcoverage. This provision is contingent upon post Contract coverage being both available and reasonably

affordable in relation to the coverage provided during the term of this Contract. For purposes of interpreting thisrequirement, a cost not exceeding 100% of the last annual policy premium during the term of this Contract inorder to purchase prior acts or tail coverage for post Contract coverage shall be deemed to be reasonable.

(2) All required Automobile and Comprehensive or Commercial General Liability Insurance

shall be endorsed to contain the following clause:

"The County ofSanta Cruz. its officials, employee, agents and volunteers are added as an additional insured as respects the

operations and activities of, and on behalf of, the named insured's performance under itslhislher/their contract with the County ofSanta Cruz"

(3) All required insurance policies shall be endorsed to contain the following clause:

"This insurance shall not be canceled until after thirty (30) days prior written notice has been given to:

(4) CONTRACTOR agrees to provide its insurance broker( s) with a full copy of theseinsurance provisions and provide COUNTI on or before the effective date of trus Contract with Certificates ofInsurance for all required coverage. All Certificates of Insurance shall be delivered or sent to:

7. EQUAL EMPLOYMENT OPPORTUNITY. During and in relation to the performance of trusContract, CONTRACTOR agrees as follows:

A. The CONTRACTOR shall not discriminate against any employee or applicant for employmentbecause of race, color, religion, national origin, ancestry, physical or mental disability, medical condition (cancerrelated), marital status, sexual orientation, age (over 18), veteran status, gender, pregnancy, or any other non~merit factor unrelated to job duties. Such action shall include, but not be limited to, the following: recruitment,advertising, layoff or termination, rates of payor other forms of compensation, selection for training (includingapprenticesrup), employment, upgrading, demotion, or transfer. The CONTRACTOR agrees to post inconspicuous places, available to employees and applicants for employment, notice setting forth the provisions ofthis non-discrimination clause.

B. If trus Contract provides compensation in excess of $50,000 to CONTRACTOR and if

CONTRACTOR employees fifteen (I5) or more employees, the following requirements shall apply:

(I) The CONTRACTOR shall, in all solicitations or advertisements for employees placed byor on behalf of the CONTRACTOR, state that all qualified applicants wil receive consideration for employmentwithout regard to race, color, religion, national origin, ancestry, physical or mental disability, medical condition(cancer related), marital status, sexual orientation, age (over 18), veteran status, gender, pregnancy, or any othernon-merit factor unrelated to job duties. Such action shall include, but not be limited to, the following:recruitment; advertising, layoff or termination, rates of payor other forms of compensation, selection for training(including apprenticesrup), employment, upgrading, demotion, or transfer. In addition, the CONTRACTORshall make a good faith effort to consider MinoritylWomen/Disabled Owned Business Enterprises in

CONTRACTOR'S solicitation of goods and servces. Definitions for MinoritylWomen/Disabled BusinessEnterprises are available from the COUNTI General Servces Purchasing Division.

(2) In the event of the CONTRACTOR'S non-compliance with the non-discriminationclauses of trus Contract or with any of the said rules, regulations, or orders said CONTRACTOR may be declaredineligible for further contracts with the COUNTI.

(3) The CONTRACTOR shall cause the foregoing provisions of subparagraphs 7B(I) and7B(2) to be inserted in all subcontracts for any work covered under trus Contract by a subcontractorcompensated more than $50,000 and employing more than fiteen (15) employees, provided that the foregoingprovisions shall not apply to contracts or subcontracts for standard commercial supplies or raw materials.

8. INDEPENDENT CONTRACTOR STATUS. CONTRACTOR and COUNTY have reviewedand considered the principal test and secondary factors below and agree that CONTRACTOR is an independentcontractor and not an employee of COUNTI. CONTRACTOR is responsible for all insurance (workerscompensation, unemployment, etc.) and all payroll related taxes. CONTRACTOR is not entitled to anyemployee benefits. COUNTI agrees that CONTRACTOR shall have the right to control the manner and meansof accomplisrung the result contracted for herein.

PRINCIPAL TEST: The CONTRACTOR rather than COUNTI has the right to control the manner andmeans of accomplishing the result contracted for.

SECONDARY FACTORS: (a) The extent of control which, by agreement, COUNTY may exercise overthe details of the work is slight rather than substantial; (b) CONTRACTOR is engaged in a distinct occupationor business; (c) In the locality, the work to be done by CONTRACTOR is usually done by a specialist withoutsupervision, rather than under the direction of an employer; (d) The skil required in the particular occupation is

substantial rather than slight; (e) The CONTRACTOR rather than the COUNTY supplies the instrumentalities,tools and work place; (f) The length of time for which CONTRACTOR is engaged is of limited duration ratherthan indefinite; (g) The method of payment of CONTRACTOR is by the job rather than by the time; (h) Thework is part of a special or permissive activity, program, or project, rather than part of the regular business ofCOUNTY; (i) CONTRACTOR and COUNTY believe they are creating an independent contractor relationshiprather than an employer-employee relationship; and (j) The COUNTY conducts public business.

It is recognized that it is not necessary that all secondary factors support creation of an independentcontractor relationship, but rather that overall there are significant secondary factors that indicate that

CONTRACTOR is an independent contractor.

By their signatures on this Contract, each of the undersigned certifies that it is his or her consideredjudgment that the CONTRACTOR engaged under this Contract is in fact an independent contractor.

9. NONASSIGNMENT. CONTRACTOR shall not assign the Contract without the prior writtenconsent of the COUNTY.

10. ACKNOWLEDGMENT. CONTRACTOR shall acknowledge in all reports and literature thatthe Santa Cruz County Board of Supervsors has provided funding to the CONTRACTOR.

II. RETENTION AND AUDIT OF RECORDS. CONTRACTOR shall retain records pertinent tothis Contract for a period of not less than five (5) years after final payment under this Contract or until a finalaudit report is accepted by COUNTY, whichever occurs first. CONTRACTOR hereby agrees to be subject to theexamination and audit by the Santa Cruz County Auditor-Controller, the Auditor General of the State ofCalifornia, or the designee of either for a period of five (5) years after final payment under this Contract.

12. PRESENTATION OF CLAIMS. Presentation and processing of any or all claims arising out ofor related to this Contract shall be made in accordance with the provisions contained in Chapter 1.05 of the SantaCruz County Code, which by this reference is incorporated herein.

13. ATTACHMENTS. This Contract includes the following attachments:

14. LIVING WAGE. This Contract is covered under living Wage provisions if this section isinitialed by COUNTY

if Item #. 14 above is initialed by the COUNTY, then this Contract is subject to the provisions of SantaCruz County Code Chapter 2.122, which requires payment of a living wage to covered employees (per CountyCode Chapter 2.122.050, non-profit contractors are exempt from the living wage rate requirement of this chapter,but are not exempt from, and must adhere to, the "non-wage" related requirements of County Code Chapter2.122.100,2.22.130, and 2.122.140, as well as all other applicable portions of County Code Chapter 2.122). Non-compliance with these Living Wage provisions during the term of the Contract wil be considered a materialbreach, and may result in termination of the Contract anclor pursuit of other legal or administrative remedies.

15. NON-PROFIT CONTRACTOR MISCELLANEOUS REQUIREMENTS. The followingrequirements shall be met, in addition to any other requirements of this Contract:

(w\Vw.co.s:1ntanuz.ca.us), and Workforce Santa Cruz County (W\\'\v.\vorkforccscc.com) web sites.

16. MONITORING PROGRAM FOR 50l(c)(3) NONPROFIT AGENCIES. Each of thefollowing requirements shall be met, in addition to any other requirements of this Contract.

A. Within 180 days of the end of each of the CONTRACTOR'S fiscal years occurring during the

term of this Contract, the CONTRACTOR shall provide the Contract Administrator with two copies ofFinancial Statements relating to the entirety of the CONTRACTOR'S operations. Financial statements normallyinclude: (1) a Statement of Financial Position or Balance Sheet; (2) a Statement of Activities or Statement ofRevenues and Expenses; (3) a Cash Flow Statement; and (4) a Statement of Functional Expenses. The ContractAdministrator will forward one copy of the financial statements to the Auditor-Controller.

(1) For the purposes of this paragraph, "CONTRACTOR'S fiscal year" shall be that periodthe CONTRACTOR utilizes for its annual budget cycle.

(2) The Contract Administrator with concurrence of the County Auditor-Controller mayagree to extend the deadline for the Financial Statements required by this paragraph.

B. In the sole clscretion of the County, the requirements of this paragraph may be exempted where

Scope of Work for Friends Outside 12-13

WRAP: Warrant Reduction Advocacy Project0180

Project DescriptionThe purpose of this contract is to reduce jail overcrowding and recidivism in Santa Cruz County by providing

outreach and support services to people on probation who are at risk of having an arrest warrant issued due to failureto comply with routine terms of probation. Probation referrals are based on low risk clients who need littleintervention based on the risk principle. Facing an incarceration due to not reporting would increase their level of riskas well as increase their chances of meeting additional antisocial associates.

Friends Outside wil maintain trained staff and volunteers to take referrals from all Probation offcers ofpeople who need the services of the program. Friends Outside will meet responsivity through providing bilingualstaff/volunteers available for this purpose and will have staff available throughout Santa Cruz County. Once referredto the project, Friends Outside wil make not less than 3 attempts to contact each person to inform them of optionsthey have to come back into compliance with the terms of their probation and to assist them in contacting theirProbation Offcer. Contacts will include by phone, in person, contacting family and visiting shelters, treatmentcenters, and other service providers. The first contact will be made within three days of initial referraL. Clients will beable to receive services in either the Santa Cruz or Watsonville Volunteer Center offices.

Friends Outside will offer additional post-release services to all Probationers contacted through the WRAPproject that has already been recognized for utilizing evidence-based practices. This includes engaging ongoingsupport in the natural communities and doing assessments that provide matched services based on criminogenic needslike employment and educational assistance, and developing prosocial support networks. The major goal of WRAP isto keep low-risk clients in the low-risk category.

Key OutcomesFriends Outside wil process up to 100 referrals, should staff time allow, every effort will be made to accommodateadditional referrals. In the event additional funding becomes available, outcomes will be revised.

Friends Outside will collect the following data for this program:Client Information and DemographicsCase Activity: number of contact attempts, results of attempts, time spent per case, case disposition, warrants averted,and success with regard to age, gender, ethnicity, and jurisdiction categories.

In an effort to provide better system data about reducing recidivism, Friends Outside wil additionally attempt tocollect information about housing, employment status, family services, recovery programs and other service needs ofpeople in the program that reflect their criminogenic needs.

Friends Outside will report to Probation offces monthly on the status of clients referred to WRAP. Friends Outsidewill provide Quarterly Reports of all program activities. Friends Outside wil provide monthly expenditure reports forthe program.

INDEPENDENT CONTRACTOR AGREEMENT

This Contract is entered into tils lt day of July, 2012, by and between the COUNT OF SAl\'TA CRUZ,hereinafter caled COUNTY, and COMMUNITY BRIDGES - LIVE OAK FAMILY RESOURCE CENTER(lOFRC), hereinafter caled COi\1TRACTOR. The parties agree as follows:

1. DUTIES. CONTRACTOR agrees to provide community support for teenagers, living in thegreater live Oak area, who are meeting terms of Probation. The youth wil be assigned a Youth Famiy Advocatewho wil oversee and help coordinate court mandates such as school attendance, community restitution,employment and counselng. In addition, the lOFRC wil offer and supervise the designated youth to pro-socialbehavior, such as volunteering in the lOFRC offce, community clean-ups, working with children at centerfamiy events and volunteering at other organizations connected to the lOFRC. See attached Scope of \Nork andbudget for additional details. Additionaly, if directed by Probation, CONTRACTOR may be required to provideattendance, performance and completion information and/or enter program data directly into County Probationcase management system(s) when electronic interface is avaiable. CONTRACTOR shall utilize evidence basedpractices and principles in program development and implementation of services under tils contract in order tofurther reduce recidivism and risk factors and to increase public safety. CONTRACTOR shall also provideservices that are racially and culturaly responsive.

2. COMPENSATION. In consideration for CONTRACTOR accomplishing said result, COUNTYagrees to pay CONTRACTOR as follows: Payment not to exceed $35,000.00, processed for payment.n full afterproject completion, receipt of invoice, and approval of project manager.

3. TERM. The term of tils Contract shall be: July 1, 2012 through June 30, 2013.

4. EARLY TERMINATION. Either party hereto may termnate this Contract at any time bygiving thirty (30) days VvTitten notice to the other party.

5. INDEMNIFICATION FOR DAMAGES, TAXES AND CONTIBUTIONS.COl\TTRACTOR shall exonerate, indemnif, defend, and hold harmless COUNTY (wilch for the purpose ofparagraphs 5 and 6 shall include, without litation, its officers, agents, employees and volunteers) from andagainst: .

A. Any and all claims, demands, losses, damages, defense costs, or liability of any kind or naturewhich COUNTY may sustain or incur or which may be imposed upon it for injury to or death of persons, ordamage to property as a result of, arising out of, or in any manner connected with the CONTRACTOR'Sperformance under the terms of this Contract, excepting any liabilty arising out of the sole negligence of theCOUNTY. Such indemnification includes any damage to the person(s), or property(ies) of CONTRACTOR andthird persons.

B. Any and all Federal, State and local taxes, charges, fees, or contributions required to be paidwith respect to CONTRACTOR and CONTRACTOR'S offcers, employees and agents engaged in theperformance of this Contract (including, \vithout litation, unemployment insurance, social security and

payroll tax withholding).

6. INSURANCE. CONTRACTOR, at its sole cost and expense, for the full term of tils Contract(and any extensions thereof), shal obtain and maintain, at minimum, compliance with all of the followinginsurance coverage( s) and requirements. Such insurance coverage shall be primary coverage as respects

COUNTY and any insurance or self-insurance maintained by COUNTY shall be considered in excess ofCONTRACTOR'S insurance coverage and shall not contribute to it. If CONTRACTOR normally carriesinsurance in an amount greater than the miimum amount required by the COUNT for this Contract, thatgreater amount shall become the minimum required amount of insurance for purposes of this Contract.Therefore, CONTRACTOR hereby acknowledges and agrees that any and all insurances carried by it shall bedeemed liability coverage for any and all actions it performs in connection with this Contract.

If CONTRACTOR utilizes one or more subcontractors in the performance of this Contract,CONTRACTOR shal obtain and maintain Independent Contractor's Insurance as to each subcontractor orotherwise provide evidence of insurance coverage from each subcontractor equivalent to that required ofCONTRACTOR in this contract, unless CONTRACTOR and COUNTY both initial here _ / _'

A. Types of Insurance and Minmum lits

(1) \Vorker's Compensation in the minium statutorily required coverage amounts. Thisinsurance coverage shal be required unless the CONTRACTOR has no employees and certifies to this fact byinitialng here

(2) Automobile Liabilty Insurance for each of CONTRACTOR'S vehicles used in theperformance of this Contract, including owned, non-owned (e.g. owned by CONTRACTOR'S employees), leasedor hired vehicles, in the minimum amount of $500,000 combined single limit per occurrence for bodily injury andproperty damage. This insurance coverage is required unless the CONTRACTOR does not drive a vehicle inconjunction with any part of the performance of this Contract and CONTRACTOR and COUNT both certifyto this fact by intialg here _ / _'

(3) Comprehensive or Commercial General Liability Insurance coverage in the mimumamount of $1,000,000 combined single limit, including coverage for: (a) bodily injury, (b) personal injury, (c)broad form property damage, (d) contractual liability, and (e) cross-liabilty.

B. Other Insurance Provisions

(1) If any insurance coverage required in this Contract is provided on a "Claims Made"rather than "Occurrence" form, CONTRACTOR agrees to maitain the required coverage for a period of three (3)years after the expiration of this Contract (hereinafter "post Contract coverage") and any extensions thereof.

CONTRACTOR may maintain the required post Contract coverage by renewal or purchase of prior acts or tailcoverage. This provision is contingent upon post Contract coverage being both available and reasonably

affordable in relation to the coverage provided during the term of this Contract. For purposes of interpreting thisrequirement, a cost not exceeding 100% of the last annual policy premium during the term of this Contract inorder to purchase prior acts or tail coverage for post Contract coverage shall be deemed to be reasonable.

(2) Al required Automobile and Comprehensive or Commercial General Liabilty Insuranceshall be endorsed to contain the following clause:

7. EQUAL EMPLOYMENT OPPORTUNITY. During and in relation to the performance of thisContract, CONTRACTOR agrees as follows:

A. The CONTRACTOR shall not discriminate against any employee or applicant for employmentbecause of race, color, relgion, national origin, ancestry, physical or mental disability, medical condition (cancerrelated), marital status, sexual orientation, age (over 18), veteran status, gender, pregnancy, or any other non-merit factor unrelated to job duties. Such action shal include, but not be limited to, the following: recruinnent,advertising, layoff or termination, rates of payor other forms of compensation, selection for trainng (includingapprenticeship), employment, upgrading, demotion, or transfer. The CONTRACTOR agrees to post inconspicuous places, available to employees and applicants for employment, notice setting forth the provisions ofthis non-discrimination clause.

B. If this Contract provides compensation in excess of $50,000 to CONTRACTOR and if

CONTRACTOR employees fiteen (15) or more employees, the following requirements shall apply:

(1) The CONTRACTOR shall, in all solicitations or advertisements for employees placed byor on behalf of the CONTRACTOR, state that all qualfied applicants wil receive consideration for employmentwithout regard to race, color, religion, national origin, ancestry, physical or mental disability, medical condition(cancer related), marital status, sexual orientation, age (over 18), veteran status, gender, pregnancy, or any othernon-merit factor unrelated to job duties. (2) In the event of the CONTRACTOR'S non-compliance with the non-discrimiationclauses of this Contract or with any of the said rules, regulations, or orders said CONTRACTOR may be declaredineligible for further contracts with the COUNTY

(3) The CONTRACTOR shal cause the foregoing provisions of subparagraphs ?B(l) and?B(2) to be inserted in all subcontracts for any work covered under this Contract by a subcontractor

compensated more than $50,000 and employing more than fiteen (15) employees, provided that the foregoingprovisions shall not apply to contracts or subcontracts for standard commercial supplies or raw materials.

8. INDEPENDENT CONTRACTOR STATUS. CONTRACTOR and COUNT have reviewedand considered the principal test and secondary factors below and agree that CONTRACTOR is an independentcontractor and not an employee of COUNTY. CONTRACTOR is responsible for all insurance (workerscompensation, unemployment, etc.) and al payroll related taxes. CONTRACTOR is not entitled to any

employee benefits. COUNTY agrees that CONTRACTOR shall have the right to control the manner and meansof accomplishing the result contracted for herein.

PRINCIPAL TEST: The CONTRACTOR rather than COUNTY has the right to control the manner andmeans of accomplishing the result contracted for.

SECONDARY FACTORS: (a) The extent of control which, by agreement, COUNT may exercise overthe detais of the work is slight rather than substantial; (b) CONTRACTOR is engaged in a distinct occupationor business; (c) In the localty, the work to be done by CONTRACTOR is usually done by a specialist withoutsupervsion, rather than under the direction of an employer; (d) The ski required in the particular occupation issubstantial rather than slight; (e) The CONTRACTOR rather than the COUNTY supplies the instrumentalities,tools and work place; (f) The length of time for which CONTRACTOR is engaged is of limited duration ratherthan indefinite; (g) The method of payment of CONTRACTOR is by the job rather than by the time; (h) Thework is part of a special or permissive activity, program, or project, rather than part of the regular business ofCOUNT; (i) CONTRACTOR and COUNT believe they are creating an independent contractor relationshiprather than an employer-employee relationship; and (j) The COUNTY conducts public business.

It is recognized that it is not necessary that all secondary factors support creation of an independentcontractor relationship, but rather that overall there are significant secondary factors that indicate that

CONTRACTOR is an independent contractor.

By their signatures on this Contract, each of the undersigned certifies that it is his or her consideredjudgment that the CONTRACTOR engaged under this Contract is in fact an independent contractor.

9. NONASSIGNMENT. CONTRACTOR shall not assign the Contract without the prior writtenconsent of the COUNT.

10 ACKNOWLEDGMENT. CONTRACTOR shall acknowledge in all reports and literature thatthe Santa Cruz County Board of Supervsors has provided funding to the CONTRACTOR.

II. RETENTION AND AUDIT OF RECORDS. CONTRACTOR shall retain records pertinent tothis Contract for a period of not less than five (5) years after final payment under this Contract or until a finalaudit report is accepted by COUNT, whichever occurs first. CONTRACTOR hereby agrees to be subject to theexamiation and audit by the Santa Cruz County Auditor-Controller, the Auditor General of the State ofCaliorna, or the designee of either for a period of five (5) years after final payment under this Contract.

12. PRESENTATION OF CLAIMS. Presentation and processing of any or all claims arising out ofor related to this Contract shall be made in accordance with the provisions contained in Chapter 1.05 of the SantaCruz County Code, which by this reference is incorporated herein.

Non-compliance with these living Wage provisions during the term of the Contract wil be considered a materalbreach, and may result in termination of the Contract and/or pursuit of other legal or admnistrative remedies.

CONTRACTOR agrees to comply with Sànta Cruz County Code section 2.122.140, if applicable.

is. NON-PROFIT CONTRACTOR MISCELLANEOUS REQUIREMENTS. The followingrequirements shall be met, in addition to any other requirements of this Contract:

A. WEB LINKS - if a non-profit CONTRACTOR has an organizational web site, it shall be arequirement of this Contract to provide links to the HelpSCC (wv'W.helpscc.org), Santa Cruz County

Government (v.'W.co.santa-cruz.ca.us), and \Norkforce Santa Cruz County (ww.workforcescc.com) websites.

16. MONITORING PROGRAM FOR 50l(c)(3) NONPROFIT AGENCIES. Each of thefollowing requirements shall be met, in addition to any other requirements of this Contract.

A. Within 180 days of the end of each of the CONTRACTOR'S fiscal years occurrng during the

term of this Contract, the CONTRACTOR shall provide the Contract Administrator with two copies ofFinancial Statements relating to the entirety of the CONTRACTOR'S operations. Financial statements normallyinclude: (1) a Statement of Financial Position or Balance Sheet; (2) a Statement of Activities or Statement ofRevenues and Expenses; (3) a Cash Flow Statement; and (4) a Statement of Functional Expenses. The ContractAdministrator wil forward one copy of the financial statements to the Auditor-Controller.

PROGRAM DESCRIPTION

The Live Oak Family Resource Center, a program of Community Bridges, wil providecommunity support for teenagers, living in the greater Live Oak area, who are meeting terms ofprobation. The youth will be assigned a Youth Family Advocate who wil oversee and helpcoordinate court mandates such as school attendance, community restitution, employment, andcounseling. In addition the LOFRC wil offer and supervise the designated youth to pro-socialbehavior, such as volunteering in the LOFRC office, community clean-ups, working withchildren at center family events and volunteering at other organizations connected to theLOFRC.

Upon being referred to the LOFRC, youth wil be contacted by the Youth Family Advocate.During an initial visit the Youth Family Advocate will set goals with the youth and assess if anyother services are needed by the youth or their families. Appropriate referrals, to services such asfood stamps, health care and Medi-Cal enrollment or job training wil be made and exploredduring the length of the relationship.

LOFRC wil provide Medi-Cal Administrative Activities (MAA) as described in Attachment 1 tothis Scope of Services (see Attachment 1).

In addition to dedicated time from the Youth Family Advocate, the LOFRC wil provide supportin other manners, including: general information and referral for all family members oftheyouth, inclusion in outreach activities, including notification of general community events; andplanning time of the program coordinator and the center director as all aspects of the LOFRC aredeveloped. These efforts wil be aimed at including probation assigned youth, and all Live Oakarea teenagers in pro-social activities.

Service wil be delivered in a framework of motivational interviewing. The Live Oak FamilyResource Center staff have been trained in and utilize an approach in working with all centerclients, including our youth case1oad, that is founded on two evidence-based practices,Motivational Interviewing (overall "Readiness for Dissemination "rating 3.9 on NREPP) andSeeking Safety (overall "Readiness for Dissemination "rating 4.0 on NRPP). These present-focused practices currently are used when working individually with youth to help effectbehavior change while respecting this often traumatized population's need for safety as anantecedent to trst and positive change; we are looking into training for staff in implementingSeeking Safety in a group format.

Parent education is also offered to parents with youth on probation. The parent educationcurrculum we offer is Positive Discipline by Jane Nelsen, ED. D. Positive Discipline is acurrculum that has been offered locally for i 5+ years and has demonstrated excellent clientoutcomes with both English speaking and Spanish speaking familes. Positive Discipline trainsparents in implementing an authoritative parenting style that has been the subject of abundantresearch. This research indicates that children raised by authoritative parents are less likely toreport depression and anxiety, and less likely to engage in antisocial behavior like delinquencyand drug use. Research indicates that having at least one authoritative parent can make a bigdifference for children. Scope of Services:ATTACHMENT 1 - Medi-Cal Administrative Activities

PARTICIPATION IN MEDI-CAL ADMINISTRATIVE ACTIVITIES (MAA)

The unique relationship that the Contractor has with Medi-Cal eligible and potentiallyeligible individuals and families is fully recognized, as is the expertise of the Contractorin identifying, assessing and coordinating the health care needs of individuals andfamilies it serves. In order to take advantage of this expertise and relationship,

Contractor participation in federal, state and local leveraging opportunities, including

Medi-Cal Administrative Activities (MAA) is supported and encouraged. Suchparticipation may include appropriate staff training and coordination, reporting anddocumentation of allowable MAA activities and associated costs, including the trackingof staff time through time survey instruments.

In providing services under this agreement, Contractor staff shall understand andprovide basic health and benefit information and perform health advocacy to ensurethe health and well being of the target population and their familes being served

through this agreement. Outreach activities include information about health and Medi-Cal services that wil benefit individuals and families to allow them to lead healthy andproductive lives. Contractor shall provide an explanation of the benefits derived from

accessing local health, mental health and substance abuse services and encourageand assist clients and families to utilize these services. Contractor shall be

knowledgeable regarding available health services, locations of provider sites, and howindividuals and families can access these services. Contractor shall assist families tounderstand basic Medi-Cal and other relevant insurance information, and/or referclients to eligibility sites where these activities may occur. Contractor program servicesmay include: health and Medi-Cal outreach, information, referral, eligibility, accessassistance, planning and MAA coordination activities.

Contractor wil provide some or all of the following services:· Provide information to individuals and familes about Medi-Cal services, refer to

Medi-Cal and Healthy Familes eligibilty sites, and assist with access to Medi-Calcovered services.

· Assist individuals and families with aspects of the Medi-Cal and/or Healthy

INDEPENDENT CONTRACTOR AGREEMENT

This Contract is entered into this lt day of July, 2012, by and between the COUNTY OF SANTA CRUZ,hereinafter called COUNTY, and COMMUNITY BRIDGES - MOUNTAIN COMMUNITY RESOURCES, INC.(MCR), hereinafter called CONTRACTOR. The parties agree as follows:

1. DUTIES. CONTRACTOR agrees to provide coinunity support for teenagers living in the Sanlorenzo Valley ~ Scotts Valey area who are meeting terms of Juvenile Probation. The youth wil be assigned anadvocate who wil oversee and help coordinate court mandates such as school attendance, community

restitution, employment and counselig. In addition, CONTRACTOR wil offer and supervise the designatedyouth to pro~social behavior, such as volunteering, community clean~ups, working at center events andvolunteering at other organzations connected to CONTRACTOR. See attached Scope of \\lork and budget foradditional details. CONTRACTOR wil submit program progress reports at least semiannually. Additionally, ifdirected by Probation, CONTRACTOR may be required to provide attendance, performance and completioninformation and/or enter program data clectly into County Probation case management system(s) whenelectronic interface is available. CONTRCTOR shall utile evidence based practices and principles in programdevelopment and implementation of servces under this contract in order to further reduce recidivism and riskfactors and to increase public safety. CONTRACTOR shall also provide services that are racialy and culturallyresponsive.

2. COMPENSATION. In consideration for CONTRACTOR accomplishing said result, COUNTYagrees to pay CONTRACTOR as follows: Payment not to exceed $35,000.00, processed for payment in full afterproject completion, receipt of invoice, and approval of project manager.

3. TERM. The term of this Contract shal be: July 1, 2012 through June 30, 2013.

4. EARLY TERMINATION. Either party hereto may termnate this Contract at any time bygiving thirty (30) days written notice to the other part.

5. INDEMNIFICATION FOR DAMAGES, TAXES AND CONTRIBUTIONS.CONTRACTOR shall exonerate, indemnfy, defend, and hold harmess COUNTY (which for the purpose ofparagraphs 5 and 6 shall include, without limitation, its officers, agents, employees and volunteers) from andagainst:

A. Any and al claims, demands, losses, damages, defense costs, or liabilty of any kind or naturewhich COUNTY may sustain or incur or which may be imposed upon it for injury to or death of persons, ordamage to property as a result of, arising out of, or in any manner connected with the CONTRACTOR'Sperformance under the terms of this Contract, excepting any liability arising out of the sole negligence of theCOUNTY. Such indemnification includes any damage to the person(s), or property(ies) of CONTRACTOR andthird persons.

B. Any and all FederaL, State and local taxes, charges, fees, or contributions required to be paidwith respect to CONTRACTOR and CONTRACTOR'S offcers, employees and agents engaged in theperformance of this Contract (including, without limitation, unemployment insurance, social security andpayroll tax withholding).

6. INSURANCE. CONTRACTOR, at its sole cost and expense, for the full term of this Contract(and any extensions thereof), shall obtain and maintain, at minimum, compliance with al of the followinginsurance coverage( s) and requirements. Such insurance coverage shal be primary coverage as respectsCOUNTY and any insurance or self~insurance maintained by COUNT shall be considered in excess ofCONTRACTOR'S insurance coverage and shall not contribute to it. If CONTRACTOR normally carries

insurance in an amount greater than the ITnimum amount required by the COUNT for this Contract, thatgreater amount shall become the minimum required amount of insurance for purposes of this Contract.Therefore, CONTRACTOR hereby acknowledges and agrees that any and al insurances carried by it shal bedeemed liability coverage for any and all actions it performs in connection with this Contract.

If CONTRACTOR utilies one or more subcontractors in the performance of this Contract,CONTRACTOR shal obtain and maintain Independent Contractor's Insurance as to each subcontractor orotherwise provide evidence of insurance coverage from each subcontractor equivalent to that required ofCONTRACTOR in this contract, unless CONTRACTOR and COUNT both initial here _ / _'

This insurance coverage is required unless the CONTRACTOR does not drive a vehicle inconjunction with any part of the performance of this Contract and CONTRACTOR and COUNTY both certifyto this fact by intialing here _ / _'

B. Other Insurance Provisions

(1) If any insurance coverage required in this Contract is provided on a uClaims Made"rather than "Occurrence" form, CONTRACTOR agrees to maintain the required coverage for a period of three (3)years after the expiration of this Contract (hereinafter upost Contract coverage") and any extensions thereof.CONTRACTOR may maintain the required post Contract coverage by renewal or purchase of prior acts or tailcoverage. This provision is contingent upon post Contract coverage being both available and reasonably

affordable in relation to the coverage provided during the term of this Contract. For purposes of interpreting thisrequirement, a cost not exceeding 100% of the last annual policy prenuum during the term of this Contract inorder to purchase prior acts or tail coverage for post Contract coverage shal be deemed to be reasonable.

(2) All required Automobile and Comprehensive or Commercial General liabilty Insuranceshall be endorsed to contain the following clause:

(4) CONTRACTOR agrees to provide its insurance broker(s) with a full copy of theseinsurance provisions and provide COUNTY on or before the effective date of this Contract with Certificates ofInsurance for all required coverage. Al Certificates of Insurance shall be delivered or sent to:

7. EQUAL EMPLOYMENT OPPORTUNITY. During and in relation to the performance of thisContract, CONTRACTOR agrees as follows:

A. The CONTRACTOR shall not discrinúnate against any employee or applicant for employmentbecause of race, color, religion, national origin, ancestr, physical or mental disabilty, medical condition (cancerrelated), marital status, sexual orientation, age (over 18), veteran status, gender, pregnancy, or any other non-merit factor unrelated to job duties. Such action shall include, but not be limitedro, the following: recruitment,

advertising, layoff or termination, rates of payor other forms of compensation, selection for training (includingapprenticeship), employment, upgradig, demotion, or transfer. The CONTRACTOR agrees to post inconspicuous places, available to employees and applicants for employment, notice setting forth the provisions ofthis non ,discrimiation clause.

B. If this Contract provides compensation in excess of $50,000 to CONTRACTOR and if

CONTRACTOR employees fiteen (IS) or more employees, the following requirements shall apply:

(I) The CONTRACTOR shall, in all solicitations or advertisements for employees placed byor on behal of the CONTRACTOR, state that all qualfied applicants wil receive consideration for employmentwithout regard to race, color, religion, national origin, ancestry, physical or mental disabilty, medical condition(cancer related), marital status, sexual orientation, age (over 18), veteran status, gender, pregnancy, or any othernon-merit factor unrelated to job duties. Such action shall include, bur not be limited to, the following:recruitment; advertising, layoff or termination, rates of payor other forms of compensation, selection for training(including apprenticeship), employment, upgrading, demotion, or transfer. In addition, the CONTRACTORshall make a good faith effort to consider Minorityl\Vomen/Disabled Owned Business Enterprises in

CONTRACTOR'S solicitation of goods and services. Definitions for MinorityM'omen/Disabled BusinessEnterprises are available from the COUNT General Services Purchasing Division.

(2) In the event of the CONTRACTOR'S non-compliance with the non-discrinationclauses of this Contract or with any of the said rules, regulations, or orders said CONTRACTOR may be declaredineligible for further contracts with the COUNTY.

(3) The CONTRACTOR shal cause the foregoing provisions of subparagraphs 7B(I) and7B(2) to be inserted in all subcontracts for any work covered under this Contract by a subcontractorcompensated more than $50,000 and employing more than fifteen (IS) employees, provided that the foregoingprovisions shal not apply to contracts or subcontracts for standard commercial supplies or raw materials.

8. INDEPENDENT CONTRACTOR STATUS. CONTRACTOR and COUNTY have reviewedand considered the principal test and secondary factors below and agree that CONTRACTOR is an independentcontractor and not an employee of COUNTY. CONTRACTOR is responsible for all insurance (workerscompensation, unemployment, etc.) and al payroll related taxes. CONTRACTOR is not entitled to anyemployee benefits. COUNTY agrees that CONTRACTOR shall have the right to control the manner and meansof accomplishing the result contracted for herein.

PRINCIPAL TEST: The CONTRACTOR rather than COUNT has the right to control the manner andmeans of accomplishing the result contracted for.

SECONDARY FACTORS: (a) The extent of control which, by agreement, COUNTY may exercise overthe details of the work is slight rather than substantial; (b) CONTRACTOR is engaged in a distinct occupationor business; (c) In the locality, the work to be done by CONTRACTOR is usually done by a specialist withoutsupervision, rather than under the direction of an employer; (d) The skil required in the particular occupation issubstantial rather than slight; (e) The CONTRACTOR rather than the COUNTY supplies the instrumentalties,tools and work place; (f) The length of time for which CONTRACTOR is engaged is of limited duration ratherthan indefinite; (g) The method of payment of CONTRACTOR is by the job rather than by the time; (h) Thework is part of a special or permssive activity, program, or project, rather than part of the regular business ofCOUNT; (i) CONTRACTOR and COUNTY believe they are creating an independent contractor relationshiprather than an employer-employee relationship; and (j) The COUNTY conducts public business.

It is recognized that it is not necessary that all secondary factors support creation of an independentcontractor relationship, but rather that overall there are significant secondary factors that indicate that

CONTRACTOR is an independent contractor.

By their signatures on this Contract, each of the undersigned certifes that it is his or her consideredjudgment that the CONTRACTOR engaged under this Contract is in fact an independent contractor.

9. NONASSIGNMENT. CONTRACTOR shall not assign the Contract without the prior writtenConsent of the COUNT.

10. ACKNOWLEDGMENT. CONTRACTOR shall acknowledge in all reports and literature thatthe Santa Cruz County Board of Supervsors has provided funding to the CONTRACTOR.

II. RETENTION AND AUDIT OF RECORDS. CONTRACTOR shall retain records pertinent tothis Contract for a period of not less than five (5) years after final payment under this Contract or until a finalaudit report is accepted by COUNT, whichever occurs first. CONTRACTOR hereby agrees to be subject to theexamiation and audit by the Santa Cruz County Auditor-Controller, the Auditor General of the State ofCaliornia, or the designee of either for a period of five (5) years after final payment under this Contract.

12. PRESENTATION OF CLAIMS. Presentation and processing of any or all claims ansing out ofor related to this Contract shall be made in accordance with the provisions contained in Chapter L05 of the SantaCruz County Code, which by this reference is incorporated herein.

If Item #- 14 above is initialed by the COUNTY, then this Contract is subject to the provisions of SantaCruz County Code Chapter 2.122, which requires payment of a living wage to covered employees (per CountyCode Chapter 2.122.050, non-profit contractors are exempt from the living wage rate requirement of this chapter,but are not exempt from, and must adhere to, the "non-wage" related requirements of County Code Chapter2.22.100,2.22.130, and 2.122.140, as well as all other applicable portions of County Code Chapter 2.122). Non-compliance with these living Wage provisions dunng the term of the Contract wil be considered a materialbreach, and may result in termination of the Contract and/or pursuit of other legal or administrative remedies.

15. NON~PROFIT CONTRACTOR MISCELLNEOUS REQUIREMENTS. The followingrequirements shall be met, in addition to any other requirements of this Contract:

A WEB LINKS - If a non-profit CONTRACTOR has an organizational web site, it shall be arequirement of this Contract to provide links to the HelpSCC (ww.helpscc.org), Santa Cruz CountyGovernment (ww.co.santa-cruz.ca.us), and Workforce Santa Cruz County (ww.workforcescc.com) websites.

16. MONITORING PROGRAM FOR 50l(c)(3) NONPROFIT AGENCIES. Each of thefollowing requirements shall be met, in addition to any other requirements of this Contract.

A. Within 180 days of the end of each of the CONTRACTOR'S fiscal years occurring durig the

term of this Contract, the CONTRACTOR shall provide the Contract Administrator with two copies ofFinancial Statements relating to the entirety of the CONTRACTOR'S operations. Financial statements normallyinclude: (1) a Statement of Financial Position or Balance Sheet; (2) a Statement of Activities or Statement ofRevenues and Expenses; (3) a Cash Flow Statement; and (4) a Statement of Functional Expenses. The ContractAdmistrator wíl forward one copy of the financial statements to the Auditor-Controller.

(1) For the purposes of this paragraph, "CONTRACTOR'S fiscal year~ shall be that periodthe CONTRACTOR utilzes for its annual budget cycle.

(2) The Contract Administrator with concurrence of the County Auditor-Controller mayagree to extend the deadline for the Financial Statements required by this paragraph.

B. In the sole discretion of the County, the requirements of this paragraph may be exempted where

the Contract Adminstrator and the County Auditor-Controller ascertain that such reporting is not essential, andboth certif to its inapplicability by initialing here _ (AUD); _ (CA).

C The CONTRACTOR shall make a good faith effort to provide the Contract Admiistrator withtimely notice of any event or circumstance that materially impairs the CONTRACTOR'S financial position orsubstantially interferes with the CONTRACTOR'S abilty to offer the services it has agreed to provide as setforth in this Contract. The Contract Administrator shall notify the Auditor-Controller of any impairment uponbeing notified by the contractor.

17. MISCELLANEOUS. This written Contract, along with any attachments, is the full andcomplete integration of the parties' agreement forming the basis for this Contract. The parties agree that thiswrtten Contract supersedes any previous written or oral agreements between the parties, and any modificationsto this Contract must be made in a written document signed by al parties. Any arbitration, mediation, orlitigation arising out of this Contract shall occur only in the County of Santa Cruz, notwithstanding the fact thatone of the contracting parties may reside outside of the County of Santa Cruz.

PROGRAM DESCRIPTION

Mountain Community Resources wil provide community support for teenagers living in the SanLorenzo Valley-Scotts Valley area who are meeting terms of Juvenile Probation. The youth will beassigned an advocate who wil oversee and help coordinate court mandates such as school attendance,community restitution, employment and counseling. In addition MCR will offer and supervise thedesignated youth to pro-social behavior, such as volunteering, community clean-ups, working at centerevents and volunteering at other organizations connected to MCR. MCR wil also offer more casualworkshops such as movie and book discussion groups where youth can build empathy and gainperspective by dialoging about current events and issues.

Upon being referred to MCR by the Probation Offcer, youth wil be contacted by the advocate. For thishalf-time position, the caseload historically has been 30+ youth with varous levels of need. During aninitial visit, the Teen Advocate wil set goals with the youth and assess if any other servces are neededby the youth or their families. Appropriate referrals to services such as food stamps, health care andMedi-Cal enrollment, l2-step meetings (and/or other recovery-focused groups and/or facilities asindicated), free counseling (available at MCR) and job training will be made and explored during thelength of the relationship. The advocate will follow-up with youth on a regular basis by meeting with theProbation Officer, the families and/or school personnel as needed.

In addition to dedicated time with the Teen Advocate, MCR wil provide support in other ways,including but not limited to: general information and referral for all family members of the YQuth;

planning/supervisory time of the program and director; referrals to MCR's on-site counseling programfor both the youth and their family, parenting classes for the parents of probation youth, and; providing asafe space for probation youth to integrate with other local teens.

. One of the group activities being offered is The Seven Challenges program. This is an evidence-basedprogram, listed in the SAMHSA National Registry of Evidence-Based Programs and Practices. TheSeven Challenges received a perfect score in the "Readiness for Dissemination" category, with thereview stating:

"Clear, logically organized, and comprehensive materials are provided to support implementers,supervisors, and administrators. The Program materials, trainings, ongoing support andmonitoring work effectively to ensure a successful implementation. "

In addition, the parent education offered to parents with youth on probation - Triple P, or PositiveParenting Program - has been developed through more than 30 years of clinical research trials. Theevidence-based program is based on contemporary knowledge, has been well tested in internationalresearch, and most importantly, has been found useful by many parents and practitioners, with one.stating:

"Triple P is a great program. To my mind, it is the best in the world at addressing the needs of the wholecommunity. The diferent components are carefully tailored to the needs of a range of parents, fromthose who simply need to read a tip sheet, to those who require consultation with a health visitor aboutone or more behavioral problems, to those who need a longer, more intensive course. The content isbased on best scientifc practice, and is accessible and fun. Above all, it has been proven in numerouscontrolled trials to be highly effective. "

MCR will provide Medi-Cal Administrative Activities (MAA) as described in Attachment 1 to thisScope of Services (see Attachment 1).

meetings with PO, the MDT (as needed) and other MCR staff and related agencies on a regular basis.· Provide individual and group instruction to teens and work with collaborators such as CRP, Baros

Unidos, Girlzpace, and Youth Services.· Attend outside trainings/education as needed and/or required (i.e. cultural competency).· Maintain records and prepare reports.

Probation Youth Counselor· Provide counseling services to probation youth as ordered by court and/or Probation Offcer. With

funding from First Five, will also offer parenting classes and one-on-one support to parents of youthon probation.

PROCESS AND OUTCOME EVALUATION

As described above, youth refered to MCR develop relationships with staff and work toward declaredgoals. In order to document the success of the program, the following statistics will be kept on the file inMCR's database for reporting purposes:

· The total number of individuals referred to MCR;. The amount of time each referral spends with staff and the goal-oriented activities engaged in with

the youth;· Special activities that feature teens.

In addition, MCR wil submit progress reports to Probation on a quarerly basis, which wil includeindividual success stories.

Scope of Services:ATTACHMENT 1 - Medi-Cal Administrative Activities

PARTICIPATION IN MEDI-CAL ADMINISTRATIVE ACTIVITIES (MAA)

The unique relationship that the Contractor has with Medi-Cal eligible and potentiallyeligible individuals and families is fully recognized, as is the expertise of the Contractorin identifying, assessing and coordinating the health care needs of individuals andfamilies it serves. In order to take advantage of this expertise and relationship,

Contractor participation in federal, state and local leveraging opportunities, includingMedi-Cal Administrative Activities (MAA) is supported and encouraged. Suchparticipation may include appropriate staff training and coordination, reporting anddocumentation of allowable MAA activities and associated costs, including the trackingof staff time through time survey instruments.

In providing services under this agreement, Contractor staff shall understand andprovide basic health and benefit information and perform health advocacy to ensurethe health and well being of the target population and their familes being served

through this agreement. Outreach activities include information about health and Medi-Cal services that will benefit individuals and families to allow them to lead healthy andproductive lives. Contractor shall provide an explanation of the benefis derived fromaccessing local health, mental health and substance abuse services and encourageand assist clients and familes to utilze these services. Contractor shall be

knowledgeable regarding available health services, locations of provider sites, and howindividuals and familes can access these services. Contractor shall assist families tounderstand basic Medi-Cal and other relevant insurance information, and/or referclients to eligibility sites where these activities may occur. Contractor program servicesmay include: health and Medi-Cal outreach, information, referral, eligibilty, accessassistance, planning and MAA coordination activities.

Contractor wil provide some or all of the following services:· Provide information to individuals and families about Medi-Cal services, refer to

Medi-Cal and Healthy Families eligibility sites, and assist with access to Medi-Calcovered services.

· Assist individuals and familes with aspects of the Medi-Cal and/or Healthy

Families/Medi-Cal for Children application process.· Arrange transportation for, and if necessary, accompany individuals and families

to Medi-Cal covered health services.· Work with community and government agencies to identify and fil.1 gaps in health

and Medi-Cal services by collaborating and planning for clients and families inneed of such services.

· Assist to implement and oversee Medi-Cal Administrative Activities claimingprocess.
