Helmut O. Maucher, Vice-Chairman of the Board of Directors of

Credit Suisse Group, will reach the age limit for membership of

the Board with the General Meeting on 30 May 1997. He will

therefore be stepping down from the Board of Directors. In his

eight years as a Member of the Board, and, in particular, during

his seven-year tenure as Vice-Chairman, Mr Maucher has made

a substantial contribution to the success of our Group. His

international business know-how, his sound judgement and his

unstinting commitment have been of inestimable value to our

Group. The Board of Directors and the Executive Board would

like to express their sincere gratitude to him.

We would also like to extend our thanks to Ernst Schneider,

who, since 1979, has brought his wealth of experience to bear,

first as a Member of the Executive Board then Vice-Chairman of

the Board of Directors of Credit Suisse, and, from 1993, as

Chairman of the Board of Directors of Bank Leu and Member of

the Board of Directors of Credit Suisse Group. Mr Schneider

has reached the age limit for the chairmanship of Bank Leu

and will therefore also not be standing for re-election at Credit

Suisse Group.

Finally, we would also like to thank Gianfranco Cotti, to

whom we are much indebted for his services as a Member

of the Board of Directors of Credit Suisse Group and as

Chairman of the Board of Directors of Swiss Volksbank. As

Mr Cotti has reached the relevant age limit, the chairmanship of

Credit Suisse was assumed by Rainer E. Gut in March of this

year. As part of the reorganisation of the Boards of Directors,

Mr Cotti will now concentrate on his mandate as a Member of

the Board of Directors of Credit Suisse.
