Objetivos del Programa
Al final del programa, usted debe:
Aprender como FATCA afectara a su negocio y operaciones;
Saber lo que FATCA requiere de usted en vista a su cargo en la institución
financiera;
Entender las claves de FATCA: Requisitos de debida diligencia y la
identificación de Cuentas de Contribuyentes Estadounidenses;
Aprender como inscribir su Institución con el IRS (ser asignado numero GIIN) y
reportar las Cuentas de Norteamericanos (ya se directamente al IRS o a su
regulador, superintendencia o gobierno local), como lo requiere FATCA;
Entender cómo aplicar la retención del 30%, la cual puede ser necesario en
caso de determinados pagos efectuados a titulares de cuentas recalcitrantes o a
instituciones financieras que no participen en el programa de cumplimiento de
FATCA;
Conocer los avances a nivel internacional en materia de intercambio de
información tributaria, particularmente esfuerzos de la OCDE.

HIRE Act:
Conocido como FATCA
• El 18 de Marzo del 2010 la ley HIRE Act fue aprobada por el Congreso
de EEUU. Una parte del HIRE Act contiene una sección titulada
“Foreign Account Tax Compliance Act” conocida como “FATCA”.
• FATCA añade un nuevo capitulo (“Capitulo 4”) al Código de Rentas
Internas (el “Código”) el cual aplica un mecanismo de retención a pagos
dirigidos a Instituciones Financieras Foráneas (“FFI”) si estas no
cumplen la ley FATCA. El Código es el Titulo 26 del Código de EEUU.
• FATCA es reacción a la percepción que existe evasión fiscal facilitada
por FFIs que permiten que Norteamericanos se puedan “esconder”
detrás de entidades offshore para evitar detección por las autoridades
de EEUU.
Por lo tanto, la ley esta diseñada para requerir que bancos foráneos y otros negocios
financieros (como custodios, comisionistas de bolsa, fondos de inversión y otros
intermediarios financieros), como también “closely held foreign corporations” identifiquen
y reporten sus Cuentas de EEUU y Dueños de EEUU al gobierno de EEUU.

Capitulo 3 vs. Capitulo 4
• Capitulo 3 es el mecanismo de retención que existe
actualmente bajo el Código. Si actualmente provee un W-8
o sustituto similar a una institución financiera, se vera
afectado por la ley FATCA.
• Capitulo 4 introduce un nuevo mecanismo de retención del
Impuesto a la Renta en ciertos pagos con fuente en EEUU
denominados bajo FATCA como “Withholdable Payments”
hechos a una FFI y ciertas NFFEs, siempre y cuando no se
cumplan estipulados requisitos de inscripción, identificación
de cuentahabientes y reportes de información.

• El alcance de FATCA es muy amplio.
Casi todos los FFIs se verán afectados por FATCA si
tienen alguna relación a EEUU, aunque no tenga
cuentahabiente de EEUU.
NFFEs con inversiones directas o indirectas con los
EEUU o beneficiarios dentro de EEUU se verán
afectadas.
• Es por estas razones que es esencial que su institución
entienda los requerimientos de FATCA y tomen los pasos
necesarios para cumplir con la ley ante de la fecha entrada
en vigor de ciertas partes claves de la ley.

Definición de FFI
Una ”Institución Financiera Foránea” o “FFI” significa una entidad foránea (excepto constituidas en posesión de los EEUU) la cual:
1) acepta depositos en el transcurso ordinario de un negocio financiero (“Prueba de Depósitos”); o
2) Como parte sustancial de su negocio mantiene activos financieros para la cuenta de terceros (“Prueba de Custodio”); o
3) Esta involucrada (o o se representa como estar) principalmente en el negocio de invertir, re-invertir o comercializar títulos valores, intereses en sociedad comandita, materia prima, o cualquier interés (incluyendo contrato future o forward u opción) en tal valores, sociedades o materia prima (“Prueba de Vehículo Inversión”).
*Es posible tener diferente clasificación de la misma entidad bajo las Regulaciones Finales del Tesoro vs. Definición en el IGA

Un “pago sujeto a retención” significa:
1. cualquier pago con Fuente en EEUU* de Renta FDAP, como lo es:
i. Intereses**;
ii. dividendos;
iii. rentas;
iv. regalías ;
v. Salario y remuneración;
vi. primas;
vii. Otros tipos de ingresos con carácter fijo o determinable, anual o periódico
2. Saldo bruto de la venta u otra enajenación en o después del 31-Diciembre, 2016 de cualquier propiedad del tipo que pueda generar intereses o dividendos como Renta FDAP.

Grandfathered Obligation
1. Cualquier obligación pendiente al 1-Enero-2014;
2. Cualquier obligación que genera un Pago Sujeto a Retención
solamente porque la obligación se considera genera un “equivalente
a dividendo” bajo la sección 871(m) y las regulaciones
correspondientes, siempre que la obligación se ejecute no después
de 6 meses de la fecha en la cual la obligación se considera genera
“equivalente a dividendo”; y
3. Cualquier acuerdo que establezca un acreedor garantizado para
hacer un pago con respecto a, o para pagar, la garantía prestada
para asegurar una obligación de derechos adquiridos. Si la garantía
(o un fondo común de garantías) asegura ambas nuevas
obligaciones y obligaciones “grandfathered”, la garantía prestada
debe ser determinada por la asignación (a prorrata por valor)
garantía (o cada artículo que comprende la reserva de garantías ) de
todas las obligaciones pendientes garantizados por los activos de

Expanded Affiliated Group: Igual que en el
§ 1504 del Código, substituyendo “mas
del 50% interés”.
• Generalmente, cada miembro del grupo
que es una FFI debe entrar en
cumplimiento para que el grupo este en
cumplimiento; sin embargo, hay reglas de
transición (Limited Branches).

Puntos de Acción: FATCA
• Determinar la clasificación FATCA de cada miembro del EAG.
• Si no aplica exención, debe inscribir cada FFI miembro del EAG.
• Implementare procedimientos y actualizar sistemas para nueva
vinculación y para monitorear cambios en circunstancias para
asegurar cumplimiento continuo.
• Determinar si la FFI tiene “Cuentas Financieras” bajo FATCA.
• Debida diligencia de cuentas pre-existentes para identificar Cuentas
de EEUU que se deben reportar.
• Reportarle al gobierno local o al IRS sobre Cuentas de EEUU,
Cuentahabiente Recalcitrantes y pagos a No-Participante FFIs.
• Considerar como la entidad atenderá obligaciones de retención y
remisión de penalidades, si aplicara.

• Desarrollar Plan de Acción FATCA y asegurar que todos Miembros del
EAG participan. Esto también requiere colaboración entre
departamentos jurídico, riesgo, operación, y tecnología de la institución.
• Designación del Gerente Responsable (RO) de la institución.
• Participating FFIs debe tener Programa de Cumplimiento & un RO.
• Posible Designación de Puntos de Contactos (POC)
El RO de una FFI inscrita como Lead de un EAG puede ser el POC para
cada Miembro del grupo
• Implementación de Plan de Acción o Debida Diligencia, Documentación e Identificación de Cuentahabientes;
o Certificaciones o Documentación requerida para cuentas con Indicadores
de EEUU y cuenta de cuentahabientes recalcitrantes;
o Obtener renuncia del cliente para reportar información, si se requiere;
o Implementar sistema de reportes y retención como se requiere.

El Anexo II al US-[FATCA Partner] IGA particular detallara
los requisitos para dueños beneficiarios exentos y FFIs
consideradas en cumplimiento en tal país.
Las descripciones del Anexo II al modelo es un resumen
de las Regulaciones Finales e incluyen modificaciones a
las Regulaciones Finales a las cual los EEUU esta de
acuerdo en modificar.
El Tesoro no pretende dar lista separada de Anexo II en
IGAs a futuro para clases de entidades o cuentas que
están descritas en el Anexo II.

Anexo II al Modelo IGA
Además, el Tesoro ya no tiene la intención de enumerar las
organizaciones sin fines de lucro o entidades que no son instituciones
financieras. Este tipo de entidades se describen en los apartados B(2)
al B(4) de la sección VI del Anexo I.
Las descripciones en el Anexo II reflejan una amplia consulta con las
instituciones financieras y los gobiernos , y por lo tanto no se pueden
modificar adicionalmente exclusivamente para aliviar o eliminar un
elemento específico de una descripción (por ejemplo , en relación con
el requisito de que una institución financiera con una base de clientes
local tiene, al menos, 98% de sus cuentas financieras por valor a partir
del último día del año civil anterior en poder de residentes (que se
describen en el apartado a de la sección III del Anexo II), el Tesoro no
estará de acuerdo con un porcentaje más bajo corresponde).

Relación:
En el caso de cuentas Financieras que el Gerente de Relación sabe, o tiene
razón de saber, es directa o indirectamente propiedad, controlada, o establecida
(excepto en capacidad fiduciaria) por la misma persona, debe agregar todas
sales cuentas.
4. Regla sobre Conversión de Moneda:
Para efectos de determinar el saldo o valor de Cuentas Financieras
denominadas en una moneda distinta al dólar de EEUU, un Reporting [FATCA
Partner] FI ha de transformar los montos límites dólares que se describen en el
Anexo I de la IGA en dicha moneda, utilizando un tipo de cambio spot publicado

Para evitar búsqueda del expediente físico (papel), el sistema de búsqueda
electrónica del FI debe incluir todo lo siguiente:
a) La nacionalidad o residencia del titular de la cuenta;
b) Dirección de residencia del titular de la cuenta y la dirección postal en la
actualidad en los archivos del Reporting [FATCA Partner] FI;
c) El número de teléfono(s) del titular actualmente en el archivo, en su
caso, en los archivos del Reporting [FATCA Partner] FI;
d) Si existen instrucciones permanentes para transferir fondos de la cuenta
a otra cuenta (incluyendo una cuenta en otra sucursal del Reporting
[FATCA Partner] FI o de otra institución financiera);
e) La existencia de una dirección "en cuidado de” o dirección “hold mail"
para el titular de la cuenta, y

para Cuentas de Alto Valor Además, debe hacer la averiguación al Relationship Manager para el

con evidencia de la ciudadanía o nacionalidad en un país que no sea EEUU; and
3. Una copia del Certificado de Perdida de Nacionalidad de EEUU (Certificate of Loss of
Nationality of the United States) o una explicación razonable de:
a) La razón que el Cuentahabiente no tiene tal Certificado aunque renuncio la
ciudadanía de EEUU; o
b) La razón que el Cuentahabiente no se le transmitió ciudadanía de EEUU la
nacer.

1. Un certificado de residencia expedido por un organismo autorizado del gobierno (por
ejemplo, un gobierno o agencia de la misma, o un municipio), de la jurisdicción en la que
el beneficiario pretende ser un residente.
2. Con respecto a un individuo, cualquier identificación válida expedida por un organismo
autorizado del gobierno (por ejemplo, un gobierno o agencia de la misma, o un
municipio), que incluye el nombre de la persona y se utiliza normalmente para fines de
identificación.
3. Con respecto a una Entidad, toda la documentación oficial emitida por un organismo

lavado de dinero que han sido aprobados por el IRS en relación con un convenio QI,
ninguno de los documentos, con excepción de un Formulario W-8 ó W-9, o

Revisión de las cuentas individuales preexistentes que son de Bajo
Valor para Indicadores de EEUU debe ser completado el 30 de junio
de 2016.
Si hay un cambio de circunstancias con respecto a una Cuenta
Individual preexistente que es una cuenta de Bajo Valor que resulta e
en una o más Indicadores de EEUU estar asociada a la cuenta,
entonces el Reporting [FATCA Partner] FI debe tratar a la cuenta como
Cuenta Reportable, salvo excepción documentada de aplicar.
A excepción de las Cuentas de Depósito exentos de revisión (menos
de US$ 50,000), cualquier cuenta individual preexistente que ha sido
identificado como una Cuenta Reportable bajo esta sección será

del 31 de Diciembre, 2014, el Reporting [FATCA Partner] FI debe reportar
la información requerida para el año 2014 en todos los años siguientes, a
menos que el titular de la cuenta deja de ser una Persona de EEUU.
• En el caso de ana Cuenta Reportable identificada después del 31
Deciembre, 2014 y en o antes del 30 de Junio, 2015, el Reporting [FATCA

Si una cuenta individual preexistente no es de Alto Valor al 30 de Junio,
2014, pero se convierte en Alto Valor antes del fin del 2015 o cualquier
ano subsiguiente, el Reporting [FATCA Partner] FI debe completar la
diligencia Enhanced dentro de 6 meses despues del ultimo dia del ano
calendario cuando la cuenta se convirtio Alto Valor.
• Si en base a esta revisión dicha cuenta se identifica como una Cuenta Reportable, la

3. Determine Whether a Financial Institution Is a Nonparticipating
Financial Institution Payments to Which Are Subject to Aggregate
Reporting Under Subparagraph 1(b) of Article 4 of the IGA.
A Reporting [FATCA Partner] Financial Institution may determine that the Account
Holder is a [FATCA Partner] Financial Institution or other Partner Jurisdiction Financial
Institution if the Reporting [FATCA Partner] Financial Institution reasonably
determines that the Account Holder has such status on the basis of the Account
Holder’s GIIN on the published IRS FFI list or other information that is publicly
available or in the possession of the Reporting [FATCA Partner] Financial
Institution, as applicable. In such case, no further review, identification, or reporting is
required with respect to the account.
If the Account Holder is a [FATCA Partner] Financial Institution or other Partner
Jurisdiction Financial Institution treated by the IRS as a Nonparticipating Financial
Institution (due to non-compliance), then the account is not a U.S. Reportable
Account, but payments to the Account Holder must be reported as contemplated in
subparagraph 1(b) of Article 4 of the IGA.

Account.
With respect to an Account Holder of a Preexisting Entity Account that is not identified
as either a U.S. Person or a Financial Institution, the Reporting [FATCA Partner]
Financial Institution must identify:
(i) whether the Account Holder has Controlling Persons,
(ii) whether the Account Holder is a Passive NFFE, and
(iii) whether any of the Controlling Persons of the Account Holder is a U.S. citizen or resident.
In making these determinations the Reporting [FATCA Partner] Financial Institution

Timing of Review and Additional Procedures
Applicable to Preexisting Entity Accounts. 1. Review of Preexisting Entity Accounts with an account balance or value that
exceeds US$250,000 as of June 30, 2014 must be completed by June 30,
2016.
2. Review of Preexisting Entity Accounts with an account balance or value that
does not exceed US$250,000 as of June 30, 2014, but exceeds US$1 million
as of December 31 of 2015 or any subsequent year, must be completed
within six months after the last day of the calendar year in which the account
balance or value exceeds US$1 million.
3. If there is a change of circumstances with respect to a Preexisting Entity
Account that causes the Reporting [FATCA Partner] Financial Institution to
know, or have reason to know, that the self-certification or other
documentation associated with an account is incorrect or unreliable, the
Reporting [FATCA Partner] Financial Institution must re-determine the status
of the account in accordance with the procedures set forth in the IGA.

Defined Terms:
NFFE: means any Non-U.S. Entity that is not an FFI as defined in relevant
U.S. Treasury Regulations or is an Entity which qualifies as an Excepted
NFFE, and also includes any Non-U.S. Entity that is established in
[FATCA Partner] or another Partner Jurisdiction and that is not a Financial
Institution.
NFFEs are either Active or Passive.
Passive NFFE: means any NFFE that is not
(i) an Active NFFE, or
(ii) (ii) a withholding foreign partnership or withholding foreign trust pursuant to relevant
U.S. Treasury Regulations

Active NFFE
Active NFFE: means any NFFE that meets any of the following criteria:
a) Less than 50% of the NFFE’s gross income for the preceding calendar year or
other appropriate reporting period is passive income and less than 50% of the
assets held by the NFFE during the preceding calendar year or other appropriate
reporting period are assets that produce or are held for the production of passive
income; or
b) The stock of the NFFE is regularly traded on an established securities market or the
NFFE is a Related Entity of an Entity the stock of which is traded on an established
securities market; or
c) The NFFE is organized in a U.S. Territory and all of the owners of the payee are
bona fide residents of that U.S. Territory; or
d) The NFFE is a government (other than the U.S. government), a political subdivision
of such government (which, for the avoidance of doubt, includes a state, province,
county, or municipality), or a public body performing a function of such government
or a political subdivision thereof, a government of a U.S. Territory, an international
organization, a non-U.S. central bank of issue, or an Entity wholly owned by one or
more of the foregoing; or

e) Substantially all of the activities of the NFFE consist of holding (in whole or in
part) the outstanding stock of, or providing financing and services to, one or
more subsidiaries that engage in trades or businesses other than the business
of a Financial Institution, except that an NFFE shall not qualify for this status if
the NFFE functions (or holds itself out) as an investment fund, such as a
private equity fund, venture capital fund, leveraged buyout fund, or any
investment vehicle whose purpose is to acquire or fund companies and then
hold interests in those companies as capital assets for investment purposes;
or
f) The NFFE is not yet operating a business and has no prior operating history,
but is investing capital into assets with the intent to operate a business other
than that of a Financial Institution, provided that the NFFE shall not qualify for
this exception after the date that is 24 months after the date of the initial
organization of the NFFE; or
g) The NFFE was not a Financial Institution in the past five years, and is in the
process of liquidating its assets or is reorganizing with the intent to continue or
recommence operations in a business other than that of a Financial Institution;
or

h) The NFFE primarily engages in financing and hedging transactions with, or
for, Related Entities that are not Financial Institutions, and does not provide
financing or hedging services to any Entity that is not a Related Entity,
provided that the group of any such Related Entities is primarily engaged in a
business other than that of a Financial Institution; or
i) the NFFE is an “excepted NFFE” as described in relevant U.S. Treasury
Regulations; or
j) the NFFE meets all of the following requirements:
1. It is established and operated in its jurisdiction of residence exclusively
for religious, charitable, scientific, artistic, cultural, athletic, or
educational purposes; or it is established and operated in its jurisdiction
of residence and it is a professional organization, business league,
chamber of commerce, labor organization, agricultural or horticultural
organization, civic league or an organization operated exclusively for the
promotion of social welfare; and
2. It is exempt from income tax in its jurisdiction of residence;

3. It has no shareholders or members who have a proprietary or beneficial
interest in its income or assets; and
4. The applicable laws of the NFFE’s jurisdiction of residence or the
NFFE’s formation documents do not permit any income or assets of the
NFFE to be distributed to, or applied for the benefit of, a private person
or non-charitable Entity other than pursuant to the conduct of the
NFFE’s charitable activities, or as payment of reasonable compensation
for services rendered, or as payment representing the fair market value
of property which the NFFE has purchased; and
5. The applicable laws of the NFFE’s jurisdiction of residence or the
NFFE’s formation documents require that, upon the NFFE’s liquidation
or dissolution, all of its assets be distributed to a governmental entity or
other non-profit organization, or escheat to the government of the
NFFE’s jurisdiction of residence or any political subdivision thereof.

Registration and “signing” of the FFI Agreement will be via online IRS Web Portal which opened as of 19 August 2013.
The last day to register is 25 April 2014 in order to be on the Official IRS List of Participating FFIs and Registered Deemed-Compliant FFIs to be published on 2 June 2014.
FFIs in Model 1 IGA jurisdictions must still register to be assigned a GIIN
For withholdable payments made prior to 1 January 2015, verification of a GIIN is not required with respect to payees that are Reporting Model 1 FFIs. downloadable list will be available on IRS.gov to the public. No login or
password will be required to search or download the list. The data will be
refreshed on the 1st of the month and will only include FIs and branches
approved 5 business days prior to the first of the month. The date of the
last update to the information will be displayed on the page. Previous
months lists will not be available on IRS.gov.
The FFI List search and download tool can be used for looking up
individual or groups of FIs and their branches to determine if they are on
the list of FATCA compliant FIs. To use the search feature, at least one
of the following search fields must be filled in: GIIN, Financial Institution
Name, or Country. The results will be displayed on the screen and can
be exported in CSV, XML or PDF formats.

A separate GIIN will be issued to the FI to identify each jurisdiction,
including the FI’s jurisdiction of residence, in which the FI maintains a
branch that is not treated as a Limited Branch.
It is anticipated that the IRS FFI list will be updated on a monthly basis to
add or remove FIs (or their branches).
The GIIN may be used by an FI to identify itself to withholding agents
and tax administrations for FATCA reporting.
A GIIN will be issued to only those FIs that are not Limited FFIs, Limited
Branches, or U.S. branches of an FFI , and will be issued after an FI’s

Cuentahabientes • Beginning with payments on July 1, 2014, Participating FFIs (not
Model 1 or 2 IGA FFI) will be required to withhold on certain
payments (generally, U.S. source interest, dividends, and gross
proceeds from the sale or disposition of instruments that produce
U.S. source interest or dividends (withholdable payments) made
to: (1) Non-Participating FFIs, and (2) Recalcitrant Account
Holders.
• Beginning with payments on January 1, 2017, the FI must
withhold on “pass-thru” payments (attributable to Withholdable
US Payments) on account of an entity that is a Non-Participating
FI.
• A “Recalcitrant Account Holder” is generally any account holder
that fails to provide identifying information upon request, or fails to
waive any privacy law that would prevent an FFI from reporting
information on the account holder to the IRS.

• A Model 1 IGA FFI or Model 2 IGA FFI will not have to withhold on
payments to a Recalcitrant Account Holder, provided that the FFI reports
information on the Recalcitrant Account Holder as described below.
• While under the FATCA regulations, FFIs are generally required to

1 IGA and the Model 2 IGA state that the U.S. will work with the signing

• If the entity is a Non-Participating FI report annually the name of, and
aggregate amount of payments made in 2015 & 2016.
• A fund that has signed an FFI Agreement (including a Model 2 IGA FFI)
will generally be required to report information on account holders that
its diligence procedures have determined to be U.S. account holders, as
well as Recalcitrant Account Holders. In addition, a fund that has signed
an FFI Agreement will generally be required to report payments made to
U.S. accounts, as well as payments made to non-compliant FFIs and
Recalcitrant Account Holders.
• A Model 1 IGA FFI will have similar reporting requirements. As noted
above, it will report its U.S. account holders’ information, as well as

In such a case, the FI shall obtain and include in the exchanged information the date of birth of the relevant person, if the Reporting Financial Institution has such date of birth in its records.

Each Reporting [FATCA Partner] Financial Institution shall be treated as
complying with, and not subject to withholding under, section 1471 of the U.S.
Internal Revenue Code if the [FATCA Partner] complies with its obligations under
Articles 2 and 3 of the IGA with respect to such Reporting [FATCA Partner]
Financial Institution, and the Reporting [FATCA Partner] Financial Institution
meets all of the following requirements:
a) identifies U.S. Reportable Accounts and reports annually to the [FATCA
Partner]’ Competent Authority the information required to be reported in the
time and manner described in Article 3 of the IGA;
b) for each of 2015 and 2016, reports annually to the [FATCA Partner]’s
Competent Authority the name of each Nonparticipating Financial Institution to
which it has made payments and the aggregate amount of such payments;
c) complies with the registration requirements applicable to Financial Institutions
in Partner Jurisdictions;
