FINANCIAL PERFORMANCE

Forthefinancialyearunderreview,theGrouprecordedamodestprofitaftertaxofRM18millioncomparedwithRM80millionin2010.Thiswasmainlyduetolowerrevenuerecognisedforworksperformedonongoingmaintenance,repair&overhaul (MRO)services,whichformsthebulkof thesubsidiaries’activities.Wepreviouslyreportedthatourcommercialshipbuildingprojectswerehitbycostescalations.Withthecompletionanddeliveryofananchorhandlingtugsupplyvesselandthreechemicaltankers,aswellasthesubstantialcompletionofthetwoaccommodationbargesduringtheyear,significantportionoftheaddedcostswastakenupin2011.

Inadditiontothis,ourshareofprofitfromassociateswassmallerwiththecompletionoftheNewGenerationPatrolVesselsProject.

TheGroup’sgearingratioof0.88timesrosefromthepreviousfinancialyear(2010:0.47times)andthisisreflectedinthehigherfinancialcostsrecorded.Thenewborrowingswereutilisedtopurchasethethreechemicaltankersandtodevelopbusinessopportunitieswhichwebelievewillprovidepositivereturnsinthefuture.

In2011,BousteadPenangShipyardSdnBhdrecordedamilestonewhenitsuccessfullybuiltanddelivereditsfirstshipwithDP2requirements.The67.8metreanchorhandlingtugsupplyvessel isproofofourcapability inmeetingtheever increasinglysophisticatedneedsofourclients.

Followingcloseonitsheelswasourefforttobuildtwoaccommodationbargeswhicharecurrentlynearingcompletion.Theprocess involved loadingoneof the1,500 tonneaccommodationmoduleontoabargebeforeweldingthetwostructurestogether.Animagedepictingthisprocedurecanbefoundonpage14.Thismanoeuvre,closelymonitoredwithastrictcontrolofthe module’s al ignment and movement, tookapproximatelysixdays,andutilisedmorethan100stafftocomplete.

YourGroupislookingtoexpanditscommercialproductsportfolioto includesmallervesselssuchastugsandworkboats,seismicsurveyvesselsandsmallercrafts.Tothisend,BHIChasteamedupwithMacduffShipDesignLimitedtoensuretheneedsofexistingandpotentialclientsaremet.Macduff,aUKbasedcompany,willprovidethelatestdesignsforcommercialvesselssuchasharbour tugs,workboats,MultiMac’s,pilotvesselsandgeneralharboursupportcraftwhichwillbeconstructedatanyoneofourlocalyards.

InDecember 2011, theGroup’s associatecompanyBousteadNavalShipyardSdnBhd(BNShipyard) received theLetterofAwardfrom the Government for the design,construct ion, equ ipp ing , insta l la t ion,integration, testsand trials,commissioninganddeliveryofsixSecondGenerationPatrolVesselswith Littoral Combat Capabilities(SGPV-LCS).TheseFrigateclassvesselswillhostadvanceddefencesystemswiththree-dimensionalwarfarecapabilities.Thesevesselsarebiggerandfasterandmoresophisticatedthanthefirstgenerationpatrolvessels.Thefocusin2012willbeonfinalisingthedetaileddesignsanddrawingswhileensuringthatBNShipyardisabletoexecutetheproject’ssupplychainprogrammeseamlessly.InFebruary2011,BNShipyardstrengtheneditsresource base by organizing an industrialbriefingtoarticulate thenation’saspirationsandobjectivesoftheSGPV-LCSproject tostakeholders.Thiseventwassupportedbymorethan650vendorsandrepresentativesfromtheMinistryofDefenceandtheRMN.

Theseobjectivesincludeincreasinglocalcontentfromthe30%achievedduringthefirstpatrolvesselsprojecttoupto60%.Localcontent isdefinedassupplyandservicesobtainedfromMalaysiancompaniesintheareasofdesign,componentsmanufacturing,systemsinstallation,customisation,systems integrationandsoftwaredevelopment.To thisend,BNShipyarddevelopedtheMalaysianIndustryParticipationStrategytoidentifyandspearheadeffortstowardsachievingthistargetthrougheffectivetechnologytransfer,jointventuresaswellasresearchanddevelopment.Withthesuccessful implementationofthesestrategies,welookforwardtoanintegratedlogisticspackageforaneffectivethrough-lifesupportfortheSGPV-LCSfleet,whileenhancingthecompetencyof local industries,especially inhigh-technologyandvalueaddedareas.

Duringtheyear,BYOMarineSdnBhd(BYOMarine)madeheadwayinitsprojecttodelivertenfast interceptorcrafts (FIC) to theMalaysianMaritimeEnforcementAgency (MMEA).TheadvancedcompositestructureoftheFICshasmadeitpossibleforthedeliveryofoneofthefastestknownplatformsofitssize,andentailstheuseofnewtechnologyinMalaysia.ThefirstfourofthetenFICswereconstructedatourjointventurepartner’spremisesatIstanbul.Duringtheperiod,weensuredthattransferoftechnologywaseffected.WearegladtoreportthatBYOMarinerecentlyreceivedISOcertificationforitscapabilityintheconstructionofcompositeboatsofupto44metres,andfortheprovisionoftheassociatedaftersalessupport.

In2011,threeboatswerecompletedandhandedovertoMMEA.On5December2011, theDeputyPrimeMinister launchedthefirstMalaysianbuiltFICatBYOMarine’spremisesinLangkawi.

Weareactivelymarketingthecrafttoothercountriesintheregion.TheGroup’sactiveparticipationinthe11thLangkawi International Maritime and AerospaceExhibition2011 (LIMA)provedbeneficial, sincewereceivedanumberofenquiriesfromvariousASEANandAfricannations.

In 2011, we continued to leverage on ourMROcapabilitiesbyundertakingvariousprojectsthroughourGroupofcompanies.

BesidesshiprepairandmaintenanceworkattheBNShipyard,aconsiderablenumberofman-hourswerededicatedtotherefitofRMNvesselsandtheServiceLife Extension Programme (SLEP). In 2011, KDMAHAWANGSA,KDJEBAT,KDGANYANGandKDLAKSAMANAMUHAMMADAMINcompleted theirrefitsandwerehandedover, leavingtworemainingshipsattheyardundergoingtheprogramme.

In-servicesupport (ISS)ofnavalvessels isprimarilyprovided by BHIC Navaltech Sdn Bhd (BNT) andBousteadDCNSNavalCorporationSdnBhd(BDNC).BNTprovidesISSforvariousRMNvesselsstationedinLumut, Kuantan and Kota Kinabalu, while BDNCspecialises in repairsandmaintenancework for thenation’stwosubmarines,KDTUNKUABDULRAHMANandKDTUNRAZAK.

During the year, weaponry related repairs andmaintenance work were carried out by our twosubsidiaries,BHICBoforsAsiaSdnBhdandBHICDefenceTechservicesSdnBhd.Theformerprovidedthrough-lifesupport includingsparepartssupply,totalmaintenanceandtrainingforvarioustypesofBOFORSnavalguns,whereasthelatterspecialisesinprovidingweaponrysolutionstotheMalaysianArmy.

BHICMSMSdnBhd(BHICMSM),ajointventurecompanywithintheGroup,providesrepairandmaintenanceservicesforMTUFriedrichshafenGmbH’sproducts,uptodepotlevel,forusersinMalaysiaandBruneiDarussalam.Forthefinancialyearunderreview,BHICMSMcompletedsomeworkfortheRMN.DominionDefenceIndustriesSdnBhd,atradingcompanybasedinLumut, inadditiontoitscoreactivitiesofservicingtherequirementsoftheMalaysianArmedForces,hasembarkedonvariouscommercialjobstobroadenitsrevenuebase.

BHICElectronicsandTechnologiesSdnBhd(BEAT)andAtlasDefenceTechnologySdnBhd(ADT),twoentitiesinvolvedinprovidingmaintenanceforelectronicssystems,successfullyundertookvarious repairsandmaintenanceprojects. Inaddition to this,BEATprovided trainingonHFScimitarRadioandDigitalRadioRelayatKemRegimenPerhubunganStrategikoftheArmedForces,atSungaiBuloh.

BEAT’sCalibrationLaboratorywasawardedtheAccreditationCertificateofISO/IEC17025bytheDepartmentofStandardsMalaysia. Inprioryears,ADThadcompletedthe installationandcommissioningoftheRMN‘sBridgeShiphandlingSimulator(BSS)forRMN’strainingcentre,KDPELANDOK,aswellastheActionSpeedTacticalTrainer(ASTT)fortheRMN’sMaritimeTacticalCentre,PUSTAKMAR.ADT iscurrentlysupplyingsparesandprovidingservices for theseproducts,whiledevelopingitsowncombatmanagementsystemfornichemarkets.

BousteadLangkawiShipyardSdnBhd(BLS)continuedtofocusonyachtrepairsaswellasservicingthelocalmarinesectorwhichincludesferriesandothercommercialvessels.

Inanefforttodiversifyitsbusinessportfolio,theGroupventuredintoaerospaceMROservicesthroughBHICAeroservicesSdnBhd(BHICAS).In2011,BHICASconcentratedonplanningandobtainingapprovalsfromrelatedagenciesbeforecommencingitssub-contractingworkfromEurocopterMalaysiaSdnBhdwhichisexpectedtotakeoffin2012.Thecompanyhassetupatemporaryfacility inTerminal3,SubangSkyparkwhilstapermanentMROCentre isbeingdevelopedinthenewSubangHelicopterCentre.

TheGroup’smanufacturingarm,ContravesAdvancedDevicesSdnBhd (CAD),our jointventurecompanywithRheinmetallAirDefenceAG, performedwell despite the loomingEuropeaneconomiccrisis inthesecondhalfof the year. A signing ceremony for aManufacturing LicensingAgreementwithanAmerican company took place in 2011whereCADwas approvedas thecontractmanufacturerofthecompany’sproducts.

CADalsosuccessfullyinitiatedcustomerbasediversification, from industrial electronicsmanufacturingtohighervaluemanufacturingand systems integration activities for theaerospaceaswellasdefencemarkets.DuringtherecentLIMA,CADandRheinmetallDefenceElectronicsGmbHofGermanyenteredintoanagreementtomanufactureandsupplyCargoLoadingSystemAssembliesforAirbusA400M,A380 andA330 aircrafts.The agreementincludesacomprehensivetechnologytransferprogrammeand investment innewstate-of-the-art facilities for aerospaceelectronicsmanufacturing.

InMay2011,BHICDefenceTechnologiesSdnBhdsignedaJointVenture&ShareholdersAgreementwithProkhasManagersSdnBhd,resultingintheincorporationofthejointventurecompany,PyrotechnicalOrdnanceMalaysiaSdnBhd.TheBentong-basedplantwillmanufactureanddistributedouble-basedartilleryandrocketpropellantstothelocaldefenceindustryonceitisfullyoperational.

Despitethedowncycleintheshippingindustry,BHICPetroleumSdnBhd’schemicaltanker,MTCHULAN1,successfullysecuredatimechartercontractwithAsahiTankerCoLtd,acharteringcompanyfromJapan.MTCHULAN2isexpectedtocommencecharteringinthenearfuture.

Another importantservicethatyourGroupoffers iseducationandtraining,whichisprimarilyprovidedbytheMarineTechnologyAcademy(MTA).Since1999,MTAhasbeenthefocaltraininggroundforstaffaswellasRMN’spersonnel.InarecentcollaborationwithUniversitiTeknologiMalaysia,33techniciansfromtheRoyalNavyofOmancompletedtheirtrainingwhere10wereawardedtheExecutiveDiplomainNavalEngineering,while23othersreceivedtheirexecutivecertificatesinNavalTechnology.Inadditiontothis,12officersfromtheRoyalNavyofOmanattendedtheEngineeringApplicationCoursewhichwasfullydevelopedanddeliveredbyMTA.

TRANSFORMATION INITIATIVES

TheBHICStrategicTransformationWorkPlanwasestablishedduringtheyear,markingthestartingpointinestablishingtherightfundamentalsfortheGroup.ThetransformationdrivefortheyearstartedoffwiththeManagingDirector’stownhallengagementinLumut,followedbyPulauJerejak,Langkawi,KotaKinabaluandtheGroup’sheadquartersinMenaraBoustead,KualaLumpur.ThisWorkPlanisanessentialelementofBHIC’sorganisationrebuildingprogrammethroughtheestablishmentofastructuredcommunicationsplatform.Theinitiativenowincludestheannouncementofnewstaff,birthdaysandcelebrationsaswellasstaffcirculars.AGroupPolicyTaskForcewassetuptointroduceBHIC’sPolicies,ProcessesandProcedures(BHIC-3P)andtocompileacomprehensiveBHICGroupPolicyManual.

TheGroupaimstoofferemployeesaclearandcrediblecareerpathwithenhancedevaluationprocessesandinitiativeswhichwillfocusontheprovisionofimprovedtraininganddevelopmentprogrammes.Thiswillhelp theGroupretain thecreamof thecropto realise itsstrategicobjectives.

BHIC’scorevaluesandcorecompetencieswerereemphasized,furtherdefinedandrolledoutviaaGroup-wideseriesoftownhallmeetingsinearly2011tocommunicatetheexpectedbehaviouralnormsforeveryonewithintheGroup.NewPerformanceDevelopmentReviewformswereintroducedandrolledout inNovember2011,accompaniedbya“competencydictionary”fordeliverables-basedassessments.Inadditiontothis,acomprehensivereviewofthecompensationandbenefitsstructurewaslaunchedinDecember2011toassistinrealisingsomeoftheidentifiedstrategicobjectivesoftheGroup.

DevelopingpotentialtalentisimportanttotheGroup.Tothisend,wesignedanagreementwithMIGHTMETEORAdvancedManufacturingSdnBhd,ahumancapitaldevelopmentcentreestablishedwithintheorganizationofMalaysianIndustry-GovernmentGroupforHighTechnology(MIGHT), tofacilitatethedevelopmentofnewcontributorstowardsourongoingcorporatesustainability.

Theagreementwasfor the intakeof freshtop-notchengineeringgraduatesfor theYoungEngineersScheme(YES).Afteranorientationphase inKualaLumpur, thesetraineeswere

WiththisunrelentingfocusonCIprojects,thethreelocalshipyardshaveregisteredtangiblecostsavingsandprofitimprovements during the year under review andweanticipate the involvementofotherbusinessunits tocontinuetheirinitiativesorbegintheprocessofchallengingthestatusquo,withtheaimofsecuringbroadoperatingimprovements.

PROSPECTS

ThemaritimesectorhasthepotentialofbeingasignificantdriverofMalaysia’seconomyasitpavesitswaytowardsbecomingafullydevelopednation.Thissectorcangeneratehigh-incomeandknowledge-basedactivities,whilecreatingemploymentopportunitieswithintheindustry.WehaveplayedourpartthebestwaypossiblesinceBHIC’srelisting,wehaveovercomelegacyissuesandarenowatthedawnofanewphase.Toreachthispoint,thedriveforoperationalefficiencywassupportedbytheimplementationofindustrybestpracticesandtheintroductionof integratedshipbuildingsoftware,coupledwithautomationofprocesses.Tomaintainourpositionasaleaderintheregionalmaritimeindustry,BHICwillcontinuefocusingongrowingthebreadthanddepthofourproductsandservices.

ThelaunchoftheMalaysianShipbuilding/ShipRepairIndustryStrategicPlan2020inDecember2011wasalsotimelyas itarticulatedthepotentialmarketthatcanbetappedbydomesticindustryplayers.Theplan is realistic in its targetsandshouldprovidean impetus forallstakeholderstocometogether,sinceitaimstogenerateRM6.35billioningrossnationalincomeandcreate55,000jobopportunitiesforthemaritimeindustry.

VENDOR DEVELOPMENT

Wearededicatedtomaintainstrategicpartnershipswithourvendorsbyfacilitatingtheskillsdevelopmentofsmallandmediumsizeenterprisesintheareasofshipbuildingandshiprepairactivities,aswellassupplyandmanufacturingofmaritimedefencerelatedproducts.

TheGroupVendorDevelopmentDivision (GVDD)hasworkedcloselywithanumberofgovernmentbodies,particularlytheMinistryofInternationalTradeandIndustry,theEntrepreneurDevelopmentDepartmentandothergovernmentagenciessuchasKulimTechnologyParkCorporation(KTPC),TechnologyParkMalaysiaandSIRIMBerhad inrelationtoour long-termdevelopmentplanfor localvendors.GVDDhasfosteredrelationshipswithotherGovernmentLinkCompanies(GLCs)byattendingperiodicdiscussionsunderthepurviewoftheGLCVendorDevelopmentProgrammeCircle.ThepurposeofthesediscussionsistoformulateandstrategisefurtheradvancementsofthevendorsundereachGLC’sumbrella.

Duringtheyear,wecoordinatedtheparticipationofseveralvendorsinindustrialexhibitions,aswellasbriefingsinpreparationfortheupcomingSGPV-LCSproject.ThesebriefingsallowedBNShipyardtoidentifyseveralvendorsthatwereinneedofadditionaltrainingwhichiscrucialtothesuccessoftheproject.Subsequently,GVDDassistedinobtainingatraininggranttobearthecostsforeducationalprogrammes in theareasofprojectmanagement,businessstrategy,financialplanningandtheapplicationofadesignsoftware.

InJune2011,19participantsfrom10BNShipyardvendorstookpart inasixmonthBusinessCoachingandMentoringProgrammesponsoredbyKTPC.Theobjectivewastodevelopthebusinessmanagementcompetenciesofvendorsand increasetheircompetitiveness inthemarketplace.Theprogrammewassuccessfullyconcludedwithallparticipantsgraduating inDecember2011.
