In the past 24 months, N5R has helped sell out over 20 projects with

PROJECT BACKGROUND Monte Cristo (working name) is a fractional ownership resort located on the Mayan Riviera in Cozumel, Mexico. Mayan architecture is abundant, with columns inscribed with ancient Mayan writings and rich marble and travertine floors. Condo offerings include 2BR and 3BR units, as well as a stunning 5BR penthouse.

125 fractional units of 28 days are to be made available. Every bedroom has satellite television, large flat screen LCD/HD televisions, and immaculate kitchens with up to the minute modern black and stainless steel appliances. Each living room has a 50” large flat screen HDTV with surround sound. Every suite has at least 300 sq. ft. of decks with hammocks so you can see either the activities at the pool or the beach. The bedrooms are heaven with contemporary comfortable king size beds to recover from the days activities. There is recessed lighting to enhance the mood after hours, communications in every room via wireless network with voice over Internet phone service and computer capabilities.

Cozumel, Mexico is an island located just off the Eastern coast of the Yucatan Peninsula, within the Gulf of Mexico. With a population of a little over 75,000, the island now welcomes more than 2,500,000 visitors every year and is considered one of the most important tourist destinations in Mexico.

With Luxury hotels and first class facilities and services, Cozumel offers its visitors a wide variety of things to do and places to stay. Cozumel is world renowned for its diving because of the second largest reef in the world, and attracts SCUBA lovers from all over the world all year long.

Mexico’s culture is well known for big celebrations. Religious and national celebrations are planned and enjoyed by all Mexicans. Most of these celebrations involve food, parades, flowers, and a very particular way of celebrating each festivity. Prior to joining N5R, she was Sr. Account Manager, East Coast for Montecito Properties based in Jacksonville, Florida. She was in charge of overseeing all marketing for their East Coast properties. Dell currently resides in St. Augustine, Florida with her husband and daughter.

JEFF POLLOCK, Project Manager

Jeff has over 12 years of project/account management experience, all within the marketing client service industry. His concentration has been within CRM/loyalty programs. Prior to starting with N5R, he was Account Supervisor at Ryan iDirect in Wilton, Connecticut where he managed the Dove Dimensions CRM program for Unilever. Other clients he has worked with include Coca Cola, US Smokeless Tobacco, Masterfoods, Mars, Chase Financial, Holiday Inn, Priority Club, British Airways and Yankee Candle.

DEBI QUILLA, Creative Director

With over 20 years in this business, Debi has advertised and marketed everything from hamburgers to TV stations, hotels to lipstick, airlines to casinos. Prior to joining N5R, she spent several years with DDB Needham Worldwide in Hong Kong creating campaigns for STARTV, Hotel Nikko, Omni Hotels, McDonalds Asia Pacific, and Polygram Records. Grey Direct took her to London and creative partnerships with British Airways, and Martini & Rossi. After returning home to to San Diego she developed marketing campaigns for the Las Vegas Hilton, Flamingo Hilton, Barona and Vejas Indian gaming Casinos. Debi is a passionate and motivated professional who strives to do great work and have a lot of fun along the way.

N5R will develop an integrated campaign. The following describes the milestones of the process:

Campaign Agreement: A formal contract that authorizes N5R to commence developing and deploying services listed above, prepared by N5R and signed by the Client.

Initial Deposit: Payment by the Client of all amounts due at signing and a retainer of $100K for media expenses and third party costs. Failure to comply will delay execution of the project.

Project Flow Document: Project time lines in diagram format will visually represent the tasks, resources, and due dates for each of the project milestones.

Graphic Design/Creative: Design concepts for approval of each of the following:

• Web sites • Direct Mail cards and E-mails for broadcast • Print and Online Ads

Copy: Documents containing creative copy for each of the advertising pieces and collateral.

PR Media Plan: (if determined relevant to project) A comprehensive document containing proposed strategy for the execution of a Public Relations campaign.

Media Budget: A complete media plan based on the final approved budget, allocating resources to the different available media channels and estimating response per media.

Media Execution Reports: A periodic report evaluating the performance of the selected media channels and containing suggestions to adjust the Media Budget.

Final Reports: Copies of all produced advertising material will be submitted to Client for their records.

DELIvERABLES

The following are key deliverables based on the final executed marketing plan. The list will be expanded or adjusted as needs arise during the term of the final agreement.

CORE BRAND SUPPORT MATERIALS DESIGN

The following materials will be designed at the outset to serve as the foundation of the marketing communication program: Website improvements which may include Broker & Consumer sites with Video components; Property Flyers/Sales Sheets (if needed,)

Includes two (2) sets of revisions. A 20% contingency fee will be applied for revisions above stated number. Fees do not include art, photography, production or other third-party expenses. Website hosting & domain registration, if required, will be billed separately.

direct mail and email design Concepts and graphic design for a series of Direct Mail and E-mail pieces to consumers, brokers and investors (if determined applicable). Does not include photos, printing, postage or e-mail deployment.

program management Ongoing management of all activities through a dedicated Project Manager/Account Executive. Provides 80 program management hours per month. Additional hours are billed at $195 per hour.

media planning and buYing Creation and execution of Media Plan. Outlets may include online, radio, print, TV and direct mail.

Video production Concept, script and development of videos for web, e-mail and television (if applicable).

eVent production and eXecution Development and execution of Broker/Realtor Event, VIP Event and/or Grand Opening Consumer Event.

Please reserve a 2-day, comprehensive strategy session with N5R Realty Advisors. We understand our date will be predicated on the availability of both parties on the requested date.

This letter will initiate intent for N5R Realty Advisors to provide strategic direction on your project.

Scope of Services:

Roman Bodnarchuk and key staff will lead a senior level strategy meeting to discuss strategies and marketing direction for the your project. This meeting will include key staff from your advertising and sales teams. The focus will be to discuss and recommend key strategies and tactics to increase sales for the project and establish a strong branding campaign.

Items that will be reviewed include: targeted buyers, market segments, targeted themes, creative direction, media buys, investors, consumers, realtor programs, nontraditional advertising, sales effectiveness, sales training and additional strategies to increase traffic to the project and sales.

The outcome will be to provide your team with a solid market plan with specific directions and recommendations to sell more units.

Compensation:

N5R consultants to spend TWO DAYS on-site with your staff and associates providing marketing consulting services.

The total fee for the services provided over a 2-day period will be $25,000 USD. Additional services requested by the client after our initial session will be proposed to the client for their review and approval.

If this correctly sets out an appropriate letter of intent for consulting services, please sign and acknowledge below and return a signed copy to us as confirmation. Additionally, please note below that a date cannot be confirmed until this letter has been received by N5R.

As soon as we recieve a signed contract and a 50% deposit, the date for your strategy session will be scheduled. The balance is payable on the date of the meeting.
