REQUEST FOR PROPOSAL FOR PROFESSIONAL SERVICES

TITLE: ELECTRIC DISTRIBUTION ESTIMATING AND DETAIL DESIGN 1. INTRODUCTION The City of Santa Clara Department of Electric Utility, Silicon Valley Power (SVP), seeks to engage a consultant to provide electric distribution estimating and detail design. SVP operates an electric distribution utility with a service territory that overlays the Santa Clara, California city limits. SVP works with new applicants and existing customers to provide or upgrade electrical services. Due to the quantity of applications, SVP considers it necessary to use the services of an outside engineer to provide design services for the identified work. Minimum requirements of Firms and detailed description of required services are included in Attachment A – “Scope of Work/Services.” 2. ATTACHMENTS The attachments below are included with this Request for Proposals (“RFP”). The items identified with an asterisk (*) must be completed, signed by the appropriate representative of the company, and returned with the submittal. INSTRUCTIONS TO PROPOSERS 3.1. Pre-proposal Conference. There is NO pre-proposal conference scheduled for this solicitation. 3.2. Examination of Proposal Documents. The submission of a proposal shall be deemed a representation and certification by the Proposer that they:

3.2.1. Have carefully read and fully understand the information that was provided by the City to serve as the basis for submission of this proposal.

3.2.2. Have the capability to successfully undertake and complete the responsibilities and obligations of the proposal being submitted.

3.2.3. Represent that all information contained in the proposal is true and correct. 3.2.4. Did not, in any way, collude, conspire to agree, directly or indirectly, with any

person, firm, corporation or other Proposer in regard to the amount, terms or conditions of this proposal.

3.2.5. Acknowledge that the City has the right to make any inquiry it deems appropriate to substantiate or supplement information supplied by Proposer, and Proposer hereby grants the City permission to make these inquiries, and to provide any and all related documentation in a timely manner.

No request for modification of the proposal shall be considered after its submission on grounds that Proposer was not fully informed of any fact or condition.

3.3. Questions.

Any questions by the Proposer regarding this RFP or the project must be emailed no later than 3:00 p.m. on Tuesday, March 28, 2017 (PST). Correspondence shall be emailed to Jennifer Shelton at [email protected] The City shall not be responsible for nor be bound by any oral instructions, interpretations or explanations issued by the City or its representatives. Responses from the City to questions by any Proposer will be communicated in email to all recipients of this RFP. Questions received after the date and time stated above will not be accepted. 3.4. Addenda. Any addenda issued by City shall be emailed and shall be acknowledged and responded to by Proposer. 3.5. Submission of Proposals. All proposals shall be submitted to: City of Santa Clara Silicon Valley Power Attention: Diana Shiles 881 Martin Avenue Santa Clara, CA 95050 Proposals must be delivered no later than 3:00 p.m. on Tuesday, April 18, 2017. All proposals received after that time will be returned to the Proposer unopened. The Proposer shall submit one (1) “hard” paper copy of its proposal, clearly marked “Original”, in a sealed envelope plus one (1) electronic digital copy addressed as noted above, bearing the Proposer’s name and address clearly marked, “RFP FOR ELECTRIC DISTRIBUTION ESTIMATING AND DETAIL DESIGN”. 3.6. Withdrawal of Proposals. A Proposer may withdraw its proposal at any time before the expiration of the time for submission of proposals as provided in the RFP by emailing a request for withdrawal signed by, or on behalf of, the Proposer to Jennifer Shelton at [email protected]. 4. RIGHTS OF THE CITY OF SANTA CLARA This RFP does not commit the City to enter into a contract, nor does it obligate the City to pay for any costs incurred in preparation and submission of proposals or in anticipation of a contract. The City reserves the right to:

Make the selection based on its sole discretion; Reject any and all proposals; Issue subsequent Requests for Proposals; Postpone opening proposals for its own convenience; Remedy errors in the Request for Proposals process; Approve or disapprove the use of particular subconsultants; Negotiate with any, all or none of the Proposers; Accept other than the lowest offer; Waive informalities and irregularities in the Proposals; and/or Enter into an agreement with another Proposer in the event the originally selected Proposer

defaults or fails to execute an agreement with the City. An agreement shall not be binding or valid with the City unless and until it is approved by the City Council, if so required, and executed by authorized representatives of the City and of the Proposer. 5. The City reserves the right to add, remove or combine steps in the timeline, and/or compress or extend the timeline as the City, in its sole discretion, sees fit. 6. INFORMATION TO BE SUBMITTED These guidelines govern the format and content of the proposal, and the approach to be used in its development and presentation. The intent of the RFP is to encourage responses that clearly communicate the Proposer’s understanding of the City’s requirements and its approach to successfully provide the products and/or services on time and within budget. Only that information which is essential to an understanding and evaluation of the proposal should be submitted. Items not related to the RFP and proposal, e.g., generalized brochures, marketing material, etc., will not be considered in the evaluation. All proposals shall address the following items. The proposals must address the items in the order listed below, and shall be numbered 1 through 7 in the proposal document. Please include a Table of Contents preceding the Chapters. Chapter 1 – Proposal Summary. This Chapter shall discuss the highlights, key features and distinguishing points of the Proposal.

A separate sheet shall include a list of individuals and contacts for this Proposal and how to communicate with them. Limit this Chapter to three (3) pages, including the separate sheet. Chapter 2 – Profile on the Proposing Firm(s). This Chapter shall include a brief description of the Prime Proposer’s firm, including firm name, address, phone number, email address and primary contact person; brief firm history, including the current permanent staff size as well as local organization structure; and, a discussion of the firm’s financial stability, capacity and resources. Additionally, this section shall include a listing of any claim, lawsuit or litigation and the result of that action resulting from (a) any public project undertaken by the Proposer either as a contractor or subcontractor or by its subcontractors where litigation is still pending or has occurred within the last five years, or (b) any type of project where claims or settlements were paid by the consultant or its insurers within the last five (5) years. Chapter 3 – Qualifications of the Firm. This Chapter shall include a brief description of the Proposer’s qualifications and previous experience supplying like services and/or equipment to similar public agencies. Include all areas of expertise, scope of services provided, and relevant experience, including description of each project, role of professional for that project and date completed. Include product provided, the total project cost, the period over which the provision and training was completed, and the name, title, phone number and email address of clients to be contacted for references. Give a brief statement of the firm’s adherence to the schedule and budget for each project.

The Proposer shall identify if it meets the qualifications (education and experiences, licenses, other requirements) listed below. EDUCATION AND EXPERIENCE Minimum Requirements: • Graduation from high school or possession of a GED; and • Equivalent to completion of sixty (60) semester units in engineering or a related field from an accredited college or university. • Experience in, and proficiency in using AutoCAD 2016 software application.

Possible Substitutions: • Experience as an estimator, engineering assistant, or engineering technician in a public or private electric utility may be substituted for the required college coursework on a year for year basis (30 semester units being equivalent to one year of experience).

LICENSE Possession of an appropriate, valid California Class C driver's license is required at time of appointment.

OTHER REQUIREMENTS Must be able to perform all of the essential functions of the job assignment.

GIS knowledge is desired, but not required.

Knowledge, Skills, and Abilities: Knowledge of: • Methods, materials and equipment used in construction and maintenance of overhead and underground electric distribution facilities. • Pertinent laws, rules, regulations, codes and safety orders. • Theory and principles of electricity as applied to circuits and wiring systems. • Environmental, storm water pollution prevention program and safety practices, procedures and standards. • Principles of cost estimating. • Mathematics commonly used in electrical estimating including algebra, geometry and trigonometry. • Computer Aided Design and Drafting tools (e.g., AutoCAD) and techniques. • Project management, including managing multiple projects simultaneously. Ability to: • Interpret pertinent laws, rules, regulations, codes and safety orders. • Demonstrate proficient computer skills, including but not limited to Microsoft Word and Excel. • Demonstrate oral and written communication, organization, time management and negotiation. • Plan and lay out installation of new electrical facilities. • Prepare new or modify electrical plans and specifications, and make accurate estimates of time, costs, and quantities for construction, installation, and maintenance of electric distribution facilities. • Format and assemble plans and specifications. • Effectively handle multiple priorities, organize workload, and meet strict deadlines. • Make mathematical calculations commonly used in electrical estimating. • Make field observations and transfer the information to design drawings. • Prepare drawings utilizing computer aided drafting tools. • Negotiate easements and right-of-way. • Obtain appropriate related encroachment permits from various entities including, but not limited to Caltrans, City of Sana Clara, County of Santa Clara, Santa Clara Valley Water District, Union Pacific Railroad, and Valley Transportation Agency. • Work cooperatively with those contacted in the course of work, including the general public and City employees. • Work in a team-based environment to achieve common goals. • Communicate clearly and effectively, both orally and in writing. • Understand and carry out oral and written instructions. • Read, interpret, and work from plans, diagrams, and sketches. • Prepare routine correspondence. • Maintain accurate records, files, and reports. • Perform work indoors and outdoors throughout the year. • Walk or stand for extended periods of time. • Bend, stoop, reach, carry, crawl, climb, and lift as necessary to perform assigned duties. • Lift 175 pounds, with assistance, once or twice a week. Personnel selections will be made by the Consultant and approved by SVP. Substitutions must be approved by SVP. Consultant shall have at least five (5) years of experience designing new electric distribution systems and reconstruction of existing electric distribution systems in an urban environment.

Consultant shall demonstrate experience and familiarity working with municipal electric utility operations.

Five (5) references from clients with similar projects must be submitted along with the names and telephone numbers of contact persons. Chapter 4 –Product Description, Work Plan or Proposal. This Chapter shall present a well-articulated service plan. Include a full description of major services provided, tasks and subtasks. This section of the proposal shall establish that the Proposer understands the City’s objectives and work requirements and Proposer’s ability to satisfy those objectives and requirements. Succinctly describe the proposed approach for addressing the required services, providing the required product and the firm’s ability to meet the City’s schedule, outlining the approach that would be undertaken in providing the requested services. Describe the project understanding, detailed project approach and methodology. List specific proposed services and support and training services to be provided. Chapter 5 – Project Staffing. This Chapter shall discuss how the Proposer would staff this project. Key personnel will be an important factor considered by the review committee. Changes in key personnel may be cause for rejection of the proposal. Include proposed project management structure, including identification of the project consultant and individuals that will be assigned to the project. Chapter 6 – Proposal Exceptions. This Chapter shall discuss any exceptions or requested changes that Proposer has to the City’s RFP conditions, requirements and agreements. If there are no exceptions noted, it is assumed the Proposer will accept all conditions and requirements identified in Attachment D –“Agreement for Services” and Attachment E – “Confidentiality Agreement.” Items not excepted will not be open to later negotiation. Chapter 7 – Proposal Costs Sheet and Rates. Proposers are required in include hourly rates for each classification that may be billed. Include any cost and price information, plus a not-to-exceed amount, that would be contained in a potential agreement with the City. Attachment F – “Sample Cost Proposal Format,” is included and should be used by all Proposers. The hourly rates may be used for pricing the cost of additional services outlined in the Scope of Work/Services. The cost of the project, including the total hours and hourly rates by staff classification, and the resulting all-inclusive fee for the project must be included. Fees must include all anticipated costs, including travel, per diem, and out of pocket expenses. Please note the City of Santa Clara does not pay for services before it receives them. Therefore, do not propose contract terms that call for upfront payments or deposits.

7. CONTRACT TYPE AND METHOD OF PAYMENT It is anticipated that the agreements resulting from this RFP, if awarded, will be an Agreement for Services with at least a three (3) year term. The method of payment to the successful Proposer shall be for services provided based on established rates for services (Weekly Rates, Monthly Rates, etc.) with a maximum “not to exceed” fee as set by the Proposer in the proposal or as negotiated between the Proposer and the City as being the maximum cost to perform all work. This figure shall include direct costs and overhead, such as, but not limited to, materials, delivery,

transportation, communications, and any subcontracted items of work. Proposers shall be prepared to accept the terms and conditions of the Agreements, including Insurance Requirements in Exhibit C. If a Proposer desires to take exception to the Agreements, Proposer shall provide the following information in Chapter 7 of their submittal package. Please include the following:

Proposer shall clearly identify each proposed change to the Agreements, including all relevant Exhibits.

Proposer shall furnish the reasons for each proposed change, as well as specific recommendations for alternative language.

The above factors will be taken into account in evaluating proposals. Proposals that take exceptions to the proposed Agreements may be determined by the City, at its sole discretion, to be unacceptable and no longer considered for award. 8. INSURANCE REQUIREMENTS The selected Proposer(s), at Proposer’s sole cost and expense and for the full term of the agreement or any extension thereof, shall obtain and maintain, at a minimum, all of the insurance requirements outlined in Attachment D, Exhibit C. All policies, endorsements, certificates and/or binders shall be subject to the approval of the City of Santa Clara as to form and content. These requirements are subject to amendment or waiver, if so approved in writing by the City of Santa Clara. The selected Proposer agrees to provide the City with a copy of said policies, certificates and/or endorsement upon award of contract. 9. REVIEW AND SELECTION PROCESS - EVALUATION CRITERIA SELECTION

AND CONTRACTING PROCESS SVP staff and other reviewers will evaluate submitted qualifications. Interviews with the proposers may be held as part of the review process. Should SVP staff invite Proposers to interviews; the interviews will be 2 hours in length. SVP will request the Proposer’s interview team consist of not more than 3 persons. In addition to general questions, the interview team will be asked to perform 3 of the following tasks:

Cable pulling calculation Draw the framing of a pole in a tangent Draw a line and buck configuration Draw the guying Draw a 60kV transmission framing with a 12kV under build on a tangent pole Draw the cross section of an electric only trench Given a plan and profile insert a primary manhole in an existing trench Given a plan and profile identify the elements of a street improvement plan

Please reference Attachment G – “Estimate Drawing Standard” and Attachment H – “Installation of Underground Substructures by Developers” for the above tasks. SVP staff will also evaluate the proposals provided in response to this RFP based on the following

criteria:

Quality and completeness of proposal; Quality, performance and effectiveness of the solution, goods and/or services to be

provided by the Proposer; Proposer’s experience, including the experience of staff to be assigned to the project, with

engagements of similar scope and complexity; Cost to the City; Proposer’s financial stability and length of time in business; Proposer’s ability to perform the work within the time specified; Proposer’s prior record of performance with City or others; Proposer’s ability to provide future records, reports, data and/or services; and Proposer’s compliance with applicable laws, regulations, policies (including city council

policies), guidelines and orders governing prior or existing contracts performed by the contractor.

10. PUBLIC NATURE OF PROPOSAL MATERIAL Responses to this RFP become the exclusive property of the City of Santa Clara. At such time as the City awards a contract, all proposals received in response to this RFP become a matter of public record and shall be regarded as public records, with the exception of those elements in each proposal which are defined by the Proposer as business or trade secrets and plainly marked as “Confidential,” “Trade Secret,” or “Proprietary.” The City shall not in any way be liable or responsible for the disclosure of any such proposal or portions thereof, if they are not plainly marked as “Confidential,” “Trade Secret,” or “Proprietary,” or if disclosure, in the City’s sole discretion, is required under the California Public Records Act as addressed below. Any proposal which contains language purporting to render all or significant portions of the proposal “Confidential,” “Trade Secret,” or “Proprietary” shall be regarded as non-responsive. Although the California Public Records Act recognizes that certain confidential trade secret information may be protected from disclosure, the City of Santa Clara may determine, in its sole discretion, that the information that a Proposer submits is not a trade secret. If a request is made for information marked “Confidential,” “Trade Secret,” or “Proprietary,” the City shall provide the Proposer who submitted the information reasonable notice to allow the Proposer to seek protection from disclosure by a court of competent jurisdiction, at the Proposer's sole expense. 11. COLLUSION By submitting a proposal, each Proposer represents and warrants that its proposal is genuine and made in the interest of or on behalf of any person not named therein; that the Proposer has not directly induced or solicited any other person to submit a sham proposal or any other person to refrain from submitting a proposal; and that the Proposer has not in any manner sought collusion to secure any improper advantage over any other person submitting a proposal. 12. DISQUALIFICATION Factors, such as, but not limited to, any of the following, may disqualify a proposal without further consideration:

Evidence of collusion, directly or indirectly, among Proposers in regard to the amount, terms or conditions of this proposal;

Any attempt to improperly influence any member of the evaluation team; Existence of any lawsuit, unresolved contractual claim or dispute between Proposer and

the City; Evidence of incorrect information submitted as part of the proposal; Evidence of Proposer’s inability to successfully complete the responsibilities and

obligations of the proposal; and Proposer’s default under any previous agreement with the City.

13. NON-CONFORMING PROPOSAL A proposal shall be prepared and submitted in accordance with the provisions of these RFP instructions and specifications. Any alteration, omission, addition, variance, or limitation of, from or to a proposal may be sufficient grounds for non-acceptance of the proposal, at the sole discretion of the City. 14. GRATUITIES No person shall offer, give or agree to give any City employee any gratuity, discount or offer of employment in connection with the award of contract by the City. No City employee shall solicit, demand, accept or agree to accept from any other person a gratuity, discount or offer of employment in connection with a City contract. 15. FIRMS OR PERSONS NOT ELIGIBLE TO SUBMIT A PROPOSAL In order to avoid any conflict of interest or perception of a conflict of interest, Proposer(s) selected to provide professional services under this RFP will be subject to the following requirements: 15.1. The consultant or other entity who works on the procurement of these services will be precluded from submitting proposals or bids as a prime contractor or subcontractor.

15.2. The consultant or any other entity who participated in the procurement of these services shall not have a financial, ownership or other interest in any potential Proposer.

ATTACHMENT A Scope of Work/Services

A. Project Description The City of Santa Clara Electric Utility, Silicon Valley Power (SVP), seeks to engage a consultant to provide electric distribution estimating and detail design services B. Background SVP operates an electric distribution utility with a service territory that overlays the Santa Clara, California city limits. SVP works with new applicants and existing customers to provide or upgrade electrical services. Due to the quantity of applications, SVP considers it necessary to use the services of an outside engineer to provide design services for the identified work. Minimum requirements of Firms and detailed description of required services are included in Attachment A-Scope of Work/Services. C. Description of Required Services Under direction of an electric utility or power engineer, performs sub-professional engineering office and fieldwork involving laying out plans and specifications for construction and maintenance of electric utility distribution facilities, preparing cost estimates, obtaining easements and right-of-ways and does related work as required. Scope of Work/Typical Duties: • Prepares plans and specifications of electric utility distribution plant construction, maintenance or removal, such as underground residential/commercial developments, overhead and underground main feeder systems and transformer, capacitor, switching equipment installations or replacement. • Designs street lighting systems and prepares construction drawings. • Prepares sketches of work to be performed, including instructions for installation of materials and location of poles, anchors, guys, conduit systems, vaults, service boxes, transformers, etc. • Determines proper cable and wire sizes, transformer sizes and combinations for given loads on the distribution system. • Prepares cost, time, and material estimates for the construction, repair, rearrangement, and maintenance of overhead and underground utility facilities including distribution, street lighting, and metering, in accordance with the Public Utilities Commission (PUC) General Orders and City construction standards. • Conducts field surveys of project sites to determine the location of electric and other facilities and the impact of proposed changes. • Determines easement requirements and initiates easement requests. • Reviews and comments on building and public improvement plans. • Works with developers, consultants, contractors, property owners, and other utilities on proposed additions and changes to the City's electric utility system. • Communicates in writing with developers, consultants, contractors, property owners, and other

utilities regarding construction responsibilities and costs. • Provides customer information to the utility billing division. • Responds to questions and concerns from the public regarding the electric utility's activities/system and provides information related to methods and standards. • Maintains appropriate records of electric system facilities. • Prepares routine correspondence. • Performs other related duties as assigned. AGREEMENT FOR PROFESSIONAL SERVICES BY AND BETWEEN THE

CITY OF SANTA CLARA, CALIFORNIA AND

PREAMBLE

RECITALS

A. City desires to secure professional services more fully described in this Agreement, at Exhibit A, entitled “SCOPE OF SERVICES”; and

B. Contractor represents that it, and its subcontractors, if any, have the professional qualifications, expertise, necessary licenses and desire to provide certain goods and/or required services of the quality and type which meet objectives and requirements of City; and,

C. The Parties have specified herein the terms and conditions under which such services will be provided and paid for.

The Parties agree as follows:

AGREEMENT PROVISIONS

1. SERVICES TO BE PROVIDED.

Except as specified in this Agreement, Contractor shall furnish all technical and professional services, including labor, material, equipment, transportation, supervision and expertise (collectively referred to as “Services”) to satisfactorily complete the work required by City at his/her own risk and expense. Services to be provided to City are more fully described in Exhibit A entitled “SCOPE OF SERVICES.” All of the exhibits referenced in this Agreement are attached and are incorporated by this reference. Contractor acknowledges that the execution of this Agreement by City is predicated upon representations made by Contractor in that certain document entitled “*insert name of

2. TERM OF AGREEMENT.

Unless otherwise set forth in this Agreement or unless this paragraph is subsequently modified by a written amendment to this Agreement, the term of this Agreement shall begin on the Effective Date of this Agreement and terminate on *insert end date.

3. CONTRACTOR’S SERVICES TO BE APPROVED BY A LICENSED PROFESSIONAL.

A. All reports, costs estimates, plans and other documentation which may be submitted or furnished by Contractor shall be approved and signed by a qualified licensed professional in the State of California.

B. The title sheet for specifications and reports, and each sheet of plans, shall bear the professional seal, certificate number, registration classification, expiration date of certificate and signature of the professional responsible for their preparation.

4. QUALIFICATIONS OF CONTRACTOR - STANDARD OF WORKMANSHIP.

Contractor represents and maintains that it has the necessary expertise in the professional calling necessary to perform services, and its duties and obligations, expressed and implied, contained herein, and City expressly relies upon Contractor’s representations regarding its skills and knowledge. Contractor shall perform such services and duties in conformance to and consistent with the professional standards of a specialist in the same discipline in the State of California.

The plans, designs, specifications, estimates, calculations, reports and other documents furnished under Exhibit A shall be of a quality acceptable to City. The criteria for acceptance of the work provided under this Agreement shall be a product of neat appearance, well organized, that is technically and grammatically correct, checked and having the maker and checker identified. The minimum standard of appearance, organization and content of the drawings shall be that used by City for similar projects.

5. MONITORING OF SERVICES.

City may monitor the Services performed under this Agreement to determine whether Contractor’s operation conforms to City policy and to the terms of this Agreement. City may also monitor the Services to be performed to determine whether financial operations are conducted in accord with applicable City, county, state, and federal requirements. If any action of Contractor constitutes a breach, City may terminate this Agreement pursuant to the provisions described herein.

6. WARRANTY.

Contractor expressly warrants that all materials and services covered by this Agreement shall be fit for the purpose intended, shall be free from defect, and shall conform to the specifications, requirements, and instructions upon which this Agreement is based.

Contractor agrees to promptly replace or correct any incomplete, inaccurate, or defective Services at no further cost to City when defects are due to the negligence, errors or omissions of Contractor. If Contractor fails to promptly correct or replace materials or services, City may make corrections or replace materials or services and charge Contractor for the cost incurred by City.

7. PERFORMANCE OF SERVICES.

Contractor shall perform all requested services in an efficient and expeditious manner and shall work closely with and be guided by City. Contractor shall be as fully responsible to City for the acts and omissions of its subcontractors, and of persons either directly or indirectly employed by them, as Contractor is for the acts and omissions of persons directly employed by it. Contractor will perform all Services in a safe manner and in accordance with all federal, state and local operation and safety regulations.

8. BUSINESS TAX LICENSE REQUIRED.

Contractor must comply with Santa Clara City Code section 3.40.060, as that section may be amended from time to time or renumbered, which requires that any person who transacts or carries on any business in the City of Santa Clara pay business license tax to the City. A business tax certificate may be obtained by completing the Business Tax Affidavit Form and paying the applicable fee at the Santa Clara City Hall Municipal Services Division.

9. RESPONSIBILITY OF CONTRACTOR.

Contractor shall be responsible for the professional quality, technical accuracy and coordination of the Services furnished by it under this Agreement. Neither City’s review, acceptance, nor payments for any of the Services required under this Agreement shall be construed to operate as a waiver of any rights under this Agreement or of any cause of action arising out of the performance of this Agreement and Contractor shall be and remain liable to City in accordance with applicable law for all damages to City caused by Contractor’s negligent performance of any of the Services furnished under this Agreement.

Any acceptance by City of plans, specifications, construction contract documents, reports, diagrams, maps and other material prepared by Contractor shall not in any respect absolve Contractor from the responsibility Contractor has in accordance with customary standards of good professional practice in compliance with applicable federal, state, county, and/or municipal laws, ordinances, regulations, rules and orders.

10. COMPENSATION AND PAYMENT.

In consideration for Contractor’s complete performance of Services, City shall pay Contractor for all materials provided and services rendered by Contractor at the rate per hour for labor and cost per unit for materials as outlined in Exhibit B, entitled “SCHEDULE OF FEES.”

Contractor will bill City on a monthly basis for Services provided by Contractor during the preceding month, subject to verification by City. City will pay Contractor within thirty (30) days of City’s receipt of invoice.

11. PROGRESS SCHEDULE.

The Progress Schedule will be as set forth in the attached Exhibit F, entitled “MILESTONE SCHEDULE” if applicable.

12. TERMINATION OF AGREEMENT.

Either Party may terminate this Agreement without cause by giving the other Party written notice (“Notice of Termination”) which clearly expresses that Party’s intent to terminate the Agreement. Notice of Termination shall become effective no less than thirty (30) calendar days after a Party receives such notice. After either Party terminates the Agreement, Contractor shall discontinue further services as of the effective date of termination, and City shall pay Contractor for all Services satisfactorily performed up to such date.

13. NO ASSIGNMENT OR SUBCONTRACTING OF AGREEMENT.

City and Contractor bind themselves, their successors and assigns to all covenants of this Agreement. This Agreement shall not be assigned or transferred without the prior written approval of City. Contractor shall not hire subcontractors without express written permission from City.

14. NO THIRD PARTY BENEFICIARY.

This Agreement shall not be construed to be an agreement for the benefit of any third party or parties and no third party or parties shall have any claim or right of action under this Agreement for any cause whatsoever.

15. INDEPENDENT CONTRACTOR.

Contractor and all person(s) employed by or contracted with Contractor to furnish labor and/or materials under this Agreement are independent contractors and do not act as agent(s) or employee(s) of City. Contractor has full rights, however, to manage its employees in their performance of Services under this Agreement. Contractor is not authorized to bind City to any contracts or other obligations.

16. NO PLEDGING OF CITY’S CREDIT.

Under no circumstances shall Contractor have the authority or power to pledge the credit of City or incur any obligation in the name of City. Contractor shall save and hold harmless the City, its City Council, its officers, employees, boards and commissions for expenses arising out of any unauthorized pledges of City’s credit by Contractor under this Agreement.

17. CONFIDENTIALITY OF MATERIAL.

All ideas, memoranda, specifications, plans, manufacturing procedures, data, drawings, descriptions, documents, discussions or other information developed or received by or for Contractor and all other written information submitted to Contractor in connection with the performance of this Agreement shall be held confidential by Contractor and shall not, without the prior written consent of City, be used for any purposes other than the performance of the Services, nor be disclosed to an entity not connected with performance of the Services. Nothing furnished to Contractor which is otherwise known to Contractor or becomes generally known to the related industry shall be deemed confidential.

18. USE OF CITY NAME OR EMBLEM.

Contractor shall not use City’s name, insignia, or emblem, or distribute any information related to services under this Agreement in any magazine, trade paper, newspaper or other medium without express written consent of City.

19. OWNERSHIP OF MATERIAL.

All material, including information developed on computer(s), which shall include, but not be limited to, data, sketches, tracings, drawings, plans, diagrams, quantities, estimates, specifications, proposals, tests, maps, calculations, photographs, reports and other material developed, collected, prepared or caused to be prepared under this Agreement shall be the property of City but Contractor may retain and use copies thereof. City shall not be limited in any way or at any time in its use of said material. However, Contractor shall not be responsible for damages resulting from the use of said material for work other than Project, including, but not limited to, the release of this material to third parties.

20. RIGHT OF CITY TO INSPECT RECORDS OF CONTRACTOR.

City, through its authorized employees, representatives or agents shall have the right during the term of this Agreement and for three (3) years from the date of final payment for goods or services provided under this Agreement, to audit the books and records of Contractor for the purpose of verifying any and all charges made by Contractor in connection with Contractor compensation under this Agreement, including termination of Contractor. Contractor agrees to maintain sufficient books and records in accordance with generally accepted accounting principles to establish the correctness of all charges submitted to City. Any expenses not so recorded shall be disallowed by City.

Contractor shall submit to City any and all reports concerning its performance under this Agreement that may be requested by City in writing. Contractor agrees to assist City in meeting City’s reporting requirements to the State and other agencies with respect to Contractor’s Services hereunder.

21. CORRECTION OF SERVICES.

Contractor agrees to correct any incomplete, inaccurate or defective Services at no further costs to City, when such defects are due to the negligence, errors or omissions of Contractor.

22. FAIR EMPLOYMENT.

Contractor shall not discriminate against any employee or applicant for employment because of race, color, creed, national origin, gender, sexual orientation, age, disability, religion, ethnic background, or marital status, in violation of state or federal law.

23. HOLD HARMLESS/INDEMNIFICATION.

To the extent permitted by law, Contractor agrees to protect, defend, hold harmless and indemnify City, its City Council, commissions, officers, employees, volunteers and agents from and against any claim, injury, liability, loss, cost, and/or expense or damage, including all costs and reasonable attorney’s fees in providing a defense to any claim arising therefrom, for which City shall become liable arising from Contractor’s negligent, reckless or wrongful acts, errors, or omissions with respect to or in any way connected with the Services performed by Contractor pursuant to this Agreement.

24. INSURANCE REQUIREMENTS.

During the term of this Agreement, and for any time period set forth in Exhibit C, Contractor shall provide and maintain in full force and effect, at no cost to City insurance policies with respect to employees and vehicles assigned to the Performance of Services under this Agreement with coverage amounts, required endorsements, certificates of insurance, and coverage verifications as defined in Exhibit C.

25. AMENDMENTS.

This Agreement may be amended only with the written consent of both Parties.

26. INTEGRATED DOCUMENT.

This Agreement represents the entire agreement between City and Contractor. No other understanding, agreements, conversations, or otherwise, with any representative of City prior to execution of this Agreement shall affect or modify any of the terms or obligations of this Agreement. Any verbal agreement shall be considered unofficial information and is not binding upon City.

27. SEVERABILITY CLAUSE.

In case any one or more of the provisions in this Agreement shall, for any reason, be held invalid, illegal or unenforceable in any respect, it shall not affect the validity of the other provisions, which shall remain in full force and effect.

28. WAIVER.

Contractor agrees that waiver by City of any one or more of the conditions of performance under this Agreement shall not be construed as waiver(s) of any other condition of performance under this Agreement.

29. NOTICES.

All notices to the Parties shall, unless otherwise requested in writing, be sent to City addressed as follows:

If notice is sent via facsimile, a signed, hard copy of the material shall also be mailed. The workday the facsimile was sent shall control the date notice was deemed given if there is a facsimile machine generated document on the date of transmission. A facsimile transmitted after 1:00 p.m. on a Friday shall be deemed to have been transmitted on the following Monday.

30. CAPTIONS.

The captions of the various sections, paragraphs and subparagraphs of this Agreement are for convenience only and shall not be considered or referred to in resolving questions of interpretation.

31. LAW GOVERNING CONTRACT AND VENUE.

This Agreement shall be governed and construed in accordance with the statutes and laws of the State of California. The venue of any suit filed by either Party shall be vested in the state courts of the County of Santa Clara, or if appropriate, in the United States District Court, Northern District of California, San Jose, California.

32. DISPUTE RESOLUTION.

A. Unless otherwise mutually agreed to by the Parties, any controversies between Contractor and City regarding the construction or application of this Agreement, and claims arising out of this Agreement or its breach, shall be submitted to mediation within thirty (30) days of the written request of one Party after the service of that request on the other Party.

B. The Parties may agree on one mediator. If they cannot agree on one mediator, the Party demanding mediation shall request the Superior Court of Santa Clara County to appoint a mediator. The mediation meeting shall not exceed one day (eight (8) hours). The Parties may agree to extend the time allowed for mediation under this Agreement.

C. The costs of mediation shall be borne by the Parties equally.

D. For any contract dispute, mediation under this section is a condition precedent to filing an action in any court. In the event of mediation which arises out of any dispute related to this Agreement, the Parties shall each pay their respective attorney’s fees, expert witness costs and cost of suit, through mediation only. In the event of litigation, the prevailing party shall recover its reasonable costs of suit, expert’s fees and attorney’s fees.

33. COMPLIANCE WITH ETHICAL STANDARDS.

Contractor shall:

A. Read Exhibit D, entitled “ETHICAL STANDARDS FOR CONTRACTORS SEEKING TO ENTER INTO AN AGREEMENT WITH THE CITY OF SANTA CLARA, CALIFORNIA”; and,

B. Execute Exhibit E, entitled “AFFIDAVIT OF COMPLIANCE WITH ETHICAL STANDARDS.”

34. AFFORDABLE CARE ACT OBLIGATIONS

To the extent Contractor is obligated to provide health insurance coverage to its employees pursuant to the Affordable Care Act (“Act”) and/or any other similar federal or state law, Contractor warrants that it is meeting its obligations under the Act and will fully indemnify and hold harmless City for any penalties, fines, adverse rulings, or tax payments associated with Contractor’s responsibilities under the Act.

35. CONFLICT OF INTERESTS.

This Agreement does not prevent either Party from entering into similar agreements with other parties. To prevent a conflict of interest, Contractor certifies that to the best of its knowledge, no City officer, employee or authorized representative has any financial interest in the business of Contractor and that no person associated with Contractor has any interest, direct or indirect, which could conflict with the faithful performance of this Agreement. Contractor is familiar with the provisions of California Government Code Section 87100 and following, and certifies that it does not know of any facts which would violate these code provisions. Contractor will advise City if a conflict arises.

This Agreement may be executed in counterparts, each of which shall be deemed to be an original, but both of which shall constitute one and the same instrument; and, the Parties agree

that signatures on this Agreement, including those transmitted by facsimile, shall be sufficient to bind the Parties.

INSURANCE REQUIREMENTS

INSURANCE COVERAGE REQUIREMENTS FOR PROFESSIONAL SERVICES

Without limiting the Consultant’s indemnification of the City, and prior to commencing any of the Services required under this Agreement, the Consultant shall provide and maintain in full force and effect during the period of performance of the Agreement and for twenty-four (24) months following acceptance by the City, at its sole cost and expense, the following insurance policies from insurance companies authorized to do business in the State of California. These policies shall be primary insurance as to the City of Santa Clara so that any other coverage held by the City shall not contribute to any loss under Consultant’s insurance. The minimum coverages, provisions and endorsements are as follows:

A. COMMERCIAL GENERAL LIABILITY INSURANCE

1. Commercial General Liability Insurance policy which provides coverage at least as broad as Insurance Services Office form CG 00 01. Policy limits are subject to review, but shall in no event be less than, the following:

$1,000,000 Each Occurrence $2,000,000 General Aggregate $2,000,000 Products/Completed Operations Aggregate $1,000,000 Personal Injury

2. Exact structure and layering of the coverage shall be left to the discretion of Consultant; however, any excess or umbrella policies used to meet the required limits shall be at least as broad as the underlying coverage and shall otherwise follow form.

3. The following provisions shall apply to the Commercial Liability policy as well as any umbrella policy maintained by the Consultant to comply with the insurance requirements of this Agreement:

a. Coverage shall be on a “pay on behalf” basis with defense costs payable in addition to policy limits;

b. There shall be no cross liability exclusion which precludes coverage for claims or suits by one insured against another; and

c. Coverage shall apply separately to each insured against whom a claim is made or a suit is brought, except with respect to the limits of liability.

B. BUSINESS AUTOMOBILE LIABILITY INSURANCE

Business automobile liability insurance policy which provides coverage at least as broad as ISO form CA 00 01 with policy limits a minimum limit of not less than one million dollars ($1,000,000) each accident using, or providing coverage at least as broad as, Insurance Services Office form CA 00 01. Liability coverage shall apply to all owned (if any), non-owned and hired autos.

In the event that the Work being performed under this Agreement involves transporting of hazardous or regulated substances, hazardous or regulated wastes and/or hazardous or regulated materials, Consultant and/or its subcontractors involved in such activities shall provide coverage with a limit of one million dollars ($1,000,000) per accident covering transportation of such materials by the addition to the Business Auto Coverage Policy of Environmental Impairment Endorsement MCS90 or Insurance Services Office endorsement form CA 99 48, which amends the pollution exclusion in the standard Business Automobile Policy to cover pollutants that are in or upon, being transported or towed by, being loaded onto, or being unloaded from a covered auto.

C. WORKERS’ COMPENSATION

1. Workers’ Compensation Insurance Policy as required by statute and employer’s liability with limits of at least one million dollars ($1,000,000) policy limit Bodily Injury by disease, one million dollars ($1,000,000) each accident/Bodily Injury and one million dollars ($1,000,000) each employee Bodily Injury by disease.

2. The indemnification and hold harmless obligations of Consultant included in this Agreement shall not be limited in any way by any limitation on the amount or type of damage, compensation or benefit payable by or for Contractor or any subcontractor under any Workers’ Compensation Act(s), Disability Benefits Act(s) or other employee benefits act(s).

3. This policy must include a Waiver of Subrogation in favor of the City of Santa Clara, its City Council, commissions, officers, employees, volunteers and agents.

D. PROFESSIONAL LIABILITY

Professional Liability or Errors and Omissions Insurance as appropriate shall be written on a policy form coverage specifically designed to protect against negligent acts, errors or omissions of the Consultant. Covered services as designated in the policy must specifically include work performed under this agreement. Coverage shall be in an amount of not less than one million dollars ($1,000,000) per claim or two million dollars

($2,000,000) aggregate. Any coverage containing a deductible or self-retention must first be approved in writing by the City Attorney’s Office.

E. COMPLIANCE WITH REQUIREMENTS

All of the following clauses and/or endorsements, or similar provisions, must be part of each commercial general liability policy, and each umbrella or excess policy.

1. Additional Insureds. City of Santa Clara, its City Council, commissions, officers, employees, volunteers and agents are hereby added as additional insureds in respect to liability arising out of Consultant’s work for City, using Insurance Services Office (ISO) Endorsement CG 20 10 11 85, or the combination of CG 20 10 03 97 and CG 20 37 10 01, or its equivalent.

2. Primary and non-contributing. Each insurance policy provided by Consultant shall contain language or be endorsed to contain wording making it primary insurance as respects to, and not requiring contribution from, any other insurance which the indemnities may possess, including any self-insurance or self-insured retention they may have. Any other insurance indemnities may possess shall be considered excess insurance only and shall not be called upon to contribute with Consultant’s insurance.

3. Cancellation.

a. Each insurance policy shall contain language or be endorsed to reflect that no cancellation or modification of the coverage provided due to non-payment of premiums shall be effective until written notice has been given to City at least ten (10) days prior to the effective date of such modification or cancellation. In the event of non-renewal, written notice shall be given at least ten (10) days prior to the effective date of non-renewal.

b. Each insurance policy shall contain language or be endorsed to reflect that no cancellation or modification of the coverage provided for any cause save and except non-payment of premiums shall be effective until written notice has been given to City at least thirty (30) days prior to the effective date of such modification or cancellation. In the event of non-renewal, written notice shall be given at least thirty (30) days prior to the effective date of non-renewal.

4. Other Endorsements. Other endorsements may be required for policies other than the commercial general liability policy if specified in the description of required insurance set forth in Sections A through E of this Exhibit C, above.

F. ADDITIONAL INSURANCE RELATED PROVISIONS

Consultant and City agree as follows:

1. Consultant agrees to ensure that subcontractors, and any other party involved with the Services, who is brought onto or involved in the performance of the Services by Consultant, provide the same minimum insurance coverage required of Consultant, except as with respect to limits. Consultant agrees to monitor and review all such coverage and assumes all responsibility for ensuring that such coverage is provided in conformity with the requirements of this Agreement. Consultant agrees that upon request by City, all agreements with, and insurance compliance documents provided by, such subcontractors and others engaged in the project will be submitted to City for review.

2. Consultant agrees to be responsible for ensuring that no contract used by any party involved in any way with the project reserves the right to charge City or Consultant for the cost of additional insurance coverage required by this Agreement. Any such provisions are to be deleted with reference to City. It is not the intent of City to reimburse any third party for the cost of complying with these requirements. There shall be no recourse against City for payment of premiums or other amounts with respect thereto.

3. The City reserves the right to withhold payments from the Consultant in the event of material noncompliance with the insurance requirements set forth in this Agreement.

G. EVIDENCE OF COVERAGE

Prior to commencement of any Services under this Agreement, Consultant, and each and every subcontractor (of every tier) shall, at its sole cost and expense, provide and maintain not less than the minimum insurance coverage with the endorsements and deductibles indicated in this Agreement. Such insurance coverage shall be maintained with insurers, and under forms of policies, satisfactory to City and as described in this Agreement. Consultant shall file with the City all certificates and endorsements for the required insurance policies for City’s approval as to adequacy of the insurance protection.

H. EVIDENCE OF COMPLIANCE

Consultant or its insurance broker shall provide the required proof of insurance compliance, consisting of Insurance Services Office (ISO) endorsement forms or their equivalent and the ACORD form 25-S certificate of insurance (or its equivalent), evidencing all required coverage shall be delivered to City, or its representative as set forth below, at or prior to execution of this Agreement. Upon City’s request, Consultant shall submit to City copies of the actual insurance policies or renewals or replacements. Unless otherwise required by the terms of this Agreement, all certificates, endorsements,

EXHIBIT D

ETHICAL STANDARDS FOR CONTRACTORS SEEKING TO ENTER INTO AN AGREEMENT WITH THE CITY OF SANTA CLARA, CALIFORNIA

Termination of Agreement for Certain Acts.

A. The City may, at its sole discretion, terminate this Agreement in the event any one or more of the following occurs:

1. If a Contractor1 does any of the following:

a. Is convicted of operating a business in violation of any Federal, State or local law or regulation;

b. Is convicted2 of a crime punishable as a felony involving dishonesty3;

c. Is convicted of an offense involving dishonesty or is convicted of fraud or a criminal offense in connection with: (1) obtaining; (2) attempting to obtain; or, (3) performing a public contract or subcontract;

d. Is convicted of any offense which indicates a lack of business integrity or business honesty which seriously and directly affects the present responsibility of a City contractor or subcontractor; and/or,

e. Made (or makes) any false statement(s) or representation(s) with respect to this Agreement.

1 For purposes of this Agreement, the word “Consultant” (whether a person or a legal entity) also refers to “Contractor” and means any of the following: an owner or co-owner of a sole proprietorship; a person who controls or who has the power to control a business entity; a general partner of a partnership; a principal in a joint venture; or a primary corporate stockholder [i.e., a person who owns more than ten percent (10%) of the outstanding stock of a corporation] and who is active in the day to day operations of that corporation. 2 For purposes of this Agreement, the words “convicted” or “conviction” mean a judgment or conviction of a criminal offense by any court of competent jurisdiction, whether entered upon a verdict or a plea, and includes a conviction entered upon a plea of nolo contendere within the past five (5) years. 3 As used herein, “dishonesty” includes, but is not limited to, embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, failure to pay tax obligations, receiving stolen property, collusion or conspiracy.

2. If fraudulent, criminal or other seriously improper conduct of any officer, director, shareholder, partner, employee or other individual associated with the Contractor can be imputed to the Contractor when the conduct occurred in connection with the individual’s performance of duties for or on behalf of the Contractor, with the Contractor’s knowledge, approval or acquiescence, the Contractor’s acceptance of the benefits derived from the conduct shall be evidence of such knowledge, approval or acquiescence.

B. The City may also terminate this Agreement in the event any one or more of the following occurs:

1. The City determines that Contractor no longer has the financial capability4 or business experience5 to perform the terms of, or operate under, this Agreement; or,

2. If City determines that the Contractor fails to submit information, or submits false information, which is required to perform or be awarded a contract with City, including, but not limited to, Contractor’s failure to maintain a required State issued license, failure to obtain a City business license (if applicable) or failure to provide and maintain bonds and/or insurance policies required under this Agreement.

C. In the event a prospective Contractor (or bidder) is ruled ineligible (debarred) to participate in a contract award process or a contract is terminated pursuant to these provisions, Contractor may appeal the City’s action to the City Council by filing a written request with the City Clerk within ten (10) days of the notice given by City to have the matter heard. The matter will be heard within thirty (30) days of the filing of the appeal request with the City Clerk. The Contractor will have the burden of proof on the appeal. The Contractor shall have the opportunity to present evidence, both oral and documentary, and argument.

4 Contractor becomes insolvent, transfers assets in fraud of creditors, makes an assignment for the benefit of creditors, files a petition under any section or chapter of the federal Bankruptcy Code (11 U.S.C.), as amended, or under any similar law or statute of the United States or any state thereof, is adjudged bankrupt or insolvent in proceedings under such laws, or a receiver or trustee is appointed for all or substantially all of the assets of Contractor. 5 Loss of personnel deemed essential by the City for the successful performance of the obligations of the Contractor to the City.

CITY OF SANTA CLARA, CALIFORNIA CONFIDENTIALITY AGREEMENT

PREAMBLE

This Confidentiality Agreement (“Agreement”) is by and between *insert name, a *choose one: a __________ (enter State name) corporation/partnership/individual, with its principal place of business located at *insert primary business address (“Counterparty”), and the City of Santa Clara, California, a chartered California municipal corporation with its primary business address at 1500 Warburton Avenue, Santa Clara, California 95050 (“City”). City and Counterparty may be referred to individually as a “Party” or collectively as the “Parties” or the “Parties to this Agreement.”

RECITALS

A. Counterparty and the City (the “Parties”) have agreed to enter into discussions concerning *____________________________________ (“Transaction”);

B. It is anticipated that all materials, documents and information (including meetings and discussions) concerning the Transaction may be exchanged and shared by the Parties and are confidential (“Confidential Information”); and,

C. The Parties desire to have any such Confidential Information kept in the strictest confidence and maintain their respective rights without making the Confidential Information general public or common knowledge.

The Parties agree as follows:

AGREEMENT PROVISIONS

1. DEFINITIONS.

As used herein, the following terms have the following meanings.

A. Confidential Information means information which is of a non-public, proprietary or confidential nature belonging to the Disclosing Party, including without limitation, all reports and analyses, technical and economic data, studies, forecasts, trade secrets, research or business strategies, financial or contractual information, rates, certain sales market information, research, developmental, engineering, technical, marketing, sales, financial, operating, performance, cost, business and process information or data, know-how, and computer programming or other written or oral information. Confidential Information may be in any form whatsoever, including without limitation writings, recordings, electronic or oral data, computer programs, logic diagrams, component

specifications, drawings or other media. Only that information disclosed by a Party and clearly designated in writing as Confidential Information prior to its disclosure shall be deemed to be Confidential Information. Verbal information that is intended to be treated as Confidential Information shall be described in writing and identified as Confidential Information.

B. Disclosing Party is the Party to whom the Confidential Information originally belongs and who (after appropriate notice) shall bear the burden of pursuing legal remedies to retain confidentiality as set forth below in paragraphs 2E and 7.

C. Receiving Party is the Party to this Agreement who receives information designated as Confidential Information by the Disclosing Party.

2. EXCEPTIONS.

The Parties to this Agreement agree to maintain as confidential, to the extent permitted by law, all Confidential Information. Notwithstanding the foregoing and the provisions of paragraph 1, the term Confidential Information shall not include (and neither Party shall be under any obligation to maintain in confidence or not use) any information (or any portion thereof) disclosed to it by the other Party to the extent that such information:

A. is in the public domain at the time of disclosure; or

B. at the time of or following disclosure, becomes generally known or available through no act or omission on the part of the Receiving Party; or

C. is known, or becomes known, to the Receiving Party from a source other than the Disclosing Party or its Representatives (as defined herein), provided that disclosure by such source is not in breach of a confidentiality agreement with the Disclosing Party; or

D. is independently developed by the Receiving Party without violating any of its obligations under this Agreement; or

E. is legally required to be disclosed by judicial or other governmental action; provided, however, that prompt notice of such judicial or other governmental action shall have been given to the Disclosing Party and that the Disclosing Party shall be afforded the opportunity (consistent with the legal obligations of the Receiving Party) to exhaust all reasonable legal remedies to maintain the Confidential Information in confidence, in accordance with paragraph 7 below.

Specific information shall not be within the exceptions of sub-part 2A to 2E above merely because it is embraced by more general information within such exceptions.

3. USE OF CONFIDENTIAL INFORMATION.

The Confidential Information (i) may be used by the Receiving Party solely in connection with performing the tasks required under the Agreement and (ii) will be kept confidential and not disclosed by the Receiving Party to any other person, except that Confidential Information may be disclosed to any of the Receiving Party’s affiliates, directors, officers, council members, Strategic Allies, employees, attorneys and agents (collectively, its “Representatives”) who require access to such information in connection with performing the tasks under the Agreement between the Parties. Each of the Parties agrees that any of its Representatives to whom Confidential Information is disclosed will be informed of the confidential or proprietary nature thereof and of the Receiving Party’s obligations under this Agreement. Each Party shall be responsible for any use of Confidential Information by any of its Representatives.

4. RIGHTS TO CONFIDENTIAL INFORMATION.

The parties agree that (i) all rights to Confidential Information disclosed pursuant to this Confidentiality Agreement are reserved to the Disclosing Party; (ii) nothing in this Confidentiality Agreement shall diminish or restrict in any way the rights that each Party has to market, lease, sell, or otherwise make available its own products and services to any other customer or third party; and (iii) no license or conveyance or any rights under any discoveries, inventions, or patents is granted or implied by either Party to the other.

5. TERM.

This Confidentiality Agreement shall commence as of the Effective Date of the Agreement and may be terminated by either Party on thirty (30) days prior written notice with respect to subsequent disclosures and, unless sooner terminated by the Parties, shall terminate two (2) years after the date on which the Agreement expires.

6. NO OBLIGATION TO DISCLOSE.

Nothing in this Agreement shall obligate either Party to disclose specific Confidential Information, which disclosure shall be at the Disclosing Party’s sole discretion.

7. PUBLIC RECORDS ACT.

Counterparty acknowledges that Santa Clara is a public agency subject to the requirements of the California Public Records Act Cal. Gov. Code section 6250 et seq. Santa Clara acknowledges that Counterparty may submit information to Santa Clara that Counterparty considers confidential, proprietary, or trade secret information pursuant the Uniform Trade Secrets Act (Cal. Civ. Code section 3426 et seq.), or otherwise protected from disclosure pursuant to an exemption to the California Public Records Act (Government Code sections 6254 and 6255). Counterparty acknowledges that Santa Clara may submit to Counterparty information that Santa Clara considers confidential or proprietary or protected

from disclosure pursuant to exemptions to the California Public Records Act (Government Code sections 6254 and 6255). Upon request or demand of any third person or entity not a party to this Agreement (“Requestor”) for production, inspection and/or copying of information designated by a Disclosing Party as Confidential Information, the Receiving Party as soon practical but within three (3) days of receipt of the request, shall notify the Disclosing Party that such request has been made, by telephone call, letter sent via facsimile and/or by US Mail to the address and facsimile number listed at the end of the Agreement. The Disclosing Party shall be solely responsible for taking whatever legal steps are necessary to protect information deemed by it to be Confidential Information and to prevent release of information to the Requestor by the Receiving Party. If the Disclosing Party takes no such action, after receiving the foregoing notice from the Receiving Party, the Receiving Party shall be permitted to comply with the Requestor’s demand and is not required to defend against it.

8. LIABILITY.

The Receiving Party may cooperate with the Disclosing Party in any efforts to prevent release of the Confidential Information; however, the Receiving Party shall not be required to expend any monies in excess of the cost of notifying the Disclosing Party by telephone, facsimile and/or mail of the pendency of a demand for the Confidential Information. So long as the Receiving Party complies with the provisions of notification set forth in this Agreement, the Receiving Party shall not be liable for, and Counterparty and Santa Clara hereby release each other from, any liability for any damages arising from any requirement under the law that the Receiving Party release Confidential Information to a Requestor, and such release includes the officers, commissioners, employees, agents, council members, attorneys and directors, as those terms may apply to each Party, without limitation.

9. COOPERATION.

The Receiving Party may, at its sole expense, institute or intervene in any proceeding, in order to protect the Confidential Information from disclosure, and if the Disclosing Party requests and agrees in writing to indemnify the Receiving Party from any expense or liability for expenses, the Receiving Party may cooperate actively in any such action or proceeding; provided, however, that the Receiving Party shall have no duty to the Disclosing Party to actively cooperate, notwithstanding an offer by the Disclosing Party to provide a complete indemnity.

10. RETURN OF CONFIDENTIAL INFORMATION.

While this Agreement remains in effect, and for a period of ninety (90) days after termination, upon a Disclosing Party’s request, the Receiving Party agrees to return to the Disclosing Party, or to provide an officer’s certificate certifying that all Confidential Information has been destroyed, as promptly as practicable, but in all cases within thirty (30) days, all Confidential Information provided to the Receiving Party, including all copies of such Confidential Information, notes or other documents with respect to or reflecting such Confidential Information and

materials derived from such Confidential Information in its possession or in the possession of its Representatives.

11. ENTIRE AGREEMENT.

This Agreement embodies all of the understandings between the Parties concerning the subject matter hereof, and merges all prior discussions and writings between them as to confidentiality of information other than as expressly provided in this Agreement, or as duly set forth subsequent to the date hereof in writing and signed by both Parties. This Agreement may not be assigned by either Party without the prior written consent of the other Party except in connection with the sale of all or substantially all of the business or assets of the assigning Party.

12. REMEDIES.

Without prejudice to the rights and remedies otherwise available to the Disclosing Party, the Disclosing Party will be entitled to equitable relief by way of injunction if there is a breach or threat of breach of any of the provisions of this Agreement by the Receiving Party. The Parties agree and acknowledge that damages would not be an adequate remedy in the event of a breach of this Agreement.

13. AUTHORITY.

Each Party represents and warrants to the other Party that it has the full unrestricted authority to disclose its Confidential Information and to discuss or enter into a Contract without breaching any agreement or commitment with another party(ies) which would prohibit such discussions, disclosure or Contract.

14. GOVERNING LAW.

THIS AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA EXCLUDING ITS CONFLICT OF LAW RULES. STATE AND FEDERAL COURTS SITUATED IN THE STATE OF CALIFORNIA SHALL HAVE EXCLUSIVE JURISDICTION TO RESOLVE ANY DISPUTES WITH RESPECT TO THIS AGREEMENT OR THE CONFIDENTIAL INFORMATION WITH EACH PARTY IRREVOCABLY CONSENTING TO THE JURISDICTION THEREOF FOR ANY ACTIONS, SUITS OR PROCEEDINGS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE CONFIDENTIAL INFORMATION.

15. SEVERABILITY.

The provisions of this Agreement are severable, and if any one or more of such provisions is determined to be judicially unenforceable, the remaining provisions shall nevertheless be binding and enforceable.

16. INDEPENDENT CONTRACTOR.

The Parties acknowledge that no agency, joint or other fiduciary relationship shall be deemed to exist or arise with respect to the matters addressed in this Agreement.

17. NO FURTHER AGREEMENTS HEREUNDER.

Neither Counterparty nor City or any parent, subsidiary or affiliate thereof, shall be under any obligation to enter into any further agreements with the other signatory to this Agreement or its parents, subsidiaries or affiliates of any nature whatsoever as a result of this Agreement. The Parties shall be free at all times to hold negotiations or enter into agreements with any other persons whatsoever (including with respect to projects under discussion by the Parties) in addition to or in lieu of the discussions hereunder and any such activities shall not be a breach of this Agreement or any obligations owed to the other Party hereunder. Each Party reserves the right, in its sole discretion, to decline and make, to retract or to reject at any time any proposal which has not yet become legally binding by execution of a written agreement between the Parties with respect thereto or with respect to any further agreements or business arrangements with the other Party, its parents, subsidiaries or affiliates and to terminate all further discussions and negotiations.

18. AMENDMENT.

This Agreement may not be modified, amended or waived except by a written instrument duly executed by both Parties.

19. WAIVER.

No failure or delay by either Party in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege hereunder.

20. ASSIGNMENT.

This Agreement may not be assigned by either Party without the prior written consent of the other and shall be binding on, and inure to the benefit of, the respective successors of the Parties.

21. HEADINGS.

The headings used herein are for aid in reference only and shall not be used to interpret the substantive portions of this Agreement.

This Agreement may be executed in counterparts, each of which shall be deemed to be an original, but both of which shall constitute one and the same instrument; and, the Parties agree that signatures on this Agreement, including those transmitted by facsimile, shall be sufficient to bind the Parties.

The Parties acknowledge and accept the terms and conditions of this Agreement as evidenced by the following signatures of their duly authorized representatives. The Effective Date is the date that the final signatory executes the Agreement. It is the intent of the Parties that this Agreement shall become operative on the Effective Date.

Scope:

This standard outlines the basic guidelines to be followed by Estimators preparing

Estimate Drawings. The guidelines establish the expectations for the accurate delineation

and uniform representation of all pertinent information including general layout,

abbreviations, and symbols used in the creation of Estimate Drawings.

Purpose:

Estimate Drawings are drawings, diagrams, sketches, notes and/or plans to aid in the

construction of electric facilities . The drawings are a representation of the proposed work

in sufficient detail to enable construction personnel to plan and complete the work.

Estimate drawings are not detailed maps.

Drawings are an important part of the estimate because they are almost always easier to

understand than a written description. The drawings must clearly illustrate the overall

objective of a proposed project, as well as the detailed work plans. The detailed plans and

notes enable the construction personnel to construct and complete the job and mapping

personnel to map and record the facilities.

Field Checks:

Estimators, prior to going in the field, are expected to research office records, block

maps, circuit diagrams, etc., to obtain information on existing facilities, streets, roads,

highways, subdivisions and property lines. After completing their field investigation,

they are to determine if the office information is correct and accurate. If not correct,

they are to forward the necessary information to mapping so that mapping can update

the records and maps to reflect current field conditions.

General Drawing Requirements:

1) Neatness:

Keep drawings neat and clear. Use general notes or symbols to cover items that

appear at several locations in the drawing. Place notations on drawings parallel with

the bottom so notes can be read without turning the drawing around. Avoid clutter,

crisscrossing of lines and excessive use of arrows. Use Details as needed to clarify

job instructions. Be sure drawings are complete and include a sheet number, title,

legend, north arrow, scale, boundaries of work, and street/road names.

2) Paper Size

Paper sizes of 8½" x 11", 11" x 17" or 24" x 36" are preferable, since most copying

machines easily duplicate these. The paper should include a ½” margin line around

the edge. Keep the drawing as small as clarity permits, leaving room for notes,

legends, and other job data.

3) Title Block:

Complete all elements of the title block using regular font unless noted. The

Standard Silicon Valley Title Block should be used. It should include Title,

Designed By and Date, Draw By, Date, Map Number, Sheet Number, Drawing

Number, Revision Number, Approved By and Date, and Scale.

A) Title:

The Title should include the project name with street address under the

project name. It should be shown as a large bold font. Under the project

name and address should be “SILICON VALLEY POWER” using regular

size bold font and under it should be “CITY OF SANTA CLARA” shown

as a large bold font.

B) Revision Number:

Use Revision Numbers if the drawing is modified after copies are made

and distributed. The Revision Number should be shown in the lower right

hand portion of the Title Block. It should be shown in large bold font. In

addition, above and adjacent to the Title Block there should be at least 3

blank rows for 4 columns labeled Revision Number, Date, Description,

and Approved By. A concise description of what has changed should be

included under the Description Block. An optional triangle inscribed with

the Revision Number shown in the block and on the corresponding area

of change on the drawing maybe used. The Revision Number is changed

on all the sheets. The reference Description block is revised only on the

sheet that has the revision shown.

C) Sheet Number:

The sheet number of drawings should start with 1 and say “ SHT 1 OF X”

where X is the total number of drawing sheets for each of the Developer’s

Work and City’s Work drawings.

D) Scale:

Prepare Estimate Drawings to scale whenever possible. If the drawings

are not to scale, place the items in their relative positions. Use a larger

scale or exaggerate street widths if necessary for clarity. A scale should

be chosen as small as clarity permits, leaving room for notes, legends,

and other job data. Always use an Engineers scale. Put the scale chosen

in the Title Block. Use dimensions if not to scale. Avoid using “as

noted” or “not to scale”.

E) Drawing Number:

The drawing number is usually the Estimate Number. It should be shown

in large bold font. Do not use “Estimate” as the Estimate Number.

F) Drawing Type Reference Box: A reference to the type of Estimate Drawings required. It will include

three boxes side by side with each box labeled CTY. WK. for City’s

Work, DEV. WK. for Developer’s Work, and IMP. PLNS. for

Improvement Plans. Each box will be checked as required to complete an

estimate package.

4) Orientation:

Orient the drawing with the North arrow pointing to the top of the sheet or

pointing to the right of page. Show the North arrow in the bottom right hand

corner of the main drawing area above the Title Block. Always show the North

arrow for other maps (e.g. location map, detail maps, etc.) pointing in same

direction as the main drawing North arrow.

5) Construction Notes:

Number construction notes starting from the location the work begins. Continue

in a logical sequence that the work will progress. Label numerically starting with

the number 1 inscribed in a hexagon for each work instruction required to

complete the construction. Work notes referring to pages in Silicon Valley Power

Underground Engineering Standard UG-1000 should be inscribed in a circle.

The corresponding wording for each inscribed numerical hexagonal note should

be placed on the drawing where space permits. Place in numerical sequence with

the inscribed numerical hexagonal at the beginning of each note. Duplicate notes

may have multiple inscribed numerical hexagonal numbers grouped at the

beginning of the note. If the drawing consists of more than one sheet continue

numerical hexagonal notes on subsequent sheets. Show the corresponding

wording for each inscribed numerical hexagonal note on each sheet. If the

corresponding inscribed numerical hexagonal note is not used on the additional

sheets do not include it in the numerical sequence for that page. Make notes short,

concise, and to the point. Refer to Exhibit “C” - Sample Construction Notes.

Include reference to City of Santa Clara Overhead or Underground Standard

Drawing Numbers when possible, rather than copying details on the drawings to

describe the work required.

6) Location Map: Prepare a location map for all job estimates when a construction drawing does not

include a street and a cross street name. The location map is usually attached to an

estimate in the lower right hand portion of a the drawing above the title block.

The purpose of the location map is to adequately locate the work site

geographically for individuals unfamiliar with the area. An excerpt from the

County Assessor's Parcel Map or City base map is an acceptable source for a

location map. Show how to reach the location from a major street keeping the

number of streets shown on the map to a minimum. Use a scale as small as

practical and yet keep the map clear and readable. Orient the location map so that

the North arrow corresponds to the Developer's work drawing’s North arrow.

Show streets, street names, property lines, etc. in the map. Label as "Location

Map" with the scale (not to scale) below the Title.

7) Symbols:

Use symbols rather than notes and arrows to keep the drawing clear and legible.

Exhibit “B” - Symbols shows the typical symbols used on SVP drawings. If

necessary, use additional symbols to clarify what must be done. Use a legend block

to explain all symbols that appear on the drawing.

8) Dimension Lines:

Dimension lines, using regular font and line weight, are to be used to reference

new facilities (transformer pads, splice boxes, street light foundations, etc.)

from known features (building, face of curb, wall, property line, etc.).

9) Rights-of-Way:

Show all proposed and existing electrical easements. Label as "Required" or

"Existing", "P.U.E.", "UGEE", "WCE", "Electrical Easement", etc.. For existing

easements, include a reference to the County’s Book and Page Number or

Parcel/Tract Number granting the easement.

10) Details:

Use a Detail if an area on the drawing is congested and hard to read. If a Detail

is used, show all notes, dimensions, etc. in the Detail and not on the area of the

drawing. Label Details alphebticaly starting with “A” with the exception of a

riser, transformer, or location detail. Title the Detail using large bold font as

“Detail A” with the appropriate scale shown below using regular font. Try to

keep the number of details to a miniumum (use only when needed).

Types of Estimator Drawings:

An estimator typically prepares three types of drawings:

1) Developer's Work (substructures and underground conduit system).

2) City's Work (overhead/underground circuit system).

3) Street Improvement Plans.

1) Developer's Work Drawings:

A) Purpose:

Certain work may be required to be done by the Property

Owner/Developer as a condition of approval for Development of the

property. Developer’s Work may not be required for Estimates such as

“Service Relocations”, “Street Lighting”, etc..

B) Work Type:

The Developer’s Work drawings should be labeled above the Revision

Table row. It should be labeled “Developer’s Work” using large bold

font. See Exhibit “E” – Developer’s Work Drawing Template.

C) Scale:

Developer’s Work Drawings should use an Engineer’s scale, usually at

1”=20’. If clarity permits, a scale of up to 1”=40’ may be used.

D) Page Numbering:

The page number shown in the Title Block should start with the number 1

using regular font and include the total number of sheets in the

E) Validity Statement:

In the lower right hand corner of the drawing to the left of the Title Block

include the following statement in regular bold font:

“IN ORDER TO CONSTRUCT WORK SHOWN ON THIS DRAWING

YOU MUST HAVE A VALID BUILDING PERMIT AND START

CONSTRUCTION WITHIN 6 MONTHS OF DATE OF APPROVAL OF

THIS DRAWING. FOR AN EXTENSION OF TIME, PLEASE

CONTACT SVP AT (408) 261-5292”.

F) Legend:

Use the standard Silicon Valley Power Legend (4½” by 7¾”). Locate the

Legend in the upper right hand corner of the drawing. All standard

symbols used and any additional symbols used should be shown in the

Legend.

G) General Note:

Use standard Silicon Valley Power General Notes (5” by 8”). Locate

General Notes in the upper right hand corner of drawing under the

Legend. Any additional general notes used should be shown under the

General Notes. Put an “X” in the appropriate location at the beginning of

all notes used. Fill in the service voltage available (requested) along with

the corresponding number of wires and enter either single or three phase

depending on the type of service required. Also enter the available short

circuit current based on the transformer size used and the Silicon Valley

H) Work Area:

Include entire lot, Parcel, or Tract. Show all property lines. Show all

existing and proposed Silicon Valley Power facilities including electric

facilities on adjacent street, power poles, and easements. Label, using

regular font, all lots on the drawing with the Parcel Map or Tract Map

numbers.

I) Utilities:

Show all utilities (water, sewer, storm drain, telephone, cable TV, fiber

optics, etc.) including crossings within 10’- 0” of centerline of new

underground conduit system. Indicate utilities as a solid regular line. Label

utility lines using regular font (may use approved abbreviations). Include

in Legend.

J) Building Outline:

Show all building(s) footprint on the site using a solid thin line for existing

or dashed thin line for proposed. Include numeric address (not street

name) using large, regular, or small size font depending on room

available. Place the address inside the building outline parallel to direction

of street on the building outline side nearest the street. Label the building

as “Existing” or “Proposed” in the center of the building outline using

large, regular, or small size font depending on room aviable.

K) Tree Outline:

Show the center point along with the drip line of all trees in which

Electrical excavation is within the tree drip line. Draft as a solid thin line.

Show the location of outdoor switchgear (meters) or the main switchgear

room including all doors to the Electric Room. Label using regular font

“Electric Room”.

M) Conduits:

Draw as indicated in Exhibit “C” – Symbols or as shown in the standard

Silicon Valley Power Legend. Use a bold regular line to represent each

conduit use (primary, secondary, S/L, or U/E) in conduit bank. Space lines

approximately 1/16” apart labeling each using bold small font along each

conduit line. Identify the number, use, size and if existing “E”. (example--

--E4P5----). Dimension from centerline of the conduit bank to a known

feature (building, face of curb, wall, property line, etc.). Show and label all

bends with a Construction Note. If there are conduits shown on the

drawing to be installed by another estimate, but it is not known if the

conduits will be installed before your estimate is released to SVP field

crews, show the line representing these conduits as solid but without the

“E” representing existing. Use a leader line with a construction note using

regular font to say “See estimate (estimate number) for this work”.

N) Details:

a) Riser Detail:

A Riser Detail is required when a new conduit goes from ground

level up a pole. It is delineated using a regular line as a 1"

diameter circle with two intersecting lines at right angles to each

other and coincident with the circle’s center. The lines should

extend 1/8" beyond the circle with one of the lines parallel to the

direction of the circuit line. The detail should include its own

on the pole will be shown and labeled using regular font in the

appropriate quadrant including communication, cable TV and

fiber risers. New risers will be normally placed in the quadrant

opposite the transformer bank and away from traffic (property

side of pole) or on the deadend insulator side of pole away from

traffic (property side of pole). Title the Riser Detail using bold

regular font as "Riser Detail" with not to scale (N.T.S.) below

the title using regular font.

b) Transformer Detail:

A Transformer Detail is required when the drawing area becomes

congested or is not clear. A circle or ellipse using a thin line is put

around the drafting area and labeled using regular font ‘See

Transformer Detail “A”’. Do not include in the main drawing area

any construction notes, references to pages in City of Santa Clara

Electric Department Underground Engineering Standard UG-1000,

transformer locating arrow or dimensions, except distances to

buildings or points of reference.

On the same sheet, the Transformer Detail is shown and labeled

using bold regular font as ‘Transformer Detail “A"’ with not to

scale (N.T.S.) using regular font. In the Transformer Detail show

construction notes, references to pages in City of Santa Clara

Electric Department Underground Engineering Standard UG-1000,

transformer locating arrow and dimensions and distances to known

2) City’s Work Drawings:

A) Purpose:

Work SVP crews are required to complete is called City’s Work. This

work may be required due to collection of fee’s such as property

Development Fee’s, Load Increase Fees, Service Relocation Fee’s, etc..

Or City Work might be work required to improve reliability, increase

capacity, or enhance street lighting. A City’s Work drawing may consist

of one or all of the following elements: Underground

conduit/substructure system, overhead circuitry, and/or underground

circuitry.

B) Work Type:

The City’s Work Drawing should be labeled above the Revision Table

starting at the extension of left row. It should be labeled “City’s Work”

using as a large bold font. See Exhibit “F” – City’s Work Drawing

Template.

C) Scale: City’s Work Drawings should use an Engineer’s scale, usually at 1”=50’.

If clarity permits, a scale of 1”=100’ may be used.

D) Page Numbering:

The page number shown in the Title Block should start with the number 1

using regular font and include the total number of sheets in the City’s

Work Drawing package not including a count of the Developer’s Work

Drawings. Example “SHT 1 of 4”.

E) Details

a) Riser Detail:

Show Riser Detail on City’s Work the same as shown and explain

in Developer’s Work.

b) Low Voltage Circuit Detail:

A Secondary or Street Light Circuit Detail is a blowup of the

“City’s Work” drawings new underground low voltage circuits. It

generally supplements the main drawing because it is not always

possible to clearly show new Secondary and Street Light

underground circuits. It is not necessary to draw Circuit Details to

scale as long as the relative position of all equipment is shown. On

the main drawing show all new underground low voltage circuits

without showing conductor number, conductor size, conductor

material, conductor length, Construction Notes, or notes referring

to pages in City of Santa Clara Electric Department Underground

Engineering Standard UG-1000. All this information should be

included in the Low Voltage Circuit Detail. The Low Voltage

Circuit Detail should include the entire secondary circuit including

the padmount transformer or overhead transformer/riser pole. The

conductor number, conductor size, and conductor material should

be shown using regular font about ⅛ of inch above the lines

representing the circuit. The conductor length should be shown

using regular font about ⅛ of inch below the lines representing the

circuit. Construction Notes, or notes referring to pages in City of

Santa Clara Electric Department Underground Engineering

Standard UG-1000 should be shown using leader lines in the

Circuit Detail. Underground service conductor sizes are also

shown in this detail if they impact the work area. The new

Label Detail using underlined bold regular font.

F) Special Permits:

Show any special permit number that maybe required on drawing,

example Encroachment Permit, Railroad Encroachment Permit, Caltrans

Permit, etc..

G) Loads:

Do not show substation and circuit estimated load tabulations. Verify with

planning engineer that load calculations and/ or load growth curves have

been completed for estimates increasing or adding to existing substations.

H) Underground Conduit System:

When SVP crews install underground conduits, manholes, vaults, pull boxes,

transformer pads, street light foundations, etc. the drawing should be labeled

“City’s Work” but shown on the drawing as discussed in this document

under Developer’s Work.. This work must be completed before work can

start on the overhead and/or underground circuitry. Therefore, all

underground conduit work should be grouped together on the first sheets or

shown to the left side of the drawing.

1) 12KV and 60KV Circuits:

See Exhibit “B” Symbols for how to delineate and show primary distribution

and transmission circuitry. When installing new poles, include height and

class next to each pole. In addition, if new work involves a 60KV pole line

include the height and class for each existing pole. Show all anchors, down

guys, sidewalk guys, and head guys in the work area. For existing guys

include wire size, tension, and lead next to guying. For new guying include

wire size, tension, and lead in the construction notes. If a bend occurs in the

pole line show the pole line angle in degrees next to the bend location.

Dimension new poles to a known object that can be readily seen in the field

or identified (building, street light, property line, etc.). If staking notes are

needed, show them in sufficient detail to establish pole locations. Show all

property lines adjacent to the work area. Label on the drawings all Assessors

Parcel Numbers or addresses associated with the job.

When reconductoring or stringing new conductors, show the existing

conductor to be removed (solid line) along with the new wire to be

installed (dashed line). For each new span, show lengths between poles

above the span using regular font. Use construction notes to denote total

span lengths for the work area affected. In the corresponding wording for

the inscribed numerical hexagonal note include the number of spans along

with total length of all spans and stringing tension (example “String 3/397

AL 9 spans, 1,000’± Tension=Short Span Urban”.

J) 12KV Before and After:

Prepare “12KV Before and After” sketches for all estimates when the

primary circuitry will change (e.g., reconductoring, line extensions,

installation of protective devices, etc.). 12KV Before and After sketches

are not necessary for jobs that do not affect the primary circuitry (e.g.,

pole replacements and secondary rearrangement).

The 12KV Before and After sketches are usually attached to an estimate in

the upper right hand portion of a drawing. It illustrates how the proposed

construction will conform electrically (and sometimes geographically) to

the surrounding circuit. The 12KV Before and After sketches show the

12KV circuits (not secondary) only. Use a scale as small as practical and

keep the sketch clear and readable. The 12KV before and after should

include all primary circuits to the first point that can open or close a circuit

such as a 12KV switch.

An excerpt from a 12KV Circuit Map is an acceptable source for the

12KV Before and After sketches. Label each sketch as "12 KV Before"

and "12 KV After" with scale or not to scale (N.T.S.) below title. Orient

sketches so that North arrow corresponds to City's Work drawings north

arrow. Use the sketch to illustrate how the construction will conform to

future plans for the area. Include conductor number and size, switch or

cutout location and position. Label circuit numbers. On "12KV After"

sketch show existing facilities as half tone (30% screening) and new

facilities to be installed dashed with no screening.

K) Transformers:

Show transformer size, voltage rating, estimated kVA load for new

transformer installations. Show phase connections for transformers when

needed for load balancing. Show the entire secondary systems. On

overhead installations show the secondary to the first open secondary

jumper or to the end of the secondary system on each side of the

transformer. Show all services coming off the secondary system. Only

show the size of services for the area affected by the work.

L) Guying:

On all estimates effecting the existing guying of secondary, primary, or

60KV circuits show all existing guying including down guys, head guys

and/or sidewalk guys. Use a leader line to show existing wire number,

Construction Note involves new guying, include wire number, size,

tension, and lead length in the Construction Note and do not use a leader

line.

M) Circuits:

All existing primary or secondary circuits are to be labeled using regular

font about ⅛ of inch above the lines representing the circuits. Information

shown is to include the number of conductors, conductor size, conductor

material, and operating voltage (12KV or SEC). Repeat above for each

circuit starting with the circuit at the bottom of the pole to the circuit at the

top of pole. If there are two primary overhead circuits between poles being

represented by two parallel lines the line nearest the symbol for pole is the

bottom 12KV circuit on the pole.

In addition, label new overhead conductors, including the span lengths,

about ⅛ of inch below the lines representing the circuits. Always show the

appropriate symbol for conductors, transformers, switches, etc. being

installed, replaced, or removed. Use an arrow to indicate when circuits

continue beyond the limits of the sketch.

N) Tree Outline:

Show the center point of the tree along with the drip line of all trees in

which the Overhead lines are within the tree’s drip line. Draft as a solid

thin line.

O) Cable Pulling:

When pulling underground primary conductors or secondary conductors

that can only be pulled in one direction, it is important for Silicon Valley

Power crews to know the direction to pull cables, cable tension, and

arrow (→) using a thin line parallel to the pull placed about 1 inch ether

above or below the direction of conductor pull. If the arrow has two heads

(↔) it designates that the cable can be pulled in either direction.

About ⅛ of inch above this arrow show using regular font “T = (tension of

pull-maximum tension if cable can be pulled in either direction) #”. About

⅛ of inch below this arrow show using regular font “L = (cable length

+10’ for manholes and pull boxes , 6’ for transformers and vaults, or 35’

for primary riser) ‘ ±”. If you are pulling more than one set of the same

size conductor, show, using a regular font on the same line as the arrow,

“(number of conductor sets) Sets”. About ¾ of an inch above or below

arrow say using regular font “(conductor size)(conductor

material)(number of wires per set) 15KV”. Example: “1/0 AL TRI 15KV”

P) Shutdown Coordination:

When an estimate involves an outage to one or more customers include the

following note using bold regular size font “Field Foreman for shutdown

contact the following:” Make a table under the note using regular size font

which lists each Business Name, Business location, Name of person to

contact for outage, and Phone number of person to contact.

Q) Services:

For new services, using regular font, show conductor number, size and

type for each individual customer. Show building outline including

building address along with meter location. For existing overhead service

drops only include length of service drop. Do not show connected load at

each secondary distribution point. When adding load to an existing

secondary system or rearranging it, calculate the secondary load

estimated demand at each pole or splice box and retain the information in

the estimate folder. Do not show voltage drop calculations on drawing, but

calculate the voltage drop at the service point for all new services and

retain the calculations in the estimate folder.

R) Meter Stamp:

For each meter to be installed a standard SVP Metering Data block is

required. Place the Metering Data block near the drawings sheet Title

Block either above or to the left of it. Using regular size font list the

service voltage, main size in Amperes, and the Multiplier used. Check

which boxes apply for KWH-CL and KWH/KW-CL circling meter class,

KVARH, TOU Recorder, CT’S, VT’S, 1Ph 2W, 1Ph 3W, 3Ph 3W, 3Ph

4W Y, and 3 Ph 4W ∆.

Group the meters by Main Size in Amperes. Above each Metering Data

block using regular size font say “(total number of meters) EA= (number

of meters excluding house meters) + (number of house meters) House

Meters”. If meters are on a Main Board, to the right of this state “Main

Board Discount = (main boards amperes) Amperes”. If there are meters at

deferent locations above this statement make a table listing “(number of

meters) Meters – (address or building number)”.

S) Accounts:

The different Expenditure Accounts to be used by the field crews to

complete the work required by the Estimate should be listed above the

bottom boarder of the drawing where space permits. Using bold regular

size font say: “Accounts Used” then under this using regular size font

T) Building Outlines:

Show all building(s) footprint on the site using a solid thin line for existing

street on the building outline side nearest the street. Label in the center of

the building outline, using large, regular, or small size font depending on

room aviable, if building is “Existing” or “Proposed”.

3) Street Improvement Plans:

A) Purpose:

Certain work maybe required to be done on the City’s Streets or Right of

Ways by the Property owner as a condition of development approval for

the property, per City of Santa Clara requirements. This work is not

required for all Estimates. The City of Santa Clara Engineering

Department will determine if such work is required.

Scope of Standard

This standard is intended for use by Developers as required by City ordinance, Contractors under contract

to the City of Santa Clara, and City forces. Its purpose is to:

1. Provide a uniform electric substructure construction standard for new electric service installations within

the City of Santa Clara.

2. Define material requirements for electric substructures.

3. Define Developer’s substructure work requirements for electric installations.

4. Provide a guide, with respect to utility substructures, for new electric power system projects and for

changes to existing facilities.

5. Act as a supplement to detailed design drawings prepared by Silicon Valley Power (SVP).

Purpose of the Revision

This revised standard outlines and details the installation of underground substructures. This is a minor

revision to the previous revision 5 of the UG 1000 document that incorporates the references to conduit

spacer and trench backfill standard documents. Since it is a minor revision, it is numbered 5.1. No other

revisions were made to this document.

Definition of Terms

o Building Inspector: City of Santa Clara Building Dept. Inspector, responsible for verifying proper

installation and repair of all private building facilities. This includes the electric service entrance and

meter service panel.

o Contractor: The person or persons, firm, partnership, corporation or combination thereof, who has

entered into a contract with the City of Santa Clara, as a party or parties of the second part of his or their

legal representative.

o City: City of Santa Clara or the City Council of the City of Santa Clara.

o City Engineer: City Engineer of the City of Santa Clara.

o Developer: A developer is any person who causes land to be divided into two or more parcels for

himself or others; or is engaged in the development of property, in whole or in part, by the placing of

any improvements thereon, whether the property was previously developed in whole, in part, or at all.

o High Voltage (Marking): Safety identifier of any electric system where the nominal system voltage is

greater than 1000 volts. This is not the same as the NEC definition for “High Voltage”.

o Low Voltage: Any electric system where the nominal system voltage is less than 600 volts

o Primary: SVP Electric facilities operating at 12,000V

o Public Works Inspector: City of Santa Clara Public Works Dept. Inspector, responsible for verifying

proper installation and repair of all facilities within City right of ways and easements.

o Secondary: SVP Electric facilities operating at 480V or less.

o Service Entrance: The underground service conductors and duct(s) between the customer’s main

switch and the utility connection point.

o Silicon Valley Power (SVP): Municipal Electric Department of the City of Santa Clara.

o Street Lighting: Electric System for providing City street lighting.

o SVP Inspector: Silicon Valley Power Electric Inspector responsible for verifying proper installation

of electric substructures installed for use of SVP.

o Utility Connection Point (UCP): Electric service point determined by SVP.

o Utility Electric: SVP Electric System for alarm and control circuits, including fire alarm, SCADA, fiber

optic cable, protection circuits, etc.

Work Requirements

A. The Developer, Contractor or SVP shall furnish and install all facilities as shown and specified on the

detailed drawing(s).

B. Developer shall run underground Service Entrance conduit(s) and conductors to utility connection

point(s) shown on detailed drawing(s). The Service Entrance conduits and conductors shall be

“privately” owned and maintained and installed per City Building Inspection Division Codes with the

following exceptions:

1. Three Phase Padmount Transformers

a. All underground Service Entrance conductors and conduit(s) shall run directly to transformer

pad, whenever possible. Use 90º duct bends to elbow up into the transformer pad’s 16” x 18”

secondary area.

b. Maximum number of conduits in transformer pad 16” x 18” secondary area:

1. Five (5) 5” conduits.

2. Nine (9) 4” conduits.

3. Twelve (12) 3½” conduits or smaller.

c. Maximum size of Service Entrance conductors. 750 MCM CU or AL.

d. Maximum number of Service Entrance conductors allowed in City transformer pad 16” x 18”

secondary area:

1. Twelve (12) 500 MCM, or smaller, AL or CU conductors per phase and neutral.

2. For conductors above 500 MCM, up to and including 750 MCM, only four (4) AL or CU

conductors per phase and neutral.

2. Single Phase Padmount Transformer

Do not run Service Entrance conduit(s) and conductors directly to transformer pad.

shows the maximum main switch size for each voltage. Not all service voltages are available at all

locations. Three phase residential services are not allowed.

A. CONCRETE

1. Forms shall be smooth and true to line and grade.

2. Forms shall be tight, of adequate strength and be completely removed upon completion of work.

3. Where material is to be embedded in concrete it shall be held securely in place.

4. Forms shall be clean and wetted prior to pouring of concrete.

5. Pouring shall be continuous, except for trench cap.

6. Finished surface shall be free of honeycomb or segregation. Unformed exterior surfaces shall be

floated, steel trowled and lightly broomed to obtain a non-skid surface. Formed edges shall be

rounded to remove any sharp edges.

B. DUCTS

1. Duct(s) shall be free and clear of foreign matter.

2. All burrs and rough edges in conduits shall be made smooth.

3. Duct(s) shall be separated, tied together and supported with 3" plastic spacers every five (5) feet.

No metallic materials may be used to provide cross support or be placed across duct banks.

Spacers used shall meet the requirements of SVP document UG-340.

4. Apply pipe compound to rigid galvanized steel joints.

5. Galvanized steel shall not be cut with a torch, welded or brazed.

6. All ducts shall be proved free of obstructions by passing a mandrel. A SVP inspector is to be

present to witness the mandrel test for approval. Ducts shall be covered with removable caps to

keep debris from entering the ducts after passing the mandrel test.

7. A polyester pull tape shall be installed in all ducts and secured at each end to avoid accidental

removal of the pull tape.

8. Ducts shall be clearly marked at each enclosure to indicate destination of other end.

9. All ducts in boxes, vaults, manholes, and at equipment pads, shall be terminated with PVC end

bells flush with the inside of the enclosure or top of the pad. They shall be grouted as directed by

SVP inspectors or SVP project drawings.

C. BACKFILL

Refer to SVP Standard Document UG-0345 for backfill requirements around SVP electric substructures.

Inspections

A. WORK IN A PUBLIC RIGHT OF WAY OR PUBLIC EASEMENT

The Public Works Inspector shall be responsible for inspection. The Public Works Inspector will inspect all

backfill. The Silicon Valley Power Inspector will be responsible only for inspecting ducts, manholes, vaults,

boxes, and streetlight foundations.

C. INSPECTOR SHALL BE INFORMED

The Inspector shall be informed at least 24 hours in advance before commencing any item of

construction or installation of material in order to permit proper inspection of materials and

workmanship. No work shall be embedded, backfilled or otherwise covered until such time as it

has been inspected and approved by the Inspector. Any material and / or workmanship failing to

meet the requirements of this Specification, good acceptable engineering or construction

practices, or installed without prior notice to Inspector shall be subject to rejection. If required by the

Inspector, the Developer or Contractor shall, at his own expense, remove rejected work, finish and

install approved material and /or workmanship.

D. PRIVATE ELECTRIC EQUIPMENT

For all work performed on the Service Entrance and other private-electrical equipment, a

permit shall be obtained from the City Building Inspection Division.

E. SAFETY REGULATIONS

It is the Developer's and Contractor's responsibility to comply with all applicable Safety Regulations.

Permits

For all work performed within a public right of way or public easement, a street opening permit shall be

obtained from the City Engineer’s Office.

A street opening permit is not required for work outside of a public right of way or public easement.

Bonds

The amount of bond required of Contractors will be noted in the Specified Conditions of the Contract

Agreement.

Acceptance

Upon completion of improvements satisfactory to SVP, SVP shall accept the work. After completion of

the facilities installed by Developer, SVP shall furnish and install all cable, switches, street lighting poles,

luminaires, transformers, meters and other equipment that it deems necessary for the betterment of the

system.

Guarantee

It shall be the responsibility of the Developer or Contractor to repair and correct any defects or

deficiencies due to workmanship or material, which are discovered within one year from date of

acceptance by the City. Repairs and corrections will be made at no charge to SVP or the City of Santa

Clara.

In the event that SVP must make repairs before the Developer or Contractor can be notified, or when SVP

determines that it is not practicable for the Developer or Contractor to make the necessary repairs, SVP

reserves the right to make the necessary repairs or replacements at the expense of the Developer. SVP

will, as much as it is practicable, preserve the available evidence of cause of the failure for examination by

the Developer or Contractor.

Equipment Pad Clearances

NOTES:

1. No equipment or other devices shall infringe on space indicated by minimum dimensions.

2. Clear and level work areas are required around pad mounted equipment to allow safe maintenance and operation of the equipment. A 10 foot minimum clearance is required in front of equipment doors and a 5 foot

minimum clearance is required on sides without equipment access doors. Landscaping shall not restrict access to the equipment. Concrete work apron may be incorporated with sidewalk, if necessary.

3. Equipment pad shall not be enclosed on all four (4) sides.

4. Minimum dimensions are defined for working and ventillation requirements. Noise abatement requirements may require an increase in the dimensions.

5. See sheets 12 and 13 for barrier post details and placement requirements.

6. Adequate space, 18' minimum width, shall be provided and maintained on one side of the equipment pad to

allow an electric line truck to drive up next to the pad for installation and maintenance of the equipment. Landscaping shall not restrict this access area.

Single Phase Transformer Pads

NOTES:

1. Install 6" x 6"/ 10 woven wire fabric.

2. Install 5/8" x 8'-0" copper ground rod. Maintain 6 foot minimum separation between ground rods.

3. Run #2 stranded bare copper wire from ground rod to pad at minimum of 12" below grade. Leave 8 ft. tail coiled on top of pad.

PVC Duct Sweep Limits

PVC Duct bends or sweeps can be made in the field without mechanical benders to get around obstructions.

The following diagram and table show safe bending amounts for various sizes of ducts. Bending a duct

beyond these values may result in buckling of the duct. For sweeps with a shorter bending radius than shown,

use factory made bends, referenced on sheet 31. Bends made in the field using a “hotbox” or similar

techniques are not allowed.

Manufactured Duct Bends

Factory made bends are to be used in situations where the required duct bending radius is less than as shown on

sheet 30 of this standard - “PVC Duct Sweeps Limits”. The following tables list duct bends that are approved

for purchase by SVP. Bends shall meet the latest revision of ASTM Standard F 512, NEMA Standards TC-8 &

9, and W.U.C. Guideline 3.1. In the event of a conflict, the most stringent will apply. Bends made in the field

using a “hotbox” or similar techniques are not allowed.

Street Crossing Trench Details

NOTES:

1. Backfill and compaction shall comply with City of Santa Clara Engineering Department Standard

Specifications.

2. Comments apply to trenches in existing street areas. City Street Department will make final street

repair unless noted otherwise.

3. Thickness of A/C paving and base rock in new construction shall conform to requirements of

approved street improvement plans.

4. All dimensions shown are minimum required.

5. The 6" bench section for A/C shall be cut and removed immediately prior to finish paving

operations.

6. Ducts may cross over or under crossing utilities as necessary to maintain a minimum 12" separation

from other utility pipes.

7. Maintain a minimum 5' separation between ducts installed parallel to other utility ducts, except for

joint trench installations. Refer to "Joint Trench Configuration" section for joint trench installation

details and requirements.

Street Light Foundation Details

N O TES:

1 Install 5/8" x 8 '-0" G round R od.

2 Install 3/4" x 90° x 12" radius PV C elbow for ground w ire.

3 Install #2 A W G str. bare cu. Leave 24" coiled on top of foundation.

4 Install 2 copper ground rod clam ps as described in "M aterials" section.

5 Install 2" x 90° x 24" radius, PV C bend.

6 Install 4 - G alvanized steel anchor bolts. See table above for size.

7 Install 4 - 1/2" diam eter x 40" long reinforcing bars. W ire tie to anchor bolts.

8 If foundation is installed in sidew alk, pour the foundation to w ithin 4" of sidew alk
