The Enzyme Linked Virus Inducible System (ELVIS) is a complete system for the isolation and detection of Herpes simplex virus (HSV). The key is the genetically modified baby hamster kidney cells (BHK), which have been altered to include a HSV- specific promoter and a LacZ reporter gene. The two genes work together to detect HSV by an enzyme-based histochemical reaction in as little as 17 hours. The HSV-positive cells react with the chromogenic substrate to form a blue precipitate. Due to the sensitivity of this system, both positive and negative cultures can be reported in 17 hours.

Patients with Herpes family (HSV, VZV, CMV) virus infections may be mildly to seriously ill. Easy differentiation and rapid detection of these viruses from lesions and non-lesion sources can be critical to patient management, treatment and reducing the risk of viral spread from one individual to another. Diagnostic HYBRIDS cell and monoclonal antibody systems are optimized for sensitive, specific and rapid detection as well as ease of laboratory testing.

ELVIS cultures may also be typed (if desired) as either Herpes simplex virus type 1 (HSV-1) or Herpes simplex virus type 2 (HSV-2). The ELVIS ID/Typing Stain contains monoclonal antibodies to both HSV-1 and HSV-2 which will react with the same blue cells identified by the enzymatic reactions to identify the isolate.

The ELVIS test system is packaged in many formats to give the laboratory great flexibility and test options.

l. DEFINITIONS. “Document” means this document and any packaging slip, if any, whether in the form of a quotation, order acknowledgment, invoice, or otherwise. “Seller” means Diagnostic Hybrids, Inc., an Ohio corporation. “Buyer” means the buyer identified in this Document and the person or entity named on the order for the purchase of Goods. “Goods” mean the goods, supplies and services supplied by Seller to Buyer as described in this Document.

2. MODIFICATION OF TERMS. These terms may not be added to, modified or superseded except in writing signed by an authorized representative of Seller. This Document and the transactions contemplated hereby are expressly conditioned upon Buyer’s consent to any terms contained herein that are additional to or different from those contained in Buyer’s documents. Any terms that may appear on Buyer’s purchase orders or other documents that are different from or in addition to those contained in Seller’s Document are objected to and rejected by Seller without further notice and notwithstanding any shipment of Goods or acceptance of payments by Seller. If Buyer accepts any performance by Seller, Buyer will be deemed to have accepted all the terms and conditions of this Document.

3. DELIVERY OF GOODS. Unless otherwise stated in this Document, the Goods will be delivered to Buyer F.O.B. Seller’s point of shipment. Any specified delivery date is approximate only. Seller will package all Goods for shipment by airfreight and select the carrier. All transportation expenses, freight and insurance (if any) shall be for the account of Buyer, and Seller shall invoice Buyer for all such charges, costs and expenses. Seller will not be obligated to procure insurance for any Goods. Title to the Goods (subject to Seller’s right of stoppage in transit) and risk of loss, damage and delay will pass to Buyer upon Seller’s tender of delivery of the Goods. If the Goods are held by Seller subject to receiving instructions from Buyer, Seller may invoice the Goods and Buyer agrees to make payment. Goods invoiced and held at any location by Seller will be held at Buyer’s risk and Seller may charge for insurance and storage (but is not obligated to carry any insurance). Buyer will accept and pay for partial deliveries. When Buyer has declared or manifested an intention not to accept delivery, no tender will be necessary but Seller may, at its option, give notice to Buyer that Seller is ready and willing to deliver and such notice will constitute a valid tender of delivery.

4. AVAILABILITY OF SUPPLIES/FORCE MAJEURE. Delivery of the Goods is contingent upon Seller’s ability to obtain supplies, raw materials and services through its regular and usual sources. If for any reason beyond Seller’s control, Seller is not able to meet anticipated deliveries, Seller will not be liable therefor and may postpone the delivery date(s) under this Document for a period of time which is reasonable under all the circumstances.

5. INSPECTIONS AND ACCEPTANCE. Each delivery of Goods will be inspected promptly by Buyer for damage and defects. Buyer will notify Seller of all claimed damage or defects within three (3) business days of Buyer’s receipt of the Goods. If Buyer fails to so inspect or notify Seller, Buyer will be deemed to have accepted the Goods and to have waived any damage or defect. If Buyer inspects the Goods and promptly notifies Seller of its claim that the Goods are damaged or defective, Seller will review Buyer’s claim as provided in Paragraph 8.

6. PAYMENT. Unless otherwise set forth on Seller’s invoice, full payment will be due net thirty (30) days from shipment. In Seller’s sole discretion, credit terms may be extended to Buyer. If Seller does not receive payment when due, Seller reserves the right to charge Buyer a carrying charge equal to one and one-half percent (1.50%) per month on the unpaid balance until paid in full. Buyer will have no right to offset any amounts against any payment or other obligation which Buyer may owe to Seller. In the event Buyer defaults on its obligations hereunder, Buyer shall be liable for all of Seller’s costs and expenses of collection, including reasonable attorneys’ fees, and Seller may, at its option, cancel any unshipped orders of Goods.

7. INDEMNIFICATION FOR INFRINGEMENT. Buyer will defend, indemnify and hold harmless Seller from and against any and all claims, lawsuits and liability for any loss, costs, or damages, arising out of or in connection with any alleged infringement of any United States or other patent, copyright, trademark, or trade name or by any Goods made specially by Seller for Buyer. Seller makes no representation or warranty that the Goods do not infringe the intellectual property rights of any third parties and Seller reserves the right to cancel Buyer’s order, without liability, if, in Seller’s opinion, the manufacture, sale or use of the Goods would infringe any intellectual property rights of third parties.

8. WARRANTY, WARRANTY DISCLAIMERS AND LIMITATIONS OF REMEDIES AND LIABILITIES. Seller warrants only to Buyer for the commercial use described in the documentation accompanying the Goods that, at the time of delivery, the Goods will conform (subject to variations acceptable within the industry) to the specifications set

forth in this Document or the applicable insert provided by Seller with the Goods, if any, if the Goods are stored and used only as directed in the documentation accompanying the Goods before the applicable expiration date. Any Goods determined by Seller not to have been in conformity with the specifications will be replaced or credited, at Seller’s option, as long as Buyer has acted in accordance with Paragraph 5. No item will be deemed defective or non-conforming if such item conforms to previously accepted Goods or if such item otherwise reasonably accommodates Buyer’s intended purpose. It is further understood by Buyer and Seller that (a) NO DESCRIPTION IS A WARRANTY OF PERFORMANCE OR A WARRANTY OF FITNESS FOR ANY PARTICULAR PURPOSE; and (b) all descriptions are subject to variations and tolerances within industry standards (as arising by both publication and usage of trade). Seller makes NO REPRESENTATIONS as to the effectiveness or extent of performance of Goods and assumes NO RESPONSIBILITY for their performance for, or use by, Buyer. In no event will Seller’s liability to Buyer exceed the paid purchase price of the Goods. Except as set forth above, Seller makes no other warranties concerning the Goods whatsoever. SELLER DISCLAIMS AND EXCLUDES ALL OTHER EXPRESS WARRANTIES AND ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. SELLER’S OBLIGATIONS DESCRIBED IN THIS PARAGRAPH 8 WILL BE BUYER’S SOLE AND EXCLUSIVE REMEDY AGAINST SELLER FOR ANY LIABILITY WITH RESPECT TO THE GOODS, WHETHER ANY CLAIM FOR RECOVERY IS BASED UPON OR ARISES OUT OF THEORIES OF CONTRACT, NEGLIGENCE, TORT (INCLUDING STRICT LIABILITY) OR OTHERWISE. IN NO EVENT WILL SELLER BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES. Buyer (i) recognizes that the provisions of this paragraph are a material factor in Seller’s sale of the Goods at the price specified, and (ii) agrees that any accommodation to Buyer by Seller, whether for sales policy reasons or otherwise, shall not be taken to establish any liability of Seller under any contract term inconsistent herewith. Buyer may not bring any action or claim, on any theory whatsoever, arising under or related to this Document or the purchase or use of the Goods, against Seller more than one year following the accrual of the action or claim.

9. COMPLIANCE WITH LAWS. Seller shall endeavor to comply with all applicable Ohio and Federal laws in respect of the Goods; however, Seller is not responsible for compliance with any laws, standards or specifications applicable to the Goods, their delivery, use, handling, labeling, transportation or disposal, unless Buyer has furnished specific written notice thereof prior to Seller’s entry of Buyer’s order and such requirements are included in this Document. Buyer warrants that it will comply with all laws, regulations, standards and requirements that are applicable to the use of the Goods and Buyer’s business.

10. INFORMATION REGARDING THE GOODS. Buyer acknowledges that it has received and is familiar with Seller’s and any other manufacturer’s labeling and literature concerning the Goods and will comply with any instructions or directions contained therein and will forward such information to its employees, agents, contractors and customers. Buyer shall ensure that all employees, agents, contractors and customers are appropriately trained in the safe use, handling and disposal of the Goods.

11. PERMISSIBLE VARIATIONS. Seller has the right to make changes in the composition of the Goods which, in Seller’s opinion, do not affect the general characteristics or properties of the Goods or are within applicable governmental or industry standards.

12. PRICES. Unless otherwise set forth in Seller’s invoice or elsewhere in this Document, all prices for Goods: (a) are quoted and payable in U.S. Dollars, (b) are subject to change without prior notice at Seller’s discretion, (c) are F.O.B. point of shipment, and (d) do not include applicable freight, handling, packaging, transportation charges, insurance, taxes, excises, duties, levies, tariffs, or other governmental impositions or assessments which Seller may be required to pay or collect. Unless otherwise set forth in Seller’s invoice or elsewhere in this Document, any applicable freight, handling, packaging, transportation charges, insurance, taxes, excises, duties, levies, tariffs, or other governmental impositions or assessments are the responsibility of Buyer and, if paid by Seller for Buyer’s account, shall be invoiced to Buyer either with the Goods or separately. All permits, licenses or authorizations necessary for the use of the Goods will be obtained by Buyer at its sole expense. In the event Buyer changes any order (if and when permitted by Seller), Seller may adjust prices accordingly.

13. RETURNS. Returns must be coordinated through Customer Service and require a Return Authorization Number which must accompany returned products.

14. CANCELLATION. Buyer may not cancel any order for Goods without Seller’s prior consent, which may be granted or withheld in Seller’s sole discretion. Seller may cancel or terminate all or part of any order immediately if Buyer is materially delinquent on any of its obligations hereunder or under any other order or transaction with Seller; Buyer becomes insolvent; a receiver under Title 11 U.S.C., as amended (the “Bankruptcy Code”) is appointed for or on behalf of Buyer, or a case under any chapter of the Bankruptcy Code is commenced for, by or against Buyer; Buyer suspends or terminates business or makes an assignment for the benefit of creditors; or any event occurs, whether or not similar to the foregoing, which in Seller’s good faith belief materially impairs the prospect of payment or performance by Buyer hereunder. Seller’s rights to cancel or terminate may be exercised by Seller without liability.

15. REPRESENTATIONS BY AGENT OR REPRESENTATIVE. The terms of this Document will govern the liability and obligations of Seller in regard to the sale of Goods, whether the sale was procured directly by Seller or indirectly through an authorized sales representative. No agent, employee or representative of Seller has any authority to bind Seller to any additional or contrary terms. Unless a term is specifically included within this Document or is in writing signed by an authorized representative of Seller, it will not be enforceable by Buyer or by any person claiming by or through Buyer.

16. CHOICE OF LAW/JURISDICTION. This Document will be governed by the local laws of the State of Ohio, without regard to its choice of law principles. Buyer and Seller hereby submit to the jurisdiction and venue of the state and Federal courts in Columbus, Franklin County, Ohio over any controversy relating to or arising out of this Document.

17. SEVERABILITY. If any of the provisions of this Document are deemed invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will in no way be affected or impaired thereby.

18. MISCELLANEOUS. The rights and remedies of Seller herein will be cumulative and additional to any other or further rights and remedies provided in law or equity. Waiver by Seller of Buyer’s performance, or inaction with respect to Buyer’s breach of any provision of this Document, or failure of Seller to enforce any provision of this Document, will not be deemed a waiver of future compliance therewith or a course of performance modifying such provision, and such provision will remain in full force and effect as written. In the event of a conflict between these terms and conditions and the terms and conditions set forth in an executed product distribution agreement, the terms and conditions set forth in the executed product distribution agreement shall prevail. If any of the provisions of this document are deemed invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will in no way be affected or impaired thereby.
