W elcome to our 2017 Members Directory. We are moving into a new way of publishing
our member information. Because of both cost and convenience, we plan to make
this an electronic edition. Printed hardcopies may be available later.
Our Club is thirty-seven years old this year and the work we do has
never been more important. Our party has been winning elections for
decades in Pinellas County. North Pinellas has been reliably counted upon
to keep Republicans and conservatives winning. The 2016 Presidential
Election is the latest example.
We are approaching 2017 and 2018 much differently than we usu-
ally do in “off years” We don’t believe we can wait until 2020 to prepare
for the next assault from the Democrats. When we have lost con-
tested races lately, it has been because nice candidates from the
other side have run for non-partisan seats on local Boards and Commissions. Once elected they have
acted in the way Democrats always act: Spend more! Push an out of the mainstream social agenda!
And in general, act like Democrats.
Our Club is going to spend the next two years organizing, mobilizing and even sometimes agi-
tating. We have started a Political Activity committee to find opportunities to react when appropriate
to the activism of the other side. We hope you will use this directory as a tool to reach out to our club
members and be a part of our efforts to keep our message in front of voters every day!
Don’t worry, we will still be a party club where you can enjoy some of the nicest and best con-
nected political actors. Our Derby Party, Chili Cook Off and Holiday Party will be really HUGE this year.

By-Laws
ARTICLE I – NAME
The name of this organization shall be the North Pinellas Republican Club (NPRC), also referred to herein as “the Club.”
ARTICLE II – GOALS AND PURPOSES
The overall goal of this Club is to uphold the principles of freedom, equality and justice on which the Republican Party
and the government of this nation were founded, as set forth in the Constitutions of the United States of America and
Florida.
In carrying out the above goal, the Club’s purpose shall be:
a. To bring citizens of voting age into the Republican Party.
b. To foster loyalty to the Republican Party.
c. To promote an informed electorate through political education.
d. To communicate the philosophies, traditions and objectives of the Republican Party.
e. To provide input on the policies, procedures and programs of, and to provide support to, the County and State
Republican Executive Committees.
f. To encourage participation in the Republican Party and encourage support of qualified Republican individuals
interested in holding public office.
ARTICLE III – MEMBERSHIP, DUES & PRIVILEGES
Section 1 – Membership: The membership of this Club shall consist of persons who believe in the principles of the
Republican party, are current in the payment of their membership dues to this Club and who are registered Republicans.
Section 2 – Dues: The membership year shall be from January 1 through December 31. The membership dues shall be
set by the Board of Directors and ratified by the general membership of the Club. Dues shall be payable on or before
January 1st of each year. Any new members joining after August 1st shall pay pro-rated dues of one-half (1/2) the annual
membership rate.
Section 3 – Nonpayment of Dues: Within 15 days after March 1st of each year, the Second Vice President
(Membership Chairman) shall prepare a list of names of members whose dues are unpaid and shall, within that period,
forward written notice of delinquency to each member named on that list, If not paid by April 1st their name will be
dropped from the NPRC roster of paid members.
Section 4 – Eligible Voters List: NPRC Members’ dues paid by September 1st of the clubs election years of officers
shall be eligible to vote at the November meeting. After November 1st, in a year in which officers are elected, the
Treasurer shall prepare a list of paid member’s eligible to vote in the election of Club Officers. Once published, the list
shall not be revised until after the election of officers. A membership list with addresses and phone numbers shall be
provided to each candidate running for Club office at his/her request.
Section 5 – Directory: A Club directory shall be made available to each Club member annually no later than the
March meeting by the Second Vice president, with names, addresses and phone numbers for all Club members, unless a
member chooses not to be listed in the directory, in which case he/she shall notify the Second Vice President of the
Club. The Club membership directory is for the sole use of the members of the Club in conducting Republican Party
activities. This directory cannot be sold or used for any other non-political purpose.
Section 6 – Removal: A member may be removed from membership only by a majority vote of the Board of Directors
present after 15 days’ notice, in writing stating the cause of such action. An opportunity for a hearing before the Board
of Directors will be given.
ARTICLE IV – GOVERNING BODY
Section 1 – The governing body of the Club shall be a Board of Directors consisting of the following Officers:
President, First Vice President, Second Vice President, Secretary and Treasurer all of whom shall be elected every even
numbered year by the Club membership at the Annual Meeting held in November. There shall also be a number of Di-
rectors, whose number shall be determined by the total membership of the Club as follows: two Directors for a mem-
bership of up to one hundred members. At the discretion of the Board of Directors two additional Directors may be
elected for a membership exceeding one hundred. The installation of Officers and Directors will take place at the first
gathering following the annual meeting. This shall include the immediate past President who will then serve as Direc-
tor.
Section 2 – Qualifications and Duties of Officers:
The President shall be a member of the Club for at least one year before taking office, whose duties shall be to preside
at all meetings of the Club and Board of Directors. He/she shall be its chief officer, exercising a general supervision of
the interest and welfare of the Club and performing such other duties as required to achieve these ends.
The First Vice President shall be a member of the Club whose duties shall be to preside at meetings of the Club and
Board of Directors in the absence of the President; to be the Program Chairman (to appoint his/her own committee and
secure speakers and entertainment for general meetings); and to perform other duties as assigned to him/her by the Pres-
ident.
The Second Vice President shall be a member of the Club whose duties shall be to preside at meetings of the Club and
Board of Directors in the absence of the President and First Vice President; to be Membership Chairman (to appoint his/
her own committee, to constantly plan new ways to interest new members and plan membership drives; to check party
affiliation of new members and to make reports to the Board of Directors); to keep records of Club members; to pro-
vide a membership directory annually at no later than the March meeting to all Club members and an addendum list
of additional members in September; to provide a list to the Chairman of the Public Relations Committee which in-
cludes members and other interested Republicans, keeping this list updated each month; and to perform other duties as
assigned to him/her by the President.
The Secretary shall be a member of the Club whose duties shall be to keep the records of attendance at meetings, rec-
ord and preserve the minutes of the Club and the Board of Directors meetings, to be responsible for all incoming and
outgoing correspondence; and to perform other duties as pertain to his/her office.
The Treasurer shall be a member of the Club whose duties shall be to have custody of all funds; to account for all
funds to the Club at its monthly meetings; to provide the Club with a projected annual budget at the annual meeting; to
provide the Club with a final annual financial report at the first regular meeting of the new year; and to perform other
duties as pertain to his/her office.
The Directors shall be members of the Club, whose duties shall be to attend Board meetings, promote the growth and
influence of the Club, support Club functions and advise the Officers of the Club.
Section 3 – No member shall hold more than one office at a time in the Club. The President, First Vice President,
Second Vice President and each Director shall not be eligible to serve more than two consecutive terms (a term is 2
years) in the same office. The Secretary and Treasurer may continue in their respective offices indefinitely upon nom-
ination and successful election. Any Officer or Director vacating his/her office shall turn over to his/her successor or
to the President all minutes, books and records and any other Club property in his/her possession.
Section 4 – Removal: Any member of the Board of Directors who misses three general or three board meetings in a
calendar year without good cause, as determined by the Board of Directors, shall automatically forfeit the office he/
she is holding and his/her successor shall be appointed as set forth in Section 5 below. Any member of the Board of
Directors who misses two meetings shall be notified by U.S. Mail that he/she is liable to forfeiture of his/her office by
reason of missing three meetings, should he/she miss another meeting. In addition, a member of the Board of Direc-
tors may be removed by a two-thirds ballot vote of the general membership present at a legally convened general
membership meeting.
Section 5- Vacancies: The Board of Directors shall appoint a member of the Club to fill a vacancy in any office for
the remainder of the term. However a vacancy in the Presidency shall be filled by the First Vice President.
Section 6 – Parliamentarian: The President shall appoint a Parliamentarian to advise on points of order (see Article
VII).
Section 7 – Legal Counsel: A legal counsel may be appointed by the Board of Directors, and if appointed, shall ad-
vise the President and Board of Directors on legal matters and shall represent the Club in legal matters.
ARTICLE V – MEETINGS
Section 1 – Annual Meeting: The date of the annual meeting of the Club shall be the general meeting in November
of each calendar year. In every even numbered year the Club Officers will be elected at the annual meeting.
Section 2 – General Meeting: The general meeting of the Club shall be held on dates set by the Board of Directors.
Email notice as to when and where meetings are to be held shall be sent out to all members not less than ten days im-
mediately prior to each meeting.
Section 3 – Special Meetings: A special meeting may be called by the President or by a written request of twenty-
five percent (25%) of the membership. The object of the meeting shall be stated in the call and no other business shall
be transacted except that stated in the call.
Section 4 – The order of business at the annual meeting, at the discretion of the President, shall be as follows:

Section 5 – Board Meetings: Meetings of the Board of Directors shall be held at such time and place as determined
by the Board of Directors. Special meetings may be called by the President or at the call of three members of the
Board, provided that in either case, notice must be given to each member of the Board prior to the meeting. At the
Board of Directors meeting immediately following the election of officers, the outgoing Board of Directors shall turn
over all Club records to the incoming Board.
Section 6 – Quorum: Forty percent (40%) of the members of the Board of Directors shall constitute a quorum at a
meeting of the Board of Directors. Ten percent (10%) of the Club membership shall constitute a quorum at a general
meeting of the Club.
ARTICLE VI – COMMITTEES
The President shall appoint chairpersons of the following committees whose duties shall be as stated.
a. Public Relations Committee: Form a committee to create and send out the Club newsletter, which shall make
notice of general meetings of the Club and to handle all Club publicity.
b. Hospitality Committee: Form a committee to take care of new members and guests; to act as ushers for dinners
and meetings; to provide refreshments at club expense and other duties as directed by the Board of Directors.
c. Club Auditing Committee: Three members of the Club, appointed by the President, to audit the Treasurer’s
books and reports, and report at the January meeting.
d. Nominating Committee: Composed of five members of the Club, whose duties shall be to draw up a slate of
eligible members as candidates for office in the Club. Eligible members are defined as those members who have
been members of the Club since March of the election year. This committee shall consist of three members
elected by the Board and two members elected by the general membership. Selection of this committee shall be
made at the August meeting.
The final report of the nominating committee containing a slate shall be presented to the membership at the Oc-
tober meeting. Any member of the Club who is current in the payment of his/her membership dues to the Club
and who has been a member for one year or more, may be nominated from the floor at the October meeting upon
verification of his/her eligibility by the Treasurer. This committee shall look first to the existing board members
when nominating a candidate for President.
e. Other Committees: The president shall appoint any further committees which he/she deems necessary to carry
out the object and purpose of the Club, including Club events.
ARTICLE VII – RULES OF ORDER
The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Club in all cases to
which they are applicable and in which they are not inconsistent with these by-laws and any special rules or order the
Club may adopt.
ARTICLE VIII – AMENDMENT
These by-laws may be amended at any general meeting of the Club by a two-thirds vote of the members present, provid-
ed that written notice of the substance of the proposed amendment is mailed to each member at least ten days prior to the
meeting at which action on the proposed amendment is to be taken. No proxies shall be accepted.
