CORPORATE VIP SPONSOR Host a VIP experience for your corporate clients during the Art & Apples Festival®! Available Saturday and/or Sunday, sponsors will receive a 30 x 30 meeting space overlooking the festival, outfitted with tables with covers, chairs, twenty wristbands, and ten VIP parking spots.

Partnership Agreement

Paint Creek Center for the Arts, a Michigan non-profit corporation located in Rochester, Michigan (“Presenter”), and

Michigan (“Partner”), enter into the following Partnership Agreement (“Agreement”) for the 2021 Art & Apples Festival® (“Festival”) as of the date of the last signature below. WHEREAS, the Presenter will be hosting the annual Art & Apples Festival® (“Festival”) on September 10, 11, 12, 2021 in Rochester Municipal Park (“Park”); WHEREAS, the Partner would like to participate in the Festival as a Sponsor; and WHEREAS, the parties desire to set forth the terms and conditions for the Partner’s participation in the Festival as a:

_____________________________________ Sponsor ($_________) THEREFORE, in consideration of the mutual covenants, promises and conditions contained in this Agreement, and for other good and valuable consideration, receipt of which is hereby acknowledged, the Presenter and the Partner agree as follows:
1. Partnership Fee. The Partner will pay the Presenter the total non-refundable partnership fee due
on or before July 23, 2021. (Please see exclusion in paragraph #7) 2. Partner Recognition. The Presenter will recognize the Partner as follows:
(a) Event Guide Map: Partner will be placed on the map to note location at the festival and name will be listed on the corresponding map key.
(b) Recognition: Company name with website link on www.pccart.org. Best efforts for inclusion in press releases and festival-related advertisements as soon as payment and signed contract are received.
3. Assignment of Space in the Park. The Presenter will provide the Partner with space within the
Park, in accordance with their sponsor benefits. Location to be determined by Presenter. Check here if electric is desired in booth (Note: There is limited access to electric in
the park. Best efforts will be made to accommodate your request.) 4. Tent, Tables, & Chairs. The Partner is responsible for providing all operational equipment
including tents, tables and chairs. Festival tent provider is C&N Party Rental (248) 435-3580. 5. Compliance. The Partner and its employees, agents, and representatives will comply with all
applicable federal, state, and local regulations, as well as the Presenter’s rules and regulations; relating to use of and/or presence in the Park during the Festival.
6. Food. The Partner may not sell, serve, or distribute food or drinks in the Park without the
Presenter’s prior written consent. 7. Non-Liability. Neither party will be liable for any losses or damages of any kind, nature or
description, including without limitation lost profits and compensatory, consequential and/or punitive damages, caused by fire, water, accident, weather, riot, strike, act of God, acts of terrorism or any other cause beyond either party’s reasonable control. If the 2021 Art &

Apples Festival is cancelled due to Covid-19 health concerns, presenter will refund all partner sponsor payments.
8. Independent Contractor. In the performance of their respective duties and obligations under this Agreement, the Presenter and the Partner are each independent contractors and neither is an affiliate, joint venture, employee or servant of the other. Neither the Partner nor the Presenter nor their respective directors, officers, employees, agents, volunteers, representatives, sub-contractors, successors or designees, in their official or personal capacities, are employees of the other for purposes of compensation, fringe benefits, workers' compensation, unemployment compensation, minimum wage laws, income tax withholding, social security, or for any other purpose.
9. Partner’s Property. The Partner’s property used, located and/or stored at the Park will be used and kept at the
Partner’s sole risk and the Presenter will not be liable for any loss or damage to the Partner’s property resulting from any cause, including without limitation theft, vandalism, steam, electricity, weather, water, rain, snow, ice or fire. The Partner is encouraged to purchase insurance covering the Partner’s use and storage of any such property.
10. Indemnity. The Partner indemnifies and holds harmless the City of Rochester and the Presenter, and their respective
directors, officers, employees, agents, volunteers and representatives (“Indemnified Parties”), from and against any and all claims, demands, suits, damages, judgments, liabilities, losses and expenses including without limitation property damage, personal or bodily injury to or death of any person, and attorneys' fees and expenses of litigation, to which the Indemnified Parties may become subject actually or allegedly arising out of or relating to: (a) any failure of the Partner to observe or perform any of the covenants, conditions, agreements or obligations set forth in this Agreement; (b) any damage caused in whole or in part by the Partner to the Park, any structures or improvements located within the Park and/or any of the Partner’s property; or (c) any other action or omission of the Partner.
11. Applicable Law. Michigan law will govern the validity, construction and performance of this Agreement, and
Michigan will be the forum for any proceeding or suit at law or in equity arising from or incident to this Agreement. 12. Miscellaneous Provisions. This Agreement may not be assigned without the other party’s prior written consent.
The invalidity or unenforceability of any term or provision of this Agreement will in no way affect the validity or enforceability of any other term or provision. A waiver by either party of any provision of this Agreement will not waive any other provision. This Agreement, including the Recitals, contains the entire agreement between the parties, and will be binding upon the parties and their respective successors and assigns. No amendment to this Agreement will be effective unless it is in writing and signed by both parties’ authorized representatives. This Agreement is for the sole and exclusive benefit of the parties, and neither party intends to create a benefit in favor of any other person, entity or third party.
13. Covid-19 Provisions. Partner understands that participation in the Art & Apples Festival may increase the risk of
becoming exposed to and/or infected by COVID-19 and hereby releases and agrees to hold Presenter including Indemnified Parties harmless from any and all causes of action, claims, demands, costs, expenses and compensation for damage or loss to partner that may be caused by any act, or failure to act. The partner acknowledges their responsibility to ensure individuals working in support of the Partner for the Festival are appropriately screened to ensure they do not have risk factors associated with Covid-19 such as symptoms of and/or exposure to the virus. Further, Partner agrees to comply with state mandates and Presenter directives during the festival.
