The country’s largest paper pro-ducer, Ballarpur Industries, islooking to raise $330 million, or

.̀ 1,485 crore, by listing its overseassubsidiary, Bilt Paper Plc, at the Lon-don Stock Exchange, to fund expan-sion and reduce debt.

Gautam Thapar-promoted Avantha

Group’s flagship paper company Biltowns 79.5% in Bilt Paper Plc with therest held by Singapore’s sovereignwealth fund GIC and JP Morgan whoinvested around $175 million for the20.5% stake in January 2008. Bilt saidthe two financial investors may sellpart of their holding during the saleof shares in London.

The company did not disclose thequantum of equity stake that will besold in the issue but Avantha Groupfinance chief B Hariharan said in aconference call that the companywill dilute at least 25% equity accord-ing to the minimum public issue re-quirement.

Bilt Paper Plc houses the group’scommodity paper and pulp businessas also the Malaysian operationsthat the group acquired in March2007.

Bilt said it anticipates that Bilt Pa-per Plc will enter the FTSE 250 andFTSE All-Share Indices and is ex-pected to be eligible for entry to the

FTSE UK index series post its listingon the London Stock Exchange. Biltshares rose 5.13% to close at Rs 32.8 atBSE in a strong Mumbai market on

Tuesday. According to back-of-the-envelope calculations, if Bilt retainsa majority stake in Bilt Paper Plc sothat it can consolidate earnings of itscommodity paper business and Ma-laysian unit, the value of its holdingin the London listed subsidiary willbe equal or more than its own marketcapitalisation.

The company intends to use the netproceeds of the issue to financearound $170 million of capital expan-sion plans, for development of en-larged pulp mill facilities, as well asthe capacity expansion of two exist-ing paper production facilities. It alsoplans to cut its debt through redemp-tion of approximately $140 million ofprofit sharing certificates held byBilt International Holdings, a whollyowned entity of Bilt that in turn owns79.5% stake in Bilt Paper Plc.

N SHIVAPRIYA

MUMBAI

The US healthcare sector of-fers a multi-billion dollar ITand back-office services op-portunity, much bigger thanthe Y2K opportunity whichtransformed many Indian ITproviders. Recent regulatorychanges mandating more in-clusive healthcare and stan-dardisation in patient re-cords in the US have made theopportunity more attractiveand immediate. Richard SGarnick, who in his previousavatar as Wipro’s head of theAmericas and enterprise ap-plication services helped togrow revenues from millionsto billions, now wants to re-peat that growth story inhealthcare sector.

“When I joined Wipro in2001, North America was on-ly $140 million in revenues. When I left in 2005 it was $2billion,” says Garnick. Hestarted Conjoin over threeyears ago to help transformcompanies using the globali-sation model. In Novemberlast, with help from privateequity firm Actis, Conjoin ac-quired PHNS, an IT and BPOprovider to the US healthcaresector, and this is where Gar-nick is placing his bets now.

Conjoin has just been re-christened as Anthelio be-cause, Garnick says, the ear-lier name could trigger asso-ciations of ‘conjoined twins’in the healthcare sector. Thefirm will first go after the USmarket and then possiblyeven expand to Europe.“Healthcare and educationare two sectors with big prob-lems that can benefit from aglobalisation model,” hesays.

As compared to financialservices, the US healthcaresector has been a laggard inadopting offshoring and tech-

nology. Some of the reasonsfor this are regulatory andprivacy concerns relating topatient records, knowledge ofmedical procedures andcodes and variations betweenstates, which make outsourc-ing more challenging.

But new economic pres-sures and government man-dates are forcing the sector tomodernise and consider out-sourcing. The Healthcare Re-form Bill, signed into law inMarch 2010, brings around 32million more Americans un-der insurance cover. This ispushing providers and insur-ance firms to become more ef-ficient.

Garnick says US govern-ment investment in theHealthcare Bill is estimat-ed to be over $1 trillion over10 years and total impact tothe private sector is ‘practi-cally immeasurable’. Addi-tional opportunities in-clude conversion of UShealthcare records fromthe ICD-9 to ICD-10 formatand other codes like theHIPPA and Family MedicalProcedural Codes. TheICD-9 or the InternationalStatistical Classification ofDiseases-9, which has ap-proximately 11,000 classifi-cations is set to move to theICD-10 format, which hasaround 68,000 classifica-tions, by 2014. This is will in-volve changes both to thesystems of healthcare pro-viders, ancillaries and pay-ers, with incorrect classifi-cations leading to potentialunder-invoicing or over-in-voicing.

PHNS, with around 2,000employees — 1,600 in US and400 in India — hopes to play inall these segments. In next 4-5years, Garnick expects thestaff strength to go up to12,000-15,000 with about 6,000being based in the US.

Steel pipemaker Jindal SawLtd is in talks to acquire a lo-gistic firm that operates con-tainer trains and owns termi-nals for about Rs 100-150 croreand expects to close the dealin three months, its manag-ing director said on Tuesday.

“We are planning to acquirea company in this spacewhich has terminals at criti-cal locations. At that level, wewould probably become In-dia’s only multi-modal logis-tics company which has itsown terminals, its own railoperations and also hasships,” Indresh Batra toldReuters in an interview.

India allowed private firmsto run container trains aboutfive years ago encouragingseveral private operators totake the plunge, but a globaldownturn that soon followeddidn’t let the private firmssettle in as trade shrank andvolumes dropped.

Jindal Saw has a small pres-ence in the logistics space atpresent through its unit Jin-dal ITF that runs eight ves-sels and three barges aroundIndian coast, but is aiming toramp up its presence quicklythrough an acquisition.

A deal will give it the ability

to use rail to transport goodsand inland depots to ware-house them, Batra said, add-ing it doesn't intend to be alarge shipping company butmay own ships or tie up withother shipppers to transportgoods to Asian countries.

Jindal Saw is betting on thepower sector, whose massivegrowth would also necessi-tate huge coal movement. Arising manfacturing sectorin India would boost businessscope for logistics firms, Ba-tra said.

Jindal ITF also operates inurban water and waste man-agement business and ex-pects to gross about Rs 900crore in revenue in 2011-12.

Jindal Saw sees 30% salesgrowth in pipes business onstrong demand emergingfrom the US and other coun-tries that are laying pipelinesto transport oil and gas, andmany cities that are prepar-ing to give its residents a bet-ter water and waste manage-ment systems.

“All our investment are inthe core sector where de-mand for pipes, be it oil & gaspipes, seamless pipes or wa-ter and sanitation drivenpipes, is rising because thereis a fundamental investmentthat is happening,” Batrasaid.
