American Homestarcontinues expansion throughacquisition
League City-based American Homestar, which develops andsells manufactured homes, has signed a definitive agreementto purchase N.C. Mobile Home Corp. of North Carolina foras much as $4.5 million. N.C. Mobile Home is a retailer with12 locations, primarily in North Carolina.
The news comes on the heels of American Homestar'sdecision to purchase Alabama-based Brilliant Homes, whichwill add three new manufacturing plants to the company'snetwork.
The Brilliant Homes and N.C. Mobile Home acquisitions areexpected to close in June.

The N.C. Mobile Home purchase is contingent on certainperformance targets and will be funded through $2 million inAmerican Homestar's common stock and $2.5 million incash.
American Homestar co-chief executive officer Finis F. Teetersays the company is attempting to strengthen its retail basethrough the N.C. Mobile Home purchase.
"This acquisition represents an important addition to ourretail distribution network in the Carolinas," Teeter said in aprepared statement. "When added to our existing retailfranchise system and the non-affiliated independent dealerswe serve, these new company retail centers will afford us abroader and more solid distribution base from which we cancontinue to implement our vertical integration growthstrategy."
American Homestar currently operates eight manufacturingplants and 52 company-owned retail centers. The firm servesmore than 300 independent retail locations in 24 states.
When the Brilliant Homes and N.C. Mobile Homeacquisitions are completed, American Homestar will operate11 manufacturing plants serving more than 400 independentretailers and 67 company-owned retail centers.

American Homestar Corporation (Nasdaq!NM:HSTR) today announced results forthe fourth quarter and fiscal year ended June 30, 2000. For the quarter,revenues were $139 million compared with $186 million in the year-earlierperiod. The net loss before special charges for the fourth quarter was$3.2million, or $0.17 per diluted share, compared with net income of$4.6 million, or$0.25 per diluted share, in the prior-year period.
The Company previously announced that it would incur and provide for specialcharges relating to a restructuring of its retail operations and for the closingof its Henderson, North Carolina, manufacturing facility. Results for the fourthquarter reflect several restructuring, impairments and other special chargestotaling $27.4 million, after tax, or $1.49 per diluted share. On an after-taxbasis, the write-off of goodwill associated with prior retail acquisitionsaccounted for $19.9 million of the total. Of this amount, $9.8 million isgoodwill associated with the acquisition of First Value Homes and NC Homes,which were not part of the Company's formal restructuring plan and were notincluded in previous estimates. Also on an after-tax basis, fixed assetimpairment and other direct restructuring costs amounted to $3.2 million, retailinventory impairments totaled $2.6 million, and other items, principally anaddition to the Company's warranty expense accrual, totaled $1.7 million. As aresult of these special charges, the Company posted a net loss of $30.6 million,or$1.66 per diluted share for the quarter.
For the year ended June 30, 2000, revenues were $574 million compared with$654 million in the comparable period last year. The net loss before specialcharges for fiscal 2000 was $16.4 million, or$0.89 per diluted share, comparedwith net income of $17.9 million, or$0.96 per diluted share, last year. Resultsfor the year ended June 30 reflect the special charges mentioned above as wellas after-tax charges of $3.8 million, or $0.20 per diluted share, in connectionwith the first and third quarter closings of the company's manufacturingfacilities in Vicksburg, Mississippi, and Brilliant, Alabama, asset impairmentcharges, and a provision for future losses in connection with new homerepurchase, from retail dealers. Total after-tax special charges for the yearended June 30, 2000, were $31.2 million, or $1.69 per diluted share. Includingspecial charges, the Company reported a net loss of $47.6 million, or $2.58 perdiluted share, for the year ended June 30, 2000.

American Homestar Corporation (Nasdaq/NM:HSTR) today announced plans toconsolidate production in its Alabama manufacturing facilities. The plant inBrilliant, Alabama, will temporarily be idled, and production will be shifted tothe Company's plant in Lynn, Alabama. The transition will be seamless forretailers, who will receive the same products and be served by the same salesteam.
The Lynn facility, at 140,000 square feet, is the largest and has thegreatest production capacity of the Company's three plants in Alabama. It willmanufacture the product lines of both the Lynn and Brilliant plants until marketdemand is sufficient to utilize the capacity of both plants. Most Brilliantemployees will be offered transfers to the Lynn plant, which is located a shortcommuting distance away. The Company also operates a plant in Guin, Alabama,which is currently operating at solid production rates and will remain open.
Commenting on the plant consolidation, Chief Executive Officer LaurenceDawson, Jr. said, "We have seen some encouraging signs in this region during thelast several weeks. Order input and production rates have been graduallyimproving, but have not yet reached levels that support all three Alabama plantsat desired levels. This consolidation will allow us to improve capacityutilization rates at both Guin and our recently modernized Lynn facility. It ispart of our plan to aggressively improve the performance of all of our operatingunits. Our goal is to ensure that all business units are profitable by the endof the fiscal year ending June 30, 2000."
The Company indicated that it will incur one-time charges in the thirdquarter ending March 31, 2000, to recognize certain restructuring expenses andother non-cash reserves in connection with the consolidation. Specific amountsof such charges are not yet available.
