Rules of OrderProposed 2016
ProposedadditionstoRules6.2and6.4areindicatedbyBold ItalicsandproposeddeletionsfromRule6.4areindicatedbystrikethrough type.
Explanation: Theproposedrulechangesareintendedtodealwithaspecialcasethatmayoccurinthisyear’sballoting.Assumingthattherearenonominationsfromthefloor,therewillbethreenomineesforExecutiveCouncilandthreepositionstobefilled,oneofwhichisavacancywithoneyearremainingintheterm.Althoughallthreenomineeswouldbeelected,theConventionmuststilldecidewhogetsthefulltermsandwhogetstheshortterm.Underthecurrentrules,everyMemberofConventioncouldvoteforallthreenominees,resultinginathree-waytie.TheproposedrulechangeswouldreducethenumberofvotescastbyeachMembertotwo,makingitlikelythatthetermswouldbedecidedonthefirstorsecondballot.

Before ConventionSection 1 — Procedure for Resolutions
1.1AnyresolutiontobeconsideredbytheConvention,otherthanthosenecessarymattersofprocedureandbusinessoftheConvention,mustbereceivedbytheChairoftheResolutionsCommitteeatleastninety(90)dayspriortotheopeningofConvention.ResolutionsmaybesubmittedbyanyclericorlaydelegateeligibletovoteattheConvention,orbyanyparish,mission,orotherofficiallyrecognizeddiocesanorganization.Includedonthecopyoftheproposedresolutionshallbethenameandaddressoftheproposeroftheresolution.
Inthecaseofresolutionssubmittedbyanorganization,theresolutionshallstatethenameoftheRector,Vicar,Chair,orotherpersondulyauthorizedbythatorganizationtorespondtoquestionsandacceptamendmentstosuchresolutions.
Itshallbeopentootherpersonsororganizationstobelistedassupportersofaresolution.
1.2TheCommitteeonResolutionsshallmeetnotlessthanseventy-five(75)dayspriortotheopeningofConventiontoconsiderresolutionssubmittedintimelyfashion.TheCommitteemaymakesucheditorialchangesasmayappearnecessaryforaccuracyorclarification.Substantivechangesinresolutionsshallnotbemadewithouttheconsentoftheproposer.However,atitsoption,theCommitteemaymakesuggestionsorrecommendationsconcerningresolutions,whichmaybeincorporatedinthepre-ConventionmaterialsfurnishedtotheDeaneries.
Copiesofallresolutions,intheiroriginalform,orasmodifiedbytheResolutionsCommitteeshallbefiledwiththeSecretaryofConventionandshallbeincludedinthepre-conventionmaterialsdistributedtothesixdeaneries.
1.3TheseveralDeanerymeetingsatwhichsuchresolutionsareconsideredshallbeopentoallinterestedpersons.Advancewrittennoticeofthetime,dateandplaceofthemeetingofsuchDeaneryshallbegivenbytheDeanerySecretarytotheproponentsoftheresolutionandtootherinterestedpersonswhohaveinwritingrequestedsuchnotice.ItshallbeopentothepresidingofficerattheDeanerymeetingstocallforastrawvote,ifdesired,onresolutionsafterappropriatediscussion,butsuchvoteshallnotbebindingonpersonspresentwhoshallbeentitledtovoteattheConvention.
1.4TheCommitteeonResolutionsshallsubmitnomorethanfive(5)resolutionstotheConventionforitsconsideration.Thisruleshallnotapplyto
a) routineorincidentalmotionsrequiredbytheCanonsorRulesofOrder,includingactiononthebudgetandassessmentformula;
b) resolutionsproposedbytheCommitteeontheBishop’sAddress;
c) courtesyresolutions;d) proposedchangestotheConstitutionandCanons;exceptthatiftheCommitteeonDispatchofBusinessdeterminesthatsuchproposedchangesaresufficientlysubstantiveastorequiresignificantdebate,thentheproposedchangesshallcountasoneresolutionandtheCommitteeonResolutionsshallsubmitnomorethanfour(4)resolutions;
e) resolutionsplacedintheConsentCalendarbytheCommitteeonDispatchofBusiness.

1.5AnyproposedresolutionthatdoesnotmeettheforegoingcriteriamaybeconsideredbytheConventiononlyupontheaffirmativevoteoftwo-thirds(2/3rds)ofthosepresentandvotinginConvention.IftheConventionagreestoconsideraresolution,itshallbereferredbytheChairtotheCommitteeonResolutionsorotherappropriateCommitteeofConvention.
1.6AnyproposedamendmentstoaresolutionmaybefiledwiththeSecretaryoftheConventiononorbeforetheopeningofConvention,andshallpromptlybereferredbytheChairtotheCommitteeonResolutionsorotherappropriatecommittee.
1.7AnyresolutionssubmittedtotheCommitteeonResolutionsandnotsubmittedtotheConvention,unlesswithdrawn,shallbeidentifiedbytheCommitteeinitsreport.Thereportshallincludethenameorsubjectofeachresolution,thename(s)oftheproposer(s),andthereasonitwasnotsubmittedtotheConvention.
During ConventionSection 2 — Order of Business
BoththeAnnualandSpecialConventionsshallopenwithdivineworship,atwhichservicetheBishopmayreadanaddress.Followingtheservice,thePresidentshalltakethechair,afterwhichtheOrderofBusinessshallbeasfollows:
2.1Aquorumbeingpresent,thePresidentshalldeclaretheConventionorganizedforbusiness.
2.2TheConventionhavingbeenorganized,thePresidentmayyieldthechairtotheChairmanChairofConventionelectedorappointedpursuanttotheprovisionsoftheCanons.
2.3TheBishop’sAddress,ifnotreadduringdivineworship.Tablediscussionsmayfollowtheaddress.
2.4ReportoftheCommitteeonCredentials.Anycontestedrightorclaimtoaseatinthecaseofacleric,andanyirregularordoubtfulcertificatesinthecaseofdelegates,shallbereferredtotheCommitteeon
Credentials.TheseatingofclericsordelegatesinquestionshallbedecidedbytheConventionupontherecommendationoftheCommitteeonCredentials.
2.5ReportoftheCommitteeonDispatchofBusiness.TheCommitteeonDispatchofBusinessmayproposeaSpecialOrderestablishingaConsentCalendarconsistingofroutineandnoncontroversialmatters.TheadoptionoftheConsentCalendarshallbebyunanimousconsent;andifanymemberobjectstoanitem,itshallberemovedfromtheConsentCalendarandconsideredatatimedeterminedbytheChair.AllitemsintheConsentCalendarshallhavebeenpublishedforconsiderationofthemembersofConventionatleasttwoweeksbeforetheConvention,usingthenormalmethodsforpublishingConventionmaterials,whichmayincludeelectronicpostingordistribution.MattersplacedintheConsentCalendarmayinclude,butarenotlimitedto
a) TheConventionAgenda,b) AnySpecialOrdersgoverningreportsordebate,c) Bishop’sappointmentsrequiringtheconsentoftheConvention,d) TechnicalamendmentstotheCanonstocorrecterrorsorcomplywithfederal,stateorcanonlaw,e) Resolutionsdeemednoncontroversial.
2.6TheappointmentbythePresidentoftheChancelloranyotherappointedofficesrequiredbytheCanons,anyCommitteeoftheConventionnotpreviouslyappointedunderprovisionsoftheCanons,thefillingofanyvacanciesresultingfromabsenceorothercauses,andtheentryintheminutesofthenamesofthosecomprisingtheCommitteespreviouslyappointed.
2.7ReportoftheCommitteeonResolutions.
2.8ReportoftheCommitteeonNominationsandfurthernominationsfromthefloorforalloffices,committeesandboardstobeelectedbytheConvention,followedbythefirstballot.
2.9Otherbusiness.AfterconsultationwiththePresident,theCommitteeonDispatchofBusinessshallarrangetheremainingbusinessoftheConventioninanorderthatbestservesthethemeandfocusofthatConvention.

Provisionshallbemadefora) ReportoftheCommitteeonCanons.b) ReportoftheTreasureroftheDiocese,includingthereportoftheauditoftheTreasurer’sBooks.c) ReportoftheExecutiveCouncil.d) PresentationoftheProgramandBudgetoftheDioceseforthecomingyear.e) ReportsofSpecialCommitteesappointedatpreviousconventionsorbythePresident.f) ActiononresolutionsreportedbytheCommitteeon Resolutions.g) ReportoftheStandingCommittee.h) Reportsofsuchotherofficers,boardsandcommittees ofConventionasrequestedbythePresidentororderedbytheConvention.i) Additionalballotsasneeded.j) Prayer.
Section 3 — The Business of Convention
3.1AllelectionsshallbeconductedinaccordancewithCanonVIIandtheseRules.
3.2AllSpecialCommitteesshallbeappointedbythePresident,unlessotherwiseordered.
3.3ThereportsofallCommitteesshallbeinwriting,andshallbereceivedincoursewithoutmotionforacceptance.TheyshallbeincludedintheJournalofConvention,unlessotherwiseordered.IfrecommendingorrequiringanyactionorexpressionofopinionbytheConvention,theyshallbeaccompaniedbyaresolution,orresolutions,fortheconsiderationofConvention.
3.4TheprescribedOrderofBusinessshallnotbedepartedfrom,norshallanyRuleofOrderbesuspended,unlessbyavoteoftwo-thirds(2/3rds)ofthememberspresent.
3.5NoOrderofBusinessshallbechangedorrescinded
exceptbyvoteofConvention.
3.6AnAlternateDelegatemaynotvoteorhavevoiceinConvention,unlessanduntilcertifiedbytheCommitteeonCredentialsasasubstituteforaDelegate.
3.7FollowingthecloseofConvention,thePresidentofConvention,theChairofConvention,andtheSecretaryofConventionareauthorizedtocertifytheminutesoftheConventionforpublication.
3.8ThecourtesyofseatandvoiceshallbegrantedtoDeaneryPresidents,ChairsofDepartmentsandCommissions,andrepresentativesofspecialprojectsforthepurposeofexplainingtheirworkandrespondingtoquestions.
Section 4 — Parliamentary Procedure
4.1Noprincipalmotion,amendmentthereto,orsubstitutetherefor,shallbeacteduponbytheConventionuntildulysecondedandsubmittedinwriting.Noamendmentorsubstituteshallbefinallyadopteduntilthesamebereadtothehouse.
4.2WhenaquestionisbeforetheConvention,nomotion,exceptashereinafterprovided,shallbereceived,buttolayonthetable,tomovethepreviousquestion,tolimitdebate,topostponetoacertaintime,tocommit,toamendortopostponeindefinitely,whichmotionsshallhaveprecedenceintheordernamed.
4.3Allamendmentsshallbeconsideredintheorderinwhichtheyarereceived.Whenaproposedamendmentisunderconsideration,amotiontoamendthesamemaybemade;nofurtheramendmenttosuchsecondamendmentshallbeinorder.
4.4Amotiontolayonthetableshallalwaysbedecidedwithoutdebate.
4.5Amotiontoadjournshallalwaysbeinorder,whennomemberisspeaking.

4.6Thepersonwhohasmadeamotionormovedaresolutionmaywithdrawthesame,withouttheconsentoftheseconder,atanytimebeforethedecisionoramendment,inwhichcaseitshallnotbeenteredupontheminutes.
4.7Ifaquestionunderdebatecontainsseveraldistinctpropositions,thesameshallbedivided,attherequestofanymember,andavotetakenseparatelyoneachdivisionthereof.
4.8Thevotesshallbetakenbyayesandnays.OnanysinglequestioneachmemberofConventionshallhaveonevote.NovoteshallbetakenbyOrdersunlesssoprescribedbytheConstitutionandCanons.
4.9Anymemberwhosecharacterormotivesmayhavebeenattackedorquestionedindebateshallhavetherighttospeaktoaquestionofpersonalprivilege.
4.10Aquestionthathasbeendecidedshallnotbereconsideredduringthesamesessionexceptwhensignificantcircumstancescanbeadducedtosupportreconsideration.Noquestionshallbereconsideredmorethanonce.Inamotiontoreconsideraresolutionormotionpreviouslyadopted,thereconsiderationofsaidactionshallbeprecededbythereadingbytheSecretaryoftheresolutionasrecordedintheminutesoftheConvention.
4.11AllquestionsofordershallbedeterminedinthefirstinstancebytheChair,butanymembermayappealfromanydecisionoftheChair;andonsuchappealnomembershallspeakmorethanoncewithoutleaveoftheConvention.
4.12DuringalldebatestheChairshallcallalternatelyuponthosewishingtospeakforandagainstthequestion,solongastherearethosebothproandconwhowishtospeak.
4.13Afterhavingspokentoit,theproponentofamotionmayrespondtoquestionsofclarificationfromthefloorbeforedebatebegins.
4.14PriortoanymattercomingbeforetheConvention,
theCommitteeonDispatchofBusinessmayintroduceresolutionslimitingthetimeallottedforitsconsiderationanddebate.
4.15Amotiontocaucuswillalwaysbeinorder,evenafterdebateonaquestionhasterminated.Themotionisnotdebatable.Shoulditbecarriedbyamajority,theChairwillsetthetimeallottedforthecaucus.4.16IncircumstancesnotcoveredbytheseRules,therulescontainedinthecurrenteditionofRobert’sRulesofOrder,NewlyRevisedshallapply.
Section 5 — Nominations
5.1Undertheproperorderofbusiness,theCommitteeonNominationsshallproposetwoormorenames,ifpossible,otherwiseonlythenumberrequiredforaspecificoffice.Nominationsmaybemadefromtheflooratthattime.Nosecondsarerequired.Inplacinganameinnomination,thefollowingarerequired:1)thenameandpositionheldbythepersonbeingnominated;2)priorconsentgivenbytheindividualtobeplacedinnomination;and3)biographicalmaterialpreparedanddistributed.

Section 7 — Conduct of Elections
7.1Thepollsshallbeopenedinaconvenientplace,atanhourandforaperiodfixedbytheConvention.Whenthetimeforvotingexpires,theChairoftheCommitteeonElectionsshalldeclarethepollsclosedandthetellersshallproceedtocountthevote.
7.2Eachvotershallvotebymakingacheckmarkoracrossoppositethenameofthenomineeforeachpositiontobefilled,onasingleballotfortheappropriateoffice;exceptthatifautomatedvote-countingequipmentisemployed,themarkshallbeasspecifiedbythemanufacturer.
7.3Intallying,thefollowingballotsshallnotbecounted:

Conversion of Parish to Mission
Canon 11.08 Resolved, that Canon XI, Section 11.08 of the Canons of the Diocese of California be
amended as follows (deletions in bold strikethrough text, insertions in bold italic text):
Sec. 11.08. Conversion of Parish to Mission.
(a) If, after notice to the parish and opportunity to be heard, the Bishop and the Standing Committee shall have determined that any parish:
(i) cannot support a rector full time,
(ii) cannot fails to provide the financial support necessary for the spiritual maintenance of and an adequate program for the parish,
(iii) cannot fails adequately to insure and maintain its parish property, or
(iv) fails to observe the Constitution and Canons of The Episcopal Church and of the Diocese,
and that such condition is not of a temporary nature, the parish shall, at the request of the Bishop, surrender its rights and privileges as an organized parish and become an organized mission under the Bishop’s authority as its rector upon such terms as the Bishop shall prescribe. The Bishop shall then certify to the Secretary of the Convention that the congregation has become an organized mission.
(b) Upon or after conversion in status to an organized mission termination of its status as a parish, the congregation parish, if so requested by the Bishop, shall forthwith take the steps necessary to transfer to the Diocesan Corporation, all of its property to be held, managed or disposed of in such manner as the Bishop and the Standing Committee may determine.
Proponent’s Explanation The proposed amendment would more accurately describe the circumstances and
effect of the change in status of a congregation from a parish to an organized mission.

CANON REVISIONS / AMENDMENTS
Appointment and Tenure of Committee Members
Resolved, That Canon VI, Section 6.02, is amended to read as follows:
Sec. 6.02. Appointment. Members of the Regular Committees of the Convention, other than the Committee on Program and Budget and the Committee on Nominations, shall be appointed annually by the Bishop within 90 days following the close of the preceding year’s Annual Convention to serve for one (1) year subject to reappointment or until their successors are appointed, unless their term shall be earlier terminated by the Bishop. Any vacancies in these committees shall be filled by the Bishop’s appointment.
Proponent’s Explanation: Under the language of the current canon, the bishop is required to formally reappoint members of several Convention committees annually. However, the actual practice has been that committee members, once appointed, have continued to serve without receiving formal reappointment from year to year. The proposed amendment, the operative language of which is derived from Robert’s Rules, confirms the current practice. (Robert’s Rules of Order, Newly Revised, at 574 (2011)). Submitted by Jay W. Certain Defined Terms — New Technology
Resolved, That the following definitions be added to the Appendix of the Canons of the Diocese of California titled “Certain Defined Terms:”
“Countersigned” means the same thing as “signed” when a second or responding signature is required.
“Mail” means U.S. Postal Service or electronic mail, either or both.
“Publish” means to produce and make available a document either in paper form or as an electronic document on the web site of the Diocese of California, or both.
“Signature” means a handwritten signature, which includes such a signature when scanned and transmitted or stored electronically.
“Signed” means having a handwritten signature, including documents containing such a signature when scanned and transmitted or stored electronically.
“Written” or “in writing” means written either in paper form or electronic form, including electronic mail or posting on the web site of the Diocese of California, except when the Bishop requires that a document be in paper form.
Proposer’s Explanation: Recent advances in technology have added new meanings to some words, such as “mail” or “written,” which formerly had simple and straightforward meanings. In some cases it is unclear whether we should follow the simpler meaning that applied when a canon was originally written, or allow the meaning to expand to include new technology. For example, it has become the practice of the Diocese of California to send “written” notices by email both for efficiency and to help safeguard the integrity of creation by reducing our consumption of natural resources, such as trees. But such a practice was not envisioned when the notice provisions in the Constitution and Canons were originally adopted. It is important that we agree that such practices do comply with the original intent of the Canons and that we document that agreement to avoid future misunderstandings or disagreements about whether we are following our own rules.

Financial Results for Calendar 2015
ThefinancialbooksandrecordsoftheDiocesanCorporationarecomposedoffiveseparatefunds:

TheDiocesanCorporationintotalexperiencedadecreaseintotalnetassetsof$663,102during2015.ThisdecreasewasprimarilyduetoadecreaseinthemarketvalueoftheEndowmentFund.Asnotedinlastyear’sconventionreports,atthebeginningof2012themanagementoftheendowment’sinvestedfundswastransferredtoTheInvestmentFundforFoundations(“TIFF”),anonprofitinvestmentorganizationthatservesonlyfoundations,endowmentsandothernonprofitentities.PursuanttotheresolutionpassedbyConventioninOctober2013thatfifteenpercentofthediocesanendowmentbeinvestedinsociallyresponsibleinvestments(SRI)overthreeyears,tenpercentoftheEndowmentFund’sinvestedassetshavebeentransferredtoSRIfundsmanagedbyFundX(aSanFranciscoinvestmentfirm)andwereinvestedin100%sociallyresponsibleinvestments.Anotherfivepercentwastransferredinearly2016.
TheOperatingFundoftheDiocese(whichreflectstheoperatingincomeandexpensesoftheDiocese)hadasmallsurplusforthe2015year.TheprimarysourcesofrevenuefortheOperatingFundareassessmentincome,giftsandtheannualincomedistributionfromtheEndowmentFund.
Attheendof2015theDiocesehadoutstandingloanstovariousparishes,missionsandDiocesanorganizationsofapproximately$3.4millionunderitsprogramofprovidingfinancialassistanceforDiocesanorganizationsseekingassistanceforcapitalimprovementstotheirproperties.TheDiocesecontinuestoprovidebothpayrollandpersonnelbenefitsservicestorelatedchurchesandorganizationswithintheDiocese,aservicethatisofferedinveryfewotherEpiscopaldioceses.Attheendof2015theDiocesehadreceivablesofapproximately$1.5millionforpayroll/benefitadvancesunderthisprogram.
2016 Forecast and 2017 Budget
TheOperatingFundisexpectedtooperateatlossinthecurrent2016year,primarilyasaresultofunanticipatedlitigationexpenses.
Theproposedassessmentratefor2017continuestobethelowerassessmentrateapprovedbyConventionin2011,withatoprateof17%(versusatoprateof20%inpreviousyears).
TheProgram&BudgetCommitteeandtheExecutiveCouncilhaverecommendeda2017operatingbudgetthatwillresultinabalancedbudgetfortheyearwithasmallsurplus.Acopyofthisproposed2017budgetisincludedinthefollowingpages.
PleasenotethatforthedurationoftheExpandingHorizonscapitalcampaign,thesalaryandbenefitsofthedirectorofdevelopmenthavebeenmovedtothecapitalcampaignfundanddonotappearintheoperatingbudgetpresentedhere.Becauseofstafffocusonthecapitalcampaign,wehavelikewisediscontinuedthelineitemforcurrentgiftincomeforthedurationofthecapitalcampaign.

Thisbudgetcurrentlyreflectsacostoflivingincreaseforsalariesestimatedat3.0%andanexpectedincreaseinthecostofmedicalandotherpersonnelbenefitsestimatedat10.0%.TheactualcostoflivingincreaseasmeasuredbytheSanFranciscoConsumerPriceIndexforAllUrbanConsumersfortheyearendingJune30,2016was2.7%,andinkeepingwithprioryears’practice,theactualpercentageincreaseasofJune30issubmittedtoConventionforitsapprovalastherecommendedCOLAfor2017salaries.
Financial Policies and Procedures
TheFinanceCommitteeoftheExecutiveCouncilholdsmonthlyteleconferencemeetingstoreviewthefinancialaffairsoftheDiocese.Itsmonthlydiscussionsincludeareviewoftheyeartodateoperatingfinancials,theagingofreceivablesfromtheparishesandmissions,andthelineofcreditloanfacilityavailabletoparishesandotherDiocesaninstitutions.Asummaryofthesemeetingsisthenpresentedateachmonth’sExecutiveCouncilmeeting.
ThreeothercommitteesoftheExecutiveCouncilalsohavesignificantinvolvementinthefinancialaffairsoftheDiocese:
• TheProgramandBudgetCommitteepreparestherecommendedOperatingFundbudgetforthecomingyear,whichisthenpresentedtothefullExecutiveCouncilandsubsequentlytoDiocesanConvention.

Report on the Corporation Sole
InMay2008theSpecialConventionoftheDioceseadoptedgovernancerevisionsstipulatingthattheCorporationSolebemergedorotherwiseincorporatedintotheDiocesanCorporationtotheextentfeasiblebyJanuary1,2011.However,theConventionresolutionalsoprovidedthatintheeventthatsuchamergerorotherincorporationwouldresultinalossofassetstothecombinedentity,theCorporationSoleshallcontinuetosurvivetotheextentnecessarytopreserveitsassets.
AspreviouslyreportedtoConvention,aconclusionwasreachedthatalloftheassetsandliabilitiesoftheCorporationSolecouldbetransferredtotheDiocesanCorporationwithoutsignificantcostsexcept for the real property holdingsoftheCorporationSole.TransfersofrealpropertyinCaliforniaaresubjecttosignificantrealestatetransfertaxes;religiousandnonprofitentitiesarenotexemptfromthesetransfertaxes.InDecember2009alloftheassetsoftheCorporationSoleotherthanitsrealestatepropertiesweretransferredtotheDiocesanCorporation.
ThebalancesheetoftheCorporationSoleasofDecember31,2015(seenextpage)reflectsthe33realestatepropertieswhichcontinuetobeheldbytheCorporationSole.

2017 Mandatory Minimum Compensation Including Self Employment Tax

In my opinion the major issues facing the church today areInmyopinionthechurchandworldarefacingtheneedfordeepengagementinsignificantdailylifeissuesthataffectallGod'screatorsinawaythatdoesn'tsimplyaddresslocalmomentaryemotionsandconcerns,butratherinaglobalandeternalperspective.Issuessuchashunger,homelessness,gunanddomesticviolence,andeventhedeepdivisionsinfaithcommunitiesaresignificantreflectionsofthewayinwhichourrelationshipsandinstitutionshaveshiftedtowardindividualityandawayfromtheneedsofconcernsoftheglobalcommunity.

Replacement of Compact Fluorescent LightsResolved,Thatthe167thConventionoftheDioceseofCaliforniaurgesallcongregationsandinstitutionsoftheDioceseroutinelytoreplaceallincandescentandcompactflorescentlamp(CFL)lightingnowinusewithlightemittingdiode(LED)equivalents,orwithothermodernlowenergydeviceswhosecomponentelementsposeminimalrisktotheenvironmentandtopersonalsafetyonbreakage.
Explanation:TheDiocesehaspreviouslyurgedadoptionofCFLlightingtoreduceenergyuseandCO2generation.(158thConvention,Resolution4(2007)).WhileCFLshavereducedenergyusage,theycontainmercury,aheavymetalwithadverseenvironmentalconsequences.DisposalofCFLscurrentlyrequiresspecialhandlingunderCalifornialawtoprotectlandfillsandtheenvironment,andcutsfrombrokenCFLsmayrequiremedicaltreatment.

ThisbillexpressesthesenseofCongressthat:(1)legislationisnecessarytoprovideconsumersinformationonproductsthatarefreeofchildlabor,forcedlabor,slavery,andhumantrafficking;and(2)businessesandconsumers,bymeansofpubliclyavailabledisclosures,canavoidinadvertentlypromotingorsanctioningthesecrimesthroughproductionandpurchaseofrawmaterials,goods,andfinishedproductsthathavebeentaintedinthesupplychains.
ThebillamendstheSecuritiesExchangeActof1934todirecttheSecuritiesandExchangeCommission(SEC),withinoneyearafterenactmentofthisAct,topromulgateregulationsrequiringanycoveredissuerofaregisteredsecuritytoincludeinitsmandatoryannualreportadisclosureofwhethertheissuerhastakenanymeasuresduringtheyeartoidentifyandaddressconditionsofforcedlabor,slavery,humantrafficking,andtheworstformsofchildlaborwithintheissuer'ssupplychains.Theterm"coveredissuer"meansanissuerthathasannualworldwideglobalreceiptsinexcessof$100million.

Themainindustryresponseislarge-scaleproductivityraisingprogramsincocoagrowingcommunities,togetherwithawarenesscampaignsonchildlabor.Whilesuchactionsarepositive,furtherscale-upsandastrengthenedfocusonfarmerincome,accesstoschoolandtheroll-outofchildlabormonitoringandremediationsystemsareneeded.

ThankslargelytotheeconomicpressuregeneratedbytheBDSmovement,G4ShasceaseditsoperationsinIsraelrelatedtorunningprisonsandcheckpointsandSodaStreamhaspulledoutoftheWestBank.
AssimilaractionshavebeenapprovedonthenationallevelbytheUnitedChurchofChrist,Lutherans,Presbyterians,andMethodists,andothers,opponentsofBDShavesoughtstatelegislationthatwouldlabelsupportforsuchmeasuresanti-Semiticandwouldpenalizesupportivecompaniesandorganizationswiththelossofstatecontractsandassistance.Severalstateshavepassedsuchlegislation,oradopteditbyexecutiveorder.
ThefocusofthisresolutioncallsattentiontothefactthattheCaliforniaLegislaturehasrecentlypassedonesuchmeasure,AB2844.
Asfarbackasthe1955-56MontgomeryBusBoycott,theSupremeCourthasconsistentlyconsideredboycottsprotectedspeechundertheFirstAmendment.

Findings of the Task Force and Survey Results Theon-lineSRITaskForceSurveycoveredthreekeyareasforinputandpotentialrecommendationstotheInvestmentCommittee:1)potentialtrade-offsbetweenreturnsandmission-orientedinvestments,2)areasofparticularfocusformission-orientedinvestmentsand3)areasofparticularfocusformission-orienteddivestment.TheTaskForceacknowledgesthatsurveyparticipantsconstituteaself-selectedgroupofparticipantswhocareenoughaboutsociallyresponsibleinvestingtotakethetimetocompletethesurvey.Nevertheless,theTaskForcehasfoundthesurveyresultstobegenerallyconsistentwiththeinputthattheTaskForcehasbeenreceivingthroughitsotheractivities.
Trade-Offs(DiocesanValuesvs.FinancialReturns)Whenaskedwhatwasmoreimportant“matchingourinvestmentstoourvalues”or“maximizingfinancialgains”,justunder50percentofsurveyrespondentsindicatedthatvaluesweremoreimportant,ascomparedtojustunder20percentwhofeltthatreturnsweremoreimportant.(31percentofrespondentsfeltthatmatchingvaluesis“muchmoreimportantthanmaximumfinancialgains.”)Theremaining31percentindicatedthatvaluesandreturnswereequallyimportant.(SeesurveyQ1.)
WhenaskediftheywouldbewillingtohavetheDiocesepaysignificantfeestomoveinvestmentsfromTIFFtoanESGorSRImanager,nearly70%saidthattheywouldpreferamoregradualapproachthatwouldnotincurfees.(SeesurveyQ2.)
Mostrespondentswouldtakeagradualapproachtoalignmenteveniftherewillbesomelossofshortertermreturns.Asignificantminority(over30%)ofsurvey
theimportancewhichthepeopleoftheDiocesehaveplacedonavoidinginvestmentsinfossilfuelcompaniesinthehopesthatTIFFwillattempttoscreenoutinvestmentsinsuchcompanieswhenitdevelopsthenewfund.Ms.ElNaggarhadoriginallyadvisedtheTaskForcethatTIFFanticipatedrollingoutthisnewfundinthemiddleof2016.Unfortunately,Ms.ElNaggarleftTIFF,andTIFF’seffortstocreatethenewESG-screenedfundmayhavelostmomentum.

Activities of the Task Force Followingitsformationandintroductorymeetings,theTaskForcebeganitspublicworkbyorganizingandhostinganinformationalwebinarinOctober2015toprovideinterestedparticipantswithbasicinformationconcerningtheendowmentandwhatalternativesmightexistforadoptingsociallyresponsibleinvestingprinciplesindevelopinginvestmentpoliciesandpractices.ThewebinarwasmoderatedbytheTaskForce,andspeakersincludedJanetBrown,ChairoftheInvestmentCommittee;MonaElNaggar,arepresentativeofTheInvestmentFundforFoundations(“TIFF”);andLaurynAgnew,aprincipalofSealCoveFinancialandtheheadoftheBayAreaImpactInvestingInitiative.Ms.Brownspokeaboutthesizeandpurposeoftheendowment,itssourcesanduses,theamountsofincomederivedfromtheendowmentforoperationalandprogrammaticpurposes,andtheresponsibilitiesoftheInvestmentCommitteeinoverseeingtheinvestmentoftheendowment.Ms.ElNaggarprovidedinformationaboutTIFF’sbackgroundandobjectivesanditsinvestmentfunds,aswellasthecompositionoftheinvestmentportfolioinTIFF’sMulti-AssetFund,includingthepercentageoftheMulti-AssetFundportfolio’sinvestmentsinareasofparticularconcernforEpiscopalChurchandtheDiocese,suchasthepercentageinvestedinfossilfuelcompanies,aerospaceanddefense,forprofitprisons,distillersandvintners,andcasinosandgaming.Fromthesepercentages,webinarparticipantscoulddeterminetheamountoftheDiocese’sportfolioinvestedintheseareasofconcern.Inaddition,Ms.ElNaggarspokeaboutTIFF’seffortstodevelopanewinvestmentfundthatwouldincludescreeningofportfolioinvestmentsforenvironmental,socialandgovernance(ESG)considerations.Ms.AgnewspokeabouttheprocessadoptedbytheUnitedWayBayArea(UWBA)toincorporatesociallyresponsibleinvestingprinciplesintheformulationoftheinvestmentpoliciesforitsownrelativelymodestendowment(whichisapproximatelyone-thirdthesizeoftheDiocese’sendowment),including

Afewcommentscautionedcarefulconsiderationbeforeexpandingdivestment,whileothersfeltthattheoptionssuggestedforbothdivestmentandaffirmativeinvestmentsweretoolimited(orcouldnotberanked).
Surveyrespondentswereaskedtheirviewsonhowtoimplementtheresolutionadoptedatthe166thDiocesanConventioncallingforfossilfueldivestment,andmostfeltthepriorityshouldbeondivestingfromthe“dirtiest”fossilfuelcompanieswithafocusoncoalandtarsandswhiletakingamoredeliberateapproachtootherfossilfuelssuchaspetroleumandnaturalgas.(SeesurveyQ5.)
Conclusions and Recommendations TheTaskForcebelievesthattheresultsofthesurveyrepresentthe“pulse”ofchurchmemberswhoareinterestedinthissubject.Thesurveywasneitherintended,norcanitbeviewedasthe“willoftheDiocese”.WhiletheTaskForceattemptedtoprovideeducationandoutreachpriortolaunchingthesurvey,wecanassumethatwithmoreeducationanddiscussionwithinvestmentprofessionalsthesurveyresponsescouldchangeorberefined.Itisnotablethatofthe111surveyrespondents16(14%)indicatedawillingnesstoparticipateinSRITaskForcework.
TherecommendationoftheTaskForceonSociallyResponsibleInvesting,basedonourconversationswithDeaneries,workshopsandthesurveyresultsareasfollows:
1.TheDioceseshouldencourageTIFFtoexploreoptionsandinvestmentfundsforsociallyresponsibleinvestmentwithallduehaste.IfTIFFisunableorunwillingtodevelopSRIinvestmentoptions,thenDioceseshouldgraduallyshifttheinvestmentoftheendowmenttoothermanagersinafiscallyprudentmanner(withoutincurringsignificantpenaltiestotheextentpracticable)andnewfundscontributedtotheendowmentshouldbeinvestedwithmanagersthatarewillingtoinvestsuchfundsinaccordancewiththeDiocese’svalues.
2.TheInvestmentCommitteeshouldconsidershiftingourportfoliotowardsmoresociallyresponsibleinvestment
participantswouldmovemoneyquicklytoalignourinvestmentswithDiocesanvalueseveniftherearefinancialconsequencestotheseactions.
PrioritiesforAffirmativeInvestmentWhenaskedtorankthreepotentialSRIstrategies—affirmativeinvestinginopportunitiesthatactivelypromotethevaluesthepeopleoftheDiocesecareabout,avoidance/divestmentofcompanieswhoseactivitiesarecontrarytothesocialandmoralvaluesoftheDiocese,andcorporateadvocacyanden-gagementinactivismseekingtoinfluencecorporatebehaviorconstructively,respondentsrankedaf-firmativeinvestingstrategiesanddivestment/avoidancestrategiesnearlyequally,withaslightpreferencetowarddivestment/avoidancestrategies,withalowerpercentagefavoringcorporateengagementactivities.(SeesurveyQ3.)
Ofelevensuggestedprioritiesforaffirmativeinvestment,alternativeenergyandpovertyalleviationrankedhighest.Energyefficiency,wasteandpollutionreductionandwaterconservationalsorankedhighlyasdidprovidingfinancialresourcestounderservedcommunities.Specificjobcreationinvestments,healthandmedicalinvestmentsandgeneralenvironmentalstewardshipinvestmentswerenotasmuchofapriorityforsurveyrespondents.(SeesurveyQ6.)
PrioritiesforAvoidance/DivestmentMostimportanttosurveyparticipantsfor“screened”investmentfundsisavoidingcompaniesbenefitingoppressiveregimesandcompanieswithdiscriminatorypolicies.Screeningoutenvironmentalbadactors(likefossilfuels)wasasecondpriorityandexcludingcompanieswhocontributetopoverty(suchaspaydaylendersandbankswithpredatorylendingpolicies)wereathirdfocus.(SeesurveyQ4.)OneimportantcommentsuggestedthattheDiocese“PayattentiontotheReportonRacialReconciliation3yearsago--divestincompaniesbenefitingfromUNdefinitionofenslavedlabor.”Anothercommentoffered:“Iamverymuchagainstinvestmentsinbigpharmaandalsobigfoodcorporationspromotinghighfructosecornsyrupandchemicals(Monsanto).”

throughbothscreenedfundsandtargetinginvestmentsataspeedthatwillnotcausesignificantlosses(includingthepaymentofhigherfees)orsignificantlylowerreturnsovertime.WebelievethatthemembersoftheDiocesewouldbewillingtoacceptlowerreturnsontheendowmentportfoliointheshorttermifnecessarytoaligntheDiocese’sinvestmentstrategywithDiocesanvalues.
3.InapplyingsociallyresponsibleinvestmentprinciplesandvaluesindevelopingtheinvestmentpoliciesandstrategiesandindeterminingwhichvaluestoprioritizeintheDiocese’sinvestmentpolicies,theInvestmentCommitteeshouldgiveprioritytopovertyalleviationstrategiesandexclusionofcompaniesthatcontributetopoverty,inadditiontoconsideringavoidanceoffossilfuelcompaniesandpromotingsound,sustainableenvironmentalstewardship.
4.Inimplementingtheresolutionadoptedbythe166thDiocesanConventionon“EnvironmentallyResponsibleInvesting,”theInvestmentCommitteeshouldbeencouragedtogivepreferencetodivestingasrapidlyasprudentlypracticablefromthe“dirtiest”fossilfuelcompanies,suchascompaniesinvolvedintheextractionofcoalandtarsands,whiletakingamoredeliberateapproachtootherfossilfuelssuchaspetroleumandnaturalgas.
5.MeaningfulengagementintheInvestmentCommittee’sworkbylayandclergymembersofthechurchwillrequirecontinuouseducationandopenforumsfordiscussionaboutinvestmentalternativesandstrategies.Webelievethisworkisnotbestachievedthroughconventionresolutions.WerecommendthattheInvestmentCommittee(oranotherappropriatelydesignatedbody)continuetoworkwithinterestedindividualsandcongregationstofacilitatecontinueddialogueconcerningthealignmentoftheDiocese’sinvestmentpoliciesandpracticeswithourChristianvalues.
