Structured Finance and Debt Capital Markets
The practice provides legal assistance to companies, banks, financial intermediaries, mutual
funds and other financial institutions, both Italian and foreign.
The main areas of activity of the department are:

We have extensive experience with structured finance and securitisation vehicles such as: stand
alone, revolving, master trust, warehouse, collateralised bond obligations (CBO), collateralised
debt obligations (CDOs), collateralised loan obligations (CLO), credit linked notes (CLN) and
partly-paid bonds and zero-coupon.
We have advised on such transactions involving mortgage loans, including performing and non
performing loans, residential (RMBS) and commercial loans (CMBS), claims arising from leases
and consumer loans, credits embedded in debt securities, trade receivables and loans to the
public sector.
Our department provides assistance on securitization and structured finance transactions
including arrangers, originators, issuers, managers, representatives of security holders, lenders,
borrowers and swap counterparties.
Our team has extensive experience in the following areas:

The Italian Equity Capital Markets team is made up of highly qualified professionals who have

Our Italian banking team assists major banks, corporate and financial institutions in all types of
financing transactions. The lawyers in our team have broad experience in this field, combined
with detailed knowledge of Italian and foreign banking and financial markets as well as an

Our Italian financial institutions group counts around ten professionals with extensive expertise in
advising financial institutions and intermediaries operating in Italy on the implications arising from
regulatory requirements at domestic and European level for all aspects of their business.
Our clients include management and investment companies, intermediaries, major international
and Italian commercial and investment banks, asset managers and investment funds, investment
companies, insurance companies, pension funds, securities dealers and brokers and other key

Hogan Lovells is one of the few international law firms to offer its clients the cutting edge legal

Our team, which is based in both Milan and Rome, combines excellence in all aspects of the practice

Hogan Lovells’ Italian Antitrust, Competition and Economic Regulation (ACER) is based both in
Rome and Milan.
Our Italian team works closely with our ACER teams elsewhere in Europe, located in Brussels,

The team is renowned for its excellent legal skills and its involvement in high profile and leading

Our Italian Litigation practice comprises professionals with representation both in Milan and
Rome, who handle all phases of litigation, including proceedings before the Supreme Court of
Cassation, independent authorities (such as the Antitrust Authority), the Constitutional Court and

Product Liability and Product Safety
The Italian product liability practice covers all aspects of product liability including risk prevention
and management, compliance with product safety regulations, labelling, product recalls and
personal injury claims. Our lawyers have specific skills and experience in a range of product
sectors, including asbestos, aviation, blood products, building products, chemicals, computers,
cosmetics, electrical and electronic products, food and drink, general consumer products,
household consumer products, industrial equipment, medical devices, mobile phones, motor
vehicles and pharmaceuticals.
Our product liability team works closely with our firm's Product Liability Network, enabling us to
assist clients to manage their product liability risks at both local and international levels.
Defending product liability claims
We have many years of experience representing major international corporations and domestic
clients in the defence of product liability claims, particularly in the life sciences, healthcare,
tobacco, automotive, electrical and electronics and consumer goods sectors. This includes
experience of coordinating and managing multiparty and serial litigation.

The Italian litigation department comprises a team specifically dedicated to compliance,
investigations and white collar crimes (including bribery and corruption) to advise clients on white
collar crimes and on the civil law implications of criminal investigations or proceedings.

Our Employment law team in Italy comprises several professionals based in Milan and Rome.
The team assists Italian and multinational companies on all aspects of their business activities
where relationships with their workforce or managers is of prime importance, including litigation
concerning top level employees, dealings and negotiations with trade unions, investigations by
the public authorities in charge of social security schemes, reorganisations and restructurings
involving transfers of businesses, mergers or acquisitions, mutual termination of employment
relationships, individual and collective dismissals, review of variable remuneration schemes and
health and safety at work issues.
