Dutch Private Limited company (Beslotenvennootschap - BV)

• The minimum capital for limited liability company is 1 Eur

• It requires two or more partners

• There are no restrictions in terms of residence for the shareholders

• The capital is divided into shares which are privately registered and not transferrable

Dutch Public Limited company (NaamlozeVennootschap - NV)

• requires a minimum share capital of 45,000 EUR

• This type of business can be set up by one or more individuals or legal entities

• No requirements are available for the founders of a Dutch NV in terms of residence

• A supervisory board must be appointed if the Dutch

NV has a capital of at least 13 million euro and at least a hundred employees

Dutch General Partnership

(VennootschapOnder Firma - VOF) • It must have at least two members are necessary for

incorporating a general partnership in Holland • It should have the partnership agreement which

stipulates all restrictions in terms of management and running of the partnership. 

• The Partners can be individuals or legal entities • The shareholders can be Dutch residents or not • There is no minimum capital for setting up a Dutch

general partnership.

Dutch Limited Partnership (CommanditaireVennootschap - CV)

• It is a special form of a general partnership• The Partners can be active or limited • The active partners are responsible for all the

company’s obligations and decisions • The limited partners can only have liability to

the extent of their contribution • The responsibilitys can be stipulated in the

partnership agreement.

• At least 50% of the Board of Directors must be residents of the Netherlands in order for the Dutch company to be assigned a Tax ID number and be seen as a resident company 

• The Board of Directors should be comprised of at least two members

• The company must hold a local registered office
