FOR CARRYING OUT INTERNAL AUDIT FOR THE FINANCIAL YEAR 2014-15

KIADB is inviting tenders under two cover systems for Carrying out Internal Audit for the financial year 2014-15 of KIADB by reputed Practicing Chartered Accountant Firms as per the Karnataka
Transparency in Public Procurement Act 1999 and Rules 2000 through electronic Procurement from eligible practicing Chartered Accountant firms who are empanelled with the Comptroller & Auditor General
(C&AG) for financial year 2013-14 and have adequate resources, state of the art technology, suitable man power & sufficient past experience

INTRODUCTION:
Karnataka Industrial Areas Development Board (KIADB) is a statutory body, constituted under Section 5 of Karnataka Industrial Areas Development (KIAD) Act, 1966, which provides for expeditious acquisition of lands for industrial and infrastructure purposes. KIADB, besides forming layouts with all infrastructure facilities for promotion of industries, also acquires lands in favour of various State and Central Govt. Departments/Organizations and Single Unit Complexes, for setting up their projects on stand-alone basis. KIADB holds pride in being the first government organization in Karnataka to obtain ISO 9001 certification in the year 1997.Now the KIADB is following ISO 9001:2000 module covering its functions of Land Acquisition, Development and Allotment functions in Bangalore Urban and Rural districts. The Board comprises of senior government officers in their ex-officio capacities. The Board of members meet regularly to take decisions and monitor the functions. Till date, KIADB has developed 154 industrial areas spread all over the State covering about 47,942 acres, and acquired land for nearly 430 Single Unit Complexes and is host to many reputed Indian and multinational companies and also to R&D Centres. This apart, KIADB has envisaged several innovative projects like Agro -Tech Parks, Apparel Parks, Food Parks, Auto Parks, Hardware Park, Bio-Tech Park, EPIPs, Sector Specific SEZs, Growth Centers etc.
OBJECTIVE:
Execution of all functions relating to Internal Audit by Practicing Chartered Accountant Firms for the financial year 2014-15. The Assignment of Internal Audit may be extended for further financial years, at the sole discretion of the Board with or without modifications to the Terms and Conditions of the Assignment.
The Internal Audit Assignment is to be carried out at the Head Office based on the records made available at the Head Office, and the reports received from the Branches or Regional Offices along with the relevant records as the case may be. In addition, Internal Audit shall be conducted every half year at the Branch offices located at Bangalore, Mysore, Hassan, Mangalore, Tumkur, Davanagere, Dharwad, Belgum, Gulbarga, Bellary, Bidar and Raichur. The Assignment shall cover the transactions with specific reference to the delegated powers to the Development Officers and Special Land Acquisition Officers and adherence thereto.

1. TERMS OF REFERENCE
A. Scope of Assignment: The list of tasks to be performed as part of the Assignment by
Practicing Chartered Accountant Firm are given below:-
i. Internal Audit and Performance Audit a) Continuous review and scrutiny of transactions and carrying out Internal Audit
as per the prescribed guidelines of ICAI in respect of the following
functions/operations of KIADB:-
Identification and Acquisition of land;
Development and Engineering works carried out in the acquired lands;
Allotment of developed industrial areas to the entrepreneurs;
Budgeting, Project financing and Planning activities in respect of the industrial areas.
b) Status of Compliance of the transactions driven by major policies, schemes,
special projects and measure the overall efficacy of the functions of Acquisition,
Engineering, Allotment and Project wings.
c) Status of compliance with various statutory provisions; d) Suggestions on mid-course corrections required in respect of on-going
projects/transactions/contracts that contribute towards the profitability and
better fund management of the Board; and
e) Measurement of performance of the individual functional wings, review of
accounting systems in a view to strengthen the Database Management Systems.
f) Verification and Review of final accounts for the year ended 31.03.2015.
ii. Pre-Audit:
Pre-Audit of any transaction that may be referred to the Firm by the management
from time to time and in specific pre-audit of the following files:- a) Acquisition of Land and approvals :- 100%
b) Approval of Development Plans / Project Cost :- 100%
c) Annual rate Contracts :- 100%
d) Purchase/Work Order above Rs.1,00,000/- in each case :- 100%
e) Award of Tenders :- 100%
f) The files referred by the above sections till the last day of the month should be attended and report has to be submitted before 7th of succeeding month. Only
after the receipt of the said report, the payment will be released for the particular
period/month.
iii. Evaluation of Internal Control Systems and Procedures:
a) Evaluation of effectiveness of existing Internal Control Systems and Procedures;
b) Suggest modifications and improvements to strengthen the existing Internal
Control Systems, Procedures, Tendering processes, e-documentation and review
of records with emphasis on effective documentation and usage of DBMS;
c) Identification and Evaluation of critical areas that affect the overall effectiveness and suggest corrective and remedial measures for implementation.
iv. Additional support:
a) Additional Support may be made available to the Board in respect of :-
Investment of Funds and Resource Planning
Income Tax and Service Tax related issues (excluding representation, assessments and appeals)
Responding to the queries raised by C&AG, Principal Accountant General (Karnataka), Statutory Auditors, or such other statutory/ regulatory
agencies as and when required;
b) Review of the implementation of the existing Budgets and identification of any

deviation in the areas of Capital/Development expenditure or such other
expenditures constituting the major portion of the Board‟s expenditure;
c) Review and scrutiny of the existing projects individually with regard to the status
of completion, development stage and monies spent in comparison with the
budgeted cost in three stages namely Acquisition of land, Development of
Industrial areas and Allotment of the same;
d) Periodical Review of documenting and record keeping procedures/ systems
associated with activities such as Land Acquisition, Development and Allotment of
the same and suggest corrective measures required, if any;
e) Financially analysis of the proposals on Layout Plans by obtaining
support/information from the Technical Committee of the Board;
f) Identification of sunk funds within the Board and quantifying the value of
realizables that directly/indirectly result in leveraging such sunk funds of the
Board;
g) Verifying the compliance with / adherence to the directions issued by
Jurisdictional Courts from time to time;
h) Special attention to the tendering procedure and scrutinizing the compliance
issue in the applications with regard to the applicable laws and guidelines.
B. Period of Assignment
i. Pre-Audit portion of the Assignment shall be from 01.04.2014 to 31.03.2015.
ii. Internal Audit portion of the Assignment shall cover the period from 01.04.2014 to
31.03.2015. The Internal Audit report of Head Office for the month of March, 2015 and
half yearly Internal Audit report of Branches for half year ended 31.03.2015 shall be
submitted on or before 31.05.2015.
iii. The final accounts for the year ended 31.03.2015 shall be verified and concluded
within 30 days from the date of receipt of final accounts from the Board.
iv. The period of the assignment may be extended by the Board with or without
modifications to the Terms and Conditions with the mutual consent between the Board
and the Firm.
C. REPORTING:
i. Pre-Audit:
Pre-Audit observations shall be recorded in the relevant files and significant findings,
systemic and procedural issues shall be brought to the notice of the management
separately through specific reports.
ii. Internal Audit:
Internal Audit reports shall be placed before the management emphasizing on findings, observations and indicating suggestions/ recommendations to achieve improvements.
The periodicity of reporting shall be monthly except for the Branch Audit Reports which
shall be placed before the Management of the Board half yearly.
iii. Other Support In respect of verification of final accounts for the year ended 31st March, 2015, the

findings, comments and suggestions, if any, shall be placed before the management of the Board within 30 days from the date of receipt of final accounts from the Board.
D. TEAM COMPOSITION:
The Team for the assignment must be adequately staffed and led by a qualified
Chartered Accountant. One of the Partners of the Firm shall be in charge of the
Assignment and shall be available to discuss / interact with the management of the
Board as and when required.
2. The Tender comprises two cover bid system
a. Pre-qualification Offer containing details of information & documents as per
Annexure-A
b. Commercial Offer containing only rates quoted in the format indicated in
Annexure-B
c. Declaration format in Annexure-C through electronic tender.
Commercial offer of only those Bidders who fulfill the eligibility criteria and qualify technically, shall be opened.
d. The Prequalification offer along with Earnest Money Deposit (EMD) i.e.,
Rs. 1.00 Lakhs should be paid through e-payment in the e- procurement portal
only using any of the following four modes:
i. Credit Card.
ii. Direct Debit. iii. National Electronic Fund Transfer (NEFT).
iv. Over the Counter (OTC).
e. The Bidder must compulsorily upload their registration certificate as proof of
eligibility as per the invitation of this bid.
3. Participating Bidders in the Tender should submit the Pre-qualification documents,
scanned and uploaded along with the Commercial Offer duly filled through online in e-
procurement portal https://eproc.karnataka.gov.in
4. Aspiring Bidders who have not obtained the user ID and password for participating in e-tendering in KIADB may now obtain the same from the website
http://www.eproc.karnataka.gov.in
5. Bidders can access tender documents on the website, fill them and submit the
completed Tender document into e procurement website itself with in the stipulated date & time.
6. Tendering through Joint Venture is not allowed.
7. The successful Bidder will have to execute an agreement with the KIADB within the
date stipulated.
8. The Assignment shall be commenced with all earnestness from 01.04.2014 failing
which it would be presumed that Bidder is not interested in the Assignment and action
will be taken to get the Assignment executed through alternate Firm at the risk and
cost of the former Bidder.
9. Corrigendums / modifications / corrections / cancellations / postponements /
clarifications / extensions etc., if any, will be published only in the website
http://www.eproc.karnataka.gov.in.
10. Conditional tenders, incomplete tenders (uploading without completing the Annexures
of Qualification Information), tenders without reconciliation regarding remittance of EMD, tenders that are not properly uploaded and Tenders submitted after the deadlines
shall be rejected.
11. If any of the dates mentioned above is declared as a holiday, the next working day will
hold good without any change in the timings indicated.
12. The Chief Executive Officer & Executive Member reserves the right to accept /
reject any or all tenders without assigning any reasons.

14. The documents mentioned in formats & details in Annexure-A Prequalification Offer (qualification information) should be attested by a Gazetted Officer or a Notary and
compulsorily be uploaded through e-portal (online) in the sequence mentioned in the
Bid documents. The original documents should be produced for verification at any stage
of tender process as and when sought for, failing which, the submitted bids are liable
for disqualification. Further failing to upload the complete details as per the Terms and
conditions of this tender & (Prequalification Offer) qualification information are liable for disqualification.

PART-I: PRE QUALIFYING REQUIREMENTS:
Standard Terms and Conditions
1. Submission of Tender Documents:
A. The Tender shall be submitted through e-Procurement Portal
(http://eproc.karnataka.gov.in). Bidders need to register in the e-
Procurement portal to submit their bids online. The Tender document can be
viewed free of cost on e-Procurement Portal. B. The Tender is invited as per the provisions of the Karnataka Transparency in
Public Procurement Act-1999 and Rules 2000 in two cover system i.e., Pre-
qualification (Technical) and Commercial offer separately. The following
documents are available in the Tender Document.
C. Annexure A – Pre-qualification Offer (to be filled and uploaded in the same
file and format.) D. Annexure B – Commercial Offer(to be filled and uploaded in the same file
and format for encryption)
E. Annexure C - Declaration format-Declaration towards offering lowest rate,
Payment term on Rs. 20 or higher Bond paper(in the view only format and
can be downloaded -to be uploaded and attached to Pre-qualification offer duly filled)
2. Submission of Pre-qualification Offer through e-Procurement portal.
A. In the first cover Pre-qualification details as specified in the Annexure-A
should be filled and the same should be uploaded.
B. The Bidders shall pay tender processing fee and EMD through any of the
following e-payment modes. The details are available at the end of this document.

4. Over the Counter (OTC) (ICICI Bank) The details are available in e-procurement portal

C. The necessary pre-qualification documents shall be scanned and attached
along with Annexure-A (Pre-qualification offer) in electronic mode (scanned), as
prescribed in the Pre-qualification criteria. The Pre-qualification offer without
attachment of scanned image of supporting documents will be disqualified.
3. Submission of Commercial Offer through e-Procurement portal
In the second cover Commercial details as specified in the Annexure-B shall be
filled and uploaded in the same format, which shall be encrypted using the
Digital Signature Certificate of the Bidder. The Fee structure shall be provided
by the Bidder in the appropriate field against each item. The Commercial offer shall not be submitted in hard copy. Only offer submitted through e-
procurement portal will be considered for evaluation.
4. Content Of Tender Document
The Bidder should go through the Tender Document and submit the
response/pre-qualification/commercial through e-procurement portal online
after downloading the tender.

5. Pre-tender meeting ( Pre-bid meeting)
The Tenderer or his authorized representative is invited to attend a pre-bid meeting which will take place at The Chief Development Officer
& Chief Engineer KARNATAKA INDUSTRIAL AREAS DEVELOPMENT
BOARD, 14/3, II Floor, Rastrothanaparishat Building, Nrupathunga
Road, Bangalore – 560 001 on 19.02.2014 at 11.30 noon.
The purpose of the meeting will be to clarify issues pertaining to the subject work.
The Bidder is requested to submit any questions in writing or by cable to reach the Board not later than stipulated date mentioned in the
notification of the tender.
Minutes of the meeting, including the text of the questions raised (without identifying the source of enquiry) and the responses given will
be posted online in the e-procurement portal which Bidders may
download. Any modification of the tender document listed in clause-4
which may become necessary as a result of the pre-tender meeting will be made by the Board exclusively through the issue of Addendum
pursuant to Clause-6 and not through the minutes of the pre-tender
meeting.
Non-attendance at the pre-tender meeting will not be a cause for the disqualification of a bidder.
6. Amendment of Tender Documents
Before the deadline for submission of Tenders, the Board may modify the Tender documents by issuing addenda
Any addendum thus issued shall be a part of the Tender documents and shall be posted online in the e-procurement portal which the Firm may
download
To give prospective Bidders reasonable time in which to take an addendum into account in preparing their tenders, the Board shall
extend as necessary the deadline for submission of Tenders. The Board
may extend the deadline for submission of tenders by issuing an
amendment in which case all rights and obligations of the Board and the Bidders previously subject to the original deadline will then be
subject to the new deadline.
7. Opening Of Tenders
A. The Tenders will be opened online on the due date and time mentioned in
document at the Chief Engineer and Chief Development Officer, KIADB, Central Offices, Bangalore - 560 001.
B. The Bidders or their representatives can be present on the date, time and
place of opening of the pre-qualification and commercial offer on the respective
dates, when the commercial details of the Bidders can be viewed.
C. The Commercial offers of the Bidders, who have been qualified, will only be
opened.
D. The Commercial offers of all the Bidders which are opened are available for
free view in the Web site to the Bidders, from the date and time of its opening.

8. Payment Terms
i) Pre Audit Fee shall be paid within 7 days of receipt of bills after the end of every
month;
ii) Monthly Audit fee shall be paid within 7 days of receipt of bills subsequent to
submission of Monthly Internal Audit Report;
iii) Half yearly Branch Audit fee shall be paid within 7 days of receipt of bills subsequent to submission of half yearly Branch Internal Audit Reports;
iv) Travelling, Lodging, Boarding and other out of pocket expenses incidental to the
Assignment shall be reimbursed as per the norms of the Board subsequent to
submission of bills by the Firm.
9. Validity:
A. The Offer shall be valid for a period of not less than 30 days after the deadline date for Tender submission and the successful Bidder has to extend the validity
of the Offers till the completion of the Assignment. He should hold the price valid
for the tender period and should give a commitment in this regard in the first
bid itself. No increase in the rate decided on any account will be entertained
during the period of execution of the Tender.
B. The Tender inviting Authority may seek extension of the validity of offer in
writing, in case of delay in acceptance of the tenders.
10. E.M.D.
A. The EMD as prescribed shall be submitted online through the e-Procurement
portal using any of the following 4 modes and balance amount in the form of
Bank Guarantee in favour of the CEO/EM, KIADB, Bangalore.
(a) Credit Card
(b) Direct Debit
(c) National Electronic Fund Transfer (NEFT)
(d) Over the Counter (OTC) (ICICI Bank)
The earnest money deposit of unsuccessful Bidders will be returned within
30 days of the end of Tender validity period. Tender shall remain valid for a
period not less than 30 days after deadline date for tender submission.
Based on the instructions of Tender Accepting Authority (TAA) the EMD
amount of the unsuccessful bidders will be refunded to the respective Bank
A/C‟s of the agency/firm registered in the e-Procurement system.
The earnest money deposit of the successful Bidder will be discharged when
the Bidder has signed the Agreement and furnished the required
Performance Security.
B. The EMD will be forfeited in the following cases:-
a) If the Bidder withdraws the Tender after Tender opening during the period of
tender validity;
b) If the Bidder does not accept the correction of the Tender price, pursuant to
clause 13.2 or;
c) In the case of a successful Bidder, if the Bidder fails within the specified time limit to sign the Agreement; or
11. General:
A. The Tender Accepting Authority at any time before passing the order of
acceptance may reject all the tenders on the ground of changes in the scope of

procurement, failure of anticipated financial sources, accidents, calamities, or any other grounds which would render the procurement un-necessary or
impossible.
B. The Firm shall undertake to abide by all the terms and conditions of the
tender.
C. In the matter of any disputes, the decision of the CEO and EM , KIADB is binding on all the Bidders
12. Declaration:
A. The Bidder should declare that the Bidder satisfies the Eligibility Criteria and
the information declared in the Bid document is true.
B. The above declaration shall be given on the stamp paper of Rs.20/- or more
as per the format provided.
C. The Declaration shall be scanned and attached along with Annexure-A
„Prequalification Offer‟ in electronic mode (scanned). The original document shall
be submitted along with the Prequalification Original Documents.
13. Correction of errors
13.1 Tenders determined to be substantially responsive will be checked by the Board
for any arithmetic errors. Errors will be corrected by the Board as follows:
a) Where there is a discrepancy between the rates in figures and in words, the
lower of the two will govern; and
b) Where there is a discrepancy between the unit rate and the line item total
resulting from multiplying the unit rate by the quantity, the unit rate as quoted will govern.
13.2 The amount stated in the Tender will be adjusted by the Board in accordance
with the above procedure for the correction of errors and, with the concurrence
of the Bidder, shall be considered as binding upon the Bidder. If the Bidder does
not accept the corrected amount the Tender will be rejected and the earnest money deposit may be forfeited in accordance with Sub-Clause 10B (b).
PART-II: PRICE BID
Standard Terms and conditions:
1. The expression “Assignment” where used in these conditions shall unless there be some thing either in the subject of context represent to such
scope of the Assignment in Para A of Terms of Reference of this document.
2. The „Board means Karnataka Industrial Area Development Board.
3. The „Firm‟ means the Practicing Charted Accountant Firm to whom this work is awarded on successful bidding.
4. CEO & EM means the Chief Executive Officer & Executive Member, KIADB,
Bangalore.
5. “COF” means Controller of Finance, KIADB, Bangalore.
6. “Notice in writing” or “written Notice” shall mean a notice written typed or printed characters sent (unless delivered personally or otherwise proved to
have been received) by registered post to the last known private of business
address of registered office of the ordinary course of post, if would have
been delivered.

7. The Board shall have the power to enlarge the scope of Assignment if need arises and in such an event, the Firm shall be compensated for the
enhanced work that shall be added to quoted amount in accordance with
the fee structure quoted by the Bidder.
8. The Firm shall not assign or sub-let contract without the written
permission of the COF and if the Firm assigns or sub-lets the Assignment,
or attempts to do so, the Board may there upon, by notice in writing rescind the Contract. In addition, the Firm shall not be entitled to recover
or to be paid for any work actually performed under the Contract.
9. In case any dispute or difference arises between the Board or the COF and the Firm on any matter within the scope of this Contract, then either party
shall forthwith give to the other side written notice of such dispute or
difference and such dispute of difference shall be referred to the CEO &
EM whose decision will be final and binding on the Firm.
10. The Board reserves the right to extend or short close the Contract depending upon the satisfactory execution of the Assignment or otherwise
by the Firm, as the case may be and the Firm shall carry out works on the
same rules, terms and conditions of the main Contract during the
extended period in the event of any extension given. The Board reserves the right to foreclose the Contract without assigning any reason.
11. For any dispute the legal jurisdiction shall be at Bangalore.

Whereas the Board is desirous that certain Assignment should be executed by the Firm,
Viz “Carrying out Internal Audit for the financial year 2014-15 of KIADB by Practicing Chartered Accountant Firms.” and has accepted a Bid by the
Firm for the execution and completion of such Assignment.
Now this Agreement witnesses as follows:-
a. In this Agreement words and expressions shall have the same meanings
as are respectively assigned to them in the conditions of contract
hereinafter referred to.
b. The following documents shall be deemed to form and be read and
construed as part of this Agreement Viz.
(a). Tender Notice.
(b). Terms & conditions.
(c). Pre qualification offer and Commercial Bid.
c. In consideration of the payment to be made by the Board to the Firm as
hereinafter mentioned, the Firm hereby covenants with the Board to
execute and complete the Assignment to the satisfaction of the Board
and in conformity with guidelines of the Institute of Chartered
Accountants of India (ICAI).
d. The Board hereby covenants to pay the Firm in consideration of the
execution and completion of the Assignment and the remedying of
defects therein the contract price or such other sum as may become
payable under the provisions of the contract at the time and in the manner prescribed by the contract.
