Welcome to the 2011 Annual Convention of the Professional Photographers of Ohio! As we look around us, change is everywhere. Change is all around us, in our businesses, in the industry and in our lives. Most obvious for the organization, we are hosting this year’s convention in a new location. We are very excited for the move to Kalahari Resort, as it is a fantastic new facility with amenities compared to Las Vegas or Orlando. Since the photography world became digital,
we all find ourselves on occasion staying up late with our laptop finishing up the day’s work. It is nice to be able to come to a convention that is not only full of education, social networking, shopping and friendship, but is also in a fantastic relaxing resort!
I have been involved in PPO for nearly 20 years. I remember the days of film and talk of a new version of Photoshop … Photoshop 1.5. Yes, a lot of things have changed, but the one thing that remains the same is that people need to continue to learn the craft of photography. No matter how young or old you are, how new or experienced, this is a place for learning the newest, latest changes and trends in photography. Over the years, I have not had a lot of opportunity to be in the programs happening at the conventions; as I was usually working behind the scenes somewhere putting on these conventions. That didn’t stop me from learning. I have spent many late hours sitting around after programs talking to the speakers, judges and vendors. Here, I was able to learn some of the most valuable things for my business.
So don’t just come and attend the programs and go home, but be a part of the event! Meet as many new people as you can and transfer the knowledge from their head to yours. Many people have wondered where the photography industry will be in the future. With cameras getting better and better everyday, it is easier for anyone to pick up a camera and call themselves a professional photographer. Many established photographers have seen this as a threat. The thing to remember is we all started somewhere. We were all once new at this craft of selling photographs and selling the experience. It is up to all of us involved in professional photography to keep the standards high. It is up to the new photographers to be open minded and eager to learn. It is up to the established photographers to bring them into the professional community and help them learn the same way those who came before you did. At this year’s convention, be sure to spend some time helping someone. Whether it is helping them find a product in the trade show or it is helping them develop a price list for their portraits, don’t be afraid to share what has made you successful in what you do.

In order to bring new life and a fresh face of photography in 2010, the Professional Photographers of Ohio took significant steps to ensure the longevity of the organization. To accomplish this goal, I began by optimizing our resources and added four members to the PPO management team. The addition of personnel has enabled our office to implement programs and streamline processes, making the organization more efficient and
allowing PPO to grow in new and exciting ways. Over the past year a collaborative effort between the PPO board and our office has yielded the implementation of several key elements to help facilitate our goals and ensure the organization’s continued strength and growth. We have taken steps to strengthen PPO’s most important asset, its membership. Communication with our members has doubled in the past 12 months and members have been receiving regular emails regarding upcoming events including affiliate seminars, the Fall Conference and the Annual Convention. Increasing communication has been vital in making key events like the Fall Conference and the Annual Convention more successful. More notoriety surrounding the various happenings of our organization has meant strong attendance, which has drawn more vendors and high-profile speakers. As we continue to move forward, members will continue to see changes that seek to further accomplish this goal like moving the Annual Convention to the Kalahari Resort.Other notable achievements include a complete overhaul of the website, reformatting the Ohio Photographer, making the Contact Sheet a digital publication and a very successful Fall Conference and Trade Show. The new website format allows for easier maintenance, ensuring the website is always current and up-to-date. Members should also find the new website to be more organized, more informative and more interactive. The new website allowed PPO to implement key changes like online registration and a searchable database, streamlining administrative processes. In updating the organization’s appearance, our publications, including the Ohio Photographer and the Contact Sheet, have been updated to reflect the vibrancy of the organization.As the photographic landscape continues to evolve, I am committed to developing new strategies to ensure the organization and its benefits reflect the needs of our members. I am excited about the direction and changes PPO is making and am looking forward to the upcoming year.
Message From The Executive Director
Vincent Clay Crawford, 83 years, passed away April 11, 2010. Born in Summerville, PA., he lived in the Akron area most of his life. Along with being a dedicated family father and husband, Vincent served as a U.S. Marine in World War II and was a staple in the Akron area. Owner of Carpenter’s Photography for 50 years, he vibrantly served the photographic community. Vincent
was very active in PPO, serving on the PPO board and in various committees over the years. Vincent was also PPO president from 1970-1971. In addition to his work with PPO, Vincent started the Ohio CPP group, served as President of the Cleveland Society of Professional Photographers, President of the Akron Society of Professional Photographers and served as PPA Council Representative of Ohio for 14 years. Not only was Vincent dedicated to his studio, PPO and photography, he was a master at his craft. Vince held degrees in Craftsman Photography, was a Certified Professional Photographer and PFA Photographic Artist Specialist of Ohio. His talent and expertise won him many awards over the years including Best Portrait Award in Ohio (1976), PPA National Award (1974), PPO State Award (1972), Cleveland Society of Professional Photographers Man of the Year and American Business Woman’s Beacon Chapter Boss of the Year.

What a better way to open the 2011 convention than kicking back and enjoying time with other photographers. The Buzz is a per-fect time for sharing information, while sitting around, relaxing and perhaps having a cocktail or two. The 2011 Buzz is going to be big-ger and better than last year. The Kalahari Resort allows for more space, in a more relaxed lounge-like environment. Join us for some socializing, networking, but most importantly, education. At time of press, the 2011 Buzz facilitators are Terry Dunlap on Photoshop and Lightroom Tips, Jennifer Gil-man on Client and Vendor Rela-tions and Genvieve and James Nisely on Wedding Photography. Stay tuned to the PPO facebook page, as our final two facilitators will be announced soon. This is a fun night filled with prizes, music (provided by DJ Scotty G) and food. The convention kicks off with a image competition, where some of the best photographers will be displaying their prized work. Qualified national judges will evaluate each image based on its own merits using the 12 elements of a merit print. Those images earning high scores will be displayed from Saturday, March 12 at 8:00 am until Sunday, March 13 at 3:00 pm in the Foyer at the Kalahari Resort. Last year over 400 prints were shown and we are excited to see what this year's competition will bring.

Grand Door Prize:PC II Deluxe Camera Divider Case with CART combines the best features of the rolling hard side carryon Divider Case with the Computer case luggage. It is a fully lined case. In the lid, it features a three section briefcase style accordion portfolio for files, folders and even a thin notebook computer. In this interactive workshop, Jaron Horrocks will help guide you through your own unique process to create consistent branding, effective marketing and desirable products. This program will not only be important to those just starting out in the photography industry looking for information on how to set-up their business, but also to those who have been established for years and need to refine existing promotional materials and product mix. Jaron will demonstrate what it takes to design products such as gallery wraps, albums, cards and more. He will demonstrate how to save time and make more money by customizing template resources in Photoshop; as well as instructing how to use simple techniques, such as layers, blending modes, masks, custom shapes, brushes and more.

Steve and Julie Busch own and operate Julie’s Portrait Creations, a portrait studio in Napoleon, Ohio. Both are Masters of Photography, and both have their Craftsman Degree. They are each Nationally Certified and Ohio CPP's and serve on the Ohio CPP Board of Commissioners. Steve and Julie are active in print competitions, where their client work has won them many awards. They have both been top ten photographers in Ohio the last three years in print competion and top ten in Mid-East States print competition. Along with other awards, their images have been awarded four Kodak Gallery awards in the last three years.
Julie’s photography career started in 1986 when she photographed outdoor seniors for a portrait studio in Napoleon. Eight years later, she started her own business with the help of Steve and within 4 years they
were photographing 250 seniors along with children, families, and weddings. They have become known for their huge selection of innovative backgrounds along with their senior “road trips”. Recently, their use of innovative location photography and graphic enhancements have drawn seniors from as far as 150 miles away. They have been active speakers on senior and children’s photography and their use of backgrounds, locations, and digital graphics to enhance their images.
Steve and Julie have three children-Nate, Katie, and Aleigh. Nate is married to Tiffany and they have Steve and Julie's only grandchild, Willem. Nate is a CPA and works in the Columbus area. Katie just graduated from Ohio State and is living in the Columbus area, also. Aleigh is attending Bowling Green State University as a freshman.

Steve and Julie Busch will demonstrate their outdoor posing and lighting in an outdoor urban environment. What started with Anne Geddes’ approach to embracing the newborn’s fresh, new, and curled look, has exploded into a thriving portion of the photography industry. When Jodie first began photographing newborns seven years ago, She found a niche that wasn’t covered much on the East Coast, and went with it. Now baby photography has become quite popular. Join Jodie as she shares her approach to newborn photography and what has made her so successful. Jodie will be discussing everything newborn from posing to session profitability. Jodie began as an artist, painting traditional portraits by hand in pastels and oils many years ago, and portrait photography became a natural progression. She strives to maintain realism amongst these days of digital processing and creates images full of warmth and peace with classic rich tones using both natural light and studio lighting. She is known for her simplistic natural approach to studio lighting in her book Studio Lighting Naturally. Her nature work has been seen on greeting cards across the United States and in local gallery showings and exhibits.

About Bruce
Seattle area native Bruce Hudson has led a colorful and diverse life. His photographic career started like many professionals, as a hobby in high school. Bruce’s major interests back in the early 70’s were playing trumpet in the nationally award-winning Kent Meridian high school jazz band, and his first love, Sue Crum, who inspired his artistic direction in photography, both in front of the camera and in the darkroom!
As the business, clientele, and income grew, so did the number of photographic awards locally, nationally, and internationally. In 1993, Bruce and Sue won Wedding and Portrait Photographers International’s 1st wedding album competition and also the grand award print with WPPI’s first perfect “100” score.
The next 10 years took Bruce and Sue all over the country sharing their success photographic and business strategies to thousands of studio owners at conventions, seminars, and workshops.
In 1994, during a routine exam a cancerous mole was found under Sue’s left arm. It was removed, but 22 months later on February 17, 1996, Sue Hudson passed away at the age of 41. Bruce and the kids established a memorial scholarship fund in Sue’s name. Each year the fund gives a number of scholarships to professional photography schools throughout the country.
Today, despite the loss of Sue, Bruce still holds a passion for business, marketing and the photographic profession. This actually led Bruce to write and publish his first book on the subject called The Relationographer: The Art of Relationship Marketing!
Bruce holds a Master Craftsman degree from the Professional Photographers of America and is one of only 40 active members in the prestigious organization Camera Craftsmen of America. A much sought-after speaker to professional photography organizations, Bruce has lectured on behalf of Fuji Film USA, H&H Color Lab, Mamiya Cameras, Capri Albums, Marathon Press, and Excel Frames throughout the United States, New Zealand, Canada, and Puerto Rico. Over the years he has produced and authored over 25 instructional video/DVD programs dealing with portrait, wedding photography and marketing. It’s hard to believe he’s photographed more than a thousand weddings and tens of thousands of family, children, and high school senior portraits since 1982. He’s also had in front of his lens, President Bush (41), future Hall of Fame pitching great Randy Johnson, and night time radio celebrity Delilah and her family.
Bruce has not only been named a Master Photographer, but also referred to as a Master Marketer that specializes in Relationship Marketing.
Bruce has recently begun a new chapter in his personal life, and the life of the studio. He was married October 2007 to Terri Arnold who joined the studio team July 2009.

In less than five years former aerospace executive, William Innes, has gone from a total novice to a profitable wedding photographer in the competitive Los Angeles market. William believes if he can do it - anyone can! William will share what works for him and what doesn’t. (He has tried almost everything). He will cover his marketing - including some surpris-ing old school techniques that have helped to rapidly grow his business. Other topics will include workflow (you have to be fast to make money), how to turn clients into apostles and some photography tips.
"I became fascinated with photography at an early age, thanks to my father. It wasn’t his photographic skill that inspired me, though, since my dad was not a very good photographer. We would always joke how people in his photos would have plants and trees growing out of their heads. It was actually my father’s camera that captured my interest; I loved the way it felt in my hands - all those cool buttons and controls. It intrigued me. I was also amazed at how it could be used to create these awesome images. I still have that camera, an old German Praktica 5B, and it sits on my desk alongside my own first camera, a Canon Al. I loved the camera, but after college, I ended up in the aerospace industry (but that’s a story for another day). I must have done pretty well - I ended up presi-dent of an aerospace parts company. I got to travel and saw lots of amazing places. It was on one of those trips in 1999 that I walked into a camera shop, on impulse, and came out with a brand new Nikon camera, lens and flash. In no time, I was hooked again! Because of my extensive traveling, I thought I wanted to be a travel and landscape photographer. In a bizarre twist of fate, I even managed to win a Na-tional Geographic contest for a photograph I took in Greece. (I owe my wife for this one as she constantly encouraged me to enter my images). I knew it was time to get out of aerospace and into photography. About that time, my nephew in Canada asked me to photograph his wedding. Now, I got married in a powder blue tux with ruffles - maybe that’s why I had always associated wedding photography with those cheesy, posed images. But I said I would do it for my nephew. I bought a book on wedding photography, went to Canada, photographed his wedding and yep
- I had a blast! It was so much fun and such a creative experience for me that I knew right away that’s what I wanted to do. Six months later, I was a full-time wed-ding photographer, and I haven’t looked back at the aerospace industry once. I admit it - I just love action! Wedding photography requires me to be an expert in all types of photography, whether it’s portrait, land-scape, action or product shots. I have to be able to work under pressure to make sure I get all the re-quired shots in, but then I can spend some fun time creating artful images with my couples. My favorite thing about being a wedding photographer is getting to know my clients. My couples spend their whole wedding day with me, so we have to be comfortable with each other. I often end up being friends with many of my wedding couples. Do I dream about be-ing a world-traveling, award-winning photographer? Not really. I’m happy shooting weddings full-time. I don’t even enter contests. I believe the true judges of my work are my clients. If they value my work, there’s no greater reward. Okay, for you organiza-tional types, here’s the facts:

Helen holds the Invitational Fellowship of the British Institute of Professional Photography (BIPP); both the Fellowship and Honorary Fellowship from the American Society of Photographers; the prestigious Bakker Award; the first Honorary
Gallery Award from Kodak and the last George Harris Award presented from PPA. She was among the first to be awarded the
PPA Imaging Excellence Award, has been a Photographer of the Year numerous times since the program’s inception, and has been selected for several Fuji Masterpiece Awards for her artistry. PPA honored her by establishing the Helen Yancy Award, one of the highest awards that can be received from PPA.
Helen has earned well over 1200 Merit Awards from PPA and has had her work exhibited in the Photographic Hall of Fame, Epcot Center, published in Professional Photographer and Rangefinder magazines and in several books, including her own gallery book.
Helen was invited to the United Nations to receive a Medallion for leadership, service, artistic and photographic ability by the International Council for Photography, the only organization of its kind recognized by the United Nations.

The Fred Marcus Studio, founded by Fred Marcus in the 1940s, now ran by his son Andy and grandson Brian, has set the standard for wedding and event photography in New
York for the past three generations. The Marcus family has recorded many of the city’s most notable weddings, social events as well as iconic portraits of its luminaries for nearly seventy years. From Billy Baldwin, Governor Cuomo and family, Art Garfunkel, Harry and Leona Helmsley, and Princess Yasmin Aga Khan, to the LeFraks, Mary Tyler Moore, Eddie Murphy, Ronald Perelman, Itzhak Perlman, Chynna Phillips, the Saul Steinbergs, and the Tishmans, the Fred Marcus brand has always been synonymous with taste and superior quality. Most recently, Brian’s photograph from Jared Kushner and Ivanka Trump’s wedding was the cover image for Professional Photographer magazine.
Brian is an international photographer and educator specializing in weddings, portraiture, & fashion photography. He has been recognized by numerous publications worldwide, and his photographs have been featured on People Magazine, Popular Photography, Rangefinder, Elegant Bride, Modern Bride, The Knot, GQ, and Interview magazine, just to name a few.
He is the third generation of Fred Marcus Photography and has become one of the most
sought-after young photographers for his passion, drive and love of his work, reflected in each picture he takes. Personally, he shoots over fifty weddings a year and speaks regularly for PPA, WPPI and Imaging USA about his craft. This year, the Marcus’s fine art images were featured at the Chelsea Art Museum in the exhibit - Malawi: Images of Progress, which raised over $80,000 for charity. The Marcus family’s sixty eight years of photography will soon be featured at the Leica Gallery in New York City on June 10th, which will highlight not only the notable celebrities the studio has been privileged to photograph over the years, but the evolution of imagery from generation to generation.
Brian’s vision for new and unique ways of photographing his clients led to the creation of a new portable lighting tool known as the gunlight - www.thegunlight.com. He will be demonstrating this new technology at the show, as well as, explaining the many different ways to use this great new product. The gunlight is still in early stages of production, but the demo will surely be exciting and show the vast capabilities of this new device that will revolutionize photography and further contribute to Brian’s vision of making the world a more beautiful place, one picture at a time.

In Ty and Shannon Fischer’s program, they will be discussing having the right tools to complete sessions, how to accurately and effectively price, differences between minimum order sessions and packages, passion, community involvement and mentoring.
Originally, as the founder and executive director of the non-profit organization, Eyes Wide Open Worldwide; Ty’s love for the arts and photography has spanned many years. Ty was fortunate to travel the United States and other parts of the world working with underprivileged children teaching them to express their emotion and understand composition through photography. A few of his projects include working with Frank Lloyd Wright Conservancy, photographing such architectural masterpieces as Fallingwater, Unity Temple and The Westcott House.
Also traveling to Cambodia to work with the Angkor Photography Festival, his photography projects include the Angkor Wat and the floating villages on the Tonle Sap. In 2007 Ty and his wife Shannon opened Fischink Photography. MOUNTING PRINTS
1. Print entries must be mounted on a standard mount material (double weight mat board, gator board, ¼” foam, or Sintra). Images on metal and mounted to another standard mount material, must have rounded corners. No mount that could potentially damage other entries or pose a danger to print handlers will be accepted. Masonite, glass, stretcher frames or conventional frames will not be accepted.
2. No material may be added to the front or back of an entry that may damage another entry.
3. All makers may submit images of any shape and size on a mount board a minimum of 80 square inches to a maximum of 480 square inches, with the largest dimension no longer than 24”.
DIGITAL ENTRIES1. All digital entries must be submitted on CD. Multiple
entries may be submitted on one CD.2. Entrant’s Name plus, Entry #’s, MUST be written directly
on the CD for identification. NOTE: In order to prevent jamming, NO labels can be affixed to the CD! Use the Official Entry Form as jewel case label.

Blue Ribbon print entries will no longer be pho-tographed for the award ceremony's slide-show, newsletter or web site. Instead, we are asking that you include a digital file of each of your entries on CD labeled with your first and last name in your print case with the following specifications: 1. Images should be flattened and in JPG format.
Resolution should be 4 x 5 inches @ 300 dpi. (Masters images should be on a black 4x5 can-vas.) In addition, each file should be named in the following format: lastnamefirstname1.jpg.
2. Example PattersonAaron1.jpg. Please make sure the print number on your file matches the number on your entry form which also matches the number on the back of your print. If enter-ing albums, please include a file @ 300 dpi on a black 4x5 canvas of your favorite page layout, named with the same specifications as the prints.
3. Failure to include digital files will not disqualify your print case: however, if not included, your image(s) will not be included in the banquet slideshow, nor will they be printed in the newslet-ter or displayed on the website.

By placing a 16x20 protective sheet between each print, repacking the cases becomes much faster and safer. Using plastic bags, paper bags, bubble wrap and other bulky packing material causes problems for the volunteers who spend hours reassembling the print cases after the competition and exhibit.
Suitable protective sheets include:√ A discarded 16x20 print or piece of
photographic paper√ Gloss tissue paper cut to 16x20√ Smooth poster board cut to 16x20√ Extra mat board cut to 16x20
Avoid surfaces that might damage or scratch your prints. If you pack your print case too tightly, its difficult to fit award ribbons and other materials we need to return to you in the case.
Please follow the guidelines set below to make the print handling run smoothly.
1. Type or print all information needed clearly in black ink.2. Coordinate the print number on your label with the same print number on your entry form and the
online form.3. Securely tape the label in the upper right hand corner of the back of your print or transparency. This
will help the person putting the prints on the judging turnstile to know the correct way.4. If possible, in black marker, print the name of your entry at the top, on the back, of your print or
transparency to help the person calling titles to read in dim light.

Kodak introduced the Gallery Awards in 1985 as a way to honor and promote the importance and value of excellence in professional photography.
Kodak has always represented quality imaging through its many products and services and will continue to work to elevate the importance of professional, quality imaging within the industry, as well as with customers. It’s a connection we’re pleased to make.
Therefore, we are delighted once again to salute and support outstanding professional photography and photographers by presenting our annual Gallery and Gallery Elite Awards. The Gallery Awards are judged on a state or regional basis, with winners going on to compete at the national level for the Gallery Elite Award.
Gallery Awards will be presented, throughout the year, at annual Professional Photographers of America (PPA) regional and state conventions — in addition to those events’ customary awards.
The annual Gallery Elite Award will be judged prior to the national PPA conference and trade show and honored at the Gallery Elite Award Gala, held during the PPA’s national gathering, “Imaging USA,” traditionally in January of each year.
Photographers will be considered for a KODAK Gallery Award in each of the following fi ve categories:
• Portrait or Landscape Print
• Wedding Print
• Illustrative, Commercial, Electronic Imaging Print
• Printed Album or Book (any category)
• Print or Album using KODAK PROFESSIONAL ENDURA Metallic Paper
A region and/or state organization may award up to fi ve (5) trophies total, in any combination of the designated categories. For example, if there are no entries to be judged or that meet the judging-point criteria in a certain category, more than one Gallery Award may be given in the other designated categories. However, Kodak prefers that one Gallery Award be given in each of the fi ve categories, provided each entry has achieved the minimum 80-point criteria. The primary purpose of the awards is to recognize and further the use of professionally-printed photography, especially if it utilizes KODAK PROFESSIONAL Products (papers and chemistry). Therefore, Gallery and Gallery Elite trophies are intended to be awarded for prints and printed albums, not electronic-only images and video albums (e.g., CD, DVD), which are outside of Kodak’s intended purpose.

ARTICLE I - Name, Address and PurposeSection 1. The name of the Association shall be PROFESSIONAL PHOTOGRAPHERS OF OHIO, INCORPORATED.
Section 2. The place in Ohio where its principal office is to be located In the City of Columbus, County of Franklin.
Section 3. The purpose for which the Association is formed is:
a. The advancement of Photography in all its branches both as an Art and as a Profession.
b. To improve the technical skill of the individual members.
c. To recognize the attainment of professional ability.
d. To devise ways to better serve the public through education of the values to be gained by their use of professional photographic services.
e. To protect the public from unethical practices.
f. To advise the public of the value in the use of photography.
g. To create better professional and social relationships and discussion among its members.
h. To cooperate with government agencies and other groups having to do with the Art or Profession of Photography for the purpose of increasing technical skill and protecting the public from unfair, unethical trade practices. To do any and all things necessary and lawful to carry out the purpose of the Association.
ARTICLE II - MembershipSection 1.
a. The membership of this Corporation shall consist of such individuals, firms, partnerships, and institutions as may be eligible under various classifications.
b. Members will be entitled to such services and privileges as will be decided upon for their respective classification by the Board of Trustees.
c. All membership applicants must reside in Ohio or have a place of business in Ohio except Out-of-State membership applicants.
Section 2. Dues.
Dues for each classification of membership shall be fixed by the Board.
Section 3. All members in good standing may participate in all Corporation activities including committee service except those specifically herein reserved for and financed by Certified Professional Photographers of Ohio members, or where specifically restricted by the By-Laws.
Section 4. A member in good standing shall be one whose dues are current and has no judgment against him/her standing before the Ethics Committee.
Section 5. It is the duty of each member to notify the PPO office of any change in their membership category. Failure to do so may result in being referred to the Membership Committee for investigation.
ARTICLE III – AffiliationSection 1. Photographic associations located within the state of Ohio may affiliate with PPO upon meeting requirements of PPO and approved by the BOT.
ARTICLE IV - Code of ConductSection 1. The following shall constitute the Code of Conduct for members of this Corporation and each such member shall signify their intention and willingness to abide by the same in the manner hereinafter provided.
Code of Conduct
Upon being accepted into membership in the Professional Photographers of Ohio, Inc. I hereby subscribe without reservation to this Code of Conduct, and do
solemnly agree that I will:
1. Strive at all times to upgrade and improve my knowledge and skill of professional photography, marketing and related areas.
2. In all dealings with users of photography and general public:
a) Strive to present all photography and photographic services in surroundings and in a manner, which reflects the highest levels of professionalism;
b) Use the highest levels of professionalism, honesty and integrity;
c) Not use any marketing or competitive practice which violates any Federal Trade Commission, or other Federal or State regulatory agency rule or regulation, and Federal or State statute, or any decision of any Federal or State Court or contractual agreement.
d) Strive at all times to produce photography and photographic services in accordance with the highest levels of professionalism.
3. In all dealings with fellow professional photographers and members of this Association, share the knowledge, and skill of professional photography.
4. Support efforts for and assist in the education of all interested persons and the general public in the Art and Science of Photography.
5. In all matters relating to the interpretation of this Code, recognize the authority of the Professional Photographers of Ohio, Inc.

Section 2. The Code of Conduct shall be prominently incorporated with and be a formal part of every application.
Section 3. No application for membership shall be accepted and no services or privileges shall be accorded to any applicant unless and until the Code of Conduct has been signed.
Section 4. No member of this Corporation shall enter into any agreement of any nature whatsoever, the object of which is to restrain trade, limit production, circumscribe competition, regulate prices, distribute business, or perform any act that is contrary to law.
Section 5. Every member of this Corporation shall be at liberty at all times, and in every respect and particular, to conduct their business as they see fit, provided that in so doing they do not violate the Code of Conduct or the provisions of Section 4 of this Article.
Section 6. The violation of any portion of the Code of Conduct or Code of Regulations shall be grounds for the Board of Trustees to erminate or refuse renewal of membership in the Corporation.
ARTICLE V - Composition of DistrictsSection 1. The state shall be divided into six Districts. Each District shall be entitled to not less than one representative on the Board of Trustees to be elected in a manner hereinafter prescribed. The name, the number, and the counties contained in each District are as follows:

ARTICLE VI - Board of TrusteesSection 1. There shall be a Board of Trustees
ARTICLE VII - Meetings and QuorumSection 1. Action may be taken by the Board in lieu of meetings in accordance with the laws of the state of Ohio. Special meetings may be held remotely by using the most effective technology.
ARTICLE VIII - Duties of the BoardSection 1. It shall be the duty of the Board of Trustees to superintend all activities of the Corporation and it shall be empowered to consider and determine all questions and problems arising between annual meetings.
ARTICLE IX - OfficersSection 1. Officers of this Corporation shall consist of the Chairperson of the Board (is not elected), President, President-Elect, Vice- President, Secretary, Treasurer; who shall perform the duties usually required by their office.
Section 2. These officers shall compose the Executive Committee of the Board of Trustees. This committee shall act on behalf of the Board of Trustees between meetings of the Board of Trustees, and report to the Board of Trustees at the next regular meeting.
ARTICLE X - MeetingsSection 1. The Corporation shall meet annually at a time and place to be determined by the Board of Trustees. Special meetings of the membership may be called by the President and/or a majority of the Board of Trustees. An appropriate written notice shall be sent to Active members at least ten days in advance of the proposed meeting.
ARTICLE XI - CommitteesSection 1. The President of the Corporation, with the approval of the Board,
shall appoint such committees, as he/she shall determine necessary to carry out the aims and objects of the Corporation.
Section 2. There shall be a Certified Professional Photographer Commission (CPP Committee) to oversee and promulgate any and all business as concerns CPP activities and regulations with Board of Trustees approval.
ARTICLE XII - InsigniaSection 1. The right to use the Seal and other types of insignia and membership identifications of the Corporation shall be restricted.
a. All membership identification and insignia and right to use such shall remain the property of the Corporation and shall be furnished to a member for use only during such time as their membership is in good standing.
b. If for any reason whatsoever membership status with the Corporation is revoked or severed, the member agrees, as a
condition of membership, to immediately desist in the use and display of such insignia, or of the Corporation's name, or of other material which in any way could be interpreted by the public as evidence as membership in the Corporation or approval or endorsement of the individual or firm he/ she is associated with by the Corporation.
ARTICLE XIII- AmendmentsSection 1. The Code of Regulations may be modified, altered, amended,
or repealed by two-thirds vote of the Active and Certified Professional members of this Corporation present at any regular or special meeting; provided, however, that such proposed amendment shall be supplied in printed form to all members eligible to vote at least thirty (30) days prior to the meeting.
ARTICLE XIV - Expenditure of FundsSection 1. No member, employee, or agent of the Trustees of this
Association shall enter into any agreement or obligation for this Association, financial or otherwise, or expend any Association Funds in excess of the adopted budget without prior approval of the Board of Trustees.
ARTICLE XV • Reserve FundSection 1. This Association shall establish and maintain a reserve fund to be known as Professional Photographers of Ohio, Inc. Reserve Fund.
ARTICLE XVISection 1. Roberts Rules of Order shall be used to govern procedure of all meetings.
Section 2. -Indemnification. Every member of the Board of
Trustees, the Executive Board, officer, member of a committee, or employee of the Association shall be indemnified by the Association against all expenses and liabilities, including counsel fees, reasonably incurred by, or imposed them in connection with any proceeding to which they may be made a party, or in which they may become involved by reason of their being of having been a member of the Board of Trustees, the Executive Board, officer, member of a committee or employee of the Association or any settlement thereof, whether or not they are Board of Trustees, the Executive Board, officer, member of a committee, or employee at the time such expenses are incurred, except in cases wherein the committee or employee is adjudged guilty of willful misfeasance or malfeasance in the performance of their duties. The forgoing right to indemnification shall be in addition to and not exclusive of all other rights to which such members of the Board of Trustees, the Executive Board, officer, member of a committee or an employee be entitled
Section 3 - Dissolution. Upon execution of Article VII, Section 1 – special meetings and Article VII, Section 2 - written notification of the full paid membership at a meeting thirty days past, the full membership, following discussion may determine the Professional Photographers of Ohio, Inc. dissolved with a 2/3 majority vote. Following the affirmative vote of dissolution, the members of the Association must comply with the seven requirements listed below to complete the dissolution process.
a. All outstanding contracts must be terminated per said contract.
b. All Association outstanding bills be paid in full
c. A financial statement be prepared for the membership and the IRS
d. Any regulation by the Ohio Secretary of State's office in terminating an association to be followed.
e. A permanent home for the Association's records to be found.
f. All office equipment and inventory be donated to a nonprofit or sold.
g. All accounts to be closed with remaining monies either being donated to a nonprofit or divided among the paid Professional Photographers of Ohio, Inc. membership at the time of dissolution.

a. The membership of this Corporation shall consist of such individuals, firms, partnerships, and institutions as may be eligible under the various classifications described in this Article.
b. Applicants for membership shall endure a three (3) year probationary period before being fully accepted into the Association.
c. Applicants must be sponsored by two (2) Active members in good standing; or, one (1) Active member in good standing and maintain a reputable website.
Section 2. Membership classifications shall be:
a. Active. May be extended to firms and individuals engaged in photography or photographic services. These members shall derive the major portion of their earned income from photography or photographic oriented work. Vendor's license required where applicable
b. Associate. May be extended to individuals engaged in photography or photographic services who do not derive the major portion of their earned income from photography or photographic oriented work. Vendor's license required where applicable.
c. Student. May be extended to any individual attending a school as a full-time student majoring in photography.
d. Life. May be awarded by the Board of Trustees to any individual who has maintained membership for the last twenty or more consecutive years in the Professional Photographers of Ohio, Inc. and is now retiring from the profession. Payment of yearly dues is waived. Upon re-entry into the business world, regular dues payment shall apply until member returns to retirement status.
e. Honorary. May be awarded by the Board of Trustees to any individual who has performed some outstanding service to the profession of Photography.
f. Out-of-State Full Service. May be extended to any photographer from any other state, who desires Active Membership of this Association.
This member is entitled to all services and member fee discounts; however, Out-of-State Full Service members shall not vote, hold office, serve on a committee, or enter PPO competitions or Mid East States Regional Exhibition as a PPO member. There shall be no probationary period. Should the member not maintain a membership in their home state, a $25 surcharge will be added to their regular membership fees.
g. Retired/lnactive. May be extended to current members who are retiring from the photographic profession or have an interruption in their photographic business profession, but wish to retain a connected with Professional Photographers of Ohio. Written request shall be required for this classification. When said member returns to the photographic business world, previous classification and dues will be required.
Section 3. The right to vote and to hold office shall be a privilege of Active, Associate and Life members only.
a. Non-Photographic members may not enjoy this privilege.
Section 4. Dues.
a. A membership card shall be provided to each member upon payment of their annual dues.
ARTICLE III - AffiliationSection 1. Any group of photographers having been organized for at least one year and meeting regularly and subscribing to purposes compatible with the purposes and Code of Conduct of this Corporation may be accepted by the
Board of Trustees into Affiliation with this Corporation.
a. Each Affiliate must have an active membership of 15 or more members, fifty (50) percent of which must be members of the Corporation, or be affiliated with the Professional Photographers of America, Inc.
b. Each Affiliate shall, in order to maintain its affiliation status, nominate from its board a representative to serve as a Trustee on the Board of Trustees of this Corporation for a period of one year. Such representative shall be an Active member in good standing of this Corporation. The nomination of any representative shall be subject to approval of the Board of Trustees.
ARTICLE IV - Code of Conduct

ARTICLE VI - Board of Trustees
Section 1. There shall be a Board of Trustees as hereinafter provided each of whom shall be an Active, Associate or Life member in good standing.
Section 2. Election of the members of the Board shall be carried out as provided in the following sections (5-6) and only Active, Associate or Life members in good standing shall be entitled to vote.
Section 3. Trustees serving on the Board upon the date of the adoption of the Code of Regulations shall continue to serve until the terms for which they were elected shall expire. At each successive annual meeting, beginning with 1971 two (2) District Trustees and one (1) Trustee-at-Large shall be elected to the Board for terms of three (3) years. Districts shall be entitled to representation as follows:
In 1971, Districts one (1) and four (4) shall be entitled to one trustee each to be elected for a term of three years.
In 1972, Districts three (3) and six (6) shall be entitled to one trustee each to be elected for a term of three years.
In 1973, Districts two (2) and five (5) shall be entitled to one trustee each to be elected for a term of three years.
Section 4. In case of a vacancy, any Trustee appointed to fill such vacancy shall hold office for a term, which shall be coincidental with the term of the class in which the vacancy occurred. Vacancies shall be filled by the President with the approval of a majority of the remaining members of the Board.
Section 5. District Trustees: At least thirty (30) days prior to the annual meeting the Board of Trustees shall send to all Active, Associate and Life members in good standing in each District entitled to elect trustees in that year a ballot which shall contain the names of not less than two nominees for Trustee from the members' District.
Space shall be provided on the ballot for "write in" candidates but all candidates must reside in the District from which they are nominated. The ballots shall be marked and returned to the Secretary prior to the annual meeting. The Secretary shall tally the ballots and announce the elected candidate from each of the two eligible Districts at the annual meeting. The candidate receiving the greatest number of votes in each contest will be elected, whether or not they receive a majority of the votes cast.
Section 6. Affiliate Representative: Each Affiliate shall, in order to maintain its affiliation status, nominate from its board a representative to serve as a Trustee on the Board of Trustees of this Corporation for a period of one year. Such representative shall be an Active or Associate member in good standing of this Corporation. The nomination of any representative shall be subject to approval of the Board of Trustees.
Section 7. Trustees at Large: At the annual meeting, the Board shall offer in nomination the names of not less than two Active, Associate and Life members for the office of Trustee-at-Large for the three (3) year term expiring in that year. Additional nominations may be made from the floor. After nominations are closed a ballot shall be cast by the members attending the meeting, and the candidate receiving the largest number of votes shall be declared elected, whether or not they receive a majority of the votes cast.

The Secretary shall tally the ballots and announce the elected candidate at the annual meeting.
Section 8. In addition to the Trustees elected in the manner aforesaid, up to seven additional Trustees shall be selected by the elected members of the Board of Trustees from the Active, Associate and Life membership. The appointed Trustees shall serve for terms of one year and until their successors are chosen and qualified.
Section 9. The immediate Past President shall become Chairman of the Board of Trustees.
Section 10. The term of office for all Trustees and Officers shall be from thirty (30) days after the annual meeting to thirty (30)-days after the next annual meeting.
Section 11. The Newsletter Editor shall attend Board of Trustees meetings without a vote.
Section 12. Any member of this Corporation serving as an elected Council Member, Officer, or Director of the Professional Photographers of America, Inc., may, during the term of office, serve as a member of the Board of Trustees with full voting privileges.
Section 13. Any Trustees elected to the position of Officer shall resign their elected Trustee position and remain a Board member as an Officer until such time as they are ineligible (at the discretion of the Board) to serve in that capacity.
Section 14. The Certified Professional Photographers Committee Chairperson shall be a member of the Board of Trustees
Section 15. Any elected or appointed Trustee holding more than one voting position on the Board may only vote one of those positions.
ARTICLE VII - Meetings and QuorumSection 1. Meetings of the Board of Trustees shall be held not less than four times each year at a time and place to be determined by the Board. Special meetings may be called by the President or on the request of two or more members of the Board.
Section 2. Written notice of the time, place, and purpose of any special meeting shall be given to each Trustee either by personal delivery or by mail, telegram, or cablegram at least five (5) days before the meeting.
Section 3. Any member of the Board of Trustees who fails to attend three consecutive meetings of the Board may be dropped from office by the decision of a majority of the Board.
Section 4. A majority of the members of the Board of Trustees shall constitute a quorum.
Section 5. E-mail
1. Urgency that precludes waiting until next scheduled meeting.
2. Permission granted by the Chairman of the Board.
3. Trustees may vote via e-mail on any motion as needed between scheduled meetings. These motions should be for urgent situations only, and a quorum of votes must be received.
4. The results of the e-mail motions become part of the official minutes during the next scheduled meeting.
5. A timeline for discussion and responses should be stated; ie., DISCUSSION OF THE MOTION WILL BE HELD FOR TWO WEEKS, VOTES WILL BE DUE THE END OF THE FOLLOWING WEEK (GIVING DATES).
ARTICLE VIII - Duties of the BoardARTICLE IX - OfficersSection 1. Election of Officers shall be accomplished in the following manner:
a. An appropriate nominating committee shall propose officer candidates to the Board from elected Active and Life Board members.
1. New nominees shall have been elected Board members for at least two (2) years.
b. The election of Officers shall take place at the annual Board meeting prior to the annual convention general membership meeting.
c. The outgoing Board members shall vote on the new Officers.
d. The new Officers and Board members shall be announced at the Annual Convention.
e. All new Officers shall assume office thirty (30) days after the annual meeting and shall hold office for one year or until their successors assume office.
Section 2. The Officers of the Corporation shall preside at all meetings of the general membership and the Board of Trustees in the order of their respective offices as set forth in the By-Laws.
ARTICLE X - Meetings
ARTICLE XI - CommitteesSection 1.
a. The President shall appoint a Nominating Committee of three or more persons, including the past recipient of the Lifetime Achievement Award to propose nominees for special awards to the BOT, including the National Award, Ohio Distinguished Service Award, Lifetime Achievement Award, Troup Over and Above Service Award, etc., all being non-print related awards.
b. Any PPO member may offer suggestions to the committee for consideration.
ARTICLE XII - InsigniaSection 1. The right to use the Seal and other types of insignia and membership identifications of the Corporation shall be restricted as follows:
a. Membership identification such as the Logo, Seal, use of same on letterhead or advertising material, or any other device which could be interpreted by the public to indicate the user as a skilled photographer approved by the Corporation is restricted to use by only those members who are accorded voting privileges.
