REGULATIONS OF WARSAW BUILD TRADE FAIR

1. GENERAL PROVISIONS

1.1. The provisions of these Regulations shall apply to each entity (hereinafter

referred to as the “Exhibitor”) taking part in the WARSAW BUILD Trade Fair

in Nadarzyn (hereinafter referred to as the "Fair") organized by Warsaw Home

Expo Sp. z o.o. with registered office in Rzgów (ul. Żeromskiego 6, 95-030

Rzgów), entered into the Register of Entrepreneurs kept by the District Court

for Łódź-Śródmieście in Łódź, 20th Commercial Division of the National Court

Register under number KRS 0000709613, NIP (Unique Taxpayer Reference)

728-282-50-04, National Economy Register Statistical Reference (REGON) :

368993220 (hereinafter referred to as the “Organizer”).

1.2. "Attendant" is a person from the sales department representing the Organizer

who conducts the Exhibitor's application process for the fair.

1.3. "Exhibitor's Portal" is the Organiser's website www.portal.warsawhome.eu,

which enables the Exhibitor to register for participation in the Fair.

1.4. All participants of the Fair shall be obliged to observe the Regulations of the

Fair, Regulations of the PTAK WARSAW EXPO Facility, generally

applicable standards and rules, including but not limited to fire, health and

safety as well as sanitary ones.

1.5. In case of non-consitency of these Regulations with the Regulations of the

Ptak Warsaw Expo Facility, the provisions of these Regulations shall take

precedence.

2. TERMS OF PARTICIPATION IN THE FAIR

2.1. Application for participation and conclusion of the agreement

2.1.1. "Conclusion of the Agreement" for participation in the Fair takes

place at the time of confirmation acceptance of the Application for

Participation by the Organizer sended a completed and signed

Application for Participation, or registration through the Exhibitor's

Portal and confirmation by Organizer registration of the Application

(hereinafter referred to as the "Application Form")

At the same time the "Conclusion of the Agreement" means these

Regulations, the Regulations of the Ptak Warsaw Expo Facility and the

Organizer's "Privacy Policy" have been read and accepted, and thus

they become an integral part of the Agreement of participation in the

Fair.

2.1.2. Applications for Participation shall be accepted by the Organizer

until exhibition space is available.

2.1.3. The Application for Participation in the Warsaw Build Fair should

be submitted by email, in person, by post, or via the Exhibitor's Portal.

2.1.4. The Organizer shall accept only the Application for Participation

signed by a person authorized to conclude the agreement or

Application for Participation sent via the Exhibitor Portal. At the same

time, the persons signing the Application for Participation represent


and warrant that they are duly authorized to conclude the agreement

on behalf of the Exhibitor.

2.1.5. A change of the Organizer's entity, its registered office or address does

not imply a change in the terms and conditions of the Agreement.

2.1.6. All inquiries and the Application for Participation should be sent in

accordance with the contact details available at

https://warsawbuild.eu/kontakt/.

2.2. Resignation from participation in the Fair

2.2.1. Withdrawal of the Application for Participation by the Exhibitor after the

conclusion of the Agreement is tantamount to the Exhibitor's obligation

to pay an amount equal to twice the sum of the fees resulting from the

Application for Participation. These provisions shall apply

accordingly to other persons participating in the Fair on the basis of

agreements concluded with the Organizer.

2.2.2. The Parties specify that withdrawal of the Application for Participation

in the Fair shall mean in particular (1) notification of the Organizer in

writing or at least by email, (2) absence of the Exhibitor from the Fair.

2.2.3. The above procedure (clause 2.2.2.) also applies to the Exhibitor’s

ordering of any additional products and services offered by the

Organizer in connection with the organization of the Fair, including

ancillary services.

2.2.4. The Organizer shall have the right to refuse the Exhibitor’s

participation in the Fair if the Exhibitor is in arrears with any fees for

the Organizer, violates the Regulations of the Fair or the Regulations

of the Ptak Warsaw Expo Facility or generally applicable law or its

actions are not consistent with the idea of the Fair, or it is contrary to

the content of the contract . The Organizer shall send this information

by email to the email address indicated in the Application for

Participation.

2.2.5. In the cases specified in clause 2.2 above, the Exhibitor shall not have

the right to pursue claims, in particular for damages.

3. PAYMENTS

3.1. Participation in the Fair

3.1.1. After the Organizer’s accepting the Application for Participation in

the Fair, the Organizer shall send the Exhibitor, either by email or via

the Exhibitor's Portal, a pro-forma invoice for exhibition space,

payable as a down payment of 30% (of the amount resulting from the

Application for Participation) to the Organizer's bank account within

14 calendar days of receipt of the pro-forma invoice. The remaining

amount shall be paid in two installments: 30% until June 30 of the given

year and 40% 30 calendar days before the start of the Fair .

3.1.2. Applying for participation later than one month before the start of

the Fair, shall oblige the Exhibitor to pay the full amount resulting from

the application to the Organizer's bank account within 7 calendar days

from receipt of the VAT invoice.


3.1.3. Signing the Application for Participation is tantamount to the

Exhibitor's consent to receiving all invoices via email. Invoices will be

uploaded to the Exhibitor's Portal or sent via the e-mail address

provided in the Application Form.

3.2. Ancillary services

3.2.1. An order for ancillary services should be placed through the

Exhibitor's Portal. In exceptional cases, the order for ancillary

services may be placed by email with the Organizer's consent by e-

mail or in writing.

3.2.2. The list of ancillary services constitutes Annexe 1 to these

Regulations.

3.2.3. The Organizer stipulates that in case of placing an order for ancillary

services less than 21 days before commencement of the assembly,

the prices indicated in the price list of ancillary services are increased

by 50%. During the assembly and the Fair, the prices indicated in the

price list for ancillary services increase by 100 %, and orders for

ancillary services could be placed only in the Fair Technical Office

designated by the Organizer.

3.2.4. In the case of orders for ancillary services placed less than 21 days

before the commencement of the Fair, the Organizer does not

guarantee the availability of the range of items as requested or

performance of the service.

3.2.5. A VAT invoice for ancillary services ordered by the Exhibitor must be

paid within 7 calendar days of receipt of the VAT invoice issued by the

Organizer. The Organizer shall be entitled to charge statutory late

payment interest for the Exhibitor’ failure to pay on time. A VAT invoice

is considered to be paid when the Organiser's bank account is

credited.

3.2.6. The provisions of point 3.2 shall not apply to procurement regarding

the provision of marketing services.

3.3. Additional services - marketing

3.3.1. The catalog of marketing services provided by the Organizer is

included in Annex 2 to these Regulations.

3.3.2. The order for the provision of marketing services should be submitted

electronically to the email address indicated in the catalog of marketing

services in Annex 2.

3.3.3. When accepting the order, the Organizer provides the Exhibitor by e-

mail to the e-mail address provided by him, the Order Form, which

contains detailed information about the order.

3.3.4. The Exhibitor undertakes to sign the Order Form by a person

authorized to make declarations of will of a given entity. Persons

signing the Marketing Service Order Form at the same time declare

and guarantee that they are duly authorized to make declarations of

will and place orders on behalf of the Exhibitor. Signing the Order Form

and sending it in accordance with the indicated procedure is

considered as accepting the order for implementation.


3.3.5. If an order is placed for one of the services listed below, a prerequisite

for acceptance is the prepayment of 50% of the price indicated for the

given service in the price list in Annex 2. Payment of 50% of the price

will be made on the basis of a pro-forma invoice issued and delivered

Exhibitors by the Organizer. The services offered by the Organizer are

as follows:

a) Providing the Exhibitor's logo on the hall plan,

b) Making the advertisement available on the map of the Fair,

c) Ensuring internal advertising space,

d) Product placement,

e) Partner package during the Warsaw Build Fair,

f) Sponsorship package at an evening event organized during the fair

g) Advertising in the Warsaw Design Week Guide

3.3.6. In the event of failure to pay the fee in the term referred to in point 3.3.5

above, the order is considered not to be placed, and any liability of the

Organizer in this respect is excluded.

3.3.7. Payments for marketing services must be made within the time

specified on the VAT invoice issued by the Organizer.

3.3.8. All marketing services provided by the Organizer to the Exhibitor will

be based on materials sent by the Exhibitor electronically on time and

to the e-mail address provided in the Order Form.

3.3.9. In the event of failure to meet the deadline referred to in point 3.3.7

above, the Organizer reserves the right to refuse an order, and the

prepayment indicated in point 3.3.5 is not refundable, in which case

any liability of the Organizer is excluded.

4. EXHIBITION SPACE RENTAL

4.1. The Organizer shall indicate the exhibition space to the Exhibitor at least 2

weeks before the start of the Fair.

4.2. The Organizer shall allocate the exhibition space taking into account

suggestions and tips of the Exhibitor as far as possible and in accordance with

the organizational and technical conditions.

4.3. The Organizer shall have the right to change the location and numbering of

exhibition space, which does not constitute an amendment to the agreement

for participation in the Fair and does not give rise to any claims against the

Organizer on the part of the Exhibitor. The Organizer shall inform the Exhibitor

about the change in the location of the Exhibitor's exhibition space by email to

an email address indicated by the Exhibitor in the Application for Participation

or via the Exhibitor’s Portal.

5. REPRESENTED COMPANIES AND CO-EXHIBITORS

5.1. The Exhibitor shall be obliged to display and advertise its products (goods

and/or services) in accordance with the theme of the Fair.

5.2. In the case of the Exhibitor who is a distributor of goods and/or services, the

Exhibitor shall be obliged to present only one of the distributed brand within

one stand. In the case of violation of this provision, the Organizer shall have


the right to impose on the Exhibitor a financial penalty in the amount of PLN

10,000 (in words: ten thousand zlotys) net payable within 7 calendar days from

the date of delivery of the demand for payment of the contractual penalty.

5.3. The Exhibitor who is a distributor may place its logotype on an exhibition stand

in a format not larger than A3.

5.4. The Exhibitor is obliged to display and advertise his products taking into

generally applicable law, in particular account the provisions of the Act on

Copyright and Related Rights of February 4, 1994, which is the basis of the

principle of fair competition.

5.5. Exhibitors are obliged to advertise and display only goods that meet the criteria

of product originality and have an individual character.

5.6. The Organizer reserves the right to inspect advertised and displayed products

at stands in case of doubts as to the originality of a specific product. The control

may be carried out by a commission appointed for this purpose, consisting of

the Organiser's Representative and two independent representatives

appointed by the Organizer.

5.7. After the audit, the abovementioned commission will issue an appropriate

report containing an assessment of the facts. If the committee expresses a

negative opinion regarding the assessment of the originality of a good /

product, the Organizer is entitled to remove products and exhibits from the

stand at the Exhibitor's expense and risk. Removed products will be returned

at the end of the Fair with acknowledgment of receipt, until they are returned

they will be stored at the Exhibitor's risk.

6. ASSEMBLY AND DISASSEMBLY

6.1. The Exhibitor shall be obliged to submit for approval the technical design of

the stand together with projections and visualization by 31 July.

6.2. The Exhibitor may carry out assembly and disassembly works at the stand in

accordance with the assembly and disassembly schedule published at:

https://warsawbuild.eu/. In case of extending the hours of assembly and

disassembly, the Exhibitor shall be charged with a penalty of PLN 1,000/1h (in

words: one thousand zlotys per hour) net payable within 7 calendar days from

the date of delivery of the demand for payment of the contractual penalty.

6.3. The Organizer may also order suspension of works if it considers that they

violate these Regulations, the Regulations of the Ptak Warsaw Expo Facility

or pose a threat to the order or safety of persons or property.

6.4. During assembly and disassembly, it is forbidden to damage the structure or

coatings of walls, floors and other elements of the facility where the Fair takes

place, as well as using own forklifts and automatic lifts.

6.5. During stand assembly and disassembly, it is forbidden to carry out works that

cause dusting or fire hazard. Dirty works should be minimized and should be

carried out within the rented exhibition space. On the last day of assembly, it

is forbidden to carry out dirty assembly works. In the event of failure to comply

with the above requirement, the Organizer shall have the right to charge the

Exhibitor with a contractual penalty in the amount of PLN 10,000 (in words: ten


thousand zlotys) net payable within 7 calendar days from the date of delivery

of the call for payment of the contractual penalty.

6.6. The Exhibitor shall be obliged to restore the exhibition space made available

to it to its original condition not later than by the date of completion of

disassembly. Failure to comply with clause 6.6. shall entitle the Organizer to

contract such activities to an external entity at the Exhibitor's expense.

7. EXPOSITION

7.1. The Exhibitor shall have the right to display and advertise its products (goods

and/or services) exclusively within the allocated exhibition space, provided that

its exhibits do not obscure the adjacent exhibitions or do not disturb the

ordinary 2 course of work of other Exhibitors.

7.2. Exhibitors of stands located on the main passageways are obliged to design

and build an individual stand structure.

In case of doubts related to the interpretation of the above provision, please

contact the Attendant.

7.3. Exhibitors of stand structures other than island stands (stand open on four

sides) are obliged to enclose the exhibition space with a wall or other material

clearly separating the border with the adjacent stand.

In the event of a breach of this provision, the Exhibitor shall be charged with a

contractual penalty in the amount of PLN 10,000 (in words: ten thousand zlotys)

net payable within 7 calendar days from the date of delivery of the call for

payment of the contractual penalty.

7.4. Stand walls and other structural elements more than 2.5 m high facing the rear

of the adjacent stand must be finished aesthetically and painted in neutral

white. In the event of a breach of this provision, the Exhibitor shall be charged

with a contractual penalty in the amount of PLN 10,000 (in words: ten thousand

zlotys) net payable within 7 days from the date of delivery of the call for


7.5. It is forbidden to build exhibition stands using the Octanorm system in white

(only invisible skeleton in silver is allowed). Octanorm type structure in black

is allowed.

7.6. It is forbidden to place roll-up advertisements within the stand.

7.7. The Organizer stipulates that each floor of the rented exhibition space must be

covered with a finishing material (cladding, panels, platform or other). In the

event of a breach of this provision, the Exhibitor shall be charged with a

contractual penalty in the amount of PLN 10,000 (in words: ten thousand

zlotys) net payable within 7 calendar days from the date of delivery of the call

for payment of the contractual penalty.

7.8. The Organizer reserves the right that each rented exhibition space must be

equipped with its own lighting or lighting ordered from the Organizer's List of

ancillary services.

7.9. In the exhibition hall PTAK WARSAW EXPO, it is forbidden to interfere with

partition walls ordered from the List of ancillary services, mechanically and with

the use of chemicals, foam adhesives, double-sided tapes and other

substances, which lead to irreversible damage to walls. Failure to comply with


this provision may result in a penalty in the amount of PLN 500 (in words: five

hundred zlotys) net per 1 m2 of damaged partition wall.

8. ORDER REGULATIONS

8.1. The Exhibitor shall be obliged to follow order instructions issued by the

Organizer's representative.

8.2. The Exhibitor and persons representing the Exhibitor shall be obliged to have

ID badges issued by the Organizer and to submit to control procedures carried

out on behalf of the Organizer by a licensed agency responsible for the security

of persons and property, ensuring the safety of the Fair.

8.3. The Exhibitor shall be obliged to make the stand available to visitors on the

opening days and hours of the Fair. Leaving and disassembling the stand

before the Fair closing shall result in the imposition on the Exhibitor of a

contractual penalty in the amount of PLN 5,000 (in words: five thousand zlotys)

net payable within 7 calendar days from the date of delivery of the call for


8.4. The Exhibitor shall be obliged to keep the stand in an orderly condition

throughout the entire period of exhibition space availability. Adding new items

to the exhibition and cleaning of the stand may take place only outside the

hours the Fair is opened for visitors.

Removing exhibits from the stand before the end of the Fair is prohibited. The

Exhibitor undertakes to supplement the exhibition and maintain it in the same

shape throughout the duration of the Fair. Activities aimed at changing the way

of exhibition can be started only after closing the Fair for visitors on the last day

of the Fair.

8.5. The Organizer reserves the right to control the presentation and display at the

exhibition stand and to raise objections in this regard. The Exhibitor undertakes

to comply with the Organiser's reservations.

8.6. The Exhibitor may use sound systems or other devices which will not interfere

with the normal course of work of other Exhibitors.

8.7. It is forbidden to bring weapons, ammunition, explosives, as well as irritating

or fire hazardous substances to the Fair area. The Organizer's representative

may order the Exhibitor to remove immediately from the stand elements posing

a threat to the safety of persons or property, or otherwise disrupting the course

of the Fair.

8.8. All promotional activities of the Exhibitor may only take place within its stand,

and may not interfere with the course of the Exhibition or the work of other

Exhibitors. Hostesses may distribute advertising materials exclusively within

the Exhibitor's stand. Placing advertisements or promoting the Exhibitor

outside the rented stand is subject to a contractual penalty in the amount of

PLN 20,000 (in words: twenty thousand zlotys) net payable within 7 calendar

days from the date of delivery of the call for payment of the contractual penalty.

The Exhibitor shall be obliged to immediately stop violating the above

provision.

8.9. It is forbidden to obstruct escape routes, as well as accesses to fire-fighting

equipment and corridors.


8.10. Smoking is forbidden within the Fair area, outside the designated places.

8.11. The Organizer is not responsible for any damage caused in the parking lot.

8.12. Animals are not allowed in the Fair area.

8.13. The Exhibitor and any other participant of the Fair are prohibited from

promoting other fair facilities and trade fair events. In the case of violation of

this provision, the Organizer shall have the right to impose on the Exhibitor,

as well as any other participant of the Fair, a financial penalty in the amount

of PLN 10,000 (in words: ten thousand zlotys) net payable within 7 calendar

days from the date of delivery of the demand for payment of the contractual

penalty.

9. ADVERTISING AND PROMOTION

9.1. The Organizer shall not be liable for the content of advertising, promotional or

informational materials provided by the Exhibitor.

9.2. The Organizer may refuse to publish materials provided to it by the Exhibitor if

it decides that these materials violate the legitimate interests of the Organizer

or other participants of the Fair, the idea of the Fair, the rights of third parties,

generally applicable legal norms or good manners. At the same time, the

Organizer reserves the right to shorten or correct the materials sent for

publication.

9.3. The Exhibitor consents to the promotion of its company by the Organizer in

connection with the organized event, in particular to the use of the name,

logotype, photographs and content published on websites and social media.

10. LIABILITY

10.1. The Organizer shall be liable only for damages caused to the Exhibitor or

other participant of the Fair by deliberate fault of the Organizer.

10.2. The Organizer shall not be responsible for interruptions in the supply of

utilities or services caused by circumstances beyond its control, in which case

it undertakes to take all necessary measures to restore uninterrupted access

to the utilities and services.

10.3. The Organizer shall not be liable for the Exhibitor's belongings left at the

abandoned stand during the assembly and disassembly as well as during the

Fair.

10.4. The Exhibitor shall be obliged to have all copyrights intellectual property,

including copyrights, related rights and industrial property rights (including

rights to patents, utility models, EU designs, industrial designs, trademarks),

necessary licenses and rights to products and advertising materials at the

exhibition stand and transferred Organizer. In particular, the Exhibitor

undertakes to acquire all copyright and related rights or obtain the appropriate

license, in particular in the field of reproducing, public performing, displaying

or displaying works, artistic performances, phonograms or videogames

whose operation will take place in connection with participation in the

Exhibitor in The fair, in particular as part of the materials presented at the

stand. The Exhibitor declares that in the event of playing small music

recordings, in particular music, within his stand, he undertakes to obtain and


pay for the relevant licenses of the collective management organization or

other legal title authorizing such exploitation of the recordings of the works

10.5. In case when:

10.5.1. third parties submit justified claims against the Exhibitor resulting

from infringement of these rights, the Exhibitor undertakes to satisfy

these claims,

10.5.2. in case of claims of third parties referred to in clause 10.4.1 against

the Organizer pursued in court, the Exhibitor undertakes to join the

proceedings on the Organizer's side and to take all legal and factual

actions in order to have the Organizer no longer involved in the case.

If an enforcement order is issued against the Organizer, the Exhibitor

shall satisfy all claims pursued through such an enforcement order,

10.5.3. The Organizer, in the case of obtaining reliable information, has any

doubts as to the Exhibitor's violation of intellectual property rights,

including copyrights, related rights and industrial property rights

(rights to patents, utility models, EU designs, industrial designs,

trademarks) in relation to exhibited products or advertising materials,

has the right to call the Exhibitor to immediately remove questionable

products from the exhibition space. In the event of the Exhibitor's

failure to summon the Organizer, the Organizer has the right to

remove products from the exhibition area for the duration of the Fair

at the expense and risk of the Exhibitor or to close the exhibition

stand at the Exhibitor's expense.\

10.6. All issues related to the abovementioned violations will be reported to the

intellectual property protection coordinator appointed by the Organizer, ie:

appropriate steps on behalf of the Organizer.

10.7. The Exhibitor shall bear full material strict liability for any damage caused to

the Organizer, other Exhibitors or third parties by the Exhibitor, persons

acting on its behalf or representing its rights. The Exhibitor shall be obliged

to inform the Organizer immediately of any risks which may result in causing

damage or of any event which may cause damage.

10.8. The Organizer recommends the Exhibitor to conclude appropriate property

insurance contracts with respect to the risks related to the Exhibition and third

party liability insurance for any damage caused in connection with

participation in the Exhibition.

11. CLAIMS

11.1. Any claims should be submitted to the Organizer in writing until the last day

of the Fair. Claims submitted after this date shall be deemed unfounded.

11.2. The Exhibitor expressly confirms that the Organizer did not make any

assurances or guarantees concerning the economic results that the Exhibitor

will achieve as a result of participation in the Fair and will not have any claims

against the Organizer on this account.

11.3. The Exhibitor's claims do not entitle the Exhibitor to delay the transfer of the

Organizer's receivables in whole or in part.


12. IMAGE SHARING

12.1. The Exhibitor and other entities participating in the Fair on the basis of

contracts concluded with the Organizer agrees to the free use by the

Organizer without time and territorial restrictions of his image, recorded by

means of photographs or audiovisual techniques, in whole or in parts, for

marketing or information purposes related to the activities of the Organizer,

as well as for its internal needs .

12.2. The above consent includes in particular:

a) publication of the Exhibitor's image (recorded in the form of photographs),

including in connection with the name and surname and position / specialization

and e-mail address, as well as the telephone number on the Organiser's

website,

b) recording and temporary or permanent reproduction of the Exhibitor's image

by the Organizer, in whole or in part, by any technique, on all known media, as

well as repeated entering into the memory of computers, computer network,

databases, servers, as well as to the memory of any other type of electronic

devices,

c) dissemination, in its original or modified version, in all kinds of materials, in

particular of a marketing or informative nature, in every possible way, including

through public display, reproduction or making available in such a way that

everyone can have access to it at a place and time of his choice, including

telecommunications networks, computer networks, the Internet, on the

Organizer's profiles on social networks, during presentations, conferences,

symposia or trainings, at which the Organizer acts as an organizer or

participant, by broadcasting using vision or wired or wireless audio through a

ground station or via satellite, as well as retransmission and use in multimedia

works.

d) The Organizer has the right to make justified changes to photographs in the

Exhibitor's image (so-called photo retouching).

13. FINAL PROVISIONS

13.1. The Organizer reserves the right to change the date or place of the Exhibition

or to cancel it. The Organizer shall inform the Exhibitor about these changes

immediately. In the event of cancellation of the Fair, the Organizer shall

reimburse the Exhibitor for all payments made.

13.2. All disputes arising from this contract will be settled by the court competent

for the seat of the facility in which the exhibition space is located, i.e. Ptak

Warsaw Expo.

13.3. The Agreement for participation in the Fair shall be subject to Polish law and

it shall be interpreted in accordance with it. Any disputes between the Parties

resulting from this agreement shall be settled by a common court with

territorial jurisdiction over the seat of the Organizer.

Uwagi: Maksymalne obciążenia na jeden punkt podwieszenia to 50 kg. Wszelkie projekty podwi-eszeń oraz elementy i obiekty podwieszane do konstrukcji hal wystawienniczych (np. konstrukcje, banery, rampy świetlne) należy uprzednio skon-sultować z działem technicznym i uzyskać jego akceptację. Przed zleceniem wykonania podwiesze-nia należy przesłać do akceptacji projekt z zaz-naczonymi punktami podwieszenia (wraz z wymi-arami naniesionymi na siatkę podwieszeń danej hali wystawienniczej). Notes: Max. load on one point is 50kg. Any projects, elements and objects to be lifted and attached to hall structure are subjected to prior consultancy with Technical Dept. and require their consent. Exclusivity for transport services (including loading and unloading the goods by forklifts and internal movement over premises has been granted to the Netlog Polska Ltd. and Interational Forwarders C. Hartwig S.A. The only acceptable way to deliver the goods to the stand using own resources - is by hand pallet trucks.
