Samples of SemiHow’s Exclusive Foundry & License Agreement
5.1 After mass Production begins, SemiHow will make orders to purchase the Products within SemiHow’s purchasing capability that meet SemiHow’s feasible MOSFET sales volume, purchasing amount, and management and within GY’s production capacity which is satisfied with the Product specifications defined in “Exhibit B” the yield defined in “Exhibit D” and TPT 30 days defined in “Article 2 6” by mutually written“Exhibit B”, the yield defined in “Exhibit D” and TPT 30 days defined in “Article 2.6” by mutually written consent of both parties.
5.2 If GY is unable to fill a Purchase Order issued by SemiHow, GY should not produce or manufacture any other companies’ products except SemiHow’s Product without SemiHow’s prior written consent by using Productioncompanies’ products except SemiHow’s Product without SemiHow’s prior written consent by using Production facilities and/or Production site originally designated by SemiHow.
8.2 Upon the receipt of SemiHow’s written Product qualification notice to GY, GY shall deliver Products to SemiHow in accordance with the weekly delivery schedule provided in Purchase Order(s) issued by SemiHowSemiHow in accordance with the weekly delivery schedule provided in Purchase Order(s) issued by SemiHow. GY shall do its best to ensure 100% on-time delivery. If the quantity has not been delivered, then a price reduction of 3% off Product price per week will be applied, limited to 15% of Product price in total.
