EASTERN COMMUNICATIONS' TERMS AND CONDITIONS

GENERAL. The terms and conditions set forth in this service application form (the “Order Form") constitute an agreement between Eastern Telecommunications Philippines, Inc. (“EASTERN COMMUNICATIONS') and the customer (“CUSTOMER”) specified in the Order Form (the “Agreement”). Principally, EASTERN COMMUNICATIONS agrees to provide access to the Internet, Internet-related services and other related Telecommunications services, all of which are intended for the CUSTOMER'S use (the "Service“). The Service does not include any usage of the Internet itself nor does it include any party charges therefore. This Agreement is effective upon its acceptance by EASTERN COMMUNICATIONS as set forth in the Order Form (“Effective Date”). Unless otherwise indicated, the Effective Date shall be the first billing date indicated in the first Statement of Account (”SOA") that will be sent by EASTERN COMMUNICATIONS to�� CUSTOMER.

TERM. The initial term of this Agreement (“the Initial Term") shall start as of the Effective Date and shall end twenty-four (24) months thereafter. After the expiration of the Initial Term and other succeeding terms, this Agreement shall be automatically renewed for the another twelve (12) month period (the "Renewed Term“) unless either party gives prior written notice of at least thirty (30) days from the expiration of the Initial Term or Renewed Term of its intention not to renew this Agreement. The CUSTOMER shall remain liable for the charges corresponding to its continuous usage of the Services up to the effective date of termination or its actual cessation of the use of the Services, whichever comes later.

SERVICE ACCEPTANCE. EASTERN COMMUNICATIONS shall notify CUSTOMER as to the date Service is operational and available for CUSTOMER's use (“Service Start Date"). Unless CUSTOMER notifies EASTERN COMMUNICATIONS to the contrary within five (5) business days after the Service Start Date, the service shall be deemed accepted by CUSTOMER as of the Service Start Date. That any CUSTOMER provided equipment and/or facilities is not yet installed, operational or otherwise available for use by the Service Start Date shall not be a ground for the CUSTOMER's non-acceptance of the Service.

CHARGES. Effective as of the Service Start Date, CUSTOMER shall pay the agreed charges set forth on the Order Form ("Changes") for all the usage of the Service, regardless of whether such usage is authorized or known by the CUSTOMER. CUSTOMER shall also pay a one-time installation charge as of the date EASTERN COMMUNICATIONS commences the installation or other related work. After the expiration of the Initial Term and for the duration of any Renewed Term, whichever is applicable, EASTERN COMMUNICATIONS reserves the right to revise Changes set forth in the Order Form upon prior notice to CUSTOMER. EASTERN COMMUNICATIONS has the right to impose charges subject to changes without prior notice for, among others, the following services: technical visits, downgrades, additional e-mails, additional mailbox, change of User ID, suspensions, deactivation and terminations.

APPLICABLE TAXES. The Charges do not include any applicable national or local taxes, fees and surcharges, or any charges that may apply for the use of Internet, all of which shall be for the account of CUSTOMER unless CUSTOMER presents valid exemption certificate to EASTERN COMMUNICATIONS. CUSTOMER shall pay such applicable taxes, fees and surcharges upon receipt of an itemized invoice therefore.

PAYMENT. EASTERN COMMUNICATIONS shall send periodic SOAs to correspond to EASTERN COMMUNICATIONS’ monthly billing periods. Such SOAs shall be due and payable upon receipt unless otherwise indicated. Moreover, a late payment fee shall be imposed on balances that remain unpaid thirty (30) days following the due date indicated in the SOA. The late payment shall be equivalent to one and one-half (2%) per month of the balance amount reckoned from the due date. Any question or clarification concerning any SOA must be brought to the attention of EASTERN COMMUNICATIONS within thirty (30) days from the date the SOA was sent (the “lnvoice Date"). Furthermore, CUSTOMER shall also be liable to EASTERN COMMUNICATIONS for any and all costs and/or expenses incurred directly or indirectly, including reasonable attorney’s fees and expenses, in connection with the collection of any amount due under this Agreement.

PROVISION AND USE OF SERVICES AND EQUIPMENT. Title to any EASTERN COMMUNICATIONS furnished equipment ("Equipment") shall at all times remain with EASTERN COMMUNICATIONS and its authorized designee(s). CUSTOMER shall not permit any liens or encumbrances to be placed upon the Equipment, and EASTERN COMMUNICATIONS shall have the right to take all actions necessary (including taking actual and physical possession of the Equipment from CUSTOMER's premises) to protect its ownership interest in the Equipment. The Service is offered subject to the availability of the necessary facilities and equipment. Unless specifically agreed upon in an Addendum to this Agreement executed by both parties, CUSTOMER may not resell the Service to any third party or permit any third party to use the Service or the Equipment. CUSTOMER shall comply with all EASTERN COMMUNICATIONS and applicable Internet Instruction, rules and regulations concerning the use of the Service, Equipment, and the Internet, as such instructions, rules and regulations may change from time, and CUSTOMER shall only use the Service in full compliance with all applicable Philippine and International laws. EASTERN COMMUNICATIONS reserves the right to suspend or terminate the Service upon notice of non-compliance with the foregoing standards of quality and ethical use of the Service and/or if the same is, in the judgment of EASTERN COMMUNICATIONS deemed harmful to the overall status of EASTERN COMMUNICATIONS' network and its ability to offer its services to other customers. Although EASTERN COMMUNICATIONS may configure the Service so as to provide some security features, CUSTOMER shall be solely responsible for its computer network and any data stored that network or accessed through the Service. CUSTOMER acknowledges and assumes all liabilities relating to and risks associated with, unauthorized access by the third party via the Service to such computer network and data. CUSTOMER shall defend, indemnify, and hold EASTERN COMMUNICATIONS or its subsidiaries and affiliates, and their respective directors, officers, employees, principals, agents and representatives, harmless and free from and against all claims, demands, actions, losses, damages, related to any use of the Service, Equipment, or the Internet, whether such use is by CUSTOMER or by any third party irrespective of whether the CUSTOMER has authorized or knew about such usage, or otherwise arising under or related to this Agreement, the Service, the Equipment, or the Internet, in no event shall EASTERN COMMUNICATIONS be liable for any unauthorized access by the third party to CUSTOMER's computer network or data, loss of profits or data, or for any incidental, special, exemplary or consequential damages. EASTERN COMMUNICATIONS' maximum liability for any damage arising out of or any way related to this Agreement or the Service or Equipment shall not exceed the total charges for the Service provided during the month in which such liability arises. If EASTERN COMMUNICATIONS has been notified that any CUSTOMER’s usage of the Service, the Equipment, or the Internet is infringing upon any third party’s rights or is in violation of the law regulation or if EASTERN COMMUNICATIONS otherwise has reason to believe this to be so, if requested by EASTERN COMMUNICATIONS, CUSTOMER shall immediately cease all such use of the Service of the Equipment. If so specified on the Order Form, EASTERN COMMUNICATIONS shall submit a domain name registration request to a domain registry, such as DotPH or any successor organization or registration organization, on behalf of CUSTOMER. EASTERN COMMUNICATIONS shall provide CUSTOMER with an Internet Protocol Address (“IP Address“), if necessary. Title to the IP Address shall at all times remain with EASTERN COMMUNICATIONS, and accordingly, the IP Address is not transferable to CUSTOMER or any third party. This Agreement does not constitute a license for CUSTOMER to copy, reproduce, distribute or otherwise use any proprietary information provided or accessible through the Service.

SERVICE LEVEL AGREEMENT. EASTERN COMMUNICATIONS is committed to deliver and maintain its Service with an 80% system and Internet access availability from EASTERN COMMUNICATIONS to the global Internet. This Service Level Agreement (“SLA”) may be adjusted on a monthly basis.

SERVICE INTERRUPTIONS AND THREATS. CUSTOMER shall immediately notify EASTERN COMMUNICATIONS, through its Customer Experience Center, of all faults associated with the availment/operations of the Service for proper logging, issuance of trouble ticket number, and repair/restoration procedures. In the event of a fault, EASTERN COMMUNICATIONS shall use all reasonable endeavors to remedy the fault as soon as practicable. EASTERN COMMUNICATIONS hereby agrees that in case of full Service downtime due to either the failure of EASTERN COMMUNICATIONS equipment of facilities or any act of omission by its employee, agent or representative, EASTERN COMMUNICATIONS shall, upon the written notice of CUSTOMER, and confirmation of EASTERN COMMUNICATIONS within five (5) business days of the factual basis thereof, grant a rebate equivalent to a portion of the Charges as computed by EASTERN COMMUNICATIONS. Full Service downtime refers to the period of outage resulting to total information transfer loss in excess of the allowable outage per month.

TERMINATION/CANCELLATION/DISCONTINUATION OF SERVICE. CUSTOMER may terminate a Service by providing thirty (30) days advance written notice to EASTERN COMMUNICATIONS. In such event, in addition to paying all Charges incurred as of date Service is discontinued, CUSTOMER shall pay a termination charge as a fee for early discontinuance of Service, and not as a penalty, equal to the monthly charge for the Service multiplied by the number of months remaining in the Initial Term of Renewed Term, whichever is applicable.

REPRESENTATIONS AND WARRANTIES. EASTERN COMMUNICATIONS shall provide the Service and the Equipment as set forth in this Agreement. EASTERN COMMUNICATIONS does not warrant that (a) the Service or the Equipment shall be uninterrupted, or error-free or provide any security or privacy for any computer network or any data, (b) the information available and/or accessed through the Internet shall be accurate, correct, appropriate for any party's (including CUSTOMER) need, free from viruses or other disabling code, (c) such information shall not infringe upon any proprietary or other rights of others, and (d) any domain registration request submitted by EASTERN COMMUNICATIONS to the registration organization shall be approved by that organization. The use of the internet, any domain name, and any security features provided for the service shall be at the CUSTOMER’s sole risk. EASTERN COMMUNICATIONS disclaims all warranties, either express or implied, including without limitation, any warranties thereof.

MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. CUSTOMER hereby warrants that (a) the use of the Service (including any use of domain name) shall not violate or infringe upon any proprietary or other rights of third persons, (b) the use of the Service shall not be in a manner ordinarily describe as abusive, threatening, obscene, profane or otherwise offensive, or violate of any laws or regulations. Moreover, CUSTOMER shall not represent to any third party that EASTERN COMMUNICATIONS has made any warranty or representation of any kind with respect to the Service, the Equipment, or the Internet.

CONFIDENTIALITY AND NON-DISCLOSURE. The parties hereby agree to keep confidential all information disclosed by reason of the provision of the Service and mutually undertake not to disclose to anybody any information without prior written consent from the other party. However, CUSTOMER hereby allows EASTERN COMMUNICATIONS to disclose information about CUSTOMER and its use of the Service if the same is required by reason of any investigation conducted by any governmental agency/agencies relative to Customer’s use of the Service.

DATA PRIVACY. Customer hereby authorized EASTERN COMMUNICATIONS to collect, process and store personal information as may be necessary to provide the Service. EASTERN COMMUNICATIONS will collect, process, and store personal information, and handle personal data breach in accordance with law.

ADDITIONAL TERMS. (a) This Agreement shall be construed in accordance with and shall be governed by the laws of the Philippines and any dispute, which may arise out of or in connection with this Agreement, shall be subject to the exclusive jurisdiction of the proper Courts of Makati City, Metro Manila, (b) CUSTOMER may not assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent of EASTERN COMMUNICATIONS. If CUSTOMER is a juridical person, an Agreement shall be deemed to include any change of control of CUSTOMER. (c) EASTERN COMMUNICATIONS shall not be liable for, and is excused from, any failure or delay in the performance that is due to acts of God, acts of civil or military authority, acts of the public enemy, war or threats of war, accidents, fires, explosions, earthquakes, floods, unusually severe weather, epidemics, or other fortuitous event, (d) This Agreement shall not constitute the parties as principal and agent, partners, joint ventures or employer and employee, (e) Neither this Agreement nor the Service shall give rise to any third party being a third party beneficiary or being entitled to any rights under this Agreement whatsoever, (f) In the event an action is brought by EASTERN COMMUNICATIONS against CUSTOMER to enforce this Agreement, in addition to any other remedy available to EASTERN COMMUNICATIONS under such action, constitutes the entire understanding of the parties with respect to the subject matter hereof, and it supersedes all prior and/or contemporaneous oral and written agreements, understandings, and/or representations with respect to the mentioned subject matter, (h) Notwithstanding any purchase orders or similar documents submitted by CUSTOMER to EASTERN COMMUNICATIONS, only the terms and conditions in this Agreement shall be binding and applicable.

CREDIT TERMS AND CONDITIONSCredit Check. As a condition precedent to the granting by EASTERN COMMUNICATIONS of credit privileges, CUSTOMER hereby voluntarily agrees to submit to a credit check, should EASTERN COMMUNICATIONS deem it necessary.�� Credit Term Limit. Unless otherwise indicated, the credit term is only for thirty (30) days from date of the SOA.Credit Information. EASTERN COMMUNICATIONS may be required by law to submit the credit information of CUSTOMER. As such, EASTERN COMMUNICATIONS will, from time to time and in compliance with relevant laws and issuances, submit certain customer information to the concerned government agencies.Complaints/Waiver. CUSTOMER hereby agrees to submit in writing within fifteen (15) days from receipt of the SOA, all complaints, exceptions, and/or queries thereon. Otherwise, he shall be deemed to have irrevocably confirmed his accountability and to have waived any exception or question thereon.Suspension of Credit Privileges. EASTERN COMMUNICATIONS reserves right to suspend the credit privileges and discontinue the Service without prior notice upon the failure of CUSTOMER to settle any and all Charges due the former after the lapse of 30-day credit. Term or when the CUSTOMER has exceeded the assigned credit limit.Laws, Rules and Regulation. This Agreement is subject to all laws and ordinances of the Republic of the Philippines, including applicable rules, regulations, and issuance of the National Telecommunications Commission (the ”Applicable Law"). The Agreement may be terminated/suspended by EASTERN COMMUNICATIONS by reason of or on any ground provided for in the Applicable Law. Furthermore, the parties hereby agree to observe and be bound by the provisions of the International Telecommunications Conventions and the Regulations made there under and any all ordinances, statutes, rules and regulations to telecommunications, all of which are incorporated herein by reference.

In addition to the Service Application Form (SAF), the following terms and conditions (together with the SAF) shall govern the subscription of the CUSTOMER to the Landline Service provided by Eastern Telecommunications Philippines, Inc. (*EASTERN COMMMUNICATIONS). These terms and conditions define the rights and obligations of the CUSTOMER. EASTERN COMMUNICATONS reserves the right to adjust, modify, amend or supplement the following terms and conditions as the service may require.
