GSCDCLreservestherightnottoproceedwiththeproject,toalterthetimetablereflectedinthis
document, or to change the process or procedure to be applied. It also reserves the right to
declinetodiscusstheProjectfurtherwithanypartysubmittingaproposal.Noreimbursement
ofcostofanytypewillbepaidtopersons,entities,orconsortiumssubmittingaProposal.

Definitions InthisRFP,thefollowingword(s)shallhavethemeaning(s)assignedtothemhereinbelow: “AuthorizedFleet”istheminimumnumberofCyclesinoperationasdefinedbyGSCDCL. “BidProcess”meanstheprocessofselectionoftheServiceProviderthroughcompetitivebiddingandincludessubmissionofBids,scrutinyandevaluationofsuchBidsassetforthintheRFP. “Bid”means the proposals submitted by the Bidder(s) in response to this RFP in accordancewith theprovisions hereof, including technical proposal and financial proposal, alongwith allotherdocumentsformingpartandinsupportthereof. “Bidder”means any firm, includinga soleproprietor or a partnership firmor a companyor aJointVentureoraConsortiumoracooperativesociety,whosubmitsaBidalongwithBidSecurityunderthisRFPwithinthestipulatedtimeforsubmissionofBids.
“GSCDCLRepresentative”meansanypersondulyauthorizedbyGSCDCLforthepurposesofthisRFP. “Collection” is a set of processes designed for the reception, consolidation, transportation anddepositof themoneysderived fromtheinitialization,chargeandsaleofthemeansofpaymentinthepointsofsaleoftheCycleSharingSystem. “Commencement Date”means the date stipulated by GSCDCL for commencement of the CycleSharingSystembytheServiceProviderundertheServiceProviderAgreementandshallnotlaterthan12monthsfromthedateofsigningofServiceProviderAgreement.TheCommencementDatewillbethefirstdayofthefirstPaymentPeriod. “CommercialOperationsDate”istheactualdateonwhichtheCycleSharingSystemwillbegintoserveusersundertheServiceContract. “Consortium”shallmeananassociationoftwo(2)orthree(3)entities/firmsformedespeciallyforthepurposeofbiddingforthisRFP.“Contract” or Service Contract” shall mean the agreement entered among the GSCDCL andSuccessfulBidder. “Contract Period” is the time from thedateof statrtofCycleSharingSystemtothelastdateofvalidityoftheServiceProviderAgreement. “ControlCentre”means thecentralfacilityof theCycleSharingSystemusedmainlyforservicemonitoring, operations control, and customer service. It is the location for collecting, storing,consolidating,processing the informationobtained fromvariouselementsof theCycleSharingSystemaswellasfromusers,agents,employees,andServiceProviders. “Cycle Sharing System” or “System”means a personal public transport system consisting of anetwork of Cycles and Stations inwhich a user can check out a Cycle at any Station using anRFID‐basedsmar t ca rd or key (no cash/ debit card/ credit card payments at the Station) andreturn theCycletoanyotherDockingStationand inwhich information istracked in real‐timeusinganinformation technology system. It refers to the hardware, software, and premises

associatedwith thisRFP for Gwalior that is being implemented byGSCDCL in variousphases,unlessotherwisespecified. “Cycle”meansabicyclethatmeetstheTechnicalSpecificationsdescribedinthisRFPand istobe procured, maintained, and operated as part of the Cycle Sharing System by the ServiceProviderinaccordancewiththetermsofthisRFP. “Depot” is the area equipped with facilities and equipment for general management, repair,maintenance, cleaning, and parking of Cycles and Stations for the Cycle Sharing System. ThedepotmaybeincludedwiththeControlCentreoratadifferentlocation. “Dock”/ Locking bar means a physical unit for locking a single Cycle at a Station when the Cycle is not in use. “Fleet”means thenumber of Cycles that are available for use in theCycle Sharing System inaccordancewith the provisions of this Document. The Fleet on a given day is the sum of allCyclesthatareinagoodconditionofrepairandareavailableforcommercialserviceforatleast14hoursduringtherespective24‐hourperiod.“GSCDCL”meansGwaliorSMARTCityDevelopmentCorporationLtd. “Membership”meansanagreementbetweentheServiceProviderandacustomerforaspecifiedperiodoftimeinwhichthecustomergainsaccesstotheCycleSharingSystem. “Member”meansacustomerwhohasenteredaMembershipagreementwiththeServiceProvider. “PaymentPeriod”istheperiodforwhichaninvoicehasbeensubmittedbytheServiceProviderfor the service operated by the Service Provider. This shall be, unless otherwisemodified, aperiodofthreemonths. “ProjectAsset”meansStations,Cycles,theControlCentre,andotherfacilitiescreatedaspartoftheCycleSharingSystem. “Redistribution”istheactivityofaCyclebeingmovedbytheServiceProvider(normally fromStationtoStationorStationtodepot)usingaredistributionvehicle.
“RFP”and/”RFPDocument”meansRequestforProposalsandreferstothisDocument. “Ride”isatriptakenbyaregisteredcustomeroftheCycleSharingSysteminwhichaCycleischeckedoutfromoneStationandreturnedtoanotherStation. “ServiceCertificate”meansadocumentthataccreditscompliancebytheServiceProviderwithall requirements established in the contract to allow the Cycle Sharing System to beginoperations. “ServiceProvider”shallmeantheBidderwhowontheBiddingprocessofthisRFPandtowhoma Letter of Acceptancei s issued by GSCDCL and Service Provider Agreement to operate theCycleSharingSystemisenteredwith.
“ServiceProviderAgreement”orsimply“ProviderAgreement”meanstheAgreement including,withoutlimitation,anyandallAnnexurestheretowhichwillbeenteredintobetweenGSCDCLandtheServiceProviderthroughwhichGSCDCLwillgranttherightstotheServiceProvidertoinstallandoperatetheGwaliorCycleSharingSystemduringtheperiodoftheAgreement.

“ServiceProviderFacilities”means thefacilitiesandequipmentproducedordevelopedbytheServiceProviderthatarerequiredforthedueimplementationofthisContract,includingcontrolcenter,Stationsanddepots. “StandbyCycles”meansthenumberofadditionalCyclesthattheServiceProvidershallprocureandmaintaintoensurethatthesizeoftheoperationalFleetisequaltoorgreaterthanthatoftheAuthorizedFleetatalltimes. “Station/DockingStation”meansaunitwithauserterminalanddockingpositionswhereuserscanrentandreturnCyclesandavailofsysteminformationthatmeetstheTechnicalSpecificationsdescribedinthisAgreement. “TrainingandTestingPeriod”istheperiodprecedingtheCommercialOperationsDateduringWhichServiceProvidershalldemonstratethefunctionalityoftheCycleSharingsystem.
“Vandalism”meansdestructionofordamagetoaProjectAssetdeliberately Anyother term(s),notdefinedhereinabovebutdefined elsewhere in thisRFPshallhave themeaning(s)ascribedtosuchterm(s)thereinandshallbedeemedtohavebeenincludedinthisSection.
1.Introduction GSCDCL plans to introduce a Cycle Sharing System to provide a low‐cost, environment friendly mobility option to city residents. Cycle sharing is a flexible system of personalized public transport. Cycles are available in a closely spaced network of semi‐automated Stations. Users can check out Cycles at one Station and return them to any other Station in the network.
Cycle sharing is a key element in a city’s strategy to expand the use of sustainable transport modes. Cycle sharing is expected to boost the use of public transport. The system will be integrated with the other systems through the location of its Stations and the ITS system. By encouraging a shift to sustainable modes, the Cycle Sharing System will reduce dependency on automobiles, reduce traffic congestion, vehicle emissions, and demand for motor vehicle parking. In addition, the system will expand the health and wellness benefits of bicycle transport to new users. Finally, the system will support the transformation of streets to become environments where pedestrians and bicyclists feel safe and comfortable.
The Stations would cover the “catchment area” of the ABD area. This will ensure that the first and last mile connectivity to people living in the catchment area is provided for. Importance will be given to place Stations near important commercial, cultural, educational, administrative, and residential and tourist attraction points in the catchment area.
A Hybrid System is proposed for Public Bike Sharing. The Stations will be manned by Station attendants; however the operations of each Station are communicated to the Central control system by the Station attendants using card verification devices. The central control system collects data from each Station for efficient planning and operation of the system. This data is used to make decisions on redistribution of Cycles around Stations during the hours of operations. The Cycle sharing system will also be integrated with ITS system to aid the multimodal integration.
The Cycle Sharing System proposed will have 500 cycles spread over minimum 50 Stations across

the city. The project will be implemented by the service provider within a time period of 12 months of signing the bid. However, number of Cycles or/and Stations can be increased with mutual consent of GSCDCL and service provider but the cost of the same shall be borne by the ServiceProvider.
GSCDCL hereby requests interested Parties to respond to this call for Request for Proposal for the development, design, procurement, installation, operation and maintenance of the Cycle Sharing System in the city of Gwalior, Madhya Pradesh. The terms of payments and revenue would be as detailed below
a. The Capital Cost of the project, which is determined by the Service Provider’s offer in the
capital bid component of the competitive bidding process, will be paid to the Service Provider in installments and will be based on timelines that is agreed upon by GSCDCL. The Capital bid should be capped at Rs. 2.5 Crores. That is the capital bid amount should be less than or equal to Rs. 2.5 Crores.
b. The operations contract will be issued to the Service Provider for a period of 5 years. During this period, the Service Provider is entitled to:
Fare box revenue: Revenue earned from sale of memberships and rental income earned from
renting of Cycles to the users.
Advertisement Revenue/ Sponsorship Contract Revenue: The Service Provider will be given the rights to sell advertisement space on the system. This includes advertisement space on Cycles and Station infrastructure like panels and docks at the Station. Alternatively, the Service Provider may also sell sponsorship contract to the system to a single entity. The sponsorship contract will include not only space on the system but also naming rights to the system.
Parking Revenue: At the Stations of the system, if excess space available after providing the requisite space for the Cycle, docks and other Station infrastructure can be used to provide parking facility for 2 wheelers (motorised and non‐ motorised). The Service Provider is entitled to the parking revenue made from this Park and Ride facility.Station.
Annual Cycling Event: The Service Provider will be given the rights to conduct an annual cycling event in the city. The profits made from this event will also be used to run the Public Bicycle Sharing system
CSR Funding: The Service provider is also given the rights to tap into CSR funding of private organizations to fund the operations of the system.
Support from GSCDCL: Tthe operating cost quoted by the Service Provider will be reimbursed by GSCDCL, every three months, given that the service level benchmarks that are defined by GSCDCL are met. The Service level benchmark is mentioned in Section 6.2
6.2. The Operating cost is a predetermined fixed amount of money which is the Service Provider’s offer during the competitive bidding process. The bid amount by the Bidder should be inclusive of service charges and taxes.
The location for the Cycle Stations(Annexure K) will be determined by GSCDCL in consultation with the selected Service Provider. However decision of GSCDCL will final and binding upon Service Provider.
Utility Shifting: If any Utility Shifting is required for Stations, then cost of same shall be borne by the Service Provider.
Right of First Refusal: After completion of Term of Agreement when new PBS Tender is floated, the existing Servicer provider would be given the Right of First Refusal upon matching the highest bid received by GSCDCL.

3.Scopeofwork The contract will be for design, procurement, installation, operation andMaintenance of theCycleSharingSysteminthecityofGwalior,MadhyaPradesh.Serviceproviderneedtoprovideintegrated and innovative solutions for the Gwalior Cycle Sharing System, including all thehardware,softwareandsystemsolutionsalongwithoperationofthesystem.
TheServicecontractwillbegrantedforaperiodof5years,attheendofthe5yearperiod,ifGSCDCLissatisfiedwiththeserviceprovidedbytheServiceProvider.
TheServiceProvider’sScopeofworkincludes:
3.1.Planningandinstallation
3.1.1.SystemPlanning
AlistofStationlocationandsizeofeachStationwillbeproposedbyGSCDCL.TheServiceProviderisrequiredtoreviewtheseStationsandgivetheirrecommendationsonthesamewhichwillbedulyconsideredbyGSCDCL.
TheServiceProvidershallconductactivitiesnotlimitedto:
EvaluatingtheStationlocationsandsizesasproposedbyGSCDCL Conductpublicoutreachandlocationsurveystoevaluatedemandacrossthecity Make recommendations on location and size of each Station on the system. The finaldecisionontheStationlocationandsizerestswithGSCDCL.
3.1.2.StationInstallationPlans
The Service Provider will also conduct site surveys and provide detailed drawings for each Station showing the layout and positioning of the Station relative to existing street elements. The Service Provider will submit the proposed Station positions and layouts to GSCDCL for approval. The GSCDCL will clear the approved site and create a paved, level surface on which the Service Provider may install the Station. The system installation will be divided into 3 phases:
Phase 1: On ground Testing
A period of 1 week, where the components and systems are tried and tested by the ServiceProvider. During this period, the system need not be open to the general public. This period is used to ensure that once the system is launched, it will run without any operational glitches.
Phase 2: User Generation Campaign
Period of at least two weeks before the formal launch of the system. The Service Provider is allowed to start the user generation campaign as soon as the system is able to run efficiently. During this period the Service Provider should actively try to engage the people of Gwalior in understanding the operations of a PBS and also generate memberships to the system.
Phase 3: Formal Launch of the system

Within 12 months of the date of signing the Service Contract with GSCDCL, the Service Provider should formally launch the system. The contract period of the system begins on the day of the Formal launch of the system.

3.2.Cycles3.2.1.Technicalstandards
Technical specifications for the Cyclesshouldatleastmeetthe“Minimum Technical
Standards”asgiveninSection4.
Procuresuchequipmentmanufacturednot earlier than six (6)monthsbeforethedateofsigningoftheServiceProviderAgreementbetweenGSCDCLandtheServiceProvider.Theequipment shall not have been put to commercial use anywhere previous to theCommencementofOperations.
TheServiceProviderwillpresentprototypeCyclesfortheCycleSharingSystemtoGSCDCLforinspection.GSCDCLwillhavetherighttoreviewallStationhardwareandsoftwaretoensuretheymeetallthetechnicalcriteriaasspecified.AprototypewhichmayhavefeaturesoverandabovetheprescribedminimumstandardswillalsobeacceptedbyGSCDCL.
Should GSCDCL find anydiscrepancybetween theprototypeand the technical specifications,andthentheServiceProviderwillhave30daystoproposeasolution.Thefinaldesignswillbesubject to approval from GSCDCL. After receiving approval on the final design, the ServiceProvidermayproceedtomanufacture/acquiretherestoftheCyclesandStations.
TheServiceProviderwillalsomakesuggestionsonthecoloursandbrandingoftheCyclesandStations.TheserecommendationswillbedulyconsideredbyGSCDCL.ThefinaldecisionrestsonGSCDCL and no additional branding components of any kindmay be added to thisdesignbytheServiceProvider.
3.2.2.NumberofCycles‐Fleet
ProcureCyclesaspertheAuthorizedFleetsizesetbyGSCDCL‐500Cycles.Eachofwhich
shallcomplywiththetechnicalstandardsasspecifiedinAnnexA. Procure andmaintain StandbyCycles to ensure that the operational Fleet size remains
abovetheAuthorizedFleet.

TheauthorizedfleetwillbeprovidedandmaintainedbytheServiceProviderasperthetimelinesagreed.
A review of the Authorized size of the system will be triggered at any point the averagenumberofridesinthesystemcrossestheconditiongivenbelow: ● Ifr/ f>6,theAuthorizedFleetsizecanbeincreasedbyanincrementspecifiedbyGSCDCLwithin60daysoftheendofthepreviouspaymentperiod.● Ifr/f≤6,theAuthorizedFleetwillremainthesame.

Ingeneral,theincrementalchangeinfleetsizewillbeatleast100Cyclesandor5StationsforanygivenrevisionintheAuthorizedFleetbutthedecisioncanbemadebyGSCDCLonanadhocbasisdependingontheneed/demand. 3.3.Stations3.3.1.TechnicalSpecifications Technical specifications for the Station specific hardware and software components of theCycle Sharing system should at least meet the “Minimum Technical Standards” as given inSection4. Procuresuchequipmentmanufacturednotearlierthansix(6)monthsbeforethedateofsigningof theServiceProviderAgreementbetweenGSCDCLandtheServiceProvider.Theequipmentshall not have been put to commercial use anywhere previous to the Commencement ofOperations. TheServiceProviderwillpresentprototypeStationfortheCycleSharingSystemtoGSCDCLforinspection.GSCDCLwillhave the right to reviewallStationhardwareandsoftware toensuretheymeetallthetechnicalcriteriaasspecified.AprototypewhichmayhavefeaturesoverandabovetheprescribedminimumstandardswillbeacceptedbyGSCDCL.
Should GSCDCL find any discrepancy between the prototype and the technical specifications,andthentheServiceProviderwillhave30daystoproposeasolution.Thefinaldesignswillbesubject to approval from GSCDCL. TheServiceProviderwillalsomakesuggestionsonthecoloursandbrandingoftheCyclesandStations.TheserecommendationswillbedulyconsideredbyGSCDCL.ThefinaldecisionrestsonGSCDCL and no additional branding components of any kindmay be added to thisdesignbytheServiceProvider.
3.3.2.MinimumHoursofOperation
Thesystemwillrunforaperiodofatleast14hourseveryday. IftheServiceProviderdecidestooperatefor16hours,thehoursofoperationsshould

3.3.3.NumberofStations
Minimum50numbersof Stations(AnnexureK) is tobe installed by theServiceProvider.EachStationshouldcomplywiththetechnicalstandardsasspecifiedinAnnexA.HoweverifServiceProviderwants to increasethenumberof Station,samecanbedoneat the costofServiceProviderandawrittenapprovalformGSCDCL

3.3.4.NumberofDocks/Lockingposts
The number of docks at each Station should be more than the number of authorized bikes at each Station, to ensure availability of excess docking space, to accommodate peak hour demand. The Service Provider will maintain a system docking capacity as follows:

3.3.5.NumberofDevicesforCardverification

This system will be connected to the central control system.FunctionalitiesoftheequipmentarelistedintheTechnicalspecificationsgiveninSection4.Therewillbeatleastonedevice/StationtobehandledbyStationattendants.HighpriorityStationswhere a higherdemand is expected,the ServiceProvidermaydecidetoprovidemoreattendantsanddevices.TheServiceProvidermayalsodecidetoprocureafewextradevicestoactasbackup.
3.4.CentralControlSystem TheServiceProvidershouldprovideforaCentralcontrolsystemwhichcanonarealtimebasismonitortheoperationsofthesystem(allitscomponents).Thecentralcontrolsystemprovidesthebackboneof thePBS system.TheControlCentrewill constitute GSCDCL’s singlepointofcontacttoenableGSCDCLtocoordinatewiththeServiceProviderinthecourseoftheday‐to‐dayoperationandmanagementoftheCycleSharingSystembyGSCDCL.TheServiceProvidershallensure that the Control Centre is staffed by an adequate number of appropriately qualifiedpersonnelandfurtherthat thereisduecoordinationbetweenthestaffattheServiceProvider

controlcenterandGSCDCL.
The space required for theControlCentrewill bemadeavailableby GSCDCL. The Service

3.5.Redistribution TheServiceProvidershall ensure that theCyclesareredistributedonaregularbasisbetweenStationstoensurethatnoStationiseitherempty(withoutanyCycles)orfull(withnofree dock available) for an extended period of time. The Service Provider should provideadequatenumber of vehicleswhich areused only for thepurposeof redistribution ofCyclesacrossStations.
3.6.Depots/Workshops GSCDCL shall provide the adequate Depot/Workshop space for spare Cycles, Stations, Cyclesrepair,equipmentandParkingspaceforredistributionvehicles. The Service Provider shall sourceandinstallthe maintenance equipmentasnecessary.MajorrepairsoftheCyclesandStationswhichcannotbecarriedoutonthesiteshallbecarriedoutatthedepot/workshopspacedevelopedbytheServiceProviderorprovidedbyathirdparty.SuchlocationshouldbeaccessibleandappropriatelyequippedtomanagetheCycleSharingSystem.Equipmentformaintenance&repairofCyclesistobebornebytheServiceProvider.
3.7.RegistrationofUsers
Registrationisanecessarypre‐conditiontogainaccesstothePBSsystem.AllusersarerequiredtoregisterwiththesystemusingavalidIDproof.Eachuserthenwillbeissuedapersonalizedcardwhichwillhavetheirnameprintedonit.Eachcardislinkedtoaperson’sidinthesystemmaking it easy for the Service Provider to track the system usage of each user. Linking ofindividuals tosmart cards tonecessary for thesystem to identifyand tracktheuserwhohasborrowed theCycles fromthesystem, thus reducing theprobabilityof theftandvandalism. AfewcentersaroundthecitywillbeidentifiedbyGSCDCLalongwiththeServiceProvider,where

registrationwillbeundertaken.Theuserswillhave togo to thesenotified centerswithvalidid proof and the required security deposit (security deposit alongwith the farestructure isdetailedoutinAnnexureC)toregisterwiththesystemandbeissuedasmartcard.CardsissuedunderthePBSsystemshallbevalidontheBRTsystemaswell.
3.8.FareCollectionSystem . A PB S c a r d h o l d e r w i l l b e a b l e t o r e c h a r g e t h e c a r d o n l i n e this wouldinclude making payments for memberships/ subscriptionsandtoppingupsmartcards.PBSregistrationcenterswillalsobeequippedtohandlethesetransactions. TheFarestructure,Membership feesandusagefeeshavebeendeterminedbyGSCDCLand isdetailedout inAnnexureC.Noadditional feesmaybecollectedbytheServiceProviderorthestaff. Tipping or any exchange of money for preferential service is prohibited and any staffengaginginsuchapracticeshouldbedisciplinedaccordingly. HoweverifthereareanychangessuggestedinFeeStructurebytheServiceProvidersamecanberevisedwiththewrittenapprovalbyGSCDCL.
3.9.UserInformationSystem ServiceProviderneedtodevelopandIntegratedWebsite forPBSandestablishasmartphoneappforthesystemwhichwillhelpusersbothstaticandrealtimeinformationaboutthe system.Also, if such information is to be integrated with any other system of GSCDCLServiceProviderwillprovidesupportforsamewithoutanyextracost.
3.10.AdvertisementSpace TheServiceProviderwillmakeavailabledesignatedbranding/advertisingspacesontheCyclesandStationsavailabletoGSCDCLaspertheTechnicalSpecifications.
Therightstoadvertising,sponsorship,naming,andbrandingrightsassociatedwiththesystemwill remainwiththeServiceproviderbutGSCDCLwillhave the final right of approvalonthesame.
The specifications of the advertisement panel are given in system specifications detailed insection4.AdvertisementwillbewithreferencetoMadhyaPradeshOutdoorAdvertisementMediaRules‐2016,subjecttotheapprovalofGSCDCL.
3.11.MarketingandUserEducation The Service Provider will be responsible for carrying out on‐going marketing activities topromoteuseoftheCycleSharingSystemandusereducationofthesystem.BeforeandaftertheCommencementDate,theServiceProviderwillcarryoutmarketingactivitiestopromotethesystemandincreasemembership.
3.12.HumanResourcePlan TheServiceproviderwill EnlisttrainedprofessionalstooperatetheCycleSharingSystem. HireadequatestafftoensurethatscopeofservicesasmentionedintheRFPismet.

3.13.DataReporting DuringtheOperationPeriod:
The ServiceProvider shallmakeavailableall the data pertaining to the Operation &
MaintenanceoftheProjectreal‐timethatcanbeaccessbytheGSCDCLoritsrepresentative.Thereal‐timedatashallbeinsuchaformatthattheGSCDCLshallbeabletoevaluate theperformance of the ServiceProvider against the Service Levels setforth in thisAgreement.
The ServiceProvider shall not later than 7 (seven) days after the close of each month,furnish totheGSCDCL amonthly reportstating in reasonabledetail the conditionof theProject includingitscompliancewithServiceLevelBenchmarks.Inparticular,suchreportshall separately identify and state in reasonable detail the defects and deficiencies thatrequirerectification.ThisreportwillhelpGSCDCLtounderstandhowmuchservicechargeaccruestotheServiceProviderforthatmonth’soperationstandards.
TheServiceProvidershallnotlaterthan14(fourteen)daysafterthecloseofeachquarterfurnish to GSCDCL a Quarterly report stating in reasonable detail the compliance withservicelevelbenchmarksandotherdetailswhichwillaidinmakingexpansionplansofthesystem.ThiswillincludedetailsofStationswithmaximumandlowestdemand,timeof thedaywhenthereismaximumdemand,stepsthatcanbetakentoimproveuserexperienceandqualityofserviceincludingpotentiallocationwheretheCyclesharecanbeexpandedto.
GSCDCLmayrequesttheServiceProviderforanyadditionalinformationotherthanthereal‐timedataifneedbe.
GSCDCLwillhavecompleteownershiponthedata. 3.14.Maintenance The Service provider needs to ensure that the Cycles and all other assets of the system areregularlymaintainedonaregularbasis. TheServiceproviderisrequiredtodoamaintenancecheckoneveryStationofthesystemat leastonceaweektoensurethequalityoftheStationinfrastructureandtheCyclesof thesystem.TheMaintenancechecksarenot tobeconductedduring hours of operation of the system. Cycles which require more than on‐Stationmaintenance should be taken to the Depot forrepairs andbereplacedwithCycles fromthestandbyfleettoensurethatthemaintenancedonotclashwithregularoperationsofthesystem.
InformationoftheproblemsthatwereaddressedateachStationwithregardtoCyclesandotherinfrastructureneedstobeproperlyrecordedandenteredintothecentraldatabase. TheexactmaintenanceschedulewillbefinalizedbyGSCDCLafterconsultationwiththeServiceProvider.

5.Implementation
5.1.ContractPeriod
ThisContractisbeinggrantedfortheinstallationandoperationoftheGwaliorCycleSharingSystemforaContractPeriodof5years(excludingthetimerequiredforsysteminstallation).Thecontractperiodcanbeextendablefor further twomoreyears.Thedecision forsamewillbe taken byGSCDCL by seeing the service level benchmarks achieved by the ServiceProviderinprecedingyears.
TheServiceProvidershallmakeavailableforServicetheentireCycleSharingSystemandtheentireFleetfromCommencementofOperationsuntilsuchtimeastheContractPeriodexpires,subjecttotheAssuredFleetAvailability(accordingtoProjectPhasing)duringtheContractPeriod.
5.2.OnGroundTesting
The Service Provider is required t o run an on ground test of the system componentsforatleast twoweeks before the formal launchof the system tothe general public. ThisperiodwillbeusedbytheServiceProvidertoidentifyanyserviceglitchesinthesystemandcorrectit.Duringthisperiod,theServiceProvidershallmakeavailablethefollowing:

GSCDCL and Service Provider shall use this period to understand the intricacies ofoperationsandfine‐tunetheCycleSharingSystem.Nofinesshallbeapplicableduringthisperiod.TheAuthorisedFleet requirement isnot applicable in thisperiod.Cyclesput intoserviceonrequestbyGSCDCLandauthorizedbyGSCDCL for thepurposeof trainingandtestingshallbepaidonactualbasisattheApplicableServiceChargeforthePeriod.
5.3.ListofIndicativeDeliverables
The selected Service Provider should submit an indicative timeline to GSCDCL on thedeliverablesofthesystem.ThetimelinesshouldbesuchthattheServiceproviderisabletostarttheoperationsofthesystemwithin12monthsofsigningthecontract.
Payment to the Service Provider on the capital cost incurredwill be paid based on thepercentageofequityinvestedbytheServiceProvider.
6.PaymenttotheServiceProviderbyGSCDCL6.1.CapitalCostPayment
ThecapitalcostofthesystemthatisbornebytheServiceproviderwillbereimbursedbyGSCDCL. The ownership of the system hence lies with GSCDCL. The capital cost of thesystem isdeterminedastheamountthattheServiceProviderbidsinthebiddingprocessashiscapitalcost. The capital cost incurred by the Service Provider is repaid in two installments by GSCDCL to Serviceproviderpoststartoftheoperationsofthesystemwhichis12monthsofsigningthecontract.
6.2.OperatingcostPayment TheOperatingCostofthesystemistobebornebytheServiceProvider.Howeverapartoftheoperating costwill be reimbursed byGSCDCL to the Service Provider if certain service levelbenchmarksaremet.Theoperatingcostispre‐determinedbasedontheoperatingcostbidoftheServiceProviderinthecompetitivebiddingprocess. The payment due to the Service Provider from GSCDCL will be paid out on a quarterly basis. The payment will be made by GSCDCL within 15 working days of receipt of the quarterly performance report from the Service provider. All payments shall be made through electronic transfer by GSCDCL to the designated account of the Service Provider after deducting applicable tax deductions that GSCDCL may be obliged to deduct under Indian law.

6.4. Damages
TheServiceproviderwillberesponsibleforalldamagestotheCycleSharingSystem.DamagetoProjectAssetduetoregularwearandtearunderfiledconditions,orbreachofitsmaintenance obligations or any other obligations specified in this Agreement and/ oromissionofactbytheServiceProvidershallbetheliabilityoftheServiceProvider.InsuchcaseServiceProvidershallrepairandrectifyatitsowncostthedamagestothesatisfactionof GSCDCL. All insurance proceeds if any shallbe appliedinrectification/repair of ProjectAssets.DamagesduetovandalismandtheftarealsotheresponsibilityoftheServiceProvider,whoshouldbeinsuredagainstsuchloses.
DamagesduetonegligentdrivingoraccidentsbyServiceProviderpersonnelorauthorizedrepresentativesonstreetshallbethe liability ofthe Service Provider. 8.BiddingProcess
8.1.BidProcess‐Steps A. The entire biddingprocess shall be online (e‐Tendering) in three cover system. TheBiddersshallhavetosubmittheirBidsonlineaspertheRFP.B. 8.1.3.AnnouncementofBids TheBidder’snames,thepresenceorabsenceofrequisiteBidSecurityandsuchotherdetailsasGSCDCL in its solediscretionmay consider appropriate,will be announced at the opening ofTechnical Bid. Bids, in the absence of EMDwill be considered as non‐responsive and solelyrejected. 8.1.4.TechnicalBidPresentation

The Bidders are required to also make a presentation on the technical bid submitted. Anyquestions onthe technicalproposal fromthe GSCDCLor its representativeshave tobeaddressedbythebidderatthepresentation. 8.1.5.OpeningofFinancialBids AftertheevaluationofTechnicalBidhasbeencompleted,GSCDCLshallopentheFinancialBidsofonlythoseBidderswhosecurethequalifyingmarksoftheTechnicalBid.DecisionofGSCDCLinthisregardwillbefinal.FinancialBidsofthoseBidderswhoseTechnicalBidarerejectedshallnotbeopened. Financial Bids shall be opened, in the presence of Bidders’ representatives who choose toattend theFinancialBid opening on suchdateand timewhich shall be communicated to theBidders,whoseTechnicalBidareaccepted.TheBidder’srepresentativeswhoarepresentatsuchopeningofFinancialBidsshallsignaregisterevidencingtheirattendanceasawitnesstotheBidsopeningprocess.ThenameofBidder,Bidrates,etc.willbeannouncedatsuchopening. 8.1.6.CompletenessofBids&RectificationofErrors GSCDCLwillexaminetheBidstodeterminewhetherthesearecomplete,whetherthesemeetalltheconditionsoftheRFPDocumentandwhetherthedocumentshavebeenproperlysignedandtheBidsaregenerallyinorder.Ifthereisadiscrepancybetweenwordsandfigures,theamountinwordsshallprevail. 8.1.7.ClarificationofBids During evaluation ofBids, GSCDCLmay, at itsdiscretion, ask theBidder for a clarificationormissinginformationofitsBid.Therequestforclarificationandtheresponseshallbeinwriting.IftheresponsetotheclarificationisnotreceivedbyGSCDCLbeforetheexpirationofthedeadlineprescribed in thewritten request for clarification,GSCDCL reservestheright tomakeits ownreasonableassumptionsatthetotalriskandcostoftheBidder. 8.1.8.RejectionofBid ABidislikelytoberejectedbyGSCDCLwithoutanyfurthercorrespondence,asnon‐responsive,if: ● Bid isnotsubmitted inthemannerasprescribedintheInstructionstoBiddersSectionofthisRFPandisotherwisenotinconformitywiththetermsandprovisionsofthisRFPDocument;or● Bidisnotsubmittedinthebid‐formsannexedintheRFPDocument;or● Bidissubmittedbytelex,faxoremail;or● BidSecuritydoesnotconformtotheprovisionssetforthinthisRFP;or● Failure of any one (or more) of the conditions set forth herein above shall result inrejectionofBid.● FailuretofurnishallinformationrequiredbytheRFPorsubmissionofaBidnotresponsivetotheRFPineveryrespectwillbeattheBidder’sriskandmayresultinrejectionoftheBid.In addition to the foregoing, in theevent aBiddermakesaneffort to influence GSCDCL in itsdecisions on Bid evaluation, Bid comparison or selection of the Service Provider, it mayresultinrejectionofsuchBidder’sBid.

9.GeneralInstructionsToBidders
9.1.DueDiligence TheBidderisexpectedtoexamineallinstructions,forms,termsandspecifications intheRFP.TheBidshouldbeprecise,completeandintheprescribedformataspertherequirement(s)ofthe RFP. Failure to furnish all information required by the RFP or submission of a Bid notresponsivetotheRFPineveryrespectwillbeattheBidder’sriskandmayresultinrejectionoftheBid.
9.2.CostofBidding TheBiddershallbear allcostsassociatedwiththepreparationand submissionof itsBid andGSCDCLwillinnocasebeheldresponsibleorbeliableforthesecosts,regardlessoftheconductoroutcomeoftheBiddingProcess.

9.4.Pre‐BidMeeting 1. GSCDCLwillhostaPre‐BidmeetingasperthedatementionedintheRFPInformationsheet.TheinterestedBiddersmayattendthepre‐bidmeetingattheirowncost.Thepurposeofthe Pre‐bid meeting is to provide the Bidders with information regarding the RFP and theproposedsolutionrequirementsinreferencetotheRFP.Pre‐BidmeetingwillalsoprovideeachoftheBidderwithanopportunitytoseekoutclarificationsregardinganyaspectoftheRFPandtheproject.2. Non‐participationinthePre‐BidMeetingshallnotleadtodisqualificationoftheBidder.3. AllBiddershalle‐[email protected] prescribed in Annexure 1.1. The response to the queries will be published only onwww.mpeproc.gov.in.Noquerieswillbeentertainedthereafter.Thisresponsestothepre‐bidqueriesshallbecomeanintegralpartoftheRFP.GSCDCL,however,shallnotmakeanywarrantyastotheaccuracyandcompletenessofresponses.4. 9.5.AmendmentofBiddingDocuments AtanytimebeforetheDeadlineforSubmissionofBids,GSCDCLmay,foranyreason,whetheratitsowninitiativeorinresponsetoaclarificationrequestedbyaprospectiveBidder,modifytheRFPbyamendment.Anyamendments/modificationstotheRFPDocument,whichmaybecomenecessaryforanyreason,shallbethroughtheissueofaddendum(s)totheRFPwhichshall setforth the said amendments / modifications thereto (hereinafter referred to as the“Addendum(s).”Ifrequired,inordertoallowprospectiveBiddersreasonabletimeinwhichtotaketheAddendum(s)intoaccountinpreparingtheirrespectiveBids,GSCDCLreservestheright to extend the Deadline for the Submission of Bids. 9.6.PreparationofBids9.6.1.LanguageofBid TheBidpreparedbytheBidder,aswellasallcorrespondenceanddocumentsrelatingtotheBidexchangedbytheBidderandGSCDCLshallbewritteninEnglishlanguageonly.However,incaseBidderchoosestoenclosecertainsupportingdocument(s) inanylanguageother thanEnglishthentheBiddershallalsoenclosecertified/authentictranslatedcopiesofthesameinEnglishlanguage.Anysuchdocumentthat isnottranslatedintoEnglishorwillnotbeconsidered.ForthepurposeofinterpretationandevaluationoftheBids,theEnglishlanguagetranslationshallprevail. 9.6.2.BidCurrency AllpricesquotedintheBidshallbequotedinIndianRupee(s)(INR). 9.6.3.FormatofEarnestMoneyDeposit(“EMD”)orBidSecurity 1. IntermsofthisRFP,aBidder isrequiredsubmitEMDofRs.5,00,000/‐(RupeesFiveLakhsOnly)intheformofDemandDraft/FixedDepositReceipt(FDR)/eFDR/BandGuaranteeissued by any nationalized / scheduled commercial bank in favour of “Executive Director,GSCDCL”,payableatGwalior.EMDValidityshouldbeforatleast180(onehundredandeighty)daysfromthelastdateforsubmissionofBids.
2.EMDoftheunsuccessfulBidderswillbereturnedafter thesigningof thecontractwiththesuccessfulBidder.TheEMDofthesuccessfulBidderwouldbereturneduponthesubmissionofPerformanceBankGuaranteeintheformatprovidedintheRFP.
3.NointerestwillbepaidbyGSCDCLontheEMDamount.4.TheBidsubmittedwithoutEMDwillbesummarilyrejected.5.TheEMDmaybeforfeited:a. IfaBidderwithdrawsitsbidorincreasesthepricequotedduringtheperiodofbidvalidityoritsextendedperiod,ifany.
b. IncaseofasuccessfulBidder,theBidderfailstosigntheContractinaccordancewiththetermsandconditionsofthisRFP.
c. Ifduringthebidprocess,aBidderindulgesinanysuchdeliberateactaswouldjeopardizeorunnecessarilydelaytheprocessofbidevaluationandfinalization.
d. If,duringthebidprocess,anyinformationisfoundfalse/fraudulent/malafide,thenGSCDCLshallrejectthebidand,ifnecessary,initiateaction.
6.ThedecisionofGSCDCLregardingforfeitureoftheEMDshallbefinalandbindinguponalltheBidders.
Currency of Bid Security: TheBidSecurityshouldbefurnishedinIndianRupees(INR). 9.6.4.ConditiononBidders Bidding shall be open to firms (which include companies, partnerships, and proprietaryconcerns),dulyregisteredcooperativesocieties,andconsortiums.Incaseofaconsortiumorjointventure,theleadfirm(whichshallbesingleentity)shallbespecifiedandfullyempoweredtorepresenttheconsortiumorjointventure.Theleadfirmshallhaveaminimumstakeof51%intheconsortium/jointventure.

Thefollowingconditionsforconsortiumsshallapply: ● Aconsortiumagreementwhichspecifiestheexactmembersoftheconsortiumprovidedin
theformatgiveninAnnexureJ.● Biddersareallowedtoparticipateinthebiddingthroughaconsortiumstructurewithacap
ofthreemembersincludingLeadmember.Themembersoftheconsortiumaretobeclearlyidentifiedatthetimeofbiddingandanybusiness/shareholding/otherrelationshipbetweenthemistobemadeclear.
● ABiddingConsortium is requiredto nominateaLeadMemberfor the purposesofInteracting with GSCDCL. The nomination of the Lead Member shall be supported bynotarizedcopiesofMemorandumofUnderstandingandPowerofAttorneysignedbyallthemembers on a stamp paper of Rs 100/‐ (OneHundred only), the formats for which aresuppliedwiththisRFP.
● TheConsortiumagreementshallclearlyspecifytheexactroleandresponsibilityofeachoftheconsortiummembers.
● IncaseoftheServiceProviderbeingaconsortium,themembersoftheconsortiumshallberequired to incorporate a company under the Companies Act, 1956/2013. The ServiceProviderAgreementinsuchacasewouldbesignedwiththenewlyincorporated
Company.Theleadmemberoftheconsortiumwouldberequiredtohold,initiallyandatall timesduring the duration period of the Service Provider Agreement, not less than 51% of theaggregateshareholdingofthenewlyincorporatedconsortiumcompany.Theothermemberoftheconsortiumwouldbe required to hold, initially and at all times forduring thedurationof theService Provider Agreement, not less than 11% of the aggregate shareholding of the newlyincorporatedconsortiumcompany.● A firm cannot be a member of more than one bidding consortium. An individual firm
applyingasaSingleBiddercannotatthesametimebememberofanyConsortiumbiddingunderthisRFP.
● Eachmember of the Consortium shall be jointly and severally liable for the dueimplementationoftheProject.
● Any changes and deviation of roles and responsibilities after the submission of Bid andbeforetheexecutionoftheProviderAgreementshallentitleGSCDCLtorejecttheBidinitssolediscretion.
● GSCDCL reserves the right to reject the Bid in case of change in the constitution of theconsortiumafterthesubmissionofBidandbeforetheexecutionoftheProviderAgreement.
9.6.5.AuthenticationofBid Theoriginalandthecopyof theBid shallpreferably betypewrittenandshallbesignedbyapersonorpersonsdulyauthorizedbytheBidder.Thepersonorpersonssigning theBidshallinitialallpagesoftheBid. 9.6.6.ValidationofinterlineationsinBid Anyinterlineations,erasuresoroverwritingshallbevalidonlyifthepersonorpersonssigningthe Bid have authenticated the same with their respective signature alongside suchinterlineations,erasuresoroverwriting. 9.6.7.NumberofCopiesofBid The Bidder shall submit one original and one copy of the Technical Bid separately, clearlymarking each "Technical Bid–Original" and "TechnicalBid– Copy", as appropriate.The same

9.6.8.SealingandMarkingofBids
After online submission of Technical Bid bidder shall submit a sealed copy of same at GSCDCL office. 9.7.DocumentsConstitutingBid ThedocumentsconstitutingtheBidshallbeasfollows: 9.7.1.TechnicalBidwithBidSecurity InorderthatBidder(s)qualifytobidforthisRFP,Bidder(s)shallbeliabletosubmitaTechnicalBidintheformandmannersetforthinAnnexEoftheRFPDocumentalongwithalldocumentsrequired to be submitted as per the said Annexure including without limitation anyMemorandumofUnderstandingandtheBidSecurity.ThesaidTechnicalBidsshallbeevaluatedbyGSCDCLinitssolediscretion. 9.7.2.FinancialBid The Financial Bids should be in the form and manner set forth in Annex B to this RFP andshouldcompriseofallsuchdocumentsanddetailsmentionedthereinforboththecapitalcostsandOperatingCost.a. In preparing the Financial Proposal, bidders are expected to take into account the
requirements and conditions of the RFP document. The quoted fee shall be all inclusive,containingallcostsassociatedwiththeProject,includingremunerationforstaff(deployedatthesite),transportation,servicesandequipment(vehicles,officesequipment,furniture,andsupplies),insurance,printingofdocumentsandsurveysetc.
9.8.PeriodofValidityofBids9.8.1.ValidityPeriod Bids shall remain valid for a period of one hundred and eighty (180) days after thedate oftechnicalbidopeningprescribedbyGSCDCL.GSCDCLreservestherighttorejectaBidasnon‐responsiveifsuchBid isvalidforaperiodoflessthan180(onehundredandeighty)daysandGSCDCLshallnotbeliabletosendanintimationofanysuchrejectiontosuchBidder.ItisalsoobligatoryfortheBiddertokeepthebidvalidforanother60(sixty)daysforwhichrequestinwriting / faxwill be sentby theGSCDCLbefore expiry of the validityperiod. 9.11.Bidprocess–DischargeofBidSecurity9.11.1.DischargeofBidSecurityofOtherBidders TheBid SecurityofBiddersother than theBidder selected tobetheServiceProviderwillbedischarged/returnedaspromptlyaspossibleaftertheexpiryofBidvalidityandlatestbythe30th(thirtieth)dayofthesigningoftheProviderAgreementwiththeServiceProvider. 9.11.2.DischargeofBidSecurityofServiceProvider TheServiceProvidershallberequiredtofurnishaperformanceguaranteeonorbeforethedateofsigningtheProviderAgreement.TheBidSecurityofaServiceProvidershallbedischargedonlyafter the Service Provider furnishes the performance guarantee as required. 9.12.SigningofProviderAgreement BiddersshouldnotethatintheeventofacceptanceofitsBid,theServiceProvider(s)wouldberequired to execute the Provider Agreement, with such terms and conditions as may beconsiderednecessarybytheGSCDCLatthetimeoffinalizationoftheProviderAgreement.ItisclarifiedthattheissuanceoftheLetterofAcceptanceshallbefollowedbysigningoftheProviderAgreement (as aforesaid) and thereafter the Service Provider shall commence supply of theequipment for the Cycle Sharing System. The signing of the Provider Agreement shall becompleted within one (1) month of the issuance of the Letter of Acceptance to the ServiceProviderorwithinsuchextendedtimeframeasextendedbyGSCDCLinitssolediscretion.

Anyandall incidentalexpensesofexecutionof theProviderAgreementshallbebornebytheServiceProvider.
9.13.AnnulmentofAward FailureoftheServiceProvidertocomplywiththerequirementssetforthinthisRFPDocumentand /or the provisions of the Provider Agreement shall constitute sufficient grounds for theannulmentoftheawardandforfeitureoftheBidSecurity 9.13.1.FailuretoabidebytheProviderAgreement TheconditionsstipulatedintheProviderAgreementshallbestrictlyadheredtobytheServiceProvider andanyviolation thereofby theProvidermay result in terminationof theProviderAgreementwithoutprejudicetoanyrightsavailabletoGSCDCLuponsuchterminationassetforthintheProviderAgreement.
9.14.GSCDCL’srighttoacceptorrejectanyand/orallBids
GSCDCLreservestherighttoacceptorrejectanyBidinitssolediscretion,andtoannulthebidding process and reject all Bids without assigning any reason whatsoever at its solediscretion at any time before issuance of a Letter of Acceptance without incurring anyliability.
10.GeneralConditionsOfContract
10.1. Application These general conditions shall apply to ServiceProvider to the extent that provisions in the

ServiceProviderAgreementdonotsupersedethem.
10.2. StandardofPerformance
The Service Provider shall perform the services and carry out its obligations under theAgreementwithduediligence,efficiencyandeconomy;inaccordancewithgenerallyacceptedpracticesfollowedintheindustryandinaprofessionalmannerandshallobservesoundmanagement, technical and engineering practices. Service Provider shall deploy appropriatetechnology,safeandeffectiveequipment,skilled,competentandprofessionallytrainedstaffanduse latest methods for the Cycle Sharing System. In the event that GSCDCL requires anyinteractionand / or arrangement with a third party in relation to the Cycle SharingSystem,ServiceProvidershall act asa faithful advisers toGSCDCL in suchprocessand shall,atall times,supportandsafeguardGSCDCL’slegitimateinterestsinthiscontext.
10.3. UseofProviderAgreement&Information
ServiceProvidershallnot,withoutGSCDCL’spriorwrittenconsent,disclosethecontentsofthisAgreement, or any provision thereof, or any specification, plan, drawing, pattern, sample orinformationfurnishedbyoronbehalfofGSCDCLinconnectiontherewith,toanypersonoutsidethescopeoftheCycleSharingSystem.
ServiceProvidershallnot,withoutGSCDCL’spriorwrittenconsent,makeuseofanydocumentorinformation,whichbecomesavailabletotheServiceProviderduringtheperformanceoftheProviderAgreement,exceptsuchuseofinformationforthepurposeofperformingtheServiceProviderAgreement.
Alldocuments other than the ServiceProviderAgreement itself, includingwithout limitationanydrawings,plans,specifications,charts,etc.shallremainthepropertyof GSCDCLandshallberetained(inallcopies)byGSCDCL.
10.4. Indemnity
ServiceProvidershallatalltimes,i.e.duringthesubsistenceoftheServiceProviderAgreementandanytimethereafter,defend,indemnifyandholdGSCDCLharmlessfromandagainstallclaims(includingwithoutlimitationclaimsforinfringementofintellectualproperty,breachofcontract,deathorinjurytoapersonorinjurytoproperty,orothercourtclaims)andexpenses(includingcourt costs) arising out of or relating to the breach by Service Provider of any covenant,representationorwarrantyor fromanyactoromissionoftheServiceProviderorhisagents,employeesorsubcontractors.
10.5. PerformanceGuarantee Within30(thirty)daysofreceiptofLetterofAcceptance fromtheAuthority,ServiceProvidershallfurnishaperformanceguaranteetoGSCDCL,foranamountequaltoRs.50,00,000/‐(Rupeesfiftylakhs).TheamountwillbepayableintheformofaBankGuaranteefromanyScheduledBankapprovedbyRBIorDemandDraft/Bankers’Cheque. The Bid Security submitted by the Service Provider shall not be adjusted against thePerformanceGuarantee.TheBidsecurityshallbereturnedbacktotheServiceProvideronthereceipt ofPerformanceGuarantee.Thegeneral format of thebankguarantee forPerformanceGuaranteeissetforthinAnnexFofthisRFP.

PerformanceGuaranteesintheformofabankguaranteeshallbeirrevocableandvalidfortheentireContractPeriodandanadditionalperiodof90(ninety)daysthereafter.
10.6. RepresentationsandWarranties
ServiceProviderherebyrepresentsandwarrantsthatthehardware,software,andtheservicesimplementedundertheCycleSharingSystemshallbe:
● In accordance with the standards laid out in the RFP byGSCDCL for the CycleSharingSystemandthoseprovidedduringthetermoftheagreement;
● Asper the specificationsgiven in theRFP andmeeting allmandatory, legal and otherstatutoryrequirements;
● CompliantwiththeTechnicalSpecificationssetforthinAnnexA;● Fitandsufficientforthepurpose(s)forwhichtheyaredesignedanddeveloped;● Benew;● Becertifiedorregisteredwiththeconcernedagencyaftercompletingalllegal,statutory,
andotherrequirements,● Befreefromdefectsindesign,materialandworkmanship,whetherlatentorotherwise,
Service Provider hereby represents and warrants that neither any component of the CycleSharingSystemnoranyusethereofbyGSCDCLwillinfringeanypatent,trademark,copyright,tradesecret,orotherproprietaryrightofathirdparty. ServiceProviderhereby further represents andwarrants that anyservice that isprovidedbytheServiceProviderhereundershallbeperformedinacompetentmannerandbeforanypurposeforwhichServiceProviderknowsorhasreasontoknowGSCDCLintendstousesuchservice.
ServiceProviderherebyagreesthat theabovestatedRepresentationsandWarranties(i)shallsurvivetheinspection,acceptanceanduseoftheCycleSharingSystembyGSCDCLoranyotherauthorizedagency;(ii)areforthebenefitofGSCDCL;and(iii)areinadditiontoanywarrantiesandremediestowhichGSCDCLmayotherwiseagreeorwhichareprovidedbylaw.
10.7. Assignment ServiceProvidershallnotassign,inwholeorinpart,anyrightordelegateanydutyundertheService Provider Agreement to any third party, except with GSCDCL’s prior writtenconsent.
10.8. DelayinprovidingtheCycleSharingSystem TheServiceProvidershallensurethattheCycleSharingSystemisprovidedtoGSCDCLasperthetime schedule given in the Service Provider Agreement and / or any amendments thereto. Adelay by Service Provider in the performance of its obligations under the Service ProviderAgreementshallrenderServiceProviderliabletoanyorallthefollowingsanctionsinthesolediscretionofGSCDCL:
● ForfeitureofServiceProvider’sPerformanceGuarantee● ImpositionofliquidateddamagesonServiceProviderintermsofthisRFP● TerminationoftheServiceProviderAgreement
Ifatanytimeduringperformanceof theServiceProviderAgreement,ServiceProvidershouldencounter conditions impeding the timely completion and/or performance of the services aspertheAgreement,ServiceProvidershallpromptlynotifyGSCDCLinwritingofthefact

andreasonsforthedelayandlikelydurationofsuchdelay.AssoonaspracticableafterreceiptofServiceProvider’snotice in thisbehalf, GSCDCL shall evaluate the situation andmayat itsdiscretion extend Service Provider’s time for performance of Service Provider’sobligationsundertheAgreement.Anysuchextensionshallbevalidonlyifratifiedbythepartiesbywayofmakingappropriateamendment(s) inwritingtotheServiceProviderAgreementasmaybemutuallyagreedtobetweentheparties.
10.9. Qualitycheck&acceptanceofequipment
ServiceProvidershallfinaliseaQualityChecksandAcceptanceTestPlanofofferedsystemstoGSCDCLandafterfinalisation,thesameshallformpartoftheServiceProviderAgreement.TheCyclesofferedbytheServiceProviderfortheGwaliorCycleSharingSystemshallbeinspectedforacceptance/rejection(asapplicable)inaccordancewiththeQualityCheckandAcceptanceTestPlangivenintheCyclespecificationsbyGSCDCLoritsauthorizedagency.
10.10. LiquidatedDamages
IntheeventofdelayinsupplyoftheCycleSharingSystembytheServiceProviderbeyondtheCommencementDate(includingthegraceperiodifanyasapprovedbyGSCDCL)anduptotheendoftheadditionalperiod(90days)providedbyGSCDCL,ServiceProvidershallpaytoGSCDCLliquidateddamagesat1%oftheperformanceguaranteeperdayofdelayinmakingtheserviceoperational,forthefirst90days. In case the Service Provider is unable to make the system operational with manpower andsupportingmaintenanceinfrastructurewithin these90daysofCommencementDate, GSCDCLreservestherighttoterminatetheServiceProviderAgreementandServiceProvidershallforfeitthe Performance Guaranteeamount. Nointerestshall bep a i d byGSCDCLonthePerformanceGuarantee.
10.11. RighttoInspectCycles,SupportFacilitiesandDocuments ServiceProvider shallmake theCycle Sharing Systemand all support facilities alongwith alldocuments, certificates as required to the Cycle Sharing System available for inspection byGSCDCLanditsstaffandauthorizedrepresentativesfromtimetotime.
GSCDCL reserves the right to inspect/arrange inspection of any Cycle, Station, and/or anysupportfacilityusedbyServiceProviderinrelationtotheimplementationoftheCycleSharingSystem, through an authorized agent / representatives. GSCDCL shall do so after givingpriornoticetoServiceProviderandmakeavisitduringtheofficehoursofServiceProvider.ServiceProvidershallatalltimesassistGSCDCLinsuchinspections. GSCDCLreservestherighttoinspect/arrangeinspectionofanyallrelevantdocuments/recordsofbusinessoperations/recordsincludingthebooksofaccountsofstatutorypaymentslikePF,ESIC,ServiceTax,etc.oftheProvideratanytimetomonitorcompliancewithServiceProvider’sobligations in relation to implementation of theCycle Sharing System, through an authorizedagent or representatives.GSCDCLshalldoso aftergivingpriornotice toServiceProviderandmakeavisitduringtheofficehoursofProvider.ServiceProvidershallatalltimesassistGSCDCLinsuchinspections.
10.12.Ownership&ProtectionofProperty/Data GSCDCLshallretainthetitleandownershipofanysiteallottedbyGSCDCLtoServiceProviderfor purposes of carrying out Service Provider’s obligations in relation to the Cycle Sharing

System.SuchtitleandownershipofGSCDCLinanysuchsiteshallnotpasstoServiceProvideratany time during or after the Service Provider Agreement. However, GSCDCL may enter anagreement to leasethepremises totheServiceProvideratanagreedamount. GSCDCLshallownanyandalldatacreatedoutoftheCycleSharingSystematalltimes,duringandafter the expiry / termination of the Service Provider Agreement. Service Provider shallnothaveanyclaimonandforsuchdataandshallnot foranyreasonwithholdsuchdatafromGSCDCL. ServiceProvidershallexerciseallduecautiontoprotectandmaintain thedatacreatedoutofthisCycleSharing System, including identificationand financialdatacollected fromMembers.ServiceProvidershallnotshare,sell,orinanymannerusethedatacreatedbyServiceProviderout of this Cycle Sharing System otherwise than in accordancewith the terms of the ServiceProviderAgreement. AftertheexpiryorterminationoftheServiceProviderAgreement,ServiceProvidershallhavenoright,title,or interest inortoanywork includingwithout limitationthedesigns,software,modifications or facilities developed by GSCDCL under the Cycle Sharing System for anypurposewhatsoever.TheServiceProvider shallhandover all identificationand financialdataaboutMemberstoGSCDCL.TheServiceProvider’scopy(ies)ofMemberdatashallbedestroyed.
10.13. ConfidentialityObligationsofServiceProvider10.13.1. ConfidentialInformation
Service Provider shall treat as confidential any information which is clearly described asconfidential otherwiseclearlymarked as confidentialorproprietaryto GSCDCL(”ConfidentialInformation”).Notwithstanding the generality of the foregoing, Confidential Information shallinclude any proprietary or confidential information of GSCDCL relating to the Cycle SharingSystem or services provided under the Service Provider Agreement in relation thereto andinformationrelatingtoGSCDCL’sbusinessoroperations. Service Provider shall not without GSCDCL’s priorwritten consent use, copy or remove anyConfidential Information fromGSCDCL’spremises,except totheextentnecessary tocarry outServiceProvider’s obligationshereunder.Uponcompletionor terminationofeachassignmenthereunder,ServiceProvidershallreturntoGSCDCLalldocumentsorothermaterialscontainingGSCDCL’sConfidentialInformationandshalldestroyallcopiesthereof.
10.13.2. ConfidentialExceptions ConfidentialInformationshallnotincludeinformationwhich:
● isorbecomesgenerally available tothepublicwithoutanyactoromissionofServiceProvider
● was in Provider’s possession prior to the time it was received from GSCDCL or cameinto
ServiceProvider’s possession thereafter, in each case lawfully obtained froma sourceotherthanGSCDCLandnotsubjecttoanyobligationofconfidentialityorrestrictiononuse;
● is required to be disclosed by court order or operation of law; in such event, ServiceProvidershallsonotifyGSCDCLbeforesuchdisclosure;or
● is independentlydevelopedbyorforServiceProviderbypersonsnothavingexposuretoGSCDCL’sConfidentialInformation

10.13.3. PeriodofConfidentiality ServiceProvider’sobligationsofconfidentialityregardingGSCDCL’sConfidentialInformationshallterminate3(three)yearsaftertheexpiryorearlierterminationoftheProviderAgreement.
10.14. ForceMajeure
GSCDCL shall not forfeit Provider’s Performance Guarantee or charge liquidated damages orterminatetheProviderAgreementfordefault,ifandtotheextentthatdelayinperformanceorfailuretoperformProvider’sobligationsundertheProviderAgreementistheresultofaneventofForceMajeure,providedtheServiceProviderhastakenallreasonableeffortstoavoid,prevent,mitigateandlimitdamage,ifany,causeorislikelytobecausedtotheprojectfacilitiesasaresultof the ForceMajeureEvent and to restore theproject facilities, in accordancewith the GoodIndustryPracticeanditsrelativeobligationsunderthisAgreement; If a ForceMajeure situation arises, Provider shall promptly notify GSCDCL inwriting of suchconditions and the cause thereof. Unless otherwise directed by GSCDCL in writing, ProvidershallcontinuetoperformitsobligationsundertheProviderAgreementas faras isreasonablypracticalandshallseekallreasonablealternativemeansforperformancenotpreventedbytheForceMajeureevent. Any insurance proceeds received shall be, subject to the provisions of Financing Documents,entirelyappliedtorepair,replaceorrestoretheassetsdamagedonaccountoftheForceMajeureEventorinaccordancewithGoodIndustryPractice.
Forthispurpose,ForceMajeureshallbedefinedasanyeventlyingbeyondthereasonablecontrolof either theServiceProvideror GSCDCL.Suchevents, shall include,butnotbe limited to,thefollowing:
● Earthquake,flood,inundationandlandslide● Storm, tempest, hurricane, cyclone, lightning, thunder or other extreme atmospheric
disturbances● Firecausedbyreasonsnot attributable to theAffectedPartyoranyof theemployees,
contractorsoragentsappointedby theAffectedParty● Actsofterrorism;● Strikes,labourdisruptionsoranyotherindustrialdisturbancesnotarisingonaccountof
theactsoromissionsoftheAffectedParty● BreakdownofthePlantoranypartthereof● ActionofaGovernmentAgencyhavingMaterialAdverseEffectincludingbynotlimited
to○ Any acts of expropriation, compulsory acquisition or takeover by any
GovernmentAgencyoftheCycleSharingSystemoranypartthereoforofServiceProvider'srightsinrelationtotheProject.
○ Anyunlawful,unauthorisedorwithoutjurisdictionrefusaltoissueortorenewor the revocation of anyApplicable Approvals, in each case, for reasons otherthanServiceProvider’soranyof itscontractor’sbreachor failureincomplyingwith the, Applicable Laws, Applicable Approvals, any judgment or order of aGovernmental Agency or of any contract by which Service Provider or itscontractorasthecasemaybeisbound
● EarlyterminationofthisAgreementbyGSCDCLforreasonsofnationalemergencyornationalsecurity.
● War,hostilities(whetherdeclaredornot)invasionactofforeignenemy,rebellion,riots,weapon conflict or military actions, civil war, ionising radiation, contamination by

radioactivityfromnuclear fuel,anynuclearwaste,radioactivetoxicexplosion,volcaniceruptions.
10.15. TerminationduetoForceMajeureEvent
IfaForceMajeureEventasdescribedinClause10.14continuesorisinthereasonablejudgmentofthePartieslikelytocontinuebeyondaperiodof120days,thepartiesmaymutuallydecidetoterminatethisAgreementorcontinuethisAgreementonmutuallyagreedrevisedterms.Ifthepartiesareunabletoreachanagreementinthisregard,theaffectedpartyshallaftertheexpiryofthesaidperiodof120days,beentitledtoterminatethisAgreement UponTerminationofthisAgreementonaccountofaForceMajeureEvent,theServiceProvidershall be entitled to the following (a) receive anyoutstanding payments due to it for servicesrenderedunder theServiceProviderAgreement up to thedateofTermination and (b)dischargeoftheperformanceguaranteeinfull.
10.16. EventsofDefaultandTermination
EventsofDefaultshallmeaneitherServiceProviderEventofDefaultorGSCDCLEventofDefaultorbothasthecontextmayadmitorrequire.
10.16.1. ServiceProviderEventofDefault
Any of the following events shall constitute an Event of Default by Service Provider (ServiceProviderEventofDefault)unlesssucheventhasoccurredasaresultofaForceMajeureEvent:
● ServiceProviderisinbreachofanyofitsobligationsunderthisAgreementandthesamehasnotbeenremediedformorethansixty(60)days:
● Aresolution forvoluntarywindinguphasbeenpassedbytheshareholdersofServiceProvider
AnypetitionforwindingupofServiceProviderhasbeenadmittedandliquidatororprovisionalliquidatorhasbeenappointedorServiceProviderhasbeenorderedtobewoundupbyCourtofcompetent jurisdiction, except for the purpose of amalgamation or reconstruction, providedthat, as part of such amalgamation or reconstruction and the amalgamated or reconstructedentityhasunconditionallyassumedallsurvivingobligationsoftheServiceProviderunderthisAgreement.
10.16.2. GSCDCLEventofDefault Anyof the followingevents shallconstituteaneventofdefaultbyGSCDCL("GSCDCLEventofDefault")whennotcausedbyaServiceProviderEventofDefaultorForceMajeureEvent:
● GSCDCL is in breach of any of its obligations under this Agreement and has failed tocuresuchbreachwithinsixty(60)daysofoccurrencethereof
● GSCDCLhasunlawfullyrepudiatedthisAgreementorotherwiseexpresseditsintentionnottobeboundbythisAgreement.
10.16.3. TerminationduetoEventofDefault
IntheeventoftheServiceProviderEventofDefault,GSCDCLshallhavetherightto

● invokethePerformanceGuaranteeand/or● takeanyotheractionincluding provisioningof theequipmentoftheCycleSharing
System through any replacement Service Provider selected by GSCDCL in its solediscretionattheriskandcostoftheServiceProvider,and/or
● takeovertheentireinfrastructuredevelopedby theServiceProviderfortheCycleSharingSystemoranypartthereofand/or
● Negotiate with Provider to transfer the said infrastructure or part thereof to areplacementProviderselectedbyGSCDCL,atGSCDCL’ssolediscretion.
UponTerminationofthisAgreementonaccountofServiceproviderEventofDefault, GSCDCLshallnotbeliabletopayanyterminationpaymenttoServiceprovider.
10.17. TerminationforGSCDCLEventofDefault
UponTerminationofthisAgreementonaccountofGSCDCLEventofDefault,theServiceProvidershallbeentitledtothefollowing:
● Receive any outstanding payments due to it for services rendered under the ServiceProviderAgreementuptothedateofTermination.
● Receivecompensationequivalentto50%ofthedepreciatedvalueoftheinstalledhardware,includingCyclesandStations.
● Dischargeoftheperformanceguaranteeinfull.
10.18. TerminationforInsolvency,Dissolution,etc.
GSCDCLmayatanytimeterminatetheAgreementbygivingwrittennoticetoProviderwithoutanycompensationtoProvider,ifProviderbecomesbankruptorotherwiseinsolventorincaseofdissolution of firm or winding up of the company, provided that such termination will notprejudice any other rights of GSCDCL. Notwithstanding the generality of the foregoing,GSCDCLreserves theright to invokethePerformanceGuaranteeand/or takeanyotheractionincludingappointment of anyreplacementProvider selected by GSCDCL in itssolediscretion,takeover theentire infrastructuredevelopedbyProvider for theCycleSharingSystemoranypartthereof,and/ornegotiatewithProvidertotransferthesaidinfrastructureorpartthereoftoareplacementProviderselectedbyGSCDCL,inGSCDCL’ssolediscretion.
10.19. S uspension
Ontheoccurrenceofanyofthefollowingevents,GSCDCLshall,byawrittennoticeofsuspension,suspendanyagreementsasset forthintheServiceProviderAgreementwhichmayhavebeengrantedtotheServiceProviderthereunder:
● In the event and to theextent GSCDCL is required todosoby any applicable law(s),
rule(s),guideline(s),orcourtorder(s).Anysuchnoticeofsuspensionshallspecifytheapplicablelaw(s),rule(s),guideline(s),orcourtorder(s).
● In the event ServiceProvider fails toperform any of its obligations under the ServiceProviderAgreementasrequired(includingthecarryingoutofanyservicesthere‐under).Any suchnoticeof suspension issued by GSCDCL to ServiceProvider shall specify thenatureofthefailureandmayrequesttheServiceProvidertoremedysuchfailurewithinaspecifiedperiod,asdecidedbyGSCDCLinitssolediscretion,fromthedateofissueofsuchnoticeofsuspension.
10.20.Arbitration

12.1 All disputes or differences arising out of or in connection with this contract, can be raised except before the Competent Authority (Chief Executive Officer-GSCDCL) as defined in Contract data in writing giving full description and grounds of Dispute. It is clarified that merely recording protest while accepting measurement and/or payment shall not be taken as raising a dispute.
12.2 No issue of dispute can be raised after 45 (forty five) days of its occurrence. Any dispute raised after expiry of 45 (forty five) days of its first occurrence shall not be entertained and the Employer shall not be liable for claims arising out of such disputes.
12.3 The Competent Authority shall decide the matter within 45 (forty five) days of notice such disputes.
12.4 Appeal against the order of the Competent Authority can be preferred within 30 (thirty) days to the Appellate Authority (Executive Director-GSCDECL) as defined in the Contract data. The Appellate Authority shall decide the dispute within a further period of 45 (forty five) days.
12.5 Appeal against the order of the Appellate Authority can be preferred before the Madhya Pradesh Arbitration Tribunal constituted under Madhya Pradesh Madhyastham Adhikaran Adhiniyam, 1983.
12.6 The Contractor shall have to continue execution of the Works with due diligence notwithstanding pendency of a dispute before any authority or forum.
10.21. J urisdiction
OnlythecourtsinGwaliorshallhavejurisdictiontotryalldisputesandmattersarisingoutofanunderthisAgreement,afterreferencetoarbitration.
10.22.NoWaiverofRightsandClaims
Anyforbearance,tolerationordelayininvokinganyoftherightsorclaimsaccruinginfavourofanypartyunderthetermsofthisAgreementshownormadebysuchapartyinwhosefavoursuchrightsorclaimsmighthavevestedbyvirtueofthisAgreementshallneitherconstitutenorbeconstruedtobeawaiverofsuchrightsorclaimsaccruinginrespectofsuchaparty.
