Introduction

The Environment Act 1995 has made site sensitivity a key issue, as the legislation pays as much attention tothe pathways by which contamination could spread, and to the vulnerable targets of contamination, as it doesthe potential sources of contamination. For this reason, Landmark's Site Sensitivity Datasheet places greatemphasis on statutory data provided by the Environment Agency and the Scottish Environment ProtectionAgency; it also incorporates data from English Nature (and the Scottish and Welsh equivalents), theEnvironment Agency (and the Scottish equivalent) and Local Authorities; and highlights hydrogeologicalfeatures required by environmental and geotechnical consultants. It does not include any informationconcerning past uses of land. The datasheet is produced by querying the legend database to 1km from asingle point or a site boundary provided by the client

In the attached datasheet the National Grid References (NGRs) are rounded to the nearest 10m inaccordance with Landmark's agreements with a number of Data Suppliers

These Terms govern the relationship between You andLandmark whether You are an unregistered visitor to theWebsite or are purchasing Services. Where these Termsare not expressly accepted by You they will be deemed tohave been accepted by You, and You agree to be boundby these Terms when You place any Order, or pay for anyServices provided If the person communicating with Landmark is anAuthorised Reseller, they must ensure that You agree tothese Terms.The headings in these Terms are for convenience onlyand shall not affect the meaning or interpretation of anypart of these Terms.Landmark may modify these Terms, and may discontinueor revise any or all other aspects of the Services at oursole discretion, with immediate effect and without priornotice, including without limitation changing the Servicesavailable at any given time. Any amendment or variationto these Terms shall be posted on our Websites.Continued use of the Services by You shall be deemedan acceptance by You to be bound by any suchamendments to the Terms.These Terms, together with the prices and deliverydetails set out on our Websites, Landmark's PrivacyPolicy and Your Order comprise the whole agreementrelating to the supply of Services to You by Landmark. Noprior stipulation, agreement, promotional material orstatement whether written or oral made by any sales orother person or representative on our behalf should beunderstood as a variation of these Terms. Landmark will use reasonable care and skill in providingthe Services to You, however, the Services are providedon the express basis that the information and data

supplied in the Services are derived from third partysources and Landmark does not warrant the accuracy orcompleteness of such information or data. Suchinformation is derived solely from those sourcesspecifically cited in the Services and Landmark does notclaim that these sources represent an exhaustive orcomprehensive list of all sources that might be consulted.

You acknowledge that all Intellectual Property Rights inthe Services are and shall remain owned by eitherLandmark or our Suppliers and nothing in these Termspurports to transfer, assign or grant any rights to You inrespect of the Intellectual Property Rights.Subject always to these Terms You may, without furthercharge, make the Services available to;

the owner of the Property at the date of the Report,any person who purchases the whole of the PropertySite, any person who provides funding secured on thewhole of the Property Site,any person for whom You act in a professional orcommercial capacity,any person who acts for You in a professional orcommercial capacity; andprospective buyers of the Property Site as part of anInformation Pack but for the avoidance of doubt,Landmark shall have no liability to such prospectivebuyer unless the prospective buyer subsequentlypurchases the Property Site, and the prospective (oractual) buyer shall not be entitled to make the Serviceavailable to any other third party.Accordingly Landmark shall have the same dutiesand obligations to those persons in respect of theServices as it has to You.

Each of those persons referred to in clause 3.b. shallhave the benefit and the burden of Your rights andobligations under these Terms. The limitations ofLandmark's liability as set out in clause 6 shall apply to allusers of the Service in question in aggregate andLandmark shall not be liable to any other person.All parties given access to the Services agree that theywill treat as strictly private and confidential the Servicesand all information which they obtain from the Servicesand shall restrict any disclosure to employees orprofessional advisors to enable the relevant party toconduct its internal business. The requirement in thisclause to treat the Services as confidential shall include arequirement to maintain adequate security measures tosafeguard the Services from unauthorised access, use orcopying.Each recipient of the Services agrees (and agrees it willcause its employees, agents or contractors who may fromtime to time have access to the Services to agree) it willnot, except as permitted herein or by separate agreementwith Landmark:-

VAT at the prevailing rate shall be payable in addition tothe Landmark Fees. You shall pay any other applicableindirect taxes related to Your use of the Services.An individual or a monthly invoice showing all Orderscreated by You will be generated subject to these Terms.You will pay the Landmark Fees at the rates set out inLandmark's or its Authorised Reseller's invoice. TheLandmark Fees are payable in full within 30 days withoutdeduction, counterclaim or set off. You acknowledge thattime is of the essence with respect to the payment of suchinvoices. Landmark reserve the right to amend theLandmark Fees from time to time and the Services will becharged at the Landmark Fee applicable at the date onwhich the Service is ordered. We may charge interest on late payment at a rate equalto 3% per annum above the base lending rate of NationalWestminster Bank plc.Landmark or its Authorised Reseller shall not be obligedto invoice any party other than You for the provision of

Services, but where Landmark or its Authorised Resellerdoes so invoice any third party at Your request, and suchinvoice is not accepted or remains unpaid, Landmark orits Authorised Reseller shall have the option at any timeto cancel such invoice and invoice You direct for suchServices. Where Your order comprises a number ofServices or severable elements within any one or moreServices, any failure by Landmark or its AuthorisedReseller to provide an element or elements of theServices shall not prejudice Landmark's or its AuthorisedReseller's ability to require payment in respect of theServices delivered to You.

Landmark may suspend or terminate Your rights underthese Terms without any liability to You with immediateeffect if at any time:-

You fail to make any payment due in accordance withclause 4;You repeatedly breach or commit or cause to becommitted any material breach of these Terms; orYou commit a breach and You fail to remedy thebreach within 7 days of receipt of a written notice todo so; additionally, without prejudice to the foregoing,Landmark may remedy the breach and recover thecosts thereof from You.

If Your rights are terminated under this clause and Youhave made an advance payment We will refund You areasonable proportion of the balance as determined byUs in relation to the value of Services previouslypurchased.Landmark reserves the right to refuse to supply any or allServices to You without notice or reason.

We provide warranties and accept liability only to theextent stated in this clause 6 and clause 7.Nothing in these Terms excludes either party's liability fordeath or personal injury caused by that party's negligenceor wilful default, and the remainder of this clause 6 issubject to this provision and Your statutory rights. As most of the information contained in the Services isprovided to Landmark by others, Landmark cannot controlits accuracy or completeness, nor is it within the scope ofLandmark's Services to check the information on theground. Accordingly, Landmark will only be liable to Youfor any loss or damage caused by its negligence or willfuldefault and neither Landmark nor any person providinginformation contained in any Services shall in any othercircumstances be liable for any inaccuracies, faults oromissions in the Services nor shall Landmark have anyliability if the Services are used otherwise than inaccordance with these Terms. Save as precluded by law, Landmark shall not be liablefor any indirect or consequential loss, damage orexpenses (including loss of profits, loss of contracts,business or goodwill) howsoever arising out of anyproblem, event, action or default by Landmark.In any event, and notwithstanding anything contained inthese Terms, Landmark's liability in contract, tort(including negligence or breach of statutory duty) orotherwise howsoever arising by reason or in connectionwith this Contract (except in relation to death or personalinjury) shall be limited to an aggregate amount notexceeding £1 million if the complaint is in relation to aReport on residential property and an aggregate amountnot exceeding £10 million in respect of any other Reportor Service purchased from Landmark.Landmark will not be liable for any defect, failure oromission relating to Services that is not notified toLandmark within six months of the date of the issuebecoming apparent and in any event, within twelve yearsof the date of the Service.You acknowledge that:-

You shall have no claim or recourse against any ThirdParty Content supplier nor any of our other Suppliers.You will not in any way hold us responsible for anyselection or retention of, or the acts of omissions ofThird Party Content suppliers or other Suppliers(including those with whom We have contracted tooperate various aspects or parts of the Service) inconnection with the Services (for the avoidance ofdoubt Landmark is not a Third Party Contentsupplier). Landmark does not promise that the supplyof the Services will be uninterrupted or error free orprovide any particular facilities or functions, or thatthe Content will always be complete, accurate,precise, free from defects of any other kind, computerviruses, software locks or other similar code althoughLandmark will use reasonable efforts to correct anyinaccuracies within a reasonable period of thembecoming known to us;Landmark's only obligation is to exercise reasonableskill and care in providing environmental propertyrisk information to persons acting in a professional orcommercial capacity who are skilled in the use ofproperty and environmental information and Youhereby acknowledge that You are such a person;no physical inspection of the Property Site reportedon is carried out as part of any Services offered byLandmark and Landmark do not warrant that all land

"Authorised Reseller" means an agent or reseller of Landmark whom Landmark has duly appointed to resell its Reports and Services."Content" means any data, computing and information services and software, and other content and documentation or support materials and updates included in and/or supplied by or through the Websites, in Reports or Services or in any other way by Landmark and shall include Landmark developed and Third Party Content."First Purchaser" means the first person, or legal entity to purchase the Property Site following provision of a Report."First Purchaser's Lender" means the funding provider for the First Purchaser"Information Pack" means a pack compiled by or on behalf of the owner or prospective buyer of the Property Site, designed to aid the marketing or purchase of the Property Site and containing information provided by or on behalf of the owner or prospective buyer of the Property Site."Intellectual Property Rights" means copyright, patent, design right (registered or unregistered), service or trade mark (registered or unregistered), database right or other data right, moral right or know how or any other intellectual property right."Order" means the request for Services from Landmark by You."Property Site" means a land site on which Landmark provides a Service.References to "We", "Us" and "Our" are references to Landmark Information Group Limited ("Landmark"), whose registered office is 7 Abbey Court, Eagle Way, Exeter, EX2 7HY. Where You are not ordering the Services directly from Landmark, but from an Authorised Reseller, references to "Landmark" or "We", "Us" and "Our" shall be construed so as to mean either Landmark and/or the Authorised Reseller as the context shall indicate.References to "You/Your/Yourself" refer to the contracting party who accesses the Website or places an Order with Landmark."Report" includes any information that Landmark supplies to You including all reports, services, datasets, software or information contained in them."Services" means the provision of any service by Landmark pursuant to these Terms, including without limitation, any Report. "Landmark Fees" means any charges levied by Landmark for Services provided to You."Suppliers" means any organisation who provides data or information of any form to Landmark."Terms" means these Terms & Conditions."Third Party Content" means the services, software, information and other content or functionality provided by third parties and linked to or contained in the Services."Websites" means websites hosted by Landmark and includes the Content and any report, service, document, data-set, software or information contained therein, derived there from or thereby.

uses or features whether past or current will be identifiedin the Services. The Services do not include anyinformation relating to the actual state or condition of anyProperty Site nor should they be used or taken to indicateor exclude actual fitness or unfitness of a Property Site forany particular purpose nor should it be relied upon fordetermining saleability or value or used as a substitute forany physical investigation or inspection. Landmarkrecommends that You inspect and take other advice inrelation to the Property Site and not rely exclusively onthe Services.

Landmark shall not be responsible for error orcorruption in the Services resulting from inaccuracy oromission in primary or secondary information anddata, inaccurate processing of information and databy third parties, computer malfunction or corruption ofdata whilst in the course of conversion, geo-coding,processing by computer or electronic means, or in thecourse of transmission by telephone or othercommunication link, or printing.Landmark will not be held liable in any way if aReport on residential property is used for commercialproperty or more than the one residential property forwhich it was ordered.the Services have not been prepared to meet Your oranyone else's individual requirements; that Youassume the entire risk as to the suitability of theServices and waive any claim of detrimental relianceupon the same; and You confirm You are solelyresponsible for the selection or omission of anyspecific part of the Content;Landmark offer no warranty for the performance ofany linked internet service not operated by Landmark;You will on using the Services make a reasonableinspection of any results to satisfy Yourself that thereare no defects or failures. In the event that there is amaterial defect You will notify us in writing of suchdefect within seven days of its discovery;Any support or assistance provided to You inconnection with these Terms is at Your risk;

All liability for any insurance products purchased by Yourests solely with the insurer. Landmark does not endorseany particular product or insurer and no informationcontained within the Services should be deemed to implyotherwise. You acknowledge that if You Order any suchinsurance Landmark will deem such as Your consent toforward a copy of the Report to the insurers. Where suchpolicy is purchased, all liability remains with the insurersand You are entirely responsible for ensuring that theinsurance policy offered is suitable for Your needs andshould seek independent advice. Landmark does notguarantee that an insurance policy will be available on aProperty Site. All decisions with regard to the offer ofinsurance policies for any premises will be made solely atthe discretion of the insurers and Landmark accepts noliability in this regard. The provision of a Report does notconstitute any indication by Landmark that insurance willbe available on the property. If Landmark provides You with any additional serviceobtained from a third party, including but not limited toany professional opinion, interpretation or conclusion, riskassessment or environmental report or search carried outin relation to a Report on Your Property Site, Landmarkwill not be liable in any way for any information containedtherein or any issues arising out of the provision of thoseadditional services to You. Landmark will be deemed tohave acted as an agent in these circumstances and thesupply of these additional services will be governed bythe terms and conditions of those Third Parties. For theavoidance of doubt, those parties providing assessmentsor professional opinions on Landmark products includeRPS Plc & Wilbourn Associates Limited. Copies of theirterms and conditions are available on request fromLandmark.In any event no person may rely on a Service more than12 months after its original date.If You wish to vary any limitation of liability as set out inthese Terms, You must request such variation prior toordering the Service. Landmark shall use its reasonableendeavours to agree such variation but shall not beobliged to do so. Time shall not be of the essence with respect to theprovision of the Services.Ordnance Survey have undertaken a positional accuracyimprovement programme which may result indiscrepancies between the positioning of features used indatasets in the Services and the updated OrdnanceSurvey mapping. Landmark and its Suppliers exclude alland any liability incurred as a result of the implementationof such positional accuracy improvement programme.Where Landmark provides its own risk assessment inconnection with any Report, Landmark shall carry outsuch assessment with all reasonable skill and care butshall have no liability for any such risk assessmentconclusion which is provided for information only, savewhere Landmark conducted the same negligently, inwhich case the provisions of clause 6 shall apply.Notwithstanding the provision of any such riskassessment conclusion you should carefully examine the

remainder of the Report and should not take or refrainfrom taking any action based solely on the basis of therisk assessment. For the avoidance of doubt, theprovisions of this clause 6n apply solely to riskassessments conducted by Landmark, and the provisionof any other risk assessment by a third party shall begoverned by such third party's terms in accordance withthe provisions of clause 6i above.

Save where expressly provided, this clause 7 shall applysolely to Envirosearch Residential Reports (regardless ofthe result of such Report). Nothing in this clause 7 shalloperate to override or vary the provisions of clause 6.Landmark are prepared to offer, at their sole discretion,and without any admission or inference of liability acontribution towards the costs of any remediation worksrequired under a Notice (as defined below) on the termsof this clause 7 ("the Contribution")In the event that a Remediation Notice is served on theFirst Purchaser or First Purchaser's Lender of a PropertySite under Part II(A) of the Environmental Protection Act1990 ("the Notice") Landmark will contribute to the cost ofsuch works as either the First Purchaser or FirstPurchaser's Lender (but not both) are required to carryout under the Notice subject to the provisions of thisclause 7 and on the following terms:

the Contribution shall only apply to contamination or apollution incident present or having occurred prior tothe date of the Report;the Contribution shall only apply where the PropertySite is a single residential dwelling house or a singleresidential flat within a block of flats. For theavoidance of doubt, this obligation does not apply toany commercial property, nor to any Property Sitebeing developed or redeveloped whether forresidential purposes or otherwise;the Contribution is strictly limited to the cost of worksat the Property Site and at no other site.the Contribution will not be paid in respect of any ofthe following:Radioactive contamination of whatsoever nature,directly or indirectly caused by or contributed to orarising from ionising radiations or contamination byradioactivity from any nuclear fuel or from any nuclearwaste from the combustion of nuclear fuel or theradioactive toxic explosive or other hazardousproperties of any explosive nuclear assembly ornuclear component thereof.Asbestos arising out of or related in any way toasbestos or asbestos-containing materials on or instructures or services serving the structures.Naturally occurring materials arising from thepresence or required removal of naturally occurringmaterials except in circumstances where suchmaterials are present in concentrations which are inexcess of their natural concentration.Intentional non-compliance arising from theintentional disregard of or knowing wilful or deliberatenon-compliance by any owner or occupier of theProperty Site with any statute, regulation,administrative complaint, notice of violation, or noticeletter of any Regulatory Authority.Any condition which is known or ought reasonably tohave been known to the First Purchaser or the FirstPurchaser's Lender prior to the purchase of theReport.Any condition which is caused by acts of War or anAct of Terrorism.Any property belonging to or in the custody or controlof the First Purchaser which does not form a fixedpart of the Property Site or the structure. Any fines liquidated damages punitive or exemplarydamages.Any bodily injury including without limitation, death,illness or disease, mental injury, anguish or nervousshock.Any financial loss in respect of any loss of any rental,profit, revenue, savings or business or anyconsequential indirect or economic loss damage orexpense including the cost of rent of temporarypremises or business interruption.Any losses incurred following a material change inuse of, alteration or development of the Property Site.

The maximum sum that shall be contributed by Landmarkin respect of any Contribution shall be limited to £50,000.In the event that more than one Report is purchased onthe Property Site the Contribution will only be payableunder the first Report purchased by or on behalf of anyFirst Purchaser or First Purchaser's Lender and noContribution will be made in respect of subsequentReports purchased by or on behalf of such FirstPurchaser, First Purchaser's Lender or any personconnected to them.Landmark shall only pay a Contribution where the Noticeis served within 36 months of the date of the Report.Any rights to a Contribution under this Clause 7 are notassignable in the event of a sale of the Property Site andLandmark will not make any Contribution after the date ofcompletion of such sale.

In the event the First Purchaser or First Purchaser'sLender wishes to claim any Contribution, it shall notifyLandmark in writing within 2 months of the date of theNotice. The First Purchaser or First Purchaser's Lender(as applicable) shall comply with all reasonablerequirements of Landmark with regard to the commissionand conduct of the remediation works to be carried outunder the Notice, and in the event the First Purchaser orFirst Purchaser's Lender (as applicable) does not do so,including without limitation, obtaining Landmark's priorwritten consent to any estimates for such works orcomplying with any other reasonable request byLandmark, Landmark shall not be required to pay anyContribution. Notwithstanding the payment of theContribution by Landmark the First Purchaser or FirstPurchaser's Lender as applicable shall take allreasonable steps to mitigate any costs incurred inconnection with the conduct of works required under theterms of any Notice.In the event that the First Purchaser or First Purchaser'sLender receives any communication from a statutoryauthority to the effect that there is an intent to serve anotice received under PartII(A) of the EnvironmentalProtection Act 1990 they will advise Landmark within amaximum period of two months from receipt of suchcommunication. This clause 7h and the service of anynotice under it shall not affect the provisions of clauses 7e and g, and any such communications, even if advised toLandmark will not operate as notice under clause 7e. Landmark reserve the right at any time prior to a claim forContribution being made in accordance with clause 7 g)above, to withdraw the offer of payment of Contributionswithout further notice.

You acknowledge that Landmark shall not be liable forany delay, interruption or failure in the provision of theServices which are caused or contributed to by anycircumstance which is outside our reasonable controlincluding but not limited to, lack of power,telecommunications failure or overload, computermalfunction, inaccurate processing of data, or delays inreceiving, loading or checking data, corruption of datawhilst in the course of conversion, geo-coding, processingby computer in the course of electronic communication, orprinting.

If any provision of these Terms are found by either a courtor other competent authority to be void, invalid, illegal orunenforceable, that provision shall be deemed to bedeleted from these Terms and never to have formed partof these Terms and the remaining provisions shallcontinue in full force and effect.

These terms shall be governed by and construed inaccordance with English law and each party agreesirrevocably submit to the exclusive jurisdiction of theEnglish courts If any dispute arises out of or in connectionwith this agreement (a "Dispute") the parties undertakethat, prior to the commencement of Court proceedings,they will seek to have the Dispute resolved amicably byuse of an alternative dispute resolution procedureacceptable to both parties with the assistance of theCentre for Dispute Resolution (CEDR) if required, bywritten notice initiating that procedure. If the Dispute hasnot been resolved to the satisfaction of either party within60 days of initiation of the procedure or if either party failsor refuses to participate in or withdraws from participatingin the procedure then either party may refer the Dispute tothe Court.

Landmark may assign its rights and obligations underthese Terms without prior notice or any limitation.Landmark may authorise or allow our contractors andother third parties to provide to Landmark and/or to Youservices necessary or related to the Services and toperform Landmark's obligations and exercise Landmark'srights under these Terms, which may include collectingpayment on Landmark's behalf.No waiver on Landmark's part to exercise, and no delayin exercising, any right, power or provision hereundershall operate as a waiver thereof, nor shall any single orpartial exercise of any right, power or provision hereunderpreclude the exercise of that or any other right, power orprovision.Unless otherwise stated in these Terms, all notices fromYou to Landmark must be in writing and sent to theLandmark registered office (or in the case of anAuthorised Reseller, to its registered office address) andall notices from Landmark to You will be displayed on ourWebsites from time to time.A person who is not a party to any contract madepursuant to these Terms shall have no right under theContract (Right of Third Parties) Act 1999 to enforce anyterms of such contract and Landmark shall not be liable toany such third party in respect of any Services supplied.Landmark's Privacy Policy as displayed on the Websitegoverns the use made of any information You supply toLandmark.
