    1.1) NHPC Limited, a leading Public Sector Enterprise of Govt. of India, hereinafter referred toas the Employer, responsible for Planning, Design, Construction, Operation andMaintenance of Hydroelectric Power Projects has recently diversified into wind & Solarpower projects. It intends to implement 50 MW solar power project(s) in the state ofTamilnadu, with its O & M for ten years. referred to as the Project by DomesticCompetitive Bidding.

    1.2) Brief Scope of Work: Engineering, Procurement and Construction (EPC) contract fordevelopment of 50 MW capacity Solar Power PV Project(s) (including land and evacuationarrangements) with individual project capacity of not less than 10 MW at not more than 5suitable sites located in the districts of Poddukkotai, Tiruvannamalai, Krishnagiri,Cuddallore, Thanjavur or Perambalur in the state of Tamilnadu, with its comprehensiveoperation & maintenance for ten years.

    1.3) The bidder must satisfy the following qualifying criteria / requirements in Solar Power PVProjects:(A) Technical Criteria:

    (i) The bidder should have designed, supplied, erected and commissioned SPV basedgrid connected / interactive Solar PV power plant(s) of cumulative installedcapacity not less than 20MW in India during the last 5 years ending date of NIT.

    (ii) Out of which at least one Solar PV plant of not less than 5 MW capacity musthave been in successful operation for at least Six (6) months as on the date ofNIT.

    (B) Financial Criteria:(i) Annual turnover of the bidder should be minimum of Rs.120 crores in any one of

    the last three preceding financial years ending 31stMarch i.e., FY 2014-15. FY2013-14, &2012-13

    (ii) The Net worth of the bidder should be positive for last financial year as peraudited Annual accounts i.e., for FY 2014-2015.

    (C) Nature Of BiddersBidder should be a single entity.

    (D) BIDS BY MERGED/ACQUIRED/ COMPANIES:In case of an Bidder Company, formed after merger and / or acquisition of othercompanies, past experience and other antecedents of the merged/acquired companieswill be considered for qualification of such Bidder Company provided such BidderCompany continues to own the requisite assets and resources of the merged/ acquiredcompanies needed for execution and successful implementation of the work packageput to tender.

    (C) Land Arrangement :The bidder shall have any of the following arrangement for having land with clear title andfree from all encumbrances, charges, liens, encroachments or litigation and not subject matterof acquisition for any other purpose:-a) The bidder already having possession of land in record of rights in his own name:b) The bidder already having agreement duly notarized with a third party (an individual or

    company) who is / are already having possession of land in his / their own name.c) In case of Government land, bidder already having allotment letter of the land for setting

    up of Solar Power project thereon, in bidders own name or in the name of third party (anindividual or company) by the competent authority:

    d) In case of Forest land, the bidder already having in principle approval of MoEF, Govt. ofIndia either in his favour or in favour of third party for diversion of offered Forest land foruse in implementation of Solar power projects under provisions of Forest (conservation)Act, 1980.

    (D) Joint Ventures / Consortiums are not allowed.1.4) Time for Completion

    a) Completion Period of Engineering, Procurement and Construction (EPC) contract for50 MW capacity Solar Power Project at suitable site is 5 (Five) months from the dateof issue of Letter of Award including Commissioning. Period. .

    b) Duration of Comprehensive Operation & Maintenance is 10 (ten) years from the dateof completion of the project.

    1.5) A non-refundable fee of Rs. 10000/- (Rupees Ten thousand Only) in the form of demanddraft from a Nationalized / Scheduled bank in favour of NHPC Ltd., payable at Faridabadis to be submitted in physical form towards the cost of Bid Document.

    1.6) The bid Security of Rs. 3,71,000,00 (Rupees Three Crore Seventy One Lacs) mustaccompany the bid and the bid not accompanied by the requisite bid security shall berejected as non-responsive.

    11:00Hrs in NHPC Office Complex, Sector-33, Faridabad wherein they shall be givenan opportunity to obtain clarifications, if any, regarding the work and bid conditions.

    b) Prospective bidders may submit their queries, if any, by email / courier / fax at addressstated at Para 1.9 at least three days before the pre-bid meeting so that the same can bereplied during the meeting.

    1.9) Bid Submissiona) Online Bid Submission Technical Bid (Part-I) in pdf and Price Bid (Part-II) electronic

    format, complete in all respect must be submitted on the portalwww.mstcecommerce.com/eprochome/nhpc by 10.08.2015 (up to 11:00 Hrs.).

    The envelope(s) containing documents must be clearly marked (EPC) contract for 50MW in the state of Tamilnadu, with its O&M for ten years.

    In the event of the specified date for the submission of offline bids or opening of online bids being declared a holiday for the Employer, the same shall be carried out at thespecified time on the next working day. However, the date and time for onlinesubmission of the Bids shall continue to be the date and time specified or amendmentnotified in this regard.

    1.10) The online bids whose requisite hard copies are not received by the due date and time willbe considered as late submissions and rejected.

    1.11) The Techno-commercial Bid shall be opened online on 10.08.2015 (11:30 Hrs) at theaddress stated under Para 1.10.

    1.12) The currency for the bid shall be Indian Rupee (INR) only.

    1.13) Bids shall be valid for a period of 120 days after the deadline for bid submission. If anybidder withdraws his bid before the said period or makes any modification in his bid, thebid security shall stand forfeited.

    1.14) Bids shall be furnished on firm price basis.

    1.15) Bids shall be submitted under Single Stage Two Part ( Part-I : Technical Commercial Bid& Part-II : Price Bid) process through e-tendering as per the procedure as detailed below :

    i) Techno-commercial BidThe Part-I i.e. Techno-commercial Bid shall be opened first in presence of biddersdesignated representatives who chose to attend at the scheduled time & date and at the

    location stipulated in Para 1.9. The bidders representatives who are present shall signa register evidencing their attendance.

    ii) Price BidThe Part-II i.e. Price bid of only those bidders, who are found to be techno-commerciallyresponsive for the subject works shall be opened thereafter. The date of opening of thePrice Bids shall be notified separately to all the bidders whose bids are found technicallyresponsive. The price bid shall be opened online in presence of bidders representativeswho wish to be present at the designated time and at the location stipulated in Para 1.9.

    1.16) E-tenderingImportant Instruction to bidders for online bidding is attached as Annexure-1.

    1.17) All the Bidders shall enter into an Integrity Pact (to be executed on plain paper) with theEmployer at the time of submission of Bids. Successful Bidder shall submit duly executedIntegrity Pact on Non-Judicial Stamp Paper of appropriate value prior to signing of ContractAgreement. For this Bid, the Employer has appointed Sh.S.C.Tripathi who shall act as anindependent External Monitor (IEM) for overseeing the compliance of obligations by theparties under the Integrity Pact.

    1.18) Any corrigendum, subsequent amendments and / or extension of date, if any, for submissionof bids shall be posted only on the portal www.mstcecommerce.com/eprochome/nhpcBidders are advised to visit the portal regularly before the deadline for submission of bids.

    1.19) The Employer reserves the right to accept or reject any bid and to cancel the bidding processand reject all bids, at any time prior to the award of Contract, without thereby incurring anyliability to the affected bidder or bidders.

    1.20) In case of any difference between wordings of English and Hindi version of Notice InvitingTender, English version shall prevail.

    8 E-tender cannot be accessed after the due date and time mentioned in NIT.9. Bidding in e-tender:

    a) Bidder(s) need to submit necessary, Transaction fees to be eligible to bid online in thee-tender. Tender fees and Transaction fees are non-refundable. No interest will be paidon EMD. EMD of the unsuccessful bidder(s) will be refunded by NHPC.

    b) The process involves Electronic Bidding for submission of Techno Commercial Bid aswell as Price Bid.

    d) The bidder should allow to run an application namely an Apple by accepting the riskand clicking on run. This exercise has to be done twice immediately after clicking onthe Techno-Commercial bid. If this application is not run then the bidder will not beable to save/submit his bid.

    e) After filling the Techno-Commercial Bid, bidder should click save for recording theirTechno-Commercial bid. Once the same is done, the Price Bid link becomes active andthe same has to filled up and then bidder should click on save to record their pricebid. Then once both the Techno-Commercial bid & price bid has been saved, the biddercan click on the Final Submission button to register their bidNOTE: - The Techno-Commercial Bid & price bid cannot be revised once thesubmit button has been clicked by the bidder.

    f) In all cases, bidder should use their own ID and Password along with Digital Signatureat the time of submission of their bid.

    Scope of Work Engineering, Procurement and Construction (EPC)contract for development of 50 MW capacity SolarPower PV Project(s) (including land and evacuationarrangements) with individual project capacity of notless than 10 MW at not more than 5 suitable sites locatedin the districts of Poddukkotai, Tiruvannamalai,Krishnagiri, Cuddallore, Thanjavur or Perambalur in thestate of Tamilnadu, with its comprehensive operation &maintenance for ten years.

    2.1 Eligibility andQualifyingRequirement ofBidders

    The invitation of bid is open to all domestic bidders whomeet the qualification criteria / requirement as a whole asstipulated in Notice Inviting Tender (NIT) / detailed inBidding Data.(A) Technical Criteria:

    (i) The bidder should have designed, supplied,erected and commissioned SPV based gridconnected / interactive Solar PV power plant(s)of cumulative installed capacity not less than20MW in India during the last 5 years endingdate of NIT.

    (ii) Out of which at least one Solar PV plant of notless than 5 MW capacity must have been insuccessful operation for at least six (6)monthsas on the date of NIT.

    (B) Financial Criteria:(i) Annual turnover of the bidder should be

    minimum of Rs.120 crores in any one of thelast three preceding financial years ending31stMarch i.e., FY 2014-15. FY 2013-14,&2012-13

    (ii) The Net worth of the bidder should be positivefor last financial year as per audited Annualaccounts i.e., for FY 2014-2015.

    The Net worth shall be calculated based onsubscribed and paid up Share Capital plus SharePremium plus Free Reserves plus Unallocated

    Note:(i) Other income shall not be considered for arriving at

    Annual Turnover.(ii) The Bidders financial evaluation vis a vis the

    requirement as stipulated above shall be done on thebasis of duly printed Annual Report for theimmediately preceding 3 (Three) years submitted bythe Bidder along with the Bid. Further, standaloneaudited Annual Financial Statement of Bidder shallbe forming part of the Annual Report.

    In case, where Audited financial results for theimmediately preceding year are not available, then astatement of account as on the closing date of theimmediately preceding financial year depicting theTurnover and Net worth (calculated as per laid downcriteria) duly certified by their Statutory Auditor carryingout the statutory audit shall be enclosed with the copy ofappointment letter of the statutory auditor.

    (C) Nature Of BiddersBidder should be a single entity.

    (D) BIDS BY MERGED/ACQUIREDCOMPANIES:

    In case of an Bidder Company, formed after mergerand / or acquisition of other companies, pastexperience and other antecedents of themerged/acquired companies will be considered forqualification of such Bidder Company providedsuch Bidder Company continues to own therequisite assets and resources of the merged/acquired companies needed for execution andsuccessful implementation of the work package putto tender.

    (E) Land Arrangement including Land for evacuationof power :

    The bidder shall have any of the followingarrangement for having land with clear title and free

    (II) INSTRUCTION TO BIDDERSA. Introduction

    NHPC Limited, a leading Public Sector Enterprise of Govt. of India, hereinafter referred to as theEmployer, responsible for Planning, Design, Construction, Operation and Maintenance ofHydroelectric Power Projects has recently diversified into wind power projects. It intends toimplement EPC Contract for 50 (+5%) MW Capacity Wind Power Project at one location in anyof the states of Tamilnadu, Andhra Pradesh, Maharashtra, Madhya Pradesh or Gujarat and with itscomprehensive Operation and Maintenance for ten years referred to as the Project by DomesticCompetitive Bidding.

    1. Profile ofNHPC

    1.1) NHPC Limited, a leading Public Sector Enterprise of Govt. of India,hereinafter referred to as the Employer, responsible for Planning,Design, Construction, Operation and Maintenance of HydroelectricPower Projects has recently diversified into wind & Solar powerprojects. It intends to implement 50 MW Solar Power Project(s) inthe state of Tamilnadu, with its O&M for ten years. referred to asthe Project by Domestic Competitive Bidding.

    2. EligibleBidders

    2.1 Eligibility and Qualifying Requirement of BiddersThe invitation of bid is open to all domestic bidders who meet thefollowing qualification criteria / requirement as a whole:-(A) Technical Criteria:

    (i) The bidder should have designed, supplied, erected andcommissioned SPV based grid connected / interactive SolarPV power plant(s) of cumulative installed capacity not lessthan 20MW in India during the last 5 years ending date ofNIT.

    (ii) Out of which at least one Solar PV plant of not less than 5 MWcapacity must have been in successful operation for at leastsix(6) months as on the date of NIT.

    (B) Financial Criteria:(i) Annual turnover of the bidder should be minimum of Rs.120

    crores in any one of the last three preceding financial yearsending 31stMarch i.e., FY 2014-15. FY 2013-14, &2012-13

    (ii) The Net worth of the bidder should be positive for lastfinancial year as per audited Annual accounts i.e., for FY2014-2015.

    (The Net worth shall be calculated based on subscribed and paidup Share Capital plus Share Premium plus Free Reserves plusUnallocated balance/ Surplus amount of Profit & Loss Accountless (a) Expenses not written off (b) Accumulated Loss in Profit& Loss Account if not reduced from Reserves & Surplus.     In case, where Audited financial results for the immediately precedingyear are not available, then a statement of account as on the closingdate of the immediately preceding financial year depicting theTurnover and Net worth (calculated as per laid down criteria) dulycertified by their Statutory Auditor carrying out the statutory auditshall be enclosed with the copy of appointment letter of the statutoryauditor.

    (C) Nature Of BiddersBidder should be a single entity.

    (D) BIDS BY MERGED/ACQUIRED:In case of an Bidder Company, formed after merger and / oracquisition of other companies, past experience and otherantecedents of the merged/acquired companies will beconsidered for qualification of such Bidder Company providedsuch Bidder Company continues to own the requisite assets andresources of the merged/ acquired companies needed forexecution and successful implementation of the work packageput to tender.

    (E) Land Arrangement including Land for Evacuation of Power :The bidder shall have any of the following arrangement forhaving land with clear title and free from all encumbrances,charges, liens, encroachments or litigation and not subjectmatter of acquisition for any other purpose:-

    a) The bidder already having possession of land in record ofrights in his own name:

    Copy of registered lease for Government land / sale deed incase of land under ownership shall be furnished with the bidalong with latest copy of title paper (jamabandi) and non-encumbrance certificate in original by the sub-registrar andlegal search report ( for at least 33 years) from revenuerecords duly attested by revenue authority and associatedlegal vetting. However, the latest non-encumbrancecertificate in original counter signed by the Registrar / sub-registrar should be submitted prior to price bid opening. Thepermission from competent authority for use of the land fornon-agricultural purposes should be obtained by the bidder,as per the state policy, wherever applicable, for private land.A certified English translation from an approved translator incase above land documents are in languages other thanEnglish and Hindi shall also be furnished.

    b) The bidder already having agreement duly notarized with athird party (an individual or company) who is / are alreadyhaving possession of land in his / their own name:

    Copy of lease for Government land / sale deed in case of landunder ownership (for at least 30 years) with such a third partyshall be furnished with the bid or a copy of Agreement toSell (ATS) signed between Third Party (the land aggregatoror land holding company) and the land owner/farmer alongwith the MOU signed between the Bidder and such ThirdParty. The MOU between the Bidder and the Third Party (anIndividual or a Company) shall contain the provision fortransfer of land in favour of Employer without any additionalcost. The bidder shall furnish land details, agreement ofbidder duly notarized with third party with a commitment totransfer such land to Employer without any cost to theEmployer. A certified English translation from an approvedtranslator in case above land documents are in languagesother than English and Hindi shall also be furnished.

    c) In case of Government land, bidder already having allotmentletter of the land for setting up of Solar power projectthereon, in bidders own name or in the name of third party(an individual or company) by the competent authority:

    If such allotment letter is not available then recommendationfor allotment of land for setting up of Solar power projectfrom the nodal agency will be considered subject to receiptof allotment letter before price bid opening. The bidder shallfurnish land details, copy of allotment letter, agreement ofbidder duly notarized with third party with a commitment totransfer such land to Employer without any considerationwith his bid.

    d) In case of Forest land, the bidder already having in principleapproval of MoEF, Govt. of India, either in his favour or infavour of third party for diversion of offered Forest land foruse in implementation of Solar power projects underprovisions of Forest (conservation) Act, 1980:

    The bidder shall furnish land details, copy of in principalapproval of MoEF, Govt. of India, agreement of bidder dulynotarized with third party with a commitment to lease / sublease such land to Employer without any consideration withhis bid.

    In addition, the bidder shall give an undertaking for dischargingthe obligations and complying with the directives given by

    MoEF in its approval letter within completion time of theproject.

    e) The bidder shall submit a documentary evidence fromtransmission utility for availability of Power potential in thenearby substation for evacuation of Power from the SolarPlant to the grid.

    (F) Joint Ventures/Consortium are not allowed2.2 The bidder should not have been banned/de-listed/black

    listed/debarred from business by any PSU/Govt. Department duringlast 3 years on the grounds mentioned in para 6 of Guidelines onBanning of Business dealings (Annex-A) to Integrity Pact, ITB Clause32.1 of Tender Document. Self-declaration in this regard is to besubmitted as per enclosed Form-10 specified in Section-5 (Forms &Procedure).

    3. EligiblePlant,Equipmentand Services

    For the purposes of these bidding documents, the word Facilities means theplant and equipment to be supplied and installed, together with the services tobe carried out by the Contractor under the contract including design. The wordsplant and equipment, installation services, etc., shall be construed inaccordance with the respective definitions given to them in the GeneralConditions of Contract.

    4. Cost ofBidding

    The Bidder shall bear all costs associated with the preparation and submissionof its bid, and the Employer will in no case be responsible or liable for thesecosts, regardless of the conduct or outcome of the bidding process.

    B. The Bidding Documents

    5. Content ofBiddingDocuments(or BidDocuments)

    5.1 The Facilities required, bidding procedures, contract terms andtechnical requirements are prescribed in the bidding documents. Thebidding documents include the following:

    5.2 The Bidder is expected to examine all instructions, forms, terms,technical specifications and other information in the biddingdocuments. Failure to furnish all information required by the biddingdocuments or submission of a bid not substantially responsive to thebidding documents in every respect will be at the Bidders risk andmay result in rejection of its bid

    6. Clarificationof BiddingDocuments

    6.1 A prospective Bidder requiring any clarification of the biddingdocuments may notify the Employer to Tender Inviting Authority inwriting or by e-mail or facsimile at the address indicated in theBidding Data.

    The Employer will respond during Pre-bid Conference to any requestfor clarification or modification of the bidding documents. If deemedfit, written copies of the Employers response (including anexplanation of the query but without identifying the source) will besent after Pre-bid Conference to all prospective Bidders who havepurchased the bidding documents.

    6.2 Pre-Bid conference:The Bidder or his authorised representatives are invited to attend Pre-bid Conference which will take place at the address given below:NHPC Ltd.NHPC Office ComplexSector, 33, Faridabad - 121003Haryana, INDIA.

    The pre-bid conference shall be held at the venue mentioned aboveon 30.06.2015 at 11:00Hrs

    The purpose of the conference will be to clarify any issues regardingthe Bidding Documents in general and the Employers Requirements(Technical Specification) in particular.

    Prospective bidders may submit their queries, if any, by email / courier/ fax at address stated in Bidding Data at least three days before the pre-bid meeting so that the same can be replied during the meeting. anymodifications of the Bidding Documents, which may become necessaryas a result of the pre-bid conference, shall be made by the Employerexclusively through an amendment pursuant to ITB Clause 7.

    Non-attendance at the pre-bid conference will not be a cause fordisqualification of a bidder.

    7. Amendmentof BiddingDocuments

    7.1 At any time prior to the deadline for submission of bids, the Employermay, for any reason, whether at its own initiative, or in response to aclarification requested by a prospective Bidder, amend the biddingdocuments by issuing Addenda.

    7.2 Any Addendum thus issued shall be part of the bid documents and shallbe communicated through the portalhttps://www.mstcecommerce.com. Bidders are advised to visit theportal regularly before the deadline for submission of bids. Theamendments to the bid documents will be binding on the prospectivebidders and the notification of the amendment communicated throughportal, shall be deemed to be construed that such amendment(s) to thebid documents have been taken into account by the bidder in itsapplication.

    7.3 In order to afford prospective Bidders reasonable time in which to takethe amendment into account in preparing their bid, the Employer may,at its discretion, suitably extend the deadline for the submission of bidsand notify through press notification as well as on portalhttps://www.mstcecommerce.com/eprochome/nhpc where allprospective bidders may see the extended deadline.

    C. Preparation of Bids8. Language of

    BidThe bid prepared by the Bidder and all correspondence and documentsrelated to the bid exchanged by the Bidder and the Employer shall be writtenin English language, provided that any printed literature furnished by theBidder may be written in another language, as long as such literature isaccompanied by a translation of its pertinent passages in English language,in which case, for purposes of interpretation of the bid, the translation inEnglish shall govern.

    9. DocumentsComprisingthe Bid

    9.1 The bid submitted by the Bidder shall comprise the followingdocuments:(a) Bid Form duly completed and signed by the Bidder, together

    with all Attachments identified in ITB Sub-Clause 9.3 below.(b) Price Schedules duly completed by the Bidder.

    9.2 Deleted9.3 Each Bidder shall submit with its bid the following attachments:

    (a) Attachment 1: Bid SecurityA bid security furnished in accordance with ITB Clause 13.

    (b) Attachment 2: Power of AttorneyA power of attorney along with Board resolution for authorizingthe executants for issuing Power of Attorney, duly authenticatedby a Notary Public, indicating that the person(s) signing the bidhas the authority to sign the bid and the bid is binding upon theBidder during the full period of its validity in accordance withITB Clause 14.

    (c) Attachment 3 : Bidders eligibility and Qualifications

    The Bidder shall furnish requisite documents / information insupport of meeting the qualification requirement as stipulatedunder ITB clause 2.1 and as per format at Annexure-3a & 3battached with Section-0 (ITB).

    (d) Attachment 4: Eligibility and Conformity of the Facilities andBidding DocumentsDocumentary evidence established in accordance with ITBClause 3 that the Facilities offered by the Bidder in its bid areeligible and conform to the bidding documents.The documentary evidence of the eligibility of the Facilitiesshall consist of a statement on the country of origin of the plantand equipment offered, which shall be confirmed by a certificateof origin issued at the time of shipment.

    The documentary evidence of the conformity of the Facilities to theBidding Documents may be in the form of literature, drawings &data, and shall furnish:i) all the Bidding Documents as per ITB Clause 5.1 duly signed

    and stamped on each page as a proof of its acceptance exceptthe variation/deviations mentioned in Attachment-6 (withoutcost of withdrawal) and Attachment-6A (with cost ofwithdrawal).

    ii) all detailed technical information & data and GuaranteedTechnical Particulars duly filled in as per the requirement ofTechnical Data Sheets (Section-4) and

    iii) a list giving full particulars, including available sources, of allspare parts, special tools, etc., necessary for the proper andcontinuous functioning of the Facilities throughout their life,following completion of Facilities in accordance withprovisions of contract.

    iv) A list of Tools & Tackles shall be submitted along with thebid for reference purposes. However, such tools & tacklesshall not be required to be supplied to Employer but shall bemade available as & when required for erection / O&Mactivities of this project.

    Bidders shall note that standards for workmanship, materials andequipment designated by the Employer in the bidding documents areintended to be descriptive (establishing standards of quality andperformance) only and not restrictive. The Bidder may substitutealternative standards, brand names and/or catalogue numbers in itsbid, provided that it demonstrates to the Employers satisfaction thatthe substitutions are substantially equivalent or superior to thestandards designated in the Employers Requirements (TechnicalSpecifications).

    (e) Attachment 5: Subcontractors/Vendors Proposed by the Bidder

    i) The Contractor shall preferably supply the components from thePreferred Make List at Attachment-5A (Section 5: Forms &Procedures).

    ii) If the Bidder intends to propose Sub-contractors / vendors inaddition to those indicated in Attachment-5 under heading A,he may do so but in that case these shall be BIS/IEC/ASTM/DINapproved and are indicated in TDS: 4, the Bidder shall furnish thedetails of the name, nationality and documentary evidences(credentials etc.) at the time of submission of Bid and/or duringthe currency of Contract as per the provisions of GCC Clause No.19.1 (Section-2A). Quoted rates and prices will be deemed toapply to whichever Subcontractor is appointed, and no adjustmentof the rates and prices will be permitted.The Bidder shall be responsible for ensuring that any plant,equipment or services to be provided by the Subcontractorcomply with the requirements of ITB Clause 3 and ITB Sub-Clause 9.3, Attachment- 4.The Employer reserves the right to delete any proposed Sub-contractors / vendors from the list in case the proposed Sub-contractors / vendors are not meeting specific qualifying criteriafor the corresponding equipment / item mentioned in Attachment-5 under heading B prior to award during Pre Award Discussions/ Post tender Negotiation (PTN).The Appendix- 5 forming part of Contract Agreement shall becompleted by listing the approved Sub-contractors/Sub-vendorsfor each item.

    (f) Attachment 6: DeviationsDeviations, if any, from the terms and conditions shall be listedONLY in Attachment 6 to the bid without mentioning its cost ofwithdrawal. However, all such deviations shall also bementioned in Attachment 6A along with its cost of withdrawal.The attention of the Bidders is drawn to the provisions of ITBSub-Clause 22.2 regarding the rejection of bids that are notsubstantially responsive to the requirements of the biddingdocuments.

    Bidders attention is also drawn to the provisions of ITB Sub-Clause 22.1 which requires the bidders to indicate the cost ofwithdrawal for deviations proposed, if any, failing which cost ofwithdrawal of such deviations shall be treated as NIL.

    Bidders may further note that except for the deviations listed inAttachment 6 and further in Attachment 6A, the bid shall bedeemed to comply with all the requirements in the biddingdocuments and the bidders shall be required to comply with allsuch requirements of Bidding Documents without any extra cost

    to the Employer irrespective of any mention to the contrary,anywhere else in the bid.

    (g) Attachment 7: Details of local representation as per formatenclosed in Bidding Documents.

    (i) Attachment 8: Detailed Report on Site Offered for Proposed SolarPower Project

    The Bidder shall submit detailed write-up along with data assought under various sections of the Bidding Documents.

    (j) Attachment-9: Details of bought out items under directtransaction and its value.Details of bought out items under direct transaction and its valuefor the purpose of issue of Sales Tax declaration Form pursuantto GCC clause 14.2.

    10. Bid Form andPriceSchedules

    The Bidder shall complete the Bid Form and the appropriate Price Schedulesfurnished in the Bidding Documents as Section-5 (Forms & Procedure) ofthe Bidding Documents, following the requirements of ITB Clauses 11 and12.

    11. Bid Prices 11.1 Unless otherwise specified in the Employers Requirements(Technical Specifications), Bidders shall quote for the entireFacilities on a single responsibility basis such that the total bidprice covers all the Contractors obligations mentioned in or to bereasonably inferred from the bidding documents in respect of thedesign, manufacture, including procurement and subcontracting (ifany), delivery, construction, installation and completion of theFacilities. This includes all requirements under the Contractorsresponsibilities for testing and commissioning of the Facilities and,where so required by the bidding documents, the acquisition of allpermits, approvals and licenses, etc.; the operation, maintenance andtraining services and such other items and services as may bespecified in the bidding documents, all in accordance with therequirements of the General and Special Conditions of Contract.

    11.2 Bidders are required to quote the price for the commercial,contractual and technical obligations outlined in the biddingdocuments. If a Bidder wishes to make a deviation, such deviationshall be listed in Attachment 6 of its bid. The Bidder shall alsoprovide the price, if any, for withdrawal of such deviations inAttachment 6A.

    11.3 Bidders shall give a breakdown of the prices in the manner and detailcalled for in the Price Schedules or BOQ.Separate numbered Schedules shall be used for each of the followingelements.Schedule No. 1 Schedule of Price for Ex works Supply of

    11.4 In the Schedules, Bidders shall give the required details and abreakdown of their prices as follows:(a) Plant including Transmission Network complete in all respect

    , Type Tests and Specified Spares manufactured or fabricatedwithin the Employer's country (Schedule No. 1) shall be quotedon EXW (Ex-Factory, Ex Works, Ex Warehouse or off-the-shelf, as applicable) basis and shall be inclusive of all costsas well as duties and taxes paid or payable on componentsand raw materials incorporated or to be incorporatedin the facilities. However, Excise Duty, Sales Tax (but notsurcharge in lieu of Sales Tax), Local Tax including EntryTax in respect of direct transactions between the Employerand the Bidder shall not be included in the Ex-Works Price andshall be quoted separately in Schedule No. 5. Due credit underthe CENVAT Scheme as per the relevant Govt. policieswherever applicable shall be taken into account by the bidderwhile quoting his price. Further, taxes and other levies, if any,on type tests on equipment with respect to directtransaction shall also be quoted separately inSchedule No. 5.The Taxes, Duties and Levies quoted by the bidder inSchedule-5 shall be payable in the Employers Country asof Twenty Eight (28) days prior to the deadline forsubmission of Bid. The C-Form shall be issued by theEmployer.

    Wherever quantity has been specified as percentage (%), thequantity of Specified spares to be provided by the bidder shallbe the specified percentage (%) of the total population requiredto meet the specification requirements. In case the quantity ofSpecified spares so calculated happen to be a fraction, the sameshall be rounded off to next higher whole number. In case themain population of any item is only one no., then the sparequantity shall also be one no. overriding the requirementindicated in Schedule No.1.

    Wherever the quantities have been indicated for each type, size,thickness, material, radius, range etc. these shall cover all theitems supplied and installed and the breakup for these shall besubmitted in the bid.

    In case spares indicated in the list are not applicable to theparticular design offered by the bidder, the bidder should offerspares applicable to offered design with quantities generally inline with approach followed in Schedule No.1.

    (b) Local Transportation, Insurance , and other local costsincidental to delivery of the Plant including SpecifiedSpares, Transmission Network and installation services,

    Testing and Commissioning including prices for all labour,contractors equipment , temporary works, consumables andall matters and things of whatsoever nature etc. identifiedin the Bidding Documents, as necessary for the properexecution of the Installation Services shall be quotedseparately in Schedule -2, rates quoted in this schedule shallbe inclusive of all taxes, duties, levies and charges payableincluding Works/Service Tax etc., if applicable in Employerscountry as of Twenty Eight (28) days prior to deadline forsubmission of bids. However, for information the type oftaxes and duties considered in their Bid Prices in this PriceSchedule No. 2 may be indicated separately as Notes to thisschedule.

    (c) Price of Land complete in all respect shall be quoted priceschedule No.3.The Prices in this schedule shall be quoted inclusive of allapplicable statutory and legal charges as on date 28 days priorto Bid Submission date. The Bidder shall mention the Taxes &Duties and their corresponding rate considered while quotingthe prices as a note to this schedule.

    (d) Comprehensive Operation & Maintenance charges including alltaxes and duties shall be quoted by the Bidder in Price ScheduleNo. 4.The Prices in this schedule shall be quoted inclusive of allapplicable taxes, duties, fees, Octroi, royalty, levies etc., as ondate 28 days prior to Bid Submission date. The Bidder shallmention the Taxes & Duties and their corresponding rateconsidered while quoting the prices as a note to this schedule.

    (e) All applicable taxes, duties, other levies and charges etc. inrespect of direct transaction between the Employer and theContractor shall not be included in Ex-Works prices but shall bequoted separately in Schedule No. 5 only. The Bidders areadvised to ascertain the applicability of such taxes, duties, otherlevies and charges etc. at their own level as the totalreimbursement of all taxes & duties applicable on PriceSchedule No. 1 shall be regulated according to Price Schedule-6. The C-Form shall be issued.The Employer, as an importer, shall furnish promptly necessarycertifications and documents as may be required to be furnishedby the importer for the purpose of customs clearance.

    11.5 The terms EXW shall be governed by the rules prescribed in thecurrent edition of Incoterms, published by the International Chamberof Commerce, 38 Cours Albert 1er, 75008 Paris, France.

    11.6 Price Adjustment shall not be applicable for EPC as well as Operation& Maintenance works.

    11.7 Exemption of Excise Duty on Items Manufactured for GridConnected Solar Photo Voltaic Power Generation Projects:As per extant guidelines of Department of Revenue, Ministry ofFinance, Govt. of India, the benefits of exemption of Excise Duty(applicable on items manufactured for grid connected Solar PhotoVoltaic Power Generation Projects) may be available for the items tobe supplied under the contract. Bidder may appraise itself of therelevant policies and quote accordingly. The Employer shall issue therequisite certificate as specified in the relevant policy of Govt. of India.However, if the certificate is required to be issued by any department/ministry of Government of India or State Government where theProject is located other than Employer, the Bidder shall itself beresponsible for obtaining such certificate from the concerneddepartment/ministry. In such a case, the Employer may issuerecommendatory letter to the bidder.

    The Bidder shall be solely responsible for obtaining the benefits ofexemption on excise duty on the items to be supplied under the contractfrom the Govt. of India. In case of failure of the bidder to receive thebenefits partly or fully from Govt. of India or in case of delay in receiptof such benefits, the Employer shall neither be responsible nor liablein this regard in any manner whatsoever.

    11.8 Concessional Custom Duty for solar Photo Voltaic PowerGeneration Projects:As per relevant Notifications of Govt. of India, the benefits of

    concessional rate of custom duty (applicable for solar Photo VoltaicPower Generation Projects) may be available for the import of rawmaterials, components, subassemblies and equipments, if any, requiredfor manufacture of equipment/plant/spares to be supplied under thecontract. Bidder may appraise himself of the relevant policies andquote accordingly. The Employer shall issue the requisite certificate asspecified in the relevant policy of Govt. of India. However, if thecertificate is required to be issued by any department/ministry ofgovernment of India or State Government where the Project is locatedother than Employer, the Bidder shall itself be responsible forobtaining such certificate from the concerned department/ministry. Insuch a case, the Employer may issue recommendatory letter to thebidder. To enable the Employer to issue suchcertificate/recommendatory letter, the Bidder shall furnish the requisitedata.

    In addition, the Bidder may also like to ascertain availability of CustomDuty benefits available for import of construction equipment, if any,as per the extant Customs Acts & Notifications of Govt. of India. Thebidder shall furnish along with their bid, declaration to this effect.

    However, the bidders shall themselves be solely responsible foravailing such benefits which they have considered in their bid. In caseof failure of the bidder to receive the benefits partly or fully from the

    Govt. of India and/or in case of delay in receipt of such benefits and/orwithdrawal of such benefits by the Govt. of India, the Employer shallneither be responsible nor liable in this regard in any mannerwhatsoever.

    12. BidCurrencies

    Bids shall be furnished in Indian Rupee only

    13. Bid Security 13.1 Bid shall be accompanied by a bid security / EMD of requisite amountspecified in a sealed envelope as stipulated in NIT / Bidding data.

    13.2 The bid security shall, at the Bidders option, be in the form of acrossed Demand Draft in favour of NHPC Limited, Sector33,Faridabad, Haryana (India) payable at Faridabad or a bank guarantee.The bid security in the form of a bank guarantee and for the amountsexpressed in Indian Rupees shall be issued by an Indian Nationalized /Scheduled Bank or a Foreign Bank notified as a Scheduled Bank underthe provisions of the Reserve Bank of India Act' through any of itsBranches in India. However, the issuing Bank shall submit anunstamped duplicate copy of Bank Guarantees directly by registeredpost (A.D.) to the Employer (authority inviting tenders) at the addressmentioned at Para 1.10 of NIT with a forwarding letter.The format of the bank guarantee shall be in accordance with the formof bid security included in the bidding documents; other formats maybe permitted subject to prior approval of the Employer. Bid securityshall remain valid for a period of thirty (30) days beyond the originalbid validity period, and beyond any extension subsequently requestedunder ITB Sub-Clause 14.2.

    13.3 Any bid not accompanied by an acceptable bid security shall berejected by the Employer as being non responsive.

    13.4 The bid securities of unsuccessful bidders will be returned aspromptly as possible, after 30 days of Notification of Award or expiryof the Integrity Pact.

    13.5 The bid security of the successful bidder will be returned when thebidder has signed the Contract, pursuant to ITB Clause 30, and hasfurnished the required performance security, pursuant to ITB Clause31.Interest or any other charges , whatsoever, will not be payable bythe Employer on bid security amount.

    13.6 The bid security may be forfeited(a) if the Bidder withdraws its bid during the period of bid validity(b) if the Bidder adopts corrupt or fraudulent or collusive or

    coercive practices or defaults commitments under Integrity Pact(c) Deleted(d) in the case of a successful Bidder, if the Bidder fails within the

    specified time limit(i) to sign the Contract, in accordance with ITB Clause 30, or

    (ii) to furnish the required performance security, in accordancewith ITB Clause 31.

    14. Period of BidValidity

    14.1 Bids shall remain valid for a period of one hundred twenty (120) daysafter the deadline for bid submission prescribed by the Employer forthe receipt of bids, pursuant to ITB Sub-Clause 17.1. A bid valid fora shorter period may be rejected by the Employer as being nonresponsive.

    14.2 In exceptional circumstances, the Employer may solicit the Biddersconsent to an extension of the bid validity period. The request andbidders responses thereto shall be made on portal. If a Bidder acceptsto prolong the period of validity, the bid security shall also be suitablyextended. A Bidder may refuse the request without forfeiting its bidsecurity. A Bidder granting the request will not be required norpermitted to modify its bid.

    15. Format andSigning of Bid

    The Bid shall be signed /digitally signed for hard copy / online submission, asthe case may be by a person duly authorized to sign on behalf of the Bidder asbelow:

    i) If the tender is submitted by an individual, it shall be signed by theproprietor.

    ii) If the tender is submitted by a proprietary firm, it shall be signed by theproprietor.

    iii) If the tender is submitted by a firm in partnership, it shall be signed by apartner holding the power of attorney of the firm for signing the tender,in which case a certified copy of the power of attorney shall accompanythe tender. A certified copy of the partnership deed duly registered andcurrent business address of all the partners of the firm shall alsoaccompany the tender.

    iv) If the tender is submitted by a limited company or a limited corporation,it shall be signed by a duly authorized person holding the power ofattorney or any other legally valid document for signing the tender, inwhich case a certified copy of the power of attorney or any such legallyvalid document shall accompany the tender. Such limited company orcorporation may be required to furnish satisfactory evidence of itsexistence before the contract is awarded.

    v) All witnesses and sureties shall be persons of status and their full names,occupations and addresses shall be stated below their signatures.

    D. Submission of Bids

    16. Submission ofBids

    The Bid shall be prepared and submitted online in two parts as statedhereunder at sub clause 16.1 Submission of the online bid by any othermeans shall not be accepted by the Employer in any circumstances. Furtherhard copies shall be submitted offline as stated hereunder at sub clause 16.2.In case of Pre-bid meeting to be held as per clause 6.2 of ITB, the start dateof submission of bids shall be from next day of pre-bid meeting. Thedeadline for submission of bids is indicated in Bidding Data.

    Bidders are to submit various details/ document along with copies ofcertificates in support of their claims for meeting the qualifyingrequirements.

    16.1 Online Submission:Part I (Technical Bid): No bid price related information shall bementioned in the Technical Bid. The following documents to bescanned & uploaded (in pdf file) by the date & time as specified inBidding Data on the MSTC portal:

    (i) Bid Form as per Sub-Clause 9.1 & Clause 10 of Section-0 (ITB)of bid document.

    (ii) Attachment 1 to 8 as specified in Sub-Clause 9.3 of Section-0(ITB) of bid document.

    (iii) Duly signed Integrity Pact as per Clause 33 of Section-0 (ITB) ofbid document.

    (iv) Such other certificates/documents as defined in Section-0 (ITB)of bid document.

    16.2 Part-II: Financial Bid or Price Bid and shall comprise of PriceSchedules and shall be submitted online on MSTC Portal as under:i) The Price bid (Schedule-6: Grand Summary) is to be submitted

    in Electronic Form on the portal. Submission of the same by anyother means shall not be accepted by the Employer in anycircumstances.

    ii) The total price quoted separately in Price Schedules -1 to 5 shallbe carried to Price Bid (Schedule -6: Grand Summary) andentered in the corresponding schedules listed therein. Utmostcare must be taken to fill the Price Bid while carrying total figuresfrom Schedule 1 to 5. In case of discrepancy between the pricequoted in Price Bid (Schedule-6: Grand Summary) andindividual Price Schedules 1 to 5, the Price quoted in Price Bid(Schedule -6 Grand Summary) shall be considered for evaluationof bid to arrive at lowest competitive Bid. However, at the timeof award of work to the lowest bidder, the lesser of the amount(s)quoted in Price Schedule(s) 1 to 5 and quoted against respectiveschedules of Price Bid (Schedule-6 : Grand Summary) shall beconsidered to arrive at Contract Price.

    iii) Price Schedule-1 to 5, Attachment-6A (List of Deviation withcost of withdrawal (if any) & Attachment-9 (Details of Boughtout Items) shall be uploaded by the Bidder in Excel format withpassword protection feature and password of the excel file shallbe furnished in a separate sealed envelope superscribingPASSWORD FOR PRICE BID with Offline Submission as

    described hereunder at Sub-Clause 16.3(i). The Price schedule1 to 5 , Attachment-6A (List of Deviation with cost ofwithdrawal (if any) & Attachment-9 (Details of Bought outItems) uploaded in Excel Sheets shall be opened along with pricebid.

    iv) In case, if any cell is left blank and no rate is quoted against anyof the item(s) by the bidder, rate of such item(s) shall be treatedas "0" (Zero) and considered included in the cost of the Bid andno separate claim whatsoever will be entertained on this account.

    v) The bidders in their own interest are advised to be very carefulwhile filling up the price bid in Electronic Form.

    vi) Bidders will not be allowed to revise the quoted prices on theirown, once Price Bids have been opened by the Employer.

    vii) The bidder shall quote their prices on Firm basis in all respects.The bidder shall fill up price bid in Electronic Form consideringall applicable taxes & duties as prevailing 28 days prior to lastdate of submission of Price-bid.

    viii) Bids not covering the entire scope shall be treated as incompleteand hence may be rejected.

    ix) Price bid of bidders, whose techno-commercial bids are notconsidered acceptable to the Employer, shall not be opened andwill be archived unopened. The decision of the Employer is finaland binding in this regard.

    x) The bidder shall quote the Price of EPC Works vis-a-vis Price forO&M charges in a balanced manner. If the quoted price is foundto be unbalanced, the payment of EPC Works shall be withheldin the manner as stated under Sub-Clause 13.3 of GCC.

    16.3 Offline Submission:Bidder shall submit the hard copy (ies) of documents as mentionedhereunder, at the address mentioned in Bidding Data by the date &time as specified in Bidding Data or any amendment made thereofin pursuant to Clause 7 of Section-0(ITB). The envelope receivedlate or after the prescribed due date and time will not be entertained.NHPC will not be responsible for any postal delay.i) Password for Price Schedule-1 to 5 , Attachment-6A (List of

    Deviation with cost of withdrawal (if any) & Attachment-9(Details of Bought out Items) uploaded by the Bidder in Excelformat with password protection feature in pursuant to Sub-Clause 16.2 (iii) as above in a separate sealed envelopesuperscribing PASSWORD FOR PRICE BID

    ii) DD towards cost of bidding document as mentioned in NoticeInviting Tender.

    iii) DD/BG towards Bid Security as mentioned in Clause No. 13.2of ITB.

    iv) Copies of successful completion certificate(s) ofworks/assignments.

    v) Duly signed Integrity Pact as per Clause 33 of ITB.vi) Certified copy of the partnership deed duly registered, as per

    Clause 15 (iii), if applicable.vii) Power of Attorney along with Board resolution for authorizing the

    executants for issuing Power of Attorney Clause 15 (iv), ifapplicable.

    viii) Annual Reports for three years i.e. 2012-13, 2013-14 & 2014-15.

    16.4 The bid submitted shall become invalid If any discrepancy is noticedbetween the documents as uploaded at the time of submission of bid(clause 16.1 ) and hard copies as submitted physically to the TenderInviting Authority (clause 16.3 ).

    17. Deadline forSubmission ofBids

    a) Complete Bids must be uploaded at the portal and hard copies of thedocuments mentioned in Clause 16, Part A-II of ITB must be received bythe Employer at the address specified at Para 1.10 in NIT and in Biddingdata sheet not later than the time and date stipulated in the Bidding Data.

    In the event of the specified date for the submission of offline bids oropening of on line bids being declared a holiday for the Employer, the sameshall be carried out at the specified time on the next working day. However,the date and time for online submission of the Bids shall continue to be thedate and time specified or amendment notified in this regard.

    b) The Employer may, in exceptional circumstances and at its discretion,extend the deadline for submission of bids by issuing an Addendum inaccordance with Clause 7.1 of ITB, in which case all rights and obligationsof the Employer and the bidders previously subject to the original deadlinewill thereafter be subject to the deadline as extended.

    c) The Employer shall not be responsible if bid could not be opened withinreasonable time for reasons attributable to the Bidder. In such a case, thebid shall be sent unopened to Archive on the portal and shall not beconsidered at all any further and bid security of such bidder may beforfeited. In case, bid could not be opened within reasonable time forwhatsoever reasons, the bid shall be sent unopened to Archive on theportal and shall not be considered at all any further.

    18. Late Bids a) Online submission of the bid will not be permitted on the portal after expiryof submission time and the bidder shall not be permitted to submit the sameby any other mode. Similarly hard copies of the Off line documents, ifreceived by the Employer after the deadline for submission of Bidsprescribed in Bidding Data, then it will be considered as Late Bidnotwithstanding the fact that the bidder has uploaded the bid online within

    the stipulated deadline. In such a case, the uploaded online bid on the portalshall be considered as non-responsive and shall not be processed further.

    a) Any alteration/ modification in the Bid or additional information suppliedsubsequently to the Bid due date and time, unless the same has beenexpressly sought for by the Employer, shall be disregarded.

    19. ModificationandWithdrawal ofBids

    No bid may be withdrawn or modified in the interval between the bidsubmission deadline and the expiration of the bid validity period specified inbid documents. Withdrawal or modification of a bid during this interval willresult in the bidder's forfeiture of its bid security and bid shall be considerednon-responsive.

    E. Bid Opening and Evaluation20. Opening of

    Bids byEmployer

    The Employer will open all bids (except the price bid part, which shall begoverned as per ITB Clause 16, Part B) in the presence of bidders designatedrepresentatives who choose to attend, at the time, date, and locationstipulated in the bid document. The bidders representatives who are presentshall sign a register evidencing their attendance.In the event of the specified date for the opening of bids being declared aholiday for the Employer, the bids will be opened at the appointed time onthe next working day.All important information and any such other details as the Employer at hisdiscretion may consider appropriate, will be announced by the Employer atthe opening. This shall include but may not be limited to the Bidders names,the Bid Prices including deviations, withdrawals, bid modifications, and thepresence (or absence) of bid security.

    21. Clarificationof Bids

    21.1 During bid evaluation, the Employer may, at its discretion, ask theBidder for a clarification of its bid. The request for clarification andthe response shall be in writing or email or through the portal, and nochange in the price or substance of the bid shall be sought, offered orpermitted.

    21.2 The Price schedules are to be filled in Electronic form at the portal.In case of any discrepancy in the calculations, the rates shall beconsidered final and the amount calculated by multiplying the ratewith quantity shall be considered as final. Wherever prices for itemsare left blank in the Price Schedules, it shall be deemed to have beenincluded in other items.

    21.3 The Employer may waive any minor infirmity, nonconformity orirregularity in a bid that does not constitute a material deviation,whether or not identified by the Bidder in Attachment 6 to its bid, andthat does not prejudice or affect the relative ranking of any Bidder asa result of the technical and commercial evaluation, pursuant to ITBClauses 23 and 24.

    21.4 Prior to the detailed evaluation, the Employer will determine whethereach Bid is prima facie complete and is substantially responsive to theBidding Documents. For purposes of this determination, asubstantially responsive Bid is one that conforms to all the terms,

    conditions and specifications of the Bidding Documents withoutmaterial deviations, objections, conditionality or reservations.A material deviation, objection, conditionality or reservation is one (i)that affects in any substantial way the scope, quality of performanceof the Contract; (ii) that limits in any substantial way and/or isinconsistent with the Bid Documents or the Employer's rights or thesuccessful Bidder's obligations under the Contract; or (iii) whoserectification would unfairly affect the competitive position of otherBidders who are presenting substantially responsive Bids.

    22 PreliminaryExaminationof Bids

    22.1 In particular, Bids with deviations from, objections to or reservationson provision such as those concerning Bid Security/EMD, Bidvalidity, Defects Liability, Indemnity and on provisions mentionedbelow, if any, will be treated as non-responsive.Bids containing deviations from critical provisions relating to GCCClause 5 (Governing Law), 6 (Settlement of Disputes), 12 (Terms ofPayment), 13.3 (Performance Security), 14 (Taxes and duties), 26.2(Completion Time Guarantee), 27 (Defects Liability), 28 (FunctionalGuarantees), 29 (Patent Indemnity), 30 (Limitation of Liability) andPrice Adjustment as per Appendix-2 (Forms & Procedures) will beconsidered as non-responsive.However, the bidders wishing to propose deviations to any of theprovisions other than those mentioned above, must provide in theAttachment-6 without cost of withdrawal and in Attachment 6A ofthe bid with cost of withdrawal of such deviations. If such deviationsare not priced, cost of withdrawal of such deviations shall be treatedas NIL. The evaluated cost of the bid shall include, in addition tothe costs described in ITB Clause 24, the cost of withdrawal of thedeviations from the above provisions to make the bid fully compliantwith these provisions.At the time of Award of Contract, if so desired by the Employer, thebidder shall withdraw these deviations listed in Attachment 6 andAttachment 6A at the cost of withdrawal stated by him in the bid. Incase the bidder does not withdraw the deviations proposed by him, ifany, at the cost of withdrawal stated by him in the bid, his bid will berejected and his bid security forfeited.The Employer's determination of a bid's responsiveness is to be basedon the contents of the bid itself without recourse to extrinsic evidence.

    22.2 If a bid is not substantially responsive, it will be rejected by theEmployer, and may not subsequently be made responsive by theBidder by correction of the nonconformity.

    23. Techno-commercialEvaluation

    The Employer will carry out a detailed evaluation of the bids previouslydetermined to be substantially responsive in order to determine whether thetechnical aspects are in accordance with the requirements set forth in thebidding documents. In order to reach such a determination, the Employerwill examine and compare the technical aspects of the bids on the basis ofthe information supplied by the bidders, taking into account the

    (a) overall completeness and compliance with Employers requirementsdeviations from the Employers requirements as identified inAttachment 6 to the bid; and quality, function and operation of anyprocess control concept included in the bid. The bid that does not meetminimum acceptable standards of completeness, consistency and detailwill be rejected for non-responsiveness.

    (b) achievement of specified performance criteria by the Facilities(c) type, quantity and long-term availability Specified and Recommended

    spare parts and maintenance services(d) any other relevant factors, if any, listed in the Bid Document or that the

    Employer deems necessary or prudent to take into consideration.e) validation of Minimum Guaranteed Generation by C-WET and certified

    MGG shall be considered for all purposes and bidder shall ratify thesame

    24. Price BidEvaluation

    24.1 (i) Price bids of only qualified and techno-commercially responsivebidders shall be opened.

    (ii) Price evaluation of the bids shall be carried out by calculatingoverall Project IRR (post tax)for the project life of 25 years withfollowing considerations:

    a) Total quoted Price in Price Schedule 1 to 3 furtherevaluated/corrected by the Employer.

    b) Total O&M charges for 25 years shall be worked out as under:(i) The O &M c ha rge s quoted by the bidders for 10 years

    as per price schedule-4 further evaluated/corrected by theEmployer.

    (ii) For calculation of O&M charges for the period from 11thto 25th year, the O&M Charges as per CERC norms forthe year 2015-16 with annual escalation of 5.72% shallform the basis of evaluation as described hereunder:

    * 13 Lacs/MW O&M Charges has been considered by escalating12.30 Lacs/MW (i.e. O&M charges notified by CERC for theYear 2014-15) by 5.72%

    c) The annual Insurance charges @ 0.14% of the capital costduring O&M for 25 years to be borne by Employer.

    d) Minimum guaranteed generation MGG) per annum for 25years as arrived by the Employer after effecting correctionsin the MGG furnished by the bidder. The reduction inMinimum guaranteed generation (MGG) per annum for theproposed site shall be considered @ 1% per annum for thefirst 10 years and reduced thereafter @ 0.67% per annumsuccessively from 11th to 25th year.

    Note:

    Estimated MGG per annum shall be worked out bythe bidder giving the effect of proposed configurationand solar insolation. Radiation Data to be consideredby the Bidder at proposed site (s) shall be vetted byEmployers Consultant (CWET) in advance.

    Necessary correction in the MGG furnished by the biddershall be carried out by the Consultant engaged by theEmployer and same shall be ratified by the bidder.

    The ratified MGG shall be considered for all purposeunder this bid.

    e) Fixed feed in tariff of INR 7.01 per kWh shall beconsidered for evaluation of IRR.

    f) Information / data furnished by the bidder in TechnicalData Sheets.

    g) Financing norms as follows:i) The debt equity ratio as 70: 30.ii) The cost of debt shall be at the rate 9.32% per annum.

    h) The following statutory levies will be considered

    Corporate tax as applicable on the last date of submissionof Bid or any extension thereof.

    Minimum alternate tax as applicable on the last date of

    submission of Bid or any extension thereof.

    i) The Employers Price evaluation of a bid will take intoaccount, the bid prices indicated in Price Schedule No. 1, 2,3, 4 & 5 and cost of withdrawal of deviations, if any,indicated in At t a c h me n t N o . 6 A . In case, no cost ofwithdrawal is mentioned against any deviation(s) indicatedin the Attachment No. 6 & 6A the same will be treated as Nil.

    The other deviations and omissions not identified asdeviations in Attachment No. 6 & 6A shall neither beconsidered for cost compensation nor for evaluation butthese deviation shall have to be withdrawn by the bidder atno extra cost to the Employer.

    The cost of land, land development of private land vis-a-visrevenue / forest land on lease for 25 (twenty five) years willbe treated at par for evaluation purpose.

    j) Rebates (discounts) offered, in any form of bid proposal oron the forwarding letter shall not be taken cognizance underany circumstances.

    k) The EPC cost quoted by the bidder
