Section3. CONDITIONSTOINTERCONNECT.
3.1 TheCustomermayinterconnectaGenerationFacilitytoAMP’sMunicipalPowerSupplySystemwiththespecificationsidentifiedintheGeneralConditionsapplicabletothisAgreementanddescribedwithmoreparticularityinAMP’sRulesandRegulations,bothofwhichareincorporatedintothisAgreement,asiffullysetforthherein.Inaddition,theCustomeragreesthat:
3.1.1 TheGenerationFacilityisintendedprimarilytooffsetpartorallofthe
Customer’sownelectricalrequirementsattheserviceaddress;
3.1.2 TheCustomerwillnotselltoanythirdpersonorotherwiseprovideelectricityfromtheGenerationFacilitytoanyrealestateparcel,premise,orlocationotherthanthepremisesthatarethesubjectofthisAgreement;
3.1.3 TheGenerationFacilityshallbeconstructed,installed,operatedandmaintained
asdescribedinthisAgreement;and
3.1.4 TheCustomerisan“EligibleCustomer-Generator”pursuanttoSection2827(b)oftheCaliforniaPublicUtilitiesCodeasnowineffectorasthesamemaybeamendedfromtimetotime.
Section4. INSURANCE.
TheCustomershallobtain,maintainandprovidetoAMPproofofcurrentinsurancepriortotheEffectiveDateandannuallythereafterontheanniversaryoftheEffectiveDateforthetermofthisAgreement.TherequiredinsuranceshallcovertheGenerationFacilityconsistentwiththespecificationsforcommercialorresidentialgenerationfacilitiessetforthinSection8oftheGeneralConditionsapplicabletothisAgreement.Inaddition,theCustomer’spolicyshallincludethefollowingendorsements:(1)additionoftheCityofAlameda,AMP,andtheirrespectiveofficers,officials,employeesandvolunteersasadditionalinsureds;(2)waiverofsubrogationagainsttheadditionalinsureds;and(3)namingoftheadditionalinsuredsaslosspayee.FailuretotimelysubmitsuchproofofinsurancetoAMP’ssatisfactionmayresultindisconnectionoftheGenerationFacilityfromtheAMPMunicipalPowerSupplySystemandterminationofthisAgreement.
Section5. APPLICABLETARIFFSANDOTHERREQUIREMENTS
5.1 ThisAgreementincorporatesthefollowingdocuments,asallmaybeamendedfrom

5.2 AMPmay,fromtimetotime,modifyitsRulesandRegulations,RiderNEM,RiderERG,andInterconnectAgreementGeneralConditions.AnysuchamendmentswouldrequireactionofthePublicUtilitiesBoardatadulynoticedpublicmeeting.AllamendmentstosuchdocumentswillbemadeavailableontheAMPwebsite.
5.3 IntheeventofanyconflictorinconsistencybetweenthedocumentsassociatedwiththisAgreement,theAMPdocumentthatcontrolsshallbeasfollows:(a)RulesandRegulationsgovernoverallotherdocuments;(b)RiderNEMandRiderERGgovernoverallotherdocumentsexcepttheRulesandRegulations;(c)InterconnectionAgreementGeneralConditionsgovernsoverallotherdocumentsexcepttheRulesandRegulations,RiderNEMandRiderERG;and(d)EligibleRenewableGenerationApplication,executedbytheCustomer,governsoverthisInterconnectionAgreement.
Section6. PAYMENTFORPOWER
AMPshallcompensatetheCustomerfornetsurpluselectricityinaccordancewithRiderNEM(ifavailable)_____orRiderERG_______(IftheNEMprogramisfullysubscribed).

(I) “EffectiveDate”meansthedatesetforthonpageoneoftheInterconnectionAgreement.

doesnotallowforinterconnectionoroperationofanygenerationfacilitiesdifferentthanthosedescribedtherein.TheGenerationFacilitymaynotberelocated,modifiedorconnectedtoAMP’ssystematanyotherlocationwithoutAMP’sexpresswrittenpermission.
SECTION3. INTERCONNECTION,OPERATIONANDMAINTENANCE
(A) Interconnection.
(1) TheCustomershallnotcommenceinterconnectiontoAMP’selectricsystem(paralleloperation)oftheGenerationFacilityuntilanInterconnectionAgreementhasbeenexecutedbyAMPandCustomer.
(2) AMP’sreviewandacceptanceofCustomerdocumentsinconnectionwithsuchapprovalshallnotwarrant,confirmorendorsetheCustomer’sGenerationFacilitydesign,orthedurability,safety,performance,adequacy,strength,compatibilityorreliabilityoftheGenerationFacility’sequipment.
(3) Metering.(a) TheCustomershalldeliverenergyfromtheGenerationFacilitytoAMPat
theEnergyMeter.
(b) AMPreservestherighttoinstalladditionalmeteringequipmentatcustomer’sexpense.AMPmayinstall,withtheconsentoftheCustomerwhichshallnotunreasonablybewithheld,anadditionalmeterormeterstomonitorthegenerationofelectricitybytheGenerationFacility.TheadditionalmeteringshallbeusedtoprovideinformationnecessarytoaccuratelybillorcredittheCustomer,ortocollectperformanceinformationontheGenerationFacilityforresearchorreportingpurposesrelativetoanEligibleRenewableGenerationFacility.
(4) TheCustomeragreestoallowAMPrepresentativestohaveaccesstoortotest
theGenerationFacilityatanytime.
(B) OperationandMaintenance.
(1) TheCustomershall,attheirsoleexpense,beresponsiblefor:
(a) Theconstruction,design,installation,operationandmaintenanceoftheGenerationFacility,withoutcosttoAMP,inaccordancewithapplicablelawandregulationsandinamannerconsistentwiththenormalandsafeoperationoftheMunicipalPowerSupplySystemownedandoperatedbyAMP,includingtheinstallationofanycontrol,protectiveandsafetydevices

andequipmentasAMPrequiresatthetimetheInterconnectionAgreementisexecutedorrequiredbyAMPinthefutureforparalleloperationoftheGenerationFacilitywithAMP’sMunicipalPowerSupplySystem;
(b) Alllegalandfinancialobligationsarisingfromtheconstruction,installation,
design,operation,andmaintenanceoftheGenerationFacility,including,withoutlimitationanyleaseagreementsforGenerationFacilityequipment,inaccordancewithallapplicablelawsandregulations;
(c) MaintenanceoftheGenerationFacilityandallrelatedequipmentinasafe
andprudentmannerandinconformancewithallapplicablelaws,including,butnotlimitedtoAMP’sRiderNEM,NetEnergyMetering,AMP’sRiderERG,EligibleRenewableGenerationandAMP’sRulesandRegulations,assuchmaybeamendedfromtimetotime;and
(d) Obtainingandmaintainingallpermitsandauthorizationsinaccordancewith
allapplicablelawsandregulationsfortheconstruction,installation,design,operationandmaintenanceoftheGenerationFacility.CustomershallholdAMPharmlessfromandreimburseAMPforanyandalllosses,damages,claims,penalties,orliabilityAMPincursasaresultofCustomer’sfailuretoobtainormaintainanygovernmentalauthorizationsandpermitsrequiredforconstruction,installation,operationormaintenanceoftheGenerationFacility.
(2) TheCustomershallensurethattheGenerationFacilitymeetsallapplicable
safetyandperformancestandardsestablishedbytheNationalElectricalCode,theInstituteofElectricalandElectronicsEngineers,andaccreditedtestinglaboratories,includingUnderwritersLaboratories,applicablebuilding,electricalandfirecodesandtoallapplicableAMPRulesandRegulationsasnowineffectorasthesamemaybeamendedfromtimetotime.
(C) FacilityModifications.CustomershallnotmakemodificationstotheGenerationFacilitywithoutwrittenauthorizationofsuchmodificationsfromAMP.Tosecurepriorwrittenauthorization,CustomermustsubmitanewEligibleRenewableGenerationApplicationFormtoAMP,proceedthroughtheapprovalprocessforsuchEligibleRenewableGenerationApplicationForms,andsecureadvancewrittenapprovalofsuchmodificationsfromAMPpriortointerconnectionofanymodifiedGenerationFacilitytotheAMPsystem.
SECTION4. MODIFICATIONSTOGENERALCONDITIONS

AMPmay,initssolediscretionandwiththeapprovaloftheAlamedaPublicUtilitiesBoard,modifytheseGeneralConditions.Customerunderstandsthatiftheydonotagreetocomplywithanymodificationstosuchdocuments,theirGenerationFacilitywillbedisconnectedfromtheAMPsystem.
SECTION5. BILLINGANDCREDITS
TheCustomershallbecompensatedinconnectionwiththeoperationofitsGenerationFacilityinaccordanceAMP’sRiderNEMorRiderERG.
SECTION6. INTERRUPTIONORREDUCTIONOFDELIVERIES
(A) AMPmayrequiretheCustomertointerruptorreducedeliveriesofenergytoAMP.
AMPshallnotbeobligatedtoacceptenergyfromCustomer’sGenerationFacility:(1) Whennecessaryinordertoconstruct,install,maintain,repair,replace,remove,
investigate,orinspectanyofAMP’sequipmentorpartofAMP’ssystem;or
(2) IfAMPdetermines,initssolediscretion,thatcurtailment,interruption,orreductionofreceiptofenergyfromtheGenerationFacilityisnecessarybecauseofemergencies,forcedoutages,forcemajeure,orcompliancewithprudentelectricalpractices.
(B) NotwithstandinganyotherprovisionoftheInterconnectionAgreement,theseGeneralConditionsorassociateddocumentstothecontrary,ifatanytimeAMP,initssolediscretion,determinesthattheGenerationFacilitymayendangerAMPpersonnel,customers,ormembersofthepublic,orthatthecontinuedoperationoftheGenerationFacilitymayimpairtheintegrityofAMP’sMunicipalPowerSupplySystem,AMPshallhavetherighttoimmediately,andwithoutnotice,disconnecttheGenerationFacilityfromAMP’sMunicipalPowerSupplySystem.However,AMPshallendeavortoprovidereasonablenoticeofinterruption,orreductionofdeliveries,fromCustomer’sGenerationFacilityaspractical.TheCustomer’sGenerationFacilityshallremaindisconnecteduntilsuchtimeasAMPissatisfiedthattheconditionsidentifiedinthissubsectionhavebeenresolvedandcorrected.
(C) TheCustomershallnotreconnectaGenerationFacilitywhereAMPhasinterrupted,disconnectedorreduceddeliveriesuntiltheCustomerreceiveswrittenauthorizationfromAMPtoreconnectorincreasedeliveries.
(D) AMPshallnotbeobligatedtocompensatetheCustomerforanylossofuseofgenerationofenergyduringanyandallperiodsofinterruption,disconnectionor

reduceddeliveries.AMPshallnotprovidetheCustomerwithanyreimbursementorpayanyclaimrelatedtoloss,orpotentiallossofgenerationcompensationorcredits.
SECTION7. ACCESSTOPREMISES
AMPshallhaveimmediateandunhinderedaccesstoCustomer’sPremiseswithoutpriornotice:(A) ToinspectatallreasonablehourstheCustomer’sprotectivedevicesorGeneration
Facilityequipmentortotest,maintain,removeorreplaceanyAMPmeterorequipmentfortheGenerationFacility;
(B) TodisconnecttheGenerationFacility,atanytime,withoutnoticetotheCustomer,where,inAMP’ssolediscretion,hazardousorillegalconditionsexistsandthatimmediateactionisnecessarytoprotectpersonsorAMPfacilities,orpropertyofothersfromdamageorinterferencecausedby:
(1) TheGenerationFacility;or
(2) TheCustomer’sfailuretocomplywiththerequirementsoftheInterconnection
Agreementorthedocumentsincorporatedintoitbyreference;and
(3) Toreadthemeterforbillingpurposes.
SECTION8. INSURANCE
(A) Commercial,ResidentialPolicyRequirements.TheCustomer-OwnershallberequiredtoobtainandmaintaininsuranceforthetermoftheInterconnectionAgreementasfollows:
(1) GenerationFacilitieslocatedoncommercialproperty.Acommercialgeneral
liabilityinsurancepolicyatleastasbroadastheInsuranceServicesOffice(ISO)commercialgeneralliabilitycoverage“occurrence”form;or,iftheCustomer-Generatorisanindividual,thenliabilitycoveragewithrespecttopremisesanduseatleastasbroadastheISOhomeowners’orpersonalliabilityInsuranceoccurrencepolicyform,orsubstitute.
(a) ThecommercialCustomer-Owner’sinsuranceshall,byendorsement
(i) AdditionalInsuredStatus.Add“theCityofAlameda,AMP,andtheir
respectiveofficers,officials,employeesandvolunteers”asanadditionalinsured;and

lessthanthefollowinglimits,basedongeneratorsize:

policythatincludesallnecessaryendorsementstocovertheGenerationFacilityinstalledatthepremisesandanydamages,lossesorinjuriescausedbythatGenerationFacility,includingbutnotlimitedtodamages,lossesorinjuriesinvolvingAMPofficers,officials,employees,contractorsorvolunteers,ortoAMP’sMunicipalPowerSupplySystem.
(B) AllPolicyRequirements.TheCustomer-Owner’sinsuranceshall,byendorsement:
(a) Primary,Non-contributory.Statethatcoverageprovidedisprimaryandis
notinexcesstoorcontributingwithanyinsuranceorself-insurancemaintainedbytheCityofAlamedaorAMP.
(b) WaiverofSubrogation.TheCustomer-OwneragreestowaivesubrogationwhichanyinsureroftheCustomer-Ownermayacquirebyvirtueofthepaymentofanyloss.TheCustomer-Owneragreestoobtainanyendorsementthatmaybenecessarytoeffectsuchawaiverofsubrogation.
(C) VerificationandMaintenanceofCoverage.PriortoAMP’sexecutionofthe
InterconnectionAgreement,andonanannualbasisthereafteronorbeforethedatespecifiedintheInterconnectionAgreement,theCustomer-OwnershallprovideaCertificateofInsuranceandanyotherinformationreasonablyrequestedbyAMPtodemonstratecompliancewithallapplicableinsuranceprovisionscontainedherein.FailuretotimelysubmitsuchproofofinsurancetoAMP’ssatisfactionmayresultindisconnectionoftheinterconnectionoftheGenerationFacilityfromtheAMPMunicipalPowerSupplySystemandterminationofthisInterconnectionAgreement.
(D) NoticeofCancellationorReductioninInsuranceCoverage.TheCustomer-Ownershallprovideatleastthirty(30)dayspriorwrittennoticetoAMPofanyreductionin

scopeoramount,cancellation,ormodificationadversetoAMPofthepoliciesreferencedinthisSection.
(E) ExceptiontoInsuranceRequirements.AMPmay,initssolediscretion,waivealloraportiontheinsurancerequirementssetforthinthisSection7wheretheCustomer-OwnerdemonstratestoAMP’ssatisfactionthattheGenerationFacilitysatisfiesSection2827(j)oftheCaliforniaPublicUtilitiesCode.
SECTION9. INDEMNITYANDLIABILITY
(A) TheCustomershallindemnifyandholdtheCityofAlameda,AMP,andtheirrespectivedirectors,officers,officials,agents,employees,contractors,andvolunteersharmlessagainstallloss,damages,expense,andliabilitytothirdpersons,forinjurytoordeathofpersonsorinjurytopropertycausedbytheCustomer’sengineering,design,construction,installation,ownership,maintenanceoroperationsof,orthemakingofreplacements,additionsorbettermentto,orbyfailureof,theGenerationFacility.TheCustomershall,onAMP’srequest,defendanysuitassertingaclaimcoveredbythisindemnityusingcounselreasonablyacceptabletoAMP.TheCustomershallpayallcoststhatmaybeincurredbyAMPinenforcingthisdefenseandindemnityobligation.
(B) Nothing,intheInterconnectionAgreementortheseGeneralConditionsshallbe
construedtocreateanydutyto,anystandardofcarewithreferenceto,oranyliabilityto,anypersonnotaPartytotheInterconnectionAgreement.NeithertheCityofAlameda,AMP,ortheirrespectiveofficers,agentsoremployees,contractorsorvolunteersshallbeliableforanyclaims,demands,costs,losses,causesofaction,oranyotherliabilityofanynatureorkind,arisingoutoftheengineering,design,construction,ownership,maintenanceoroperationof,ormakingofreplacements,additionsorbettermentto,theCustomer’sGenerationFacilityexcepttotheextentactuallycausedbythesole,grossnegligenceofAMP.
(C) TheCityofAlameda,AMP,theirrespectivedirectors,officers,officials,agents,
employees,contractorsandvolunteersshallnotbeliablefordamagesofanykindtotheGenerationFacilitycausedbyanyelectricaldisturbanceoftheAMPsystem,oronthesystemofanother,whetherornottheelectricaldisturbanceresultsfromthenegligenceofAMP.
SECTION10. GOVERNINGLAW,VENUE
IntheeventthateitherPartybringsanyactionagainsttheotherundertheInterconnectionAgreementortheseGeneralConditionsthePartiesagreethatCalifornialawgovernsandthattrialofsuchactionshallbevestedexclusivelyinthestatecourtsof

SECTION11. WAIVER
ThefailureofanyPartyatanytimeortimestorequireperformanceofanyprovisionhereofshallinnomanneraffecttherightatalatertimetoenforcethesame.NowaiverbyanyPartyofthebreachofanytermorcovenantcontainedinthisAgreement,whetherbyconductorotherwise,shallbedeemedtobeconstruedasafurtherorcontinuingwaiverofanysuchbreachorawaiverofthebreachofanyothertermorcovenantunlesssuchwaiverisinwriting.
SECTION12. ASSIGNMENT
TheInterconnectionAgreementisbetweenAMPandtheCustomeronly.Anyattemptedassignmentshallbenullandvoid.
SECTION13. NOTHIRDPARTYBENEFICIARY
TheInterconnectionAgreementandtheseGeneralConditionsshallnotbeconstruedordeemedtobeanagreementforthebenefitofanythirdpartyorparties,andnothirdpartyorpartiesshallhaveanyclaimorrightofactionundertheInterconnectionAgreementortheseGeneralConditionsforanycausewhatsoever.
SECTION14. SUCCESSORS
TheInterconnectionAgreementandtheseGeneralConditionsarenotapplicabletoanysuccessorininteresttotheGenerationFacilityorPremises.AnysuccessorininterestmustthereforeenterintoanewInterconnectionAgreementwithAMP.
SECTION15. INCORPORATION.
TheCustomerunderstands,accepts,andagreesthatconstruction,installation,connection,operationandmaintenanceoftheGenerationFacilityshallbesubjecttothetermsandconditionssetforthintheInterconnectionAgreement,AMP’sEligibleRenewableGenerationApplicationFormexecutedbytheCustomer,theseGeneralConditions,thosetermsandconditionssetforthinAMP’sRiderNEMorRiderERG,andAMP’sRulesandRegulations,asnowineffectorasthesamemaybeamendedfromtimetotimeinAMP’ssolediscretionandeachofwhichisincorporatedbyreferenceintotheInterconnectionAgreement.
SECTION16. TERM,TERMINATION

(A) Term.AnInterconnectionAgreementshallbeineffectforten(10)yearsfromthe
EffectiveDateidentifiedintheInterconnectionAgreement.
(B) Termination.
(1) ByCustomer.TheCustomermayterminatetheInterconnectionAgreementforanyreason;providedthattheCustomerprovidessixty(60)calendardaysadvancewrittennoticetoAMPthatitintendstoterminatethisAgreementandpermanentlydisconnectstheGenerationFacilityfromAMP’sMunicipalPowerSupplySystemonorbeforetheterminationdate.
(2) ByAMP.AMPmayterminatethisAgreementuponten(10)calendardays
advancewrittennoticetotheCustomer:
(a) ForanyviolationoftheInterconnectionAgreementorthedocumentsincorporatedintoitbyreference;including,withoutlimitingthegeneralityoftheforegoing,non-paymentofbills,theCustomer’sfailuretosatisfyapplicablesafetyandperformancestandardssetforthintheInterconnectionAgreementorSection3oftheseGeneralConditions;orfailuretomaintaininsuranceasrequiredbytheInterconnectionAgreementorSection8oftheseGeneralConditions;
(b) WheretheGenerationFacilityinterfereswiththequality,safetyordelivery
ofAMPservicetoothercustomers;(c) WheretheCustomerabandonstheGenerationFacilityorAMPaccount.
AMPshalldeemtheGenerationFacilitytobeabandonedifAMPdetermines,initssoleopinion,thattheGenerationFacilityorAMPaccountisnon-operationalandtheCustomerdoesnotaffirmtheCustomer’sintentandabilitytocontinuetooperatetheGenerationFacilityorreceiveserviceundertheAMPAccountinresponsetoanyAMPNoticeofitsintenttoterminatethisAgreementasaresultoftheCustomer’sapparentabandonmentoftheGenerationFacilityorAMPaccount;
(d) Inresponsetoachangeinapplicablerules,tariffs,orregulations,as
approvedorasdirectedbytheAlamedaPublicUtilitiesBoard,orachangeinanylocal,stateorfederallaw,statuteorregulation,anyofwhichmateriallyaltersorotherwiseaffectsAMP’sabilityorobligationtoperformAMP’sdutiesundertheInterconnectionAgreement,ortheseGeneralConditions;

(e) IfatanytimeAMPdeterminesthattheGenerationFacilityhasbeenmodifiedorconnectedtoAMP’sMunicipalPowerSupplySystemwithoutthepermissionofAMP,orwithoutavalidandexistingInterconnectionAgreementinplace;
(f) IfAMPnolongerprovideselectricservicetotheCustomer;or
(g) IftheCustomerortheGenerationFacilitynolongersatisfyeligibility
requirementsundertheInterconnectionAgreement,ortheseGeneralConditions.
(3) TerminationPayments,CreditsandDisconnectionCosts.Intheeventthatthe
InterconnectionAgreementisterminatedpursuanttothisSectionoftheGeneralConditions:
(a) PaymentsorcreditsduetoandamongtheCustomerandAMPshallbe
billedorcreditedperAMP’sRiderNEMorRiderERG,andanyelectricservicethatcontinuestobeprovidedbyAMPshallbepursuanttoandinaccordancewiththeapplicableAMPtarifforrateschedule;and
(b) TheCustomer’sGenerationFacilityshallbepermanentlydisconnectedfrom
AMP’sMunicipalPowerSupplySystemandtheCustomershallbejointlyresponsibleforallcostsincurredasaresultofdisconnection,regardlessofwhichPartyterminatedtheInterconnectionAgreement.
SECTION17. SPECIALPROVISIONSAPPLYINGTOFEDERALAGENCYCUSTOMERSONLY.
ThefollowingprovisionsshallonlyapplytoInterconnectionAgreementssignedbyfederalagencyCustomersandAMP.
(A) Insurance.TheinsurancerequirementssetforthinSection4oftheInterconnection
AgreementandSection8oftheseGeneralConditionsshallnotapply.
(B) IndemnityandLiability.Section9oftheseGeneralConditionsaredeletedinordertocomplywiththeAnti-DeficiencyAct,31U.S.C.§1341,prohibitingFederalagenciesfromexecutingcontractscontainingindemnificationprovisions.
(C) GoverningLaw,Venue.Section10oftheseGeneralConditionsshallbereplacedandsupersededinfullwiththefollowing:
