ESCROW – What is it?

• Software Escrow – a form of assurance for licensees and software owners

• Objective of Escrow is to protect and maintain the user’s business continuity and software owners Intellectual Property Rights (IPR)

ESCROW – Trigger Events

• Within the ESCROW agreement there are several trigger events which if they occur would result in the end user gaining access to the licensed source code

National Computer Centre (NCC)

• NCC have source code deposited with them

• NCC have contacted all SirsiDynix customers and reminded them of the ESCROW agreement

• The agreement is between NCC and the customer

• If you do not have an ESCROW agreement there is no need to panic

• In reality very few customers would not be able to maintain the source code

• Provision in contracts with SirsiDynix
