Exciting News About Enhancements to Your Directed Account Plan Dear Plan Participant, The Directed Account Plan (the “DAP”) Board of Directors has selected Great-West Financial ® as the new provider of recordkeeping, communication and investment education services effective October 3, 2014. The DAP Board of Directors will remain the Plan fiduciary and controls the investments, which are not changing, as well as the funds that are made available. The DAP also controls the types of investments available in the Self-Directed Brokerage Account (SDBA). BNY Mellon will remain the trustee for all of the investments in the DAP. This change will enhance services while maintaining the same competitive fees paid by Plan participants. Great-West Financial will replace Fidelity Investment Advisors (“Fidelity”), which is the current recordkeeping service provider. Your account information and balances on the Fidelity recordkeeping platform will be sent to the Great-West Financial recordkeeping platform as of October 3, 2014. What Do I Need to Do?

You do not need to do anything with your account during the transition to Great-West Financial. Your new account will be set up and your balance will transfer automatically.

» Your new Personal Identification Number1 (PIN) will be mailed the week of September 29, 2014. Once you receive your PIN, be sure to go online to www.DAP401k.com and activate your new Great-West Financial online account.

» For those participants in the SDBA option, you will receive a Welcome Packet in September 2014 from TD Ameritrade containing information on accessing your SDBA.

» Review the information in this transition bulletin to learn more about the investment services now available to you from Great-West Financial.

Your Services

Technology ServicesA range of services will make it easy for you to manage your account and obtain Plan and investment information. Available October 6, 2014, using the PIN that will be mailed the week of September 29, 2014, a useful, interactive website for Plan participants at www.DAP401k.com and an interactive telephone account management system, KeyTalk® at (800) 338-4015, will make it easier to keep an eye on your account and make transactions at any time you choose, 24 hours a day, seven days a week.2 In addition, beginning October 6, 2014, you can speak with a customer service representative who can answer your questions Monday through Friday, from 9:00 a.m. to 8:00 p.m. ET.3

Some of your technology services will provide a simple and paperless solution to managing your account. The paperless solutions will include:

» Statements on Demand - Access your account data, including transaction history, for a specified time period on the website.

» Electronic Statement Delivery - If you prefer, you may access your quarterly statements online rather than receive them in the mail. You can access, view and print them at any time online, at your convenience. You may also download and save these documents to your computer’s hard drive.

» Beneficiary Record Keeping - With this feature, you will elect and update your beneficiary information on the website as necessary.

» Deferral Record Keeping - This allows you to make changes to your contributions through the KeyTalk automated voice response system, the website, or a retirement plan specialist.2

Self-Directed Brokerage Account (SDBA) OptionIf you feel confident selecting investment options other than those offered by the Plan, you can enroll in the SDBA option. The SDBA is intended for knowledgeable investors who acknowledge and understand the risks associated with the investments contained in the SDBA. You’ll gain access to thousands of mutual funds and exchange-traded funds not available through the Plan for increased diversification and investing opportunities. The SDBA option is offered by TD Ameritrade for only the fee associated with the transactions. All transfers to TD Ameritrade must be at least $1,000 and you must have at least $500 in your core investments. For more information, or for prospectuses related to investments in your SDBA, visit www.tdameritrade.com or call TD Ameritrade at (866) 766-4015.

You will receive a separate statement from TD Ameritrade that will detail the investment holdings and activity within your SDBA, including any fees and charges imposed in connection with the SDBA.

» Online financial tools and calculators can help guide you through retirement planning and savings decisions.

» You can research investment option information, including fund fact sheets and investment performance returns, and view online prospectuses and/or disclosure documents.

Education, Enrollment and Retirement Planning Counseling ServicesDuring the transition, the DAP will offer an Informational Recording and will also be available to answer any additional questions you may have about the Plan’s transition. See the next page for more information on the Informational Recording. In addition, beginning October 6, 2014, you can speak with a customer service representative who can answer your questions by calling KeyTalk at (800) 338-4015 Monday through Friday, from 9:00 a.m. to 8:00 p.m. ET.2,3

Important Dates4

September 25, 2014—SDBA Blackout Period BeginsFor participants with an SDBA, access will be restricted beginning at 4:00 p.m. ET on September 25, 2014, and ending no later than 4:00 p.m. ET on October 9, 2014.

Week of September 29, 2014—Your New PIN Will Be MailedGreat-West Financial will mail a letter to your home with your new PIN1 and any current investment allocations you may have for your payroll deferrals.

October 2, 2014—Blackout Period Begins for All Non-SDBA AssetsThis will be the last day to make any fund transfers or account changes with Fidelity. Between 4:00 p.m. ET on October 2, 2014, and no later than 2:00 p.m. ET on October 6, 2014, no transactions can be made, including investment option transfers and distribution requests. During the blackout period, your funds will remain invested and will be subject to market fluctuations.

October 3, 2014—Great-West Financial Will Begin Record Keeping Your AccountThis will be the first day that Great-West Financial will begin record keeping your account. Your account balances and information on the Fidelity recordkeeping platform will be sent to the Great-West Financial recordkeeping platform.

October 6, 2014—All Core Account Activities Become AvailableThe Plan will reopen for all core account activities no later than 2:00 p.m. ET on October 6, 2014. All existing account balances will be verified and reconciled. The website and Great-West Financial’s automated phone system, KeyTalk, will be fully operational to assist you with all transactions. You will need your Social Security number (SSN) and PIN to access www.DAP401k.com and KeyTalk.2 Upon initial login to www.DAP401k.com, please enter your SSN in the Username field. For security purposes, you will then be asked to create a personalized Username. If you need assistance, you can speak with a customer service representative Monday through Friday, from 9:00 a.m. to 8:00 p.m. ET.3

October 9, 2014—SDBA Activities Become AvailableThe SDBA option will reopen for all account activities no later than 4:00 p.m. ET.

October 2014—Quarterly Statement MailingsYou will receive your final account statement from Fidelity. You will receive your first quarterly statement from Great-West Financial in January 2015.

Informational Recording

You will receive an email shortly from the DAP regarding an Informational Recording about the transition. This email will contain a link that you can access at your convenience, and it can be shared with your spouse or significant other. The link will be provided within one to two weeks of receipt of this bulletin and elaborates on the information contained herein. As a participant, this link will provide information on how you can submit additional questions about the transition that will be used to create a Frequently Asked Questions (FAQ) document. A link to the Informational Recording will also be posted on www.dapretirement.com and in the “Featured Benefits” section on the home page of www.401k.com for your convenience.

Investment Options

The Plan continues to provide the same diversified mix of investment options. In order to complete the process of moving funds to Great-West Financial, there will be a period of time when you cannot access your account, known as a blackout period. During this period, your funds will remain invested and will be subject to market fluctuations. Your current investments will simply move over to the new recordkeeping platform. Please note that funds in your investment lineup can be changed after the blackout period.
