1. CONFLICTING MEETING OR SOCIAL EVENTS. In the interest of the success of the entire con-vention and exhibition, the exhibitor agrees not to extend invitations, call meetings, or other-wise encourage absence of members of the exhibitors from the convention or exhibit area during the official hours of the convention and exhibition.
2. APPLICATION AND ELIGIBILITY. Application for exhibit space must be made on the printed form provided, contain the information requested, and executed by an individual who has authority to act for the applicant (exhibitor). Any such exhibitor/producer or supplier of equip-ment and other products or services who proposed exhibit will enhance the business of bank-ing and the purposes of the Association’s meeting or convention, and facilitate those purpos-es, may apply for exhibit space providing the organization is a member of the Association. The Association reserves the right to reject any application.
3. AGREEMENT TO CONDITIONS. Each exhibiting company, for itself and its employees, agrees to abide by these conditions, it being understood and agreed that the sole control of the exhibit area rests with the Consumer Bankers Association.
4. ASSIGNMENT OF SPACE. Classification of exhibits and assignment of space will be deter-mined by CBA based on the character of the proposed exhibits and individual requirements and preferences as to location for each exhibitor. Once space has been approved by the Consumer Bankers Association, no exhibit will be moved except by mutual consent of the parties.
5. PAYMENT. Payment in full is required within 30 days of Application for Exhibit Space. The Consumer Bankers Association will deduct a $750 administrative fee if the exhibitor cancels before the deadline date specified on the application. No refund will be given if notice of cancellation is received after the deadline date specified on the Application.
6. INSURANCE. In all cases, exhibitors wishing to insure their goods must do so at their own expense.
7. EXHIBITS. Exhibit equipment will be provided by Consumer Bankers Association without cost to the exhibitor as indicated in the Exhibitors’ Prospectus. No part of an exhibitor’s display shall project so as to obstruct the view of adjacent displays.
8. CARE OF EXHIBIT SPACE. The exhibitor must, at their expense, maintain and keep in good order their exhibit and the space for which they contracted.
9. PROTECTION OF THE EXHIBIT FACILITY. Nothing shall be posted on, tacked, nailed, screwed or otherwise attached to columns, walls, floors, or other parts of the hotel or convention hall exhibit area without permission of the Association and the proper building authority. Packing, unpacking and assembly of exhibits shall be done only in designated areas and in conformity with directions of the Exhibit Manager, the hotel or convention hall manager or their assistants.
10. INSTALLATION AND DISMANTLING. The specific requirements as to the time for installation and dismantling of exhibits shall be supplied to each exhibitor for the particular conference or convention. Such requirements shall be binding upon the exhibitor as fully set forth herein. All displays must be in place and set up one hour prior to the official opening of the show. Space not occupied or set up by that time may be re-assigned for other purposes by the Association.
11. DEFAULT OCCUPANCY. Any exhibitors failing to occupy space contracted for is not re-lieved of the obligation to pay for such space at the full rental price, and the Association shall have the right to use such space as it sees fit to eliminate blank space in the exhibit area, provided such space is not occupied one hour before the official show opening.
12. ACCESS TO DISPLAYS. The Consumer Bankers Association may from time to time promul-gate such regulations governing hours of access to displays and eligibilities for admission thereto as may be found in its judgment to be most practical.
13. PERSONNEL. All exhibitors participating in the Consumer Bankers Association’s conference or conventions are expected to use special care whenever they deem it necessary to hire temporary help to assist in their exhibit or hospitality activities, so that personnel so selected by them will be of a caliber in keeping with the high standards of the exhibition and the meeting.
14. USE OF SPACE. Exhibits shall be shown only in the official exhibit area as established by the Consumer Bankers Association. Neither the exhibitors nor non-exhibitors shall be permitted to display articles, equipment or information concerning services, or movies of such articles, equipment or services in private suites or rooms during the conference or convention, in ac-cordance with prior agreements between the Consumer Bankers Association and official of hotels and the convention bureau in the locale of the specific conference or convention. No exhibitor shall permit any other corporation or firm or its representative to use the space allot-ted to them, nor shall they display articles not manufactured or sold normally by them. Co-participation by any other corporation or firm or its representatives in space assignee to the original application must be by written permission of the CBA only , and shall be subject to an additional charge of 25% of the total cost per space per day for each additional participant for the run of the conference or convention.
15. DISTRIBUTION OF PRINTED MATTER, ETC. Neither exhibitors nor non-exhibitors shall distribute to the conference or convention delegates printed matter, samples, souvenirs and the like, except from within rented space. Special distribution of such material elsewhere must be
approved by the CBA.
16. RESTRICTION ON SELLING. No sales of any kind, whether for cash or on credit, whether for immediate or future delivery, and whether completed within or outside the exhibits area, shall be made during the exhibitions by an exhibitor, or anyone on their behalf, nor shall any form of order-taking be permissible.
17. CANCELLATION OR RELOCATION OF CONFERENCE OR CONVENTION. In the event of cancellation or relocation of any conference or convention due to circumstances within the Association’s direct control, the liability of the Consumer Bankers Association shall be limited to a refund of fees paid to the Association by the exhibitor. In the event the Association has no control over the cancellation or relocation of any conference or convention, the Association shall have no liability or any kind, but may at its discretion, refund any fees paid by the exhibi-tor.
18. CANCELLATION BY THE EXHIBITOR. Should the exhibitor be unable to occupy and use the exhibit space contracted for and should they notify the Association by the deadline date specified on the Application for Exhibit Space, all fees paid by the exhibitor, less a $750 admin-istrative fee per space will be refunded. No refund of any fees, including the administrative fee, will be made if notice of cancellation is received after the deadline date specified on the Application.
19. THE ASSOCIATION’S RIGHT TO REMOVE THE EXHIBITOR’S PROPERTY. The Consumer Bankers Association reserves the right to remove from the hotel or convention premises any or all of the property of the exhibitor should the conference or convention be canceled or relocated or should the exhibitor violate any of the conditions of the Exhibitors’ Agreement. This right may be exercised without prior notice and without hearing.
20. VIOLATION OF THE CONDITION. Any of the following actions by an exhibitor shall constitute a violation of the conditions of the Exhibitor’s Agreement: a.) Use of a display of equipment products or services which varies in any significant way from the description on the Application for Exhibit Space. b.) Violation of any municipal, state, or federal laws, rules or regulations, including safety codes. c.) Failure to follow the procedures prescribed in Sections 1 through 19. d.) Failure to remove property from the hotel or exhibit area upon cancellation or relocation of the conference or convention.
21. LIABILITY. a.) The Consumer Bankers Association undertakes no duty to exercise care, nor does it assume any responsibility, for the protection and safety of the exhibitor, their officials, agents or em-ployees, or for the protection of the property used in connection with the exhibit, from theft or damage or destruction by fire, accident or other cause. Small and easily portable articles shall be properly secured or removed after exhibit hours and placed in safekeeping by the exhibi-tor. Any protection exercised by the Association shall be deemed purely gratuitous on its part and shall in no way be construed to make it liable for any loss or inconvenience suffered by the exhibitor. b.) The exhibitor agrees to indemnify and hold the Consumer Bankers Association and its agents harmless from all such claims and from all claims or liability of any nature whatsoever arising from the activities of the exhibitor or any of their representatives or from the display or use of property of the exhibitor. c. ) The Consumer Bankers Association shall not be liable for any failure to deliver space to an exhibitor or for the loss of allotted space of an exhibitor, who has contracted for exhibit space under the terms of this agreement, if non-delivery is due to any one of the following causes: destruction of or damage to the building or the exhibit area by fire or Act of God, acts of public enemy, strikes, the authority of the law or any cause beyond its control. The Association will however, in the event it is not able to hold an exhibit for any of the above-named causes, reimburse exhibitors pro-rata on any rental fee paid less any and all legitimate expenses incurred by the Consumer Bankers Association for advertising, administration and similar and related costs.
22. REMEDIES. a.) General. In the event the exhibitor violates any of the conditions of the Exhibitor’s Agree-ment, the Consumer Bankers Association reserves an absolute right to invoke either or both of the following remedies, which shall be in addition to, and not in lieu of, any other rights or remedies granted under this agreement or available under general contract law. (1) The Association may order the exhibitor to remove their exhibit and personnel, or have them removed under the provisions of Section 19. In these circumstances, no part of the exhibitor’s fee will be returned. (2) The Association may refuse thereafter to enter into any agreement with the same or related signatory exhibitor to lease space at future conferences or conven-tions sponsored by the Consumer Bankers Association. b.) The Association, in addition to all other remedies it is entitled to invoke under the terms of this agreement, may require the exhibitor to pay to the Association, as liquidated damages, and not as a penalty, an amount equal to 100% of the exhibitor’s fee where the signatory exhibitor violates the restriction on selling set forth in Section 15.

1. CONFLICTING MEETING OR SOCIAL EVENTS. In the interest of the success of the entire convention and exhibition, the sponsor agrees not to extend invitations, call meetings, or otherwise encourage absence of members from the convention or during the official hours of the convention and exhibition.
2. APPLICATION AND ELIGIBILITY. Application for sponsorships must be made on the printed form provided, contain the in-formation requested, and executed by an individual who has authority to act for the applicant (sponsor). Any such spon-sor/producer or supplier of equipment and other products or services who proposed sponsorship will enhance the business of banking and the purposes of the Association’s meeting or convention, and facilitate those purposes, may apply for a sponsorship providing the organization is a member of the Association. The Association reserves the right to reject any ap-plication.
3. SPONSOR REPONSIBILITIES. Sponsor shall be responsible for the following:
a. All giveaways (cups, napkins, etc.) to be used during the sponsored function
b. Any additional signage, banners, etc. to be displayed during the sponsored function
4. PUBLICITY. CBA shall publicize and promote the event and shall be permitted to use Sponsor’s name and logo in con-nection with such publicity and promotion.
5. SPONSOR PUBLICITY. Sponsor may publicize that it is a sponsor of the CBA Conference. However, Sponsor acknowledges that CBA is the lawful owner of the name “Consumer Bankers Association”, the acronym “CBA,” any associated logos, as well as the name of the conference and the name of the sponsored Event (collectively “Marks”). Sponsor agrees to take no action inconsistent with CBA’s ownership, or that would subject CBA to claims by third parties or potential loss of its ownership. Any uses of the Marks by the Sponsor must be approved, in advance, by CBA.
6. TERMINIATION. If Sponsor breaches any of its obligations hereunder, CBA shall have the right to terminate this agreement and to retain Sponsor’s sponsorship fee as liquidated damages (and not as a penalty), in addition to any other rights it may have at law or at equity.
7. INDEMNIFICATION. Sponsor agrees to indemnify and hold CBA harmless against any losses, claims, expenses or damages from its own negligent or willful acts or omissions of its employees, officers, directors, agents, contractors, or others acting on its behalf or with its authority.
8. TERMS. The term of this Sponsorship Agreement shall commence upon execution of this Agreement and shall terminate upon conclusion of the Event, unless sooner terminated pursuant to paragraph 6.
9. LIABILITY. CBA shall have no liability with respect to its obligations under this Agreement for consequential, exemplary, special, indirect, incidental or punitive damages, even if it has been advised of the possibility of such damages. The lia-bility of CBA for any reason and upon any cause of action or claim shall be limited to the fees paid by Sponsor to Con-sumer Bankers Association under this Agreement. This limitation applies to all causes of action or claims in the aggregate, but does not apply to death, bodily injury or damage to personal property caused by Consumer Bankers Association negli-gence.
