ARTICLE 1. GUARANTEED MAXIMUM PRICE (GMP)

1.1.1 Guaranteed Maximum Price (GMP): Construction Managerguarantees that it shall not exceed a

Guaranteed Maximum Price (GMP) of Six Hundred Four Thousand, Three Hundred Eighty-Five

Dollars ($604,385.00) for the identified Sub-Project.

1.2 Basis of the GMP:

1.2.1 Construction Documents: The Scope of Work for the GMP shall be as defined in the

Construction Documents, prepared by Gale Associates, Inc., titled Roof Rehabilitation

Jackson Middle School and dated March 20, 2017.

1.2.2 List of Contract Documents attached as Exhibit C-1.

1.2.3 Exceptions, Clarifications and Exclusions: The Scope of Work defined in the Contract

Documents shall be modified and/or clarified as shown in attached Exhibit C-2.

1.2.4 Truth-In-Negotiation: The Construction Manager certifies that the wage rates and other

factual unit costs supporting the compensation are accurate, complete and current at the

time of execution of each Sub-Project of which this certificate is a part. The original price

and any additions thereto shall be adjusted to exclude any significant sums by which the

Owner determines the Sub-Project amount was increased due to inaccurate, incomplete or

non-current wage rates and other factual unit costs and that such original Sub-Project

adjustments shall be made within one year following the end of the Agreement.

ARTICLE 2. PROJECT TIME

2.1 Substantial Completion Date: Substantial Completion of the Work as defined in Article 6.1.2 of the

General Conditions to the Continuing Contract for Construction Management Services shall be

achieved by September 29, 2017.

2.2 Final Completion Date: Final Completion for the Work as defined in Article 6.1.3 of the General

Conditions to the Continuing Contract for Construction Management Services shall be achieved by

December 24, 2017.

2.3 Project Schedule: Attached to this Amendment will be a schedule identifying the above noted

completion times and intermediate milestone dates estimated for the Project. The proposed

schedule shall be integrated into the Construction Manager's CPM Schedule upon approval of its

Guaranteed Maximum Price Amendment.

ARTICLE 3. CONSTRUCTION MANAGEMENT FEE

3.1 Construction ManagerFee: The Construction Management Fee for the Project shall be either a ☒

Lump Sum or ☐Not-To-Exceed Fee (Check Correct Type – Reference Sub-Project Work Request

(Exhibit B) which identifies the Fee type) of Twenty-Seven Thousand, Three Hundred Five Dollars

($27,305.00).

ARTICLE 4. REIMBURSABLE GENERAL CONDITIONS COSTS

4.1 General Conditions: General Conditions costs for the Project shall not exceed Fourteen Thousand,

Eight Hundred Five Dollars ($14,805.00). General Conditions costs for this contract are for

insurances and bonds only. General Condition costs shall be in compliance with the General

Conditions to the Construction Management Contract (Exhibit A) and are identified in the

attached document, prepared by the Construction Manager titled Jackson MS Roof Rehabilitation

Project Construction Services Proposal and dated June 27, 2017.

ARTICLE 5. LIQUIDATED DAMAGES

5.1 Substantial Completion: Construction Manager shall pay Owner One Thousand Dollars ($1,000.00)

as liquidated damages for each day that Substantial Completion extends beyond the Substantial

Completion Date.

5.2 Final Completion: Construction Manager shall pay Owner Five Hundred Dollars ($500.00) as

liquidated damages for each day that Final Completion extends beyond the Final Completion Date.

ARTICLE 6. PROJECT REPRESENTATIVES

6.1 Owner’s Representative: Owner designates the individual listed below as its Owner’s

Representative to provide direct interface with Construction Manager with respect to Owner’s

responsibilities:

Art Johnson, Owner’s Project Manager.

6.2 Construction Manager's Representative: Construction Manager designates the individual listed

below as its Construction Manager's Representative to provide direct interface with Owner with

The Gilbane Building Company is pleased to submit our Construction Services proposal for the Jackson MS Roof

Rehabilitation Project in Titusville, Florida. Our fee proposal is based on approval by the Brevard Public School Board at

the July 11th 2017 Board meeting and a Substantial Completion date of September 29th, 2017. This Proposal in the

amount of $604,385 includes a Guaranteed Maximum Price (GMP) consisting of the following:

1) Trade Costs with the associated bids received as backup

2) Allowances for any items in which bids were not received

3) Bond, insurance, and Builder’s Risk costs

4) A 5% project contingency

5) CM fee based on 5% of construction value

June 26, 2017  Mr. Arthur Johnson Project Manager BPC Facilities Department 1254 S. Florida Avenue Rockledge, FL 32955  Re:  Andrew Jackson Middle School   Building 19 – Roof Rehabilitation   Gale JN: 678068  Dear Mr. Johnson:  On April 18, 2017, a bid from P&A Roofing and Sheet Metal  (P&A)  in the amount of $525,000.00, was received by Gilbane Building Company for the above‐referenced project for Brevard Public Schools.  Gale’s preliminary cost estimate prepared 03/20/2017, estimated a construction cost of $594,880.00.   The low bid submitted by P&A is within 12% of the A/E estimated budget.   Subsequent  to  the  bid  received  from  P&A  Roofing &  Sheet Metal, Gale met with Gilbane,  and  P&A personnel on June 21, 2017 to review the bid against the design documents.   Based on the review, P&A has  shown  that  they  understand  the  scope  of work  identified  in Gale’s  design  documents  and  have included the necessary costs associated with performing the roof renovation services except for the cost associated with verifying the operation of the lighting protection system once removed to perform the roofing work and then reinstalled.  The cost for lighting protection verification will be provided to Gilbane.    In  addition  to  the  lighting  protection  verification  GALE will  be  providing  additional  detailing  for  the replacement of  the penthouse  framing and roofing system, and deck enclosure details  for anticipated removal of three (3) roof top HVAC units.   Gale’s preliminary construction cost for replacement of the penthouse framing and roofing system is estimated at $7,500.00 and the deck enclosure scope of work is estimated at $3,000.00.  Based on Gales bid analysis and discussions with Gilbane and P&A, it is our opinion that P&A has made a good faith effort to submit a competitive bid, as defined  in the design documents.   Therefore, GALE  is recommending that the bid submitted by P&A be accepted and that Brevard Public Schools enter into a contract with P&A Roofing & Sheet Metal for the roof rehabilitation of Andrew Jackson Middle School.  Sincerely yours,  GALE ASSOCIATES, INC.     Tony B. Robinson, RRC, BECxP, LEED®AP Associate Cc: file

We are pleased to offer the following Proposal for your consideration. We propose to

accomplish the following.

Our interpretation of The Site Visit along with our Scope of Work, Descriptions and

Qualifications below represent the basis for the following Proposal.

Roof Areas:

Roof Areas A2 & B: Approximately 37,700 Sq. Ft.

Remaining Roof Areas: Approximately 58,000 Sq. Ft.

Scope of Work at Flat Roof Areas A2 & B:

Remove existing built-up roofing, down to the existing lightweight insulated concrete

decking, all wall flashings, curb flashings, gravel stop, and haul all debris away in

dumpster provided by P&A Roofing and Sheet Metal Inc.

Furnish and Install Soprema Sopra 4897 vented base sheet over existing lightweight

concrete, loose laid.

Furnish and Install 1.6” Polyisocyanurate insulation loosed laid over base sheet.

Furnish and Install ½” DensDeck mechanically attached into existing metal deck

below lightweight concrete per Gale Associates07220-3/3.4.

Furnish and apply Elastocol 500 asphalt primer over DensDeck and allow to dry.

Torch apply One (1) Ply of Soprema Sopralene Flam 180 and One (1) Soprema

Sopralene Flam 180 FR GR.

Flash all walls, vent pipes, curbs, expansion joints, goose necks, pitch pans and drains

per Gale Associates recommendations dated March 20, 2017.

We qualify the following:

We exclude the Removal of any Curbs, and infilling openings of the roof.

We have included the cost for engineering test.

We have included the cost for permitting.

The cost for repairing any deteriorated Lightweight Concrete Decking will be an

additional cost of $12.00 per square foot extra.

We exclude independent testing from any third party.

We shall furnish a 20 Year NDL manufacturer’s warranty along with our 2 Year

contractor’s guarantee for Roof Areas A2 & B.

We shall furnish a 10 Year NDL manufacturer’s warranty along with our 2 Year

contractor’s guarantee for Remaining Roof Areas.

Payment and Performance Bonds are not included. If required, please add 1.2% of the

amount of the Base Bid.

All work will be performed by experienced mechanics, fully covered with the proper

amounts of workmen's compensation and general liability insurance's.

This proposal is based upon today’s Roofing and Sheet Metal material prices. The

Industry is currently experiencing price volatility in Roofing and Sheet Metal products.

Because firm prices cannot be obtained from suppliers for an extended period of time,

prices are subject to change. If there is an increase in the price paid for Roofing and Sheet

Metal products, the amount of this proposal/contract shall be similarly increased to reflect

the increase costs to obtain the materials.

Should P&A Roofing and Sheet Metal Inc. be the successful bidder on this project, we

reserve the right to negotiate the terms and scope of the Sub Contract Agreement.

We exclude any labor or material unless it has been specifically mentioned in this

proposal.

The following is a summary of all qualifications and assumptions.

1. No guarantee exists on any single line item within the GMP, and savings on a particular line item may be

transferred to cover overruns of another line item except general conditions.

2. We have assumed the cost of the following items are to be paid by the owner and are not included in this

proposal.

a. Impact or special assessment fees

b. Furniture, Fixtures & Equipment

c. Utility and power company fees and charges.

d. Security and watchmen during construction if required.

e. Removal and/or handling of asbestos, contaminated or hazardous materials.

3. Changes to the contract scope will not be annotated on shop drawings or submittals without first being

issued through the contract document change process.

4. With the exception of the items specifically identified in this proposal, repairs to existing systems beyond

the point of connection of the new work have not been included. We have not included any warranty of

existing equipment. We have not included code required upgrades to existing installations, equipment, &

systems not shown on drawings.

5. We have assumed that all work performed by the Owner, i.e. asbestos abatement, will be completed in

accordance with the overall project schedule. In the event it is not, the overall project duration and cost

will be increased in accordance with the terms and conditions included in the contract agreement.

6. We have not included any costs for utility fees for power, water, sewer, or any other utility usage during

the course of construction or any other time thereof.

7. A pre-test will be done on the existing lightning protection system. If deemed not operable, the cost to

repair and/or replace will be additional.

8. The condition of the existing lightweight concrete substrate is unknown. If the existing lightweight

concrete needs to be patched or replaced the cost for this work shall be additional. The unit cost to repair

or replace will be at $12.00/sqft.

9. We have not included any costs for permits.

10. We have excluded any removal or abatement of any asbestos, mold, or other contaminated, hazardous or

toxic substances.

11. No third party testing is included with the exception of the lightning protection pre-test.

12. Fee will be added to contingency use. Fee will be included in underruns such as buyout savings from

allowances or unspent general conditions and transferred to contingency.

13. Gilbane Building Company and its subcontractors shall not be held responsible for any mold, mildew or

Algae growth attributable to past or present water intrusion.
