ORDINANCE NO. 19-15 INTRODUCED BY COUNCIL
AN ORDINANCE AUTHORIZING THE PUBLIC SAFETY DIRECTOR TO ENTER INTO A MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF ZANESVILLE AND THE PUBLIC UTILITIES COMMISSION OF OHIO FOR USE OF SPACE AT 34 SOUTH 4 TH
STEEET, ZANESVILLE, OH, AND DECLARING AN EMERGENCY
WHEREAS, the City of Zanesville has been approached about entering into a Memorandum of Understanding with the Public Utilities Commission of Ohio (PUCO) in order to use office area for a local inspector to have space to provide service in our area; and
WHEREAS, the City of Zanesville and the PUCO are government entities within the State of Ohio and are willing to coordinate for the mutual benefit of both government entities; and
WHEREAS, the PUCO desires to occupy the space in order to fulfill its statutory obligation and will reimburse Zanesville for its use of said space and will not be connected to the City of Zanesville's server; and
WHEREAS, with an investigator housed in the Safety Center Annex, 34 South 4th
Street, Zanesville, Ohio it will greatly reduce the response time from Columbus and should increase the health, safety, and welfare of our citizens if transportation or emergency
circumstances arise.
NOW, THEREFORE, BE IT ORDAINED by the Council of the City of Zanesville, State
of Ohio, that:
SECTION ONE: The Public Safety Director is hereby authorized to enter into the Memorandum of Understanding with the Public Utilities Commission of Ohio for space at the Public Safety Annex located at 34 South 4th Street, Zanesville, Ohio.
SECTION TWO: The Public Safety Director is hereby authorized to enter and execute all
documents associated with this ordinance.
SECTION THREE: The PUCO agrees to pay Zanesville an annual sum as agreed and written into Section III under the Rent portion of the Memorandum of Understanding.

SECTION FOUR: For the reasons stated herein, this ordinance is declared to be an emergency measure provided it receives the affirmative vote of six (6) or more members of City Council, this ordinance shall take effect and be in force from and after the earliest period allowed by law.

MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF ZANESVILLE
AND THE PUBLIC UTILITIES COMMISSION OF OIDO
FOR USE OF SPACE AT 34 SOUTH 4TH STREET, ZANESVILLE, OH 43701
This Memorandum of Understanding ("MOU") is made by and between the City of Zanesville, Ohio, hereinafter referred to as "Zanesville", having an address of 34 South 4th Street, Zanesville, Ohio 43071 and the Public Uti lities Commission of Ohio, hereinafter referred to as "PUCO", 180 East Broad Street, Columbus, Ohio 43215-3793.
I. PURPOSE
Zanesville and the PUCO are government entities within the State of Ohio. Zanesville and the PUCO are willing to coordinate for the mutual benefit of both government entities.
This MOU constitutes an agreement between Zanesville and the PUCO for the use of space by the PUCO for administrative offices at 34 South 4th Street, Zanesville, OH 43701 (the "Premises"). The PUCO desires to occupy the space in order to fulfill its statutory obligation and will reimburse Zanesville for its use of said space.
II. TERM
This Memorandum of Understanding (MOU) shall be effective upon the date of the last signature hereto and shall end on June 30, 2019, with an option to renew for two years beginning July 1, 2019 through June 30, 2021. The PUCO shall have the right to request renewal of this MOU, under the same terms and conditions, or as modified, except that rent shall be determined at the time the PUCO requests renewal. Requests for renewal shall be made by the PUCO not later than sixty (60) days prior to the end of the term.
III. RENT
The PUCO agrees to pay Zanesville an annual sum of One Thousand and Three Hundred Ninety-Six dollars and Eighty cents ($1,396.80) for the use of the 116.4 sq. ft. space at $12/sq. ft. at the Premises. Upon receipt of an invoice from Zanesville. The payment also includes the PUCO's proportionate share of all utilities, routine maintenance, and other operation and maintenance costs for the Premises. It also does not include the cost of connection to Zanesville server or computer systems or any improvements currently being accomplished by the PUCO, for which the PUCO agrees to be solely responsible. The PUCO will not be connected to the Zanesville server.
IV. USE OF THE PREMISES

The PUCO may use the Premises, a drawing of which is attached hereto as Exhibit A, for administrative offices which includes a desk, PUCO will provide chair and filing cabinet. Any other use must be approved by the Zanesvi lle prior to that use. The PUCO shall also have the use of common areas including restrooms, kitchen, hallways, and vending areas. The PUCO agrees to follow all applicable Zanesville scheduling procedures for the use of meeting and training rooms. The PUCO will have an assigned parking space, keys to its office space and will gain access to the Premises by keys issued to authorized personnel only.
V. RULES, REGULATIONS, AND STANDARD OPERATION PROCEDURES
Both parties to this MOU agree to comply with the PUCO work rules and all other building operation and maintenance regulations and standard operating procedures which, from time to time, may be implemented by joint agreement of the occupants of the Premises.
VI. AL TERA TIONS OF PREMISES AND MAINTENANCE OF EQUIPMENT
The PUCO may, during the term of this MOU and any renewal thereof, make alterations to its space, with the prior approval of Zanesville. Each party shall be responsible for maintenance of its own equipment and fixtures . The parties agree that no work has been completed on the Premises to suit it for occupancy by the PUCO prior to the execution of this MOU. If deemed necessary, the PUCO shall be responsible for all telephone installation and service and other data line installation and service for the Premises. If required, such installation shall be coordinated with Zanesville prior to installation.
The PUCO agrees to bring any capital repair concerns to the attention of Zanesville as soon as practicable, however, such repairs shall be completed at the discretion of Zanesville. If one occupant of the Premises makes repairs on the equipment of other occupants, that cost may be charged by and reimbursed to the repairing occupant.
VII. CARE OF THE PREMISES
The PUCO agrees to comply with the rules and regulations of all state and local building codes, fire prevention agencies, board of health, and other agencies governing the premises described in this MOU. The PUCO agrees to refrain from committing waste on said premises and to deliver possession thereof to Zanesville at the termination of this MOU, or any renewal thereof, in substantially as good condition as at the commencement of the term of this MOU, damages from natural elements, or damages arising from any circumstances beyond the PUCO's control, normal wear and tear, normal depreciation and decay excepted.
VID. APPROPRIATION OF FUNDS
The obligations ofthis MOU, and any renewal thereof, shall be contingent upon determination by the PUCO that a sufficient amount has been appropriated to pay for the
